Planning for Extraordinary Lives

Our value to You

Planning for Extraordinary Lives

I understand the pride a family can take in a family business, and the

extraordinary life that could be lived by having a successful business. However, as

success so often does, it creates a culture where we often underestimate the risk

that a business can bring and the impact it could have on the family. We also

tend to forget just how quickly the environment can change around us.

As a member of family who enjoyed the benefits of a successful business, and lost

them due to the untimely death of my grandfather, I have seen what it can do to

the family fortunes and the family unit.

My value as your advisor is to help you avoid the mistakes my family made. I will

ensure that you have considered all the risks to your family’s wealth and that we

have a plan in place to deal with the eventuality of future threats. I will work with

your other key advisors, senior employees, key family members and others to

design, manage, and protect your lifestyle and business.

John Ayers, Financial Advisor

Planning for Extraordinary Lives

As a woman, I understand the multiple roles and responsibilities we carry. Yet, I

realize that we often relinquish control and allow others to make financial

decisions for us. In many ways, however, we are only hurting ourselves and

setting ourselves up for a crisis in the future.

As a professional woman in a male dominated industry, I have learned that there

is more than one way to manage wealth and relate to clients. Women are often

underserved by our industry. And as a mother and daughter, I understand how

we can lose sight of our own goals and needs as we are focusing on those of our

children and parents.

Therefore, my true value as your advisor is that I will help you to balance and

prioritize your own financial needs with the needs of those you love. I will help

you make the process more fun and less complicated. I will work with you to

help you feel more knowledgeable, and to give you the sense of control that you

deserve.

Investment Philosophy

& Process

Planning for Extraordinary Lives

 Asset allocation is more important than security selection

 Rebalancing is critical, even though this may result in capital gains

 Bonds preserve capital, not wealth

 The 20+ year bull market rally in bonds is over and interest rates will up,

eventually

 The more efficient a market is, the more it lends itself to indexing

 Inflation:

 Due to the minting of dollars, monetary inflation is a concern

 However, there is no shortage of manufacturing capacity or labor

 This will result in an interesting dynamic with unforeseen consequences

 Dividends matter - Almost 50% of equity returns have come from dividends

 The world economy will continue to grow:

 International markets will grow faster than domestic markets

 Emerging will grow faster that developed

 A stock market will go where its economy will take it

Our Investment Philosophy

Planning for Extraordinary Lives

Based on our philosophy, our investment process includes the following:

 Rely principally on Morgan Stanley’s Global Investment Committee for both strategic

and tactical asset allocation recommendations and changes

 Using these recommendations, build portfolios using both passive and active

management strategies

 Passive/ETF strategies will be used in more efficient market such as large cap US

stocks. We also lean towards more use more dividend-oriented strategies

 Active managers will be used in less efficient/less liquid markets such as emerging

markets. Our process for selecting these managers will include

 Approved and recommended by Morgan Stanley research

 At least a 3- star rating if covered by Morningstar

 Longer-term history of achieving a combination of attractive returns with

lower market volatility and movement in quintile rankings.

 The availability of operations and support staff of the firms

 A complete top-down review of these investments will be performed semi-annually and

a desk-top review done quarterly.

difficult to ascertain and communicate. We will provide the fullest disclosure of all fees paid

and compensation received to both Morgan Stanley as well as to third parties.

 Oversight and security

Through time, there have been cases of unethical behavior and wrongdoing on the part of

financial institutions. Morgan Stanley has:

Planning for Extraordinary Lives

 Proactive communication

 Working with your other advisors

We will proactively work with your advisors (e.g. accountants, lawyers) to ensure

Asset Allocation does not guarantee a profit or protect against a loss in a declining financial market.

Morgan Stanley Smith Barney LLC offers a wide array of brokerage and advisory services to its clients, each of which may create a

different type of relationship with different obligations to you. Please visit us at http://www.morganstanleyindividual.com or consult

with your Financial Advisor to understand these differences.

An investment in alternative investments can be highly illiquid, is speculative and not suitable for all investors. Investing in

alternative investments is only intended for experienced and sophisticated investors who are willing to bear the high economic risks

associated with such an investment. Investors should carefully review and consider potential risks before investing. Some of these

risks may include:

· loss of all or a substantial portion of the investment due to leveraging, short-selling, or other speculative practices;

· lack of liquidity in that there may be no secondary market for the fund and none is expected to develop;

· volatility of returns;

· restrictions on transferring interests;

· potential lack of diversification and resulting higher risk due to concentration of trading authority when a single advisor is utilized;

· absence of information regarding valuations and pricing;

· complex tax structures and delays in tax reporting;

· less regulation and higher fees than mutual funds; and

· manager risk.

Individual funds will have specific risks related to their investment programs that will vary from fund to fund.

Actual results may vary and past performance is no guarantee of future results.

Bonds are subject to interest rate risk. When interest rates rise, bond prices fall; generally the longer a bond's maturity, the more

sensitive it is to this risk. Bonds may also be subject to call risk, which is the risk that the issuer will redeem the debt at its option,

fully or partially, before the scheduled maturity date. The market value of debt instruments may fluctuate, and proceeds from sales

prior to maturity may be more or less than the amount originally invested or the maturity value due to changes in market conditions

or changes in the credit quality of the issuer. Bonds are subject to the credit risk of the issuer. This is the risk that the issuer might be

unable to make interest and/or principal payments on a timely basis. Bonds are also subject to reinvestment risk, which is the risk

that principal and/or interest payments from a given investment may be reinvested at a lower interest rate.

International investing may not be suitable for every investor and is subject to additional risks, including currency fluctuations,

political factors, withholding, lack of liquidity, the absence of adequate financial information, and exchange control restrictions

impacting foreign issuers. These risks may be magnified in emerging markets.

The investments listed may not be suitable for all investors. Morgan Stanley Smith Barney LLC recommends that investors

independently evaluate particular investments, and encourages investors to seek the advice of a financial advisor. The

appropriateness of a particular investment will depend upon an investor's individual circumstances and objectives.

Morgan Stanley Smith Barney LLC offers insurance products in conjunction with its licensed insurance agency affiliates.

Since life insurance and long term care insurance are medically underwritten, you should not cancel your current policy until your

new policy is in force. A change to your current policy may incur charges, fees and costs. A new policy will require a medical exam.

Surrender charges may be imposed and the period of time for which the surrender charges apply may increase with a new policy.

You should consult with your own tax advisors regarding your potential tax liability on surrenders.

Investing in commodities entails significant risks. Commodity prices may be affected by a variety of factors at any time, including but

not limited to, (i) changes in supply and demand relationships, (ii) governmental programs and policies, (iii) national and

international political and economic events, war and terrorist events, (iv) changes in interest and exchange rates, (v) trading activities

in commodities and related contracts, (vi) pestilence, technological change and weather, and (vii) the price volatility of a commodity.

In addition, the commodities markets are subject to temporary distortions or other disruptions due to various factors, including lack

of liquidity, participation of speculators and government intervention.
