GENERAL INFORMATION

1.INTRODUCTION

The University of Tennessee Health Science Center in Memphis, Tennessee (hereinafter referred to as the University) is seeking proposals for Group Health Insurance on behalf of Graduate Medical Education and other participants. See the attached section entitled Specifications and Proposal Requirements for additional information about this requirement.

The University is seeking proposals directly from group health insurance carriers or group health plan administrators or their exclusive agents appointed for purposes of submitting a response to this Request for Proposal. Only one proposal per type of policy/plan will be considered.

2.COMPETITIVE PROPOSAL PROCESS

This Request for Proposal is part of a competitive proposal evaluation and negotiation process that helps to serve the University best interests. It also provides potential insurers with a fair opportunity for their proposals to be considered. The process being used in this case should not be confused with the different process of competitive sealed bidding. The latter process is usually used where the goods and services being procured can be precisely described and price is generally the determinative factor. The competitive proposal evaluation and negotiation process in this case will not rely on premiums as the sole determining factor in selection. The University reserves the right to negotiate final contract terms with the proposer submitting the best proposal as deemed to be in the best interest of the University. If the University cannot come to mutually agreeable terms with such proposer, the University reserves the right to negotiate with another proposer(s). Proposals received will be evaluated by the criteria specified in Section 9 below.

4.COMMUNICATIONS REGARDING THE RFP

Upon release of this RFP, all proposer communications concerning this procurement must be directed to the Contact Person identified in Section 3 above. Unauthorized contact regarding the RFP with other University employees may result in disqualification. All communications should be in writing to the Contact Person. Any oral communications shall be considered unofficial and non-binding on the University. Written questions and requests for clarification must cite the RFP number. The Contact Person must receive these questions and requests for clarification by the deadline specified in the RFP Schedule of Events. Questions and requests for clarification may be mailed, hand delivered, courier delivered, sent by facsimile, or sent by email to the Contact Person. The person submitting the question or clarification request should include their email address with their request. An acknowledge of receipt of the question or clarification request will be sent by email to the person submitting the question or clarification request. The Contact Person should be contacted if an acknowledgement of receipt is not received by the second business day after the question or request for clarification was submitted.

The University shall respond to written questions and requests for clarification in writing and such responses shall become an addendum to the RFP. Only written responses to written communications shall be considered official and binding upon the University. The University reserves the right, at its sole discretion, to determine appropriate and adequate responses to questions and requests for clarification.

The University shall send a copy of its written responses to questions and requests for clarification to all proposers who have submitted an Acknowledge of Receipt and indicated an intention to submit a proposal. Such responses shall be deemed to be addenda to the RFP.

Any factual information provided by the University shall be deemed for informational purposes only, and if a proposer is relying on said factual information it should either: (1) independently verify the information, or (2) obtain the Universitys written consent to rely thereon in the Written Questions and Clarification Requests process.

5.REQUIRED REVIEW AND WAIVER OF OBJECTIONS BY PROPOSERS

Proposers should carefully review this RFP and all attachments for defects, objections, or any other matter requiring clarification or correction (collectively called objections). Comments concerning RFP objections must be made in writing and received by the University no later than the deadline for Written Questions and Clarification Requests. This will allow issuance of any necessary amendments and help prevent the opening of defective proposals upon which contract award could not be made.

Protests based on any objection shall be considered waived and invalid if these faults have not been brought to the attention of the University, in writing, by the deadline for Written Questions and Clarification Requests. Submittal of a proposal shall constitute acceptance of the terms, conditions, criteria, requirements, and evaluation process of the RFP and resulting contract and operates as a waiver of any objection.

6.PROPOSAL SUBMISSION

Sealed proposals must be received no later than February 4, 2014 at 2:00 p.m. Central time at the following address:
