DEFINITIONS

1. Definitions

In this Statuteanywordorexpression towhichameaninghasbeenassignedbytheHigherEducationAct,1997(ActNo.101of1997),asamended,hasthemeaningsoassignedtoit,andunlessthecontextotherwiseindicates:

“academic employee”meansanypersonappointedtoteachor to do research at the University and any other employeedesignatedassuchbythecounciloftheUniversity;

“Act” means the Higher Education Act, 1997 (Act No. 101 of1997),asamended;

“campus”meansanyoneofthefivecampusesoftheUniversitybeing,Westville,HowardCollege,theMedicalSchool,EdgewoodandPietermaritzburgandanycampus thatmaybeadded totheUniversityinthefuture;

“chancellor”means thepersoncontemplated inparagraph4;

“convocation” means the convocation contemplated inparagraph49;

“college” means the primary academic structure establishedbytheUniversityconsistingofsubstructuresasapprovedbythecouncil;

“council” means the governing body of the Universitycontemplatedinparagraph7;

“CSRC” means the central students’ representative councilcontemplatedinparagraphs41and42;

“days” includes Saturdays, Sundays and public holidays but“workingdays”excludesSaturdays,Sundaysandpublicholidays;

“deputy vice-chancellor”meansthepersonorpersonsappointedintermsofparagraph59readwithparagraph7(3)(b);

“diplomate”meansapersonwhohasobtainedadiplomafromauniversity;

“donor”meansaperson,bodyorentitywhohasmadeadonation,which, intheopinionofthecouncilwarrantsthatperson,bodyor entity being recognised as a donor as contemplated inparagraph67;

“due process”meansgivingtheaffectedpartytheopportunitytobeheard;

“employee”meansanypersonemployedbytheUniversity;

“employer”meanstheUniversity;

“fellow”meansapersontowhomafellowshiphasbeenawardedby the University in accordance with its rules and proceduresapplicableinthisregardfromtimetotime;

“functions”includepowersanddutiesandviceversa;

“graduate”meansapersonwhohasobtainedadegreefromauniversity;

“institution” means a public higher education institutioncontemplatedintheAct;

“institutional forum”meanstheinstitutionalforumcontemplatedinparagraph37andintheAct;

“management” means senior management as well asmanagementascontemplatedinparagraph53;

“Minister”meanstheMinisterresponsibleforHigherEducation;

“month”meansacalendarmonth;

“office bearer”meansa functionaryprovided for in theActordeterminedbythecouncil;

“professor”meansanacademicemployeewhohasbeengiventhetitleofprofessorbytheUniversityorbyanotheruniversity,butdoesnotincludeanemeritus,associateoradjunctprofessor;

“qualification” means a certificate or diploma awarded or adegreeconferred;

“rules”meanrulesmadebythecouncilascontemplatedintheAct;

“school”meansthegroupofacademicdisciplinesthatformthesecondaryacademicstructurewithinacollege;

“seat of the University”isasdefinedinparagraph2(2);

“semester” means an academic period at the UniversityconstitutingeitherthefirstorsecondhalfofayearasdeterminedbytheUniversity’ssessionaldates;

“senate” means the body responsible for academic matterscontemplatedinparagraph21;

“senior management” means senior management ascontemplatedinparagraph53(2);

“SRC”meansastudents’representativecounciloftheUniversitycontemplatedinparagraphs41and42;

“structure”meansanyorganisation,forumorbodyandincludesanyorganisationalentityprovidedfor intheActordeterminedbythecouncil;

“student”means a person registered for a qualification at theUniversity;

“support staff” means all employees other than academicemployees;

“University” means the University of KwaZulu-Natal whichincorporates the erstwhile University of Natal and University ofDurban-Westville;

“vice-chancellor”means the vice-chancellor contemplated inparagraph54(theterm“principal”mustbesynonymouswiththeterm“vice-chancellor”);

“year”meansacalendaryear.

UNIVERSITY

2. Name, seat and powers

(1) ThenameoftheUniversityistheUniversityofKwaZulu-Natal.

(2) The seat of the University is at Westville in the eThekwiniMunicipality where the activities of the University areprincipally administered. Subject to the provisions of theAct, the Universitymay carry out its functions beyond itsseat,onthecampusesandanypremisesunderitscontrol.

(3) TheUniversityisajuristicperson,ascontemplatedintheActandhasthepowersconferredonitintermsoftheActasreadwiththisStatute.

(4) Notwithstandingsubparagraph(3),theUniversitymaynot,without the concurrence of the Minister, dispose of, oralienateinanymanner,anyimmovablepropertyacquiredwith the financialassistanceof the Stateorgrant toanypersonanyrealrightthereinorservitudethereon.

(5) TheUniversitymayconferdegreesandhonorarydegreesandawarddiplomasandcertificates in itsownnameascontemplated in the Act.

3. Constitution of the University

(1) TheUniversityconsistsof:

(a) thechancellor;

(b) thecouncil;

(c) thesenate;

(d) thevice-chancellor,withinthemeaningoftheAct;

(e) twoormoreofficers,asthecouncilmaydetermine,eachofwhomiscalledadeputyvice-chancellor,orsuchothertitleasthecouncilmaydetermine;

(f) oneormoreregistrarsasdeterminedbythecouncil;

(g) theSRC;

(h) theinstitutionalforum;

(i) thecolleges,theirstructuresandsuchotheracademicstructuresoftheUniversityasmaybedeterminedbythecouncil;

(j) theacademicemployeesoftheUniversity;

(k) thesupportstaffoftheUniversity;

(l) thestudentsoftheUniversity;

(m) theconvocationoftheUniversity;and

(n) such other offices, bodies or structures as may beestablishedbythecouncil.

(2) No vacancy in any of the offices contemplated insubparagraph (1) or any deficiency in the numbers ordefect in the composition of the bodies or structurescontemplated in subparagraph (1) impairsoraffects theexistenceoftheUniversityasajuristicpersonoranyfunctionconferredbytheActorthisStatuteupontheUniversity.

CHANCELLOR

4. Functions of the chancellor

(1) ThechancelloristhetitularheadoftheUniversity.

(2) The chancellor, or in his or her absence, the personappointed to act on behalf of the chancellor, presidesoverallcongregationsoftheUniversityand,inthenameoftheUniversity,confersalldegreesandawardsalldiplomasandcertificates.

(3) Thechancellorperformssuchother functionsasassignedtohimorherbythecouncil.

5. Election and appointment of the chancellor

(1) Thechancellor is electedby thecouncil in the followingmanner:

(a) Thechairpersonofthecouncildeterminesthedateonwhichameetingofthecouncil is tobeheldforthepurposeofelectingachancellor;

(b) Thesecretarytothecouncilgivesduenoticetothemembersofthecouncilofthedate,timeofandvenuefor themeetingcontemplated in subparagraph (1)(a);

(c) Thesecretary to thecouncil invites themembersofthecouncil,thesenateandtheinstitutionalforumtosubmitnominationsfortheofficeofthechancellor;

(d) The nominations contemplated in subparagraph(1)(c) must reach the secretary to the council atleast 20 (twenty)working days before themeetingcontemplatedinsubparagraph(1)(a);

(e) Thenominationscontemplatedinsubparagraph(1)(c)mustbeinwritingandmustincludethenominee’swrittenconsentandasuccinctcurriculumvitae;

(f) The secretary to the council must, within 5 (five)

workingdaysaftertheclosingdatefornominations,inform members of the council, the senate andthe institutional forum in writing of the nominationsreceived;

(g) A special meeting of the institutional forum mustbe held before the meeting contemplated in subparagraph(1)(a)forpurposesofconsideringthenominations and advising the council prior to theelection meeting on the appointment of a candidate totheofficeofchancellor;

(h) Thechancellor iselectedbysecretballotandbyamajorityofthemembersofthecouncilpresentatthemeetingcontemplatedinsubparagraph(1)(a);

(i) If no candidate receives a majority of votes,successiveroundsofvotingareheld;and

(j) In each successive round of voting the candidatereceiving the fewest votes is eliminated as acandidate.

(2) After thecouncil haselectedachancellor, thenameofthe chancellor is announced by the chairperson of thecouncil.

6. Term of office of the chancellor

(1) Thechancellorholdsofficeforaperiodoffouryears,unlessheorsheresignsorisremovedfromofficeinaccordancewithsubparagraph(5).

(2) Apersonmaynotbeelectedaschancellorformorethantwoconsecutivetermsofoffice.

(3) Ifthechancellor isunable,foranyreason,toperformthefunctionsofhisorheroffice,or if theofficeofchancellorbecomesvacant, thevice-chancelloror theactingvice-chancellor and failing any of the aforementioned any

personappointedbythecouncilshallperformthefunctionsof the chancellor.

(4) Thetermofofficeofthechancellorterminatesintheeventof:

(a) deathorincapacity;

(b) resignation;or

(c) removalfromofficebythecouncil.

(5)

(a) thechancellormayonlyberemovedfromofficebythecouncil bymeansofa resolutionpassedbyatleasttwothirdsofthemembersofthecouncil.

(b) beforea resolutioncontemplated in subparagraph(a)aboveispassedafullymotivateddraftresolutionmustbelodgedwiththesecretaryofthecouncil.

(c) The secretary of the council must copy the draftresolutiontothechancellorwhomusthavetherightto respondto it inwritingwithin20(twenty)daysofreceipt of the document.

(d) 20(twenty)daysafterthenotificationcontemplatedin subparagraph (c) above, or on receipt of thechancellor’sresponse(whicheveroccurstheearlier)the secretary of the council must call a specialmeeting of the council in accordance with theprovisionsofparagraph15(2).

(e) At the special meeting contemplated insubparagraph (d) above the chancellor may withthepermissionofthechairpersonofcounciladdressthecouncilbeforeavoteontheresolutioniscalledfor.

COUNCIL

7. Functions of council

(1) SubjecttotheActandthisStatute,thecouncilgovernstheUniversity.

(2) Withoutderogating from thegenerality of subparagraph(1),thecouncil:

(a) makesrulesfortheUniversity;

(b) establishes thecouncilcommitteesanddeterminesthecompositionandfunctionsofeachcommittee;

(c) establishes, in consultation with the senate, jointcommitteesofthecouncilandthesenatetoperformfunctionswhicharecommontothecouncilandthesenate;

(d) appointsallemployeesof theUniversity,but, in thecase of academic employees of the University, itmaydosoonlyafterconsultationwiththesenate;

(e) determines the student admission policy of theUniversity,afterconsultationwiththesenate;

(f) determines, with the approval of the senate, theentrancerequirementsinrespectofparticularhighereducationprogrammes,thenumberofstudentswhomaybeadmitted foraparticularhighereducationprogrammeandthemannerof theirselection,andtheminimumrequirementsforreadmissiontostudyattheUniversity;

(g) may, with the approval of the senate, after eachexamination session exclude or refuse to renew orcontinuetheregistrationofastudentwhohasfailedtomeet theacademic requirements for continuedregistration;

(h) determines and provides student support servicesafterconsultationwiththeSRC;

(i) determines conditions of service, the disciplinaryprovisions and the privileges and functions of itsemployees, andmay, in themanner set out in thedisciplinaryrules,suspendordismissanyemployeeoftheUniversity;and

(j) mayorderanemployeewhomithassuspendedtorefrainfrombeingonanypremisesunderthecontrolof theUniversityand to refrain fromparticipating inany of the University’s activities or issue such otherconditionsasitmaydeemnecessary.

(3) Withoutderogating from thegenerality of subparagraph(1),thecouncil:

(a) may frame the institutional Statute and anyamendmentsthereto;

(b) appointstheseniormanagement;

(c) subject to the policy determined by the Minister,determines the language policy of the Universityafterconsultationwiththesenate;

(d) determines,afterconsultationwiththesenate,whichacademicstructuresarerequiredandthefunctionsof each structure, in order to ensure efficientgovernance;

(e) determines tuition fees, accommodation feesandanyother feespayableby studentsaswellasaccommodationfeespayablebyemployees;

(f) approvestheannualbudgetoftheUniversity;

(g) mayconcludeloanoroverdraftagreements,subjectto the proviso that the approval of the Ministeris required whenever the aggregate of existingborrowings plus the new contemplated borrowingexceeds5percentof theaverageannual incomeof the University during the two years immediatelyprecedingsuchagreement;

(h) may enter into an agreement for the constructionof a permanent building or other immovable infra-structural development, the purchasing ofimmovable property or the long term lease ofimmovableproperty,subjecttotheprovisothattheapprovaloftheMinisterisrequiredifthevalueofsuchdevelopmentorpropertyexceeds5percentoftheaverageannual incomeoftheUniversityduringthetwoyearsimmediatelyprecedingsuchagreement.

(4) Subject to theAct, thecouncilmaydelegateanyof thefunctionsreferredto insubparagraph(2),butthecouncilmay not delegate any of the functions referred to insubparagraph(3).

(5) The council is not divested of responsibility for theperformance of any function delegated undersubparagraph(4).

8. Composition of council

(1) Thecouncil,ascontemplatedintheAct,consistsof:

(a) thevice-chancellor;

(b) twomembersoftheseniormanagementelectedbytheseniormanagement;

(c) fivepersonsappointedbytheMinister;

(d) twomembersofthesenateelectedbythesenate;

(e) two permanent academic employees of theUniversity, who are not members of the senate atthetimeoftheirelection,electedbytheacademicemployees;

(f) two studentswhoaremembers of thecentral SRCandareelectedbythecentralSRC;

(g) twopermanentsupportstaffemployees,whoarenotmembersofthesenateatthetimeoftheirelection,electedbythesupportstaffemployees;

(h) thepresidentoftheconvocation;

(i) two members of the convocation elected by theconvocation;

(j) eleven members with a broad spectrum ofcompetence in the fields of education, business,finance, law, health, marketing, informationtechnology and human resource managementelected by the council which appointments aresubjecttoparagraph10(5);and

(k) such non-votingmembers as are co-opted by thecouncilforaperiodspecifiedbythecouncil.

(2) Atleast60percentofthevotingmembersofthecouncilmust be persons who are not employed by or are notstudentsoftheUniversityanddueregardmustbehadtotheracialandgenderrepresentationonthecouncil.

(3) The council members must have knowledge andexperiencerelevanttotheobjectsandgovernanceoftheUniversity.

(4) Exceptasprovidedinsubparagraphs(1)(a),(b),(d),(e),(f)and(g);

(a) no student or employee of the University and nootherpersoninreceiptofregularremunerationfromtheUniversityiseligibleforappointmentorelectionasamemberofthecouncil;and

(b) amemberofthecouncilwhobecomesastudentoranemployeeof theUniversityorwhoenters intoacontractwiththeUniversityintermsofwhichheorsheistoreceiveregularremunerationfromtheUniversity

mustbedeemedwitheffectfromsuchdate,tohavevacatedhisorherseatonthecouncil.

9. Election of council members

(1) Members of the council contemplated in subparagraph8(1)(j)aboveshallbeelectedinthefollowingmanner:

(a) the secretary of the council must not less than 20(twenty)daysbeforeanappropriatemeetingofthecouncilcallonmembersofthecouncil,thesenate,the convocation executive and the institutionalforuminwritingtoputforwardnominees;

(b) nominationsmustbemadeinwritingtothesecretarynotlessthan10(ten)daysbeforethecouncilmeeting;

(c) thecouncilatitsmeetingmustvoteonthebasisofasimplemajorityofmembersofthecouncilpresentatthemeeting;

(d) in the event that there is a tie in the voting inrespectofanyofthepositionsthosenomineeswhoreceived fewer votes than the tied nomineesmustbeeliminatedandafurthervotemusttakeplaceinrespectofthetiednominees.

(2) Ifthecouncilresignsascontemplatedinparagraph12(2),all members of the council are elected in the mannerdeterminedbytheadministratorreferredtointheAct.

10. Term of office of members of council

(1) Thevice-chancellorshallremainamemberofthecouncilforaslongasheorsheoccupiesthepost.

(2) Studentmembers of thecouncil remainmembers of thecouncil for the termof officedeterminedby the centralSRC when they are elected, provided that membership

ceasesautomaticallywhenastudentmemberceasestobe a member of the central SRC.

(3) Thetermofofficeofcouncilmemberswhoarenotstudentsor employees of the University, is notmore than 4 (four)yearsand, notwithstanding thedateof commencementoftheirtermofoffice,expireson30Juneintheirfourthyearon the council.

(4) ThetermofofficeofcouncilmemberswhoareUniversityemployees is not more than 3 (three) years and,notwithstandingthedateofcommencementoftheirtermofoffice,expireson30Juneintheirthirdyearonthecouncil.

(5) A member of the council serving in terms of any ofsubparagraphs8(1)(b)to(j)maynotserveassuchformorethantwotermsundertheapplicablesubparagraph.

11. Casual Vacancies

Intheeventofacasualvacancyonthecouncilforanyreasonotherthantheexpirationof thetermofofficeconcernedthenthesecretarytothecouncilshallgivenoticethereofinwritingtotheauthorityorbodyconcernedandshallfollowtheproceduresdeterminedby thecouncil forfilling thevacancy.Suchpersonshallbeelectedforafulltermofofficeasdefinedinparagraph10(3)or(4).

12. Termination of membership

(1) Notwithstandingtheprovisionsofparagraph10, thetermofofficeofacouncilmembershallterminateif:

(a) heorshetendersawrittenresignationtothesecretary;

(b) theMinister,orentitywhoappointedorelectedthemembertothecouncil,terminatesthemembershipinwritingatanytimebeforetheexpiryofthemember’stermofoffice;

(c) heorsheisabsentfromthreeconsecutivemeetingswithoutleaveofthecouncil;

(d) he or she is declared insolvent and the majorityof council members disapproves the member’scontinuation;

(e) heorsheisfoundguiltyofanoffenceinastafforastudentdisciplinaryprocesswhich, in theopinionofthecouncil,isseriousenoughtowarrantterminationofmembership;

(f) heorsheisremovedfromanofficeoftrustbyacourtof lawor is convicted of an offence forwhich thesentenceisimprisonmentwithouttheoptionofafine;

(g) he or she is otherwise disqualified in terms of thisstatute;or

(h) following due process, a sanction of removal fromthecouncil is imposedbythecouncilonhimorherbyreasonofacontraventionofthecouncil’scodeofconduct.

(2) If75percentormoreofthemembersofthecouncilresign,thecouncilisdeemedtohaveresignedascontemplatedin the Act.

(3) Ifthecouncilresignsascontemplatedinsubparagraph(2)anewcouncilmustbeconstitutedintermsofthisStatuteand/ortheActasthecasemaybe.

13. Election of chairperson and vice-chairperson of council and term of office

(1) Thecouncilmustelectachairpersonandvice-chairpersonfromthemembersofthecouncilwhoareneitherstaffnorstudents.

(2) The chairperson and the vice-chairperson of the council

are elected for a period of 2 (two) years provided thatneithermustbeeligibleforelectionafterholdingofficefortwoconsecutiveterms.

(3) Nominationsbymembersof thecouncil for theofficeofthe chairperson and the vice-chairperson of the councilmustbeinwritingandbedirectedtothesecretarytothecouncil.

(4) If more than one candidate is nominated, voting is bysecretballot.

(5) Eachmemberof thecouncilhasonlyonevoteduringaballotandnoproxyisallowed.

(6) Amajorityofallmemberspresentelects thechairpersonandthevice-chairperson.

(7) Whenever the termofofficeof thechairpersonorof thevice-chairperson is due to end the secretary must givenoticethereofatanordinarymeetingofthecouncilandthecouncilmusttakethenecessarystepstoelectasuccessor.Theretiringchairpersonorvice-chairpersoniseligibleforre-electionsubjecttotheprovisionofparagraph13(2).

15. Meetings of council

(1) Ordinarymeetings

(a) The ordinarymeetings of the councilmust be heldwhenandwherethecouncildecides,providedthatat least four ordinarymeetingsmust be held eachyear.

(b) Any motion for consideration at the next ordinarymeeting must be in writing and must be lodgedwith the secretary at least 21 (twenty one) daysbeforethedatedeterminedbythecouncilforsuchmeeting, provided that any matter of an urgentnaturemay,withoutpriornotice,byconsentof thechairpersonandamajorityofthememberspresent,beconsideredatsuchmeeting.

(c) Atleast7(seven)dayspriortothedateofanordinarymeeting, the secretarymustgive in the formofanagenda with appropriate supporting documentsduenoticetoeachmemberofallthematterstobedealtwithatsuchmeetingandmuststatethetime,dateandplaceofsuchmeeting.

(2) Specialmeetings

(a) Aspecialmeetingmaybecalledatanytimebythechairperson.

(b) Aspecialmeetingmustbecalledbythechairpersonattherequestinwritingofatleastfivemembers.Theobjective of such meeting must be clearly statedin the request.At least 7 (seven)days’ noticeof aspecialmeetingmustbegiven.

(c) No business other than that for which the special

(a) An emergency meeting may be called by thechairperson, or in his or her absence, by the vice-chancelloratanytime,providedthatmembersaregivenat least24(twentyfour)hours’noticeofsuchmeeting.

(b) Noticeofanemergencymeetingmaybegiven inanymannerconvenientunderthecircumstances.

(c) Theobjectofanemergencymeetingmustbestatedtomembersandnobusinessotherthanthatstatedmaybetransactedatsuchmeeting.

(4) The quorum for all meetings of the council shall be asimplemajorityof themembersof thecouncil,excludingvacancies.

16. Procedures of council meetings

(1) ThecouncilmembersmustparticipateinthedeliberationsofthecouncilinthebestinterestsoftheUniversity.

(2) Subject to theprovisions of this Statute amajority of thepersons holdingofficeasmembers of thecouncil at thedateofthemeetingofthecouncilmustformaquorumforsuchmeetingandadecisionbythemajorityofmembersofthecouncilpresentatthemeetingthereofmustconstituteadecisionofthecouncil.

(3) In the absence of the chairperson, the vice-chairpersonmustactaschairpersonofthecouncilandintheabsenceofthechairpersonandthevice-chairpersonofthecouncil,thememberspresentmustelectoneoftheirmembersto

(4) Thefirstactofanordinarymeeting,afterbeingconstituted,must be to read and confirm by the signature of thechairperson the minutes of the last preceding ordinarymeeting and of any specialmeeting subsequently held,provided that themeetingmay consider theminutes asreadifacopythereofwaspreviouslysenttoeverymemberof the council, provided further that if objections to theminutes of ameetingare raised thesemust bedecidedbeforeconfirmationoftheminutes.

(5) Amemberofthecouncilmaynot,withouttheconsentofthemeeting,speakmorethanoncetoamotionortoanyamendment.Themoverofanymotionoranyamendmenthastherightofreply.

(6) Everymotionoranamendmentmustbesecondedand,ifsodirectedbythechairperson,mustbeinwriting.

(7) Amotionoranamendmentsecondedascontemplatedinsubparagraph(6),maynotbewithdrawnexceptwiththeconsentofthemeeting.

(8) The chairperson has, on anymatter, a deliberative voteand, in theeventofanequality of votes, alsoacastingvote.

(9) If so decided by the meeting, the number of membersvotingfororagainstanymotionmustberecordedintheminutes, andadditionally at the request of anymemberthechairpersonmustdirectthatthevoteofsuchmemberbe recorded.

(10) Whenamajorityof themembersof thecouncil reachesagreement on a matter referred to them by letter orelectronicmeansbythechairperson,withoutconveningameeting,andconveyssuchresolutionbyletterorelectronic

(11) The views of amember of the council who is unable toattend a meeting may be submitted to the meeting inwritingbutmaynotcountasavoteofsuchmember.

(12) The ruling of the chairperson on a point of order orprocedure is binding unless immediately challenged byamember, inwhicheventsuchrulingmustbesubmittedwithoutdiscussiontothemeetingwhosedecisionisfinal.

(13) The proceedings of council meetings are confidentialunlessdirectedotherwisebythecouncil.

17. Conflict of interest of council members

(1) A member of the council who has a direct or indirectfinancial, personal or other interest in any matter to bediscussedatameetingandwhichentailsormayentailaconflictorpossibleconflictofinterestmust,beforeorduringsuchmeeting,declaretheinterest.

(2) Any person may, in writing, inform the chairperson of ameeting,beforeameeting,ofaconflictorpossibleconflictofinterestofacouncilmemberofwhichsuchpersonmaybeaware.

(3) Nomember of the councilmust vote upon or take partin thediscussionofanymatter inwhich heor shehasaconflict,orapossibleconflict,ofinterestandthememberconcernedmustrecusehimorherselffromthemeetingofthecouncilforthedurationofsuchdiscussionandvotingunlessthecouncildecidesotherwise.

18. Committees of council

(1) Thecouncilmustappoint:

(a) anexecutivecommittee;

(b) anauditandriskcommittee;

(c) afinancecommittee;and

(d) suchothercommitteesasmayberequired.

(2) Subjecttotheprovisionscontainedherein,thecomposition,mannerofelection,functions,procedureatmeetingsanddissolution of a committee must be determined by thecouncilbywayofrules,providedthatintheabsenceofthecouncildeterminingproceduralrulesforacommittee,therulesofprocedurewhichgoverns thecouncilmustapplymutatis mutandis to the committee concerned.

(3) Atleastonehalfofthemembersofthecommitteesreferredto in subparagraphs (1)(a) to (c)abovemustbepersonswhoarenotemployeesorstudentsoftheUniversity.

(4) The chairperson of a committee is appointed by thecouncilforthedurationofhisorhertermofofficeonthecommitteeoruntilremovedbythecouncil.

(5) Thechairpersonofacommitteereferredtoinsubparagraphs(1)(a)to(c)abovemaynotbeanemployeeorastudentoftheUniversity.

19. Minutes of council and committee meetings

The secretary to the council must keep the minutes of eachmeeting of the council andmust include suchminutes in theagendaof thenextcouncilmeetingwhen theagenda is sentoutintermsofparagraph15(1)(c).

21. Functions of senate

(1) SubjecttotheAct,thesenateisaccountabletothecouncilfor all the teaching, learning, research and academicfunctionsoftheUniversityandallotherfunctionsdelegatedorassignedtoitbythecouncil.

(2) Withoutderogating from thegenerality of subparagraph(1)thesenate:

(a) mustorganiseandcontroltheteaching,examinationsandresearchoftheUniversity;

(b) ifdelegatedtodosobyresolutionofthecouncil,maymakeoramendany rule relating to thecurriculumfortheobtainingofanydegree,diploma,certificateor other qualification, but may do so only afterconsulting the relevant academic affairs board ascontemplatedinparagraph33;

(c) if delegated to do so by resolution of the council,maymakeoramendanyrulerelatingtothemannerinwhichstudentsaretobeexamined;

(d) mustdeterminethestandardofproficiencyrequiredtobeattainedinanymodeofassessmentthatmaybeused inorder to satisfy the requirements for theobtainingofadegree,diploma,certificateorotherqualification;

(e) mustadvisethecouncilondisciplinarymeasuresandrulesconcerningstudents;

(f) may make recommendations to the councilregardingthecollegetowhicheachschoolorotheracademicstructurebelongs;

(g) may make recommendations to the councilregardingtheestablishmentanddisestablishmentofcolleges,schoolsandotheracademicstructures;

(h) must determine, in accordance with any relevant

(i) mustdeterminetheprinciples,conditionsandcriteriafortheawardofscholarshipsandacademicprizes;

(j) may establish committees to perform any of itsfunctions and may appoint persons, who arenot members of the senate as members of suchcommittees,provided thata singlepersonmay forthis purpose be deemed to be a committee. Thecomposition,mannerofelection,functions,procedureat meetings and the dissolution of the committeemustbedeterminedbythesenate,providedthatintheabsenceof the senatedeterminingproceduralrulesforacommittee,therulesofprocedurewhichgovern thecouncilmustapplymutatis mutandis to thecommitteeconcerned;and

(k) may delegate or assign any of its functions to acommittee, provided that it may not delegate orassign a function delegated to it by the councilwithouttheagreementofthecouncil,andprovidedfurther that the senatemust remain responsible forthe performance of any function so delegated orassigned.

(3) Thesenatemust:

(a) carryoutsuchotherfunctionsasthecouncilassignstoit;

(b) submittothecouncilsuchreportsonitsworkasmayberequiredbythecouncil;and

(c) make recommendations to the council onmattersreferredtoitbythecouncilandonanyothermattersaffectingtheUniversityasitconsidersnecessary.

(4) Thesenatemay,intermsoftherules,canceltheregistrationofastudentinalloroneormoreofthemodulesforwhichthestudentisregisteredinthatsemesterifintheopinionofthesenate,havingdueregardtotherules,theprogressionof the student and the academic achievement of thestudentissuchthatthestudentmaynotattheendofthesemesterobtaincredit insuchmoduleormodules,asthecasemaybe.

22. Participation in the senate and removal of membership

(1) Membersofthesenatemayparticipateinthedeliberationsofthesenate.

(2) FailuretoactinthebestinterestoftheUniversityordisplayingbehaviourthatbringstheUniversityintodisreputemayresultintheremovalofamemberfromthesenatefollowingdueprocess.

(3) In the event of it becoming necessary to remove amemberof thesenate inaccordancewiththeprovisionsof subparagraph (2) above the provisions relating todisqualificationofmembershipofthecouncilmustmutatis mutandisapply.

23. Composition of senate

(1) Thesenate,subjecttotheprovisionsoftheAct,consistsof:

(a) thevice-chancellor;

(b) thedeputyvice-chancellors;

(c) theexecutiveresponsibleforstudentservices;

(d) onerepresentativefromthecouncilwhomustnotbeeitheranemployeeorstudentandwhoiselectedbythecouncil;

(e) thechairofthesupportservicesboard;

(p) afellowoftheUniversitywhoisapermanentmemberof theacademic staff of theUniversity, electedbythefellows;

(q) six student representatives, one from each of thecampuses, duly elected by the local SRC for thatcampus, and one student representative fromthe central SRC having been duly elected by thatcouncil;

(r) such additional members as are approved by thesenate.

(2) The majority of senate members must be academicemployees.

(3) Themannerofelectionorappointmentasthecasemaybe ofmembers of the senate is as determinedby eachconstituency.

24. Term of office of members of senate

(1) Members appointed in terms of subparagraphs 23(1)(a),(b), (c), (f), (g), (j), (k), (l), (m) and (n) must hold officeforas longastheyareemployedbytheUniversity inthatcapacity.

(2) Thetermofofficeofmembersreferredtoinsubparagraph23(1)(o) and (p) is not more than 3 (three) years and,notwithstandingthedateofcommencementoftheirtermofoffice,expireson31Decemberintheirthirdyearonthesenate.

(3) Members appointed in terms of subparagraphs 23(1)(e),(h)and(i)mustholdofficeforaslongastheyholdofficeaschairperson.

(4) The term of office for student members referred to inparagraph 23(1)(q) is determined by the SRC, providedthat membership automatically lapses when a studentceasestobeamemberoftheSRC.

(5) Whereamemberwhohasbeenelectedorappointeddies,resignsorvacatesofficeforanyreasonincludingtheexpiryofhisorhertermofoffice,thesecretarytothesenatemustnotifytheauthorityorbodythathasappointedorelectedsuchmemberofthevacancy,andmust,ifintheopinionofthechairpersonofthesenateit isreasonablypracticabletodoso,requestsuchauthorityorbodytoappointorelectasuccessor.

(6) Thesuccessorholdsofficeforafulltermofofficeasspecifiedinparagraphs24(1)to24(4)above.

25. Chairperson, vice-chairperson and secretary to senate

(1) The vice-chancellor is the chairperson of the senate ascontemplatedbytheAct.

(2) The vice-chairperson of the senate is a deputy vice-chancellorelectedbythesenateassuch.

(3) Thesecretaryof thesenate is the registrardesignatedbythesenateassuch.

(4) The chairperson presides at themeetings of the senate.The meetings of the committees of the senate must bechaired by the vice-chancellor if the senate considersitappropriate forhimorher todo soalternativelybyanappropriatepersondesignatedbythesenate.

(5) Thechairpersonmustperformsuchotherfunctionsasthesenatemaydetermine.

(6) In the absence of the chairperson, the provisions of thisparagraph must apply to the vice-chairperson whereappropriate.

(7) Thesecretaryperformsthosefunctionsassignedtohimorherbythesenate.

(8) If both the chairperson and the vice-chairperson areabsent,thesenatemustelectfromamongstitsmembers,achairpersonforthemeetingconcerned.

26. Senate meeting procedure and conflicts of interest

The procedure applicable to meetings of the council isapplicable mutatis mutandistothemeetingsofthesenate.

27. Committees of senate

(1) Thesenateappointsanycommitteesasmayberequired.

(2) Thecompositionandfunctionsofthecommitteesmustbedeterminedbythesenate.

28. Joint committees of council and senate

29. Establishment of colleges

The council, after consultation with the senate, may establishcollegesincorporatingsuchcognateschoolsasdeterminedbythe council from time to time.

30. Composition of the college management committee

(1) Each college must have a management committeecomprising:

(a) thedeputyvice-chancellorandheadofcollege;

(b) thecollegedeanofresearch;

(c) thecollegedeanofteachingandlearning;

(d) theheadsofallschoolsinthecollege;

(e) thedirectorofcollegeprofessionalservices;and

(f) such non-voting persons as are co-opted by thecommittee.

(2) Thedeputyvice-chancellorandheadofcollegemustbethechairpersonofthecommittee.

(3) Intheeventoftheabsenceofthechairperson,themembersodesignatedby thechairperson shallchairmeetingsofthe committee.

31. Functions of the college management committee

Thecollegemanagementcommitteemust:

(1) provide strategic and operational leadership andmanagementofthecollege;

(2) supervisethebudgetallocatedtoitfordevolutionamongsttheschools;

(a) recommend to the council and the senate theestablishment, and discontinuation, of academicprogrammes and changes in such programmes orcurricula;

(b) recommend to the senate the establishment ofschoolboardsinthecollege;

(c) advisethesenate,orwhereappropriatethecouncil,onnew,oramended,rulesproposedbythecollege;

(d) recommend to the relevant authority theappointmentofpersonstohonorarypositionsattheUniversity;

(e) registerstudentswhoseacademicachievementsarenotincompliancewiththerules;

(f) registerstudentssubjecttospecialconditions;

(2) The appointment of representativesmust be transparentanddemocratic and each constituencymust follow theselectionprocedurewithinitsownconstituencyandsubmitthenamesofitsrepresentativestotheregistrar.

(3) The term of office ofmembers is up to 4 (four) years asdeterminedbyeachconstituency.

(4) Paragraph12applies,mutatis mutandis,totheterminationofmembershipofthemembersoftheinstitutionalforum.

39. Office bearers of the institutional forum

The institutional forum must elect from among its membersa chairperson and a deputy chairperson from the membersappointedintermsofsubparagraph38(1)(d)or(e).Theregistrarshallserveassecretarytotheinstitutionalforum.

40. Meetings and meeting procedure of the institutional forum

(1) The number of meetings must be determined by theinstitutionalforum.

(2) Themajorityofthemembersoftheinstitutionalforummustformaquorum.

41. Student representation

ThestudentsoftheUniversityarerepresentedinmattersthataffectthembyacentralstudents’representativecouncil(“CSRC”)andlocalSRCs(“LSRC”).Thecentraland localSRCswillcollectivelybereferredtoasSRCs.

42. Composition of SRCs

(1) ThestudentsoftheUniversityasawholemustberepresentedbytheCSRC.

(2) EachcampusoftheUniversitymusthaveitsownLSRC.

(3) TheLSRCsaresubordinatetotheCSRC.

(4) TheCSRCmusthaveitsseatattheseatoftheUniversityascontemplatedinparagraph2(2).

43. Election and membership of SRCs

(1) ElectionsforSRCsmustbetransparentanddemocratic.

(2) The CSRC and LSRCs must be elected or appointed asthecasemaybeinaccordancewiththeprovisionsoftheconstitutionof theSRC,asapprovedbythecouncil fromtime to time.

(3) OnlystudentswhohavebeenregisteredwiththeUniversityforatleastonesemesterforaformalprogrammeofstudyrecognised by the senate are entitled to nominate acandidate,benominatedasacandidateorvote in themannerprescribedbytheSRCconstitution.

(4) A term of office of a member of an SRC expires if thatstudent’sregistrationceasesforwhateverreason,orifthememberhasbeenfoundguilty intheirpersonalcapacityofanoffenceundertherulesforstudentdisciplineorina

44. Functions of the SRCs

(1) ThefunctionsoftheCSRCinclude:-

(a) liaisonwiththecouncil,thesenate,themanagement,the general public, other higher educationinstitutions,students’representativecouncilsofotherhighereducationinstitutions,nationalorinternationalstudentorganisations,unionsandnewsmedia;

(b) being the umbrella organisation for all studentcommittees,clubs,councilsandsocieties,grantingorwithdrawingrecognitionofsuchstudentcommittees,clubs,councilsandsocietiesasitdeemsappropriate;

(c) the co-ordination and supervision of the use ofstudents’facilitiesandallmatterspertainingthereto,inconjunctionwiththeUniversitymanagement;

(d) the convening and conducting of all authorisedmeetings of the student body and being themanagingbodyinallgeneralreferendaandpetitionsorganisedbythestudentswithintherules;

(e) appointingsuchoffice-bearersandestablishingsuchcommitteesasitdeemsnecessary;

(f) the organisation and promotion of extramuralactivitiesamongstudents;

(g) keepingaccountofallmoneyspaidovertoitbythecouncilandanyothermoneys,whichmayaccruetoitinitscapacityastherepresentativeofstudents;

(h) allocatingordisbursingsuchfundsforusebystudents,and making grants to approved student clubs,committees,societiesandcouncilsinpursuitofbona fidestudentfunctions;

(l) the recommendation to the council of rules todeterminetheconductofitsaffairs;

(m) suchadditional functionsandprivilegesasmaybespecificallyconferreduponitbythecouncil.

(2) ThefunctionsoftheLSRCsarethoseprovidedforintheSRCconstitutionand/or asmaybedesignated to them fromtimetotimebytheCSRC.

45. Office bearers of the SRCs

(1) TheCSRCelects fromamong itsmembersapresident toactaschairpersonandadeputypresidenttoactasdeputychairperson.

(2) The LSRCs each elect from among their members apresidenttoactaschairpersonandadeputypresidenttoactasdeputychairperson.

(3) Theconstitutionof theSRCasapprovedbycouncilmustprovide for the functionsof other officebearersand theelectionofsuchofficebearersintheSRCs.

46. Term of office of SRC members

The termofofficeofmembersof thecentraland localSRCs is1(one)calendaryearorasthecouncilmaydeterminefromtimeto time.

CONVOCATION

49. Membership of convocation

(1) Theconvocationconsistsofthevice-chancellor,thedeputyvice-chancellor(s), the registrar(s), academic employeesas set out in subparagraph (2) and all persons who areor become graduates or diplomates of the University orits predecessors and such other persons as the council,in consultation with the convocation executive, maydetermine.

(2) Academic employees on the permanent staff of theUniversity, professors emeriti and retired academicemployeesaremembersoftheconvocation.

(3) Shouldthenameofapersonappearontheconvocationrollitmustbeprima facieproofofhisorhermembershipoftheconvocationandofhisorherentitlementtovote.

(4) The names of new graduates and diplomates of theUniversity are deemed to have been inscribed in theconvocation roll after degrees have been conferred ordiplomashavebeenawarded.Memberssoregisteredarerequiredtofurnishtheiraddressestothestatutorysecretaryandtonotifyhimorherofanychangeofaddress.

50. Composition of the convocation executive

Theconvocationexecutivemustconsistof:-

(1) Thepresidentwhoactsaschairpersonatallitsmeetings.

(2) Thetwoelectedconvocationmembersonthecouncil.

(3) Theregistrarwhomustactasstatutorysecretary.

(4) Thevice-chancellorasanexofficiomember.

(5) Suchadditionalmembersasmaybeprovided for in the

(1) ThreeconvocationmemberswhoarenotstaffmembersorstudentsoftheUniversitymustbemembersofthecouncil.

(2) Thepresidentofconvocationmustbethefirstconvocationmember of the council.

(3) Convocationintermsofitsconstitutionmustelectthetwootherconvocationmembersonthecouncil.

52. Constitution of convocation

(1) Thecouncilmustapprovetheconstitutionforconvocation.

(2) Theconvocationconstitutionmustprovide forallmattersrelating to the election and terms of office of theconvocation executive and its representatives on thecouncilandforthefunctionsoftheconvocationandtheconvocationexecutivetogetherwithsuchotherprovisionsasthecouncilmayconsiderappropriatewithinthecontextofthisStatuteandtheAct.

MANAGEMENT AND SENIOR MANAGEMENT

53. Management and senior management

(1) Management means, for the purpose of the Act, seniormanagementaswellasmanagementasdeterminedbythe council.

(2) Seniormanagementmeans, for the purpose of the Act,the vice-chancellor, the deputy vice-chancellors, theregistrarortheregistrars,theexecutivedirectorsandotheradministrativepositionsdeterminedby thecouncil tobeexecutivepositions.

54. Vice-chancellor

Thevice-chancelloristhechiefexecutiveofficeroftheUniversity.

55. Functions of the vice-chancellor

(1) Thevice-chancellorandprincipalisresponsiblefortheday-to-daymanagementandadministrationof theUniversityandhasallthepowersnecessarytoperformthesefunctions.

(2) Thevice-chancellorreportstothecouncil.

(3) Bywayofhisorherofficethevice-chancellorisamemberofallthecommitteesofthecouncilandthesenate.

(4) The council may assign additional functions, and grantadditionalpowersandprivilegestothevice-chancellor.

(5) When the vice-chancellor is absent or unable to carryouthisorherduties foranextendedperiodofabsence,the council may appoint a vice-principal from amongstthe deputy vice-chancellors to act in place of the vice-chancellorduringhisorherabsence. Inthecaseofshortabsencesonbusiness,vacationorillnessthevice-chancellormaydelegatehisauthorityintermsofparagraph58.

56. Appointment of the vice-chancellor

SubjecttotheAct,theadvertisingofthepostofvice-chancellor,theinvitationfornominationofcandidates,thesearchforsuitablecandidates,thecriteriafortheshort-listingofcandidatesandtheinterviewingandappointmentprocessesaredeterminedbythecouncil.

57. Term of office of the vice-chancellor

The council appoints the vice-chancellor for such period asagreeduponinhisorhercontract.

58. Delegation of authority

Thevice-chancellormaydelegateanyofthepowersassignedordelegatedtohimorherbythecouncil toanyofficeroftheUniversityexceptwherethecouncildecidesotherwise.

59. Executive management committee

The deputy vice-chancellors, the registrar or registrars andothermembersof seniormanagementarecollectively termedthe executive management committee and are responsiblefor assisting the vice-chancellor in the management andadministrationoftheUniversity.

60. Appointment

Subject to theAct, thecouncilappointsemployeesaccordingtothestaffingpoliciesoftheUniversityasdeterminedintherules.

61. Conditions of employment

Theconditionsofemployment,includingthedeterminationandreviewofsalariesofemployeesandallotherformsofremunerationareapprovedbythecouncilaccordingtotheUniversity’spolicyasdeterminedintherules.

62. Evaluation and development

All employees of the University are subject to continuousevaluationanddevelopmentintheperformanceoftheirduties.

63. Employees’ discipline

Everyemployee is subject toadisciplinarycode,adisciplinaryprocedure and a grievance procedure for employees, asapprovedbythecouncilanddeterminedintherules,whichserveasanintegralpartofeveryemployee’sconditionsofservice.

64. Collective agreements

CollectiveagreementsascontemplatedintermsoftheLabourRelationsActof1995(asamended)maybeenteredintobythemanagement.

65. Admission and registration of students

(1) Apersonmaybepermittedbythecounciltoregisterasastudentonly ifheorshesatisfiesthe legalandacademicrequirements,ifany,foradmissiontostudyattheUniversityand,further,satisfiesanyotherrequirementsforadmissionthatmaybedeterminedbythecouncilandlaiddownintherules.

(2) Therequirementsforadmissionofastudenttotheuniversityaresetoutintherulesandmaybechangedbythecouncilafterconsultationwiththesenate.

(3) Astudent is registeredfor1(one)yearor forsuchshorterperiod as the council may determine in general or in aparticularcase.

(4) Inorderforastudenttorenewhisorherregistrationafterthe expiry of the period contemplated in subparagraph(3), thestudent is requiredtocomplywithanyconditionssetbythecouncil.

(5) Thecouncilmayrefusetoallowtherenewalofregistrationifa student fails tomeet theconditionscontemplated insubparagraph(4).

(6) The conditions contemplated in subparagraph (4) mayincludethepaymentofoutstandingfees.

66. Student discipline

(1) The disciplinary measures and discipline provisionsapplicabletothestudentsaresetoutintherules,andmaybe changed by the council after consultation with thesenateandtheSRC.

67. Award of qualifications

(1) Degreesareconferredanddiplomasandcertificatesareawardedatacongregationwhich shallbeheldat leastonceayearonadatetobeannouncedatthebeginningofeveryacademicyear.

(2) The chancellor, or in his or her absence, the vice-chancellororadeputyvice-chancellor,shallpresideatacongregation.

(3) Apersonisnotentitledtoanyprivilegeconferredbyanydegree before he or she has been admitted to such adegree,or toanyprivilegeconferredbyanydiplomaorcertificate before he or she has been awarded such adiplomaorcertificateatacongregation.

(4) Thecouncil,inconsultationwiththesenate,hasthepower

to withdraw the conferment of any degree, diploma,certificateorotherqualificationthatwasconferredinerroror if the recipientof suchdegree,diploma,certificateorother qualification had committed a dishonest act inconnectionwith theobtainingof suchdegree, diploma,certificateorotherqualification.

69. Drafting, amending or rescinding the Statute

(1) Nomotion to amend, rescindor redraft the Statute is offorceandeffectunlessadoptedbyatleast75%ofmembersofthecouncilpresentatthemeeting,providedthatsuchmeetingisconstitutedbyatleastonehalfplusoneofthetotalnumberofmembersofthecouncil.

(2) Anymotiontoamend,rescindorredrafttheStatutemustbeinaccordancewiththeprovisionsoftheAct.

70. Issue of notices

The inadvertent failureoromissiontogivenoticeasprescribedin this Statute to any person entitled to receive it, or the non-receipt of such noticebyanyperson, does not invalidate theproceedingstowhichsuchnoticerelates.

71. Numerical fractions

Where thenumerical fractionofanumber is prescribed in thisStatuteandwherethisisnotanintegralnumber,thenexthigherintegralnumbermustbetakentobetheprescribednumber.

72. General and transitional provisions

(1) AnythingdoneundertheStatutesrelatingtotheUniversity’spredecessors or the Standard Institutional Statute asenvisaged in terms of the Act before this Statute cameintooperation isdeemed tohavebeendoneunder thecorrespondingprovisionofthisStatute.

(2) Thecouncil,thesenate,thecollegeboards,theinstitutionalforum and the convocation which existed prior to thecommencement of this Statute continue to exist andperformthefunctionswhichtheyperformedpriortosuchcommencement, butmust complywith theprovisions ofthisStatutewithin12monthsafterthecommencementof
