IntroductionOn November 27, 2006, the New Brunswick Securities Com-mission (the Commission) approved publication in order to ob-tain comments on the proposed NI 41-101 rule and the relatedconsequential amendments arising from the repeal of the cur-rent version of NI 41-101.

Summary of proposed RuleThe purpose of the proposed NI 41-101 rule is to create a com-prehensive, seamless and transparent set of national prospectusrequirements for all issuers including investment funds. Thepurpose of adopting the consequential amendments is to con-form other related national instruments and policies to the pro-posed Rule. The proposed NI 41-101 Rule is based on three general princi-ples:

a) harmonization and consolidation of prospectus require-ments across Canada;b) harmonization with other regulatory instruments; andc) reflect current policy.

The proposed NI 41-101 rule and the consequential amend-ments are another step towards harmonizing the prospectus andcontinuous disclosure requirements across Canada.

Summary of RulesNI 55-102 sets out the requirements and procedures relating tothe electronic filing of various insider reports, such as InsiderProfile, Insider Report, Issuer Profile Supplement, Event Re-port and User Registration Form. All reporting issuers, with theexception of mutual funds, are subject to the Instrument. Theyare required to file insider reports within the prescribed timelineand to keep their profile current. There are no filing fees associ-ated with SEDI filings.

Effective DateII 55-804 adopting NI 55-102 comes into force on December29, 2006.
