Introduction

1.1. Background InformationKenyan Rift Valley is an expansive region covering a total area

of 171,114 km2

[29.95% of Kenyan land mass it is bigger than

the whole of Israel which is only 20,770 km2

(approximately the

same size with the combination of Baringo, Nakuru, Kericho &

Bomet Counties only, but of course, a developed nation), also

bigger than the whole of South Korea which is only 98,480 km2

(but very wealthy than the whole of Kenya), also bigger than

the whole of Singapore which is only 693 km2

(smaller than

Bomet County and without any mineral resources, but similarly

very wealthy than the whole of Kenya). Rift Valley is compost of

14 counties and has close proximity to both Indian Ocean andlandlocked East African countries, and its Nakuru County being

strategically situated at national population-wise and transport

infrastructural network central point. It is one of the regions

with high demographic trends catalyzed by high fertility rates

and population size. According to 2009 population and housing

census, the region is compost of over 10 million people.

Geographically, the region is compost (contains) of 45% of the

national arable land, and has all the climatic/agro-ecological

zones i.e. arid, semi-arid, grassland/tropical-savanna and

woodland/rainforest/high altitude zones. It has enormous

rechargeable underground water reserves i.e. aquifers that are

enough to irrigate the whole of Rift Valley land mass including

the whole of arid Turkana county, the aquifers are namely: (1)

Mt. Kilimanjaro aquifer, (2) Rift aquifers (these includes: L.

Naivasha basin basal aquifer linked to L. Magadi and L. Bogorisa

via Menengai, L. Baringo aquifer linked to Logipi springs, Ma

Complex aquifer extending to Uasin Gishu County and

Victoria), and (3) Mt. Elgon aquifer that extend to cover 2/3 o

Turkana county, and (4) finally proximity to Merti aquifer whic

can be used to irrigate Samburu county in cooperation wit

Isiolo County residents. It has substantial mineral deposit

which include: carbon dioxide, corundum (ruby), diatomit

fluorspar, garnets, gold, gypsum, limestone, soda/soda ash/sa

and over 9.5 billion barrels (worth over Kshs 48 trillion) o

potential underground oil reserves (more than oil reserves i

both South Sudan and Sudan which is totaling 6 billion barrels

sports talents, water towers and water bodies are also plent

Due to its unique geography, the region is suitable for almost a

socio-economic and advanced industrial activities. In terms o

infrastructure, it has relatively good railway network, roa

network traversed by Northern Corridor, and regional airstrip

and an international airport & close proximity to othe

international airports namely: Kisumu International Airport an

Jomo Kenyatta International Airport. It is a fact, it is endowe

with enormous natural and artificial resources that requir

harnessing for sustainable socio-economic developmen

creating employment opportunities, generating incom

reducing poverty and improving livelihoods and fostering selreliance of United Counties of Rift Valley (UCRV), Kenya an

beyond.

Kenya has enacted a new constitutional and legislations tha

provides an enabling environment for community resourc

mobilization and development. Therefore, there is need for th

professionals, political leadership and everybody else to team

up and mobilize their communities towards sustainab

community development. It is upon th

strategists/innovators/designers and the influential persons t

take-up the challenge of redirecting energies and resource

towards realization of social goods. Thus, Rift Valle

Professional Forum & Rift Valley Youth Forum have develope

the concept note here-is to act as the starting point in socio

economic advancement, and strengthening of social-cohesio

and promotion of social justice and human rights in the United

Counties of Rift Valley.

Kenyan economic growth is largely driven by thriving micro

enterprises and small and medium enterprises (SME),

however, farm produce prices at the production point remains

relatively much low as compared with the high cost of farm

production and consumer goods/foods and services. Why low

farm produce price at production point and high cost of farm

production and consumer goods/foods/services? The reason is

micro enterprises and SME!!! The more the chain (or linked

SMEs) of small enterprises operating in between the farmer

and eventual consumer, the lower the price the first buyer

buys from the farmer and the higher the price of the farm

produce at the tail end of the chain which is the eventual

consumer, and in the same manner in the opposite direction

for farm inputs (as the farmers are the consumers of farm

inputs). Every SME along the marketing/supply chain needs to

make huge/substantial profits at the expense of the eventual

consumer and original producer (farmer/manufacturer/mining

investor/entertainer/athlete). As is SME the cause of highprizes for consumer goods, small scale farming is the culprit

behind high cost of food due to its uneconomical farming

methods and lack of economies of scale i.e. high cost of food

production. Therefore, to improve the living standard of

everyone in a sustainable manner, and penetrate export

market, there is need to adopt the principle of contract-

farming, economies of scale and economic integration leading

to reduction in the chains of enterprises operating between

the producer and consumer. This can be attained by merging

the SMEs into a much bigger entity that can connect directly

the producer and consumer. In fact, that was the socio-economic principle behind the establishment of millennium

village projects in different poverty stricken regions of Sub-

Saharan Africa, which has brought a great success, and here-is

proposed to be up-scaled from village to regional levels.

Bearing in mind the above arguments, RVDA endeavors to

incorporate specific locations concentrated large - mass

production/service companies that will directly connect the

producer and consumer through contract farming, economic

integration and industrial concentration coupled with

operations subsidy and benefit of economics of scale. With the

service of international experts serving RVDA through its thinktank arm; RVIRI/RVBRI, and technology transfer offered by the

strategic investors (and her associated expatriates) holding

35%-19% shareholding in companies under RVDA, cutting edge

technology, management and governance will be employed

throughout the companies under RVDA translating to reduced

cost of production of quality produce/goods and services o

international standards, and hence lower selling prices. It is

envisioned RVDA will positively turn-around ways of doing

business and promoting social justice and human rights. A

mutually inclusive and participatory development scheme is

the viable strategy for resolution of socio-economicintegration and social-cohesion problems affecting United

Counties of Rift Valley and beyond.

The newly enacted Kenyan constitution provides enablin

legislations and environment for various county governmen

sharing a common interest and vision to form joint authoritie

One of the most notable provisions is that that allows differen

county governments to co-operate in the performance of the

constitutional functions and in exercising powers throug

formation of joint committees and authorities [i.e. artic

189(2)]. It is with that understanding that herein is propose

formation of a joint authority by United Counties of Rift Valleycounty governments, to be named Rift Valley Developmen

Authority (RVDA), and a joint committee to be named Ri

With fiscal budget constraints, it is highly unlikely for any single

or the jointly cooperating county governments to mobilize

enough capital to invest in capital intensive developmental

projects, thus, it is proposed formation of a public-private

partnership between the co-operating county governments and

their respective private investor residents and strategic

investors. This will ensure attainment of enough capital for

investment in capital intensive developmental projects; it is

herein projected mobilization of Kenya shillings 1-2 (2-5) (5-10)

trillion investment capital within a ten year initial investment

period. Considering the rapid increase in population in Rift

Valley and constraints in provisions of infrastructures and other

goods/services, there is need to mitigate uncontrolled

subdivision of agricultural land, thus, it is proposed formation of

industrial cities, county resource centers, constituency resource

centers and ward resource centers to act as cluster settlement

sites and to facilitate provision of basic infrastructure,

amenities/goods/services, in addition to formation of rural

development companies to spearhead job and wealth creation

in rural areas. The investment site will host a number of capital

intensive developmental ventures like training institutions, farm

produce processing plants, consumer goods manufacturing and

supply chains, amongst other developmental investments.

These developments will provide profitable ready market forfarm produce, employment and investment opportunities,

affordable consumer goods and services, and enhance

promotion of social justice and human rights as indicated in the

chapter on bill of rights-through the subsidized consumer

goods/services, income and humanitarian activities offered by

RVDA owned not-for profit organization i.e. RVCSR- F. Given

that the RVDA will have a clear chain of expatriates and local

expertise in each economic and social sector, down from

specialized RVDA entities to company groups and implementing

subsidiary companies. The authority will make use of a single

command of expatriates/local experts to assist all the member

county government in implementing their functions that

include the following as indicated in the Kenyan constitution -

fourth schedule part 2: agriculture (crop & animal husbandry;

plant & animal disease control & fisheries), county health

services (county health facilities & pharmacies; ambulanc

services; public health; veterinary services; refuse remova

refuse dumps & solid waste disposal), environment

conservation, cultural activities/public entertainment (librarie

video shows; sports; recreational & cultural activitie

organizations and respective facilities development), provid

subsidized county road construction service, trade developmen

(construction of markets; promotion of local tourism an

cooperatives societies), county planning and developmen

(provision of land use plans and implementation protocol

housing provision; electricity generation & subsidized supply

provision of village polytechnics/home-craft centres/childcar

facilities, implementation of policies on natural resourc

exploitation and environmental conservation (soil & wate

conservation), county public works and services (storm wate

management systems in built-up areas; and water & sanitatio

services); fire fighting services and disaster management an

control of drug abuse & pornography serviced by RVDA

RVCSR- F. As indicated by the extent of county governmen

functions implemented by the RVDA, the annual budgetar

recurrent expenditure of member county governments will b

greatly reduced as the much work remaining is main

supervisory, policy/legislative and enforcement responsibilitie

leading to increased county government developmentexpenditures. Thus, it is justifiable for the member count

governments to subsidize the operations of the public-privat

partnership joint ventures supervised and coordinated by RVD

to the extent of 30%, so that the goods/products and service

of international standards offered by RVDA are affordable t

the common citizens (wananchi) and for penetration of expo

market. In the side of marketing of investments products an

services, to ensure ready market and attainment of sizeab

market niche locally and penetration of export market, th

principle of contract farming, economies of scale, econom

integration and industrial concentrations will be promote

in/among the RVDA companies to lower cost of production, a

the same time, it is proposed each of the member count

governments to remit at least 30% of its yearly allocations b

strategic investors to invest 233.33% of their respective county

governments contributions i.e. top-up the 30% to 100%. These

allocations by member County governments will act as subsidy

to the investment by the residents & strategic investors and for

that reason, will attract not profit. In addition, a common

naming/branding system and advertisement slogan will be

adopted by all RVDA companies. Therefore, all the goods and

services from the RVDA will attract only 70% profit margin

comparative to goods and services offered by unsubsidized

private ventures (the private sector). It is envisioned that

support will be attained from the Rift Valley leadership,

community members and Kenyans in general.

1.3. VisionA holistic development scheme that provides sustainable socio-

economic, behavioral and spiritual development, and promote

social-cohesion in United Counties of Rift Valley (UCRV) and

beyond, pursued in a spirit of partnership and mutual respect.

1.4. MissionTo promote & improve the livelihood, social-cohesion and

dignity of life of United Counties of Rift Valley members and

beyond, achieved through a mutually inclusive development

scheme.

1.5. Objectives1.5.1. Overall ObjectivesRefer to handout I.

1.5.2. Specific Objectives

To realize the above overall objectives, the specific objective

are to establish and operate a number of projects by 2023

which include the following.

1. To mobilize resources and invest in impact developmenprojects;

2. to incorporate and manage Rural Development Companieto assist the rural residents to exploit their natural resources a

all agro-ecological and economic zones within UCRV an

beyond;

3. To enable each UCRV family to have investment worth least KSH 2 million and net family income of at least KS

200,000 per annum;

4. to establish, finance and manage companies in all thsectors of the economic to be based in the following develope

economic zones:

a. Ward resource centre in every ward throughout UCRV;b. Constituency resource centre in every constituency in UCRVc. County resource centre in every county throughout UCRV;d. five modern towns and 3 Specialized Cities at strategeconomic zones in UCRV;

e. In Valmart Centres at strategic sites in Kenya and EAC;5. to establish, fund, supervise and coordinate an non-foprofit organization to promote humanitarian relief activitie

social justice, social-cohesion and friendship within UCRV anbeyond;

6. to establish any necessary public body to ensure orderly anproper functioning of the development scheme.

1.6. Expected Output/OutcomeAt the end of the initial 10 year investment period (by the yea

2024) the following milestone are expected:

1. Mobilization and investment of KSH1-2 (2-5) (5-10) trillioand attainment of asset value of between KSH 20-50 trillio

mainly due to sharp appreciation of land based propert

2.0. Establishment of Rift Valley Development Authority -RVDA

1. Within 5 months of formation of the next Nationalgovernment and County governments, Counties within United

Counties of Rift Valley will enact - via member county

referendum to be held on 15th

June, 2013, The United Counties

of Rift Valleys Co-operative Development Plan Treaty setting-

up a joint Authority named Rift Valley Development Authority

(RVDA), a joint committee to manage the joint Authority

named Rift Valley Development Authority (RVDA) Executive

Committee (The Executive Committee - REC) and the joint

Authoritys public development fund to be named as Rift

Valley Development Fund (RVDF), which shall comprise

member County governments annual 30%

contributions/allocations to RVDA and in-kind contributions

from National government which will be a member

government. The Rift Valley Counties Co-operative

Development Plan Constitution shall contain all the key

structural & regulatory provisions and social responsibility

provisions. The constitution shall provide for need of

referendum in each of the member Counties for repeal or

amendment of any provision on the Co-operative Development

Plan Constitution. The County governments will at the sametime enact other laws necessary or incidental to proper

functioning of the joint Authority as herein proposed. The

Executive Committee (REC) will promulgate The United

Counties of Rift Valleys Co-operative Development Plan

Treaty on 1st

July, 2013; similarly they will commission RVDA

on the same day. Mt. Elgon Constituency will be considered as

part of Trans Nzoia County in Rift Valley pending legally

transfer from Bungoma County to Trans Nzoia County.

2. Within 5 months of formation of the next Nationalgovernment, the government will enact legislations necessary

or incidental to proper functioning of cooperating County

governments joint Authorities as herein proposed i.e. Regional

Development Authorities (RDAs). Such legislations will indicate

National governments functions and powers to be transferred

to County governments for the later to delegate to their

respective joint Authority (Regional Development Authority) fo

implementation.

3. [Pre-requisite to the establishment above: Within 2 weeafter the official formation of County governments after th

general elections, all the County governments in Rift Valley w

jointly appoint Task Force on United Counties of Rift Valley

County Governments Economic Cooperative Developmen

Plan, to draft all the requisite legal documents. The task forc

will operate with more less similar terms of reference as th

defunct Committee of Experts on Constitution Review (CoE).

intelligent leaders. The task force will have to commence he

tasks by April 1st

2013 for county referendum on The United Counties of Ri

Valleys Co-operative Development Plan Treaty to be held o

the stated date. The county referendum will be implemented b

IEBC using election official who would have participated in th

next general elections. If there will be need for the constitutio

of Kenya, 2010 amendments requiring national referendum

then the national government will be petitioned to co-join th

two referenda for their holding on the same day . In thregard, everyone interested to serve in the task force is here

invited to submit his/her expression of interest and C.V. an

everyone else is requested to study, discuss and prepar

memoranda on the same and send us a copy of the same fo

compilation in readiness for the submission to the task force].

4. The Rift Valley Development Fund (RVDF) shall be used bthe RVDA management committee (secretariat) to fully financ

acquisition of investment land and to hold 30% of shareholdin

in the public-private partnership joint venture companies -

behalf of member County government, such 30% shareholdin

shall act as subsidy of the companies production/operatio

processes and incentive to attract private investments, else, w

attract no profit.

5. Upon its establishment, RVDA management committee shaestablish/facilitate establishment of Rift Valley Investmen

Lands Board (RVILB) which shall be profit oriented fully public

entity, Rift Valley Development Bank (RVDB) & Rift Valley

Investment Bank (RVIB) which shall be Public-Private

Partnership joint venture commercial (profit oriented) entities

co-owned by RVDA (in behalf of member County governments),

member County residents and strategic investor(s) in the ratio

30:35:35. Rift Valley Investment Bank (RVIB) will be tusked to

establish using mutual funds, and manage other Public-Private

Partnership companies co-owned according to the stated ratio,

the companies are to be referred to as RVDAs P-P-P

companies. The RVDA management committee shall

establish/facilitate establishment, coordinate and supervise 3

other functionally independent but mutually cooperating fully

public institutions namely: Rift Valley Ethics and Standards

Bureau (RVE&SB), Rift Valley Products & Services Exhibition

Board (RVP&SEB) and Rift Valley Corporate Social Responsibility

- Fund (RVCSR- F). These are to be non-profit making

institutions operated using the public-private partnership joint

venture companies annual overhead costs/contribution/social

responsibility allocations (SRA) to their respective funds. The

entire infrastructural requirement by the fully public institutions

will be developed during RVDA investment lands servicing using

RVDF.

6. In behalf of member County Governments, Rift ValleyDevelopment Authority (RVDA) shall hold 30% interest in RVDB,

RVIB and all RVDAs P-P-P companys. However, given that

RVDA is non-profit making institution, its shareholding attracts

no profit, and thus acts as subsidy to RVDB, RVIB and RVDAs P-

P-P companys day-to-day operations and thus incentive to

attract private investments.

7. The power of the vote of the RVDA Executive Committeemembers will be according to a quota system based on each

ones County/National governments contribution/shareholding

in Rift Valley Development Fund (RVDF).

2.1. Rift Valley Development Bank (RVDB)The development bank will offer banking services that include

sourcing for loans from other developmental banks,

developmental partners/agencies, state corporations, states

and others. Take deposits and giving out loans to customer

RVDA Executive Committee will ensure the capital base of th

development bank is always maintained at 30% (or more) of th

whole worth of all RVDAs P-P-P companies. The bank is t

automatically underwrite 31.5% out of the 35% (or 45.9% out

the 51%) shareholding designated for residents in all RVDAs

P-P companies (except RVDB and RVIB) during incorporatio

bending loaning to respective residents as indicated below; Th

Bank shall endeavor to allocate loans to all RVDA membe

county residents investing in RVDAs P-P-P companies (except

RVDB and RVIB). In a manner that when one buys 1 share

cash in RVDAs P-P-P company, one is given loan worth 9 share

up to a maximum of shares worth 7.56 millions. The loan is t

be serviced for 10 years with grace period of 3 years literal

the loan is to be serviced by residents dividends obtained ou

of the shareholding (his/her investments). The bank will offe

credit card service using in making financial transactions wit

RVDAs entities and P-P-P companies. All cash financi

transacting customers will no enjoy 10% (out of the 30

subsidy) of the subsidy on purchase or procurement fro

RVDAs P-P-P companies. Electronic financial transactions w

promote maintenance of standards & ethical code. The ban

will manage in behalf of RVDA Executive Committees th

proposed Valley Academic Loans Bank (VALB), VALB will be fulpublic institution mandated to offer interest free academ

loans to UCRV post-secondary students & adult-educatio

students, parents/guardians of pre-school, primary school,

secondary school students studying in RVU subsidiar

institutions may apply for the academic loans to pay for th

childrens school fees. All the loans awarded by VALB will b

wired directly to the RVDAs P-P-P institutions to cater for fee

& other direct charges only.

2.2. Rift Valley Ethics & Standards Bureau (RVE&SB)1. Regularly perform RVDA investmentcompanies/projects audit, monitoring &evaluation and submi

its reports to RVDA management committee and member

county assembly; to investigate corrupt practices in

conjunction with relevant authorities and report to RVDA

management committee, member county assembly and other

authorities. Its services will be supported byRVE&SB Fund, the

fund will be made-up of annual 1% (of net profit) overhead

costs contributions by all RVDAs P-P-P companies. The nyinyi

hamunasauti bure-duduau will acquire and confidentially

maintain database of all the resident investors, seconded

expatriates and all employees biometric, biological &

communication data. Key biometric, biological &

communication data will be compulsorily required and used in

combination during transactions with RVDAs entities and P-P-

P companies. The data will be useful in maintenance of

standards & ethical code. To offer customer points via

outsourcing of RVDB credit card data service, the customer

points offered based on amount of money one uses in

transactions as a customer to RVDB, RVIB and/or RVIB

managed companies. The customer points are to be

redeemed by use in obtaining RVHGs tourism, entertainment

and leisure services and in attendance of annual Rift Valley

Cultural Festivals. RVP&SEB will use its annual commission to

fund redemption of customer points.

2. In collaboration with RVCSR-F, RVTG, RVHG andRVDB, RVP&SEB is to plan and facilitate the whole year long

tournaments and the annual 1 month long (December) Rift

Valley Cultural Festivals.3. The cultural festivals will feature traditionalsongs/poems and sports competitions for *County+ Governors

cup and RVDA Chairmans/Ladys cup, that run from all the

Ward Resource Centre sports ground to the finals which is to

be held in Kajiado/Nakuru/Chepkoilel International

Conference Centre and the host citys sports complex.

Different wards and subsidiary/company groups will

participate. The tournament competitions will start from

January at the Ward level and end during the 1 month

(December) festivals at the City. The cups under different

7. It will also sponsor the operation of the proposedinternational TV channel named Talents TV (to be

established, operated and managed by Valley TV Services Ltd.)

eco-biodiversity documentaries, cultural festivals events

sport(s) tournament(s) events, and other talented artists

events/creations, and at the same time run clips/displays that

promote Rift Valley products & services.

RVDA Chairmans/Chairladys tournaments with clips of

3. To offer customer points via outsourcing of RVDBcredit card data service, the customer points offered based on

amount of money one uses in transactions as a customer to

RVDB, RVIB and/or RVIB managed companies. The customer

points are to be redeemed by use in obtaining RVHGs tourism,

entertainment and leisure services and in attendance of

annual Rift Valley Cultural Festivals. RVP&SEB will use its

annual commission to fund redemption of customer points.

4. In collaboration with RVCSR- F, RVTG, RVHG andRVDB, RVP&SEB is to plan and facilitate the whole year long

tournaments and the annual 1 month long (December) Rift

Valley Cultural Festivals.

5. The cultural festivals will feature traditionalsongs/poems and sports competitions for *County+ Governors

cup and RVDA Chairmans/Ladys cup, that run from all the

Ward Resource Centre sports ground to the finals which is to

be held in Kajiado/Nakuru/Eldoret International Conference

Centre and the host citys sports complex. Different wards and

subsidiary/company groups will participate. The tournament

competitions will start from January at the Ward level and end

during the 1 month (December) festivals at the City. The cups

under different categories will fetch lucrative cash awards.Cultural festivals will also involve national and international

tournaments and events.

10. To establish and operate international marketingexhibition centres globally

2.4. Rift Valley Investment Lands Board (RVILB)Rift Valley Investment Lands Board (RVILB) shall have origina

jurisdiction to acquire, plan for its use, demarcate, and lease

out investment lands in behalf of member county

governments (RVDA). The management structure of RVILB

shall be designed in such a way that corrupt practices in land

acquisitions will not be thought of or even conceived. All the

land acquired by RVILB shall be regarded as public land and

thus be under management as public land; it shall be acquired

using solely money budgeted from Rift Valley Development

Fund (RVDF). Rift Valley Investment Lands Board will operate

Agricultural Lands Consolidation Fund (ALCF) which will be

useful in ancestral land litigations and consolidation o

agricultural lands in United Counties of Rift Valley and beyond

Agricultural Lands Consolidation Fund will be adequately

facilitated to solely acquire any agricultural land on sale in

United Counties of Rift Valley and Nairobi County fo

subsequent leasing to RVDAs Agricultural/Livestock

Development Companies for appropriate land use. The

investment land parcels are to be acquired immediately upon

establishment of RVDA by Rift Valley Investment Lands Board

(RVILB) using Rift Valley Development Fund (RVDF). With the

assistance of expert city/town/resource centre planners, the

investment lands will be subdivided into appropriate sizes

depending on land use plans, appropriately serviced and

subsequently allocated and leased to respective companies.

Land parcels allocated to companies which will not be

established within five years or land set aside as a reserve for

future expansions will immediately be leased out for

appropriate duration to host Countys Agricultural

development subsidiary company(ies) for immediate use.

2.5. Rift Valley Investment Bank (RVIB)The general responsibilities of the investment bank will be:-To receive investment capital from member county

governments (i.e. RVDF), from member County residents and

from identified strategic investors, in total considered as mutual

funds. To invest the mutual funds (capital) and manage the joint

investment ventures. The bank via its Merchant Banking

Division to automatically underwrite 3.5% (out of the 35% or

51% out of 51%) shareholding designated for residents in all

RVDAs P-P-P companies except in RVDB and RVIB during

incorporation period bending offloading to residents in

exchange with cash.

On incorporation of RVIB managed companies, shareholding in

each of the company groups and their subsidiary companies will

be worked out and funds equivalent to 30% shareholding in

each of them will be allocated from the RVDF.

1. RVDA Executive Committee in consultation with RVIBshall internationally advertise for application of interested

foreign state corporations/private companies willing to be

considered as strategic investor companies in various

specialized RVDA P-P-P companies, after submission of

applications Executive Committee will via RVDA-to-foreign

government/state corporation/private company-direct

negotiation, identify a suitable foreign state corporation or

foreign private company to invest 19% equity in each of the

company, subsequently, RVDB and RVIB will automaticallyunderwrite 45.9% and 5.1% respectively of the 51%

shareholding set aside for investor residents in each of the

RVIB managed companies. Thus, all the RVIB managed

companies will be fully financed on incorporation.

2. Once companies are incorporated and commissionedinvestor residents will be invited to redeem their 51%

shareholding in each of the companies via direct equity

payment to RVIB for redemption of 5.1% underwritten by RVIB

and via automatic reception of loan in terms of the formulae;

for 1 share redeemed from RVIB one automatically receives

loans worth 9 shares held by RVDB in the respective company

this formulae allows one to receive shares in loan of up to a

maximum of shares worth 7.56 millions from RVDB. The loans

are to be serviced after 3 years grace period and for a period

no exiting 10 years; investor dividends obtained out of the

shareholding will be automatically used to service the loans.

2.5.1. Mutual Fund Management DivisionThis division will manage investment fund remitted by county

governments and their respective resident investors.

1. To invest adequately on information technology toenable visibility and efficient online stock exchange and other

securities trading requirement.

2. The bank will comprise of four divisions namely:a. Mutual Fund Management Divisionb. Outsourcing Liaison Unitc. Rift Valley Stock Exchange2.5.2. Outsourcing Liaison Unit (OLU)

The general responsibilities of the unit include:

1. To facilitate outsourcing of RVDA services by membercounty governments and intra-RVDA services outsourcing via

use of an online automatic applications (Table 11).

2. To manage databases of RVDA entities and RVIBmanaged companies specialized services provisions and

service charges/fees and processes capable to lease out toother companies and the lease out rates.

3. To maintain database on the administrativestructures and direct contacts and contact persons of all RVDA

databases.

2.5.3. Rift Valley Stock Exchange (RVSE)

The general responsibilities of the unit includes:-

1. To facilitate RVDA entities and RVIB managedcompanies stock exchange;

2. To maintain database of RVDB, RVIB and RVIBmanaged companies shareholding;3. To prepare annual RVDB, RVIB and RVIB managedcompanies shareholding report to be presented to RVDA

management committee and member county assemblies for

verification on compliance on resource mobilization policy

instruments. RVDA management committee shall accordingly

discuss the report, in case of shareholding against resource

mobilization policy instruments the committee may order

RVSE to ensure resell of the shares and refund of shareholding

capital to irregular investors, the investor shall be liable for

fine.

4. To facilitate resource mobilization through floating ofbonds and such like securities.

2.6. RVDA Advisory CouncilConsists of Research & Development Division which will be

serviced by a special pool of funds to be called R&D Fund, the

fund will be made-up of annual 3.5% (of net profit) overhead

costs contributions by all RVDAs P-P-P companies. The fund will

be directly managed by R&D directors answerable to RVDA

Executive Committee.

The general responsibilities of the division are to coordinate

and supervise 2 research and development (R&D) institutions

namely:a. Rift Valley Innovations Research Institute (RVIRI)

b. Rift Valley Biomedical Research Institute (RVBRI)

The R&D projects to be implemented using the fund will b

implemented by Post Secondary & Post graduate studen

working under projects principal investigators (PI) as the

supervisors. Post graduate students awarded fellowships in th

R&D projects will be paid according to their academ

qualifications at the same rates as other RVDA entitie

employees.

As part of the servicing of the RVDA investment lands, all th

infrastructural requirements of R&D division will be develope

within designated sites with RVDAs training and teachin

institutions e.g. RVU, RVUT, RVMU campuses and the

respective subsidiary institutions for example for RVU Valle

Academies/Valley Girls High Schools. This will enab

incorporation of students in R&D and very young age of prima

school education.

2.7. The Proposed Rift Valley Corporate SociResponsibility - Fund (RVCSR- F)

1. It is a not-for-profit organization; the organizationprograms will be funded by RVDAs P-P-P companies throug

each companys contributions of 2.5% of her annual net prof

to RVCSR- F Fund - under RVCSR- F managed directly by RVD

Executive Committee i.e. each P-P-P companys soci

responsibility contributions is channeled to this NGO.2. The entire infrastructural requirement by RVCSR- institutions will be developed during RVDA investment land

servicing using RVDF.

3. RVCSR- F Fund will comprise the following categories ofunds, among others:

a. Talents Sponsorship Fund: shall offer full sponsorship to athe talent trainees.

b. Essential Commodity Subsidy Fund: To be used to funwaiver of value added tax on essential commodities/consume

goods offered by Valmart Group that include maize flour, whe

flour, bread, milk, sugar, tea leaves and cooking o

sanitation, domestic electricity, retail personal internet service

c. Youth Mentorship Fund: shall be used to facilitateattachment placement for youth that include stipend/upkeep

allowances i.e. facilitate 6 months and 1 year attachment

placement and internship placement respectively for form four

leavers and college/university graduates, with various RVDA

entities & P-P-P companies and with member County

governments departments. At the same time facilitate training

of the interns on life skills, entrepreneurial skills, good morals,

responsible behaviors/citizenry and such like skills. These will

promote social justice & earning upkeep allowances,

professional vision/dream development and prevention of

HIV/AIDS transmission/infection. Also to be used to facilitate

early adulthood marriages through advocacy and counseling

services i.e. marriage at age 22-24 for ladies and age 25-27 for

men. This will prevent fornication and other behaviour

responsible for HIV/AIDS transmission/infectionand advocacy

of less consequentially severe evil of masturbation rather than

irresponsible heterosexual behaviors i.e. masturbation is

better evil because it cannot hygienically-done infect one with

HIV/AIDS. Provide develop and disseminate booklets on

adolescent responsible behaviours, avoiding wrong courtship

relations, fulfilling family relations, HIV/AIDS managements and

support services, career choice and mentorship, youth dream

success modeling & implementation. The fund will facilitate viaan all-inclusive participatory process the drafting and adoption

of standard operating protocol (SOP) and training manual for a

reformed-modernized boys & girls rite of passage to

adulthood. In this manner, all the other funds will facilitate the

same for their respective area of mandate; the SOPs include for

conception, for birth, for initiation & mentorship to adulthood

responsibilities, for marriage, for initiation to retirement,

impairment of body functions, last respect and memorial

service for the dead.

d. Essential Infrastructure Support Fund: To be used to awardrestricted development grants to National and/or County

government(s) for infrastructural developments crucial to

RVDAs developmental plans, priority development project to

be awarded restricted development grants is 50-70 km

standard highway linking Samburu Town with Kula Mawe town

Isiolo County and for expansion of road linking Samburu Tow

and Isiolo International Airport into 6 line superhighway, an

tarmac road that will transverse Mt. Elgon Constituency an

Endebes Constituency for use in fast transportation o

perishable but lucrative horticultural produce from Mt. Elgo

& Endebes Constituencies to the proposed Kitale Nation

Airport for timely export to international market.

e. Business Restoration Fund: To be used to underwrite loss tRVDA entities and RVIB managed companies occasioned b

climatic calamity, political conflicts & upheavals, acts o

terrorism, economic crimes, currency exchange rat

fluctuations and other causes that insurance companies do n

insure.

f. Legal Aid Fund: To be used to provide legal service suppoin safeguarding and promotion of human rights as indicated

the constitutional chapter on bill of rights. Fund NGOs, CBO

civil societies, women groups and youth groups spearheadin

human rights campaigns. Fund Council of Elders selected via

competitive process. Fund at equal levels of funds per a give

elective post, all politicians seeking elective political powe

positions within United Counties of Rift Valley and Kenya

presidential candidates.

g. Social-cohesion Advocacy Fund: To be used for confliprevention and resolution, and promotion of social-cohesiothrough advocacy for mutual respect and recognitions o

cultural diversity via annual organization of cultural festival

public entertainment concerts, and operation of public acces

libraries, video shows and cinemas conveying social-cohesio

and integration promoting messages.

h. Anti-Drug Abuse Fund: To be used to prevent and contrdrug abuse, pornography and any other addictive behaviors.

i. Humanitarian Relief Fund: To be used to foster trancommunal and international friendship through humanitaria

relief services that include: annually provision of renewab

conditional grant to Trans Nzoia county for her t

consequently allocate to RVDA for Mt. Elgon constituency t

continuously enjoy full membership status to RVDA, RVCSR-

will source for long term loan using the renewable gran

allocation to enable subsequent allocation to RVDA of enoug

subscriptions for Mt. Elgon constituency membership,

purchase and donation of firefighting helicopter engine (worth

over KSH 2 billion) and other fire fighting engines to be donated

to Valley Fire-brigade Service Ltd to be stationed at Nakuru

Commercial City, all the services offered by the firefighting

helicopter engine to be serviced by the fund, the helicopter will

also serve first aid providing flying doctors. The helicopter will

be hired to Agricultural development companies for crop

spraying for the purpose of raising finances to the donor fund.

Humanitarian Relief Fund shall offer monthly up keep

allowances for destitute people, people with disability and

senior members/elderly of the community.

j. Medical Relief Fund: Will be used to acquire ambulancehelicopter to be donated to Rift Valley University Hospital, to be

stationed in Nakuru Commercial City, all the services of the

ambulance are to be sponsored by the fund. The helicopter will

be hired to RVDA companies for commuter transport during

their day-to-day functions; the funds raised shall be paid to the

donor fund. To offer full medical fee relief for pre-natal,

maternity, post-natal, orphans, widows, terminally ill e.g.

cancer patients, HIV/AIDS patients ARV/ART medication and all

the other medical needs, elderly persons of over 65 years of age

& progressively to offer full medical services relief for all

children from their conception to 18 years of age born of UCRVresident families, in this regard nutritional food complements

will be given to all pregnant & lactating mothers and all children

up to age 18 this can be done in form of food vouchers for

mothers & children at home and food complement for school

children (300ml milk packet and 3 fruits per mother/day and

per child/day almost like maziwa ya Nyayo that some of us

benefited from in 1980s). Partial medical fee relief to everybody

else depending on ones poverty level. All the above relief will

be offered in priority to UCRV residents getting medical services

at Rift Valley Medical University (RVMU) and her subsidiary

medical institutions, patients referred by RVMU to hospitals

abroad will also legible for the relief.

k. Academic Scholarship Fund: It shall comprise 10% of theRVCSR- F Fund. To be used to offer full/partial scholarship

support to students with disabilities, orphan students, and

students from poor families. 80% the fund will be used t

sponsor UCRV pre-school, primary school & secondary scho

students studying in Rift Valley University (RVU) subsidiar

institutions, while 20% of the fund will be used to sponsor UCR

students studying in medical courses in Rift Valley Medic

University (RVMU) and its subsidiary institutions. To ful

sponsor the up-keep, academic, healthcare & othe

developmental needs of each UCRV familys sixth born & abov

to relief the burden from ageing parent & for adequate huma

resource production and development. By use of the fund, a

the girl-child in need of sanitary towels will be provided both fo

use during school days and during school vacations.

l. Religious Missions Support Fund: To be used for promotioof spiritual wellbeing of the residents, caring for less fortunat

persons, destitute, senior members of the community, orphan

and other disparate & deserving cases;

2.8. RVDA Governance & Administrative Structures1. Rift Valley Development Authoritys (RVDAs will be undedirect management of 18 members RVDA Executive Committe

2. Functions of RVDA Executive Committee includes:3. Each RVDA entity will be directed directly by the ExecutiveCommittee & the day-to-day activities administered by RVDA

secretary who is answerable directly to the Executive

Committee. Rift Valley Ethics & Standards Bureau (RVE&SB)

Secretary shall be nominated by strategic investors and shall

represent the interests of strategic investors in the Executive

Committee. The secretary, RVS&EB shall be a citizen of the

country whose state corporation/company/firm is strategic

investor in Rift Valley Security Service (RVSS)Group; the

secretary is proposed to be an Israeli who has successfully

served in MOSSA, The Secretary, RVDA Advisory Council will

also serve as the Secretary to the RVDA Executive Committee

(The Executive Committee);

4. Each RVDA P-P-P company group and subsidiary companywill be directly directed by a board of directors composed of 8

directors and a chairman/chairlady. Four of the directors will be

elected by the UCRV resident investors and the other four will

be nominated by the companys strategic investor, while the

chairman/chairlady will be directly appointed and answerable

to the Executive Committee i.e:-a. The RVDAs entities and RVDAs P-P-P companies Board ofDirectors will set-up various positions of service and appoint

employees.

b. Terms of service for newly recruited employees will be 2/3year contract renewable based on performance and satisfaction

of specified training requirements.

c. 2/3 of the top 3 management positions and the chiefexecutive officers position of each of the RVDAs P -P-P

company will be absolutely filled by persons seconded by the

strategic investor owning the 35% (19%) shareholding in that

specific company group or subsidiary company.

d. The executive committee/board will regularly reviewemployees qualifications and competitiveness to enable timely

promotions of innovative, patent producers and excellent

performers

e. Excellent performers will have their terms of servicconverted into permanent and pensionable instate of renewa

however, above average performers will have renewal of the

terms and otherwise for non-performers and those indicatin

corrupt practices. Permanent employees will be encouraged t

acquire residential houses through subsidized mortgag

scheme; these will facilitate mitigation of uncontrolle

subdivision of agricultural land and provision of basic amenitie

in a more sustainable way.

f. Salaries and remunerations payable to various positions oservice shall be according to Salaries and Remuneration

Committees recommendations plus appropriate allowance

package especially for highly skilled experts and expatriates.

g. Rift Valley Development Authoritys tertiary institutions anuniversities students and studentship candidates to be give

preferential part-time employment opportunities by all RVD

entities and RVIB managed companies, to enhance huma

resource development via use of part-time wages to acces

training opportunities by poor households youth/students.

set aside 30% basic employment positions and 50% expert

positions of service in RVDA R&D division to be filled by half-da

part-time tertiary institute/university students and consultan

academic staff (via assignment of specialized area of researcand funding of their research proposal) respectively. In th

respect, all city based tertiary and university campuses will hav
