The following is a summary of the terms and conditions of the above exploration licences: 1. The exploration licences confer:

(a) the right to explore for, and the exclusive right to drill and test for, petroleum;

(b) the exclusive right to develop those portions of the offshore area in order to produce petroleum; and

(c) the exclusive right, subject to compliance with the other provisions of the Act, to obtain a production licence.

2. The exploration licences were issued for a nine-year term effective January 15, 2013.

3. Period I is a period of six (6) years commencing on the effective date of this licence. The interest owner shall commence the

drilling of the well within Period I, and diligently pursue such drilling thereafter, as a condition precedent to obtaining tenure during Period II.

4. The interest owner may at its option extend Period I from six (6) years to seven (7) years by providing to the Board before the end of the sixth year of Period I either:

(a) a description of 50% contiguous Licence Lands to be surrendered together with a refundable drilling deposit of $1,000,000;

OR (b) a $5,000,000 refundable drilling deposit.

A drilling deposit posted pursuant to paragraph (a) or (b) above will be refunded in full if the Licence is validated for Period II by the drilling of a well on that licence. No interest will be paid on the drilling deposit. If a validation well is not drilled, the drilling deposit will be forfeited to the Receiver General for Canada upon termination of the Licence at the end of Period I. Allowable Expenditures cannot be applied against the Drilling Deposit.

5. Upon the expiration of Period II, there shall be a deemed surrender of the interest except as it relates to the lands or any

portion thereof subject to a significant discovery licence, or a production licence. 6. The interest owner for the above exploration licences was required to provide the following security deposits in the form of

a promissory note satisfactory to the Board: Exploration Licence Security Deposit 1129 $ 7,846,981.50

1130 $ 1,293,444.25 1131 $ 448,863.75 1132 $14,348,446.50 1133 $ 312,264.00

A credit against the deposit will be made following each anniversary date of each respective exploration licence on the basis of 25% of allowable expenditures. Any deposit balance remaining at the end of Period I, or following the termination of a well commenced and being pursued diligently but not terminated within Period I, or upon the surrender of rights, will be forfeited.

7. For each licence, rentals will be applicable only in Period II at a rate of $5.00 per hectare in respect of the first year and increasing thereafter by $2.50 per hectare per year, up to and including the third year.

8. Other terms and conditions referred to in the licences include provisions respecting Significant Discoveries, Allowable Expenditures, Indemnity, Liability, Successors and Assigns, Notice, Waiver and Relief, Appointment of Representative and Agreement by Interest Owners.

9. Beginning at point on the shoreline of North Broad Cove in an area known as The Bottom, that point being 430 metres, more or less, north-eastwardly of the brook flowing from North Broad Cove Pond, and the northeast corner of the Terra Nova National Park boundary;

Then following the Terra No va National Park boundary, in a n orth-westerly direction, a distance of 1665 metres, more or less;

Then due east a distance of 35 metres, more or less, to the most easterly point of the Goose Neck Pond protected water supply boundary;

Then in a generally northeasterly direction along the Goose Neck Pond protected water supply boundary to where the Goose Neck Pond pro-tected water supply boundary crosses the Happy Adventure municipal boundary;

Then north 5° 16' east a di stance of 268 metres, more or l ess, to the most northwesterly point on the Happy Adventure municipal boundary;

Then following the Happy Adventure municipal boundary to a point on the northern shoreline of Newman Sound, that point being the most southwesterly point on the Sandy Cove municipal boundary;

Then following along the sinuosities of the northern shoreline of New-man Sound in a ge nerally westerly direction, via Bottom Cove and North Broad Cove, to the point of beginning.

All bearings refer to Grid North and, as with distances given, are sub-ject to approximation as delineated on the 1:50000 National Topo-graphical Series (NTS) digital mapping; UTM, NAD 83.

The Happy Adventure Municipal Planning Area, Newfoundland and Labrador Regulation 84/04, is repealed.
