    THE CONSTITUTION AND GENERAL STATUTESOF THE UNIVERSITY OF SANTO TOMAS

    ARCHITECTURE NETWORK

    Manila, Philippines

    PREAMBLE

    We, the members of the University of Santo Tomas Architecture Network, a duly established studentorganization, mindful of our duties and responsibilities as an academic arm organization of the College ofArchitecture, implore the aid of Our Father to bind us in cooperation and action to serve the architecturecommunity by fulfilling our purpose and objectives, and achieving our mission and vision, and to declare thisintention, do hereby ordain and promulgate this Constitution and General Statutes.

    ARTICLE I

    NAME AND OFFICIAL SEAL OF THE ORGANIZATION

    Sec. 1 The official name of the organization shall be The University of Santo Tomas Architecture Networkand may be referred to as UST-ARCHINET or simply ARCHINET in formal and informal documents,publications, and other correspondence.

    Sec. 2 UST-ARCHINET shall adopt an official seal for its use. The design of the seal shall be determined by aresolution passed by the Board of Officers and approved by the Advisory Board.

    Sec. 3 Aside from the President, the Secretary alone, in an official capacity, is authorized to affix the OfficialSeal of UST-ARCHINET to any document whatsoever, and then only, for official and legal purposes.

    ARTICLE IIDECLARATION OF THE PURPOSE, MISSION, VISION, AND OBJECTIVES OF THE ORGANIZATION

    Sec. 1 The University of Santo Tomas Architecture Network is an academic student organization, recognizedand existing under and by virtue of a charter granted by the university, which aims to provideopportunities for interaction and collaboration between its member students and other students,architects, and professionals both local and international through a series of relevant activities that willpromote intellectual dialogue, discussion, debate, deliberation, and dissertation with regards to thepractice of architecture. It is also meant to be a structured group, one more for social andintellectual gatherings than as a strictly run political organization.

    Sec. 2 Mission: UST-ARCHINET commits itself to the pursuit of knowledge in the current and future scope ofarchitectural practice and the promotion of intellectual and social interchange among students ofarchitecture all over the world.

    Sec. 3 Vision: UST-ARCHINET envisions itself as the one true official architecture student society of theUniversity Of Santo Tomas College Of Architecture acting as the latters academic arm. It also envisionsitself as an international community of architecture students with affiliates all over the world sharing acommon goal of providing a forum for students interested in architecture as a field of study and as aprofession.

    Sec. 4 To achieve its mission and vision, UST-ARCHINET shall specifically pursue the following objectives to

    the extent possible:

    Sec. 4.1 To hold conferences/seminars, workshops, and/or exhibitions for discussion and theexchange of information on topics affecting or relating to architecture

    Sec. 4.2 To bring knowledgeable speakers of local or international repute to campus in order toprovoke academic discussion on relevant topics of their expertise on architecture

    Sec. 4.3 To host social and intellectual forums for interaction and sharing of knowledge amongarchitecture students

    Sec. 4.4 To amalgamate or partner or act temporarily or otherwise in conjunction with any otherorganization or institution having like or similar objectives

    Sec. 4.5 To organize and participate in camps, seminars, courses, excursions, meetings,conferences and other activities that will benefit the membership and the organization as a whole

    Sec. 4.6 To do all such lawful things incidental to or conducive to the attainment of the aboveobjectives or any of them

    ARTICLE IIIMEMBERSHIP IN THE ORGANIZATION

    Sec. 1 Official Membership in UST-ARCHINET shall be open at all times to all bonafide students of the

    University Of Santo Tomas College Of Architecture and shall be effective for the duration of the currentacademic year when the student registered provided that the latter maintains his/her status as student.

    Sec. 2 The registration process and requirements for membership shall be determined by the Board of Officers.Requirements may include a nominal registration fee of not more than the amount limit set by theuniversity, as may be determined by the Board of Officers.

    Sec. 3 Official Members of UST-ARCHINET shall be covered by this Constitution and General Statutes and shallenjoy the privileges of the membership at its fullest.

    Sec. 4 For purposes of clarity, officers and senior student advisers of the organization are also consideredofficial members.

    Sec. 5 The Board of Officers shall have the power to terminate or suspend membership of any member foundto be participating in activities contrary to the aims and objectives of the organization.

    Sec. 6 A member shall cease to be a member when he/she resigns, dies, fail to attend two consecutiveactivities without any notice or reasonable excuse.

    Sec. 7 If any prosecution, action of legal suit be charged against any member of UST-ARCHINET for anythingdone by him/her in the proper and reasonable discharge of his/her duties, he/she shall be defended andindemnified by and at the cost of the organization from all damages, cost and expenses which may beincidental to or result from such prosecution, action or suit at law and the property and funds of theorganization may be applied for this purpose.

    Sec. 8 UST-ARCHINET recognizes the invaluable contribution of its past officers who served the organizationduring their incumbency. As such, they shall be automatically awarded with honorary membership andshall likewise be exempted from the registration fee and the rigors of the registration processes. Asidefrom the regular privileges of the official membership, honorary members shall also enjoy specialprivileges as may be determined by the Board of Officers. However, they should still renew theirhonorary membership annually.

    ARTICLE IVGOVERNMENT OF THE ORGANIZATION

    Sec. 1 The government of UST-ARCHINET shall be vested upon the Board of Officers which shall exerciseexecutive and legislative powers, and the Advisory Board which shall exercise consultative andjudicial powers.

    Sec. 2 The Board of Officers shall be composed of the President, Vice President, Secretary, Treasurer,Auditor, Project Manager, Creative Director, Web Director, and Public Relations Officer. The

    President is the highest official of the organization followed by the Vice President while all the otherofficers shall be equal in terms of hierarchical structure.

    Sec. 2.1 The President is the Chief Executive Officer (CEO) of ARCHINET who has the finalauthority, in accordance with this Constitution and General Statutes, over all matters concerning theorganization. The President shall have the following powers, duties, and responsibilities:

    a. He/She shall execute and see the execution of this Constitution and General Statutes whichgovern UST-ARCHINET.

    b. He/She shall promulgate rules for the governance of the organization in the implementationof this Constitution and General Statutes.

    c. He/she shall represent ARCHINET whenever it needs representation.d. He/She shall convoke the Board of Officers in every instance when its approval is required

    as provided for in this Constitution and General Statutes.e. He/she shall have the authority to create an ad-hoc committee to supervise a project and to

    appoint its chairman or head.f. He/she shall act as an over-all chairman of all activities of the organization.g.

    He/she shall sign all documents and communications concerning all matters of theorganization.

    h. He/She shall, in consultation with the Board of Officers, approve all programs, projects,and activities proposed by any member.

    i. He/She shall submit an annual report on the state of UST-ARCHINET to the AdvisoryBoard.

    j. He/she shall perform such other functions that may be assigned by the Adviser.Sec. 2.2 The Vice-President is a person whose primary responsibility is to replace the presidenton the event of his or her death, resignation or incapacity. He/She is also ARCHINETs ChiefAdministrative Officer (CAO) who manages day-to-day operations and human resources. The VicePresident shall have the following powers, duties, and responsibilities:

    a. He/she shall assist the President in the implementation of the projects and activities ofUST-ARCHINET.

    b. In time of temporary absence and/or disability of the President, he/she shall, for the timebeing, assume the powers, duties and responsibilities of the latter.

    c. He/she shall perform such other functions that may be assigned by the President and/orthe Adviser.

    d. He/She shall assume some of the ceremonial duties of the President, such as attendingfunctions and events that the President may be too busy to attend.

    e. In case of the Presidents resignation, termination, death, or expulsion from the College ofArchitecture, the Vice President shall immediately assume the position of the presidency.

    Sec. 2.3 The Secretary is ARCHINETs Chief Communications Officer (CCO) who managescorrespondence and communications while also acting as legal counsel and protocol officer,understanding in varying degree the Constitution and General Statutes of the organization and otherexisting laws in the university. The Secretary shall have the following powers, duties, andresponsibilities:

    a. He/she shall have the responsibility to attend in every organizational meeting and shallrecord the minutes of such meetings, keep a record of attendance, and serve notices.

    b. He/she shall perform such duties, which ordinarily devolve upon the Secretary of anorganization.

    c. He/she shall report or submit any pertinent documents to the President and the Adviser asnecessary.d. He/she shall control the flow of supply of materials to be used by the organization.

    e. He/she shall be in charge of all correspondence and communications of the organization.f. He/she shall perform such other functions that may be assigned by the President and/or

    the Adviser.

    Sec. 2.4 The Treasurer is the Chief Financial Officer (CFO) of ARCHINET responsible for itseconomy, finance, and revenue. The Treasurer shall have the following powers, duties, andresponsibilities:

    a. He/she shall assist the President and the Secretary in their tasks.b. He/she shall have the responsibility over all financial transactions of UST-ARCHINET.c. He/she shall have the power to release and disburse money that the organization needs

    following the rules provided in this Constitution and General Statutesd. He/she shall evaluate all cash flows and liquidation reports of the organization.e. He/she shall perform such other functions that may be assigned by the President and/or

    the Adviser.

    Sec. 2.5 The Auditor is the official Accountant of ARCHINET who assesses the organizationsfinancial reports and system of internal control. The Auditor shall have the following powers, duties,and responsibilities:

    a. He/she shall assist the President and the Treasurer in their tasks.b.

    In time of temporary absence and/or disability of the Treasurer, he/she shall, for the timebeing, assume the powers, duties and responsibilities of the latter.

    c. He/she shall reinstate and approve all the cash flows and liquidation reports of theTreasurer.

    d. He/she shall submit a monthly financial report to the President.e. He/she shall perform such other functions that may be assigned by the President and/or

    the Adviser.

    Sec. 2.6 The Project Manager is ARCHINETs Chief of Staff who acts as the Presidentsliaison to the staffers and project heads. The Project Manager shall have the following powers,duties, and responsibilities:

    a. He/she shall assist the President and the Treasurer in all their tasks.b. The Project Managers sole responsibility is to make sure that all the activities approved by

    the Board of Officers are executed orderly.c. He/she shall monitor the Project Head/s of all special committees.d. He/she shall perform such other functions that may be assigned by the President and/or

    the Adviser.

    Sec. 2.7 The Creative Director shall have the following powers, duties, and responsibilities:

    a. He/she shall assist the President and the Project Manager in all their tasks.b. He/She shall be responsible for all creative documents that the organization needs.c. He/She shall be the Officer-in-charge of the Creative Team of ARCHINET.d. He/she shall consult to the Board any design proposals necessary for a certain activity.e. He/she shall perform such other functions that may be assigned by the President, the

    Project Manager, and/or the Adviser.

    Sec. 2.8 The Web Director shall have the following powers, duties, and responsibilities:

    a. He/she shall be responsible for all web documents of the organization.b. He/she shall be the Officer-in-charge of the Web Team of UST-ARCHINET.c. He/she shall assist the President and the Creative Director in their tasks.d. He/she shall perform such other functions that may be assigned by the President and/or

    the Adviser.

    Sec. 2.9 The Public Relations Officers is ARCHINETs Spokesperson and Ambassador in-charge of the organizations public image and is responsible for matters that may impact itsongoing reputation. The PRO shall have the following powers, duties, and responsibilities:

    a. He/she shall assist the Board in all its tasks.b. He/she shall be responsible for any promotional schemes that the Board needs for the

    success of its programs and activities.

    c. He/She shall maintain contact, inquire, and further relate to the people concerned in theactivities and projects of UST-ARCHINET.

    d. He/she shall, for the time being, assume the duties of the Project Manager in case of thelatters temporary absence.

    e. He/she shall perform such other functions that may be assigned by the President and/orthe Adviser.

    Sec. 3 The Advisory Board shall be composed of the Adviser, who shall act as its Chairman, and a groupof not more than five (5) and not less than three (3) senior students and faculty consultants.

    Sec. 3.1 The Adviser is a faculty member of the College of Architecture, appointed by thePresident of ARCHINET, to serve as a volunteer Consultant and Counselor. The Adviser shall havethe following powers, duties, and responsibilities:

    a. To provide counsel for the welfare of UST-ARCHINET and its membersb. To represent the organization whenever it needs representationc. To enforce this Constitution and General Statutesd.

    To sign all documents and communications concerning all matters of the organizatione. He/she, in consultation with the officers, shall have the authority to establish an ad-hoccommittee composed of members of UST-ARCHINET to aid the officers in theimplementation of the projects and activities of the organization.

    Sec. 3.2 The senior student and faculty consultants are appointed by the President for oneacademic year. For student consultants, their qualifications shall be based on seniority, that is, theyshould be an active member or officer of the organization for at least one year prior to theappointment. The past presidents of UST-ARCHINET shall automatically be permanent members ofthe Advisory Board.

    Sec. 4 Aside from being a consultative body, the Advisory Board shall exercise judicial authority. It shall

    have the power to interpret this Constitution and General Statutes and such other rules that may bepromulgated by the Board of Officers.

    ARTICLE VELECTION AND APPOINTMENT OF OFFICERS

    RULE I THE PRESIDENCY

    Sec. 1 Aspirants for the position of the Presidency must meet two basic requirements in order to beeligible for candidacy: (1) He/She must be a bonafide member of UST-ARCHINET one year beforethe date of elections. (2) He/She must be an active member of UST-ARCHINET as may bedetermined by his/her participation to the organizations activities and his/her attendance inmeetings and general assemblies.

    Sec. 2 Candidates for the position of the presidency are nominated by members of UST-ARCHINET. Theoutgoing Board of Officers shall determine the eligibility of the nominated candidates.

    Sec. 3 Call for Nominations for the Presidency shall be opened on a February at a specific date to bedetermined by the outgoing Board of Officers. The nomination shall be open for a period of not lessthan seven (7) working days and not more than ten (10) working days from the time it wasdeclared opened.

    Sec. 4 The outgoing Board of Officers shall determine the date, time, and venue of the elections and shallinform the members of UST-ARCHINET about the details of the proceedings. The elections shall beheld in a special general meeting to be convoked by the outgoing President.

    Sec. 5 Only the outgoing officers may vote. Elections shall be done by secret ballot. Canvassing of votesshall be held immediately after the elections.

    Sec. 6 Election shall be determined by plurality of votes. The outgoing Board of Officers shall announce theresults immediately after all the ballots have been canvassed and tallied. Any tie vote shall bebroken by a special election to be called on the same day.

    Sec. 7 To ensure transparency, the elections shall be held in the presence of the members of theorganization other than the outgoing officers and the Advisory Board.

    RULE II THE VICE PRESIDENCY AND OTHER POSITIONS

    Sec. 8 Aspirants for official positions in the Board of Officers other than the Presidency must meet twobasic requirements in order to be eligible for appointment: (1) He/She must be a bonafide memberof UST-ARCHINET one year before the date of elections. (2) He/She must be an active member ofUST-ARCHINET as may be determined by his/her participation to the organizations activities andhis/her attendance in meetings and general assemblies.

    Sec. 9 The President-Elect shall have the power to appoint eligible members to official positions in theBoard of Officers. Appointments shall be endorsed to the Adviser as a gesture of courtesy.

    RULE III CONFLICT OF INTEREST

    Sec. 10 An officer should avoid any conflict of interest or appearance of a conflict of interest. A conflict ofinterest exists if an officer has an affiliation or any form of relationship to a competitive foreignorganization that is or could be adverse to, or conflict with, the best interests of UST-ARCHINET. Inorder to prevent conflicts or potential conflicts of interest, the following rules shall be applied:

    Sec. 10.1 No member, who is at the same time an officer of foreign organizations under theCollege of Architecture, may be elected to the position of the Presidency.

    Sec. 10.2 No member, who is at the same time a head or deputy head of foreign organizations

    under the College of Architecture, may be elected or appointed to any position in UST-ARCHINET.

    Sec. 10.3 No member, who is at the same time a member of more than two foreignorganizations under the College of Architecture, may be elected or appointed to any position inUST-ARCHINET.

    RULE IV TENURE OF OFFICE, RESIGNATION, AND TERMINATION

    Sec. 11 Elected and appointed officers shall serve for one (1) academic year or until a new set of officersare elected or appointed as provided for in this Constitution and General Statutes.

    Sec. 12 In the event of an officers resignation, termination, or any occurrence that shall render his/heroffice vacant, the Adviser of UST-ARCHINET shall appoint a successor to the vacant position for theduration of the unexpired term, except for the position of the President that shall be assumed by theVice-President.

    Sec. 13 The Advisory Board after due process, can by 2/3 majority vote terminate an officer for graveviolation of the Constitution and General Statutes, dereliction of duties, and/or conduct unbecomingof an officer. Any member may file a termination complaint against an officer to the Advisory Board.The Advisory Board shall then furnish a copy of the complaint to the accused officer withaccompanying instruction to file his/her answer and affidavits of witnesses, should he have any,within a week from receipt of the complaint. After the complaint and answer has been filed, theAdvisory Board shall conduct an investigation and may summon the complainant and the accused

    for a hearing. The Advisory Board shall decide the matter within 10 days after the start of theinvestigation. Should the accused be found guilty and as a result was terminated from office,he/she may file an appeal within one (1) week after his/her termination to the Dean of the College ofArchitecture who shall then act as the final authority in the case.

    ARTICLE VIPROJECT MANAGEMENT

    Sec. 1 For every project, there shall be a temporary Project Head who shall act as the coordinator andorganizer. The Project Head shall work closely with and under the direct supervision of the ProjectManager and the President. The Project Head shall have the following duties and responsibilities:

    Sec. 1.1 He/She shall see to it that all necessary requirements for the approval of a particularstudent activity are accomplished efficiently without delay.

    Sec. 1.2 He/She shall prepare a budget proposal for the activity and shall endorse the same tothe Board of Officers.

    Sec. 1.3 He/She shall take charge of the necessary logistics and preparations for the event.

    Sec. 1.4 He/She, with permission from the President or the Project Manager, may formcommittees to aid him/her in the successful implementation of a project.

    Sec. 2 The President or the Secretary alone is authorized to sign contracts and agreements with foreignparties involved in a project. All legal and financial contracts must be reviewed by the Board ofOfficers.

    Sec. 3 The President can intervene with the management of a project's budget. He/She may also makeunbudgeted disbursements for the needs of the project without prior approval of the Board ofOfficers or the Project Head provided these are not in excess of the maximum amount determinedin the budget.

    Sec. 4 The President shall be vested with emergency powers with regards to the management of aparticular project. The President may at any time, intervene with, suspend, review, or call-off any

    activity which he/she deemed inappropriate and/or mishandled. At the same time, the Presidentmay dismiss the Project Head at any time for the sole reason of loss of confidence, and may assigna replacement.

    Sec. 5 With regards to a particular project's promotions, the following guidelines shall be observed:

    Sec. 5.1 UST-ARCHINET shall promote its projects in a professional manner befitting anacademic organization.

    Sec. 5.2 Posters announcing an event that is academic in nature like seminars, symposiums,and workshops shall adopt a formal and professional layout and design. It shall also bear the title ofthe event, an abstract, and the profile/s of the speaker/s if any.

    Sec. 5.3 If there are company sponsors, their logos shall be included in official promotionalparaphernalia depending on UST-ARCHINET's agreement with the sponsoring company.

    ARTICLE VIIRULES OF ORDER IN THE CONDUCT OF ORGANIZATIONAL MEETINGS

    Sec. 1 To conduct business efficiently, UST-ARCHINET shall strive to maintain professionalism and order in allits organizational meetings. It shall also strive to protect the rights of the participants in a meeting and atthe same time, promote the welfare of the general membership.

    Sec. 2 For purposes of clarity, Officers Meeting shall be defined as a meeting restricted to the officers of theorganization while Advisory Meeting shall be defined as a meeting restricted to the members of theAdvisory Board. General Meeting shall be defined as a meeting restricted to all registered members ofARCHINET including its officers. Committee Meeting is defined as a meeting restricted to members of aparticular committee whether permanent or ad-hoc. In extraordinary cases, any person may be invitedto attend any of the meetings. Members of the Meeting are the people attending a particular meeting.

    Sec. 3 In any meeting, there shall be a presiding officer. The presiding officer of General Meetings and OfficersMeetings shall be the President. For Advisory Meetings, the Adviser shall be the presiding officer. ForCommittee Meetings, the committee head shall be the presiding officer.

    Sec. 3.1 In any meeting, the Presiding Officer retains his/her right to vote in all motions. He/she isexpected to act as a moderator and coordinator rather than a partisan.

    Sec. 3.2 It is the duty of the Presiding Officer to see to it that the rules of order are applieddemocratically, without favoritism, so that all important matters may receive adequate discussion andthe decisions made by the meeting shall reflect the careful judgment of the voting majority.

    Sec. 3.3 The Presiding Officer must be familiar with all sections of the Constitution and GeneralStatutes that deal in any way with the holding of meetings, the voting rules, and the duties and rights ofthe membership.

    Sec. 3.4 The Presiding Officer shall have available at each meeting a copy of this Constitution andGeneral Statutes.

    Sec. 4 UST-ARCHINET, as a self-governing organization, shall adopt the following basic parliamentaryprocedures in its deliberative meetings. At its heart is the rule of the majority with respect to theminority.

    Sec. 4.1 A quorum must be present at a meeting before business can be transacted. In a GeneralMeeting, a quorum requires 1/3 of the eligible voting membership. In an Officers Meeting, a quorumrequires 1/2 of the entire Board of Officers.

    Sec. 4.2 The meeting shall be called to order at the hour set in the notice, or as soon thereafter asa quorum is assembled.

    Sec. 4.3 If no quorum can be assembled, those present must adjourn the meeting without transactingany business except that they may set a date of the reconvening of the adjourned meeting. However, inextraordinary cases, the meeting may, for a lack of quorum, be suspended until such time that aquorum has been assembled.

    Sec. 4.4 At every meeting there should be a list of the matters to be acted on, arranged in the order inwhich they are to be taken up. This list should be prepared in advance by the Presiding Officer inconsultation with the Secretary. Additional matters may be brought up at the meeting.

    Sec. 4.5 A recess may be taken at any time in the middle of the meeting. Any pending discussionshall resume after the recess. A recess should not exceed 30 minutes.

    Sec. 4.6 The meeting shall adjourn at the time set for adjournment. In cases where there is nodefinite time set for adjournment, the meeting may be adjourned after all urgent agenda, as determinedby the Presiding Officer, has been discussed and deliberated.

    Sec. 5 Meetings shall be called in advance hence, Members of the Meeting are given time to make adjustmentsto their personal schedules. The Members of the Meeting are expected to be punctual. Tardiness is asign of lack of professionalism and, in the case of officers, a conduct unbecoming of an officer.

    Sec. 6 UST-ARCHINET shall adopt the following code of decorum in all its organizational meetings.

    Sec. 6.1 Fair Play. The Presiding Officer should be a fair-minded moderator, not a dictator.

    Sec. 6.2 Avoid Confusion. Preserve order. Do not let more than one person talk at a time. ThePresiding Officer decides who is to have the floor.

    Sec. 6.3 Talking to the Point. The Presiding Officer should insist that members be brief and talk tothe point.

    Sec. 6.4 Talking Loud Enough. It is necessary for everyone including the Presiding Officer to speakloud enough for the entire meeting to hear what is being said. If a person cannot be heard by everyone,the Presiding Officer should repeat the gist of what was said.

    Sec. 6.5 Avoid Hasty Action. Decisions on important matters should be made only after all the factsare known and have been considered fairly. It is safer in most instances to delay action than to act inignorance of the facts. However, it is usually possible to have a committee look into any particularmatter of importance in advance of the meeting, so that facts can be put before the meeting andintelligent action taken.

    Sec. 6.6 Any Member of the Meeting who, for violation of the Code of Etiquette, causes disorderand/or interruption of the meeting may be dismissed from the meeting at the discretion of the PresidingOfficer. In the case of Officers, violation of the Code of Etiquette constitutes conduct unbecoming of anofficer.

    Sec. 7 While the foregoing Rules of Order are provided for the purpose of conducting business in an orderlymanner, there are occasions when informality can reach the same results. Quite often, especially in an

    Officers Meeting, a decision may be reached after discussion by merely asking for objections. If thereare no objections, the Presiding Officer can rule a unanimous decision. The Secretary will then recordthe matter accordingly.

    Sec. 8 All agenda discussed in meetings shall be confidential.

    ARTICLE VIIICODE OF CONFIDENTIALITY

    Sec. 1 No member shall disclose to a third party or use for his or her own personal benefit confidentialinformation of UST-ARCHINET. Confidential information includes, without limitation, information or dataknown or acquired relating to the organization's decisions, planning, strategy, competitive bids, existing

    or potential events and speakers, financial status, or any other information that is of a confidentialnature. This prohibition also applies to personal information of the members of UST-ARCHINET andother parties with whom the organization does business. The premature disclosure of informationintended for public disclosure before the actual disclosure of such information is authorized by theBoard of Officers is also prohibited.

    ARTICLE IXBUDGET AND FINANCES

    Sec. 1 All financial transactions shall be strictly under the supervision of the President, the Treasurer, theAuditor, and the Adviser. Receiving and releasing of funds shall be noted by the Treasurer, andconfirmed by the Auditor and the President or the Secretary.

    Sec. 2 Funds is solely intended for the use of UST-ARCHINET in the successful implementation of its projectsand shall conform to a predetermined budget plan.

    Sec. 3 The bank account of UST-ARCHINET shall be under the name of the UNIVERSITY OF SANTO TOMASARCHITECTURE NETWORK.

    Sec. 4 Only the President and the Treasurer are authorized to withdraw funds from the bank account of UST-ARCHINET. All withdrawal slips should be duly signed by the Treasurer, the President, and the Auditor.

    ARTICLE X

    SEPARABILITY CLAUSE

    Sec. 1 If, for any reason, any section or provision of this Constitution and General Statutes is declared invalidby the university, the remaining provisions shall not be affected by such declaration.

    ARTICLE XIAMMENDMENTS

    Sec. 1 Any section or provision of this Constitution and General Statutes may be amended or repealed by a 2/3vote of the Board of Officers and the Advisory Board in a special meeting assembled. The members ofUST-ARCHINET shall be informed of any amendments through the Secretary.

    ARTICLE XIIEFFECTIVITY

    Sec. 1 This Constitution and General Statutes shall take effect upon ratification of the Board of Officers inconsultation and endorsement of the Advisory Board, the Dean of UST College of Architecture, and theCollege Regent.
