TERMSANDCONDITIONSWHEREAStheClient(s)aredesirousinbookingTheMosaicWeddingCompanyastheofficialplannertoundertaketheirweddingdayandwhereasthepartiesheretoaredesirousinrecordingsuchagreementinwriting;andNOWTHEREFOREthepartiesagreeasfollows:

1.INTERPRETATION

1.1 ItisagreedthatthiscontractisenteredintobetweenthePlannerandtheClient(s)anditisfurtheragreedthatthePlannershallbethesoleprofessionalplanneroftheday.

1.2 Thesetermsconstitutethewholeagreementbetweenthepartiesandthedueperformanceofthecontractissubjecttothetermsbelow.Thetermsassetouthereinwilltakeprecedenceoveranyotherterms,conditionsand/orstipulationscontainedinanyoftheClient(s)documentationandanyagreementand/ortermpurportingtovaryornovatethetermsofthisagreement,oranyconsensualcancellation,shallnotbevalidunlessreducedtowritingandsignedbytheClient(s)andthePlanner.

2.DEFINITIONS

Thefollowingwordsorexpressionsshallcarrythemeaningsassignedthereto:

2.1 “Contract”meansthesestandardtermsandconditions,togetherwithanyandallAnnexures,whichistobereadtogetherasonecontractandwillbeconsideredasonedocument,allofwhichwillhavetheeffectofalegalandbindingagreementbetweentheparties.Agreementshallbeconstruedaccordingly.

2.2 “Package”meanstheweddingpackageoramountasselectedbytheClient(s)

2.3 “Client(s)”meanstheundersignedperson(s)hereinbelow,theirrepresentatives,successors,assigns,agentsandaffiliates.

3.PAYMENTTERMSANDBOOKINGFEE

3.1.1 Uponacceptanceandreceiptofthequotation,thepaymentofaretainerfeeof50%ofthetotalquotedfeebecomesdueandpayableimmediately.Thisfeesecuresthedate,timeandservicesofthePlannerandisnotrefundableortransferableintheeventofcancellation,itbeingtheagreedlosssufferedbythePlannerduetocancellation.

3.1.2 Theretainerfeecannotbeexchangedforotherservicesorproducts.ShouldthedatefortheweddingchangeandthePlannerisnotavailabletoattendthenewdate,youwillforfeityourretainerfee.

3.1.3 Theoutstandingamount(50%)becomesdueandpayable2weeksbeforetheweddingdayor/onpresentationofaninvoicebythePlanner.Kindlynotethatallpaymentsmade,eitherbywayofaninternet/electronicfundstransfer,orcash,istobefreeofcommissionandbankcharges,failingwhichthesechargesaretobecarriedbytheClient(s)andwillbeaddedtothefinalaccountrenderedbythePlanner.

3.1.4 Nodatewillbebookedand/orsecuredunlesstheretainerfee,asisreferredtoabove,hasbeenpaidinfull.

4.CANCELLATIONANDCHANGES

4.1 TheClientmaycancelthiscontractatanytimebygivingwrittennoticetothePlannerbutindoingsoshallforfeittheirbookingfeepaid.Inadditionhereto,andsaveforthecancellationbeingduetodeathorhospitalisationoftheClient(s),thefollowingchargeswillbedueandpayableincaseofcancellation,itbeingtheagreedlosssufferedbythePlannerduetosuchcancellation:

150dayspriortothefunction: 20%oftheoutstandingamount120dayspriortothefunction: 40%oftheoutstandingamount90dayspriortothefunction: 60%oftheoutstandingamount60dayspriortothefunction: 80%oftheoutstandingamount30dayspriortothefunction: 100%oftheoutstandingamount

5.FORCEMAJEUREORACTOFGOD

5.1 Thedueperformanceofthiscontractissubjecttoalterationorcancellationbyeitherpartyowingtoanycausebeyondtheircontrol.InsuchaneventthePlannerwillnotbeliabletotheClient(s)and/oranyfurtherpersoninrespectofanylossand/ordamageofwhatsoevernaturecausedby,orarisingfromanyofthefollowingcircumstances:

5.1.1 Forcemajeure(ActsofGod)ie–weather,asinrain,thunderstormsorlightningthathasdamagedanything.

5.1.2 Theloss,damage,destructionortheftofanypropertyonthevenue;

5.1.3 Anyactorcircumstance,saveforgrossnegligencebythePlanner,causingtheloss,damage,destruction,theftandsuchotherrelatedevents.

5.1.4 Lossordamageresultingfromorrelatedtotheuseofanyequipmentonthevenue,includingbutnotlimitedtofurniture,cutleryandcrockery,soundequipmentandphotographicequipmentortechnicalfailurethereof.

6.LIMITATIONOFLIABILITY&INDEMNITY

6.1 IntheunlikelyeventofthePlannerbeingunabletoattendtotheweddingduetoanycausebeyondthePlanner’scontrol,thePlannerreservestherighttoappointanotherPlannertoattendtoyourweddingontheirbehalftoundertaketheweddingtohis/herbestability.Ifthesituationshouldoccurandasuitablereplacementisnotfound,responsibilityandliabilityofthePlannerislimitedtothereturnofallpaymentsreceivedfortheeventpackage.

7.DISPLAY

7.1 TheClient(s)herebypermitandallowthePlannertodisplayanyimagescoveredbythiscontractandtogenerallypromotethebusinessbymeansofadvertising,publicitymaterial,websites,exhibitions,competitions,magazinearticles,andothersuchmedia,providingthattheimagesareusedlawfullyandwithoutdamagetotheClient(s).

7.2 ItisspecificallyagreedthattheMaterialmaybeusedonFacebook,Twitterand/orsuchothersocialmediaforumsasisdesired,andthattheClients’maybetagged,orotherwiseidentified,unlessotherwiseagreedinwriting.

8.ONTHEWEDDINGDAY

8.1 SoleRights:ThePlannershallbethesoleprofessionalPlannerofthedayatthevenue(s)specified.

8.2 OvertimeCharged:AllovertimechargedwillbecomputedatarateofR1000perhour,orasotherwiseagreedbetweenthePlannerandtheClient(s).Thiswillbementionedtotheclientbeforetheovertimeoccurs.ThisisonlyforOntheDayCoordinationandnottheFullPlanningPackage.However,thePlannerdoesnotneedtostaylongerthannecessary.

8.3 Accommodation:Shouldthevenueforthefunctionbemorethan1hour’sdrivefromThePlanner’soffice,suitableaccommodationshouldbeprovidedforthePlannerandanassistant(ifapplicable).TheseaccommodationchargesareexcludedfromthequoteandarefortheClientsaccount.

8.4 TravellingExpenses:Thefirst100kmareincludedinamount.TravelchargesofR3.00perkmafterthose100km’swillbecharged,toll-gatecostswillalsobeaddedtothefinalcost.ThesetravellingchargesareexcludedfromthequoteandarefortheClientsaccount.Anyfurtherand/ormoreadvancedtravelarrangementswillbeasdiscussedbetweenClientsandPlanner–thisonlyappliestothedayofthewedding.Theplanneroffershis/hertravelservicesfreeofchargeduringtheplanningstages,unlessthedrivingisover30kmperday.

9.BREACH

9.1 TheClient(s)agreeandacknowledgethatintheeventofthembreachinganyconditioncontainedinthisdocument,thenthePlannershallwithoutprejudicetoanyotherremedieswhichthePlannermayhaveinlaw,beentitledtosummarilycancelthiscontractwiththeClient(s)withoutnoticetotheClientandtore-possessthoseMaterialsalreadydeliveredtotheClient(s);ortoclaimspecificperformanceofalloftheClient’sobligationswhetherornotsuchobligationswouldotherwisehavefallendueforperformance.

9.2 Furthermore,IntheeventoftheClient(s)breachinganyconditioncontainedinthisdocument,theClient(s)consentstothepaymentofalllegalcosts,includingthepaymentofcollectioncommissionandtracingagent’sfees,shouldthePlannerhavetoinstitutelegalactionagainsthim/her,onthescaleasbetweenattorneyandclient.

10.GENERAL

10.1 TheheadingsoftheclausesinthisAgreementareforthepurposeofconvenienceandreferenceonlyandshallnotbeusedintheinterpretationofnormodifynoramplifythetermsofthisAgreementnoranyclausehereof.

11.GOVERNINGLAW

11.1 ThisagreementanditsterminationshallbegovernedbyandconstruedinaccordancewiththelawsoftheRepublicofSouthAfrica.

BoththePlannerandtheClient(s)agreethatalllegalactionbasedonanyclaimarisingunderoroutofthisagreementmustbedeterminedinaccordancewithSouthAfricanLawandfiledandprosecutedinacourtofcompetentjurisdictionlocatedintheRepublicofSouthAfricaandeachofthemherebyconsentsandirrevocablysubmitstothejurisdictionofsuchcourtinrespectofalllegalactionorproceedingsarisingoutoforinconnectionwiththisagreement,itsimplementation,interpretationand/ortermination.

12.VALIDITYOFQUOTATION&COOLING-OFFRIGHT

12.1 Thisweddingpackagequotationisvalidfor14(fourteen)daysonlyandtheservicesonthisofferwillbereservedsubjecttopaymentofthedepositasstatedinclause2above.

12.2 ShouldthiscontracthavebeenenteredintoasaresultofdirectmarketingasdefinedintheConsumerprotectionact2008,themtheClient(s)attentionisdrawntotherightsinferreduponthemintermsofsection16(3)oftheConsumerProtectionAct,intermsofwhichtheClient(s)mayterminatethisagreement,withoutreasonorpenalty,bywrittennoticetothePlanneraftera5(five)dayperiodaftersignaturehereof,andtohaveanyamountalreadypaidbythemintermshereofrefundedintheeventofsuchtermination.

13.ACCEPTANCEANDACKNOWLEDGEMENT

13.1 TheClient(s)herebyacceptsthequotationfromThePlannertorenderandsupplyallservicesandmaterialsasagreedupononthesetermsandconditionsasstatedherein.TheClient(s)bysigningthiscontractacknowledgesthattheyhavereadandunderstoodthetermsandconditionsandagreestoalloftheaboveandisfurtherfamiliarwithalldetailsoftheselectedweddingpackage.
