Service Provider Criteria and Contract Requirements

E-Rate SUPPLEMENTAL TERMS AND CONDITIONS

The Telecommunications Act of 1996 established a fund by which Schools and Libraries across the Country could access discounts on eligible telecommunications products and services. The program is commonly known as the E-Rate Program. The eligibility for discounts on internet access, telecommunications products and services, internal connection products, services and maintenance is determined by the Federal Communications Commission (FCC). Funding is made available upon application approval by the Schools and Libraries Division (SLD) of the Universal Service Administrative Company (USAC), which was established by the Act. The amount of discount is based on the numbers of students receiving free and reduced price meals.

• The Tulare County Office of Education (District) project herein is contingent upon the approval of funding from the Universal Service Fund’s Schools and Libraries Program District reserves the right to cancel this Request for Proposal (RFP) at any time or limit quantities due to insufficient or non-appropriation of funds.

• The District expects Service Providers (SP) to make themselves thoroughly familiar with any rules or regulations regarding the E-Rate program.

• SP are required to be in full compliance with all current requirements and future requirements issued by the SLD throughout the contractual period of any contract entered into as a result of this RFP.

• SP are responsible for providing a valid SP Identification Number (SPIN). More information about obtaining a SPIN may be found on the USAC website.

• SP are responsible for providing a valid FCC Registration Number (FRN) at the time the bid is submitted. More information about obtaining an FRN may be found on the FCC website.

• SP are responsible for providing evidence of FCC Green Light Status at the time the bid is submitted. Any potential bidder found to be in Red Light Status will be disqualified from participation in the bidding process and will be considered non-responsive. More information about FCC Red and Green Light Status may be found on the FCC website

• Products and services must be delivered before billing can commence. At no time may SP invoice before July 1, 2018.

• Prices must be held firm for the duration of the associated E-Rate Funding Year(s) or until all work associated with the project is complete (including any contract and USAC approved extensions).

• The SP agrees to bill and receive a portion of the payment for the provisions of goods and services described herein directly from USAC via the Form 474 SP Invoice (SPI). The District will only be responsible for paying its non‐discounted share of costs and does not intend to use the BEAR process (Form 472). The maximum percentage the District will be liable for is the pre-discount amount minus the funded amount as shown on the FCC Form 471 Block 5 and any identified ineligible costs.

• All SP invoicing to USAC must be completed within 120 days from the last day of service. Should the SP fail to invoice USAC in a timely manner, the District will only be responsible for paying its non-discounted share.

• SP shall retain all documentation related to the purchase, payment, delivery and/or installation, including Forms 474 and receipt of payment from USAC, for all products and services provided to the District. Related documentation must be retained in accordance with USAC policy.

• The District retains the right to cancel this project in whole or in part, regardless of contract award or E-Rate funding approval. Execution of the project, in whole or in part, is solely at the discretion of the District.

• Within one (1) week of award, the awarded SP will provide the District with a bill of materials suitable for the Form 471 Item 21 Attachment. Approval for any deviation from the Item 21 Attachment must be obtained from District. Subsequent schedules of values and invoices for each site must match Item 21 Attachment or subsequent service substitutions.

• In the event of questions during an E-Rate pre-commitment review, post-commitment review and/or audit inquiry, the awarded SP is expected to reply within 3 days to questions associated with its proposal.

• No change in the products and/or services specified in this document orders will be allowed without prior written approval from the District and a USAC service substitution approval with the exception of a Global Service Substitutions.

• The SP acknowledges that all pricing and technology infrastructure information in its bid shall be considered as public and non-confidential pursuant to §54.504 (2)(i)(ii).

• The SP acknowledges that its offer is considered to be the Lowest Corresponding Price (LCP) pursuant to § 54.511(b). Should it not be the LCP, the SP must disclose the conditions leading to the District being charged in excess of LCP.

• This offer is in full compliance with USAC’s Free Services Advisory, located on the USAC website.

There are no free services offered that would predicate an artificial discount and preclude the District from paying its proportionate non-discounted share of costs. The SP agrees to provide substantiating documentation to support this assertion should the District, USAC, or the FCC request it.

• The awarded SP is required to send copies of all forms and invoices to the District prior to invoicing USAC for pre-approval. Failure to comply with this requirement may result in the District placing the SP on an “Invoice Check” with USAC. Details on “Invoice Check” can be obtained from the USAC website.

• Services providers must comply with the FCC rules for LCP. Details on LCP can be obtained from the USAC website.

Prospective SP will be required to submit the following:

Three (3) references describing SP portfolio experience with comparable projects within a K-12 customer market; SP SPIN number; and SP FCC FRN. Failure of SP to supply these documents shall be considered grounds for disqualification.

SP must meet the following qualifications to be considered for award. Documentation regarding the following qualifications MUST be included in the SP proposal. Non-inclusion of applicable documents is basis for disqualification.

1. When providing electronic equipment quotes for switches/hubs/routers/access points, SP must have at least one (1) Certified Engineer or equivalent on staff.

2. If requested by the District, SP must be willing to have employees fingerprinted at no cost to the District.

3. All product pricing provided for Form 471 purposes must be functional equivalent or better, once the District has received USAC approval for purchase.

4. SP shall provide references for staff to be associated with project work and implementation.

5. SP shall provide three (3) original RFP Responses; and one (1) digital copy of the RFP submittal, including the summary sheet.

Right to Reject Any and All Quotes

The District reserves the right to reject any or all quotation submittals and to waive any informalities or regularities. The SP quotation submission is recognition of this right. In addition, the District reserves the right to fund, (proceed with project or purchase) or not to fund, regardless of E-Rate approval.

Evaluation Criteria

Tulare County Office of Education, in compliance with FCC rules, will award to the SP providing the most cost-effective service offering. Per the Sixth Report and Order, FCC 10-175, FCC rules dictate the following: § 54.503 (c)(2)(vii) All bids submitted for eligible products and services will be carefully considered, with price being the primary factor, and the bid selected will be for the most cost-effective service offering consistent with § 54.511. § 54.511 Ordering Services (a) Selecting a provider of eligible services. In selecting a provider of eligible services, schools, libraries, library consortia, and consortia including any of those entities shall carefully consider all bids submitted and must select the most cost-effective service offering. In determining which service offering is the most cost-effective, entities may consider relevant factors other than the pre-discount prices submitted by providers, but price should be the primary factor considered. Therefore, the District may consider factors other than price in the consideration of bids; price for E-Rate eligible goods and services will be the primary factor considered.

Trade Names and Alternatives

For convenience in designation on the plans or in the specifications, certain articles or materials to be incorporated in the work may be designated under a trade name or in the name of a manufacturer. Whenever in specifications any materials, process, or article is indicated or specified by grade, patent, or proprietary name or by name of manufacturer, such specification shall be deemed to be used for the purpose of facilitating description of material, process or article desired and shall be deemed to be followed by the words "or equal," and SP may, unless otherwise stated, offer any material, process or article which shall be substantially equal or better in every respect to that so indicated or specified. Burden of proof as to equality of any material, process or article shall rest with service provider. SP shall submit request together with substantiating data for substitution of any "or equal" item within the sealed bid packet at the closing of bids. Provision authorizing submission of "or equal" justification data shall not in any way authorize an extension of time of bid response. Please note: All “or equal” components must not void and must be supported by corresponding manufacturer warranty. Submission Instructions

E-Rate YEAR 2018/2019

PROJECT SPECIFICATIONS Scope of Bid The purpose of this RFP is to provide TCOE with a qualified telecommunication services provider who can meet the current and future needs of TCOE in the most cost-effective manner. The quantities described will be estimates only. TCOE shall not be obligated to purchase any particular quantity of services detailed herein. TCOE reserves the right to award any or all parts of this RFP to one SP, split the award across multiple SPs, or reject any and all proposals. TCOE intends to obtain maximum funding discounts under the E-Rate program and the California Public Utilities Commission’s California Teleconnect Fund (CTF) for eligible services procured as a result of the RFP. It shall be the responsibility of the bidder to ensure all E-Rate and CTF eligible services and products are identified as part the RFP response. Sites and services included in this RFP are detailed in Appendix E. Preparation of Proposal Each proposal should be prepared simply and economically, and should provide a straightforward, concise description of the bidder’s ability to the meet the requirements of the RFP. Bindings, colored displays, promotional material, etc. will receive no evaluation credit. Emphasis should be on completeness and clarity of content. Cost of preparation of the response to the RFP is solely the responsibility of the SP. TCOE accepts no liability or responsibility whatsoever for the cost of proposal preparation or presentation. Proposals must be signed by an individual authorized to legally bind the SP.

Pricing of Proposal Pricing must reflect the lowest corresponding price. Prices must be guaranteed for the duration of the selected contract term, or the internal connections funding cycle as set by the SLD and FCC, or until all work associated with the project is complete, including any SLD approved extensions. References only to 3rd party contracts are not acceptable. All pricing must be clearly outlined in the proposal.

The terms, conditions, specifications and scope of work contained in this RFP may be amended or modified only with the prior written approval of TCOE. Any addenda or bulletins issued by TCOE prior to the opening of the RFP shall form a part of the specifications issued to SPs for the preparation of their proposals and shall constitute a part of the contract documents. Taxes & Fees For the purposes of this RFP, any applicable taxes, fees or government surcharges shall be itemized separately in the Proposal. Federal excise taxes are not applicable to school districts. Negotiations A proposal to any specific requirement of this RFP with terms such as “negotiable,” “will negotiate,” or similar will be considered non-responsive to that specific item and may render the entire proposal non-responsive and subject to rejection.

Terms and Conditions

• Right to Cancel RFP o TCOE reserves the right to cancel this RFP at any time and to reissue it for any reason

whatsoever.

• SLA and Fees o The bidder will provide a copy of all Service Level Agreements (SLA), sample Contract, or

similar, that outline clear and concise calculations of all fees, to include transfer fees, activation fees, or similar (see paragraph below regarding termination fees).

• Billing o SP will follow USAC’s Invoice Method #2 by providing TCOE discounted bills and SP will

seek reimbursement for the discount amount by filing FCC Form 474. TCOE will only be responsible for paying the discounted amount.

o The proposal shall clearly describe the methodology for resolving billing issues. o No billing will take place prior to July 1, 2018.

• Invoicing o Invoices shall be submitted to:

o For the E-Rate discounted portion of the billable amount, invoices must be submitted in accordance with applicable E-Rate program instructions. Invoices for TCOE’s portion shall be processed for payment once a month for recurring services, or within 30 days of receipt of a non-disputed invoice for one-time charges.

o Invoicing will be on a Summary bill(s) with options for online access and itemized information available. The invoices shall include:

▪ Billing dates ▪ Detail of installation, pro-rated, and other one-time charges

▪ Detail of monthly recurring charges ▪ Taxes and surcharges ▪ Credits and adjustments

• E-Rate Compliance o SP is, and agrees to remain, in compliance with all current E-Rate program guidelines

established by the Federal Communications Committee (FCC). This project is entirely contingent upon E-Rate funding and TCOE may or may not undertake the project at its sole discretion.

o Information regarding eligibility of goods and services, invoicing requirements, documentation requirements and other program rules are available from the SLD.

o In all communications, including (but not limited to) invoices, any responses to this RFP, reports, and proposals, goods and services provided shall be clearly designated as “E-Rate Eligible”. Non-Eligible goods and services shall be clearly called out as 100% non-eligible or shall be “cost-allocated” to show the percentage of eligible costs per SLD guidelines.

o Regardless of contract “signing date”, goods and services requested in this RFP shall be delivered no earlier than the start of the July 1 of the funding year.

o To assure that all charges are eligible for E-Rate funding, contract renewal and expiration dates shall coincide with the start/end dates of the E-Rate funding years. By submitting a response to this RFP, SP agrees that contract start date will be July 1 of funding year, regardless of actual service delivery start date. By submitting a response to this RFP, SP agrees that the contract renewal and expiration date will be June 30, regardless of actual service delivery start date.

o SPs agree to conform to all E-Rate guidelines for the billing of discounts to the SLD. A current Service Provider Annual Certification (SPAC) form must be on file with USAC for the proposal funding year and for subsequent years throughout the term of the contract. If the awarded SP fails to file the appropriate forms with the SLD or fails to receive an SLD SPIN number, then at the discretion of TCOE, the contract may be terminated. Billing method will be in Service Provider Invoice (SPI) form: The SP will only invoice TCOE for the non-discounted portion of the costs after the E-rate discount is applied. The SP will then invoice the SLD for the E-rate discounted portion. The SP must also provide the name, title and telephone number for a single point of contact of E-Rate questions.

o The E-Rate program requires that all records be retained for at least ten (10) years. The SP hereby agrees to retain all books, records, and other documents relative to this contract for ten (10) years after final payment, or until audited by SLD and/or TCOE, whichever is sooner. TCOE, its authorized agents, and/or auditors reserves the right to perform or have performed an audit of the records of the SP and therefore shall have full access to and the right to examine any of said materials within a reasonable period of time during said period.

• Non-funding of E-Rate or CTF o TCOE’s obligation to procure services provided under this contract are contingent upon the

Tulare County Office of Education receiving a fully-funded E-Rate Funding Commitment Decision Letter (FCDL) for each year of eligible services, being able to fully participate in the CTF program, and that it is in the best interest of TCOE. TCOE reserves the right to

cancel this RFP at any time or limit quantities due to insufficient or non-appropriation of funds. No termination liability penalties will apply if E-Rate money discounts are denied, reduced, or discontinued, or if the CTF discounts are denied, reduced, or discontinued or if it is not in the best interest of TCOE.

• Loss of Funding o It is understood that TCOE is dependent upon funds from other Governmental and private

sources. If a reduction in such funding renders TCOE unable to maintain its program(s), TCOE shall have the right to terminate this agreement or individual service order by providing the Service Provider with thirty (30) days prior written notice with no termination fees. The determination as to whether sufficient funds are available to operate shall be within the sole discretion of TCOE. By submitting a response to this RFP, SP agrees that TCOE may terminate this agreement or individual service order as described with no termination fees.

• Rate Plans and Service Options o On a minimum of a semi-annual basis, SP shall meet with TCOE to review any new rate

plans and service options, including additional discount plans, that become available and that may be beneficial to TCOE.

• Insurance o Successful SP shall provide proof of insurance, including Workers’ Compensation and

general liability with TCOE named as an additional insured. SP must complete and submit the enclosed Workers’ Compensation Certificate (Appendix D).

• Prevailing Wages o Prevailing wages apply. The SP agrees to pay all its workers on this project and to ensure

prevailing wages for Tulare County apply.

• No drugs policy o TCOE requires each SP to guarantee that their workers are drug-free and that drug testing

proves that, as TCOE is a completely drug-free work place. SP must complete and submit the enclosed Drug-Free Workplace Certification (Appendix C).

• No bid rigging o SPs certify that they have not been convicted of bid tampering or rigging and they are

not compensating any employee or consultant of TCOE on this or any other project. SP must complete and submit the enclosed Noncollusion Declaration (Appendix B).

• Non-Discrimination o SPs shall not discriminate against any of its workers or anyone according to race, creed,

gender, or other factors and will provide equal opportunity without discrimination in its business activities.

• Term of Contract o Pursuant to approval by the District’s Governing Board, the initial contract awarded as a

result of this RFP shall be for a 1 year period with two one-year voluntary extensions. TCOE reserves the right to invoke voluntary extensions. Rates/pricing offered shall be firm and fixed for the initial term of this agreement and subsequent extensions. TCOE shall notify the SP by February of the year preceding the expiration date of its intent to extend this agreement for each additional one-year term. Any extension shall be on the same terms and conditions as the original agreement.

Proposal Format Proposal packages submitted by SPs must include TCOE’s RFP package, along with the proposal and required forms. The signature of all individuals must be in long hand. The completed documents(s) should be without interlineations, alterations, or erasures. The proposal must be in ink or typewritten. No pencil figures or erasures permitted. Mistakes may be crossed out and corrections inserted adjacent thereto and must be initialed in ink by person signing proposal. No oral, telegraphic, facsimile, or telephonic modifications will be accepted. Three (3) hard copies and 1 electronic copy of the proposal response must be submitted. Proposals must be submitted in the format and order outlined below. The proposal should present all information in a concise manner, neatly arranged, legible, and in terms understandable for evaluation. All information requested is to be addressed directly and completely. It is more desirable to give additional information than less when the answer could be misinterpreted. There should be no attachments, enclosures, or exhibits other than those considered by the bidder to be essential to a complete understanding of the proposal submitted. Each section of the proposal must be clearly identified with the following headings, and in the order specified, as detailed in Sections I-XIII. Vendors are requested to assemble their proposal in the following format order:

• TCOE RFP Package with all pages and issued addendum.

• All RFP pages requiring signatures, information fill in, pricing, etc. must be completed in full.

• Any additional documents/proposal materials which the SP deems relevant to this RFP.

Section I Description of Firm(s)

Provide a brief description of your firm(s), as well as any other firms joining with your firm to provide services. This description should include a history of the firm(s), number of employees and organizational structure of the firm(s). List and describe the State and Federal licenses, certificates, and legal authorizations (i.e., CPUC number, FCC ID number or license, etc.) that you hold which allow the provision of telecommunications services requested in this RFP. The SP upon award may be required to provide TCOE with copies of the actual licenses and certificates held.

Section II Experience and Qualifications of Firm(s)

Provide a brief overview of your technical experience, qualifications, and background in providing and maintaining telecommunication services for similarly sized customers. Indicate the prior experience of your firm that you consider relevant to this contract. Include sufficient detail to demonstrate the relevance of such experience.

Any subcontractors performing services against this agreement must be fully listed and detailed in this section of the proposal submitted by SPs. State any work proposed to be provided by a subcontractor, and provide evidence of each subcontractor’s capability and willingness to carry out the work. For each proposed subcontractor, include firm name and address, management contact person, and complete description of work to be subcontracted. Include descriptive information concerning subcontractor’s organization and abilities. SP hereby agrees to bind every subcontractor by the terms and conditions of this bid agreement as far as such terms and conditions are applicable to the subcontractor(s) work. If SP subcontracts any part of this agreement/contract, SP shall be as fully responsible to TCOE for acts and omissions of his subcontractor and of persons either directly or indirectly employed by SP. Nothing contained in these contract documents shall create any contractual relation between any subcontractor and TCOE.

Section III Proposed Methodology for Providing Service(s)

Describe in technical detail the methodology by which you would provide the required services. It is anticipated that new contracted services will begin on or after July 1 of the funding year. Describe your implementation plan and schedule. Please provide a description of the services from the above list that you offer, including any prerequisites or requirements you would need TCOE to have in place for your services to function. Proposals submitted must also address how the SP will ensure that TCOE will receive accurate invoicing within 60 days of the term commencement date. SPs shall describe their responsibilities, as well as TCOE’s, in regard to the conversion of the phone numbers. For example, will the vendor take responsibility for collecting all telephone numbers and coordinating conversions with the Local Exchange Carrier?

Section IV

Service Level(s) Provided Provide your standard installation time frames, response to issues, escalation procedures and restoration time periods for all services proposed.

Section V References

Provide your three (3) most recent customers for whom your firm provided services similar in scope to those being proposed. The references should be local to Tulare County or the region. State your role in this project. Provide the name, title, and phone number of an individual at each reference site whom we can contact for information. Inform your references that we may be contacting them to discuss your performance, if you are among those selected for consideration.

Service(s) Provide responses to the following questions and requests for information: 1. Is a designated vendor representative assigned for implementation coordination, account maintenance, and review of problems? If so specify such in detail. 2. Is 24-hour customer service included? If so, please provide methods of access. 3. Do you have a local office for service? 4. Will TCOE’s account team be located within the County for the duration of the contract? 5. Do you have a single point of contact assigned for assistance, such as adds, changes, or billing questions? Also, vendors must provide contact information for escalation of unresolved account issues. Escalation must extend beyond the assigned account team and include a minimum of three levels of management. Changes in contact information must be reported to TCOE within 5 working days. 6. What type of managerial reports are offered (i.e., by number, location, service, etc.)? Can these managerial reports be customized? 7. All new service installations made during the term of the agreement shall terminate, at no additional cost to TCOE, upon expiration or termination of this agreement.

Section VII Cost and Pricing

Complete the Proposal Submission Form (Appendix A). You may include a spreadsheet to show pricing. Complete all sections; provide all required information and all costs. Include an estimated cost for all applicable fees, taxes, and surcharges and if any of the charges are ineligible for E-Rate. As stated in the Pricing section, TCOE is exempt from federal excise taxes. Also, TCOE does not pay late or termination fees. All pricing offered is to be inclusive of all cutover charges, installation (if applicable), and account set up charges. Again, all pricing as proposed in Proposer’s solution must conform to E-Rate rules and regulations, as well as FCC mandates as it applies to LCP, and must be proposed as a separate contract price, independent of TCOE’s ability to use any ‘master contract’ or ‘piggy-back contract’ pricing element. As a part of the proposal response, the Tulare County Office of Education is requiring that the awarded vendor (winning proposal) provide a binding post inventory at all sites, validating all working services/telecommunications lines (dial tone), so that TCOE can better determine the final installed number of services for fiscal year 2018-2019. TCOE will not be charged separately for this binding post inventory.

Section VIII Billing

Billing shall be provided on a Summary Bill with detailed line, circuit or calling information available. All billing/invoicing shall be in accordance with rates quoted herein. TCOE shall not be subject to charges not detailed or quoted herein. Billing documents should be available in paper or electronic (PDF) format. Describe available billing assistance.

SP shall describe methodology for resolving billing issues. SP will be responsible for identifying and correcting all errors in a reasonable timeframe. For billing errors identified by TCOE, vendor will provide adjustment of charges within two bill cycles of notification. SP must provide policy regarding the issuing of credits. Are all credits applied as adjustments on future invoices, or may TCOE elect to receive a payment check if desired?

Section IX Network Capabilities

Provide a brief overview of your network capabilities, especially in regard to reliability, redundancy and fault tolerance.

Section X Evidence of Responsibility

SP shall submit, with their proposals, all necessary evidence showing their financial resources; experience in the type of work being required by TCOE; organization available for the performance of the work, and any other required evidence of qualifications to perform. TCOE shall consider such evidence before making its award decision. Failure to submit adequate evidence of SP responsibility to perform may result in rejection of the proposal.

Section XI E-RATE and CTF Requirements

As previously stated in RFP Scope, TCOE intends to obtain maximum funding under the E-Rate and CTF programs for commercially available telecommunication services contracted as a result of this RFP. The successful SP shall be responsible for providing TCOE on a timely basis the applicable E-Rate documents (such as the Item 21 attachments and any certifications, grids, or forms) and for providing discounts in accordance with E-Rate and CTF program rules and requirements on a timely basis. It is the SP’s responsibility to maintain an invoicing and accounting system to track E-Rate and CTF discounts in a manner that is readily understandable by TCOE. In the proposal response, SP will provide delineation between eligible and ineligible E-Rate costs. Additionally, in this section of the submitted proposal, SPs are to detail their proposed methodology for providing the E-Rate discounts on invoices to TCOE. All SPs submitting proposals must provide their E-Rate SPIN in their proposal. Failure to provide the required SPIN may result in the rejection of the offer.

DRUG-FREE WORKPLACE CERTIFICATION This Drug‐Free Workplace Certification is required pursuant to Government Code Sections 8350 et seq., the Drug‐Free Workplace Act of 1990. The Drug‐Free Workplace Act of 1990 requires that every person or organization awarded a contract or grant for the procurement of any property or services from any State agency must certify that it will provide a drug‐free workplace by doing certain specified acts. In addition, the Act provides that each contract awarded by a State agency may be subject to suspension of payments or termination of the contract, or both, and the contractor may be subject to debarment from future contracting if the state agency determines that specified acts have occurred. Pursuant to Government Code Section 8355, every person or organization awarded a contract or grant from a State agency shall certify that it will provide a drug‐free workplace by doing all of the following:

WORKERS’ COMPENSATION CERTIFICATE Labor Code Section 3700, in relevant part, provides:
