with respect toTeam Leader’s and Team’s involvement inthe72-HourShortFILMChallenge andcreation ofa short film
orvideo (the “Film”) pursuant totheterms below. Team Leader hereby agrees onbehalfo f him /herselfa n d Te am to t a k e p a r t i n t h e GreaterNewYork72-HourShort FILMChallenge (“Challenge”), being produced bythe Stude nt FILM
Collective and scheduled to take place from 4:00PM Friday November 4th
to 4:00PM Monday, November 7th, 2011.
q Team Leader has read, and agrees on behalf of
h im /h er se lf a nd T ea m t o a bi de b y, the “Filmmaking
Rules” and the “Competition Rules” (collectively “Official
Rules”)oftheproject, thete r m so f w h i c h a r e a v a i l a b l e
at http://72HSFC.StudentFILMcollective.org/rules and
by referencemade a part hereof. It is understood that
72HSFC reserves the right to disqualify from screening or
exhibitionandremovefromconsideration forawardsand
prizesanyfilms/videos,whichdonotadheretotheOfficialRules.

responsible for all crew, cast, equipment, sets, locations,
a nd o th er i te ms n ec es sa ry for p ar ti ci pa ti ng i n the
Project, and al l costs, expenses, damages and claims
related thereto. 72HSFC is providing the event and
guidelines in which the Team Leader is taking part; a
screeningopportunityfo r all qualifyingfilms /videos;an d
aprizefortheProjectwinner.
e TeamLeaderherebyaffirmsthathe/she willsecureallrights(includingwithout limitationcopyrights)in and to
all materialincludedin theFilm,i n c l u d i n g w i t h o u t
l i m i t a t i o n a n y a n d a l l Images,photographs,perf
ormances, appearance(s) byanyperson(s), sounds,
soundtrack an d music (including without limitation
compositions, recordings and performances). In no
mannerlimitingtheforegoing,TeamLeader w i l l o b t a i n
a s i g n e d T a l e n t R e l e a s e f r o m a l l persons
appearing in the Film, a signed LiabilityWaiver from all
castandcrew,asigned MusicReleasefromallpersonsor
entities providingmusic, and a signed Location Release
forall locationsusedintheFilm.TeamLeaderrepresents
and warrants that he/she (a) is free to enter into this
Agreement,(b)that,exceptwithregard to72HSFC’s rights
as set forth herein, Team Leader is the sole copyright
holder in and to theFilm;and(c)theFilmdoesnottothe
best of Team Leader’s knowledge (including what Team
L ea de r sho ul d k no w o r h a v e k no wn i n t h e
exerciseofreasonableprudence) violatethecopyrightof
any person or entity, or defame or infringe upon any
rights of any kind of, including the right of privacy, off
anypersonorentity.
r TeamLeaderherebyagreesto indemnify,defend,and
holdharmless72HSFC,itsofficers,directors,employees,
licensees,partnersandassigns (collectively“Indemnified
Parties”)fromanyandall claims,costs,damages,expenses
andliabilities includingwithout limitation attorneys’fees
(collectively “Claims”) a r i s i n g f ro m t he creation,p r o d u c t i o n ,use, exhibition, promotion, marketing,
merchandising, or other exploitation of the Film by the
Indemnified Parties and/or any of them, Team Leader,
Tea m a nd /o r a ny m e mb er thereof (including without
lim itatio n Claim s fo r negligence and other torts,
unauthorized useof likeness, invasion of right ofprivacy,
publicity orpersonality,defamation, fraud, infringement
of copyright and/or trademark, and breach of contract),
and forAn y breachbyTeamLeaderof any
Rep re se ntatio n, w a r r a n t y o r o b li ga ti on o f Te am
Leaderhereunder.
t Team Leader and 72HSFC will jointly own, as co-
authors, t h e c o p y r i g h t i n a n d t o t h e F i l m , a n d
hereby agree to the following division of rights:
From the date Team Leader submits his/her filmtothe
72HSFCandcontinuinguntilJune30,2012(“EndDate”):
(a) Team Leader shall have the following non-exclusive,
non-assignable rights:(i) Toenter the Film infilmfestivals
& competitions;(ii)toscreentheFilmatlocalfilmevents;
(iii) to stream the Film oranyportion thereof forfreeon
TeamLeader’spersonalwebsiteorforfreeonanythirdparty website for Internet viewing, provided that the
Film orportion thereof asso streamed contains aninitial
fullscreentitlecardstating“ThisFilmwascreatedforthe
72-HourShort FilmChallenge (orother language asmay
be designated by 72HSFC); (iv) to distribute the film for
freeviaDVD;(v)to use the Film onaprofessionalreel to
promote Team Leader, Team oranyTeammember; and
(vi)anyotheruseagreedtoinwritingby72HSFC.

(b) 72HSFC shall have thefollowing rights, which, except
for the limited rights of Team Leader as set forth above,
shall be exclusive to 72HSFC: to copy, screen, show,
e xhi bi t, tel ec ast, broadcast, advertise, m a r k e t ,
e xp l o i t , a n d d i sse m i n a te th e Film and/or any portion
thereof throughout the universe in perpetuity, via any
mediu m and in any manner whether now known or
hereafter invented,includingbutnotlimitedtotheatrical,
television (including without limitatio n all forms ofbroadcast, cable, Video On Demand (VOD) and digital
television), DVD/home video/videogram (including any
videogram successor), Internet distribution and any
means of digital download, and to sell, license and/or
assignanyorallofthe foregoingrights toany third party.
In no manner limiting the foregoing, 72HSFC shall have
th e righ t to use the Film and any portion thereof to
advertise, promote and publicize the S T U D E N T F I L M
CO LL E C T I V E , t h e 72-HourShortFILMChallenge and/or
any sponsor t h e r e o f i n a n y m a n n e r a n d v i a
a n y mediumatStudentFILMCollective’ssolediscretion.
y The parties agree that the following terms shallapply
should 72HSFClicense, sell,orotherwiseassign(“license”)
any rights inthe Film toa thirdparty licensee prior tothe
EndDate:
(a) Individual L i c e n s e (i.e., S tu den t F IL M C olle ct iv e
licensestheFilmindividually):72HSFCwillreceivethe
first $150 ofanylicense fee and/or royalties orreuse fees
receivedtherefrom;TeamLeader shallreceive80%ofthe
net proceeds from the remainder (i.e., those in excess of
$150)ofsuchlicensefeeand/orroyalties/reuse fees.
(b) Collection (i.e., 72HSFC licenses two or more films
(“Collection”)o f whichtheFilmis one):IfTeamLeader’s
entireFilmisincluded intheCollection, TeamLeader will
receive aprorata share of 50% of 72HSFC’s net proceeds
therefrom. Pro ration will be dependent upon number of
filmsincludedinthecollection.
(c)SponsorLicense:Notwithstanding theforegoing, in the
event the licensee ofthe Film orCollection isasponsorof
72 HSFC o r the Project (“Sponsor”) as determined by
72HSFC, 72HSFCwill retain 100% of all proceeds, if any,
fromany suchlicense. (d) Official72HSFCDVD:IftheentireFilm is includedona
72-Hour Short FILM Challenge compilation DVD, Team
Leader will receive apro ratashareof 50%of netproceeds
rece ivedby 72HSFCwhenmorethan 2500DVDs aresold.
Pro ration will be dep endent upon number of films
included onsaidcompilation.
72HSFC’s netproceeds forthepurposes ofthisparagraph
6 shall be defined, computed, paid and accounted for
pursuant to 72HSFC’s standard definition, which shall
include allowances for the deduction from gross receipts
72HSFC’s customary d e d uc t io n s i n cl u di n g, w i th o u t
l imitation,distributionfees,distributionexpenses, and
overhead. 72HSFCshallmakesemi-annual(i.e.,twice per
year) reports to Team Leader, provided, however, that
72HSFC need not issue a report if Team Leader has notaccumulated revenue to report. 72HSFC shall issue
checks toTeam Leaderon a semi-annualbasis so long as
total revenue for a Team Leader h as reached a
minimumof$25.
u If 72HSFC does not license the Film to a thirdparty
prior to the End Date, then upon the End Date
72HSFC’s rights as set forth above at paragraph (5)(b)
shall become non-exclusive, and shall be owned and
shared equally by both Team Lead er a n d 7 2 HS F C i n
perpetuity. However,i f 72HSFC does license the Film
toathird partypriortotheEndDate,then72HSFC’srightsas set forth above at paragraph (5)(b) shall remain
exclusive to 72HSFC and continue until June 30, 2012
(“Exte nded End Date”). No license (in clu ding any
extensions and/or renewals) of the Film by 72HSFC to
any third p ar ty s ha ll , w it ho ut T e am L ea de r’ s prior
written permission, extend past the ExtendedEndDate.
Notwithstanding theforegoing,TeamLeadershall not at
an y tim e (w he th er b ef or e o r after the End Date or
Extended End Date) assign or license any rights in
and/or to the Film to anythird party without the prior
written permissionof theStudent FILM Collective (SFC),
andSFCshallnotassignorlicense anyrightsinand/ortothe Film toany thirdpartywhichwouldprecludeTeam
Leader from exercisingits rights in and/orto the Film
as set f or th a bo ve a t Par ag ra ph 5 (a ) a nd /o r i n this
paragraph(asapplicable),withoutthewrittenpermission
ofTeamLeader.
i Should the Team Leader receive a distributionoffer
priorto theEndDateandnotinitiatedby 72HSFC,Team
Leader may enter into the deal provided the following
r e qu i re m en ts a r e m et: 1)72HSFCgivesauthorization
i n w rit in g; 2 ) 72HSFC Receives 20% of all distribution
proceeds.

o TeamLeaderherebyacknowledges thatparticipation
in the 72-Hour Short FILM Challenge is without
remuneration or monetary compensation whatsoever.
The consideration for participating inthechallengeisthe
screening of Participant’s completed film/video at the
conclusion of the Project; and thepossibility, although
not the obligation by the Student Film Collective, for
future screenings an d Distribution; and the opportunity
forpublicityorexposureforbeingaparticipant.1) Team Leader acknowledges that, in the event of any
breach by 72HSFC orany third party, the damage, if any,
caused to Team Leader therebywillnotbeirreparable or
otherwise sufficient to entit le T eam Leader t o se ek
injunctiveorotherequitablerelief. TeamLeader’srights
and remediesin such event will be strictlylimitedtothe
right, ifany, to recover compensatory(butnotpunitive or
consequential) damages in an action at law, and Team
Leader will have neither the rightto rescind or terminate
this agreementor any of 72HSFC’s rights hereunder,nor
the right to enjointhe exhibitionor other exploitationofthe Film or any subsidiary or allied rights with respect
thereto.
1! Team Leader may not assign thisAgreementora n y of
i t s o b l i g a t i o n s hereunderwithout72HSFC’sprior
written consent. 72HSFC may freely assign any and all
rightsandobligationsunder this Agreementin wholeor
in part to any otherparty. TeamLeaderacknowledges
andagreesthat Team Leader isnot anemployee oragent
of 72HSFC foranypurpose,including all taxobligations,
but that the parties are contractors independent of one
another.
1@ TeamLeaderherebyacknowledges thata“Makingof
the 72-Hour Short FILM Challenge” (the
“Documentary”)m ay be shot during the 72-HourShort
FILMChallenge,andherebyagreestoallowcameracrews
totapehis/her team during anyproductionstageofthe
project;andfurtheragrees to immediatelyprovidet o
t h e 7 2 H S F C a s i g n e d release for each of his/her
participating castandcrewmembers,usingtheattached
“Release” (Exhibit A). 72HSFC has no obligation
whatsoever to produce or exhibit the Documentary,
however.
1# 72HSFC willnot beliable for any special, indirect or
consequential damages, without limitation, damages
arising under any Claim or cause of action, including
contract, warranty, strict liability or tort, whether or not
72HSFC has been a dv ised o f the p ossi bi li ty o f suc h
damages. Furthermore, it is understood that 72HSFC’s
total liabilityforanyClaimsand/orcausesofaction shall
n o t e x c e e d , a n d i s l i m i t e d t o , t h e t o t a l amount
paid to72HSFC in entry fees byTeam Leader under this
agreement.Theselimitationsshallapplynotwithstanding
thefailureoftheessentialpurposeofanylimited remedy.

accordance with the internal laws of th e Ne w Yor k,
without any reference toitsconflictsoflawsprovisions.

1. ELIGIBILITY:In the United States, the
Challenge is open only to individual
legalresidentsand legalvisitorsof the
United States, New York and the
GreaterNew York Area. The following
arenoteligible:employees,contractors,
directors and officers of the Student
FILMCollective,and72-HourShortFILM
Chal lenge, ("72HSFC"), its parent,
subsidiaries and affiliated companies,
distributors, web design, advertising,
fulfillment, judging and Challenge
agenciesinvolvedintheadministration,
development,fulfillmentandexecution
of this Challenge (collectively,
"ChallengeParties"),andtheimmediate
family members of each (spouse,
parent, child,sibling, grandparent,and
spouse or "step" of each) and those
living in their same households (those
personswhetherrelatedornotwholive
inthesameresidenceforatleastthree
monthsduringthetwelve-monthperiod
preceding the start date of the
Chal lenge). Outside of the United
States, residency requirements may
vary.Voidwhereprohibited.

12. Asaconditionofentry,participantsmustagreetotheTeamLeader's

thatdonotincludeallrequired
informationandadheretothe
foregoingandfollowingrequirements
willbeconsideredvoidandwillnotbe
consideredinthisChallenge.
13. TeamsareencouragedtousethemembersoftheStudentFILMCollective
ontheirfilms.
14. Memberswhowishtoparticipatebutdonotbelongtoateammayregisterto
participate.Howevertheymustattend
theKick-offeventandfindateamto
workon.
15. IfanygroupofindividualselectstocollaborateonanEntry,theyare
requiredtodesignateone(1)personas
theagentofthegrouptoenterthe
Challenge,agreetotheseOfficialRules,
signtheTeamLeader'sAgreementand
accepttheprizeonbehalfofthegroup.
Neither72HSFCnoranyofthe
ChallengePartiesareliableforany
disputesbetweencollaboratorsarising
outoforrelatedtotheChallenge.

16. SELECTIONOFWINNERS:Entrieswillbe
judgedbyaprocessinwhichqualified
panelsofjudgeswillevaluatethe
eligibleentriesbasedonthefollowing

EntertainmentValue)(45%)
TechnicalMerit (30%)

The Top Entry will be declared the
winner.Intheeventofatie,thetiewill
bebrokenbasedonthehighestscorein
the first Judging Criteria, continuing
thereafter to each Judging Criteria in
order, as needed to break the tie.
Entrantsagreethatthe72HSFChasthe
sole right to decide all matters and
disputesarisingfromthisChallengeand
that all decisions of 72HSFC are final
andbinding.
17. ONE(1)TOPPRIZE:ThetopEntrywill
beawarded(prizeyettobedetermined);andwillbefeaturedatthe
CollectiveShortsFILMShowattheend
oftheyear.
18. GENERALCONDITIONS:By
participating,Entrantsagreetothese
OfficialRuleswhicharefinaland
bindinginallrespects.TheChallengeis
governedbythelawsoftheCityofNew
York,NewYork,USA,andallclaims
mustberesolvedinNewYorkcourtsor
theFederalcourtslocatedinNewYork
City.
19. LIMITATIONSOF LIABILITY AND
RELEASE:Noliabilityorresponsibilityis
assumedbytheStudentFilmCollective,
The New School, 72HSFC or Challenge
Parties resulting from any user's
participation in or attempt to
participateintheChallengeorabilityor
inability to upload or download any
information in connection with
participating in the Challenge. No
responsibility or liability is assumed by
the 72HSFC or Challenge Parties for
technical problems or technical
malfunction arising in connectionwithanyofthefollowingoccurrenceswhich
may affect the operation of the
Challenge:hardwareorsoftwareerrors;
faulty computer, telephone, cable,
satellite, network, electronic, wireless
orInternetconnectivityorotheronline
communication problems; errors or
l imitations of any Internet service
providers, servers, hosts or providers;
garbled, jumbled or faulty data
transmissions; failure of any e-mail
transmissions to be sent or received;
lost,late,delayedorinterceptede-mail
transmissions; inaccessibility of the
Web Site in whole or in part for any
reason; traffic congestion on the
InternetortheWebSite;unauthorized
human or non-human intervention of
the operation of the Challenge,
including without limitation,
unauthorizedtampering,hacking,theft,
virus, bugs, worms; or destruction of
any aspect of the Challenge, or loss,
miscount, misdirection, inaccessibility
or unavailability of an email account
usedin connectionwith theChallenge.
72HSFC and Challenge Parties are not
responsibleforanytypographicalerrors
intheannouncementofprizesorthese
Official Rules, or any inaccurate or
incorrect data contained on the Web
Site. Use of Web Site is at user's own
risk.72HSFCand the Challenge Parties
are not responsible for any personal
injury orproperty damage orlossesof
any kind which may be sustained touser's or any otherperson's computer
equipment resulting fromparticipation

1. 2. I voluntarily assume any and all risks, known or unknown, associated with myparticipation in the Project and actions and undertakings in connection with theProject and the Footage (collectively “my Participation”). I acknowledge thatmy Participation may present certain risks to me, and I hereby assume any andall risks associated therewith, with any “behind the scenes” recordings taped,filmed, recorded and/or otherwise produced by the 72-Hour Short FILMChallenge, Inc. (“72HSFC”) with regard to the “making of” the Project(“Documentary Footage”). For the purposes hereof, the Film and the DocumentaryFootage including without limitation any portion thereof shall be collectively andseparately referred to herein as the “Footage”.
3. I hereby grant to Filmmaker and 72HSFC and their respective parents, affiliates,subsidiaries, licensees and assigns: (a) the right (but not the obligation) to film,photograph and otherwise visually and audiovisually record me and to record myvoice, conversations, sounds and performances, and any pre-existing materialsfurnished by me (“Pre-existing Materials”) in and in connection with the Footage;(b) all rights of every kind and character whatsoever (including without limitation
copyrights) in and to the results and proceeds of my appearance in the Footageincluding, without limitation, all film, photographs and video and audio recordingsproduced by 72HSFC and/or Filmmaker in connection therewith (collectively“Recordings”), any and all performances, stories, statements or actions made byme, whether written, spoken, sung, or otherwise uttered or expressed by me,or information given by me, captured on any such Recordings (collectively the“Results and Proceeds”).
4. Filmmaker, the Student FILM Collective, and 72HSFC shall be the exclusiveowner(s) of the Footage and the Results and Proceeds giving them the right to,without limitation, in perpetuity throughout the universe, in any and all languages,in any and all media know known or hereafter invented: (a) exhibit, broadcast, use,reproduce and license others to use as they see fit all or any part of the Footageand/or the Results and Proceeds; (b) edit, dub, subtract from, add to or modifythe Results and Proceeds in any manner, combine it with any other materialand/or incorporate it into other films, projects or programs; and (c) use and licenseothers to use my name, voice, likeness, image, photograph, performance,participation, expressions, personal experiences and biographical material(collectively “Name and Likeness”), in and in connection with the production,distribution, advertising, publicity, promotion, exhibition and other exploitation of the
Footage, the Results and Proceeds and/or any portion thereof, and in connectionwith 72HSFC or 72HSFC’s products and services, an unlimited number of times,
without any obligation of any kind to me whatsoever.5. I hereby expressly waive any and all so-called “moral rights” or “droits morale”
in connection with the Footage, Results and Proceeds, my appearance(s) and myfurnishing of any Pre-existing Materials in and in connection with the Footage.My signature hereon subsequent to the production of the Footage and/or theResults and Proceeds shall have the same effect as if I had signed in advancethereof.
6. I represent that my appearance in the Footage (and my furnishing of Pre-existing Materials, if any) will not to the best of my knowledge (i.e., what I know or should know after the exercise of reasonable prudence) infringe upon the rights of any third party. I represent and warrant that I have all rights and authority to enter into this Waiver and Release (“Release”) and to grant the rights granted herein.No other authorization is necessary to enable Filmmaker and/or 72HSFC use myName and Likeness, the Results and Proceeds and/or the Pre-existing Materials(if any), for the purposes herein contemplated. I hereby waive any right of
inspection or approval of the Results and Proceeds, the Footage, my Name andLikeness and/or the uses to which such Results and Proceeds, the Footageand/or my Name and Likeness may be put.
7. As used in this Release: (a) the term “Releasing Parties” means and refers to eacme, my heirs, next of kin, spouse, spousal equivalent, guardians, representatives, executors, administrators, successors and assigns; and (b) the “Released Parties” means and refers to Filmmaker and 72HSFC and each and atheir respective parents, including, without limitation, the risk of physical or mentaemotional injury, minor and/or severe bodily harm, and/or illness, which arise by means, including, without limitation: acts, omissions, recommendations or adgiven by Filmmaker and/or 72HSFC or their agents, employees, or other personentities affiliated with the Project; participation in inherently dangerous activities, laor apparent defects or conditions in any equipment used in the Project; weatheother natural conditions; human error; my physical and mental condition; my own or omissions; first-aid, emergency treatment or other services rendered to meothers. Notwithstanding the foregoing, I hereby agree to voluntarily acceptassume any and all such risks as well as any risks not mentioned herein that are in way associated with my Participation and the subsequent or simultaneous exhibitioother exploitation or dissemination of the Footage, the Results and Proceeds and/or portion thereof in perpetuity throughout the universe in any and all media, whenow known of hereafter invented (“Exhibition”).
8. I and the other Releasing Parties hereby voluntarily and knowingly, releasdischarge and relinquish any and all claims, actions and lawsuits of any kinagainst the Released Parties related to or arising from my Participation, includinwithout limitation, travel to and from any location used in connection with the Projecthe making, taping, production, use, editing, distribution, licensing, promoting, and/Exhibition of the Footage, the Results and Proceeds and/or any portion thereoincluding, without limitation, any claims, actions or lawsuits for wrongful deatnegligence and/or other fault, either active or passive, personal injury, wrongfdeath, defamation, false light, violation of right of publicity, invasion of privacdisclosure of embarrassing private facts, fraud, breach of contract, infringement copyright, and negligent or intentional infliction of emotional distress.
9. I acknowledge that I may hereafter discover claims in addition to the ones released this document, and I and the other Releasing Parties hereby release the ReleaseParties from any such unknown and/or unsuspected claims. I and the othReleasing Parties acknowledge and agree that this waiver is an essentia l amaterial term of this Release, and without such waiver neither Filmmaker no72HSFC would have accepted my participation in the Project. I and the othReleasing Parties hereby represent that we have been advised by legal counsel have been given ample opportunity to be so advised and understand anacknowledge the significance and consequence of this Release and of this specifwaiver.
10. The validity, interpretation and legal effect of this Release and any othagreements into which I may enter or documents I may execute in connection withe Project shall be governed by the laws of the District of Columbia applicable agreements executed and fully performed within the District of Columbia, withoregard to its conflicts of law provisions. Should any provision hereof be found inval
in whole or in part, it shall not affect the validity or enforceability of any other provisiohereof or of that provision insofar as it is not invalid or unenforceable. Any waiver any term of this Release in a particular instance shall not be a waiver of such term fthe future.
11. This Release shall bind and inure to the benefit of the parties hereto and therespective successors, assigns, heirs, legal representatives, administratorexecutors, and guardians. I represent that I am at least 18 years of age, and that under 18 my parent or legal guardian has signed below.
12. I acknowledge that 72HSFC and Filmmaker will rely on the waivers, releases anpermissions granted herein potentially, at substantial cost to 72HSFC and/Filmmaker and hereby agree not to assert any claim of any nature whatsoeveagainst anyone relating to the exercise of the permissions granted hereunder.

obtaining the consent of any third person or entity, and that the Material does not infringe the copyright or violatany right of publicity, privacy or any other right of any person or entity. Nothing herein requires Producer t
use the Material. I agree to indemnify and hold harmless Producer and any person claiming under Producer, anthe officers, directors, shareholders, employees, agents and representatives thereof, from and against any liabilitieslosses, claims, demands, costs (including, without limitation, reasonable attorneys’ fees) and expenses arising iconnection with any breach or alleged breach by me of any above representations or agreements. I acknowledge that my rights and remedies, if any, in any such event will be strictly limited to thright, if any, to recover compensatory monetary (but not punitive or consequential) damages in an action at law, anI will have neither the right to rescind or terminate this Agreement or any of Producer’s or its licensees’ or assignrights hereunder, nor the right to enjoin the production, exhibition or other exploitation of the Film or any subsidiar
or allied rights with respect thereto, nor will I have the right to terminate my obligations hereunder by reason of sucbreach.
4. I agree to timely execute and deliver (or to procure the timely execution and delivery to Producer of) anadditional documents which Producer may require to evidence its rights. I hereby appoint Producer, or its nomineeas my irrevocable attorney-in-fact, with the right, but not the obligation, to prepare or complete any such documentand to execute the same in my name, or to obtain execution thereof by others.
5. In addition to any of its other rights or remedies, Producer will be entitled to seek injunctive relief in the event of any
breach of my representations, warranties and agreements hereunder. Producer and shall have the right to freelyassign and license this agreement and all or a portion of its rights and remedies hereunder, without my consent.This Agreement will inure to the benefit of and will be binding upon the parties’ respective affiliates, successors,
licensees, assigns, heirs and representatives. This Agreement constitutes the entire understanding and agreementof the parties hereto with respect to the subject matter hereof and cannot be amended except by a written
instrument signed by the parties hereto. 6. I give Producer the foregoing grant of rights with the full knowledge and understanding that Producer may incu
substantial expense in reliance thereon. Producer may at any time elect not to use the Materials, in which casneither party will have any obligation to the other hereunder.

5. I agree to timely executeand deliver (or to procurethe timely executionand deliveryto Producerof) anyadditional
documents, w h i c h Producer may require to evidence its rights. I hereby appoint Producer, or its nominee, as my
irrevocable attorney-in-fact, with the right, but not the obligation, to prepare or complete any such documents and to
execute thesameinmyname,ortoobtain execution thereofbyothers.
6. Inaddition toanyof itsotherrightsorremedies, Producer willbeentitledto seekinjunctive reliefintheeventofanybreachof
my representations, warranties and agreements hereunder. Producer shall have the right to freely assign and license this
agreement andall ora portion ofits rights and remedies hereunder, without my consent. ThisAgreement will inure tothe
benefit ofand will bebinding upon the parties’ respective affiliates, successors, licensees,assigns, heirs and representatives.This Agreement constitutes the entire understanding and agreement ofthepartieshereto with respect tothesubject matter
hereof andcannotbeamended except byawritteninstrument signed bythepartieshereto.
7. Igive Producer the foregoing grant ofrights with the full knowledge and understanding that Producer may incursubstantial
expense inreliance thereon. Producer may atany time elect not touse theMaterials, inwhich caseneitherpartywillhave
anyobligation totheotherhereunder.

in any and all media, now known or hereafter invented, in and in connection with the Film and/or theD o cu me n ta rFo ot ag e,7 2 H S F C orotherwiseandf o ra d v e r t i s i n g a n d p r o m o t i o n a l p u r p o s e s i n co n n e c t i o n therewitand all rights, including copyright in the Materials shall be and remain vested in Producer and/or 72HSFC.In no mannlimitingtheforegoing, Producer and 72HSFC shallhave the perpetual right to edit, dub, subtract from,addtoormodifyth

Ownerherebywaivesanyright ofinspection orapprovalofthe appearanceof the Property inthe Materials, and the uses t
