b. “Client”meansthepartywhopurchasesgoods. c. “Goods”meansgoodssuppliedbyDENTSPLYtotheClient

fromtimetotime. d. “Agreement”meansthetermsandconditionssetoutin

SectionAandSectionB. e. “Parties”meansDENTSPLY(Australia)PtyLtd,Applicant,

ClientandGuarantors. f. GuarantorsmeansthosepersonswhocompletePart5of

theApplicationtoopen30daydebitaccount. g. Applicantmeansapartythatappliestoopena30daydebit

account. h. AllianceProgramisdefinedasRewardsPointsavailable

throughAmericanExpressAustraliaLimited(ABN92108952085)

2.BysigningthisAgreementtheApplicant: a. appliesforacreditaccount; b. declaresthatallinformationprovidedintheApplicationis

trueandcorrectandthatnorelevantinformationinregardtothecreditworthinesshasbeenwithheld;

c. agreestopurchaseGoodsonthetermsandconditionssetoutinSectionBasamendedfromtimetotime;

d. undertakestopromptlyprovideanyfinancialstatementsrequestedbyDENTSPLYfromtimetotime;

e. agreetoenterintoanyguarantees,securitiesorthelikerequiredbytosecuretheprovisionofGoodsoncreditandtopayforalllegalcosts,stampdutyorotherexpensesincurredinpreparationoforenforcementofsuchguarantees,securitiesorthelike;

f. agreestoacceptthecreditlimitallocatedbyandthatcreditaccountmaybewithdrawnatanytimewithoutnotice;

g. warrantsthateachpersonwhosignstheagreementisauthorisedtodoso;

h. AlliancewithAmericanExpressDENTSPLYwilluseitsreasonableendeavourstoensurethatittakesallreasonablestepstoensurethecontributionoftheAllianceandtheRewardsPointsforitsClientsandshallnotifyitscustomersintheeventthattheAllianceProgramisforanyreasoncancelled.DENTSPLYshallnotbeheldliableforanylossordamagethatissustainedbytheClientasaresultofAmericanExpressAustraliaLimited(ABN92108952085)failingtoprovidetheRewardPointstotheClientarisingfromanypaymentsinaccordancewiththeAllianceprogram.

3.IfapartnerinapartnershipsignsthisAgreementonbehalfofanApplicant:

a. eachpersonwhoatanytimeonorafterthedateoftheApplication,carriesonbusinessinpartnershipwithotherpersonsunderthetradingnamesetoutinSectionAofthisAgreementorunderanyothernamesubstitutedforthatname(“Partnership”)isboundbythisAgreement;

b. thepartnersagreetoprocureanynewpartnerintothePartnershiptoexecute,within30daysofbecominganewpartner,anacknowledgmentunderwhichhe/shewillagreetobeboundbythetermsandconditionsofthisAgreementasifhe/shehadbeenapartneratthedateofthisApplication;

c. thatanypersonwhoceasestobeapartnerofthePartnershipwillbeandremainliableasaprincipaldebtorfortheobligationsofthe“Partnership”untilDENTSPLYreleasesthatperson.

4.Forthepurposesofassessingcredit-worthiness,theApplicant,Client,trustee,partners,soletradersandguarantors:

a. authoriseDENTSPLYanditsagentstomakesuchenquiriesasDENTSPLYdeemsnecessaryfrompersonsnominatedastradereferees,thefinanciersandinsurersandcreditreportingagenciesandconsenttothosepersonsanyinformationtheymaylegallygivetoDENTSPLY;

b. consenttoDENTSPLYdisclosinginformationDENTSPLYcollectstoacreditreportingagency;

c. consenttoDENTSPLYdisclosinginformationitcollectstoitsinsurancebrokersand/orinsuranceunderwritersforthepurposeofprovidingDENTSPLYwithinsurance.

5.DENTSPLYiscommittedtosupportingthe‘NationalPrivacyPrinciplesfortheFairHandlingofPersonalInformation’whichsetclearstandardsforthecollection,access,storageanduseofpersonalinformationwhichitobtainsaspartofitsbusinessoperations.WhereinformationispersonalinformationofanindividualDENTSPLYrespectstheindividuals’righttoprivacyoftheirpersonalinformation.Ithaspoliciesandprocedurestoensurethatallpersonalinformation,nomatterhoworwhereitisobtained,ishandledsensitively,securely,andinaccordancewiththeNationalPrivacyPrinciples.SothatDENTSPLYcanprovideservices,itmayaskforpersonaldetailssuchasname,address,telephonenumberore-mailaddress.ThepersonalinformationthatDENTSPLYseeksisgenerallyusedtoprovideanaccountandGoods.DENTSPLYrequiresDentalBoardregistrationnumber(orlikeregistration)sothatitisabletosupplyGoodsclassifiedas“Poisons”.IfDentalBoardregistrationnumber(orlikeregistration)isnotsuppliedthenDENTSPLYwillnotbeabletosupply“Poisons”goods.Wherepossible,DENTSPLYtriestoensurethatdisclosureofinformationtootherorganisations(forexampleservicetechnicians,financecompanies,freightcompaniesandotherswithwhomithascommercialarrangements)isinawaywhichdoesnotpersonallyidentifyindividuals.DENTSPLYwillprovideindividualswithaccesstoanyoftheirpersonalinformationitholds(exceptinthelimitedcircumstancesrecognisedbyprivacylaw).Ifanindividualrequiresaccesstotheirpersonalinformation,pleasecontactDENTSPLYon1300552929.Ofcourse,beforeitprovidesaccesstopersonalinformationDENTSPLYwillrequiresomeproofofidentity.Ifanindividualneedstoupdateinformation(eg.ifthereisachangeofaddress),pleasecontactDENTSPLYsoitcanmakethechange.ThisisabriefoutlineofDENTSPLY’SPrivacyStatementacopyofwhichcanbeobtainedfromDENTSPLYorfromitswebsite.

6.BysigningthisAgreementDENTSPLYagreestoprovideGoodsoncredittotheClientfromtimetotimesubjecttoandpursuanttothetermsandconditionssetoutinSectionB(asamendedfromtimetotime).

7.BysigningthisAgreementtheGuarantorsgivetheguaranteeandindemnitydescribedinPart5oftheApplication.

SECTION B1.SupplyTheseTermsandConditionsofSale(“theconditions”)shallapplytoallsalesofGoodsbyDENTSPLY(Australia)Pty.Ltd(“DENTSPLY”)totheClient.

2.LawTheAgreementshallbegovernedbythelawsofVictoria.DENTSPLYandtheClientagreetosubmitthemselvestothejurisdictionoftheCourtsofthatState.

3.Paymenta. InrespectoftheClient’sobligationtomakepaymentfor

theGoodssoldbyDENTSPLYtotheClient,timeshallbeoftheessence.

b. Unlessotherwiseexpresslyagreedinwriting,thepriceoftheGoodsshallbethepricespecifiedinaninvoiceplustheamountDENTSPLYisrequiredtopayonaccountofanychargeswhichmaybeleviedbyanygovernment(domesticorforeign)plusanyamountthatreflectsanyincreaseinexchangerates,costsoflabour,materialsandoverheads.

c. TheClientisresponsibleforallfreightcosts.IftheClientnominatesacarrierthismustbeadvisedtoDENTSPLYinwritingintheabsenceofwhichDENTSPLYwillchooseacarrier.

d. TheClientagreesthatuntilDENTSPLYconfirmsthatcredittermshavebeengrantedtotheClient,allGoodsaresuppliedonacashondeliverybasis.

e. Unlessotherwiseagreed,allamountsowingtoDENTSPLYonaccountofGoodssuppliedoncreditaredueandpayablebythelastworkingdayofthemonthfollowingdispatchofinvoicestotheClient.

f. TheClientmaypaybyvisa,mastercardorbankcard.However,DENTSPLYreservestherighttochargeacreditcardhandlingfeeforeffectingpaymentbythismethodattherateadvisedbyDENTSPLYfromtimetotime.

g. TheClientagreesthatiftheClientfailstopayinaccordancewithsubclause3(f),DENTSPLYmay:

(i) chargeinterestondebtsat4%abovetherateprescribedpursuanttothePenaltyInterestRatesAct(vic)fromtimetotime;

(ii) chargeadishonourhandlingfeeattherateadvisedfromtimetotime,whereDENTSPLYisunabletoobtainpaymentfromtheClient’screditcardproviderorachequeisnotpaidbytheClient’sbank;

(iii) recoverallcollectioncostsandexpensesincurredincollectingoverdueaccounts;

(iv) withholdsupply. h. AnyforbearancebyDENTSPLYincharginganyofthefees

setoutinthisclausedoesnotconstituteawaiverofitsrighttodosointhefuture.

AnypaymentstenderedbytheClienttoDENTSPLYshallbe appliedasfollows: (i) firstlytowardsanydebitstotheClient’saccount

arisingfromtheoperationofsubclause3(g)(iii); (ii) secondlytowardsanydebtstotheClient’saccount

arisingfromtheoperationofsub3(h)(i)and(ii);and (iii)thirdlyinsatisfactionorpartsatisfactionoftheoldest

portionoftheClient’saccount.

4.RetentionofTitlea. AllGoodsdeliveredbyDENTSPLYremainthepropertyof

DENTSPLYuntilalldebtsowingbytheClienttoDENTSPLYhavebeenpaid,notwithstandingthatpaymentsmaybemadeforthepurposeofsettlementofspecificallydesignatedclaims.UntilallDENTSPLY’SdebtshavebeenpaidbytheClient,theClientmayholdtheGoodsasbaileeandselltheGoodsintheordinarycourseofbusiness,asitsfiduciaryandagent(buttheClientshouldnotholdhimselfoutassuch).

b. UntilpaymentofalldebtsowingtoDENTSPLY,DENTSPLYmaywithoutprejudicetoanyofitsotherrights,withoutpriornotice,re-takepossessionofanyGoodswhichremainDENTSPLY’Sproperty(notwithstandingtheyarefixedtoorincorporatedwithothergoods)andforthatpurpose,byitsservantsandagents,enterupontheClient’spremises,oranyotherplacewheretheGoodsmaybe,if:-

(i) thereisanybreachofthisAgreement;or(ii) theClienteitherhasatrusteeinbankruptcyappointed

tomanagetheClient’saffairsorifaCompany,issubjecttoinsolvencyproceedingsorisplacedunderofficialmanagement,orreceiver,orreceiverandmanager,oravoluntaryadministratorisappointedinrespectofanypartoftheClient’sundertakingorpropertyoranencumbrancebyitselforbyanagent,takespossessionofalloranypartoftheClient’sundertakingorproperty;or

(iii) theClientpartswithpossessionoftheGoodsoranyofthemotherwisethanbywayofthesaletoaclientoftheClientintheordinarycourseofitsbusiness.

c. WhereDENTSPLYanditsagentsenterupontheClient’spremises(doingallthatisnecessarytogainaccess)whereGoodssuppliedaresituatedandretakepossessionofanyoralloftheGoodsDENTSPLYreservestherighttoreselltheGoodsconcernedandmayterminatetheAgreement.

d. IfDENTSPLYconductsare-saleoftheGoods:- (i) DENTSPLYmaydosoatitspremisesorplace;and (ii) there-salemay,atDENTSPLY’Sdiscretion,beby

publicorprivatesale;and (iii) DENTSPLYmayrecoverfromtheClientasliquidated

damagesforitslossofbargain,thedifferencebetweenthere-salepriceandtheunpaidprice(togetherwithanyincidentaldamages,suchasholdingexpensesandchargesbutlessexpensessavedasaresultofyourbreach).(Ifapplicable,ifGoodscannotbesoldwithin3monthsofthefirstattemptedsale,thoseGoodswillbedeemedtohaveare-salepriceofnil).

5.ActsofDefaultAactofdefaultincludeswhereaClient: a. failstopayforanyGoodsontheduedate;or b. otherwisebreachthisAgreementandfailstorectifysuch

breachwithin7daysnotice;or c. cancelsdeliveryoftheGoods;or d. commitsanactofbankruptcy;or e. isthesubjectofanappointmentofatrusteeinbankruptcy;or f. judgementororderofaCourtisgivenagainsttheClient;or g. whereproceedingsarecommencedtowinduporanyof

itssubsidiariesoracontroller,receiver,administrator,liquidatororsimilarofficerisappointedtheClientinrespectofanypartoftheClient’spropertyorbusiness;

6.ClaimsandLiabilitiesa. DENTSPLYshallnotbeobligatedtorecognisenorshallit

beresponsibleinlaworinequityforanycreditclaimsforshortdeliveryorclaimsfordamagedGoods,unlesstheClienthasgivenwrittennoticetoDENTSPLYwithinsevendaysofthedateonwhichtheGoodsinquestionweredeliveredtoorcollectedbytheClient.Ifaclaimismadewithinthistimelimit,acknowledgmentandpaymentoftheclaimshallbeatthecompletediscretionofDENTSPLY.

b. ShouldtheClientconsiderthatithasanyclaim(otherthanclaimsofthenaturereferredtoinclause6.a.above)havingregardtotheseconditionsitisentitledtomake,itshall:-

(i) immediatelyuponbecomingawareofthecircumstancesgivingrisetosuchaclaim,notifyDENTSPLYofthenatureoftheclaim;and

(ii) allowDENTSPLY,itsservantsoragentsfullandfreeaccesstotheGoodsinrelationtowhichtheclaimismade(ortheplacewheretheGoodshavebeenappliedorused)forthepurposeofconductingsuchtestsandexaminationsasDENTSPLYmayinitsabsolutediscretionconsidernecessarytodeterminewhethertheclaimisjustifiedornot.

(iii) noreturnofGoodswillbeacceptedorcreditissuedforreturnedGoodsunlessfirstagreedtoinwritingbyDENTSPLYuponsuchtermsasDENTSPLYthinksfit.IfthegoodsarenotmanufacturedbyDENTSPLYoronlypartiallymanufacturedbyDENTSPLYreturnoftheGoodswillonlybeacceptedwiththeconsentoftherelevantsuppliertoDENTSPLY.Ahandlingchargeof15%ofthecontractpriceshallbeimposedonallGoodsacceptedforreturnandcreditmorethanfourteendaysafterdelivery.GoodsshallbereturnedatthecostoftheClientandmustbereturnedatthepointofdistributionorotherpointspecifiedbyDENTSPLY.

c. TheClienthasthebenefitofconditionsandwarrantiesimpliedbytheTradePracticesAct1974(“theAct”)andnothingintheseconditionsisintendedtoexclude,restrictormodifyanystatutoryobligationDENTSPLYhasifthatcannotlawfullybeeffected.ReferencestospecificprovisionsofandcircumstancesarisingundertheActareintendedtoincludereferencetoequivalentorsimilarprovisionsofandcircumstancesarisingunderanyStateorTerritoryenactment.

d. ShouldDENTSPLYbeliableforbreachofaconditionorwarrantyimpliedbyDivision2ofPartVoftheAct(notbeingaconditionorwarrantyimpliedbySection69oftheAct),DENTSPLY’Sliabilityforthebreachwill,subjecttoSection68A(2)oftheAct,belimitedtooneofthefollowingasdeterminedbyDENTSPLY:-

(i) thereplacementorrepairoftheGoodsorthesupplyofequivalentGoods;or

(ii) thepaymentofthecostofreplacingorrepairingtheGoodsorofacquiringequivalentGoods.

e. Subjecttoanylegislationtothecontrary:- (i) tothefullextentpermittedbylaw,allexpressand

impliedterms,otherthantheonessetoutinthesetermsandconditionsareexcluded;

(ii) tothefullextentpermittedbylaw,DENTSPLYisnotliableforanyinjurytoordeathofanypersonorloss(includinglossofprofitsorconsequentialloss)ordamagetopropertyarisingfromanyactoromissionoftheClient,DENTSPLYoranyotherperson(includinganylossordamagearisingfromDENTPLY’snegligence);

(iii) TheClientindemnifiesDENTSPLYagainstanyclaimsmadeagainstDENTSPLYbyanythirdpartyinrespectofanyloss,damage,deathorinjuryasissetoutsubclause4e.(ii)andalllossesandexpenseswhichDENTSPLYmaysufferorincurduetotheClient’sfailuretoobservefullyyourobligationsundertheAgreement;and

(iv) DENTSPLYmakesnorepresentation,warrantyorundertakingaboutthecomplianceoftheGoodswithanystatutoryrequirementsrelatingtothemarketingofGoods.TheClientacknowledgesthattheClientaloneisresponsibleforcomplianceoftheGoodswiththislegislation.

f. DENTSPLYwillnotberesponsiblefornon-deliveryordelayindeliveryofanyGoodsduetoanycausebeyondourreasonablecontrol,notwithstandingthatthecausemaybeoperativeatthetimeofenteringthecontractofsale.Wheresuchnon-deliveryordelayoccurs,DENTSPLYmaydelivertheGoodsnotdeliveredordelayedatanysubsequenttimeandtheClientmustacceptandpayforthem.

7.Ordersa. AnyquotationgivenbyDENTSPLYtotheClientfromtime

totime,shallnotbeconstruedoroperatedasanofferorobligationtosellbutshallbeaninvitationtocontractonly,andDENTSPLYreservestherighttoacceptorrejectinitsabsolutediscretionanyorderwhichmaybereceivedbyitfromtheClient.UntilsuchtimeasDENTSPLYacceptsinwritingawrittenordersubmittedbytheClient,itshallnotbeobligedtosupplytotheClienttheGoodssoorderedPROVIDEDALWAYSthatifatanytimetheClientdefaultsinrespectofitspaymentobligationsundertheseconditions,DENTSPLYmaycancelorsuspendanyuncompletedorderthathasbeenacceptedbyDENTSPLY,withoutbeingliabletotheClientinanywaywhatsoever.

b. FURTHERPROVIDEDthatDENTSPLYshallnotunderanycircumstancesberesponsibletotheClientforabreachofitsobligationtosupplyGoodspursuanttoanorderthatithasacceptedwhichfailuretoand/orlatesupplyiscausedbymattersbeyondthereasonablecontrol(includingbutwithoutlimitingthegeneralityoftheforegoing)ActofGod,actsofanyGovernment,warorotherhostility,nationalorinternationaldisasters,theelements,fire,explosion,powerfailure,equipmentfailure,strikesorlockouts,inabilitytoobtainnecessarysuppliesandthelikeandotherforcemajeure.

c. DENTSPLYreservesitsrightstoalterquotes,pricelists,thedesignofGoodsandtoceasesupplyofGoodswithoutnotice.

8.WaiverNowaiverbyDENTSPLYofanyonebreachoftheseconditionsshalloperateasawaiverofanotherbreachofthesameorofanyotherconditionsofsaleandthedoingand/oromissionofanyact,matterorthingwhatsoeverbyDENTSPLY,itsservantsoragents(whichbutforthisclauseoughtormightamounttoawaiverofDENTSPLY’Srightsinrespectofanysuchbreachordefault),shallnotoperatenorbedeemedtobeawaiverinanywayofDENTSPLY’Srightsandpowersinrespectofsuchbreachordefaultanyruleoflaworequitytothecontrarynotwithstanding.

9.Deliverya. TheClientmusttakedeliveryofGoodswithin7daysof

notificationthattheyarereadyfordelivery.IntheeventthattheClientfailstotakedeliverywithinsevendays,theClientshallpaytoDENTSPLYallstoragehandlingandotherassociatedcostsarisingfromtheClient’sfailuretotakedelivery.

b. Ifafter14daysofsuchnotificationtheClienthasnottakendeliveryofthegoodsDENTSPLYmayatitsdiscretioncanceltheorderbygivingwrittennoticetotheClientandseekdamagesfromtheClientforalllossesithasandwillsustainasadirectandindirectconsequenceoftheClient’sfailuretotakedelivery.

c. ThegoodsshallbeattheClient’sriskfromthedateofnotificationfromDENTSPLYthatthegoodsarereadyfordelivery.

d. TheClientshallberesponsibleforallhoistingfacilitiesondelivery.ThegoodsshallnotbedisassembledtosuitthehoistingfacilitiesunlessagreedtobyDENTSPLY.

10.Chargea. TheClientherebychargesinfavourofDENTSPLY: (i) anylandthattheClientowns(oracquiresafterthe

datehereof)assecurityforanyandallmoniesowingtoDENTSPLYandherebyauthorisesDENTSPLYtoregisteracaveatovertheLandiftheClientdefaultsinmakingpaymentofanyamountdue;

(ii) theClient’spersonalpropertyincluding,withoutlimitation,allthestock,motorvehicles,plant,equipmentanddebtorsthattheClientowns(oracquiresafterthedatehereof)assecurityforanyandallmoniesowingtoDENTSPLYandherebyauthorisesDENTSPLYtoregister,withanycompetentauthority,thechargeoverthepropertyiftheClientdefaultsinmakingpaymentofanyamountduetoDENTSPLY.

11.SetOffTheClientagreesthat:

a. DENTSPLYmayset-offanycreditamountthatDENTSPLYowestotheClientagainstanydebitduebytheClienttoDENTSPLY;

b. TheClientisnotentitledtowithholdpaymentofanymoneyinrespectofanyset-offorclaimtheClientmighthaveagainstDENTSPLY.

12.WholeAgreementTheseconditionstogetherwithSectionAofthisAgreementembodythewholeagreementbetweenthepartiesand,subjecttotheexpresstermscontainedinanywrittenorderorwrittenacceptancethereof,allpreviousdealings,representationsandarrangementsareherebyexcludedandcancelled.

13.CessationofSupplyDENTSPLY’SagreementtocontinuetodeliverorsellGoodstotheClientisalwaysconditionaluponDENTSPLYbeingsatisfiedoftheClient’sabilitytopayandcomplywiththesetermsandconditions.IfDENTSPLYceasedtobesosatisfiedDENTSPLYmaysuspendand/orterminatedeliveriesandshallnotbeliableinanywayforanyclaim,damage,expenseorcostsufferedbytheClient.

14.SeveranceShouldanypartofthesetermsandconditionsbeheldtobevoidorunlawful,thesetermsandconditionswillbereadandenforcedasifthevoidorunlawfulprovisionshavebeendeleted.

2.BysigningthisAgreementtheClient: a. appliesforacreditaccount; b. declaresthatallinformationprovidedintheApplication

istrueandcorrectandthatnorelevantinformationinregardtothecreditworthinesshasbeenwithheld;

c. agreestopurchaseGoodsonthetermsandconditionssetoutinSectionBasamendedfromtimetotime;

d. undertakestopromptlyprovideanyfinancialstatementsrequestedbyDENTSPLYfromtimetotime;

e. agreestoenterintoanyguarantees,securitiesorthelikerequiredbyDENTSPLYtosecuretheprovisionofGoodsoncreditandtopayforalllegalcosts,stampdutyorotherexpensesincurredinpreparationoforenforcementofsuchguarantees,securitiesorthelike;

f. agreestoacceptthecreditlimitallocatedbyDENTSPLYandthatthecreditaccountmaybewithdrawnatanytimewithoutnotice;

g. warrantsthateachpersonwhosignstheagreementisauthorisedtodoso;

h. AlliancewithAmericanExpressDENTSPLYwilluseitsreasonableendeavourstoensurethatittakesallreasonablestepstoensurethecontributionoftheAllianceandtheRewardsPointsforitsClientsandshallnotifyitscustomersintheeventthattheAllianceProgramisforanyreasoncancelled.DENTSPLYshallnotbeheldliableforanylossordamagethatissustainedbytheClientasaresultofAmericanExpressInternational(NZ)Inc.(CompanyNo:867929)failingtoprovidetheRewardPointstotheClientarisingfromanypaymentsinaccordancewiththeAllianceprogram.

3.IfapartnerinapartnershipsignsthisAgreementonbehalfofaClient: a. eachpersonwhoatanytimeonorafterthedateof

theApplication,carriesonbusinessinpartnershipwithotherpersonsunderthetradingnamesetoutinSectionAofthisAgreementorunderanyothernamesubstitutedforthatname(“Partnership”)isboundbythisAgreement;

b. thepartnersagreetoprocureanynewpartnerintothePartnershiptoexecute,within30daysofbecominganewpartner,anacknowledgmentunderwhichhe/shewillagreetobeboundbythetermsandconditionsofthisAgreementasifhe/shehadbeenapartneratthedateofthisApplication;

c. thatanypersonwhoceasestobeapartnerofthePartnershipwillbeandremainliableasaprincipaldebtorfortheobligationsofthe“Partnership”untilDENTSPLYreleasesthatperson.

4.Forthepurposesofassessingcredit-worthiness,theClient,trustee,partners,soletradersandguarantors: a. authoriseDENTSPLYanditsagentstomakesuch

enquiriesasDENTSPLYdeemsnecessaryfrompersonsnominatedastradereferees,financiers,insurersandcreditreportingagenciesandconsenttothosepersonsprovidinganyinformationtheymaylegallygivetoDENTSPLY;

b. consenttoDENTSPLYdisclosinginformationDENTSPLYcollectstoacreditreportingagency;

c. consenttoDENTSPLYdisclosinginformationitcollectstoitsinsurancebrokersand/orinsuranceunderwritersforthepurposeofprovidingDENTSPLYwithinsurance.

5.DENTSPLYiscommittedtosupportingthe‘NationalPrivacyPrinciplesfortheFairHandlingofPersonalInformation’whichsetclearstandardsforthecollection,access,storageanduseofpersonalinformationwhichitobtainsaspartofitsbusinessoperations.WhereinformationispersonalinformationofanindividualDENTSPLYrespectstheindividuals’righttoprivacyoftheirpersonalinformation.Ithaspoliciesandprocedurestoensurethatallpersonalinformation,nomatterhoworwhereitisobtained,ishandledsensitively,securely,andinaccordancewiththeNationalPrivacyPrinciples.SothatDENTSPLYcanprovideservices,itmayaskforpersonaldetailssuchasname,address,telephonenumberore-mailaddress.ThepersonalinformationthatDENTSPLYseeksisgenerallyusedtoprovideanaccountandGoods.DENTSPLYrequiresDentalCouncilofNewZealandregistrationnumber(orlikeregistration)sothatitisabletosupplyGoodsclassifiedas“Poisons”.IfDentalCouncilofNewZealandregistrationnumber(orlikeregistration)isnotsuppliedthenDENTSPLYwillnotbeabletosupply“Poisons”goods.Wherepossible,DENTSPLYtriestoensurethatdisclosureofinformationtootherorganisations(forexampleservicetechnicians,financecompanies,freightcompaniesandotherswithwhomithascommercialarrangements)isinawaywhichdoesnotpersonallyidentifyindividuals.DENTSPLYwillprovideindividualswithaccesstoanyoftheirpersonalinformationitholds(exceptinthelimitedcircumstancesrecognisedbyprivacylaw).Ifanindividualrequiresaccesstotheirpersonalinformation,pleasecontactDENTSPLYdirectly.Ofcourse,beforeitprovidesaccesstopersonalinformationDENTSPLYwillrequiresomeproofofidentity.Ifanindividualneedstoupdateinformation(eg.ifthereisachangeofaddress),pleasecontactDENTSPLYsoitcanmakethechange.ThisisabriefoutlineofDENTSPLY’SPrivacyStatementacopyofwhichcanbeobtainedfromDENTSPLYorfromitswebsite.

6.BysigningthisAgreementDENTSPLYagreestoprovideGoodsoncredittotheClientfromtimetotimesubjecttoandpursuanttothetermsandconditionssetoutinSectionB(asamendedfromtimetotime).

7.BysigningthisAgreementtheGuarantorsgivetheguaranteeandindemnitydescribedinPart3oftheApplication.

SECTION B1.SupplyTheseTermsandConditionsofSale(“theconditions”)shallapplytoallsalesofGoodsbyDENTSPLY(Australia)Pty.Ltd(“DENTSPLY”)totheClient.

2.LawTheAgreementshallbegovernedbythelawsofNewZealand.DENTSPLYandtheClientagreetosubmitthemselvestothenon-exclusivejurisdictionoftheCourts.

3.Paymenta. InrespectoftheClient’sobligationtomakepaymentfor

theGoodssoldbyDENTSPLYtotheClient,timeshallbeoftheessence.

b. Unlessotherwiseexpresslyagreedinwriting,thepriceoftheGoodsshallbethepricespecifiedinaninvoiceplusNZGSTplustheamountDENTSPLYisrequiredtopayonaccountofanychargeswhichmaybeleviedbyanygovernment(domesticorforeign)plusanyamountthatreflectsanyincreaseinexchangerates,costsoflabour,materialsandoverheads.

c. TheClientisresponsibleforallfreightcosts.IftheClientnominatesacarrierthismustbeadvisedtoDENTSPLYinwritingintheabsenceofwhichDENTSPLYwillchooseacarrier.

d. TheClientagreesthatuntilDENTSPLYconfirmsthatcredittermshavebeengrantedtotheClient,allGoodsaresuppliedonacashondeliverybasis.

e. Unlessotherwiseagreed,allamountsowingtoDENTSPLYonaccountofGoodssuppliedoncreditaredueandpayablebythelastworkingdayofthemonthfollowingdispatchofinvoicestotheClient.

f. TheClientmaypaybycreditcard.However,DENTSPLYreservestherighttochargeacreditcardhandlingfeeforeffectingpaymentbythismethodattherateadvisedbyDENTSPLYfromtimetotime.

g. TheClientagreesthatiftheClientfailstopayinaccordancewithsubclause3(f),DENTSPLYmay:

(i) chargeinterestondebtsat4%abovetherateprescribedpursuanttoSection62BoftheDistrictCourtAct1947(NewZealand)fromtimetotime;

(ii) chargeadishonourhandlingfeeattherateadvisedfromtimetotime,whereDENTSPLYisunabletoobtainpaymentfromtheClient’screditcardproviderorachequeisnotpaidbytheClient’sbank;

(iii) recoverallcollectioncostsandexpensesincurredincollectingoverdueaccounts;

(iv) withholdsupply. h. AnyforbearancebyDENTSPLYincharginganyofthe

feessetoutinthisclausedoesnotconstituteawaiverofitsrighttodosointhefuture.

i. AnypaymentstenderedbytheClienttoDENTSPLYshallbeappliedasfollows:

(i) firstlytowardsanydebitstotheClient’saccountarisingfromtheoperationofsubclause3i.(iii);

(ii) secondlytowardsanydebtstotheClient’saccountarisingfromtheoperationofsubclause3.g.(i)and(ii).

(iii) thirdlyinsatisfactionorpartsatisfactionoftheoldestportionoftheClient’saccount.

4.RetentionofTitlea. AllGoodsdeliveredbyDENTSPLYremaintheproperty

ofDENTSPLYuntilalldebtsowingbytheClienttoDENTSPLYhavebeenpaid,notwithstandingthatpaymentsmaybemadeforthepurposeofsettlementofspecificallydesignatedclaims.UntilallDENTSPLY’SdebtshavebeenpaidbytheClient,theClientmayholdtheGoodsasbaileeandselltheGoodsintheordinarycourseofbusiness,asitsfiduciaryandagent(buttheClientshouldnotholdhimselfoutassuch).

b. UntilpaymentofalldebtsowingtoDENTSPLY,DENTSPLYmaywithoutprejudicetoanyofitsotherrights,withoutpriornotice,re-takepossessionofanyGoodswhichremainDENTSPLY’Sproperty(notwithstandingtheyarefixedtoorincorporatedwithothergoods)andforthatpurpose,byitsservantsandagents,enterupontheClient’spremises,oranyotherplacewheretheGoodsmaybe,if:-

(i) thereisanybreachofthisAgreement;or(ii) theClienteitherhasatrusteeinbankruptcy

appointedtomanagetheClient’saffairsorifaCompany,issubjecttoinsolvencyproceedingsorisplacedunderofficialmanagement,orreceiver,orreceiverandmanager,oravoluntaryadministratorisappointedinrespectofanypartoftheClient’sundertakingorpropertyoranencumbrancebyitselforbyanagent,takespossessionofalloranypartoftheClient’sundertakingorproperty;or

(iii).theClientpartswithpossessionoftheGoodsoranyofthemotherwisethanbywayofthesaletoaclientoftheClientintheordinarycourseofitsbusiness.

c. WhereDENTSPLYanditsagentsenterupontheClient’spremises(doingallthatisnecessarytogainaccess)whereGoodssuppliedaresituatedandretakepossessionofanyoralloftheGoodsDENTSPLYreservestherighttoreselltheGoodsconcernedandmayterminatetheAgreement.

d. TheClientacknowledgesthatDENTSPLYretainsasecurityinterestinallgoodsandinventorysupplieduntilsuchtimeaspaymentofallsumsowingisreceivedandthatDENTSPLYmayregisterafinancingsettlementunderthePersonalPropertySecuritiesAct1999(NewZealand)(“PPSA”).

e. TheClientunderstakestopromptlyandattheClient’scostdosuchactsandtoprovidesuchinformationasinouropinionmaybenecessaryforDENTSPLYtoregisterasecurityinterestasafirstpriorityinterest,orsuchpriorityasmayotherwisebeagreed.

f. TheClientacknowledgesthatithaswaiveditsrighttoreceiveacopyofanyverificationstatementissuedunderthePPSAoranyotherconfirmationrelatedtoanysecurityinterestcreatedbytheseprovisions.

g. IfDENTSPLYconductsare-saleoftheGoods:- (i) DENTSPLYmaydosoatitspremisesorplace;and (ii) there-salemay,atDENTSPLY’Sdiscretion,beby

publicorprivatesale;and (iii) DENTSPLYmayrecoverfromtheClientas

liquidateddamagesforitslossofbargain,thedifferencebetweenthere-salepriceandtheunpaidprice(togetherwithanyincidentaldamages,suchasholdingexpensesandchargesbutlessexpensessavedasaresultoftheClient’sbreach).(Ifapplicable,ifGoodscannotbesoldwithin3monthsofthefirstattemptedsale,thoseGoodswillbedeemedtohaveare-salepriceofnil).

5.ActsofDefaultAnactofdefaultincludeswhereaClient: a. failstopayforanyGoodsontheduedate;or b. otherwisebreachesthisAgreementandfailstorectify

suchbreachwithin7daysnotice;or c. cancelsdeliveryoftheGoods;or d. commitsanactofbankruptcy;or e. isthesubjectofanappointmentofatrusteein

bankruptcy;or f. judgementororderofaCourtisgivenagainstthe

Client;org. whereproceedingsarecommencedtowinduporanyof

itssubsidiariesoracontroller,receiver,administrator,liquidatororsimilarofficerisappointedtheClientinrespectofanypartoftheClient’spropertyorbusiness;

6.ClaimsandLiabilitiesa. ReturnofGoodswillnotbeacceptedbyDENTSPLY

unlesstheClienthasanapprovedDENTSPLYReturnAuthorisationNumber.Similarly,DENTSPLYshallnotbeobligatedtorecognisenorshallitberesponsibleinlaworinequityforanycreditclaimsforshortdeliveryorclaimsfordamagedGoods,unlesstheClienthasanapprovedDENTSPLYReturnAuthorisationNumber.AnysuchclaimorrequestforcredittoDENTSPLYmustbemadewithinfourteendaysofthedateonwhichtheGoodsinquestionwereinvoicedtotheClientbyDENTSPLYandbereturnedtoDENTSPLYwithinforty-fivedaysoftheinvoicedateforthesameGoods.Ifaclaimismadewithinthistimelimit,acknowledgementandpaymentoftheclaimshallbeatthecompletediscretionofDENTSPLY.

b. IftheClientconsidersthatithasaclaim(otherthanreferredtoinclause6.a.)havingregardtotheseconditionstheClientmay:-

(i) immediatelyuponbecomingawareofthecircumstancesgivingrisetosuchaclaim,notifyDENTSPLY;and

(ii) allowDENTSPLY,itsservantsoragentsfullandfreeaccesstotheGoodsinrelationtowhichtheclaimismade(ortheplacewheretheGoodshavebeenappliedorused)forthepurposeofconductingsuchtestsandexaminationsasDENTSPLYmayinitsabsolutediscretionconsidernecessarytodeterminewhethertheclaimisjustifiedornot.

c. IftheGoodsarereturnedtheClientshallpayahandlingchargeof15%ofthecontractpriceonallGoodsacceptedforreturnandcreditoutsidetermsreferredtoinclause6.a.GoodsreturnedshallbeatthecostoftheClientandmustbereturnedatthepointofdistributionorotherpointspecifiedbyDENTSPLY.

d. TheClienthasthebenefitofconditionsandwarrantiesimpliedbytheConsumerGuaranteesAct1993(“theAct”)andnothingintheseconditionsisintendedtoexclude,restrictormodifyanystatutoryobligationDENTSPLYhasifthatcannotlawfullybeeffectedbyreferencestospecificprovisionsofandcircumstancesarisingundertheAct.

e. ShouldDENTSPLYbeliableforbreachofaconditionorwarrantyimpliedbytheAct(notbeingaconditionorwarrantyimplied),DENTSPLY’SliabilityforthebreachwillbelimitedtooneofthefollowingasdeterminedbyDENTSPLY:-

(i) thereplacementorrepairoftheGoodsorthesupplyofequivalentGoods;or

(ii) thepaymentofthecostofreplacingorrepairingtheGoodsorofacquiringequivalentGoods.

f. Subjecttoanylegislationtothecontrary:- (i) tothefullextentpermittedbylaw,allexpressand

impliedterms,otherthantheonessetoutinthesetermsandconditionsareexcluded;

(ii) tothefullextentpermittedbylaw,DENTSPLYisnotliableforanyinjurytoordeathofanypersonorloss(includinglossofprofitsorconsequentialloss)ordamagetopropertyarisingfromanyactoromissionoftheClient,DENTSPLYoranyotherperson(includinganylossordamagearisingfromDENTSPLY’Snegligence);

(iii)TheClientindemnifiesDENTSPLYagainstanyclaimsmadeagainstDENTSPLYbyanythirdpartyinrespectofanyloss,damage,deathorinjuryasissetoutsubclause6f.(ii)andalllossesandexpenseswhichDENTSPLYmaysufferorincurduetotheClient’sfailuretoobservefullyitsobligationsundertheAgreement;and

(iv)DENTSPLYmakesnorepresentation,warrantyorundertakingaboutthecomplianceoftheGoodswithanystatutoryrequirementsrelatingtothemarketingofGoods.TheClientacknowledgesthattheClientaloneisresponsibleforcomplianceoftheGoodswiththislegislation.

g. DENTSPLYwillnotberesponsiblefornon-deliveryordelayindeliveryofanyGoodsduetoanycausebeyondourreasonablecontrol,notwithstandingthatthecausemaybeoperativeatthetimeofenteringthecontractofsale.Wheresuchnon-deliveryordelayoccurs,DENTSPLYmaydelivertheGoodsnotdeliveredordelayedatanysubsequenttimeandtheClientmustacceptandpayforthem.

7.Ordersa. AnyquotationgivenbyDENTSPLYtotheClientfrom

timetotime,shallnotbeconstruedoroperatedasanofferorobligationtosellbutshallbeaninvitationtocontractonly,andDENTSPLYreservestherighttoacceptorrejectinitsabsolutediscretionanyorderwhichmaybereceivedbyitfromtheClient.UntilsuchtimeasDENTSPLYacceptsinwritingawrittenordersubmittedbytheClient,itshallnotbeobligedtosupplytotheClienttheGoodssoorderedPROVIDEDALWAYSthatifatanytimetheClientdefaultsinrespectofitspaymentobligationsundertheseconditions,DENTSPLYmaycancelorsuspendanyuncompletedorderthathasbeenacceptedbyDENTSPLY,withoutbeingliabletotheClientinanywaywhatsoever.

b. FURTHERPROVIDEDthatDENTSPLYshallnotunderanycircumstancesberesponsibletotheClientforabreachofitsobligationtosupplyGoodspursuanttoanorderthatithasacceptedwhichfailuretoand/orlatesupplyiscausedbymattersbeyondthereasonablecontrol(includingbutwithoutlimitingthegeneralityoftheforegoing)ActofGod,actsofanyGovernment,warorotherhostility,nationalorinternationaldisasters,theelements,fire,explosion,powerfailure,equipmentfailure,strikesorlockouts,inabilitytoobtainnecessarysuppliesandthelikeandotherforcemajeure.

c. DENTSPLYreservesitsrightstoalterquotes,pricelists,thedesignofGoodsandtoceasesupplyofGoodsatanytimewithoutnotice.

8.WaiverAnywaiverbyDENTSPLYofabreachofthisAgreementshallnotbedeemedtobeawaiverofsubsequentbreachesofthesameorofadifferentkind.

9.Delivery a. TheClientmusttakedeliveryofGoodswithin7daysof

notificationthattheyarereadyfordelivery.IntheeventthattheClientfailstotakedeliverywithin7days,theClientshallpaytoDENTSPLYallstoragehandlingandotherassociatedcostsarisingfromtheClient’sfailuretosotakedelivery.

b. Ifafter14daysofsuchnotificationtheClienthasnottakendeliveryoftheGoodsDENTSPLYmayatitsdiscretioncanceltheorderbygivingwrittennoticetotheClientandseekdamagesfromtheClientforalllossesithasandwillsustainasadirectandindirectconsequenceoftheClient’sfailuretotakedelivery.

c. TheGoodsshallbeattheClient’sriskfromthedateofnotificationfromDENTSPLYthattheGoodsarereadyfordelivery.

d. TheClientshallberesponsibleforallhoistingfacilitiesondelivery.TheGoodsshallnotbedisassembledtosuitthehoistingfacilitiesunlessagreedtobyDENTSPLY.

e. FromdeliverytheGoodsareattheClient’srisk.

10.Charge a. TheClientherebychargesinfavourofDENTSPLY: (i) anylandthattheClientowns(oracquiresafter

thedatehereof)assecurityforanyandallmoniesowingtoDENTSPLYandherebyauthorisesDENTSPLYtoregisteracaveatovertheLandiftheClientdefaultsinmakingpaymentofanyamountdue;

(ii) theClient’spersonalpropertyincluding,withoutlimitation,allthestock,motorvehicles,plant,equipmentanddebtorsoftheClient(oracquiresafterthedatehereof)assecurityforanyandallmoniesowingtoDENTSPLYandherebyauthorisesDENTSPLYtoregister,withanyauthority,achargeovertheClient’sassets/propertyiftheClientdefaultsinpaymentofanyamountduetoDENTSPLY.

11.SetOffTheClientagreesthat: a. DENTSPLYmayset-offanycreditamountthat

DENTSPLYowestotheClientagainstanydebitduebytheClienttoDENTSPLY;

b. TheClientisnotentitledtowithholdpaymentinrespectofanyset-offorclaimtheClientmighthaveagainstDENTSPLY.

12.WholeAgreementThisAgreementembodiesthewholeagreementbetweenthepartiesand,subjecttotheexpresstermscontainedinanywrittenorderorwrittenacceptancethereof,allpreviousdealings,representationsandarrangementsareherebyexcludedandcancelled.

13.CessationofSupplyDENTSPLY’SagreementtodeliverorsellGoodstotheClientisalwaysconditionaluponDENTSPLYbeingsatisfiedoftheClient’sabilitytopayandcomplywiththisAgreement.IfDENTSPLYceasestobesosatisfiedDENTSPLYmaysuspendand/orterminatedeliveriesandshallnotbeliableinanywayforanyclaim,damage,expenseorcostsufferedbytheClient.

14.SeveranceShouldanypartofthisAgreementbeheldtobevoidorunlawful,thisAgreementwillbereadandenforcedasifthevoidorunlawfulprovisionshadbeendeleted.

15.NewZealandGoodsandServicesTaxTheClientacknowledgesthattheGoodssuppliedbyDENTSPLYshallhaveaddedtotheircosttheNewZealandGoodsandServicesTaxwhichshallbepayabletogetherwiththepaymentfortheGoods.

16.MinimumOrdersDENTSPLYreservestherighttospecifytheminimumordervaluewhichitshallacceptfromtimetotimeandtoimposeasurchargeshouldtheClientrequiredeliveryofGoodshavingavaluelessthantheminimumordervaluespecifiedbyDENTSPLY.

17.NoticesAllnoticestobegivenunderthisAgreementshallbeinwritingandmaybedeliveredtoorsentbyprepaidpostorfacsimiletothecurrentbusinessaddressofthepartytowhomthenoticeisgiven.Allnoticesshallbedeemedservedseven(7)daysafterthedateofpostingorifdeliveredattheactualdateofreceiptorifsentbyfacsimileinthenormalcourseoftransmission.

18.AcknowledgmentTheClientacknowledgeshavingreadandunderstoodthisAgreementpriortosigningthisAgreement.

19.TimeTimeshallbetheessenceofthisAgreement.

20.GoodFaithAllpartiestothisAgreementshallactingoodsfaithwithregardtoeachotherinallmatters.
