What is Swiftboox 'iWrite'? With 'iWrite' you can create ebooks in English and Indian vernacular languages starting with Bengali and publish to Swiftboox eBook platform for easy distribution.

'iWrite' is web-based software which means you do not install it on your computer; rather, you access it through a web browser.

Some typical uses of the platform might be: • Writing a work of fiction, manuals, cookbooks etc. • Writing any content as an individual • Customising existing content to apply to a very specific context • Translating a book into another language

Getting started Open the link to your iWrite.app server in your web browser.

To write or edit a book you need a user account. Clicking the Sign In link will give you the choice of either signing in or creating an account, if the 'iWrite' administrator allows members of the general public to create accounts for themselves.

Once you have signed in, the Sign in box will change to My Profile, and your name will be shown in the top right corner of the page. If your email address has a Gravatar, it will be shown in the My Profile box. Click the My Dashboard button to access your personal page.

Creating an Account If you don't have an account yet and the Create Account box is visible, you can make one for yourself with the following steps:

1. Under Create account enter your desired User name, Password, and Full name, then your Email. The security of your 'iWrite' account depends on the strength of the password you set here, so you should avoid using easily-guessed passwords. Your full name is required as it is used for copyright attribution on any works you create or contribute to.

2. Click the Create account button. 3. 'iWrite' will generate the new account, sign you in, and redirect you to the Home

view.

My Dashboard Your Dashboard helps you manage your books and customise your 'iWrite' profile.

To get to it, click the My Dashboard button in the My Profile box in the Home view of 'iWrite'. Or click your own username on the People view.

You can also reach your dashboard from anywhere in 'iWrite' by clicking on the three-line menu icon in the top-left corner and selecting My Dashboard.

Your dashboard contains sections for My Profile, My Books and My Recent Activity.

My Profile

The My Profile section shows your user name, full name, and photo, if you've uploaded one. To edit your profile, click the Settings button.

In the User settings box, you can edit your Email and Full name if either of those need to be corrected.

Below your full name is a text box where you can type in a description About yourself. If a Gravatar image is available for the email address you used to create your 'iWrite' account, that will be used as your Profile image. Alternatively, you can click the Choose file button to upload a profile image from your computer, if you wish.

Once you have made the changes you want, click the Save changes button. Over on the right side of the window you can change your 'iWrite' account password by entering the Old Password once and the New Password twice. Then click the Change password button.

My Books The My Books section lists books you have created.

You can switch between grid view and list view by clicking on the appropriate icon.

At the bottom of each book icon in My Books, there are symbols which are links to Edit Book, View Book, and Publish Book.

If you click anywhere else on the book icon, including on its title, an overview of Book Details will be displayed.  The My Books section also contains buttons for CREATE NEW BOOK.

My Recent Activity The My Recent Activity section lists the last few things you have done on 'iWrite', such as creating a book, saving a chapter or joining a group. Anyone who follows you will be notified of each of these events.

Creating a Book

In My Dashboard, click the CREATE BOOK button.

The Create New Book wizard will open.

The wizard has five steps. The first step is to enter the title of the book.

NOTE: FOR BENGALI BOOKS, DO NOT ENTER THE WORKING TITLE IN BENGALI TEXT, USE ONLY ENGLISH AS THE SERVER OS HAS ISSUES ENCODING NON-ENLISH TEXT. FOR EXAMPLE A BOOK WITH A TITLE - “AAMAR BOI” IS VALID BUT “আমার বই” IS NOT VALID.

If you happen to enter a title which already exists on the server, 'iWrite' will warn you that there is already a book with this name.

Having entered a title, you can either click the Finish button to create the book, or continue through the remaining four optional steps of the wizard, which are:

• entering a description for your book and choosing a copyright license; • additional meta data for the title; • select creation mode • uploading a cover image to accompany the description of the book in

'iWrite'; and • choosing a sale price.

All of these items can be entered or changed later. Once you press Finish you will be redirected to your new book's Book Details page.

Your new book will now be listed in the My Books section of My Dashboard, together with the other books you have created and those in which you are participating.

Deleting a Book In circumstances, you may wish to delete a book from your 'iWrite' account. To initiate deletion, go to Book Info / details page by clicking on the book cover, then click the three line option button and finally select the Delete Book option from the drop down.

The Delete Book dialog will appear. As a safeguard against careless deletion of books, you will be asked to type the full title of the book into the dialog before you are allowed to delete the book.

Deleting a book in 'iWrite' is an irreversible process. All the data associated with the book will be lost.

The Edit Interface Once you have created your book, click on its Edit Book icon to enter the edit interface and begin work on your book's content.

The edit interface will be displayed, showing the Table of Contents view.

It's worth taking a little time to get to know the edit interface. At the top right of the page, to the right of your book's title, are the buttons for the different sections of the edit interface.

From left to right, these are: • Table of Contents (the default view) • Media • Cover Manager • Book History • Settings • Publish

Each of these items are explained briefly below, and more detail is provided in later chapters. On the left off the page and visible in every section of the edit interface is one tab for keeping notes.

Table of Contents 

The Table of Contents is where you create new chapters and sections, and initiate the editing of chapters. You can also rearrange the order of sections and chapters, and modify their status.

Media

The Media section lists all the images or other files you have uploaded which you can add to your book. You can also upload images and other files here before placing them in a chapter, and you can delete unwanted files if you have the necessary privileges.

Cover Manager

The Cover Manager section allows you to upload and manage covers for your book. You should upload your ebook cover image files (JPEG, GIF or PNG format) in the appropriate dimensions for the output format.

When you click Upload cover, the Enter Meta-data dialog enables you to specify the title, creator and licence for the image, and associated notes.

Once you have entered the meta-data and clicked Upload cover, the cover image is displayed in the Cover Manager. The image's meta-data is visible when you move your pointer over the cover.

You can revise these details at any time by clicking on the cover's Edit Image Data icon.

Book History In the Book History section you can follow the history of edits and revisions to your book. You can see who has made what changes on what date, and compare revisions.

Click on the chapter link you're interested in to compare revisions. This will take you to a revision comparison interface. If you have ever looked at the edit history of a Wikipedia article, this interface will be familiar to you. Select the radio buttons of two revisions you would like to compare, in the order in which you would prefer them to appear (left column / right column) and click the Compare button.

A 'diff' (difference between) the two chapter revisions will be displayed, with colour coding to indicate which sections of text have been changed, added or deleted.

Settings

Clicking the Settings icon will bring you to the Book Settings section, where you can configure various aspects of your book including language, licence, custom chapter statuses, metadata and price. Please see the chapter Book Settings for further information.

Publish

When your book is ready for final publication, the Publish section contains the settings and workflow required for outputting your work to the Swiftboox eBook platform. Please see the chapter Publishing a Book for further information.

Table of Contents As we've seen in the chapter The Edit Interface, the Table of Contents is the default view of 'iWrite's edit interface. It's where you create new chapters and sections, and initiate the editing of chapters. You can also rearrange sections and chapters using drag and drop, and modify the current status of each chapter.

Chapters and sections are represented as horizontal bars, one above the other. Chapters have a pen-and-paper Edit icon at the left end, whereas sections have a Expand/Collapse arrow.

A section's arrow points downwards when it is expanded (i.e. the chapters it contains are revealed), and points to the right when it is collapsed (i.e. its chapters are hidden). Clicking the Expand/Collapse arrow will alternately expand and collapse the section. Collapsing and expanding sections is useful for getting an overview of a book which contains many sections and chapters. You can cause all sections in the table of contents to be expanded or collapsed at the same time by clicking on the Expand All or Collapse All arrow buttons towards the top right corner of the screen.

The purpose of sections It's common for authors and publishers to divide a book into sections in order to organise and theme the book's content.

In 'iWrite', sections act as containers for chapters. A section can contain as many chapters as you like, and behaves as a discrete unit within in the table of contents. If you don't want your book to have any sections at all, that's fine. Your table of contents can just be a list of standalone chapters.

Equally, it is also possible to have some chapters which are contained within sections and others which are not. For example, you might decide to start your book with a standalone chapter entitled 'Preface', to end it with a standalone chapter called 'Contributors', and to organise all of the intervening chapters of the book into sections.

In short, 'iWrite' can accommodate any arrangement of chapters and sections you want.

Tip: You can see at a glance whether a chapter is standalone or not. Chapters which are contained within sections are indented slightly.

Adding a chapter To add a new chapter, click the New Chapter button in the top right corner of the table of contents. A Create New Chapter window opens. Enter the title of your new chapter and click Create Chapter.

Your new chapter will appear at the bottom of the table of contents. You can then click on its title, or on its Edit Chapter control, to edit its contents. For details, see the chapter Editing a Chapter.

Adding a section To add a section to a book, click the New Section button. A Create New Section window opens. Enter the title of your new section and click Create Section.

The new section is created and placed at the bottom of the table of contents.

Arranging chapters and sections To re-order a chapter or section, click and hold on the item you wish to move, drag it up or down to where you want it to be, and then release to drop it into place. If you are moving a section which contains chapters, the chapters will be moved along with the section. Take a little time to practice using this drag and drop interface. Once you are familiar with it, arranging your book's table of contents will be quick and accurate.

As explained under the heading Adding a chapter above, when you create a new chapter it appears at the bottom of the table of contents, and is not initially associated with any section. To add your new chapter to a section, drag it up to the desired location. Tip: If the chapter 'lands' underneath the section to which you want it to belong, but is not indented, drag it towards the right. The chapter should then become indented, indicating that it is now contained by the section.

Chapter and section controls When you move your pointer over a section or a chapter, controls appear on the right hand side of it. The controls differ between chapters and sections. Section controls For sections, the controls are Rename and Delete (in the form of a trash icon):

If you click Rename, a Rename Section window appears. Edit the section name as desired, and click Save, or Cancel to leave it as it is. If you click the Delete icon, a Remove Section window appears, asking whether you really want to delete the section.

The Remove Section window contains two tick boxes. The Remove button is inactive unless you tick the first of these boxes, confirming that "I understand and agree". If the section you want to remove contains chapters, and you tick only the first box, the section will be removed but the chapters it contained will remain in the table of contents, unassociated with any section. If you are really sure about delete both a section and the chapters which it contains, you must also tick the second box to confirm that you wish to "Delete chapters under this section".

If you've changed your mind about deleting the section, click the Close button.

Chapter controls When you move your pointer over a chapter, two controls appear: a Status dropdown menu; and an Edit Chapter button with associated dropdown menu.

By default, the Status dropdown menu contains four options: 'new', 'needs content', 'completed', and 'to be proofed'. When a new chapter is created, it is automatically given the status 'new'.

Setting the status of a chapter helps you and your collaborators to keep track of what has been done and what still needs to be done. The status of each chapter is visible when the Detail View of the table of contents is selected.

The Edit Chapter control is both a button and a dropdown menu. If you click the Edit Chapter button, you will enter the chapter editing interface. For details of this, see Editing a Chapter.

The dropdown menu accessed by clicking the arrowhead on the right of the Edit Chapter button contains three options: Rename, Hold and Delete.

If you click Rename, a Rename Chapter window appears. Edit the chapter name as desired, and click Save, or Cancel to leave it as it is.

If you click Hold, the chapter is immediately placed 'on hold' and moves from the table of contents. For more about 'holding' a chapter, see the heading Putting Chapters on Hold later in this chapter.

If you click Delete, a Remove Chapter window appears. A warning is displayed, asking whether you are sure you would like to delete the chapter. The Remove button will be inactive unless you tick a box to confirm that "I understand and agree". If you have changed your mind about deleting the chapter, click Close.

Detail view The Table of Contents is usually shown in its compact view. Click the Detail View button to switch to a view which displays the current status of each chapter.

Putting Chapters on Hold If you would like to remove a chapter temporarily from your book's table of contents, but be able to retrieve it later, you can put the chapter on hold using the Edit Chapter dropdown menu.

Chapters which are on hold are no longer visible in the table of contents, and will not be included when you publish your book. To view the chapters on hold, click the Chapters on Hold icon on the right hand side of the table of contents, near the top of the page.

A sidebar will be revealed listing all chapters which are currently on hold.

When you move your pointer over a chapter in Chapters on Hold, three controls will appear: a left-pointing arrow for Unhold, a trash icon for Delete, and an Edit button.

If you click Unhold, the chapter will be removed from the list of chapters on hold and will be returned to its original position in the table of contents.

If you click Delete, a Remove Chapter window appears, featuring the same warning that you encounter if you click Delete on a chapter within the table of contents.

If you click Edit, you will enter the chapter editing interface. When you save the chapter after editing, it will remain within the Chapters on Hold until you choose to unhold it.

To hide the sidebar, click on the Chapters on Hold icon again.

Editing a Chapter Once you have created a chapter, the next step is to add content to it in the form of text and images. This is probably how you will be spending most of your time in 'iWrite': writing, reviewing, editing and updating chapters, as well as inserting and organising images.

In the Table of Contents for the book you are working on, click on the title of the chapter you want to edit, or on the Edit Chapter button that appears when you move your mouse pointer over it.

The Chapter editor opens, showing the chapter title and any text and images that have already been added.

'iWrite''s chapter editor is WYSIWYG (what you see is what you get). If you can use a word processor, you can use 'iWrite'. And indeed, 'iWrite's chapter editor does look rather like a simple version of word processors such as Microsoft Word or LibreOffice.

So you can just go ahead and get typing! By default, the text you type will be in the 'Normal Text' (also known as Paragraph) style.

Tabs in the chapter editor As we saw in the chapter The Edit Interface, there are always at least three tabs on the left-hand side of 'iWrite' in any of the six views of the edit interface. In the chapter editor, two more tabs are added. So, working from the top, the tabs visible in the chapter editor are:

• Table of Contents • Notes • Choose your Design

Table of Contents tab If you click the Table of Contents tab, a sidebar appears, with the heading Chapters.

This sidebar lists all of your book's sections and chapters. Click on the title of a chapter if you would like to open it in the chapter editor. If the chapter you are currently editing has unsaved changes, a warning will appear asking whether you want to save it. Click OK to save your changes.

If you would like to leave the chapter editor and return to the full table of contents, click the Expand ToC button. Again, if you have unsaved changes, you will be prompted to save them first.

Choose your Design tab If you click the Choose your Design tab, a sidebar appears.

There are several pre-defined themes that you can choose to build your book.

NOTE: For Bengali, select only Novel Classic (Comfortable)-Bengali theme (more themes coming soon). Other themes will not work correctly for Bengali books.

Editing toolbar

As we've seen, 'iWrite's chapter editor is very reminiscent of a simple word processor, so you won't be surprised to see that at the top of the page is an editing toolbar, featuring a familiar set of tools. There are icons for undo; styles; font family, size and colour; bold, italic and underline; text alignment; bullets and numbering; indenting; and for creating links (internal and external), and inserting images.

Moving your pointer over a toolbar icon will pop up a tooltip to explain its function. Most of these are self-explanatory, but let's have a quick look at a couple of them.

Insert table Click on the table icon to bring up the Insert Table menu.

Move the sliders to set how many rows and tables you want the table to have, and click OK. Table cells can contain text or images.

You can make adjustments to the table such as inserting or deleting rows or columns at any stage by putting your cursor into the table at the relevant location and clicking the Insert Table icon. You can also delete the table completely.

Insert Link

If there is some text in the chapter which you would like to convert into a web link, select the text and then click the Insert Link icon in the toolbar.

You can also just put your cursor at a point in the text where you want to insert a link, and click the Insert Link icon.

A Link window will appear.

In the first field, enter the URL of the web page you'd like to link to. If you selected some text before you clicked Insert Link, this will appear in the second field. You can adjust it if you like. If you didn't select any text, enter some here now. Then click Insert Link. The link will appear in your text, underlined and in red.

If you need to change the link later, click anywhere on the link text and then click on the Insert Link icon in the toolbar. The Link window will appear again, and you can make the necessary changes. If you would like to remove the hyperlink while leaving the text intact, click the Break link button.

Insert Link can also be used to create links to other chapters in your book. To do this, click the Insert Link icon, click the dropdown arrow next to "or link to existing chapter", and a list of chapters you can link to will be revealed. Click the desired chapter to add its link to the URL field.

Menu items At the left hand side of the toolbar are three menu items: Insert, Edit and Tools.

Insert

Clicking Insert footnote in the Insert menu will bring up the Footnote window. Type in your footnote text and click the Insert footnote button. A superscript number is inserted where your cursor was, and a correspondingly numbered note appears at the end of the chapter.

Also available in the Insert menu are Insert horizontal line and Insert page break.

Edit

The Edit menu contains the following features: Find & Replace; Remove styling; Remove formatting; Decrease and Increase Indent (also available in the toolbar); and Edit raw HTML.

A note on the last of those. Being built for the Web, 'iWrite''s internal format is HTML. So it's easy for someone who knows a little HTML to edit the underlying file directly. Usually you won't need to do this. But if there's a little glitch that you can't fix in the chapter editor, you can use this menu option to bring up the HTML Edit window, in which you can make any required edits to the HTML and click the Set button when finished.

The changes you have made will be immediately visible in the chapter editor.

Tools

The Tools menu contains just a Word count function. As word count functions go, though, it's quite comprehensive, giving word and character counts not only for the chapter but also for the book as a whole.

Saving your work Laptop batteries go flat. WiFi connections go down. Coffee gets split onto keyboards. To avoid such everyday incidents resulting in the loss of hours of effort, you must save your work regularly.

To save your changes, simply click the big green SAVE button.

The button will turn a paler shade of green to indicate that your work has been successfully saved.

You'll notice that there is a dropdown arrow to the right of the SAVE button. If you click this arrow, three additional choices are presented.

Save and close : this will save your changes and close the Chapter Editor, returning you to the book's Table of Contents. Save minor change : this will save your changes but will prevent them from being recorded in the Book History. Save with comment : this will bring up a window in which you can type a comment to accompany your saved changes.

Comments Comments can help you keep track of what you have done and let your fellow contributors know about the changes you have made to the book. Any comments you make as you save in this way will be visible in the Book History.

Adding Images When you want to add an image to a chapter you are editing, first locate your cursor where you want the image to appear in the text, and then click the Insert Image icon in the editing toolbar.

An Insert Image window opens.

You can either choose an image from the Media Library, which contains images that have already been uploaded, or upload an image from your computer. Mouse over an image in the Media Library and click the arrowhead icon in the lower left corner to Download or Delete it.

Book Settings Book Settings is accessed via the cog icon in the upper right corner of the book editing interface. Click on it to change settings for the book you are currently working on.

The tab which opens has four sections: Book, Workflow and Metadata, which contain further pages. Click on any of these page names to configure the related settings.

Language To change the language in which your book is being written, select it from the dropdown Language menu. Then click the Save changes button.

License All books created using 'iWrite' will have Swiftboox Author publishing copyright license attached. The dropdown menu will allow you to select the copyright license. Select the license and click the Save Changes button to save the setting. If you would like to check the details of the license, click the link Read full text of the license. A browser tab will open containing the full text.

Price 'iWrite' allows you to set a price for the book that will be distributed through the Swiftboox eBook app. You can set the price of the book free, minimum Rs. 50 or your own price.

Chapter status 'iWrite' enables book contributors to edit the statuses that are available for assigning to chapters. By default the chapter statuses are: 'new', 'needs content', 'completed', and 'to be proofed'. You can delete existing statuses, add new ones, and re-order them. The redefined chapter statuses will then be available on the status dropdown at the right side of each chapter's bar in the Table of Contents tab.

Book Metadata The Book Metadata page enables you to set the Title, Short title, Subtitle, Short description, Long description, Publisher, Publisher city, Publication date, Copyright year, Copyright holder, Ebook ISBN and Print ISBN for the book. This information can be embedded in electronic outputs for the book, such as EPUB format.

Exporting a Book You can export copies of your book at any time from the Publish section, in ePUB2 format. When your book is ready for publication click the Publish button in the top right corner of the interface.

This action opens the Publish section, displaying the Book export, Export history and Book Info areas. The Book Info area displays the description of the book that was entered during the initial creation of the book, or as it was updated in the Book Details page.

ePUB2 export format has a checkbox to enable it, and a settings link beneath. Before exporting your book to this format, click the settings link to adjust the output parameters, and the pop-up Book Settings wizard will appear.

EPUB2 settings EPUB2 exports have only two setting steps in the wizard, Cover and Styling.

Exporting the book

Once you are satisfied with the output settings, check the EPUB2 box and then click the Export your Book button.

Depending on the size and complexity of your book, the export can take from a few seconds to a minute or two. The message Exporting, please wait will be shown.

Once the export has completed, the timestamp of the export will be shown in the Export History area with a Message text as below:

Swiftboox iWrite Author Publishing and Distribution Agreement

This author publishing agreement is between you (“the Author”) and M/s. “AppsWorld Software Private Limited”, a company incorporated under the provisions of the Companies Act 1956, having its registered office at 161, A.J.C. Bose Road, ,P. S. - Entally, Kolkata - 700014, West Bengal, India (hereinafter referred to as “AppsWorld”, which expression, unless otherwise provided for in the instant agreement, shall mean and include its successors-in-interest and assigns).

WHEREAS

SwiftBoox and Swiftboox iWrite is a "Mobile and Web Application" for publication and authoring of digital books and digital books distribution platform, devised and maintained exclusively by AppsWorld; and the Author is the holder of the necessary rights including copyright and / or permissions or licenses to publish and sell the literary work(s) (hereinafter referred to as ‘the said literary works’).

AND WHEREAS The Author desires to appoint AppsWorld as its sales and distribution partner for the said literary works in e-book format through SwiftBoox after the said literary works are provided as e-book format by the Author through Swiftboox iWrite authoring tool.

In consideration of mutual promises, AppsWorld and Author (each a “Party” and collectively referred to as “Parties” hereby enter into this agreement.

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:

1. Grant of Rights

a. The Author hereby grants AppsWorld the non-exclusive right to make its eBooks available for sale, marketing, display, distribution and promotion in any commercially available electronic or digitized format or on any reading device.

b. The Author further authorizes and empowers AppsWorld to: c. Convert or render eBooks, including without limitation any text, information, data,

software, photographs, graphs, videos, typefaces, graphics, music, sounds, and other material contained therein, into a format suitable for the sale distribution, marketing, display and promotion of such eBooks hereunder, if AppsWorld chooses to do so at their own expense and with prior permission and mutual discussion with the Author;

d. Rights to sell and otherwise digitally make available to end-users, enabling them to download, eBooks to which any commercially reasonable security and protection has been applied.

e. Store the eBooks on servers hosted by or on behalf of AppsWorld; f. Index and catalog the eBooks.

a. eBooks Delivery

i. The Author hereby undertakes to deliver all the EPUB files required to distribute eBooks.

ii. The Author hereby acknowledges the right of AppsWorld to submit a sampler containing all front matter of an eBook and up to ten percent (10%) of an eBook content excluding front matter of an eBook's as a sampler, for the purpose of promotion of the eBook.

iii. AppsWorld reserve the rights to retain any electronic files or physical content or media delivered by the Author till this agreement is valid.

b. eBook Withdrawal

i. AppsWorld hereby undertakes to make commercially reasonable effort to terminate the future sale of an eBook by the fourteenth (14) business day in the event of the Author making a request to AppsWorld that an eBook be withdrawn from sale.

ii. The Author hereby acknowledge the right of AppsWorld to continue the distribution of such eBook withdrawn by the Author to all those end users who have purchased that eBook, prior to the date of such withdrawal by AppsWorld.

c. Rights Clearance: The Author hereby undertakes to obtain and pay for any and all the necessary clearances and licenses for the eBooks including and without limitation, all royalties and other income due to any copyright owner; thereby to permit and enable AppsWorld to exercise all the rights granted hereunder, without any further payment obligation by AppsWorld..

d. eBooks Ownership

i. The Author represents and warrants that the Author holds the necessary rights, including all intellectual property rights, in and to the eBook and related content to enter into this Agreement and grant the rights granted herein to AppsWorld and that such rights are not subject to any prior agreement, lien or encumbrance that may interfere with the free exercise of rights of AppsWorld created hereunder;

ii. AppsWorld hereby acknowledges that all the ownership rights in and to the copyrights and all other rights and interest in and to the eBooks submitted by the Author for the distribution to AppsWorld shall be vested with the Author. None of the authorizations granted to AppsWorld hereunder, shall not be deemed to confer any such rights in favour of AppsWorld.

3. AppsWorld’s Rights & Responsibilities

a. eBook Marketing:

i. AppsWorld hereby undertakes to provide industry standard and commercially reasonable eBook protection in the mobile application.

ii. AppsWorld reserves the right to retain any or all the electronic files or physical content or media delivered by the Author, in compliance of this agreement. If this Agreement is terminated, AppsWorld shall not further use the files for any new commercial transaction except providing the download to the users who have rightfully purchased the content.

iii. AppsWorld shall have the absolute discretion in determining the mode of marketing and promotions related to the sale of the eBooks through the Mobile and Web Applications, and the Author hereby agrees that AppsWorld or anyone claiming under them shall be entitled to the cover of the eBooks in any and all marketing, promotional, or packaging materials for any software, website, or device through which eBooks are made available or accessible, directly and through multiple channels of distribution, in any media now known or later developed, without further need for permission from the Author.

iv. AppsWorld shall have the absolute rights to make each eBook available for online sale and downloads, in one or more formats.

v. AppsWorld reserves the right to update or alter the Content Policy at any time in tune with the local, national, or international laws governing the content of the eBook.

vi. AppsWorld shall not grant any license to any other organization to do similar acts and deeds hereby granted by the Author to AppsWorld.

b. Reporting:

i. AppsWorld shall provide a quarterly “eBooks Sales Settlement Report” electronically to the Author, reflecting the sales during a stated period in terms of quantity and value.

ii. Through its Web application, AppsWorld shall provide the Author real time / instant information/data/statistics regarding sale of their e – books.

c. Pricing

i. The Author hereby undertakes to provide the "Digital List Price" for each eBook to AppsWorld that shall be inclusive of value-added or service or any other similar taxes, if any.

ii. The Author hereby acknowledges the right of AppsWorld to provide discount to end-users from AppsWorld’s share of revenue.

iii. The Author hereby acknowledges the right of the AppsWorld to offer the eBook for sale in a the "Sale Currency" of its choice, other than the "Base Currency",

4. Consideration

a. AppsWorld hereby undertakes to share the Revenue of each eBook sold to an end-user through Swiftboox with the Author, as set forth in the Pricing and Payment Terms enumerated in Schedule – A of this agreement; if the Author is not in breach of their obligations under this Agreement.

b. Payment Terms:

i. AppsWorld hereby undertakes to pay revenue share on sale of their respective eBook in a quarterly period.

ii. AppsWorld shall make an online report detailing sales of eBooks and corresponding share of revenue, available to the Author, at the time of payment.

iii. AppsWorld shall make all payments in the Payment Currency to the Author either by way of NEFT/RTGS/Bank Cheques or any other banking methods, which AppsWorld designates.

iv. The Author hereby acknowledges the right of the AppsWorld to withhold all royalties due to the Author, in the event of any third-party claiming that the

Author is not having the rights required to make the eBook available through the Mobile and Web Applications until AppsWorld reasonably determines that the third-party claims were not legal or that Author was not in breach or have fully remedied their breach, as applicable.

v. The Author hereby acknowledges the right of the AppsWorld to withhold all royalties due to the Author, in the event of AppsWorld determining that Author is in breach of their representations and warranties in this Agreement,

vi. Upon termination of this Agreement, the Author hereby acknowledges the right of the AppsWorld to withhold all the royalties due to the Author for a period of three months from the date they would otherwise be payable in order to ensure the ability to off-set any refunds or other offsets AppsWorld are entitled to take against the Royalties.

5. Taxes:

a. AppsWorld shall be liable to collect all such taxes that are applicable to the sale or delivery or use of any eBook to any end user, from the end user and remit the same to the concerned taxing authorities.

b. All payments to be made under this Agreement shall be subject to the deductions of tax at source, wherever applicable, as per the provisions of the Income Tax Act, 1961.

c. The Author hereby acknowledges that the Author shall be responsible for any other taxes due and payable on the payments to Author by AppsWorld under this agreement, and unless otherwise stated, the amounts due to Author hereunder are inclusive of any taxes that may apply to all such payments.

6. Indemnity: a. The Author represents and warrants that the eBook can be sold, marketed,

displayed, distributed and promoted as contemplated by this Agreement without violating or infringing the rights of any other person or entity, including, without limitation, infringing any copyright, patent, trademark or right of privacy, or any other intellectual or industrial property right, title or interest of any party, and without casting any obligation on AppsWorld to pay any fees, charges or royalty to third parties; and,

b. The Author will pay or cause to be paid all royalties, fees or other compensation due to third parties in connection with the use of the eBook in the manner contemplated by this Agreement; without burdening AppsWorld and;

c. The Author hereby agrees to indemnify, defend and hold AppsWorld from and against any loss, claim, liability, damage or cause of action brought against AppsWorld, which arises from or is related to any breach on the part of the Author in his obligations, representations or warranties in this agreement.

d. The Author further agrees to indemnify, defend and hold AppsWorld harmless from and against any claim that a digital publication in whole or in part may infringes, misappropriates, or violates the intellectual property or other proprietary rights of any third party.

e. The Author further agrees to indemnify AppsWorld of all the costs of such litigation, including attorney fee if and only if the litigation and or attorney expenses occurs due to any mishandling or wrongful act of the Author.

f. AppsWorld agrees to indemnify, defend and hold Author harmless from and against any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees and costs) arising out of a claim by a third party by reason of a breach of any warranty, representation, covenant or obligation of AppsWorld under

this Agreement; or any claim that the technology used by AppsWorld in its appointment infringes the intellectual property rights of another party. Author shall promptly notify AppsWorld of any such claim, and AppsWorld may assume control of the defense or settlement of such claim. Author shall have the right, at its expense, to participate in the defense thereof under AppsWorld’s direction.

7. Term and Termination:

a. The term of this Agreement will begin from the date of execution of the same and will continue until it is terminated either by AppsWorld or by the Author.

b. The Author hereby acknowledges the right of AppsWorld to terminate this Agreement at any time for any reason, with 30 days’ notice to Author.

c. The Author hereby undertakes to cause a notice to AppsWorld for termination of account in writing by way of an email sent to: [email protected], at any time for any reason.

d. AppsWorld hereby undertakes to cease the selling of eBooks within seven (7) business days, from the date on which the Author provide AppsWorld with such notice of termination of this Agreement.

8. Policy after Termination:

a. Pending Orders Fulfilment: The Author hereby acknowledges the right of AppsWorld to fulfill any end-user orders for eBooks pending as on date of termination of this agreement or suspension of the Account of the Author,

b. Re-Downloads and Support: The Author hereby acknowledges the right of AppsWorld to continue to maintain digital copies of the eBooks in order to provide continuing access to or re-downloads of eBooks or otherwise support the end-users who have purchased the eBook prior to the termination or suspension of this Agreement.

c. Rights of an End-user: The Author hereby acknowledges that all rights to eBooks acquired by end-users will survive even after termination of this agreement

9. Confidentiality - The Author will (a) protect AppsWorld’s information that is identified as confidential or that reasonably should be considered confidential; (b) use this information only to fulfil its obligations under this Agreement; and (c) return this information to AppsWorld promptly when this Agreement terminates.

10. Limitations of Liability: EXCLUDING DEFENSE AND INDEMNIFICATION OBLIGATIONS AND BREACHES OF CONFIDENTIALITY OBLIGATIONS, NEITHER PARTY IS LIABLE TO THE OTHER UNDER ANY CIRCUMSTANCE FOR ANY CONSEQUENTIAL, SPECIAL, PUNITIVE, OR INDIRECT DAMAGES, INCLUDING LOST PROFITS OR OPPORTUNITIES, IN AN AMOUNT IN EXCESS OF THE PAYMENTS PROVIDED FOR HEREIN.

11. Force Majeure: Neither party shall be deemed in default or otherwise liable under this Agreement due to its inability to perform its obligations by reason of a fire, earthquake, flood, epidemic, accident, explosion, casualty, strike, lockout, labor controversy, riot, civil disturbance, embargo, war, act of God, technological failure beyond the control of either party, or any municipal, state or national law or change thereof, or any executive, administrative or judicial order, or any similar cause beyond the control of that party.

12. Governing Law: (a) Terms and conditions in this agreement will bind, benefit and be enforceable by the parties and their successors and assigns and shall be governed by the Laws of India. (b) Any litigation hereunder shall be brought in any court of competent jurisdiction both territorial and pecuniary, within the limits of Kolkata Municipal

Corporation; Modifications and Survival of Certain Provisions: Any changes to this agreement without the express approval of the other party shall be null and void.

13. Notices: All notices and demands of any kind or nature that either party to this Agreement may be required or may desire to serve upon the other in connection with this Agreement shall be in writing and may be served either personally or by registered mail or courier, addressed to the respective addresses of either party provided in this Agreement.

SCHEDULE – A

Pricing and Payment Terms

 

AppsWorld may update or alter the Pricing and Payment Terms at any time and changes will be effective and binding on the Author who shall set a Digital List Price for each eBook.

AppsWorld shall share 50% of the Net revenue with the Author as per the Payment terms. (Net Revenue = Gross Revenue minus all applicable taxes).
