    THIS AGREEMENT is made this zs" day of April, 2012, by and theBOARD OF EDUCATION OF MINOOKA COMMUNITY CONSOLIDATED SCHOOLDISTRICT NO. 201, GRUNDY, KENDALL and WILL COUNTIES, in the STATE OFILLINOIS (hereinafter sometimes referred to for convenience as the "BOARD"), and AIGegenheimer (hereinafter sometimes referred to for convenience as the"SUPERINTENDENT'), has been approved by a RESOLUTION adopted at the meetingof the BOARD held on April 25,2012 and is appended to the MINUTES of said meeting.

    THE PARTIES HEREBY AGREE for good and valuable consideration, receipt ofwhich is hereby acknowledged, as follows:

    1. EMPLOYMENT: The Superintendent is hereby hired and retained fromJuly 1, 2012, through and including June 30, 2016, and as it may be lateragreed to by the parties, thereafter, as Superintendent of Schools andChief Executive Officer of the School District.

    2. DUTIES/EXTENT OF SERVICE: The duties and responsibilities of theSuperintendent shall be all those duties to the office of the Superintendentof Schools as set forth in the job description (contained in Board Policy, asadopted, and which may reasonably be amended from time to timetThe Superintendent shall have charge of the administration of the schoolsunder the direction of the Board; he shall be the chief executive officer forthe Board; he shall recommend the selection, retention and dismissal or,and direct and assign, teachers and other employees of the School Districtunder his supervision; he shall organize and direct the administrative andsupervisory staff; he shall make recommendations to the Boardconcerning the budget, building plans, location of sites, and the selectionof textbooks, instructional material, and courses of study; he shall directthe keeping of all records and accounts, and aid in the making of allreports, as required by the Board; he shall recommend rules, regulations,and procedures deemed necessary for the welfare of the School District;and in general he shall perform all other duties incident to the office of theSuperintendent as the Board may delegate to him as required by law.

    _uperintendent shall devote his entire time, attention, and energy tosiness of the School District and related professional activities. Withthe permission of the Board, the Superintendent may attend universitycourses, seminars, or other professional growth activities; serve as aconsultant to another district or educational agency for a short-termduration without the loss of salary; lecture and engage in writing activitiesand speaking engagements. The Superintendent may not jeopardize thefunctioning of the School District by a lengthy or conspicuous absence forsuch professional activities.COMPENSATION: For the 2012-201~ c;Qotract 'lear.     4. DEFERRED COMPENSATION: The Superintendent may elect that aportion of his compensation to be paid hereunder be used to purchase atax sheltered annuity pursuant to Section 403(b) of the Internal RevenueCode of 1986, as amended and/or a deferred compensation plan pursuantto Section 457. The procedure for the election and terms and conditionsof said exercise is more fully described in Board of Education policy, whichpolicy is attached hereto and made a part hereof. It is understood andagreed that the cost of the purchase of said annuity shall be deductedfrom the Superintendent's annual compensation as set forth in Section 3of this Agreement, and shall not require an expenditure of funds by theBoard above the amount paid to the Superintendent pursuant to saidSection 3, except as may be later amended by the Board through theestablishment of a non-contributory plan of deferred compensation.

    5. EVALUATION: At least annually, but not later than January 15th of eachschool year, the Board, during the term of this Agreement, shall reviewwith the Superintendent and provide him a written evaluation of theSuperintendent's progress toward established goals and workingrelationships with the Board, the total staff and the community .. Thisannual evaluation shall include an assessment of the Superintendent'sprogress toward meeting the performance and improvement goalscontained in this Paragraph 5. After such evaluation, the parties shallschedule a meeting to review the evaluation and determine, if necessary,the terms and conditions of the continued future employment of theSuperintendent. including the inclusion of the goals and indicators ofstudent performance and academic improvement to be used bv the Boardto measure the performance and effectiveness of the Superintendent.

    Annually, ,Ihe Superintendent, with the assistance of his administrativeteam shall (1) evaluate student performance: (2) review the curriculumand instructional services; (3) report to the School Board of his findings asto (a) student performance and (b) recommendations, if any, forcurriculum or instructional changes as a result of his evaluation of studentperformance, The presentation of the report shall constitute the indicatorof meeting the goal of student performance and academic improvement asrequired by Section 5 of this contract and Section 10-23.8 of The IllinoisSchool Code.

    &..~ CERTIFICATE: The Superintendent shall furnish to the Board during theterm of this Agreement, a valid, appropriate, and properly registeredcertificate to act as Superintendent of Schools, in accordance with thelaws of the State of Illinois and as directed by the Board.

    &L_OTHER WORK: The Superintendent may undertake consultation work,speaking engagements, writing, teaching a college or university course,lecturing, or other professional duties and obligations, provided, however,that such other work shall not interfere in a material and substantialmanner with the Superintendent's obligation as set forth herein.

    ~[__DISABILlTY: Should the Superintendent be incapable of performing theduties and obligations covenanted herein by reason of illness, accident,other disability, and such disability is continuous for a period of time inexcess of the one hundred eighty (180) calendar days, the Board shallcause to be paid to the Superintendent such benefits as may be payableunder a contract of Long Term Disability Pay to be selected by theSuperintendent, and for which the board shall pay the premiums therefore.Said contract shall provide in the form of benefits, income continuation ofa t s ev en ty percent (70%) of the amount specified in Section 3 of this

    Agreement, when coordinated with any other benefits to which theSuperintendent may be entitled, and said contract shall insure theSuperintendent for the performance of his professional duties as specifiedherein. At the termination of this Agreement, the Superintendent mayelect to receive ownership of said insurance policy, provided, in suchevent, he shall be required to pay all subsequent premiums at his soleexpense.The limitations of pay in this Section which exist after the exhaustion ofsick leave and vacation benefits shall not apply in cases of injuriessustained during the course of the Superintendent's employment whichare compensable under the Illinois Workers Compensation Statutes thenapplying. In such cases, in addition to any benefits provided under suchlaw, the Board shall be obligated to pay all payments specified in thepreceding paragraph.

    &.-9. TERMINATION OF AGREEMENT: This employment contract may beterminated by:A Mutual agreement of the parties.B. Retirement.C. Discharge for just cause shall be for any conduct, act or failure toact by the Superintendent which is detrimental to the best interest

    of the School District. Reasons for discharge for cause shall begiven in writing to the Superintendent, who shall be entitled tonotice and a hearing before the Board to discuss such causes. Ifthe Superintendent chooses to be accompanied by legal counsel,he shall bear any costs therein involved. The Board hearing shallbe conducted in closed session. The Board will not arbitrarily orcapriciously calls for the dismissal of the Superintendent.Failure to comply with the terms and conditions of this Agreementshall also be sufficient cause for discharge as provided herein.Nothing herein shall prohibit the Board from suspending theSuperintendent with pay pending completion of the requirements ofthis paragraph. After the effective date of any such dismissal, theSuperintendent shall not be entitled to any further payment ofcompensat ion of any kind under this Agreement, except that theSuperintendent shall be entitled to any vested benefits payableunder the terms and provisions of the Illinois Teachers' RetirementSystem vested benefits under Board policies, or such other benefitsas are required by law.

    E. Death.9 - : 1 0 _ . PROFESSIONAL-ACTIVITIES: The Superintendent shall be encouraged

    with prior Board approval to annually attend one (1) national and one (1)state level professional conference. Within budget constraints, asapproved by Board, the costs of the Superintendent's attendance at suchprofessional conferences shall be paid by the Board.

    +G- , 11_VACATION: The Superintendent shall receive twenty (20) workdays ofvacation annually, exclusive of weekends and legal school holidays. TheSuperintendent may carry over up to ten (10) unused vacation days. _Thescheduling of more than five (5) consecutive vacation days shall be byagreement between the Board President and the Superintendent.

'12, SICK LEAVE: The Superintendent shall be entitled to fifteen (15) daysannually of sick leave to be taken pursuant to the provisions of law.Earned sick leave, which is unused, shall be allowed to accumulate to amaximum of one hundred eighty (180) days. Upon retirement, theSuperintendent may utilize any of such accumulated sick leave days forthose purposes as may be permitted by law.

    ~13. HOSPITILIZATION/MAJOR MEDICAL INSURANCE: During the term ofthis Agreement, the Board shall provide and pay the premiums forhospitalization, major medical, dental, and vision insurance for theSuperintendent and the dependent members of the Superintendent'simmediate family, as defined by the contract of insurance then in effect jnthe District.

    '13.14, TERM LIFE INSURANCE: The Board shall provide and pay the premiumfor term life insurance for the Superintendent during the term of thisAgreement in the amount of two times the salary stated in Section 3.

    '15, TRANSPORTATION: The Board shall reimburse the Superintendent atthe current Internal Revenue Service rate per mile for District business.The Superintendent shall be required, as a condition of employment, touse his own personal automobile to visit sites of schools, attend Boardand community functions, and to attend conferences, meetings andworkshops. The Superintendent shall be required to provide the Boardwith written substantiation of reimbursement amounts as required by theInternal Revenue Code of 1986, as amended, along with regulationsthereunder.

    -1-}.17MEMBERSHIP DUES: The Board shall reimburse the Superintendent fordues and membership fees for the Illinois Association of SchoolAdministrators, American Association of School Administrators,Association for Supervision and Curriculum Development, IllinoisAssociation of School Business Officials, and local service organizations.

    _:p~18. CELL PHONE SERVICES: The Board shall provide the Superintendentwith cell phone services to improve accessibility and communication. Thecell phone may be used for reasonable personal use.

ILLINOIS TEACHERS' RETIREMENT SYSTEM AND TEACHERHEALTH INSURANCE FUND CONTRIBUTIONS: In addition to theannual salary stated in Paragraph .l_of this contract, the Board shall payon behalf of the Superintendent to the State of Illinois Teachers'Retirement System and the Teachers' Health Insurance Security Fund theSuperintendent's required contributions to said pension system and healthfund. The Superintendent shall not have any right or claim to saidamounts, except as they may become available at the time of retirementor resignation from the State of Illinois Teachers' Retirement System andthe Teacher Health Insurance Security Fund. Both parties acknowledgethat the Superintendent did not have the option of choosing to receive thecontributed amount directly, instead of having such contributions paid bythe Board to the Teachers' Retirement System and Teacher HealthInsurance Security Fund, and further acknowledge that such contributionsare made as a condition of employment to secure the Superintendent'sfuture services, knowledge and experience.

    ;;'_24. MISCELLANEOUS:

    21.1;; This Agreement has been executed in Illinois, and shall begoverned in accordance with the laws of the State of Illinois inevery respect.2~Lf.g This Agreement may be executed in one or more counterparts,each of which shall be considered an original, and all of whichtaken together shall be considered one and the same instrument.2:L~4 This Agreement contains all the terms agreed upon by the partieswith respect to the subject matter of this Agreement and

    supersedes all prior agreements, arrangements, andcommunications between the parties concerning such subjectmatter, whether oral or written.

    2:1:.1&This Agreement shall be binding upon and inure to the benefit ofthe Superintendent, his successors, assigns, heirs, executors, and

    personal representatives, and shall be binding upon, and inure tothe benefit of the Board, its successors and assigns.
