Vector Aerospace AS332L Lease Program and Complementary BYPASS Hourly Support Program

Overview

The Aircraft

Vector Aerospace provides operators with the opportunity to lease a Eurocopter SUPER PUMA AS332L complete with a by the hour support program. This is of particular interest to operators willing to acquire new SUPER PUMA C1e aircraft who have immediate operational requirements which can be fulfilled utilizing the AS332L.

The AS332L is a twin engine medium-weight civil helicopter. Its operational characteristics and its large cabin have resulted in a high success rate for this aircraft. The extensive power reserve, its safety level, and comfort make Vectors SUPER PUMA an aircraft ideally suited for short to midterm utility operations for either On-Shore or Off-Shore missions. The aircraft is of proven reliability and cost effectiveness with a high degree of commonality with the new AS332 C1e version.

The AS332L Lease ProgramVectors lease program gives operators the ability to operate a SUPER PUMA AS332L helicopter without the large capital investment associated with the outright purchase of either a second hand aircraft or the associated typical aircraft financial lease type obligations.

Vector program highlights include: From 2 to 5 years operational lease Maximum 4000 to 5000 hours on lease Aircraft basically configured for utility operations and can receive customer supplied and/or specified optional equipment

Each aircraft lease is offered on the basis of an agreed term with fixed monthly fees and no hourly fee with regard to the aircraft lease portion of the program.

The BYPASS ProgramThe BY the Hour Parts Availability Support Service (BYPASS) is an integral part of the VECTOR SUPER PUMA AS332L Lease program. It supports the Lease Program by providing Component Exchanges and Repair Cycle Management on a defined list of significant Rotable Components.

Key Highlights: The program uses a combination of certified serviceable components and overhaul/exchange services to support scheduled and unscheduled removals.

Additional benefits with this program is the provision of a Proximity Stock. BYPASS Items with a history of high replacement/usage are provided on consignment at the customers selected location to support aircraft availability.

Engines are excluded from BYPASS. Vector will assist the customer to negotiate with the Service Provider directly for their Engine support program.

Consumables, Initial Provisioning List (IPL) items, and other items not on the coverage list are excluded.

Aircraft Specifications

Vectors lease aircraft configurations are provided to suit Utility operators. Vector can also provide custom modifications to Customers specific requirements as Buyer Furnished Equipment (BFE) at additional charge. Such items may be removed and returned to customer at end of lease.

A Detailed Spec for each aircraft will be agreed in a defined Statement of Work.

BYPASS Program BYPASS will be by a separate contract from each aircraft lease agreement and will cover all leased aircraft. Term of the contract to match term of lease agreement(s).

Scope of items covered is defined by a List of significant Repairable, TBOed and Life-Limited (SLL) Items.

BYPASS hourly rate is [X] USD (Engines and BFE excluded) at minimum chargeable hours of [X] hours per year to be evaluated at each anniversary date.

Inclusive of Proximity Stock at Aircraft operating location to be sized in accordance with expected removal rates to support continued aircraft availability.

Proximity Stock storage and management cost at lessees charge.

BYPASS exchange or supply items will be delivered Ex-Works Vectors facility in the UK with transportation costs at lessees charge. Proximity Stock Mobilization/Demobilization and stock replenishment transportation costs will also be at lessees charge.

Non repairable items, consumables and any other items not included in coverage listing will be at lessees charge. The Customer is urged to contact Vector for items in removed serviceable condition from its disassembled aircraft. Such items will be available for sale under separate commercial terms.

Operational Lease

Terms & Conditions

5 years at $1X0,000 USD per month

A minimum chargeable flying rate of [X] hours per year will apply to any of the terms selected. Airframe flight hour consumption for the entire term cannot exceed each airframes major inspection remaining potential (4000 to 5000 hours).

Engines must be covered by a By-the-Hour or equivalent contract between Lessee and Engine service provider, subject to approval by Lessor.

Aircraft insurance at Lessees charge and to be approved by Lessor.

Aircraft registration and import Taxes at Lessees charge.

Aircraft delivered from, and redelivered back to, one of lessees facilities ex-works Langley, BC (Vector Canada) or Fleetlands (Vector UK) depending on aircraft.

Aircraft must be operated and maintained in accordance with OEM Publications including Master Service Recommendations, Maintenance Manual and Flight Manual, inclusive of Airworthiness Directives and Mandatory OEM Service Bulletins.

Penalty for early termination.

Access to lessors representative to inspect aircraft and proximity stock up to twice yearly when in operation.

Lessees obligation to report monthly activity, major maintenance findings and forecasted activity for next 3 months.
