GENERAL TERMS & CONDITIONS

INTELLECTUAL PROPERTY The publications Africa Intelligence, Intelligence Online and La Lettre A are the exclusive property of Indigo Publications. All their content is protected under French and international copyright and intellectual property law. Taking out an individual subscription (hereinafter referred to as “Subscription”) or a multi-reader license (hereinafter referred to as “License”), and the opening of an E-wallet (hereinafter referred to as “E-wallet”) involves no transfer of property rights of any kind to the Client (the term “Client” covers any beneficiary or administrator of a Subscription, License or E-wallet).

DISTRIBUTION TERMS

iNdividual subscriptioN - Each subscription is strictly personal. To receive publications

and online services, the Subscriber must provide an email address under his or her own name (e.g. [email protected]). All or part of the content may not under any circumstances be distributed to third parties whether within the Subscriber’s own company or externally, either by email, intranet or extranet, nor reposted on a blog or shared on social media.

Multi-reader subscriptioN - Under a multi-reader license, subscriptions may be

billed under a single invoice within the same legal entity (excluding subsidiaries, unless otherwise agreed by Indigo Publications). These licenses are intended for individuals employed in a unit where the collective use of our information is essential for the smooth running of their activities. Three types of licenses are available:

- Nominative e-mail licenses composed of one nominative email address per Subscriber.

- Shared e-mail licenses are intended for a group of readers within the same

legal entity but who are not individually named. To receive publications and online services, the Subscribers are given a shared email address (e.g. [email protected]). This means of identification is available for shared licenses of 10 or more readers.

- IP address licenses are intended for readers who access the websites of our publications via IP addresses belonging to the same legal entity.

e-wallet - E-wallets can be used to buy articles separately. E-wallet users log

in using a nominative email address. This account is strictly personal and may not be shared under any circumstances. Any article or issue purchased via this prepaid account may not be shared within the E-wallet holder’s organization nor with external third parties.

EXTRACTION AND INDEXING RESTRICTIONSBy virtue of Article L.342-1 of Law No. 98-536 of July 1, 1998 of the French Intellectual Property Code (transposed from European directive 96/9/EC), the use of robots to extract a substantial part of Indigo Publications’ databases is strictly prohibited, unless prior written consent has been given.

AUTHORISED READERS’ LIABILITIESEach reader is entitled one private copy only, whatever formula they have subscribed to. Readers authorised as part of a Subscription, a License or an E-wallet, may print an article or edition and download these for their personal use but may not under any circumstances distribute them to third parties even within their own company whether by email, print or intranet.It is strictly forbidden to share articles published on Indigo Publications websites via social media, unless this is a quote or short extract.Authorised readers undertake to keep their password secret and to not disclose it in any form whatsoever to third parties.

LICENSE ADMINISTRATOR’S SPECIFIC LIABILITIESThe Administrator responsible for managing a License guarantees the acceptance and respect of the present Terms and Conditions by all readers authorised as part of this Licence.

SUBSCRIPTION AND SUBSCRIPTION AND LICENSE MANAGEMENTAll orders of a Subscription of License involve full and unreserved acceptance of the present Terms and Conditions.

start date - The Subscription or License takes effect from reception of the order

where this is a new Subscription. For renewals, the new Subscription or new

License takes effect from the previous Subscription or License. For any other arrangement (retroactive subscription, other specified start date etc.), specify these at the time of the order.

caNcellatioN - Orders for subscription and licenses are deemed firm and final as soon as they are received by Indigo Publications. According to French law, a Client may exercise the right to cancel a contract within 14 days of the order. The Client shall be liable to a fee in proportion to the duration of the Subscription or License between the date the order was registered and the date it was cancelled.

autoMatic subscriptioN reNewal - By choosing automatic renewal, Subscribers benefit from a 5% annual reduction on the basic subscription rate. Six weeks before the end of the subscription, Subscribers will receive an invoice for a one-year renewal of the subscription. If Subscribers do not wish to renew, they need only return the invoice marked «cancelled» in the six weeks following reception. Beyond this period, no cancellation will be accepted and the corresponding amount will be due in its entirety.

E-WALLET USEThe opening and use of an E-wallet involves full and unreserved acceptance of the present Terms and Conditions. To activate the E-wallet, the Client must pay a minimum amount of EUR 30 (USD 30/GBP 30) by bank card or PayPal. This credit can immediately be used on all Indigo Publications websites. The cost of price-marked content is clearly displayed on the screen and the balance in the E-wallet is updated in real time. Indigo Publications does not make any reimbursements for any balance remaining on the E-wallet.

PAYMENT TERMSAn invoice for the Subscription, License or E-wallet is issued at the time the service is instated. This invoice is available as a PDF under the site’s “My account” page. It can also be sent by Indigo Publications to the Client (or invoicing contact specified at the time of subscription). Please refer any requests for invoices to [email protected].

payMeNt delays - Payment of the Subscription or License is due upon receipt of the invoice and must be made within 30 days upon receipt. In the event of a late payment, the Subscription or License will be suspended until the invoice has been paid in full. If the Customer holds several subscriptions, failure to pay any one subscription within this period shall lead to the suspension of all current subscriptions until receipt of the overdue payment.

payMeNt Mode - Indigo Publications accepts payment in euros (EUR), US dollars (USD) and pounds sterling (GBP), via the following methods: - Credit card: Visa, MasterCard, American Express (only in EUR or USD) - Bank check to the order of Indigo Publications - Bank transfer. Any transfer costs charged by the Client’s bank are payable

by the Client. - PayPalFor any other mode of payment, contact customer service: [email protected]

PERSONAL DATA AND PRIVACYIndigo Publications undertakes to comply with the laws protecting privacy and individual freedom, and in particular with the General Data Protection Regulation (GDPR) which entered into force in the European Union in May 2018. Only Indigo Publications staff, who are subject to strict confidentiality rules, have access to customer and prospect information. No data processing is outsourced to third-party companies. Indigo Publications commits itself to not disclose to third parties any information communicated to the company by the Client (whether an Administrator or Reader). In keeping with the French law on information technology, data files and civil liberties of January 6, 1978, Clients have the right to access, rectify and update personal data about themselves. They may refuse to receive promotional material by modifying their personal information online or by sending a request to customer service ([email protected]).

AMENDMENTS & COMPLIANCE WITH THESE TERMSIndigo Publications reserves itself the right to modify the present Terms and Conditions at any time and to suspend or terminate any Subscription, License or E-wallet that contravenes them.
