The Connected Technologies Virtual Environment is a highly interactive online envi-ronment where the Mobile Technology Association of Michigan (MTAM) can build a “campus” of “buildings”, each focused on a different industry where mobile/wireless (connected) technologies are being utilized. This virtual environment, much more than a static website, provides a resources for MTAM, along with a variety of partners, to facilitate a wide assortment of interactive connecting and education opportunities such as:

Trade shows; with one-on-one company interaction and downloadable com-pany content

Real-time access to global conferences Industry-specific job fairs Educational webcasts Self-directed education courses Much, much more!

All content hosted in the virtual environment can be accessed 24/7, 365 days per year and the environment is intended to become a permanent, on-going resource as long as there is a demand for it.

Access to much of the content in the environment will be free to visitors in keeping with MTAM’s goal of continuing education regarding all areas of mobile/wireless (connected) technologies and the opportunities associated with them. Specialty opportunities such as conferences, webcasts, self-directed courses, etc. will likely have fees associated with the content. The first “building” will focus on the Connected Transportation industry, soon to be fol-lowed by a Smart Cities building, with an mHealth and Connected Manufacturing building likely to follow soon after. MTAM is accepting sponsorships and partnerships from organiza-tions who would like to have involvement in the Connected Technologies Virtual Environ-ment.

TERMS / CONDITIONS This is a non-transferable Sponsorship Agreement for the MTAM Connected Technologies Virtual Environ-

ment. Sponsorship payment is due in-full immediately upon receipt of invoice. Sponsorship costs do not include attendance at, or sponsorship of , any live events which may be hosted

on the site; those will be additional costs. Information about those events will be made available at the time of each event.

This agreement is a firm commitment to Sponsor; payment is non-refundable. This Sponsorship Agree-ment and Application for Exhibit Space and the related payment becomes an official Agreement once ac-cepted by MTAM.

Your organization shall indemnify, defend and hold harmless the Mobile Technology Association of Michi-gan (MTAM), the ITS JPO, Lighthouse Conferencing, KYYBA, and/or any of their representatives or employ-ees against any cause of action, claim or expense, including attorneys’ fees and court costs, arising directly or indirectly from publication of your content, including, without limitations, any patent, trademark, copy-right or similar infringement action or dispute or any other cause of action that might arise as a result of your content appearing at the show.

You or your firm shall not take any action that jeopardizes MTAM’s ability to host the show and post show services for your or other clients. Such actions includes, but is not limited to, spamming. Such actions may result in termination of your exhibitor agreement and withholding of your exhibitor payment.

Your firm shall indemnify, defend (with legal counsel satisfactory to MTAM), and hold MTAM and its affili-ates, the ITS JPO, Lighthouse Conferencing, KYYBA, and/or any of their representatives or employees harmless from any claims, demands, suits, liabilities, damages, losses, costs, reasonable attorneys’ fees and expenses with result from, or arise out of or in connection with: a) Your participation or presence in the trade show, b) any breach by you of any agreements, covenants, promises or other obligations, c) any matter for which you are otherwise responsible, d) any violation or infringement of any law or ordinance or the rights of any part under any patent, copyright, trademark, trade secret, or other proprietary right, e) any libel, slander, defamation or similar claims resulting from your actions, f) loss of or damage to your business, or your profits, whether caused by negligence, intentional act, accident, act of God, or other-wise.

This Agreement shall be governed in accordance with the laws of Michigan without giving effect to any choice or conflicts of law for any action at lawsuit in any judicial proceeding concerning the Agreement.
