your consideration of the opportunity to acquire the commercial property described herein (the “Property”).

The OfferingStan Johnson Company is pleased to offer for sale to qualified investors the opportunity to acquire the fee simple interest in the property located at 8410 Datapoint Drive, San Antonio, TX 78229. The Subject Property consists of 2.5 acres and a +/- 36,576 square foot office facility that was built in 1972 by Datapoint Corporation. Datapoint Corporation, originally known as Computer Terminal Corporation (CTC), was a computer company based in San Antonio, Texas, United States.

The Subject Property is described as a +/- 36,576 square-foot, medical office building located in San Antonio, Texas (the “Subject Property”) and leased to the United States Department of Veterans Affairs (VA)(“Tenant”). The Subject Property Is located in the South Texas Medical Center, a 1,000-acre medical complex which is the home to 12 major hospitals, 80 clinics, 56,000 medical jobs servicing more than 3.4 million outpatient visits annually. The South Texas Medical Center is described in more detail below. This booming corridor is adjacent to the world headquarters of USAA Financial Services Company and employer of 20,000 employees. The Subject Property was originally leased to the Tenant for a 10-year term with 5 year “firm term." The Tenant invested more than $3 million in tenant improvements during the term of the lease.

A deeper dive into the submarket referred to as The South Texas Medical Center (STMC) reveals the following details. STMC consists of 1,000 acres of medical-related facilities on the northwest side of San Antonio, Texas, USA. STMC, which directly serves 38 counties, consists of 80 medically related institutions; separate medical, dental and nursing schools, five higher educational institutions, twelve hospitals and five specialty institutions. These facilities combined currently total over 4,200 patient beds.

In 2009, STMC was home to more than $350 million in construction projects. More than $1.2 billion in

new construction projects are currently planned through 2017.

Central to the medical center is the University of Texas Health Science Center at San Antonio and its teaching hospital. The Audie Murphy VA Hospital, CTRC, Brooke Army Medical Center, Texas Cancer Clinic, the Children's Cancer Research Institute, Christus Santa Rosa health system, Texas Neuroscience Institute, Villa Rosa, Catholic Health Initiatives “St Lukes” Medical Center, and 11 Methodist hospitals also have affiliated programs or projects with the UT Health Science Center.

The University of the Incarnate Word (UIW) also has a campus located in the eastern part of the South Texas Medical Center, where its optometry school is located.

San Antonio College has a nursing training program at STMC, and the University of Texas at San Antonio has joint programs with UTHSCSA's GSBS and School of Allied Health Sciences. The adjacent property located at 8400 Datapoint is the location of Tenet HealthCare’s Baptist Health System School of Health Professions. The University of Texas at Austin's School of Pharmacy also has research facilities and staff located in the medical center.

San Antonio's Biosciences industry employs over 100,000 people. The largest areas of research are conducted by institutes in or around the South Texas Medical Center. These include the oncology division of one of the world's top five biotechnology firms, the world's largest Phase I clinical trials program for new anti-cancer drugs, and the new $200 million Children's Cancer Research Institute. San Antonio also houses the world's largest genomics computing cluster and the state's public bank for stem cell-rich umbilical cord blood.

Tremendous Location Advantage – Flourishing Northwest Submarket; highly desired central location is attractive for businesses and residents, offering exceptional amenities and easy highway access. The Northwest “Medical Submarket” also offers Dense Residential Area for Employee Retention. This area is one of the densest residential areas in San Antonio, TX, boasting a population of 141,000 within 3-mile radius. The United States Department of Veterans Affairs (VA) is a government-run military veteran benefit system with Cabinet-level status. It is the United States Government’s second largest department, after the United States Department of Defense, with a workforce of over 327,000 employees.

The Department has three main subdivisions, each headed by an Undersecretary:

• Veterans Health Administration – (VHA) responsible for providing health care in all its forms, as well as biomedical research, Community Based Outpatient Clinics (CBOCs), and Regional Medical Centers

• Veterans Benefits Administration – (VBA) responsible for initial veteran registration, eligibility determination, and five key lines of business (benefits and entitlements): Home Loan Guarantee, Insurance, Vocational Rehabilitation and Employment, Education (GI Bill), and Compensation & Pension

• National Cemetery Administration – (NCA) responsible for providing burial and memorial benefits, as well as maintenance of VA cemeteries

The VA opened its first new medical center in 17 years in 2012 and, since January 2009, increased the number of community-based outpatient clinics by 55 to improve access for Veterans. The organization has ensured that nearly 90 percent of Veterans have a burial option within 75 miles of home. They have addressed both disabling healthcare issues of Veterans from past conflicts and the needs of more recent Veterans. These decisions to better care for Veterans increased the disability claims backlog. Despite this growth,

the VA has now reduced that backlog by 36 percent since March 2013. The VA is also moving to a digitized processing system that will deliver faster and more accurate claims decisions in the future.

The VA has reduced Veteran homelessness by over 24 percent between January 2010 and January 2013 and delivered or improved numerous other benefits and services to include: expanding educational assistance through the Post 9-11 GI Bill; supporting family caregivers; hiring additional mental health professionals; implementing the Veterans Opportunity to Work (VOW) to Hire Heroes Act of 2011; assisting Veterans to avoid foreclosure; and improving internal planning, human capital management, information technology management, and preparedness capabilities.

Over the past four years, the VA has made great strides implementing transformation efforts. Highlights of these accomplishments include:

Access – The VA has improved awareness of, and access to, VA benefits and services. Facilities expansion and upgrades, as well as new memorial service locations, have diversified the VA’s nationwide presence, creating additional access in both rural and urban areas. The VA was able to re-invest more than $2 billion in both 2012 and 2013 in high-priority medical programs. As a result, more than 4,000 mental health providers have been trained in evidence-based psychotherapies for Post Traumatic Stress Disorder (PTSD) and other mental health conditions, and more than 1.9 million Veterans and eligible beneficiaries benefited from rural health programs in the first half of FY 2012, comprising 37 percent of all Veterans and eligible

Tenant Overview beneficiaries served. Additionally, new memorial service plans beginning in 2013 will ensure that 95 percent of Veterans and eligible beneficiaries live within 75 miles of a VA cemetery.

Backlog – The VA understands the challenges presented by the disability claims backlog and has developed a comprehensive and aggressive plan to address the backlog. The VA has adjudicated a record number of claims in recent years, with more than one million claims processed annually in FY10 - FY13. Improvements have been made in people, processes, and technology to include deployment and continued enhancement of the Veteran Benefits Management System (VBMS), implementation of the Veterans Claims Intake Program (VCIP), and increasing awareness of the value of submitting fully developed claims.

Outreach – Access to the VA has diversified and continued to grow through online efforts. As of September 30, 2013, there were over 3 million individuals with access to eBenefits, with over 3.9 million visits to the site in the month of September 2013.

According to the 2016 VA Expenditures byState Report, as of September 2016, Texas had1,594,564 Total Veteran Population. These Veterans were allocated within the $186 billion Dollar federal VA budget $16.11 billion. This figure includes compensation, pensions,education and vocational rehabilitation/employment, insurance and indemnities andmedical care.

The General Services Administration (GSA) is an independent agency of the United States government, established in 1949 to help manage and support the basic functioning of federal agencies. The GSA supplies products and communications for

U.S. government offices, provides transportation and office space to federal employees, and develops government-wide cost-minimizing policies, and other management tasks.

GSA employs about 12,000 federal workers and has an annual operating budget of roughly $26.3 billion. GSA oversees $66 billion of procurement annually. It contributes to the management of about $500 billion in U.S. federal property, divided chiefly among 8,300 owned and leased buildings and a 210,000-vehicle motor pool. Among the real estate assets managed by the GSA are the Ronald Reagan Building and International Trade Center in Washington, DC, the largest U.S. Federal building after The Pentagon, and the Hart-Dole-Inouye Federal Center (which had previously been the Battle Creek Sanitarium run by John Harvey Kellogg).

GSA’s business lines include the Federal Acquisition Service (FAS) and the Public Buildings Service (PBS). Other divisions include the Office of Government-wide Policy, and various Staff Offices, including the Office of Small Business Utilization, the Office of Civil Rights, and the Office of Citizen Services and Communications. San Antonio is the second most populous city in the state of Texas, with a population of 1,409,019. It was the fastest growing of the top 10 largest cities in the United States from 2000 to 2010, and the second from 1990 to 2000.

San Antonio hosts two of the largest military medical centers in the United States. On the civilian side of healthcare, the city is also home to a well-established community of healthcare providers recognized at both the national and global level.

The city has a diversified economy with an approximately $96.8 billion metropolitan GDP, ranking 4th among Texas metropolitan areas and 38th in the United States. San Antonio’s economy is focused primarily the within military, healthcare, government civil service, financial services, oil and gas and tourism sectors. Within the past twenty years, San Antonio has become a significant location for American-based call centers and has added a significant manufacturing sector centered around automobiles.

Located about 10 miles northwest of Downtown is the South Texas Medical Center, which is a conglomerate of various hospitals, clinics, and research and higher educational institutions. The city is also home to one of the largest military concentrations in the United States. The Riverwalk, which meanders through the Downtown area, is the city’s second-most-visited attraction, giving it the additional nickname of “River City.” Extended an additional 13 miles between 2009-2013, the landscaped walking and bike path lines the San Antonio River from the “Museum Reach” beginning at the Historic Pearl Brewery through downtown, “Downtown Reach,” past the Blue Star’s “Eagleland” to the “Mission Reach” ending at Loop 410 South past Mission San Juan Capistrano. Lined with numerous shops, bars, and restaurants, as well as the Arneson River Theater, this attraction is transformed into an impressive festival of lights during the Christmas and New Year holiday period, and is suffused with the local sounds of folklorico and flamenco music during the summer, particularly during celebrations such as the Fiesta Noche del Rio.
