  • ENFORCEMENT PROCEEDINGS

    GEORGE SPECKMAN BARRED The cOlDlllissionannounced the entry of an Order Instituting PUblic proceedings, xaking Findinga and Imposing Remedial sanctions (Order)against George R. Speckman (Speckman) and acceptance of Speckman's Offer of Settlement consenting to the issuance of the Order. Speckman was formerly associated with Firstmark Investor services, Inc., a defunct broker-dealer previously registered with the Commission. The Order finds that in connection with the sale of certain securities Speckman misrepresented and omitted to tell investors the risks involved in purChasing such securities. The Order further finds that on May 10, 1993, a U.S. District Court entered an order of permanent injunctionagainst Speckman enjoining him from future violations of the antifraud provisions of the securities Act of 1933 and the Securities Exchange Act of 1934. The Order bars Speckman from association with any broker, dealer,investment company, investment adviser or municipal securities dealer,with the right to reapply after two years. (Rel. 34-34411)

    ADMINISTRATIVE PROCEEDINGS INSTITUTED AGAINST HERBERT GROSBY The cOlDlllissionannounced the issuance of an Order instituting publicadministrative proceedings (Order) pursuant to sections lS(b) and 19(h)of the Securities Exchange Act of 1934 (Exchange Act) against Herbert L. Grosby (Grosby). Grosby was formerly associated with Firstmark Investor services, Inc., a defunct broker-dealer previously registeredwith the cOlDlllission. The Order alleges that on March 23, 1993, the Commission obtained an order of permanent injunction against Grosby enjoining him from violations of the antifraud provisions of the federal securities laws and from aiding and abetting violations of the books and records provisions of the Exchange Act. The COlDlllission'scomplaint against Grosby charged that he fraudulentlyinduced investors to purchase high-risk securities by misrepresenting that the securities were safe and risk-free. The complaint also chargedthat Grosby falsified the annual income and net worth for at least two investors on purchase applications for the securities.

  • A public hearing vill be held to determine whether the allegationsagainst Grosby are true, to offer Grosby an opportunity to establish anydefenses to such allegations and to determine what remedial action, if any, is appropriate. (Rei. 34-34412)

    MICHAEL VANBCHANOS ORDBRED TO CBASB AND DBSIST, DISGORGB PROFITS, AND SUSPBNDBD

    The Commission announced that on July 20 it entered an Order pursuantto sections lS(b), 19(h) and 21C of the securities Exchange Act of 1934 requiring Michael L. Vanechanos to cease and desist from causing anyviolation and any future violation of Section 17(a) of the Securities Bxchange Act of 1934 and Rule 17a-3 promUlgated thereunder, to disgorge$7,582.77 in profits and interest, and suspending Vanechanos from association with any broker, dealer, municipal securities dealer,investment adviser or investment company for a period of three months. The Commission simultaneously accepted Vanechanos' Offer of settlement in which, vi thout admitting or denying the findings, he consented to the issuance of the Order. The Order finds Vanechanos was employed by Levco securities corp., a registered broker-dealer, as a registeredrepresentative and trader from Kay 1988 through June 1989. Vanechanos had an undisclosed beneficial interest in the account of a friend duringMarch 1989 when Levco was the lead underwriter for the initial publicoffering of Keller Industries, Ltd. The friend's account purchasedKeller units in the IPO, and Vanechanos supplied the friend with the purchase price. Vanechanos shared in the profits when the account subsequently sold the units.     DONALD HUSS AND FRANCIS MOBLLBNBBRG SANCTIONED

    The Commission today announced that it instituted proceedings againstDonald E. Huss (Huss) and Francis W. Koellenberg (Koellenberg) on July21 pursuant to Rule 2(e) of the Commission's Rules of Practice. Simultaneously, the Commission accepted offers of settlement from both Huss and Moellenberg in which they consented to the entry of an Order without admitting or denying the findings contained therein.

    The Order makes findings that they deviated from generally acceptedauditing standards (GAAS) when they audited the December 20, 1989,balance sheet for Unifirst corporation (Unifirst). Their failure to comply with GAAS resulted in the assets and shareholders equity section of unifirst's balance sheet to be overstated by approximately$44,500,000, or over 99 percent of Unifirst's total assets. This overstatement caused the balance sheet to materially deviate from generally accepted accounting principles.

    The Commission ordered that both Huss and Moellenberg be permanentlydenied the privilege of appearing or practicing before the commission as accountants. (Rel. 34-34414; AAB Rel. 576)

  • CIVIL ACTION AGAINST RICHARD CAPALDO, VINCENT CESTARO, OSWALD RAMOS AND CABLE APPLICATIONS, INC.

    The commission announced the filing of a civil injunctive action in the Uni ted States District court for the Eastern District of New York seeking a permanent injunction against Cable Applications, Inc. (Cable),and its former officers, Richard Capaldo (Capaldo), Vincent F. Cestaro (Cestaro), and Oswald Ramos (Ramos). The complaint alleges that Cable,Capaldo, Cestaro, and Ramos, in violation of Section 17 (a) of the securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 and 12b-20 thereunder, filed with the Commission a registration statement on Fora S-18 which was materially false and misleading because it contained false financial statements and failed to disclose certain business transactions between Cable and a companyaffiliated with defendants Capaldo, Cestaro and Ramos. It also seeks disgorgement from Capaldo and Cestaro of $76,308 each representingmonies each improperly derived from the public offering of Cable stock. Cable, capaldo and Ramos, without admitting or denying the allegationsof the complaint, consented to the entry of the requested final judgmentof permanent injunction. In addition, the Order against Capaldorequires him to disgorge $76,308 plus interest. Bowever, payment of the disgorgement is waived based on his demonstrated inability to pay.     SELF-REGULATORY ORGANIZATIONS

    AMENDED PROPOSED RULE CHANGE On July 15, the National Association of Securities Dealers filed an amended proposed rule change (SR-RASD-93-51) to amend Part I, Section 3 and Part III, section 15 of the Code of Arbitration Procedure. The amendments would clarify the line. of authority and delegation power.of the NAeD Director of Arbitration, permit the NAeD President or an executive vice president to appoint an interim Director of Arbitration under certain circumstance. and would authorize the HASD Director of Arbitration to determine whether a claim or controversy occurred within 6 years prior to submission in the event of a dispute.
