TRADING SUSPENDED IN THE SECURITIES OF PACIFIC WASTE MANAGEMENT INC.

The Commission announced today the suspension for a single ten-day period of the over-the-counter trading in the securities of Pacific Waste Management, Inc. for the period beginning at 9:00 a.m. (EDT) on April 29, 1992 and terminating at 11:59 p.m. (EDT) on May 12, 1992. It appears to the Securities and Exchange Commission that there is a lack of adequate, current information concerning the securities of Pacific Waste Management, Inc. It also appears that questions have been raised about the adequacyand accuracy of publicly disseminated information concerning Pacific Waste Management,Inc.'s claims about its plans and ability to construct and operate a toxic waste disposal plant in Palau, the status of regulatory approval of such construction, as well as the lack of current, adequate financial information publicly available and a possible unregistered secondary distribution of stock. LINDA REES BARRED

The Commission has instituted and simultaneously settled administrative proceedingsagainst Linda K. Rees, formerly associated with First Eagle, Inc., a now defunct broker-dealer previously located in Denver, Colorado.

Rees consented to the entry of an Order that found that on August 5, 1991, she was convicted pursuant to a guilty plea of one count of violating certain books and records provisions of the federal securities laws. The Order also found that on February 25, 1992, she was permanently enjoined, by consent and without admitting or denying the allegations of the Commission's complaint, from committing future violations of the books and records provisions of the federal securities laws. The complaint alleged that, while an employee of First Eagle, Inc. (a now defunct formerlyDenver-based broker-dealer which cleared through Emmett Larkin, Inc.), Rees openedtwo accounts in nominee names for her benefit, thereby causing false records concerning the beneficial owner of a cash account to be made and kept by broker-dealers registered with the Commission.

The Order bars Rees from association in any capacity with any broker, dealer,investment adviser, investment company or municipal securities dealer. (Re1. 34-30612)

IMMEDIATE EFFECTIVENESS OF PROPOSED RULE CHANGE

The Pacific Stock Exchange filed a proposed rule change (SR-PSE-92-06) to amend Rule ll.2(a) in order to enable PSE committees to act by written consent of a majority of commi~tee members. The proposed rule change became effective immediately upon filing with the Commission. (Rel. 34-30636)

APPROVAL OF PROPOSED RULE CHANGE

The Commission approved a proposed rule change (SR-NASD-92-l) submitted by the National Association of Securities Dealers that amends Schedule D of the NASD By-Laws to permit immediate on-line registration of market makers in situations where a merger or acquisition is publicly announced. The amendment allows a market maker registered in either one·of the two companies to register in the other company on a same-day basis. Further, the new amendment allows a market maker that has withdrawn from an issue prior to a publicly announced merger or acquisition to reregister in the issue pursuant to the same-day procedure, so long as the market maker has remained active in one of the issues.
