The SEC announced today the adoption of amendments to subparagraphs (c)(1) and (g)(2), subdivision (e)(3)(G) and paragraph (h) of Rule 144 under the Securities Act and to Forms 7-Q, 10-Q and 10-K under the Securities Exchange Act of 1934, effective March 15, 1974. Subparagraph (c) (1) of the rule, which is concerned with the availability of information about an issuer, has been amended so that there shall be deemed to be available adequate public information if an issuer has been subject to the reporting requirements of Section 13 or l5(d) of the Exchange Act for at least 90 days and has filed all reports required to be filed pursuant to those sections during the I? months preceding the sale of securities. The Commission has adopted amendments to the facing sheets of Forms 10-Q and 10-K conforming the required statement thereon to the changes in subparagraph (c) (1). The facing sheet of Form 7-Q, which pre- viously did not include any statement indicating compliance with the Exchange Act reporting requirements, has been amended to include the same statement as required by Forms 10-Q and 10-K. Subdivision (e) (3) (G) provides that in determining the amount of securities that may be sold in reliance upon Rule 144, securities sold pursuant to an effective registration statement under the Securities Act or pursuant to an exemption provided by Section 4(2) of the Securities Act or by Regulation A thereunder need not be included. In place of the reference to Section 4(2), the amendment refers to a transaction exempt pursuant to Section 4 of the Act and not involving any public offering. Subparagraph (g)(2), which deals with solicitations by brokers, has been amended to permit brokers, while selling securities pursuant to the rule, to continue their quotations in an inter-dealer quotation system subject to certain conditions. In addition, the amend- ment provides that a broker may make inquiries of his customers who have indicated a bona fide unsolicited interest in the securities within ten business days preceding receipt of the order to sell securities pursuant to Rule 144. Paragraph (h) has been amended to require transmittal of all amended notices of pro- posed sale on Form 144 to the principal stock exchange on which the securities to be sold are listed for trading. (ReI. 33-5452) AMENDMENT TO RULE 457 ADOPTED. The Commission today adopted an amendment to Rule 457 under the Securities Act of 1933 relative to the calculation of the filing fee for offer- ings of commercial paper. RULE PROPOSALS AND ADOPTIONS

AMENDMENTS TO RULE 144 AND FORMS 7-Q, 10-Q AND 10-K ADOPTED. The SEC announced todaythe adoption of amendments to subparagraphs (c)(1) and (g)(2), subdivision (e)(3)(G) and paragraph (h) of Rule 144 under the Securities Act and to Forms 7-Q, 10-Q and 10-K under the Securities Exchange Act of 1934, effective March 15, 1974. Subparagraph (c) (1) of the rule, which is concerned with the availability of information about an issuer, has been amended so that there shall be deemed to be available adequate public information if an issuer has been subject to the reporting requirements of Section 13 or l5(d) of the ExchangeAct for at least 90 days and has filed all reports required to be filed pursuant to those sections during the I? months preceding the sale of securities. The Commission has adoptedamendments to the facing sheets of Forms 10-Q and 10-K conforming the required statement thereon to the changes in subparagraph (c) (1). COURT ENFORCEMENT ACTIONS

COUNSEL APPOINTED FOR ADVANCE GROWTH CAPITAL CORP. The SEC announced that on January 17 a Federal court in Illinois entered an order, on joint motion of the Commission and Advance Growth Capital Corporation (Advance Growth), appointing Howard Arvey,Sidney Sosin and John J. Enright of the law firm of Arvey, Hodes, Costello and Burman of Chicago, Illinois, as special counsel to Advance Growth. Under this order the specialcounsel is to investigate the transactions which the U. S. Court of Appeals for the Seventh Circuit held were, or might have been, disadvantageous to Advance Growth in Securities and Exchange Commission v. Advance Growth Capital Corporation, et al., 470 F. 2d 40 (C.A. 7, 1972) and to recommend to Advance Growth, the district court and the Commission

what steps, if any, should be taken to recover any losses which were sustained as a resultof the transactions. (LR-6227)

RAYMOND S. BYE ENJOINED. The Washington Regional Office announced that on January 2S the Federal court in Alexandria, Va. permanently enjoined Raymond S. Bye of Salt Lake City,Utah from violations of the registration and antifraud provisions of the securities laws in the offer and sale of common stock of Learn-En-Joy, Inc. and LNJ Real Estate and Development Corporation or any other securities. Bye consented to the court order without admitting or denying the allegations of the Commission's complaint. (LR-6228)

HOLDING COMPANY ACT RELEASES

GEORGIA POWER COMPANY. An order has been issued authorizing Georgia Power Company,subsidiary of The Southern Company, to issue and sell $150 million of first mortgage bondsat competitive bidding. Georgia will use the net proceeds, together with other funds, tofinance its 1974 construction program (estimated at $504,244,000), to pay short-term pro-missory notes and for other purposes. The Commission denied a request for a hearing byThe Georgia Power Project, an unincorporated association of certain consumers of Georgia.(ReI. 35-18271)

INVESTMENT COMPANY ACT RELEASES

MUTUAL INVESTING FOUNDATION. An order has been issued on an application of MutualInvesting Foundation (Fund) and Heritage Securities, Inc., for an exemption from certainprovisions of the Act to permit the sale of Fund shares at net asset value without a salesload under a proposed one-time privilege to Fund shareholders to reinvest proceeds fromredeemed shares within IS-days from the date of redemption. HIGHLAND CAPITAL CORPORATION. A notice has been issued giving interested personsuntil February 25 to request a hearing on an application of Highland Capital Corporationand Marathon Securities Corporation, registered closed-end investment companies, and Walter Scheuer, Edwin Robbins and Louis Shorenstein, all of New York, N. Y. and GaymarkAssociates of Short Hills, N. J. for an exemption from certain provisions of the Act to permit the merger of the two companies and to permit common officers of the two companiesto continue to receive salaries from both companies until consummation of the merger.(IC-8211)

T. ROWE PRICE GROWTH STOCK FUND. A notice has been issued giving interested personsuntil February 22 to request a hearing on an application of T. Rowe Price Growth Stock Fund, Inc., an open-end, diversified management investment company, for an order declaringthat D. Reid Weedon, Jr. shall not be deemed an "interested person" of the fund as defined in the Act solely by reason of his status as an officer and shareholder of Arthur D.
