Money laundering :

1. Money laundering is the process of creating the appearance that large amounts of money obtained from serious crimes, such as drug trafficking or terrorist activity, originated from a legitimate source.

2. Whosoever directly or indirectly attempts to indulge or assist other person or actually involved in any activity connected with the proceeds of crime and projecting it as untainted property.

3. Prevention of Money Laundering Act, 2002: To prevent and control money laundering


Context:

1. Ministry of Corporate Affairs (MCA) is preparing to send showcause notices to over 3 lakh more firms for striking off their names from the ‘register of companies’

Registrars of Companies (ROC):

1. Registrars of Companies (ROC) appointed under Section 609 of the Companies Act covering the various States and Union Territories are vested with the primary duty of registering companies and LLPs floated in the respective states and the Union Territories and ensuring that such companies and LLPs comply with statutory requirements under the Act.


Functions:-

1. These offices function as registry of records, relating to the companies registered with them, which are available for inspection by members of public on payment of the prescribed fee.

2. The Central Government exercises administrative control over these offices through the respective Regional Directors.


Context:

1. Company may file an appeal to the National Company Law Tribunal (NCLT) within three years from the RoC’s order.

2. If the NCLT finds that the removal of the company’s name was unjustified, it may order its restoration in the register.

National Company Law Tribunal:

1. National Company Law Tribunal (NCLT) is a quasi-judicial body in India that adjudicates issues relating to companies in India.

2. NCLT was established under Companies Act 2013 &constituted on 1 June 2016

3. Retired judge of the High Court has been appointed as President of the NCLT.

4. One Principal Bench at New Delhi and ten Benches


The establishment of the National Company Law Tribunal (NCLT) consolidates the corporate jurisdiction of the following authorities:

1. Company Law Board

2. Board for Industrial and Financial Reconstruction.

3. The Appellate Authority for Industrial and Financial Reconstruction.

4. Jurisdiction and powers relating to winding up restructuring and other such provisions, vested in the High Courts.

Powers of NCLT:

1. Most of the powers of the Company Law Board under the Companies Act, 1956.

2. All the powers of BIFR for revival and rehabilitation of sick industrial companies;

3. Power of High Court in the matters of mergers, demergers, amalgamations, winding up, etc.;

4. Pertaining to claims of oppression and mismanagement of a company, winding up of companies and all other powers prescribed under the Companies Act.

5. Power to wind up companies;

6. Power to Review its own orders.
