1 Introduction

Intergraph de México (hereinafter referred to as "PP&M") will provide consulting services to ARENDAL (hereinafter referred to as “Arendal”) on a fixed price basis as stated in this Statement of Work (SOW).

2 Scope of Services and Deliverables

PP&M will provide consulting services to implement out-of-the-box SmartPlant® Materials (SPMat) functionality in a pilot mode, enhance interfaces to selected applications, and roll-out SPMat with the enhanced interfaces to the Arendal Production environment.

PP&M expects to prepare a Press Release for your review and approval explaining the benefits that Arendal would have by implementing this solution.

2.1 SPMAT Fast Track Implementation

Specific activities to be performed by the Parties shall be documented and mutually agreed to in Work Packages that are specific to Arendal’s SPMat implementation. Said Work Packages are included in Attachment A for reference, but are summarized below to indicate the types of consulting services that PP&M consultants will provide to Arendal as part of the SPMat implementation.

Non-material changes in the scope of one (1) or more Work Packages will be mutually reviewed and approved by both Parties and work may proceed as scheduled; however, any material changes in the scope of one (1) or more Work Packages will be reviewed by the Parties and documented in a Change Request (CR) approved by an authorized Party representative.

SAP interface requirements (this will give us timing and activities for SAP interface deployment)

On-site support during 30 days of production

2.2 Project Management

PP&M will assign a Project Manager to oversee the completion of the consulting services and the provision of the Deliverables specified in this SOW.

2.3 Assumptions

PP&M has developed the scope and pricing for this SOW based on the following assumptions:

Arendal should have at least 3 licenses of SmartPlant Reference Data (SPRD), 5 licenses of SmartPlant Materials (SPMAT), and 1 license of SmartPlant Standard Data Base for SPRD (SDB) – Software not included in this Consulting Services Proposal

Arendal will provide all PP&M consultants working on-site with a work environment conducive to the on-going performance of their duties.

All PP&M consultants working on-site will adhere to Arendal’s standard work schedule.

Arendal will provide access to all appropriate knowledge experts as required.

The SOW’s schedule and estimate are dependent upon the timely exchange of required data as noted in this SOW.

2.4 Clarifications, Limitations, and Exclusions

Development will be performed using the latest version of SPMat. Any consulting services hours required to upgrade to a newer version of SPMat, should a new version of SPMat be released during the course of this project, are not included in this SOW.

Post-production support is outside the scope of this SOW.

Installation is limited to a single (one) environment. If requested, installation of SPMat and related software can be accommodated under a Change Order as described in Section 3, Change Management Process.

Any Intergraph Corporation proprietary information contained in a Deliverable or any source code provided by PP&M to Arendal is provided “as is” with no warranty whatsoever.

If required, PP&M resources located outside the U.S. may be utilized; thus, international travel may be necessary.



3 Change Management Process

If either Party requests a change to this SOW, the following procedure shall be followed:

1. PP&M’s Project Manager will evaluate the change request and assess how implementing the requested change might impact the overall project price and schedule. PP&M will provide the change request impact statement to Arendal as an unsigned Change Order (CO).

2. Arendal will review the CO and evaluate its benefits and impact on other project objectives to determine if the change should be implemented. If the CO is to be implemented, PP&M will issue a signed CO to Arendal for final approval.

3. Upon issuance of the CO by PP&M, Arendal will sign the CO. In the event Arendal has previously issued a Purchase Order (PO) for the SOW, Arendal will make the appropriate change(s) in the applicable PO to reflect the agreed-upon price, schedule, and Deliverable changes as noted in the CO and deliver same to PP&M.

4. Upon receipt of the signed CO and acceptance of the updated PO from Arendal (if a PO is issued), PP&M will implement the change(s) specified in the Change Order.

PP&M may group several change requests into a single CO for Arendal’s evaluation.

No work included in a CO shall be executed until the CO is signed by both parties. CO processing delays that impact schedule and create rework may be subject to additional CO to cover the cost impacts caused by delays to the project.

4 Schedule

PP&M and Arendal will determine a mutually agreeable start date for the project.

5 Completion Notice

PP&M will provide a written Completion Notice of the SPMat Fast Track tasks and final status. Arendal will have five (5) workdays to accept or challenge the Completion Notice. If accepted, Arendal will sign the Completion Notice and promptly return a signed copy to PP&M. If Arendal wishes to challenge the Completion Notice, PP&M will evaluate and correct as necessary any agreed upon deficiencies via the SPMat Fast Track configuration files. Any issue that cannot be addressed via the SPMat Fast Track configuration files will be considered outside this SOW. Once completed, PP&M will resubmit the Completion Notice for Arendal’s signoff.

Should Arendal fail to signoff or contest the Completion Notice within the five (5) workday period, or if Arendal elects to place a deliverable into operation or production, said deliverable shall be deemed by PP&M to be accepted and the applicable payment milestone will be due and payable. PP&M has based its pricing on the review cycles described above. Delays in the review cycle, or delays for additional review iterations, may require an equitable adjustment in the pricing and schedule.



6 Pricing

The price for the provision of the consulting services and/or deliverables per this fixed price Statement of Work is U.S. $170,560.00, excluding travel expenses (Phases 1, 2 and 3 are included as specified in this document, providing that Phase 2 will determine additional services required for SAP interface deployment).

If applicable, PP&M will charge travel time and expenses for the consulting services to Arendal at PP&M’s cost, plus ten percent (10%) for general and administrative expenses. Travel expenses may include, but are not limited to, airfare, hotel charges, car rental fees, and meals. Meals will be invoiced at current government per diem rates for the location where the services are provided. PP&M estimates that the travel expenses applicable to this SOW will be approximately U.S. $25,500.00.

The Purchase Order should reflect both the consulting services fixed price of U.S. $170,560.00 and a travel estimate of U.S. $25,500.00 for a total of U.S. $196,060.00.

The pricing in this Statement of Work will be valid for ninety (90) days following the cover date.



7 Invoicing and Terms of Payment

Arendal will be invoiced per payment milestone as specified in the following schedule.

Expenses will be invoiced every two weeks

The terms of payment are net thirty (30) days from the date of invoice.

Arendal agrees to pay interest on all overdue or unpaid invoices, at the rate of one and one-half percent (1 ½%) per month, or at the maximum rate permitted by law, whichever is less. No payments may be withheld by Arendal for any reason nor may any counterclaim by Arendal be set off against any payment due hereunder, without the prior written consent of an authorized PP&M representative.

PP&M will submit invoices to Arendal at the address shown on the Purchase Order or as otherwise advised by Arendal in writing.

8 Additional Terms and Conditions for Consulting Services

1. Disclaimer – PP&M DISCLAIMS (TO THE EXTENT PERMITTED BY LAW) ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PARTICULAR USE. IF UNDER THE LAW RULED APPLICABLE TO THESE TERMS ANY PART OF THE ABOVE DISCLAIMER OF EXPRESSED OR IMPLIED WARRANTIES IS INVALID, THEN PP&M DISCLAIMS EXPRESS OR IMPLIED WARRANTIES TO THE MAXIMUM EXTENT ALLOWED BY SAID LAW.

2. Limitation of Liability - IN NO EVENT WILL PP&M BE LIABLE FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGES, ANY LOSS OF USE OR PRODUCTION, ANY LOSS OF REVENUE OR PROFIT, ANY LOSS OF DATA, THE USE OR INABILITY TO USE ANY DELIVERABLE, OR CLAIMS OF THIRD PARTIES, ARISING OUT OF OR IN CONNECTION WITH ANY CONSULTING SERVICES OR DELIVERABLES PROVIDED UNDER THIS SOW, EVEN IF PP&M HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

UNDER NO CIRCUMSTANCES SHALL PP&M’S LIABILITY UNDER THIS SOW EXCEED THE AMOUNT THAT PP&M HAS BEEN PAID BY ARENDAL PURSUANT TO THIS SOW AT THE TIME ANY CLAIM IS MADE. EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, NO CLAIM, REGARDLESS OF FORM, ARISING OUT OF OR IN CONNECTION WITH THIS SOW MAY BE BROUGHT BY Arendal MORE THAN TWO (2) YEARS AFTER THE EVENT GIVING RISE TO THE CAUSE OF ACTION HAS OCCURRED.

IF UNDER THE LAW RULED APPLICABLE TO THESE TERMS ANY PART OF THIS SECTION IS INVALID, THEN PP&M LIMITS ITS LIABILITY TO THE MAXIMUM EXTENT ALLOWED BY SAID LAW.



3. Ownership of Intellectual Property - All PP&M Software and related deliverables (including but not limited to data, programs, or program enhancements) provided by PP&M under this SOW is owned by PP&M and shall be licensed to Arendal pursuant to PP&M’s current Software License Agreement, except as may be modified or stated herein.

Arendal understands that PP&M possesses Information and data that was developed, created, or discovered by PP&M, or that has become known to or has been conveyed to PP&M, that has commercial value in PP&M’s day-to-day business. PP&M considers such Information and/or data to be proprietary and confidential. Such Information and/or data includes, but is not limited to, trade secrets, copyrights, inventions (whether patentable or not), concepts, ideas, methods, techniques, work processes, formulae, algorithms, logic designs, screen displays, schematics, and source and object code computer programs, all of which shall hereinafter be singularly or collectively referred to as PP&M’s Intellectual Property, which is owned by PP&M.

4. Nondisclosure - PP&M and Arendal each acknowledge that they may be furnished with, receive, or otherwise have access to information of or concerning the other Party, or relevant third party, which such Party or relevant third party considers to be confidential, proprietary, a trade secret or otherwise restricted. As used in this Agreement “Confidential Information” shall mean all information, which may include third party information, in any form, furnished or made available directly or indirectly by one Party to the other that is marked confidential, restricted, proprietary, or with a similar designation. This SOW is deemed to be Confidential Information. Confidential Information also shall include, whether or not designated “Confidential Information”, (i) all specifications, designs, documents, correspondence, software, documentation, data and other materials and work products produced by either PP&M or its subcontractors, and (ii) with respect to either Party, all information concerning the operations, financial affairs and businesses, and relations with its employees and service providers.

Each Party's Confidential Information shall remain the property of that Party, or relevant third party, except as expressly provided otherwise by the other provisions of this SOW. Arendal and PP&M shall each use at least the same degree of care, but in any event no less than a reasonable degree of care, to prevent disclosing to third parties the Confidential Information of the other as it employs to avoid unauthorized disclosure, publication or dissemination of its own information of a similar nature.

The Parties shall take reasonable steps to ensure that its employees comply with these confidentiality provisions.

This Section shall not apply to any particular information which PP&M or Arendal can demonstrate (i) was, at the time of disclosure to it, in the public domain; (ii) after disclosure to it, is published or otherwise becomes part of the public domain through no fault of the receiving Party; (iii) was in the possession of the receiving Party at the time of disclosure to it; (iv) was received after disclosure to it from a third party who had a lawful right to disclose such information to it without any obligation to restrict its further use or disclosure; or (v) was independently developed by the receiving Party without reference to Confidential Information of the furnishing Party. In addition, a Party shall not be considered to have breached its obligations by disclosing Confidential Information of the other Party as required to satisfy any legal requirement of a competent government body provided that, immediately upon receiving any such request and to the extent that it may legally do so, such Party advises the other Party promptly and prior to making such disclosure in order that the other Party may interpose an objection to such disclosure, take action to assure confidential handling of the Confidential Information, or take such other action as it deems appropriate to protect the Confidential Information.



5. Employment – During a period from the commencement of the work described in this SOW until twelve (12) months after its completion, Arendal shall not employ or engage on any other basis or offer such employment or engagement to any of PP&M’s employees who have been associated with providing services under this SOW without the prior written approval of PP&M. Arendal agrees that if it employs or engages any PP&M employee contrary to the preceding paragraph, Arendal shall be liable to PP&M for liquidated damages in an amount equal to such employee’s salary per annum at the time of leaving the employment of PP&M.

6. Taxes - Prices are exclusive of all federal, state or local sales, use, property, gross receipts, value added or similar taxes based upon amounts payable to PP&M pursuant to this SOW (“Taxes”). Such Taxes, however do not include franchise taxes or taxes based on net income. Arendal agrees to pay PP&M any applicable Taxes or provide PP&M documentary evidence of an appropriate statutory exemption.

7. Governing Law – This SOW is governed by and shall for all purposes be construed and enforced under and in accordance with the laws of México and shall have been deemed to have been executed in México City, México. The parties agree to submit to the exclusive jurisdiction of, and agree that venue is proper in these courts in any such legal action or proceeding. The Parties waive the application of the United Nations Commission on International Trade Law and United Nations Convention on Contracts for the International Sale of Goods as to the interpretation or enforcement of this SOW.

8. Export Control – Intergraph Corporation Software and/or third-party software (which for this section also includes any Documentation or technical information pertaining thereto) provided by PP&M, its subsidiaries or distributors, is subject to the export control laws and regulations of the United States of America. For the purpose of this SOW, “Documentation” means, whether in electronic or printed form, User's Guides, Installation Guides, Reference Guides, Administrator's Guides, Customization Guides, Programmer's Guides, Configuration Guides and Help Guides delivered with Intergraph Software and/or third-party software supplied by PP&M to Arendal. Not all of the previous types of Documentation are delivered with Intergraph Software and/or third-party software supplied by PP&M. Diversion contrary to U.S. law is prohibited. Intergraph Corporation Software and/or third-party software, or the direct product(s) thereof, must not be exported or re-exported, directly or indirectly (including via remote access) under the following circumstances:

a. To Cuba, Iran, North Korea, Sudan, or Syria, or any national of these countries.

b. To any person or entity listed on any U.S. government denial list, including but not limited to, the U.S. Department of Commerce Denied Persons, Entities, and Unverified Lists, http://www.bis.doc.gov/complianceandenforcement/liststocheck.htm, the U.S. Department of Treasury Specially Designated Nationals List, www.treas.gov/offices/enforcement/ofac/, and the U.S. Department of State Debarred List, http://www.pmddtc.state.gov/compliance/debar.html

c. To any entity when Arendal knows, or has reason to know, the end use of the Intergraph Software and/or third-party software is related to the design, development, production, or use of missiles, chemical, biological, or nuclear weapons, or other un-safeguarded or sensitive nuclear uses.

d. To any entity when Arendal knows, or has reason to know, that an illegal reshipment will take place.

Arendal should address any questions regarding export/re-export of relevant Intergraph Corporation Software and/or third-party software to Intergraph Corporation’s Export Compliance Department, Huntsville, Alabama 35894-00001, USA.

Arendal shall hold harmless and indemnify PP&M for any costs and or damages resulting to PP&M from a breach of this Article by Arendal.

THIS SECTION SHALL SURVIVE THE PERFORMANCE, EXPIRATION OR TERMINATION OF THIS AGREEMENT.

9. Place of Performance - Arendal agrees to provide appropriate work place accommodations, computer equipment, software, and necessary access for PP&M personnel.

10. Assignment - Neither PP&M nor Arendal shall assign any of its rights or delegate any of its obligations under this SOW without the prior written consent of the other Party, provided that such consent shall not be unreasonably withheld, except that PP&M may assign its rights and obligations under this SOW without the approval of Arendal to an entity which acquires all or substantially all of the assets of Intergraph Corporation or its Process, Power & Marine division, or to any subsidiary, affiliate or successor in a merger or acquisition of Intergraph Corporation or its Process, Power & Marine division.

11. Severability – Whenever possible, each provision of this SOW and each related document shall be interpreted in such a manner as to be effective and valid under applicable law. However, if any provision of this SOW shall be prohibited by or invalid under applicable law, such provision shall be ineffective only to the extent of such prohibition or invalidity without invalidating the remainder of such provision or the remaining provisions of this SOW.

12. Survival -- The Articles entitled “Disclaimer”, “Limitation of Liability”, “Ownership of Intellectual Property”, “Nondisclosure”, “Employment”, “Governing Law”, “Assignment”, and “Severability” shall survive termination or expiration of this SOW. The obligation imposed on Arendal to pay any unpaid charges which have been accrued and are due at the time of termination or expiration of this SOW, pursuant to “Terms of Payment” shall survive the expiration or termination of this SOW.

13. Entire Agreement – This SOW, and Arendal’s Purchase Order to the extent that it is not inconsistent with this SOW, constitutes the entire agreement between the Parties with respect to the subject matter hereof. All prior agreements, representations, statements, negotiations, and undertakings are superseded hereby. This SOW and Arendal’s Purchase Order shall not be amended or modified except by written agreement of the parties.

Phase I – 4 .0, System Installation

PP&M will install SPMat and SPRD and associated software/databases for Development/Test environment (one environment) within Arendal network located in Monterrey, N.L..

Scope


Install and configure SPMat Oracle® Database Server

Install and configure SPMat Oracle Web Fusion Application Server

Install and configure SPRD Plus Server

Install and Test three (3) SPRD Plus clients

Install SPMat v7.0.6 – with latest Service Pack

Install Standard Database (SDB)

Install Oracle Application Express (APEX) on Application Server (if required)

Configure and setup SPMat Catalog, Roles, Database Administrator (DBA) Settings, Project Defaults, and other elements required for use of the out-of-the-box (OOTB) functionality

Assumptions

Arendal will provide the Database Server, Web Fusion Server, and SPRD Plus Server hardware ready for installation of SPMat-related software

Arendal will provide Excel (2007/2010) on the selected Application Server

Arendal will provide all access rights for PP&M and comply with all requirements described in the installation checklist

Exclusions

Backup and restore processes are not part of the installation process

Installation of prerequisites will be completed by Arendal.

IIS, network, Oracle DBA, and Operating System support will be needed during Database and Application server installation

PP&M will provide services as specified below to assist Arendal in the installation and configuration of the specified software:

Install and configure Oracle Database Server

Install and configure Windows Application Server

Install SPMat v7.0.6

Configure and setup SPMat catalog, roles, and other elements required for use OOTB functionality

Install Standard Database (SDB)

Load base data (based on the templates)

Configure DBA settings and project defaults

Load reports

Arendal will provide the Database and Application Server hardware ready for installation of SPMat-related software

Arendal will have signed off on all data loading Work Packages

Exclusions

Only signed off data (based on Fast Track templates) will be loaded to Production environment
