Theyare not to be reproduced or transmitted in any formor by any means, electronic or mechanical, includ-ing photocopying, recording, or any informationstorage and retrieval system without permission inwriting from Harcourt Assessment. The reproduc-tion of any part of Harcourt Assessment’s copyright-ed tests and related materials in any way, whether the reproductionsare sold or furnished free for use, is a violation offederal copyright law. 5. Protective Orders. Purchaser agrees to seek aprotective order safeguarding the confidentiality oftest materials classified by Harcourt Assessment asC-level assessments if Purchaser is required to pro-duce such materials in court or administrative pro-ceedings.

6. Limitation of Liability. IN NO EVENT WILL HAR-COURT ASSESSMENT BE LIABLE FOR DAMAGES ARISING UNDER THIS AGREEMENT, OROTHERWISE ARISING FROM THE ORDER(S) CON-TEMPLATED UNDER THIS AGREEMENT, IN EXCESSOF THE AMOUNTS PAID FOR THE PRODUCT(S)WHICH DIRECTLY CAUSED THE DAMAGE.

7. Force Majeure. Except for payment obligations,nonperformance of either party shall be excused tothe extent that performance is rendered impossible by strike, fire, flood, act of God, war, gov-ernmental acts or orders or restrictions, failure ofsuppliers, or any other reason where failure to per-form is beyond the reasonable control of the non-performing party and not due to its fault ornegligence.

8. Notices. Any required notices shall be given in writing to the Purchaser at the most recent contact information provided by Purchaser to Harcourt Assessment. We may send you notice by electronic mail as an alternative to conventional mail.

9. Governing Law and Venue. This Agreement,each transaction entered into in connection withthis Agreement, and all matters arising from orrelated to this Agreement (including validity andinterpretation) are governed by, construed, andenforced in accordance with the laws of the Stateof Texas, without reference to any conflict of lawprinciples. Purchaser submits to the exclusivejurisdiction of the federal and state courts locatedin Bexar County, in the State of Texas.

10. Limitation of Claims. Purchaser must bring any action on any claim against HarcourtAssessment within one (1) year following the date the claim first accrued, or it shall be deemed waived.

11. Export Law Assurance. If the product(s)ordered from Harcourt Assessment have beenrightfully obtained within the United States,Purchaser agrees and certifies that neither theproducts nor any technical data received by thePurchaser from Harcourt Assessment will beexported outside of the United States, except asauthorized by the laws and regulations of the UnitedStates.

Permissions and Licensing PolicyReproduction of any purchased materials requiresthe prior written consent of Harcourt Assessment.

Questions and answers, including practice ques-tions and answers, may not be reproduced withoutwritten permission, regardless of the number oflines or items involved. Test copies may not bebound in theses or reports placed in libraries, generally circulated, or accessible to the public, or in any article or text of any kind.

Harcourt Assessment will consider requests forpermission to reproduce, modify, or translate part orall of any copyrighted publication and will also con-sider the granting of licenses for use of our copy-righted materials.
