Agile2018 will bring the energy and passion of the Global Agile Community to San Diego, California. The event will be at the Marriott Marquis Hotel on the waterfront. This is a world-class site for a world-class conference, and the first-ever Agile Alliance global conference on the West Coast!

SponsorshipBasics. 2. IntellectualPropertyRights. ThePartiesgranttooneanotherthenon-exclusiverighttouseeach other’s trade name, trademarks, and logos, if any (the “Marks”) as part of press releases,marketing,advertising,andpromotionalmaterialssolelyinconnectionwiththeEvent.AllsuchuseshallbesubjecttotheMarks’owner’spriorreviewandwrittenconsent.TheMarks’ownersreserveallrightsnototherwiseexpresslygrantedherein; this limited license touse theMarksaccordinglywillhavenoeffectonownershipand/ortitlethereto.3. Confidentiality. Eachof theParties (the“ReceivingParty”)shallmaintain theconfidentialityofthisAgreementandallconfidentialinformationoftheotherParty(the“DisclosingParty”)andshallnotrelease,discloseordivulgeanysuchconfidential informationwithoutthepriorwrittenconsentof theotherParty.TheReceivingPartymayonlyuseandcopysuchconfidentialinformationasisnecessarytocarryoutitsactivitiescontemplatedbythisAgreement(butsubjecttotheprovisionsthereof)andfornootherpurpose.TheReceivingPartymaydiscloseconfidentialinformationtoitsemployees,personnel,subcontractorsandrepresentativesona“needtoknowbasis”,providedthatitshallfirst instructsuchemployees and personnel to maintain the confidentiality thereof. A Disclosing Party’s confidentialinformationshallnotincludeinformationthat:(a)isorbecomesapartofthepublicdomainthroughnoactoromissionof theReceivingParty; (b)was in theReceivingParty’s lawfulpossessionprior to thedisclosure and had not been obtained by the Receiving Party either directly or indirectly from theDisclosingParty; (c) is lawfullydisclosed to theReceivingPartybya thirdpartywithout restrictionondisclosure;(d)isindependentlydevelopedbytheReceivingParty;or(e)isrequiredbyapplicablelawtobedisclosed.4. Indemnification;Insurance;LimitationonLiability. (a) Sponsorwillindemnify,defendandholdharmlessAgile,itsaffiliates,officers,directors,agents and employees from and against any and all costs, expenses, lawsuits (including reasonableattorneys’fees),damages,fines,penalties,orother liabilities(“Losses”)whichmayarisefromanyact,errororomissionofSponsororanyofSponsor’semployeesorsubcontractors inconnectionwiththisAgreement and/or Sponsor’s participation in the Event, including, without limitation, personal injuryand/orpropertydamage,infringementorviolationofthirdpartyintellectualpropertyrights. (b) SponsorshallprovidetoAgileand/ortheEventvenuemanagement, if required,proofofinsuranceunderacomprehensivegeneralliabilitypolicyprovidingforaminimumof$2,000,000peroccurrenceand$5,000,000intheaggregatecoverageand,ifrequiredbytheEventvenuemanagement,specificoff-siteexhibitioncoverageinsimilaramounts. (c) TOTHEMAXIMUMEXTENTPERMITTEDBYAPPLICABLELAW,EACHPARTYDISCLAIMS,ANDINNOEVENTSHALLTHEYBELIABLETOONEANOTHERFORANYSPECIAL,INCIDENTIAL,INDIRECT,AND CONSEQUENTIAL OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO,DAMAGES FOR LOSS OF PROFITS, BUSIENSS INTERRUPTION, OR LOSS OF DATA OR OTHERINFORMATIONARISINGOUTOFTHISAGREEMENT.5. GeneralProvisions. (a) Notice. Any notice, request, demand, consent, or other communication required orpermittedunderthisAgreementshallbeinwritingandgivenbycourierdelivery,orsentbyfirstclassUSmail, postage prepaid, or transmitted by facsimile or electronic mail (email) to the Parties at the

(b) ForceMajeure. Neither Party shall be liable for any delay or failure to perform itsobligationshereunderduetostrikes,labordisputes,riots,storms,floods,explosions,accidents,actsofGod,actsorordersofgovernment,warterrorism,thefailureofvendorsorothersponsorstoperform,mediaeventcancellationsoranyothercauseorcauseswhicharebeyonditsreasonablecontrol. (c) Non-Waiver. ThefailurebyeitherPartytoexerciseanyright,poweroroptiongivenhereunder,ortoinsistuponthestrictcompliancewiththetermsandconditionsofthisAgreementwillconstitute a waiver of any terms or conditions of this Agreement with respect to any other orsubsequentbreachthereof,norawaiverbysuchPartyoftisrightatanytimethereaftertorequirestrictcompliancewithallofthisAgreement’stermsandconditions. (d) AttorneyFees. If Agile finds it necessary to engage an attorney to enforce any of itsrightsunderthisAgreement,whetherornotlitigationisinitiated,andSponsoriseitheradjudicatedtobeliabletoAgilehereunderorsettlesanydisputewithAgilethatinvolvesthepaymentbytheSponsor,then Sponsor shall also pay Agile’s reasonable attorney fees arising from such litigation and/orsettlement. (e) GoverningLaw;JurisdictionandVenue. This Agreement shall be governed by the lawsoftheStateofIllinois,asappliedtoagreementsmade,enteredintoandperformedentirelyinIllinoisbyIllinoisresidentsandthePartiesagreetosubmittothejurisdictionoftheIllinoisStateCourtsandCookCounty,IllinoisforpurposesofadjudicatinganymatterarisingfromthisAgreementand,furtheragree,toacceptserviceofprocessinsuchlitigationbycertifiedUSmail. (f) EntireAgreement. This Agreement, including any exhibits hereto, contains theentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations, representations, and proposals, written or oral, relating to such subject matter. Nosupplement,modificationorother change in the termshereof shallbeeffectiveunless inwritingandsignedbybothPartiesbytheirdulyauthorizedrepresentatives.
