    RECITALS

    WHEREAS the COMPANY has entered into a lease deed dated [insert date] with [insert owner], the absolute owner of the property [insert address] more fully described in Schedule A herein ("SCHEDULED PREMISES" and such lease deed the "OWNER LEASE DEED") and the COMPANY is in absolute and unhindered possession of the Scheduled Premises

    WHEREAS the TENANT(s) is/are desirous of taking on sub-lease the Scheduled Premises and the COMPANY has agreed to grant on sub-lease the Scheduled Premises subject to the terms and conditions contained herein.

    NOW THEREFORE IN PURSUANCE OF THE ABOVE, THIS LEASE DEED WITNESSETH AS FOLLOWS:

    1. The COMPANY hereby grants and the TENANT(s) hereby accepts the grant of lease of the Scheduled Premises in accordance with the terms, conditions and covenants contained herein. As on the date of this, the COMPANY confirms having delivered possession and the TENANT(s) confirm having taken possession of the Scheduled Premises.

    2. The COMPANY grants lease of the Scheduled Premises in accordance with the terms set forth in the attached standard terms and conditions of the lease, which form part of this Lease Deed. The TENANT(s) understands that the Standard Terms and Conditions are part of this Lease Deed and violation of any of the Standard Terms and Conditions could result in termination of the lease.

    STANDARD TERMS AND CONDITIONS OF THE LEASE

    RENT

    1. The TENANT(s) agree to pay a monthly rent as denoted (hereinafter "Rent"), on or before the 5th day of every month for the present month or on any other date specifically agreed between the Parties. For example, the Rent for the Calendar month of January shall be paid on or before January 5. The TENANT(s) shall be entitled to deduct tax at source where such deductions are required as per prevailing laws.

    2. The TENANT(s) understands that as the COMPANY has to pay monthly rent to the owner of the Schedule Premises every month after collecting the Rent from the TENANT(s), it is necessary for the COMPANY to receive such Rent from the TENANT(s) by the 5th or such other agreed date of the said month. Therefore, if the TENANT(s) does not pay the Rent on time, he/she/it will have to pay penalty charges of Rs.200/- per day. To avoid penalty, the TENANT(s) should pay rent on time.

    3. The Parties agree that in the event of a renewal of the lease, the Rent payable for the new term of the lease shall be enhanced by 10% (Ten Percent). In the event of market fluctuations, the TENANT(s) and the Company agree to renegotiate the Rent or the escalation to match market fluctuations.

    4. The TENANT(s) is responsible for the electricity, water, telephone, gas and other utility charges during the term of the lease. If any utility bills like electricity bill, gas bill, telephone bill etc., are not included in the maintenance charges, and a separate meter is maintained to determine the usage of such service in the Scheduled Premises, the TENANT(s) shall pay such bills regularly and promptly to the authorities concerned as per the separate meter.

    5. Please note, where the maintenance charges do not specifically state that it includes the water, electricity or other utility bills, the TENANT(s) shall be responsible for the same. If the TENANT(s) has not paid the maintenance or utility bills and the COMPANY is required to do so, the COMPANY may make such payment and the TENANT(s) shall reimburse such payments to the COMPANY upon the COMPANY providing the receipt of the payments being made by the COMPANY for the Scheduled Premises during the Term.

    6. Maintenance charges are charged at actuals. As the maintenance charges do not form part of the rent payable for the Scheduled Premises, they may be varied by the owner/Association of the Schedule Premises from time to time, depending on the nature and size of the building and the price for the utilities. Therefore, in the event that the maintenance charges increase, the TENANT(s)shall pay the increased amount to the COMPANY. Similarly, if the maintenance charges decrease, the TENANT(s) will be required to pay such decreased charges only. Maintenance charges are paid at actuals.

    SECURITY DEPOSIT

    7. In case the COMPANY and TENANT(s) agree at the time of executing the Lease Deed that the Security Deposit, or a part of it, will be paid by the TENANT(s) at a subsequent date (the DUE DATE), then the TENANT(s) shall ensure that the Security Deposit is paid on or before the Due Date otherwise, the TENANT(s) shall be liable to pay the said amount at an interest of 24% per annum from the Due Date till the date of payment.

    8. The TENANT(s) understands that after the termination, expiration or sooner determination of this Lease Deed, the TENANT(s) shall hand over vacant possession of the Scheduled Premises. Please note, on termination of the lease, the COMPANY has to find a new occupant for the Schedule Premises, so that regular rents can be paid to the owner of the Schedule Premises. Therefore, if the TENANT(s) does not vacate the Schedule Premises after the termination/expiry of this Lease Deed, the COMPANY will suffer losses. Due to this reason, the TENANT(s) agrees that if he/she does not vacate the Schedule Premises after the termination/expiry of this Lease Deed, the TENANT(s) shall pay the COMPANY an amount which is twice the Rent amount for the period of extended stay, as compensation for the losses suffered by the Company. Further, the TENANT(s) shall receive the Security Deposit from the COMPANY only upon handing over the peaceful vacant possession of the Schedule Premises to the Company.

    9. As the Scheduled Premises is being handed over to the TENANT(s) in a clean, good and tenantable condition, the TENANT(s) shall hand over the same to the COMPANY in the same condition upon the termination of the Lease, subject to natural wear and tear. The TENANT(s) shall re-paint the Scheduled Premises with same paint quality. The Scheduled Premises shall be cleaned and damages repaired at the time of vacating the Scheduled Premises.

    10. If the TENANT(s) does not return the vacant possession of the Scheduled Premises to the COMPANY in the same state as is mentioned in Section 9 above, or if the TENANT(s) requires the COMPANY to clean and paint the Scheduled Premises, the TENANT(s) will vacate the Scheduled Premises 3 days prior to the termination of the lease, so that the COMPANY would have sufficient time to put the Scheduled Premises back in same condition with respect to painting, cleaning, repair work. The bill for painting, cleaning and repair work would be deducted from Security Deposit at the actual amount incurred and a supervising fee of 10% of the bill amount will further be deducted.

    11. Apart to the deductions from the Security Deposit mentioned in Section 10 above, the COMPANY may also make any other necessary deductions from the Security Deposit for any defaults in the payment of Rent, arrears of electricity or other utility charges, any association dues, and for any damage that may be incident on the Scheduled Premises while the same is in possession of the TENANT(s). The COMPANY shall refund the balance Security Deposit to the TENANT(s) in accordance with Section 10, after deducting arrears of monthly rent, maintenance charges, electricity charges, gas bill, and telephone bill, if any.

    12. The refund of the Security Deposit, after making necessary deductions as detailed above, shall be made by the COMPANY by way of a chequefavouring the TENANT(s), or any other person or entity that the TENANT(s) may notify in writing.

    NO RIGHT TO SUB-LEASE AND USE OF THE SCHEDULE PREMISES

    13. The COMPANY expressly states that the TENANT(s) shall NOT sub-lease the Scheduled Premises at all.

    14. The Scheduled Premises shall be exclusively used for residential purposes only.

    15. The TENANT(s) agrees that only the TENANT(s), his/her spouse, children, parents and in-laws may stay in the Scheduled Premises. The TENANT(s) may entertain other visitors in the Scheduled Premises. All residents and visitors MUST duly comply with the terms of this Lease Deed, as well as the security restrictions of the building/complex in which the Scheduled Premises is situate.

    16. If the TENANT(s) has any visitors residing at the Scheduled Premises for a continuous period of 15 (fifteen) days or more, the TENANT(s) will inform the COMPANY about such visitors. If the TENANT(s) fails to inform the COMPANY about such visitors and the COMPANY learns of the same from a third party, the COMPANY shall have the right to terminate the lease immediately and/or charge Rs. 10,000/- as liquidated damages from the TENANT(s).The TENANT(s) agrees that the above right shall be without prejudice to any other right available under the law.

    17. The TENANT(s) shall ensure that neither the TENANT(s), nor any of his/her visitors commit any nuisance or disturbance to the residents in the neighborhood/society. If the COMPANY receives any complaints against the TENANT(s) of nuisance or disturbance being caused to other neighbors/society members by the TENANT(s) the COMPANY shall have the right to terminate the Lease after giving two warnings. Please note nuisance and disturbance is determined in accordance with the society/building/complex is which the Scheduled Premises is located. Please be cautious of your use of the Scheduled Premises. What constitutes nuisance will be decided based on the societys standards.

    PROPERTY MANAGEMENT, REPAIRS AND MAINTENANCE OF THE SCHEDULED PREMISES

    18. If the TENANT(s) experiences any maintenance/repair issue, the TENANT(s) should immediately inform the COMPANY of the same. Any minor issue which requires a repair of the Scheduled Premises or equipment or appliance situated within the Scheduled Premises for an amount less than or equal to INR 1000/-for each separate issue, such amount shall be borne by the TENANT(s).

    19. If any appliance, equipment or part of the Scheduled Premises requires repair or replacement, the TENANT(s) must have it addressed through the Companys services, and the TENANT(s) will not withhold the Rent or maintenance charges for this purpose. The TENANT(s) is residing and using the appliances or equipment in the Scheduled Premises and therefore is responsible for its maintenance and repair.

    20. The COMPANY may use the services of independent contractors and vendors to perform any repair or maintenance work. The COMPANY will not be responsible for the actions or deeds of such independent contractors or vendors. In all such circumstances the TENANT(s) shall ensure that his/her representative is present during the repair and maintenance work to ensure that the TENANT(s)s concerns are addressed and the valuables and belongings are safely maintained.

    RENEWAL OF THE LEASE

    21. The TENANT(s) will need to notify the COMPANY of his/her intention not to renew the lease. The TENANT(s) should issue a notice at least one month in advance (such one month period, the "Notice Period"), intimating the COMPANY that he/she/it will not be renewing the lease upon expiry thereof. In the event that the TENANT(s) wishes to terminate this lease without the Notice Period, the TENANT(s) shall pay one month Rent in lieu of the Notice Period.

    22. If the COMPANY does not receive a notice as stated in Section 21, the lease shall stand renewed and the TENANT(s) shall be obligated to pay the escalated rent from the renewed date.

    23. Save for the rent payable for the renewed term, the Parties shall endeavor to maintain the same terms and conditions contained herein for the renewed lease.

    TENANTS RIGHTS AND COVENANTS

    24. The TENANT(s) hereby undertakes to use the Scheduled Premises for residential purpose only and abide by all applicable laws, bye-laws, rules and regulations. The TENANT(s)shall not carry on any commercial activity (guest house, service apartment, hotel etc) or illegal business or trade within the Scheduled Premises either by itself or through a third party.

    25. The TENANT(s) will not store within or around the Scheduled Premises, any materials or goods that are dangerous or prohibited by any law, rule or guideline.

    26. The TENANT(s) covenants not to alter the structure or construct or erect semi-permanent, permanent or temporary, structures inside or outside the Scheduled Premises or change the walls, doors, damage the flooring. Specifically, the TENANT(s) shall not be permitted to put any tape or nails on the walls of the Scheduled Premises without a written approval from company. As you are aware, nails and hard tape on the walls detrimentally affect the walls and paint. For the longevity of the Scheduled Premises, please co-operate with the Company and the Owner in this regard. The TENANT may use blutak or plastic hooks for hanging anything on the wall.

    27. The TENANT(s) agrees to permit the COMPANY and/or its authorized representatives to enter into and inspect the Scheduled Premises in the presence of the TENANT(s) and/or its authorized representatives at all reasonable hours for inspecting or carrying out repairs, if any, to the Scheduled Premises where the COMPANY has given the TENANT(s) one day prior notice for such inspection. The TENANT(s) also agrees to co-operate with the COMPANY to give information or take photographs or tally the list of fixtures and amenities as required by the COMPANY on prior notice to the TENANT(s).

    28. The TENANT(s) hereby undertakes that during the Term, the TENANT(s) shall keep the Scheduled Premises as well as all fixtures and fittings within the Scheduled Premises in good and working condition and repair subject to normal wear and tear (due to age of fitting and fixtures). As the fixtures, fittings and appliances provided to the TENANT(s) by the owner/COMPANY are being used by the TENANT(s)s for his/her personal benefit, the TENANT(s) will ensure that the fixtures, fittings and appliances will be serviced atleast once in 6 months, where such service is possible. This obligation is to ensure the long use and longevity of the fittings and fixtures and appliances.

    29. During the Notice Period, the TENANT(s) shall co-operate with the COMPANY and permit the COMPANYs representatives to visit the Scheduled Premises and show the Scheduled Premises to prospective TENANT(s)s during reasonable hours and upon giving one day prior notice.

    30. The TENANT(s) shall duly pay Rent on time and in the manner set forth in this Lease Deed.

    31. The TENANT(s) shall comply with the mandates of vacating the Scheduled Premises and in the condition agreed herein. The TENANT(s) shall return all copies of keys to the Scheduled Premises on termination and handing over vacant possession of the Scheduled Premises.

    32. The TENANT(s) agrees that no payment, of any amount whatsoever, made to the COMPANY under this Lease Deed shall be made in the form of cash.

    COMPANYS COVENANTS

    33. The COMPANY covenants that so long as the TENANT(s) pays the Rent agreed herein and observes all undertakings and covenants incorporated herein, the TENANT(s) shall be entitled to enjoy quiet and peaceful possession of the Scheduled Premises during the term of the Lease, without any objection or interference whatsoever from the COMPANY or any person/(s) claiming through the COMPANY.

    34. The COMPANY has provided fittings & fixtures along with the Scheduled Premises as mentioned in Annexure-1. The TENANT(s) is required to confirm the details mentioned in the list. The Parties agree that the same list will be used to inspect the Scheduled Premises when the lease is terminated.

    35. Any damage caused to the Scheduled Premises due to the negligence of the TENANT(s) will be borne by TENANT(s). The COMPANY will bear the cost for the replacement of any fitting & fixtures which is not caused by negligence of the TENANT(s) and may be due to age of the appliances, major manufacturer fault, power supply fluctuation or expiry of warranty for an amount of INR 1000/- and more.

    36. A counterpart of this lease deed shall be duly executed and sent to the TENANT(s) within a period of 7 (seven) days from the date of realization of the Security Deposit.

    SERVICE OF NOTICE, DOCUMENTATION AND NOMINEE

    37. The address for the purposes of services of notices to the COMPANY shall be the address as given in the signature page of the Lease Deed. Any change of address should be notified in writing, failing which the address provided herein shall be deemed to be the address of the COMPANY for the Term of the lease.

    38. The TENANT(s) confirms that the information stated in the documentation provided at the time of execution is accurate. Any change in the information contained therein should be notified to the COMPANY within 15 days from the change of such information.

    39. Whenever the Scheduled Premises is occupied by an employee/consultant of the TENANT(s), the TENANT(s) will ensure that the verification documentation of the employee or consultant is provided to the Company.

    TERMINATION

    40. Either party may terminate this Lease by giving a written notice of termination one month in advance (such one month period, the "Notice Period"). If the TENANT(s) wishes to terminate this lease without the Notice Period, the TENANT(s) shall pay one month Rent in lieu of the Notice Period.

    41. Immediately upon the expiry of this lease or completion of the Notice Period, the TENANT(s) shall hand over to the COMPANY, vacant and peaceful possession of the Scheduled Premises in such repair, order and condition, subject to normal wear and tear, fire or other casualty or inherent defects not caused by the TENANT(s), per the terms and conditions agreed to by the TENANT(s) under this Lease Deed. If the TENANT(s) fails to vacate and hand over the Schedule Premises, the TENANT(s) shall be liable to pay twice the Rent as penalty charges every month till vacant possession of the Schedule Premises is handed over to the COMPANY, and charging of such penalty shall be in addition to other legal recourse available to the Company.

    42. The COMPANY is entitled to forthwith terminate this Lease Deed, without any notice, in the event:(i) the TENANT(s) defaults in payment of the Rent or electricity or maintenance

    charges for two consecutive months even after receiving a reminder(ii) the TENANT(s) violates any of the terms of this Lease Deed after due warning(iii)the COMPANY has received complaints from the neighbors due to any noise or

    nuisance by the TENANT(s) and the COMPANY has already provided two warnings to the TENANT(s)

    (iv)the number of residents in the Scheduled Premises exceeds the number of residents as stipulated at the time of executing this Lease Deed as visitors without notice to the COMPANY

    43.Notwithstanding anything contained herein, if for any reason, during the Term, there occurs an event, which includes, but is not limited to, earthquake, floods, tempest, lightning, terrorist attacks, violence of any army or mob or enemies of the country or by any other irresistible force or any other natural calamity or any act of God or by the orders of any statutory authorities, which renders the Scheduled Premises unfit for the purpose for which the same was leased, or the Scheduled Premises becomes inaccessible due to any of the reasons mentioned herein, the TENANT(s) shall have the right to terminate this lease with immediate effect without payment of any Rent in lieu of the Notice Period. Upon termination of the lease, the COMPANY shall refund the Security Deposit to the TENANT(s) subject to any deductions for payment of Rent, maintenance and other duties as may be applicable in the circumstances.

    INDEMNITY

    44. The TENANT(s) agrees that the COMPANY shall not be liable for any damage, injury, death, destruction, or loss of any nature resulting to the TENANT(s) or his/her personal property during the Term of this Lease Deed.

    45. If the TENANT(s) does not comply with, or breaches any of the terms or covenants of this Lease Deed which results in any losses, damage, claims of any nature and proceedings, including court proceedings, the TENANT(s) shall indemnify the COMPANY from and against the same. In particular, the TENANT(s) agrees to indemnify the COMPANY for any damage, structural or otherwise, to the Scheduled Premises, appliances, furniture, fittings or fixtures caused by the TENANT(s) or his/her visitors or representatives.

    46. It is clarified that if any damage is caused to the SCHEDULE PREMISES from a natural calamity or accident, not attributable to the TENANT(s), then the TENANT(s) shall not be liable for such loss or damage. However, if the TENANT(s) fails to forthwith inform the COMPANY of such damage, the TENANT(s) shall be responsible for payment of 50% of the repair expenses arising from such calamity or accident.

    MISCELLANEOUS

    47. The Lease, signature pages, these terms and conditions and Annexure 1 shall form part of this Lease Deed, and any reference to this Lease Deed shall mean and include a reference to the Lease Deed as well as such Schedules and Annexures.

    48. The invalidity of any part of this Lease Deed shall not affect the remaining part of the Lease Deed, and the Lease Deed shall be construed as if such invalid portion had not been part of the Lease Deed.

    49. This Lease Deed shall be subject to the laws of India, and the courts at Bangalore shall alone have jurisdiction over any disputes or matters arising from this lease deed.

    50. The Parties may make amendments to this Lease Deed where such amendments are in writing and signed and acknowledged by both Parties, and such amendments shall be deemed to be part of the Lease Deed, subject to all other terms and conditions contained herein.

    51. This Lease Deed shall be executed in two counter parts and each counter of which when executed and delivered shall constitute an original of this Lease Deed, but both of which shall together constitute the same Lease Deed.
