BUYER REPRESENTATIVE CONFIDENTIALITY AGREEMENT THIS CONFIDENTIALITY AGREEMENT (the “Agreement”) is made and entered into as of the _________(Day) of __________________(Month),

__________(Year) by Turning Point Real Estate (hereinafter referred to as “Broker”), and _______________________________________ and/or Assigns" (hereinafter referred to as “Reviewer”) for the property described as ________________________________________________. Broker is a licensed in the State(s) which the Reviewer has expressed interest and has knowledge of various properties in which Reviewer has interest in acquiring in part or in total (“Acquisitions Property”). The Reviewer has requested certain information from Broker about various Acquisition Properties in order to evaluate the desire to acquire some or all of same. As a condition to furnishing the Reviewer with such information, Broker requires that the Reviewer agree to treat such information in strictest confidence as set forth in detail below. In consideration of the foregoing, the mutual promises hereinafter set forth and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto, intending to be legally bound, agree as follows: 1. All information furnished by or on behalf of any Acquisition Property by Broker to the Reviewer, or its partners, officers, employees, consultants, agents, attorneys, accountants, financial advisors or other representatives (collectively, “Representatives”), other than information that is a matter of public record, shall be deemed to be Confidential Information. The term Confidential Information also shall be deemed to include all analyses, compilations, studies or other documents prepared by the Reviewer or its Representatives based in whole or in part or any information furnished by or on behalf of Broker or any of its agents. The Reviewer agrees that Confidential Information shall not be used (i) in any way detrimental to Broker, or (ii) for any purpose other than evaluating the Acquisition Property. The Reviewer agrees to keep all Confidential Information strictly confidential. Confidential Information may be disclosed only to those Representatives who, in the Reviewer’s considered judgment, need to know such information for the purpose of evaluating the Acquisition Property for acquisition. The Reviewer shall direct all of its Representatives to keep all such information in the strictest confidence and to use the Confidential Information only for the purpose of evaluating the Acquisition Property for acquisition. Any disclosure by a Representative shall be deemed made by and be the responsibility of the Reviewer. 2. In connection with the evaluation of the Confidential Information, the Reviewer shall not initiate, accept or make any contact with any Owner of any Acquisition Property, property management agent, vendor or tenant, or any employee of any of the foregoing, any government body or regulatory authority, or any other party who may have any connection with the Acquisition Property, without first obtaining the prior written consent of Broker. 3. Upon the request of Broker, the Reviewer shall promptly deliver to Broker all Confidential Information furnished to Reviewer, without retaining copies thereof. The Reviewer shall destroy any compilations, studies, notes or other documents or records that contain or reflect Confidential

Information relating to the Acquisition Property if such are not delivered to Broker. The obligations of confidentiality and secrecy contained in this Agreement shall continue to apply to the Reviewer and be binding and enforceable upon the Reviewer following the return to Broker of the Confidential Information. 4. The Reviewer acknowledges that Broker makes no representation or warranty, express or implied, as to the accuracy or completeness of the Confidential Information. 5. Broker shall be entitled to equitable relief, including injunction, in the event of any breach of the provisions of this Agreement, in addition to all other remedies available at law or in equity. If litigation should be necessary to enforce this Agreement, Broker shall be entitled to recover from the Reviewer all costs of such litigation, including reasonable attorneys’ fees and expenses, in addition to any other relief to which it may be entitled. 6. The Reviewer shall indemnify and hold harmless Broker against any and all claims, damages, losses, liability or expenses, including reasonable attorneys’ fees that may result from a breach of this Agreement by the Reviewer or its Representatives. 7. This Agreement shall be governed by, and construed in accordance with, the laws of the State of Maryland. 8. This Agreement may be executed in counterparts. IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the date first set forth above by their duly authorized representatives.
