Section 2. Limited Warranty and Remedies2.1 Limited Warranty. Subject toSection2.6,Synologywarrants toCustomer thateachProduct(a)willbefreeofmaterialdefects inworkmanshipand(b)undernormalusewillperformsubstantiallyin accordance w i th Syno logy 's pub l i shedspecifications for theProductduring theWarrantyPeriod.SynologywarrantstheSoftwareassetforthin theaccompanyingenduser licenseagreementprovidedwiththeProduct,ifany.SynologyprovidesnowarrantytoRefurbishedProductsoldas“as is”orwith“nowarranty”onOnlineStore.
2.2 Exclusive Remedy. If Customer givesnoticeofnoncompliancewithanyofthewarrantiesset forth in Section 2.1within the applicableWarrantyPeriod in themanner set forthbelow,then,uponverificationof thenoncompliancebySynology,Synologywill, atSynology's option:(a)usecommercially reasonableefforts to repairtheProduct, or (b) replace the noncomplyingProductorpartthereofuponreturnofthecompleteProduct in accordancewith Section 2.3 Theforegoingsets forthSynology'sentire liabilityandCustomer's sole andexclusive remedy for anybreachofwarrantyunderSection2.1oranyotherdefect or deficiency in theProduct. Customerwill reasonablyassistSynology todiagnoseandvalidateanynonconformitywith theProduct. Thewarrantyset forth inSection2.1doesnot include:(1) anywarranty relating to theSoftware; (2)physical installation or removal of theProductfromCustomer'ssite; (3)visits toCustomer'ssite;(4) labornecessary toeffect repairsor replacedefectivepartsother thanduringSynology'sorits contracted service providers' normal localbusinesshours,exclusiveofweekendsandserviceproviders’holidays;(5)anyworkwithanythirdpartyequipmentorsoftware;(6)anywarrantyoftheharddiskifinstalledbyCustomeroranyotherthirdparty;or (7)anywarrantyofcompatibilitywith theharddisk.
2.3 Return.AnyProductreturnedbyCustomerunderSection 2.2must be assigned aReturnMerchandiseAuthorization ("RMA") number bySynologybeforeshipmentandmustbe returnedinaccordancewithSynology's thencurrentRMAprocedures.CustomermaycontactanyauthorizedSynologydistributororresellerorSynologySupportto obtainassistance in obtaininganRMA,andmustprovideproofofpurchaseandproductserial
numberwhenasking for suchassistance. Forwarrantyclaims,CustomermustreturnthecompleteProducttoSynologyinaccordancewiththisSection2.3tobeeligibleforcoverageunderthisWarranty.AnyProduct returnedwithoutanRMAnumber,oranyProduct thathasbeendisassembled (exceptunderthedirectionofSynology)willberefusedandreturnedtoCustomeratCustomer'sexpense.AnyProduct thathasbeenassignedaRMAnumbermustbereturned in thesameconditionas itwasreceivedfromSynologyto theaddressdesignatedbySynology,freightpre-paid,inpackagingsufficienttoprotect thecontents thereofandwith theRMAnumberprominentlydisplayedontheoutsideofthebox.Customerisresponsibleforinsuranceandriskof losswithrespecttoreturneditemsuntil theyareproperly receivedbySynology. AProduct issuedaRMAnumbermustbereturnedwithinfifteen(15)daysafterissuanceoftheapplicableRMAnumber.
2.4 Replacement by Synology. IfSynologyelects toreplaceanyProductunder thisWarrantyset forth inSection2.1, thenSynologywillshipareplacementProductatSynology'sexpenseviatheshippingmethodselectedbySynologyafterreceipt of thenonconformingProduct returnedinaccordancewithSection2.3andvalidationbySynologythat theProductdoesnotconformtothewarranty. Insomecountries,Synologymayat itsowndiscretionapply theSynologyReplacementServicetocertainProducts,throughwhichSynologywillshipareplacementProducttoCustomerbeforeitsreceiptofthenonconformingProductreturnedbyCustomer(“SynologyReplacementService”).
2.5 Support. During theWarranty Period,Synologywillmake available toCustomer thesupportservices.Following theexpirationof theapplicableWarrantyPeriod,support forProductsmay be available fromSynology uponwrittenrequest.
2.6 Exclusions. Theforegoingwarrantiesandwarrantyobligationsdonotapply toanyProductthat(a)hasbeeninstalledorusedinamannernotspecifiedordescribedintheProductspecifications;(b)hasbeenrepaired,modifiedoralteredbyanyoneother thanSynologyor itsagentordesignee; (c)hasbeeninanywaymisused,abused,ordamaged;(d) has been usedwith items not provided bySynologyother than thehardwareorsoftware forwhich theProduct isdesigned;or (e)otherwisefails toconformto theProductspecificationsandsuch failure isattributable tocausesnotwithinorunderSynology'scontrol. Further, the foregoingwarrantieswillbevoidif(1)CustomerdisassemblestheProductexceptasauthorizedbySynology;(2)Customer fails to implementanycorrection,modification,enhancement, improvementorotherupdatemadeavailable toCustomerbySynology;or (3)Customer implements, installsorusesanycorrection,modification,enhancement,improvementorotherupdatemadeavailablebyanythirdparty.Thewarrantyset forth inSection2.1will terminateuponCustomer'ssaleortransferoftheProducttoathirdparty.

Section 3. Limitations of Liability3.1 Force Majeure. OTHERGOODSOR SERVICES PROVIDEDUNDERTHISWARRANTY ISLIMITEDTOTHEAMOUNTACTUALLY PAID BY CUSTOMERFORTHEPRODUCTREGARDLESSOFTHEAMOUNTOFDAMAGESCUSTOMERMAYINCURANDWHETHERBASEDONCONTRACT,TORT(INCLUDINGNEGLIGENCE),STRICTLIABILITYOROTHERTHEORY.Theforegoingdisclaimerofcertaindamagesandlimitationof liabilitywillapplytothemaximumextentpermittedbyapplicablelaw.The lawsofsomestates/jurisdictionsdonotallowexclusionor limitationofcertaindamages. Totheextent that those lawsapply to theProduct, theexclusionsand limitationsset forthabovemaynotapplytoCustomer.
Section 4. Miscellaneous4.1 Proprietary Rights. The Product andanyaccompanyingSoftwareanddocumentationprovidedwith theProduct includeproprietaryandintellectualpropertyrightsofSynologyanditsthirdpartysuppliersandlicensors.Synologyretainsandreservesallright,title,andinterestintheintellectualproperty rightsof theProduct,andno title toorownershipofany intellectualproperty rights inorto theProduct, anyaccompanyingSoftwareordocumentationandanyothergoodsprovidedunderthisWarranty istransferredtoCustomerunderthisWarranty. Customerwill (a)complywiththetermsandconditionsof theSynologyenduser licenseagreementaccompanyinganySoftware furnishedbySynologyoranauthorizedSynologydistributororreseller;and(b)notattempttoreverseengineeranyProductorcomponentthereoforaccompanyingSoftwareorotherwisemisappropriate,circumventorviolateanyofSynology'sintellectualpropertyrights.
4.2 Assignment. CustomerwillnotassignanyofitsrightsunderthisWarrantydirectly,byoperationoflaworotherwise,withoutthepriorwrittenconsentofSynology.
4.3 No Additional Terms.Exceptasexpresslypermittedby thisWarranty,neitherpartywill beboundby,andeachpartyspecificallyobjects to,anyterm,conditionorotherprovisionthatconflictswith theprovisionsof thisWarranty that ismadeby theotherparty inanypurchaseorder, receipt,acceptance, confirmation, correspondence orotherwise,unlesseachpartyspecificallyagreestosuchprovision inwriting. Further, if thisWarrantyconflictswithany termsorconditionsofanyotheragreemententered intobythepartieswithrespecttotheProduct,thisWarrantywillprevailunlesstheotheragreementspecificallyreferencesthesectionsofthisWarrantythatitsupersedes.
4.4 Appl icable Law. Un less express lyprohibitedby local law, thisWarranty isgovernedby the lawsof theStateofWashington,U.S.A.withoutregardtoanyconflictoflawprinciplestothecontrary. The1980U.N.ConventiononContractsfortheInternationalSaleofGoodsoranysuccessortheretodoesnotapply.
4.5 D ispute Resolu t ion . Any d i spu te ,controversyorclaimarisingoutofor relating tothisWarranty, theProductor servicesprovidedbySynologywith respect to theProductor the
relationshipbetweenCustomers residingwithintheUnitedStatesandSynologywillbe resolvedexclusively and finally by arbitrationunder thecurrentcommercialrulesoftheAmericanArbitrationAssociation,exceptasotherwiseprovidedbelow.Thearbitrationwillbeconductedbeforeasinglearbitrator,andwillbe limitedsolely to thedisputebetweenCustomerandSynology. Thearbitration,oranyportionof it,willnotbeconsolidatedwithanyotherarbitrationandwillnotbeconductedonaclass-wideorclassactionbasis.Thearbitrationshallbeheld inKingCounty,Washington,U.S.A.bysubmissionofdocuments,by telephone,onlineor inpersonasdeterminedbythearbitratorat therequestof theparties.Theprevailingparty inanyarbitrationorlegalactionoccurringwithintheUnitedStatesor otherwise shall receiveall costs andreasonableattorneys’fees,includinganyarbitrationfee paid by the prevailing party.Any decisionrendered insucharbitrationproceedingswillbefinal andbindingon theparties, and judgmentmaybeenteredthereon inanycourtofcompetentjurisdiction.Customer understands that, in theabsenceofthisprovision,Customerwouldhavehadaright to litigateanysuchdispute,controversyorclaiminacourt,includingtherighttolitigateclaimsonaclass-wideorclass-actionbasis,andCustomerexpresslyandknowinglywaives those rightsandagrees to resolveanydisputes throughbindingarbitration inaccordancewiththeprovisionsofthisSection4.5.ForCustomersnotresidingwithintheUnitedStates,anydispute,controversyorclaimdescribedinthissectionshallbefinallyresolvedbyarbitrationconductedby threeneutralarbitratorsinaccordancewith theproceduresof theR.O.C.ArbitrationLawandrelatedenforcementrules.ThearbitrationshalltakeplaceinTaipei,Taiwan,R.O.C.,andthearbitrationproceedingsshallbeconductedinEnglishor, ifbothpartiessoagree, inMandarinChinese.Thearbitrationawardshallbe finalandbindingonthepartiesandmaybeenforcedinanycourthaving jurisdiction. Nothing in thisSectionshallbedeemed toprohibitor restrictSynologyfromseekinginjunctiverelieforseekingsuchotherrightsandremediesasitmayhaveatlaworequityforanyactualorthreatenedbreachofanyprovisionof thisWarranty relating toSynology's intellectualpropertyrights.
4.6 Attorneys' Fees. In any arb i t ra t ion,mediation,orother legalactionorproceeding toenforcerightsorremediesunderthisWarranty,theprevailingpartywillbeentitledtorecover,inadditiontoanyotherrelieftowhichitmaybeentitled,costsandreasonableattorneys'fees.
4.7 Export Restrictions. Youacknowledgethat theProductmaybesubject toU.S.exportrestrictions.YouwillcomplywithallapplicablelawsandregulationsthatapplytotheProduct, includingwithout limitation theU.S.ExportAdministrationRegulations.
4.8 Severability. I f any provision of thisWarrantyisheldbyacourtofcompetentjurisdictiontobeinvalid,illegal,orunenforceable,theremainderofthisWarrantywillremaininfullforceandeffect.
4.9 En t i re Agreement . Th i s War ran t yconstitutes theentireagreement,andsupersedesanyandallprioragreements,betweenSynologyandCustomerrelatedtothesubjectmatterhereof.Noamendment,modificationorwaiverofanyoftheprovisionsof thisWarrantywillbevalidunlesssetforth inawritten instrumentsignedbytheparty tobeboundthereby.
