PREFACE

This manual contains quotes extracted from the Ruritan National Bylaws (RNB), Ruritan Club Bylaws (RCB), policies adopted by the Delegates to a National Convention and recorded in the Annual Convention Minutes (ACM), policies adopted by the National Board of Directors (NBOD) and recorded in the NBOD Minutes (BDM) and references to other official publications; National Convention Guidelines Handbook (NGCH), Handbook for National Officers Directors and Committees (HNODC), Guidelines for Candidates for the Ruritan National Board of Directors (GCRNBOD), Ruritan Awards Booklet (AB) and the Ruritan Club and District Officer Handbook (RC&DOH).

Paragraphs related to the Bylaws are referenced to the specific Article and Section from which they were extracted. Policies are referenced to a statement showing the date and document which records the adoption of the policy.

Requirements set forth in the Bylaws are directive in nature and must be followed. Policies adopted by the NBOD will be adhered to where and when possible, but depending on circumstances, can be suspended with the approval of the NBOD. Policies adopted by delegates to a national convention will be adhered to and may only be changed by delegates to another national convention.

A revision log is placed at the end of this document as an index of changes made to this document since the previous version.

ACCOUNTS - RESERVE

The national treasurer or his/her designee will submit a summary of all reserve accounts at each NBOD meeting.

Rationale: To establish policy. (See BDM Aug 2009, motion no. 6)

ADVERTISING - PAID

Ruritan National will not participate in paid advertising in club or district activities. (See BDM Aug 1974)

ALCOHOLIC BEVERAGES

The NBOD hereby directs its officers and employees to:

• Discourage the use of any alcoholic beverage at all District and National Conventions.

• Have no alcoholic beverages served at any Ruritan National function, including meetings of the NBOD and committees. (See BDM Jan 1963 and BDM Aug 1973)

AREAS - AWARDS ELIGIBILITY

All Ruritan clubs in areas will be eligible to participate in the following club awards programs: Blue Ribbon Award, Ruritan of the Year, Outstanding Club President Award, Club Membership Increase Award, Sponsoring Club Award, National Communication Award, and the Community Service Merit System.

Rationale: To develop area awards that parallel district awards. (See BDM Apr 1997, motion no. 5)

AREA - CONVERTED TO DISTRICT

Recommend an area shall become a district when it meets the following qualifications:

• The area shall have a minimum of 20 clubs chartered through September 30. • Charter list for all clubs shall have been received by the National Office before the area’s

convention, which shall be held after November 10. • Prior to the area convention all the clubs in the Area shall have paid all of their financial

obligations to Ruritan National. • The club delegates attending the area convention shall elect a district governor and other

Officers as described in Article IV, Section C of the National Bylaws. • The area shall become a district effective January 1 following. • The district governor and his cabinet shall assume their responsibilities as of January 1.

The only expenses paid by Ruritan National to the National Convention for the first year shall be that of the district governor, ½ from area supervision, ½ from funds as provided for all district governors. (See BDM Mar 1970)

AREA - FINANCES

Area zone governors are reimbursed by Ruritan National for expenses incurred for:

• Club visits • Zone meetings • Area meetings

o Growth and Development Visits to prospective communities Organizational meetings Charter nights

• Training Schools: • Reimbursed for attendance at National Conventions the same as district governors. • Costs involved for refreshments and so forth when acting as host for persons or groups who

may be interested in Ruritan (Prior approval of Ruritan National) • Area Newsletter • To pay motel/hotel rate for lodging regardless of single or double rate (A receipt for this

should be attached with expense voucher) • Actual costs of meals up to $15.00 per day (not per diem) • Car mileage at 30 cents per mile, tolls for roads, bridges, and parking, bus, train, or plane fare

(A receipt must be attached) • Limousine and taxi fares including tips • Ruritan phone calls and postage • Appropriate tips

Expense Voucher

Expense vouchers should be submitted promptly.

Form to be provided by Ruritan National Office.

Expense vouchers submitted with line items which are dated more than 90 days prior to the submission date, are considered to have been submitted “late” and those line items will not be paid. The Executive Director may approve the late line items, at his discretion, if the total amount of late line items on the voucher is less than $250.00. The Executive Director must seek approval from the Executive Committee, to approve any “late” line items exceeding a total of $250.00. The Executive Committee may approve the late line items, at its discretion, if the total amount of late line items on the voucher is less than $750.00 and the approval would occur within the same fiscal year in which the expenses were incurred. The Executive Committee must seek Board Approval for any “late” line items totaling more than $750.00 or for those which would be approved in a different fiscal year from the one in which they were incurred.

RATIONALE: To allow the Executive Director and Executive Committee to use their discretion in approving late line items on expense vouchers. The original policy was enacted after an officer submitted and expense voucher for an entire year of travel in the following fiscal year, adversely affecting the budget in that fiscal year. AREA - GROWTH RECOGNITION PROGRAM

AREA - ZONE GOVERNOR

• Publish An area zone governors’ handbook to contain the following information:

• “Purpose - This manual has been prepared to help area zone governors understand the requirements of his/her job.” It is expected that he/she will examine this material which consists of proven and established procedures, with the idea of improving the operation of his/her zone.

• The President of Ruritan National will assign a representative to each area to counsel and assist the area zone governor in directing continued growth and development within the zone.

• It is recognized that areas vary in size and composition. Each area is an integral part of Ruritan National. See BDM Aug 1979)

AREA - ZONE GOVERNOR AWARD - OUTSTANDING

• Area zone governors will be eligible for the Outstanding Zone Governor Award; however, the area must have a minimum of three (3) clubs for the area zone governor to be eligible.

• Rationale: To motivate greater leadership and to reward accomplishments. This action would also encourage membership and club growth. (See BDM Apr 1997, motion no. 6)

AREA ZONE GOVERNOR DUTIES

• The most important Ruritan official in an area is the area zone governor. His/her duties and responsibilities are varied. His/her concerns and leadership must not only be directed toward expansion in areas where Ruritan is unknown, but he/she must also provide the leadership and service to clubs in his/her area.

• The area zone governor is appointed by the National President-Elect prior to November 1 to serve a one-year term, beginning January 1. (See BDM Aug 1979)

• Responsibilities of area zone governors include: o Representing Ruritan National in the area. o Act as liaison official between clubs in the area and Ruritan National. o Act as host to individuals or groups who may become interested in promoting or supporting

the growth and development of Ruritan in the area. o Make official club visits. (Recommend first visit be January, February, or March) o Attend Board of Director meetings of each club. o Encourage clubs to increase membership. o Instruct new club officers. o Recommend use of new member kits. o Plan and conduct at least two (2) zone meetings to:

1. Instruct new club officers. 2. Review club and zone activities. 3. Provide assistance to club officers and members during the year. 4. Prepare a zone directory including club meeting dates, names, addresses, and

telephone numbers of all club officers and the area zone governor and distribute to all clubs by January 1.

5. Promote Ruritan by means of news articles to be released to local newspapers and radio stations on a regular schedule.

6. Install club officers. 7. Coordinate and supervise the growth and development program in the zone. 8. Assist Ruritan National in collecting delinquent club dues and monthly reports.

AREA ZONE GOVERNORS EXPENSES NATIONAL CONVENTION

ATTENDANCE CLUB

ATTENDANCE - MILITARY MEMBERS

Exempt US Military personnel from attendance if out of the area on military duty.

Rationale: To prevent penalizing a club for having members who are in active duty in the United States Military. Clubs will not be penalized for the Blue Ribbon Award. (See BDM Aug 2004, motion no. 6)

ATTENDANCE - PERFECT

Ruritan National recommends that each club establish its own policy regarding perfect attendance tabs. (See BDM Mar 1966)

A member of Ruritan does not need to have “continuous attendance” year after year, to receive a perfect attendance tab, but would be credited with 100% attendance for each year. (See BDM Aug 1960; also see caption - PINS)

AUDIT

Each district and area shall have a financial audit each year. Financial guidelines will be furnished by Ruritan National yearly.

Rationale: To avoid financial risk to Ruritan National and its districts and areas. (See BDM August 2013, motion no. 1)

AUTOMOBILE TAG - RURITAN

Authorize Ruritan National to give an auto tag or auto tag size car magnet to each newly elected member of the NBOD and the immediate Past National President. (See BDM Jan 09, motion no. 4)

Rationale: To continue to have the guidelines for all Ruritan awards and recognitions published together in one booklet so as to be accessible and beneficial to districts, clubs, and members. This is a valuable Ruritan tool that provides information to enhance participation in the various awards and recognition programs. (See BDM Aug 1997, motion no. 5)

BOY SCOUTS

Ruritan accept the invitation of the Boy Scouts of America to have a representative from Ruritan (Executive Director) serve on the community relationship committee. (See BDM Jan 1982)

NBOD endorse the program of Boy Scouts of America as a recommended youth program for Ruritan clubs. (See BDM Mar 1975)

BUDGET

To cap the total regular expense of the operating financial plan and the Line Items of #76, #78. (See BDM Aug 1995)

Any budget submitted in the future for adoption have comparative figures of proposed budget amount spent to date, and actual amount spent during the last two years for each account. (See BDM Aug 1978)

BUDGET - CAPPING OF

Remove caps on Line Item 100 (President’s travel) and Line Item 101 (President-Elect’s travel). The EXCOM will closely monitor all travel expenses.

Rationale: Caps on travel line items need to be consistent. We don’t cap other travel lines. We can manage travel costs, better by closely monitoring all travel without capping a budgeted line item where we don’t know exact dollar level caps to apply. (See BDM Aug 2003, motion no. 17)

BUSINESS CARDS

Business cards be printed for each member of the NBOD. (See BDM Mar 1966)

BYLAWS - CLUBS - CHANGES

Any request by clubs for revision of their bylaws be submitted to Ruritan National in writing and be signed by the club president or secretary. (See BDM Mar 1985)

BYLAWS - CLUBS NEW

Recommend a change in the Club Officers handbook (Sponsoring Club), District Officers’ handbook (Duties of district governor) and area zone Governors’ Handbook (Duties of Area Zone Governor), to name an administrative advisor (without voting privileges) to serve on the Board of Directors of a new club for the first 12 months following charter night. This person would be appointed by the sponsoring club, district governor or area zone governor as appropriate. (See BDM Aug 1980)

Recommended amendments to the Ruritan National Bylaws shall require a two-thirds vote of NBOD members present and voting. Upon approval by the NBOD, amendment(s) will be referred to the delegates at the next National Convention for final approval/disapproval.

CAMPAIGNING - NATIONAL CONVENTION

Campaigning by future candidates for Ruritan National offices (i.e., handing out literature/brochures) will not occur until after election results are announced on Saturday of the current National Convention. This policy will become one of the Standing Rules of the Ruritan National Convention.

Rationale: Clarification and more specificity in the Standing Rules of the National Convention governing campaigning by candidates for National Offices. (See NCGH; also see BDM Aug. 2001, motion no. 8)

Ruritan National directs its officers to discourage campaigning for a National Office at NBOD, Summer Governors’ Conferences and other training meetings. (See NCGH; also see BDM Aug 1990)

CANDIDATES - NATIONAL OFFICE MAGAZINE

A candidate for National Office, and National Foundation may have his/her biographical information printed in the fall issue of the RURITAN magazine if the envelope containing the information is postmarked by July 1. Effective January 1997. (See BDM Aug 1996, motion no. 13)

CANDIDATES - NATIONAL OFFICE - TRAINING.

Offer a one day orientation to all candidates aspiring for a national office, to be held at the summer District Leaders Conference and to offer a condensed version at the National Convention, annually.

Rationale: To introduce candidates to the office responsibilities, the current issues facing Ruritan, and the fiscal responsibilities of the NBOD. (See NCGH and GCRNBOD; also see BDM, Mar 2003, motion no. 16)

CERTIFICATES

Present the outgoing Past National President with certificate of recognition for committed and dedicated service as Past National President.

Rationale: To recognize the Past National Presidents for committed and dedicated service. (See BDM Aug. 2001, motion no. 4)

A certificate of appreciation will be made available for clubs or districts to purchase for presentation to a person of high community involvement. These certificates are to be signed by the current National President.

Rationale: For greater exposure of Ruritan in communities and districts. (See BDM Apr 1996)

The policy in RNRIM regarding NBOD action March 1978 shall be complied with including the signing of the club community service certificates. Recommend that both the district governor and the National President sign community service certificates.

Rationale: Since club community service awards are national awards, they should also carry the signature of the National President. Currently they are being signed only by the district governor. See BDM Aug 1999, motion no. 19)

Ruritan National provide anniversary certificates to assigned directors for 25, 50, and 75 year old clubs. (See BDM Mar 1993)

To develop for sale a Ruritan gift certificate to be handled through Ruritan Supply. (See BDM Mar 1993)

The National secretary and national treasurer will to be presented certificates at the end of their service. (See BDM Sep 1985)

A Certificate of Appreciation will be presented to retiring non-NBOD members who have served on the publication, and budget and finance committees. The 8” x 10” certificate is to be signed by the National President and presented at the National Convention. (See BDM Mar 1981)

The President of Ruritan National will sign certificates of appreciation to district governors, national directors, and club community service certificates and that the Executive Director, on behalf of the NBOD be authorized to sign certificates of appreciation to other administrative officers. The Corporate Seal will be used only on legal documents. (See BDM Mar 1978)

CHARTER NIGHT AGENDA

CHARTERS

Authorize the EXCOM to void charters which had been issued but never accepted. To be done annually in December. (See BDM Aug 1987)

The president and secretary were delegated the authority to issue charters, same to be reported at the next meeting of the NBOD. (See BDM Feb 1937)

The secretary will be instructed to have each charter numbered and names of clubs now organized be engrossed on charters. (See BDM Mar 1932)

CHILD ABUSE AND PROTECTION POLICY

To adopt a Child Abuse and Protection policy.

Rationale: As we try to get more youth in Ruritan, we need a guide when working with them. (See BDM May 2005, motion no. 3)

CLUBS - CHANGING NAME

The Executive Director be given authority to allow clubs to change their names. (See BDM Mar 1983)

CLUBS - DISBANDED

Executive Director be given authority retroactive to January 1, 1982, to determine disbanded club status of a club and be responsible for reporting to the NBOD at the January pre-convention meeting, the names of clubs to be dropped. (See BDM Mar 1982)

CLUBS - DISBANDING/DISSOLUTION CHECKLIST

A Ruritan club disbanding/dissolution checklist was approved.

Rationale: To have a system in place to utilize with regards to the disbanding/dissolution of clubs. (See BDM August 2013, motion no. 9A)

CLUBS - PROVISIONAL

To authorize provisional chartering of a new adult Ruritan Club with a minimum of 10 but less than 16 members. A provisional new club will forward to Ruritan National the Ruritan Club charter application form containing the provisional membership list, the names of the temporary officers, along with the $50 charter fee. The provisional charter application will remain open for 90 days. If, after 90 days, the required number of 16 members has not been met, the provisional charter will be revoked, and the $50 charter fee will be returned.

Rationale: It is a great tool and aide in establishing new clubs. (See BDM Jan 2014, motion no. 4)

CLUBS - MEETING PROCEDURES

CLUBS - NEW KIT

A desk flag set be included in each new club kit. (See BDM Mar 1969)

CLUBS - NEW OFFICIAL RECOGNITION OF

A new club is officially recognized and added to the list of clubs upon receipt of the Charter Application and $50 charter fee. Once the Charter application and $50 charter fee is sent to National, the club can start recruiting members. The members’ names will be added to the charter at the charter night meeting. Each newly chartered club shall close its charter list within 90 days of the charter meeting and the secretary of the new club shall immediately forward to Ruritan National the completed charter list.

Rationale: This will establish written policy for Ruritan National. (See BDM Aug 2007, motion no. 13)

CLUBS - OWNERSHIP OF PROPERTY

Any individual Ruritan Club may purchase or own any property they deem necessary to achieve the objectives of Ruritan. Ruritan National will not assume the responsibility for dispersing of the property in the event the club disbands. (See BDM Mar 1980)

CLUBS - REBATES

To adopt motion 10/08/13 as a continuing policy. The motion read as follows: “Continue the $4 rebate per member for Regular Ruritan clubs that have a 20% or greater net increase in membership. (Effective start dates January 2011 through January 2012 at that time to be reviewed for continuation). The rebate qualifying period goes from January 1st to December 31st. The membership increase must be maintained until the end of the first quarter of the following year.”

Rationale: To give clubs an incentive and reason to increase membership and maintain this growth by recruiting members during the whole year. (See BDM Jan 2014, motion no.5)

Any Ruritan club wishing to be transferred to another District will submit an application to their district governor, who will meet with the other district governor concerned, and the two district governors will make their recommendations to the NBOD for proper disposition of the club concerned. (See BDM Aug 1958)

COLORS - RURITAN

• Official road signs shall be red, white and dark blue. • Ruritan pins shall be gold and dark blue. • Flags and banners that represent Ruritan shall conform to a shade of gold. Letters on

flags and banners shall be dark blue. • Emblems or other symbols not previously mentioned but identify Ruritan shall conform

to colors of dark blue, white and gold or a combination of any two (2) of the three (3) colors. (See BDM Apr 1998, motion no. 23)

CONFIDENTIALITY POLICY

It is the policy of Ruritan National that any unauthorized disclosure or distribution by any means including electronic transmission or copying of Ruritan National’s confidential information, or that of its employees, volunteers, donors or donees, is prohibited. Employees are expected to keep confidential all information which they receive in the course of their employment except to the extent necessary in carrying out their official duties.

Any information that an employee, volunteer or board member learns as a result of providing services to Ruritan National that is not otherwise publicly available, whether about Ruritan National, its donors or donees, co-workers or colleagues, constitutes confidential information.

Ruritan National values the protection of confidential information. During the course of service for Ruritan National an employee or volunteer may learn confidential information, such as financial, personal, or medical matters affecting the lives of other employees or volunteers, or those served by Ruritan National, or those affecting the business operations of Ruritan National.

No employee or volunteer shall disclose or use any information that is available solely as a result of the volunteer’s or employee’s affiliation with Ruritan National to any person not authorized to receive such information without the expressed authorization of Ruritan National or to use to the disadvantage of Ruritan National any such confidential information.

Employees, volunteers and board members should never disclose confidential information to anyone who is not employed by Ruritan National and should only disclose confidential information to those employed by or providing services to Ruritan National if there is a business need for

another to know such information to assist in fulfilling the Ruritan National’s mission or to render emergency assistance.

Any employee who discloses confidential information learned from his/her work for Ruritan National will be subject to disciplinary action including possible termination. Unauthorized disclosure by volunteers and board members will subject the volunteer/board member to comparable sanctions. Employees who improperly use or disclose trade secrets or other confidential information will be subject to disciplinary action, up to and including termination of employment and legal action, even if they do not actually benefit from the disclosed information.

Rationale: This policy was developed to reduce risk to Ruritan National. (See BDM Apr 2010, motion no. 04)

CONFLICT OF INTEREST POLICY

Ruritan Members should be aware that conflicts of interest can arise through various relationships including, but not limited to, family relationships, economic relationships and personal or intimate relationships. Conflict of Interest is created when:

• A director, officer, trustee, or employee, is a party to a contract, or involved in a transaction with Ruritan National for goods or services

• A director, officer, trustee, or employee, has a material financial interest in a transaction between Ruritan National and an entity in which the director, officer, trustee, employee, or a family member has an interest or relationship.

• A director, officer, trustee, employee, (or a family member of the foregoing) is engaged in some capacity or has a material financial interest in a business or enterprise that competes with Ruritan National

A conflict of interest arises when a director, officer, trustee, or staff member has a personal interest that conflicts with the interests of Ruritan National or arises in situations where a director, officer, trustee, or staff member has divided loyalties (also known as a “duality of interest”).

A conflict arising out of a personal interest can occur in situations that result in inappropriate financial gain to persons in authority at Ruritan National and can lead to financial penalties and violations of IRS regulations. Situations or transactions arising out of a conflict of interest also can result in either inappropriate financial gain or the appearance of a lack of integrity in Ruritan National decision-making process.

Other situations may create the appearance of a conflict, or present a duality of interests, with a person who has influence over the activities or finances of Ruritan National.

Typically persons who are affected by a conflict of interest policy are Ruritan National's directors, officers, trustees, and senior staff. In some cases a major donor could also be in a conflict situation. Ruritan National takes a broad view of conflicts and directors, officers, trustees, and staff, are urged to think of how a situation/transaction would appear to outside parties when identifying conflicts or possible conflicts of interest.

A person who must consider whether he/she has a conflict includes any person serving as a director, officer, trustee, employee, or a major donor to Ruritan National or anyone else who is in a position of control over Ruritan National or who has a personal interest that is in conflict with the interests of Ruritan National.

Staff should disclose to their supervisor/Executive Director and board members should disclose to the President of the Board as soon as they become aware that a conflict, potential conflict or appearance of a conflict exists.

Board and staff are urged to disclose conflicts as they arise as well as to disclose those situations that are evolving that may result in a conflict of interest. Advance disclosure must occur so that a determination may be made as to the appropriate plan of action to manage the conflict.

Employees should avoid situations in which they may be called upon to negotiate or do business with an organization in which the employee (or close relative of the employee or other person with whom the employee has a close personal relationship) has substantial ownership or other interest.

Because of the potential for a conflict of interest, all employees considering or having employment, performing services or consulting work outside Ruritan National must have prior written approval from the Chief Professional Officer and may not accept fees for service when representing Ruritan National.

In the event it is not entirely clear that a Conflict of Interest exists, the individual with the potential conflict shall disclose the circumstances to his or her supervisor or the President who shall determine, in cooperation with the Executive Committee, whether there exists a Conflict of Interest that is subject to this policy.

All such circumstances should be disclosed to the board or staff, as appropriate, and a decision made as to what course of action the organization and/or individuals should take so that the best interests of Ruritan National are not compromised by the personal interests of stakeholders in the nonprofit.

After identifying the issue, matter or transaction with respect to which a conflict exists, a director/officer with a conflict shall withdraw from any further involvement in that issue, matter or transaction unless a majority of the disinterested directors/officers shall determine that the conflict is (i) immaterial or not adverse to the interests of Ruritan National or (ii) the benefits of allowing the person with the conflict to participate in the discussion or consideration, but not the final decision, outweigh the dangers; in which case the person may participate in the discussion, study or consideration of the issue, matter or transaction, but not the final discussion or decision.

The minutes of the Board of Directors of Ruritan National at which the disclosure of any conflict of interest is made shall reflect that the disclosure was made and whether the member with the conflict withdrew, after making full disclosure of the matter in question and the conflict, and was not present for the final discussion of the matter and any vote thereon. Rationale: This policy was developed to reduce risk to Ruritan National. (See BDM April 2010, motion no. 3)

Ruritan National is authorized to enter into an agreement with card partner providing that Ruritan members may apply for credit cards through card partner; that such agreement be for a period of not less than three years and that Ruritan National shall receive $50 for each credit card issued to a Ruritan member and an amount equal to 30 basis points for all charges on active accounts.

EMPLOYMENT - HANDICAPPED POLICY

The following policy from the President’s Committee on Employment of the Handicapped is hereby adopted and incorporated in the Ruritan Program:

National Policy for a Barrier-Free Environment

In the United States today it is estimated that one out of ten persons has limited mobility due to a temporary or a permanent physical handicap. Improved medical techniques and an expanding population of older persons is increasing this number every year, yet the physical environment of our nation’s communities continues to be designed to accommodate the able-bodied, thereby increasing the isolation and dependence of disabled persons. To break this pattern requires an act of national commitment.

Therefore, it shall be national policy to recognize the inherent right of all citizens to the full development of their economic, social and physical disability, through the free use of the man-made environment.

The adoption and implementation of this policy requires the mobilization of the resources of the private and public sectors to integrate handicapped people into their communities. (See BDM Aug 1974)

Ruritan National believes strongly that its members must uphold the highest standards of ethical, professional behavior.

We recognize that the chief function of Ruritan National at all times is to serve the best interests of our stakeholders, constituents, members and clubs.

All paid personnel, volunteer personnel, board members, officers, trustees and volunteers are expected to serve with respect, concern, courtesy, and responsiveness in carrying out the organization’s mission.

The paid and volunteer staff of the organization respect the structure, authority and responsibilities of the board of directors. We are committed to providing the board with facts and advice as a basis for policy decisions, and we are further committed to upholding and implementing policies adopted by the board.

EXPENSE - VOUCHERS

Expense vouchers should be submitted promptly. Expense vouchers submitted with line items which are dated more than 90 days prior to the submission date, are considered to have been submitted “late” and those line items will not be paid. The Executive Director may approve the late line items, at his discretion, if the total amount of late line items on the voucher is less than $250.00. The Executive Director must seek approval from the Executive Committee, to approve any “late” line items exceeding a total of $250.00. The Executive Committee may approve the late line items, at its discretion, if the total amount of late line items on the voucher is less than $750.00 and the approval would occur within the same fiscal year in which the expenses were incurred. The Executive Committee must seek Board Approval for any “late” line items totaling more than $750.00 or for those which would be approved in a different fiscal year from the one in which they were incurred.

Rationale: To allow the Executive Director and Executive Committee to use their discretion in approving late line items on expense vouchers. The original policy was enacted after an officer submitted and expense voucher for an entire year of travel in the following fiscal year, adversely affecting the budget in that fiscal year. EXPENSES - AREA ZONE GOVERNORS NATIONAL CONVENTION AND SUMMER LEADERSHIP CONFERENCE

Ruritan National will reimburse area zone governors for the National Convention in the same manner as district governors. Ruritan National will reimburse area zone governors for the Summer Leadership Conference in the same manner as district governors.

EXPENSES - EXCOM

Executive Committee members other than the President and President-Elect can be assigned to specific functions and activities by the National President, which could be outside of their assigned Districts, and the expenses would be allocated to account 123 (Director’s Travel). One half of the authorized expenses of outgoing and incoming district governors who attend the Ruritan National Convention are reimbursable providing:

• The incoming district governor attends the District Governors' Training meeting at the National Convention.

• If the incoming district governor served as Lt. Governor prior to being elected governor, he/she must have attended the lt. governors' training conference, unless otherwise excused by the National President.

• The outgoing district governor has submitted financial reports (R-35) to the Ruritan National Office by November 10.

• The incoming district governor has submitted budget report (R-36) to Ruritan National by February 10.

FOUNDATION - NATIONAL - PURPOSE - ESTABLISHMENT OF

FUNDS - OWED TO RURITAN NATIONAL BY CLUBS

In March, June, September, and December, Ruritan National will send a statement to clubs which owe money to Ruritan Nation. Upon receipt of the quarterly statement of funds owed by clubs in a specific district, the district Governor will take appropriate action concerning the clubs in question. The district governor will forward a written report to Ruritan National within 45 days of receipt of the quarterly statement explaining what action was taken to collect delinquent accounts from each identified club. GROWTH DEVELOPMENT AND MEMBERSHIP RETENTION (GDMR)

Expansion terminology be changed to GDMR which shall apply throughout Ruritan National. That the GDMR committee be responsible for club growth (new members in existing clubs) as well as new clubs. (See BDM Jan 2012 Motion no. 7)

GDMR COMMITTEE - AREAS - SUPERVISION AND STRENGTHENING OF SMALL RURITAN AREAS

• Organization of clubs in new areas and establishment of zones: • It shall continue to be the policy of Ruritan National, working through the GDMR

committee, that when a club is organized in a new area, plans shall include organization of at least two (2) more clubs nearby within a short period of time.

• The representative of Ruritan National serving the area and organizing the clubs shall recommend an area zone governor as soon as three (3) or four (4) clubs have been formed, and shall instruct him in his duties as well as follow up on his work in the months following.

• Such zones not in existing districts shall be designated as “area zones”. Area zone governors serving such independent zones shall be designated as “area zone governor.”

• New areas not in districts and areas designated as independent areas by the NBOD: • As soon as three (3) such zones have been established, or 10 or more clubs have been

organized, in an area not in a district, the representative of Ruritan National working in the area shall hold a meeting of the zone leaders to set up an “area cabinet”, which shall function

similarly to the cabinet in a district. He shall recommend one (1) of the area zone governors to serve as area governor of the cabinet. This should be considered a training program for a future district.

• It shall be the primary responsibility of the representative of Ruritan National assigned to the area by the GDMR committee to organize new clubs; but, when working in the areas and as time permits, he shall also do other work necessary to build up the area to become a strong Ruritan district in the near future.

• The GDMR committee of Ruritan National, through the Executive Director shall assume the responsibility of serving these areas until they become reasonable compact districts of 20 or more clubs. All expenses of said supervision shall be paid out of GDMR funds.

• The $0.50 per member shall remain in the general fund until such time as an area cabinet is formed and functioning. The area zone governor’s expenses in the meantime shall be submitted to the National Office for payment. Districts with less than 20 clubs and other districts designated by the NBOD: • The same organizational assistance as for independent areas may be given to districts

with less than 20 clubs. • Districts with 20 or more active clubs, but which are too widely scattered, may also be

made the responsibility of Ruritan National to build up into one or more reasonably compact districts, upon action of the NBOD.

• Limitation of funds and personnel: o The above responsibilities of Ruritan National shall be assumed only within the

limits of allocated funds and available personnel. (See BDM Jul 1964 and BDM APR 1997, motion no. 14)

GDMR COMMITTEE - DUTIES OF

GDMR COMMITTEE - DISTRICT/AREA GROWTH & DEVELOPMENT TRACKING REPORT

A district/area GDMR tracking report was developed, which includes “Club Building Activity” and a “Site Master Prospect File.”

Rationale: To adopt a tracking report that provides an on-going summary of activity related to District/Area GDMR, as well as National responsibilities for districts/areas as assigned by the National President. (See BDM May 2006, motion no. 2)

GDMR COMMITTEE - DISTRICT GROWTH RECOGNITION PROGRAM

A District Growth Recognition Program was approved based on percentage of growth in three (3) categories---small districts (500 members or less), medium districts (501 to 1,000 members), and large districts (1,001 members and up). The winning district in each category will be recognized by the National President at the National Convention with a 3’ H x 5’ L District Banner (to be developed by the GD&R committee with National Office input) that can be displayed at the district/other functions, and two (2) 12” H x 24” L vehicle magnetic signs (also, to be developed by the GD&R committee with input from the National Office) that can be displayed by the district governor as he/she travels the district. The banner will be accepted by the outgoing district governor, and the vehicle magnetic signs will be accepted by the incoming district governor

(simultaneously). In the event, one/both district governors are not present at the convention any representative of the district can accept the banner/signs.

Rationale: To promote growth and retention of members by providing “friendly competition” between Districts for the largest percentage of growth in their category. (See BDM May 2006, motion no. 3)

GDMR COMMITTEE - New Club Development Awards

GDMR COMMITTEE - PAID CLUB BUILDERS PROGRAM

A “Paid Club Builders Program” was approved as follows:

• Establish a club builder program using experienced Ruritan volunteers. • Travel and incentives will only be available for organizing adult Ruritan clubs.

Qualification of volunteers will be determined by the current National President and the Executive Director.

• President and Executive Director will determine if the area targeted for growth is suitable. • There may be multiple organizers in multiple areas cultivating new clubs at one time. • This program is not available to current national or district officers, directors, trustees or

staff. • Travel extending beyond one work week requires new approvals by the President and

Executive Director. • The club builder will provide progress and demographic reports to the President and

Executive Director as directed. TRAVEL AND OTHER EXPENSES • Actual cost up to $30 per day for meals if receipts are provided. • 30 cents a mile for travel using personal vehicle. • Actual cost of hotel or motel using Choice Hotels partnership if receipt is provided. • Tolls for roads, bridges, and parking if receipts are provided. • Club building related phone calls if copy of current phone bill with calls highlighted is

provided. • Postage if mailing list and copy of mail piece is provided (mailing should be pre-approved

by the Current National President and the Executive Director. • Stipend of $15 per while traveling for miscellaneous expenses. INCENTIVES • $100 upon receipt of charter application with at least 16 names. • $150 upon receipt of first quarter dues paid. • $500 at the club’s one (1) year anniversary date if all dues paid and club remains above 16

members. • $250 at the club’s two (2) year anniversary date if all dues paid and clubs remains above

HANDBOOKS - RURITAN CLUB AND DISTRICT OFFICERS

The present Club Officers, Zone Officers, and District Officers Handbooks will be combined in one booklet to be called the Ruritan Club and District Officers’ Handbook.

Rationale: There is much duplication of information in the three booklets. One booklet will provide a total picture of the Ruritan National Organization, the duties and responsibilities of club and district officers and resource information needed. Additionally, printing one booklet will be a reduction in printing cost. (See BDM Aug 2007, motion no. 16)

HANDBOOKS - RURITAN MEMBER

Ruritan National to approve the development of a new publication “Ruritan Member Handbook”. Effective: January 1, 2000.

Rationale: To provide an informative publication to new and prospective members and to promote Ruritan membership. (See BDM Aug 1999, motion no. 4)

HARASSMENT POLICY

It is Ruritan’s internal policy to maintain an environment for all employees that is free of discrimination and harassment. Any form of harassment of Ruritan employees, whether such harassment is lawful or unlawful is prohibited. It is never justifiable to harass an employee because of the employee’s race, color, sex, sexual orientation, weight, religion, national origin, age, disability, or any other attribute. Harassment is counterproductive and does not serve the principles on which Ruritan operates: We respect the dignity and worth of each employee. We believe that each employee should be free to develop fully his or her potential, neither hindered by artificial barriers nor aided by factors that are not related to merit.

One example of unlawful conduct is sexual harassment. Generally, sexual harassment occurs when: (1) submission to the sexual advances of a supervisor or senior volunteer leader is a term or condition of hire, continued employment, pay, or promotion; and (2) non-submission affects the worker’s or applicant’s hire, continued employment, pay, or opportunity for promotion. Sexual harassment also occurs where supervisors, co-workers, or Ruritan volunteers make unwelcome advances, abusive physical contacts, or repeated comments or gestures of a sexual nature which create a hostile or intimidating working environment, or which interfere with the employee’s work performance.

Sexual harassment is outrageous conduct of the kind that most people would never consider. Our policy is, therefore, not intended to discourage invitations to social activities including meals, appropriate compliments on personal appearance, or other innocent activities that contribute to healthy working relationships, good morale, efficiency, teamwork, and unity.

On the other hand, certain conduct and comments of a sexual nature that may not amount to unlawful sexual harassment are inappropriate in the workplace. All employees and volunteers are expected to use good judgment and to avoid even the appearance of sexual impropriety in all of their dealings with Ruritan employees. Supervisors department heads, and senior volunteers especially must exhibit the highest degree of personal integrity at all times, refraining from any behavior that might be harmful to Ruritan employees or to Ruritan as a whole.

Ruritan will not tolerate any form of employee harassment. Employees must not tolerate it either. If an employee believes that he or she is being harassed, he or she should immediately report the matter as prescribed in the Ruritan National Employee Policy Manual. If the employee should feel uncomfortable reporting the problem to the Executive Director, or if the objectionable conduct continues after having been reported it to the Executive Director, the employee should report it to the National President at once. Ruritan’s commitment to its employees is to investigate each complaint of harassment and to take appropriate action in light of the investigation.

Ruritan prohibits retaliation against an employee who complains of harassment. This operating instruction applies to all employees of Ruritan National and to all officers, directors, trustees, district cabinet members and other volunteer leaders of Ruritan National and its Foundation, districts, zones, and clubs.

Rationale: To educate Ruritan leaders regarding their responsibilities concerning treatment of employees. Helps protect Ruritan National by showing due diligence. (See BDM Apr 1997, motion no. 25)

The following outline be approved for a History of Ruritan and that the publication committee be given the authority to proceed with the publication of this history. The history to be sold as a Ruritan supply item at a price to cover cost and handling. Outline as follows:

Ruritan National will include all district financial activity as part of its 990 Report to IRS. NATIONAL BOARD OF DIRECTORS (NBOD) - BUSINESS TO COME BEFORE BOARD

The NBOD should be informed of agenda items at least 10 days prior to each NBOD meeting. However, the NBOD may discuss items that are not on the agenda, but no action may be taken on such items—with the exception of items referred to the NBOD by the EXCOM. In accordance with the Bylaws, the EXCOM may need to refer items to the NBOD for consideration even though the items have not been referred to the NBOD 10 days prior to the NBOD meeting.

NBOD - COMMITTEE APPOINTMENTS NAMING OF CHAIR

That after annual election results of new directors are known, the incoming National President in consultation with the incoming National President-Elect will assign the new directors to NBOD committees, giving consideration to directors’ stated preference, as well as, giving consideration to their background and experience.

The senior board member of each committee will assume the position as chair unless the senior member chooses not to serve as chair. The president will then consult with the members of that particular committee and thereafter the president shall name a committee chair.

Quarterly written reports will be forwarded to the National President explaining what action was taken with reference to clubs below charter strength, clubs not reporting, or clubs with delinquent debt.

• A NBOD member will emphasize growth and development in the assigned District/area and encourage organizing new clubs.

• A NBOD member may be assigned to represent the National President at a district or area meeting or function.

It shall be the policy of Ruritan National that good public relations with all other organizations be maintained. However, because of limited funds, expenses of National officers to be paid by Ruritan National for attending functions of other organizations, should be limited to those groups with which Ruritan National now has, or expects to soon have close working relationships and from which Ruritan tends to benefit directly, or indirectly. Decision as to which such function the President or other National Officers shall attend must be left to the discretion of the president or other officers, except in cases where the NBOD, or EXCOM may make the determination as to participation. The Law Enforcement officers would give these bears to children who were involved in traumatic situations. The National Office is strongly encouraged to set price of Rudy Ruritan bear as reasonably as possible. They are also reminded of the importance of purchasing a high quality bear which would not be a hazard to the recipients. (See BDM Apr 1988)

RURITAN FOREVER

That a Ruritan Forever plaque and a Ruritan Forever pin be presented to all living future Ruritan Forever Award recipients. A Ruritan Forever plaque with pin attached will be presented to an appropriate family member to memorialize deceased Ruritan Forever recipients.

Rationale: Currently plaques are given in memory of deceased Ruritan Forever members and certificates in honor of living Ruritan Forever members. It is felt a plaque is more appropriate for

If invoice is not paid then there is still six (6) months before the end of the school year in which money can be collected and there will be two (2) NBOD meetings to deal with the situation. RURI-TEEN CLUBS - MEMBERSHIP DRIVE Create a Ruri-teen membership drive during the month of September each year.

TRAINING - DEADLINE FOR CLUB OFFICERS Deadline for club officers’ training is March 1, certify training by cabinet officer and make certificates available to district governor if he/she desires to recognize clubs with 100% attendance of officers at training school. (See BDM Aug 1985)

TRAINING - DISTRICT OFFICERS The Leadership Development committee (LDC) will create and maintain up to date training modules for district and club officer training including and outline of minimum standard information/training. The district lt. governor shall be responsible for the logistics, obtaining a location for training, ordering refreshments, notifying all cabinet members of the upcoming training. The District Leadership Development Coordinator (DLDC) shall be responsible for coordinating the planning, promoting, conducting and evaluating all leadership development activities for his/her district. The DLDC in cooperation with the district governor may appoint a district leadership team (DLT) consisting of qualified persons.

The DLT should include but is not limited to persons certified under previous Ruritan National trainer certification process.

WHISTLEBLOWER PROTECTION POLICY Ruritan National's Code of Ethics and Conduct (“Code”) requires directors, officers, and employees to observe high standards of business and personal ethics in the conduct of their duties and responsibilities. Employees and representatives of Ruritan National are required to practice honesty and integrity in the discharge of their duty, and to comply with all applicable laws and regulations.

It is the responsibility of all directors, officers and employees to comply with the Code and to report violations or suspected violations in accordance with this Whistleblower Policy.

No director, officer, or employee who in good faith reports a violation of the Code shall suffer harassment, retaliation, or adverse employment consequence. An employee who retaliates against someone who has reported a violation in good faith is subject to discipline up to and including termination of employment. This Whistleblower Policy is intended to encourage and enable employees and others to raise serious concerns within Ruritan National prior to seeking resolution outside Ruritan National.

It is the intent of Ruritan National to adhere to all laws and regulations that apply to the organization and the underlying purpose of this policy is to support the organization’s goal of legal compliance. The support of all employees is necessary to achieving compliance with various laws and regulations. An employee is protected from retaliation only if the employee brings the alleged unlawful activity, policy, or practice to the attention of Ruritan National and provides Ruritan National with a reasonable opportunity to investigate and correct the alleged unlawful activity. The protection described below is only available to employees that comply with this requirement.

Ruritan National will not retaliate against an employee who in good faith, has made a protest or raised a complaint against some practice of Ruritan National or of another individual or entity with whom Ruritan National has a business relationship, on the basis of a reasonable belief that the practice is in violation of law, or a clear mandate of public policy.

Ruritan National will not retaliate against employees who disclose or threaten to disclose any activity, policy, or practice of Ruritan National that the employee reasonably believes is in violation of a law, rule, or regulation mandated pursuant to law or is in violation of a clear mandate or public policy concerning the health, safety, welfare, or protection of the environment.

The Code addresses Ruritan National's open door policy and suggests that employees share their questions, concerns, suggestions or complaints with someone who can address them properly. In most cases, an employee’s immediate supervisor is in the best position to address an area of concern. If the employee is not comfortable speaking with their immediate supervisor or is not satisfied with the supervisor’s response, then the employee is encouraged to speak with anyone in management that they are comfortable in approaching. Supervisors and managers are required to report suspected violations of the Code of Conduct to the Executive Director of Ruritan National, who has specific and exclusive responsibility to investigate all reported violations. For suspected fraud, or when you are not satisfied or uncomfortable with following Ruritan National's open door policy, individuals should contact the Executive Director of Ruritan National directly.

Ruritan National's Executive Director is responsible for investigating and resolving all reported complaints and allegations concerning violations of the Code and, at his discretion, shall advise senior management and/or the Executive Committee. The Executive Director has direct access to the Executive Committee of the Board of Directors.

The Budget and Finance Committee of the Board of Directors shall address all reported concerns or complaints regarding corporate accounting practices, internal controls or auditing. The Executive Director or Executive Committee shall immediately notify the Budget and Finance Committee of any such complaint and work with the committee until the matter is resolved.

Anyone filing a complaint concerning a violation or suspected violation of the Code must be acting in good faith and have reasonable grounds for believing the information disclosed indicates a violation of the Code. Any allegations that prove not to be substantiated and which prove to have been made maliciously or knowingly to be false will be viewed as a serious disciplinary offense.

Violations or suspected violations may be submitted on a confidential basis by the complainant or may be submitted anonymously. Reports of violations or suspected violations will be kept confidential to the extent possible, consistent with the need to conduct an adequate investigation and appropriate corrective action will be taken if warranted by the investigation.

Rationale: This policy was developed to reduce risk to Ruritan National. (See BDM Apr 2010, motion no. 6)

Rational: To involve youth members and enhance the youth mission. Youth Committee will review and recommend candidates to the National President for appointment at the spring board meeting. Youth Advisory Committee will serve as advising youth members to the Youth Committee via electronic communication. Members of the Youth Advisory Committee may be requested to attend the Youth Camp. YOUTH LEADERSHIP CONFERENCE Make the YAC Leadership Conference an annual event.

Rationale: To give the YAC a head-start in planning this event. Even before the current year’s event is over planning needs to start regarding next year’s event. (See BDM Aug 2007, motion no. 19)

The Annual Youth Conference site selection is the choice of the Youth Activities Committee. If the YAC chooses to move the site, they will do the proper research along with the Executive Director making sure the move is in the best interest of the youth and Ruritan National before bringing the new site selection to the National Board of Directors. (See BDM Aug 2017, Motion no. 8)

YOUTH PROGRAM Invite youth age 19 and under to become members. If possible, a minimum of two youth should be brought in at the time the program is initiated. Youth dues will be set by the NBOD (currently $15.00 per year, of which $3.75 will be paid quarterly to Ruritan National). Initiation fee is the same as active members.

• Give formal installation and lapel pin to new members. • Indicate on the appropriate report that the club is participating in the Ruritan youth program

when the new member is reported. • Assign youth to an appropriate community service committee. • To foster a spirit of Fellowship, Goodwill and Community Service, treat the youth member

as an active member. • Encourage youth who leave the community/club to attend college, etc. to consider

transferring membership status to associate member, to another club or urge them to start a Ruri-teen college club.

Rationale: To include all youth who are interested in Ruritan membership, and to encourage Ruritan membership in families. (See BDM Aug 2008, motion no. 19, also see BDM Apr 2009)

YOUTH PROGRAM - MISSION STATEMENT To develop a program that, through proper coordination, will provide Ruritan clubs throughout America the opportunity to work with and help serve the needs of young people in their communities.

(1) MOTION: Move to provide a large “delegate only” seating area, without district markers, at the National Convention business meetings. Standing Rules of the Ruritan National Convention, Rule 2: Delegate Seating: will read: “The delegates attending the National Convention shall be seated in a location, designated by the Sergeant-at-Arms, in the business meetings. Only the president’s district will be assigned special seating.

(2) RATIONALE: District markers are damaged and a risk for people to trip and fall. Replacing them will be expensive. All voting is now done by secret ballot, we no longer poll the districts for votes as we once did. It will eliminate the difficulty of determining how large a seating area to leave and the confusion of where each district stops or starts.
