between THE DIAMOND STATE TELEPHONE COMPANY, a Cororaticreated under the lavs of the State of Delaware, having itsprincipal office in the City of Dover, County of Kent, Stateof Delaware, hereinafter called Telephone Company, party of thefirst part and TRASH REMOVERS, INCORPORATED, a Corporation createdunder the lavs of the State of Delaware, having its principaloffice at 508 West Fourth Street, Wilmington, Delaware, herein-after called Contractor, party of the second part.

WITNESSETH, in consideration of the mutual covenantshereinafter stated, the parties hereto agree as follows:

1. Contractor hereby agrees to furnish the necessarylabor, tools and equipment to perform trash, rubbish andwaste material removal at Telephone Company locations inthe Wilmington Area as specified and in accordance withthe specifications set forth in Exhibit "A" which isattached hereto and made a part hereof under and subjectto the following terms and conditions. -

2. If Telephone Company desires particular servicesnot provided for in Section 1 hereof, Contractor agreesto furnish under terms of this agreement, such as arewithin his ability to perform at rates and frequenciesto be specifically agreed upon by Telephone Cpmpany'sServices Supervisor - Buildings and Motor Vehicles orhis duly authorized representative and shall be setforth and authorized by Form 1*509» General AgreementOrder, a copy of which is attached.

3- The services of the Contractor shall be performed'In a workmanlike manner.

k. Contractor shall employ only competent and experi-enced workmen and shall carefully and diligently performthe service provided for herein. All labor employed byContractor in connection with performing the work subjectto this agreement shall be subject to the exclusive controland supervision of Contractor provided, however, TelephoneCompany shall have the right to have an Inspector examinethe results of said services at any time to determinethat said results are being satisfactorily achieved.The presence or absence of any Telephone Company'sInspector shall not affect the liability of Contractorin the performance and quality of the services.

5- Contractor agrees that ingress and egress to Tele-phone Company's premises by him or his employees shallbe limited to the reasonably necessary movements requiredby the terms of this agreement.

6. Contractor agrees that the work under this contractshall be confined general-ly-to normal business hours onweekdays, i.e., no work to be performed on Saturdays,Sundays and holidays unless otherwise previously author-ized by Telephone Company's Supervising Utility Foreman.

7. Contractor shall be responsible for the conduct ofall of his employees while working on Telephone Companypremises. Contractor and his employees shall complywith Telephone Company rules and regulations governingadmittance to Telephone Company property. The TelephoneCompany reserves the right to refuse admittance to anyemployee of Contractor who does not present proper iden-tification, or who may be objectionable to TelephoneCompany.

8. Contractor shall be liable for and shall save andhold harmless the Telephone Company against all suits orclaims based upon injuries, sickness or disease to personsincluding death resulting therefrom or damages to prop-erty including loss of use thereof directly or indirectlyarising out of or resulting from the performance or non-performance of work under this agreement, or in connec-tion therewith, whether or not such loss, injury or- damageis attributed to the fault, failure or negligence of theContractor, the Telephone Company or others and whetherdiscovered before or after completion of work, exceptwhere any such claim shall result from the sole negli-gence of Telephone Company, and for damage resultingfrom the use of infringement of patent rights. Suchliability shall include any liability of Telephone Com-pany under Workmen's Compensation Laws and Contractorshall reimburse Telephone Company for any and all pay-ments made by the latter to its employees under suchlaws on account of such loss or injury. Contractorshall carry insurance to protect Contractor and TelephoneCompany from and against any and all claims, demands,actions, judgments, cost, expenses and liability ofevery name and nature which may arise or result directlyor indirectly, from or by reason of such loss, injuryor damage. The amount of such insurance, the companyor companies in which it is to be carried, and the pol-icy or policies shall be approved by Telephone Companybefore any work is started.

9. Contractor shall defend any action brought againstTelephone Company, its successors or assigns, by reasonof any loss, injury or damage for which Contractor isresponsible under Paragraph 8 hereof and_Contractor willreimburse Telephone Company, its successors and assigns,for all costs, expenses or counsel fees incurred onaccount of any such action.

10. A copy of the Contractor's Workmen's Compensationand Occupational Disease Insurance, General LiabilityInsurance, and Contingent or Protective LiabilityInsurance, meeting Telephone Company requirements, mustbe on file with the Telephone Company, Claims Supervisor,Eastern Area, One Parkway, l*th Floor, Philadelphia,Pennsylvania 19102.

11* Contractor shall comply with all Federal, State andMunicipal laws, including those regarding Labor, Workmen'sCompensation and Social Security.

12. All damage by Contractor to Telephone Company'sproperty shall be repaired by Telephone Company andbills for expenses incurred shall be forwarded to Con-tractor or Telephone Company "may, at its option, deductthe expenses thereby incurred from any invoice or in-voices rendered by Contractor.

13. No lien or claim of any kind shall be filed byContractor, by a sub-contractor, employee, or; by anyother person, firm or corporation against any propertybelonging to Telephone Company for work done under thiscontract, or for materials furnished in connectiontherewith.

I**, Telephone Company agrees to pay Contractor forservices rendered hereunder as set forth in Exhibit "A"attached hereto and made a part hereof as aforesaid.

15. This agreement shall take effect on the day andyear first written above, and shall continue in forceuntil terminated by either party giving to the other atleast thirty {30) days! previous notice in writing ofan intention to so terminate; provided, however, thatTelephone Company reserves the right to terminate thisagreement at any time, upon written notice to Contractor,if, in the opinion of the Telephone Company, the workis unsatisfactory or does not meet the requirementsherein set forth.

16. Contractor shall not assign, transfer or subletthis agreement without the written consent of TelephoneCompany, nor shall Contractor assign any moneys due orto become due him hereunder without the previous writtenconsent of the Telephone Company.

EXHIBIT "A"

TRASH, RUBBISH AND WASTE MATERIAL REMOVAL

Trash, rubbish and waste material removal work shall be per-formed by Contractor at such times as shall be designated by the TelephoneCompany's Services Supervisor - Buildings and Motor Vehicles or his dulyauthorized representative.

When work is authorized to be performed by Contractor, thefollowing conditions shall apply:

1, All items of labor, material equipment and transportation,etc. shall be furnished by Contractor.

2, The Telephone Company reserves the right to discontinuepresent locations. New locations will be added at therate of 1.35 per yard per pick up. To be approved onForm 4509 (General Agreement Order) by the ServicesSupervisor - Buildings and Motor Vehicles.

3. Contractor shall submit a monthly itemized bill com- :puted on the rate of $1.35 per yard per pick up asstated in the frequency schedule. Such bills shallbe addressed and forwarded to Telephone Company asdirected by Telephone Company Representative.

4. Upon the full and faithful performance to the satis- :faction of Telephone Company of the services authorizedand furnished under this-'agreement, Contractor shallbill Telephone Company in accordance with the scheduleon Page 2 of Exhibit "A".

THIS AGREEMENT, made this / ** day ofA.D. 1977, between THE DIAMOND STATE TELEPHONE COMPANY, a icorporation created under the I&ws of the State-of Delaware, ihaving its principal office at 3900 Washington Street, City of.Wilmington, County of New Castle, State of Delaware, hereinafter ;called Telephone Company, party of the first part, and TRASH (REMOVERS, INCORPORATED, a Delaware Corporation, located at i230 South DuPont Highway, New Castle, Delaware, 19720, hereinafter Icalled Contractor, party of the second part.

WITNESSETH, in consideration of the mutual covenantshereinafter stated, the parties hereto agree as follows:

1. Contractor hereby agrees to furnish the necessary labor,tools and equipment to provide trash removal servicesin the Diamond State in accordance with the specifica-tions set forth in Exhibit "A" which is attached heretoand made a part hereof under and subject to the 1following terms and conditions. i

Telephone Company will, from time to time, during the ;period covered by this contract, order such of the jaforesaid trash removal services as it may require.Nothing herein or in any part of this contract shallbe construed as requiring Telephone Company to assignall- such work in the Diamond State to Contractor during :the period covered by this contract. '

2. If Telephone Company desires particular services notprovided for in Section 1 hereof, Contractor agrees tofurnish, from time to time under the terms of thisagreement, such as are within his ability to performat rates and frequencies which shall be specificallyauthorized by'Telephone Company's authorized repre-sentative and shall be .set forth on Form 4509, GeneralAgreement Order, a copy of_which is attached.

3. The services of the Contractor shall be performed in aworkmanlike manner.

4. Contractor shall employ only competent and experiencedworkmen and shall carefully and diligently perform theservice provided for herein. All labor employed byContractor in connection with performing the work :subject to this agreement shall be subject to the 1exclusive control and supervision of Contractor, provided,however, Telephone Company shall have the right to havean Inspector examine the results of said services atany time to determine that said results are being \satisfactorily achieved. The presence or absence ofany Telephone Company's Inspector shall not affect the ;liability of Contractor in the performance and qualityof the services.

f5. Contractor agrees that ingress and egress to Telephone Company's premises by him or

his employees shall be limited to the reasonably necessary movements required by theterms of the agreement.

6. Contractor agrees that the work under this contract shall be confined generally tonormal business hours except when requested otherwise or,when special arrangement foradmittance before or after scheduled hours is made with the Telephone Company Super-visor in charge.

7. Contractor shall be responsible for the conduct of all of his employees while working onTelephone Company premises. Contractor and his employees shall, comply with Tele-phone Company rules and regulations governing admittance to Telephone Companyproperty. The Telephone Company reserves the right to refuse admittance to any em-ployee or Contractor who does not present proper identification, or who may be ob-jectionable to Telephone Company.

8. Contractor shall be liable for, shall save and hold harmless, and shall indemnify and de-fend the Telephone Company and its employees, agents, representatives, successorsand assigns, against all suitS'Or claims, costs, expenses and counsel fees incurred onaccount of any such actions, based upon injuries, sickness or disease to persons, includ-ing death resulting therefrom, or damages to property, including loss of use thereof,arising out of and resulting directly from the performance or nonperformance of workunder this agreement, whether or not such loss, injury or damage is attributable to thefault failure, or negligence of the Contractor, his sub-contractors, agents or representa-tives, the Telephone Company or others, and whether discovered before or after comple-tion of work under this Agreement even if such suit or claim be groundless, false orfraudulent. Nothing herein is intended to confer any additional rights in third partiesagainst either the Contractor or the Telephone Company, Contractor shall carry insur-•ance to protect Contractor and Telephone Company from and against any and allclaims, demands, actions, judgements, costs, expenses and liability of every name andnature covered by the foregoing. The amount of such insurance, the company or com-panies in which it is to be carried, and the Certificates of Insurance evidencing propercoverage must be acceptable to Telephone Company, before any work is started.

9. A Certificate or Certificates must be on file with Headquarters Claims, 12th Floor, OneParkway, Philadelphia, Pennsylvania, 19102.

10. Contractor shall comply with all Federal, State and Municipal laws, including those re-garding Labor, Workmen's Compensation and Social Security.

11, All damage to Telephone Company's property while under the custody and control ofContractor shall be repaired by Telephone Company and bills for expenses incurredshall be forwarded to Contractor or Telephone Company may, at its option, deductthe expenses thereby incurred from any invoice or invoices rendered by Contractor.

12. No lien or claim of any kind shall be filed by Contractor, by a subcontractor, employee,or by any other person, firm or corporation against any property belonging to Tele-phone Company for services performed under this contract.

13. Telephone Company agrees to pay Contractor for services rendered hereunder as setforth in Exhibit "A" attached hereto and made a part hereof as aforesaid.

14. Upon written notice by either party hereto, the location or locations to be servicedhereunder, the services to be rendered and the consideration therefore shall be sub-ject to renegotiation. Any changes mutually agreed to by the parties as a result ofsuch renegotiation shall be evidenced by letter agreement which shall set forth thechanges to be made and provide for the continuation of all other terms and covenants ofthis Agreement and the Exhibits or Attachments thereto and which shall be signed bythe authorized representative, for the Telephone Company and by the Contractor.

15. This agreement shall take effect on the day and year first written above, and shall con-tinue in force until terminated by either party giving to the other at least thirty (30)days' previous notice in writing of an intention to so terminate; provided, however,that Telephone Company reserves the right to terminate this agreement at any time,upon written notice to Contractor, if, in the opinion of the Telephone Company, thework is unsatisfactory or does not meet the requirements herein set forth.

16. Contractor shall not assign, transfer or sublet this agreement without the written con-sent of Telephone Company, nor shall Contractor assign any monies due or to becomedue him hereunder without the previous written consent of the Telephone Company.

17. Subject to the provisions of Section 16, this agreement shall extend to and bind theheirs, executors, administrators, successors and assigns of the parties hereto.

18. The Contractor and any Sub-Contractors who perform work under this Agreement willalso fully comply with the provisions of the Federal Occupational Safety and HealthAct of 1970, as same may be subsequently amended, and with any rules and regula-tions issued pursuant to the Act.

19. Contractor represents to the^Telephone Company, as amaterial representation to be relied and acted upon byTelephone Company in respect to any State or Federal Lawthat may pertain, that Contractor has been, is now, and,throughout the period during which Contractor shallprovide the services covered by this agreement, will beengaged in any independently established business and isactually performing, and available to perform, suchservices for other businesses and/or industrial estab-lishments, that he is acting as an independentContractor in such respect and that Contractor and hispersonnel assigned hereunder are Contractor's employeesand are not employees of the Telephone Company, that,as such, Contractor shall have no right, power orauthority to create any obligation expressed or impliedon behalf to the Telephone Company nor authority torepresent the Telephone Company as an agent in anycapacity or respect whatsoever, and further, thatContractor assumes full responsibility for compliancewith any and all Federal, State or Municipal Laws,Ordinances and Regulations, whether or not hereinelsewhere more specifically referred to, including, butnot limited to, those having to do with employment oflabor, hours of labor, working conditions or payment ofwages, and unemployment compensation, together with allbenefits, taxes, or other duties collectible fromemployees under applicable provision of law.

EXHIBIT "A

TRASH, RUBBISH AND WASTE MATERIAL REMOVAL

Trash, rubbish and waste material removal work shall beperformed by Contractor at such times as shall be designated bythe Telephone Company's duly authorized representative.

When work is authorized to be performed by Contractor,the following conditions shall apply:

1. All items of labor, material, equipment and transportation,etc., shall be furnished by Contractor.

2. The Telephone Company reserves the right to discontinuepresent locations. New locations will be added at therate of $1.55 per yard per pick up. To be approved onForm 4509 (General Agreement Order) by the dulyauthorized representative.

3. Contractor shall submit a monthly itemized bill computedon the rate of $1.55 per yard per pick up as stated inthe frequency schedule. Such bills shall be addressedand forwarded to Telephone Company as directed byTelephone Company representative.

4, Upon the full and faithful performance to the satisfactionof Telephone Company of the services authorized andfurnished under this agreement, Contractor shall billTelephone Company in accordance with the schedule onPage 2 of Exhibit "A".

VICE PRESIDENT - RESIDENCE MARKETING AND CENTRALIZED STAPF:

The Telephone Company has an agreement dated December 1, 1977,with Trash Removers, Incorporated, which provides for trash and rubbishremoval services for the State of Delaware.

This Contractor has requested a 14.8% increase from $1.55 to$1.78 per yard for front end containers; $4.85 to $5.58 for self-pakcontainers and from $61 plus dump fees to $66 plus dump fees for opentop containers.

The annual anticipated expenditure will be $28,250, requiringsixth level approval in accordance with General Instruction No. 9. Thisreflects an annual increase of $3,500.

The last increase was granted in December, 1977. The C.P.I.has increased 22.3% since last increase in 1977. We recommend theapproval of this increase since this contractor has been providingsatisfactory service to The Diamond State Telephone Company since 1964.

The Telephone Company or the Contractor has the option tocancel this Agreement upon, thirty days1 written notice.

If you approve, will you please sign the attached letter, induplicate, and return it to the Contract Administrator, 7th Floor, OneParkway together with this letter for final processing.
