1.0 Purpose of the RFP

A. Background

The Waste to Profit (WTP) Network began in 2006 as a partnership between the City of Chicago, Chicago Manufacturing Center, State of Illinois and U.S. Environmental Protection Agency Region V. It addresses Chicago’s sustainability needs by working together with Chicago area companies, institutions, and City of Chicago departments to identify and implement by-product synergies that reduce waste and greenhouse gas (GHG) emissions and deliver economic impact. Synergy is defined as an instance wherein one company’s byproduct could be used in another company’s business operation. In September 2008, after a thorough analysis of GHG emissions sources in Chicago, the City unveiled the Chicago Climate Action Plan (CCAP) outlining the City’s goal to reduce GHG emissions in Chicago to 25% below 1990 levels by 2020. CCAP functions as a framework for the City’s environmental priorities and a call to action on those priorities. Reduced waste and industrial pollution are critical elements of CCAP. Since its inception, the WTP Network has been comprised of two tiers, the Community Network and the Innovation Network. Key elements of the delivery model include:

1. The WTP Community Network engages businesses in free, half day workshops about sustainability and economic growth. Representatives from over 150 companies have attended the Community Network workshops. Active member’s data is retained to help identify future opportunities and by-product synergy opportunities outside of meeting attendance. Network team members continue to look for opportunities after workshops are completed.

2. The WTP Innovation Network is a fee-based network serving companies with large and complex waste streams. Innovation Network Members receive in-depth practitioner support on technical assessments, data analysis, synergy creation and implementation and success story marketing.

A database was maintained of by-products, waste streams, and process inputs in order to facilitate identification of by-product synergies. Quarterly reporting of success stories, GHG emission reductions, cost savings and avoided landfill costs and quantities were submitted to the City of Chicago Department of Environment (DOE) on a quarterly basis. From mid to late 2010, the administration of the WTP Network was under transition. Because of this, DOE expects that the WTP Network will need to be re-launched to the community and memberships restored. DOE conducted a survey of WTP Network participants in January 2011. Attachment 1 is a summary of the survey results. DOE encourages responders to review these results in the preparation of their proposal. DOE continues to see the operation of the WTP Network as a critical step in achieving

the CCAP goals. As such, DOE is issuing this Request for Proposals for the continued operation and management of the WTPN for the first year of the grant.

B. Anticipated Term of Grant and Funding Source(s)

Please note that this is not a Request for Information, but an RFP after which a grant will be awarded to a winning Respondent to be the City’s partner in continuing the WTP Network. The term of the grant executed under this RFP will be for one-year from the time of execution with an extension of up to two additional years. Insurance requirements will be identified in the grant agreement based on the scope of work. Although funding for 2011 will be determined in part by the proposals received, DOE has previously provided approximately $100,000 in annual funding for the WTP Network administration.

C. Eligible Respondents

This is a competitive process open to all entities and partnerships. A single entity must be named as the lead Respondent. Respondents not eligible include those that have had a City contract terminated for default; are currently debarred and/or have been issued a final determination by a City, State or Federal agency for performance of a criminal act, abridgement of human rights or illegal/fraudulent practices.

2.0 RFP and Submission Information

Proposals will be accepted prior to the due date. Email receipts will be issued as proof of timely submittal. Proposals received after the due date and time shall be deemed NON-RESPONSIVE and, therefore, subject to rejection.

B. RFP Questions

The deadline for all questions is March 30, 2011. Responses to questions will be provided by April 6, 2011.

C. Pre-Submittal Conference

A Pre-Submittal conference call will be held on March 23, 2011 at 1:00 PM. Participation is not mandatory. D. Timeline

This is the anticipated timeline for the Waste to Profit Network Administration RFP process:

3.0 Scope of Services

A. Overview

DOE is requesting that qualified respondents submit proposals to re-launch and administer the WTP Network in Chicago. The primary objective of the WTP Network is to identify and facilitate waste exchanges that result in cost savings to the participating businesses. Other secondary objectives of the WTP Network may be incorporated as the WTP Network is developed and with mutual agreement of DOE and the WTP Administrator. Secondary objectives of the WTP Network may include, but are not limited to, the further development of a robust network and helping business with other sustainability topics. The WTP Network will continue to consist of member companies and focus on identifying by-product synergies, waste reduction, recycling and re-use opportunities that result in cost savings to participating businesses. At a minimum, the Administrator of the WTP Network will complete the following activities in order to achieve the objective of identifying and facilitating waste exchanges that result in cost savings to the participating businesses:

• Re-establish relationships with existing WTP Network members and further develop the membership of the WTP Network including membership growth.

• Host quarterly, at a minimum, networking meetings for the WTP Network to maintain and recruit new members. These meetings may include off-site learn by example opportunities or tours.

• Host semi-annual, at a minimum, targeted topic working group meetings for members, also known as Affinity group meetings. Affinity groups focus on certain components of the waste stream such as organics, construction and demolition, or other materials. WTP Network members participate in the Affinity groups based on their processes and waste streams.

• Issue a monthly email newsletter to members documenting network achievements, case studies and metrics.

• Maintain and moderate an online database to be used and populated by WTP Network members to aid in the identification of by-product synergy opportunities.

• Develop a list of “vetted” transporters and recyclers shown to have the necessary levels of permits, insurance certificates and experience that members can reference in their decision making.

• Serve as the liaison between WTP Network members and City Departments and other governmental agencies, coordinated through DOE.

• Identify and assist with grant opportunities that facilitate by-product synergies for WTP Network members as needed.

B. DOE’s Project Partners

DOE will continue to support and oversee the administration of the WTP Network. With this oversight, DOE will be able to bring City departments and other governmental agencies to assist with the development and operation of the Network, which may include regulatory expertise, technical resources and community outreach.

C. Project Principles

WTP Network Development

The Administrator will coordinate a re-launch of the WTP Network to the existing membership. DOE will provide a listing of current membership contacts. Please note that DOE has committed to the current Innovation Network members that their 2010 membership dues will apply to 2011. Moving forward in 2011 and based on the survey results, the Administrator may wish to evaluate a tiered membership approach, based on services received in the WTP Network:

1. Community members - businesses that participate in the WTP network at no cost. The Administrator shall maintain community network membership data to help identify future opportunities and by-product synergy opportunities.

2. Innovation members – businesses that participate in a fee-based system that receive more in-depth support and technical assistance from the Administrator.

3. Service Providers – “vetted” businesses shown to have the necessary levels of permits, insurance certificates and experience that provide a service to the Community and Innovation members. Services may include but are not limited to, transportation, recycling, resources, consulting, and audits.

Proposals shall identify a proposed structure for the membership of the WTP Network which does not need to mirror past practices. This proposed structure for the WTP Network shall meet the objectives of the members and be financially viable and scalable as the network expands. Currently, there are approximately 30 Community members and 15 Innovation members. The Administrator will prioritize growth of the WTP Network over 2011 to a target membership of at least 75 companies based primarily in Chicago (exclusive of Service Providers) by the end of year 1 of the grant. Proposals must identify a plan to retain and increase membership in the WTP Network while addressing long-term financial sustainability of the WTP Network.

Meetings

The Administrator will host quarterly all-member meetings as well as semi-annual Affinity-group meetings to retain and recruit new members. To the extent feasible, the Administrator shall host meetings at a regularly scheduled time and location. The Administrator will also work to incorporate tours of facilities to observe best management practices where practical and feasible. In addition to all-member and Affinity-group meetings, the Administrator will also support membership knowledge in green supply chain and environmental regulations in year 1 of the grant. During subsequent grant years, the Administrator may provide training to the WTP Network members on topics including, but not limited to, carbon footprint reduction, energy efficiency, water consumption, clean energy sources, joint or collaborative procurement, or other sustainability topics identified by the membership.

Document Program Success

The Administrator shall document program successes through the development, sharing and promoting of case studies as well as maintaining a spreadsheet/database of synergies. All results and data must be confirmed in writing with the participating businesses. At a minimum, the Administrator shall record the following metrics as outlined below and described in Section D – Data Reporting Requirements:

• List of synergies completed • Total tons of byproducts diverted • Total tons of carbon dioxide emissions

• Total amount of revenue generated or cost savings for members • Number of jobs retained or created • Number of members in the WTP Network

The Administrator will issue a monthly email newsletter to members documenting network achievements, upcoming meeting information and other pertinent information to members via email. The Administrator shall also establish a website to assist current members and attract new members.

Material Exchange On-Line Database

The Administrator shall manage and moderate an online, searchable database that the WTP Network members can access to post available and wanted materials. Based on the feedback received from members, this database is expected to be a member-only service used by current and future WTP Network members. The prior administrator of the WTP Network entered a service agreement with i-WasteNot Systems (www.iwastenotsystems.com) to customize and administer their turn-key waste exchange application for the WTP Network; however, a website was not developed. Though not required, the Administrator is encouraged to evaluate using this type of system for a low-cost option for managing the on-line, searchable database for WTP Network. Annual hosting fees for this service range from $2,500 to $3,500 and further development of the website would be required at an additional cost. Other exchanges that use this service include www.2good2toss.com, www.materialtrader.org, and www.biomasstrader.org.

Governmental Agency Coordination

The Administrator shall serve as a liaison between WTP Network members and City Departments and other governmental agencies. DOE will aid in coordinating these meetings which could involve material disposal or reuse regulations, zoning requirements, business requirements, etc. The list of agencies may include other City departments, the Illinois Environmental Protection Agency, the U.S. Environmental Protection Agency, and the Illinois Department of Commerce and Economic Opportunity.

Grant Opportunities

The Administrator will assist participating Innovation Network members in Identifying potential grant opportunities and may assist in preparing grant applications to facilitate a byproduct synergy opportunity or other opportunities to achieve the primary objective of the WTP Network.

D. Data and Reporting Requirements

The Administrator will be required to submit a quarterly report to DOE that will contain (but not be limited to) the following:

1. List of Synergies completed during the previous quarter and ongoing synergies, detailing members participating in the synergy, company locations, type and quantity of material, cost savings as a result of the synergy, and GHG emission savings. This report shall also include the means of diversion, such as recycling, downcycling, waste-to-energy, etc.

2. Total tons of byproducts diverted quarterly and cumulatively since the administration of the WTP Network. This report shall also include the means of diversion, such as recycling, downcycling, waste-to-energy, etc.

3. Total tons of carbon dioxide emissions reduced quarterly and cumulatively since the administration of the WTP Network. The GHG emission reduction calculations must mirror the methodology developed for the CCAP.

4. Total amount of revenue generated or cost savings for members as a result of the completed synergies quarterly and cumulatively since the administration of the WTP Network.

5. Number of jobs retained or created as a direct result of the Administrator’s performance in the WTP Network.

6. List of WTP Network members and contact information, delineating the number of new members since last quarter and the number of members retained.

7. Case studies of exceptional synergies. 8. Copies of network-wide newsletters, meeting minutes and agendas. 9. Material exchange website statistics including, but not limited to, traffic

and number of visits, new accounts, and exchanges facilitated through the website.

10. Copies of sign-in sheets from meetings and a tally of participation. 11. Priorities for the next quarter including meeting information. 12. Discussion of the biggest challenges to membership retention and synergy

completion and plans to address these challenges. 13. Financial reporting showing the Administrator’s performance against the

authorized budget. The Administrator will submit quarterly reports to DOE within 30 days of the end of the quarter. The Administrator will also submit an annual summary report or project close out report within 60 days of the end of the grant period. The annual or project close out report must include the following:

1. Contact information for all members of the WTP Network and level of involvement

2. Data from the material exchange website in a usable electronic format (such as Excel)

3. Compilation of quarterly reports 4. Survey of member satisfaction and utilization of the WTP Network

Annual or project close out documentation shall be submitted in an editable electronic format (i.e. Word, Excel, etc.), not Adobe Acrobat files.

E. Funding Eligibility Requirements

Grant funding can be utilized for any activities related to the Administration, including but not limited to operations, public relations, staff, etc., of the WTP Network for Chicago businesses. DOE assumes that additional funding outside of this grant will be necessary to operate the WTP Network.

F. Regulatory Considerations

The City and its public-sector partners are committed to the re-launch and continued operation of the WTP Network and will work with the winning Respondent in support of the WTP Network.

4.0 Evaluation and Selection Procedures

A. Evaluation Process

A committee selected by DOE will evaluate and rate all proposals based upon the criteria outlined below. The committee may also request interviews with Respondents. However, DOE reserves the right to award grants on the basis of initial proposals received without further discussions. Failure to submit a complete proposal and/or to respond fully to all requirements may cause the proposal to be deemed unresponsive and, therefore, subject to rejection.

B. Evaluation Criteria

The proposals will be evaluated on the Respondent’s ability to provide service as defined in this RFP, “Scope of Services” and on the submission and completion of all requested documentation as defined. DOE will be guided by the following considerations in evaluating proposals: Probability of Project Success:

• Proposal meets or is consistent with the Scope of Services described in Section 3.0 and conforms to the specified requirements set forth in this RFP;

• Likelihood of successfully completing the proposed project based on the adequacy and thoroughness of the approach;

• Proposed business model and budget to ensure the success and sustainability of the WTP Network;

• Plan for membership expansion and retention; • Adequacy and reasonableness of the methodology and approach for

administration of the WTP Network;

• The Respondent has appropriate staffing levels for project scope and size and demonstrated capacity, experience and skills to operate and manage the proposed program;

• Project’s schedule to administer the program and re-engage current membership;

• Respondent has no past, current or anticipated legal judgments resulting from any contract matters.

Company Strategy:

• Sound strategy and qualifications in the development, implementation and administration of a byproduct synergy/waste exchange market;

• Previous and ongoing experience in working on waste minimization and recycling projects with the business community;

• Description of how the administration of the WTP Network ties into the Respondent’s company strategy, organization and operations.

Project Cost and Cost-Share:

• Additional funding and investment brought to the proposed project by the Respondent and/or project partners (cost share);

• Proposed budget based on the proposed management structure and membership fees, including grant request from City, amount provided by the organization and amount supplied by external sources/partners;

• Long-term sustainability of the WTP Network. Economic and Environmental Benefits:

• Local technical experience; • Benefits the Respondent will bring to the City, including waste reduction

and GHG emission savings; • Degree to which the proposal furthers Chicago’s greenhouse gas

reduction goals and reduces the project’s and the City’s carbon footprint.

C. Selection

Selections will not be final until the City and Respondent have fully negotiated and executed a grant. The City assumes no liability for costs incurred in responding to this RFP or for costs incurred by the Respondent in anticipation of a fully executed grant.

5.0 Legal and Submittal Requirements

A. Compliance with Laws, Statutes, Ordinances and Executive Orders

Grant awards will not be final until the City and the Respondent have fully negotiated and executed a grant agreement. All payments under grant agreements are subject to annual appropriation and availability of funds. The City assumes no liability for costs incurred in responding to this RFP or for costs incurred by the Respondent in anticipation of a grant agreement. As a condition of a grant award, Respondents must comply with the following and with each provision of the grant agreement:

1. Conflict of Interest Clause: No member of the governing body of the City of Chicago or other unit of government and no other officer, employee, or agent of the City of Chicago or other government unit who exercises any functions or responsibilities in connection with the carrying out of the project shall have any personal interest, direct or indirect, in the grant agreement. The Respondent covenants that he/she presently has no interest, and shall not acquire any interest, direct, or indirect, in the project to which the grant agreement pertains which would conflict in any manner or degree with the performance of his/her work hereunder. The Respondent further covenants that in the performance of the grant agreement no person having any such interest shall be employed.

2. Governmental Ethics Ordinance, Chapter 2-156: All Respondents agree to comply with the Governmental Ethics Ordinance, Chapter 2-156 which includes the following provisions: a) a representation by the Respondent that he/she has not procured the grant agreement in violation of this order; and b) a provision that any grant agreement which the Respondent has negotiated, entered into, or performed in violation of any of the provisions of this Ordinance shall be void-able by the City.

3. Selected Respondents shall establish procedures and policies to promote a Drug-free Workplace. The selected Respondent shall notify employees of its policy for maintaining a drug-free workplace, and the penalties that may be imposed for drug abuse violations occurring in the workplace. The selected Respondent shall notify the City if any of its employees are convicted of a criminal offense in the workplace no later than ten days after such conviction.

4. Business Relationships with Elected Officials - Pursuant to Section 2-156-030(b) of the Municipal code of the City of Chicago, it is illegal for any elected official of the City, or any person acting at the direction of such official, to contact, either orally or in writing, any other City official or

employee with respect to any matter involving any person with whom the elected official has a business relationship, or to participate in any discussion in any City Council committee hearing or in any City Council meeting or to vote on any matter involving the person with whom an elected official has a business relationship. Violation of Section 2-156-030(b) by any elected official with respect to the grant agreement shall be grounds for termination of the grant agreement. The term business relationship is defined as set forth in Section 2-156-080 of the Municipal Code of Chicago. Section 2-156-080 defines a "business relationship" as any contractual or other private business dealing of an official, or his or her spouse or domestic partner, or of any entity in which an official or his or her spouse or domestic partner has a financial interest, with a person or entity which entitles an official to compensation or payment in the amount of $2,500 or more in a calendar year; provided, however, a financial interest shall not include: (i) any ownership through purchase at fair market value or inheritance of less than one percent of the share of a corporation, or any corporate subsidiary, parent or affiliate thereof, regardless of the value of or dividends on such shares, if such shares are registered on a securities exchange pursuant to the Securities Exchange Act of 1934, as amended; (ii) the authorized compensation paid to an official or employee for his office or employment; (iii) any economic benefit provided equally to all residents of the City; (iv) a time or demand deposit in a financial institution; or (v) an endowment or insurance policy or annuity contract purchased from an insurance company. A "contractual or other private business dealing" shall not include any employment relationship of an official’s spouse or domestic partner with an entity when such spouse or domestic partner has no discretion concerning or input relating to the relationship between that entity and the City.

5. Compliance with Federal, State of Illinois and City of Chicago regulations, ordinances, policies, procedures, rules, executive orders and requirements, including Disclosure of Ownership Interests Ordinance (Chapter 2-154 of the Municipal Code of Chicago); the State of Illinois - Certification Affidavit Statute (Illinois Criminal Code); State Tax Delinquencies (65ILCS 5/11-42.1-1); Governmental Ethics Ordinance (Chapter 2-156 of the Municipal Code of Chicago); Office of the Inspector General Ordinance (Chapter 2-56 of the Municipal Code of Chicago); Child Support Arrearage Ordinance (Section 2-92-380 of the Municipal Code of Chicago); and Landscape Ordinance (Chapters 32 and 194A of the Chicago Municipal Code).

6. If selected for grant award, Respondents are required to (a) execute and notarize the Economic Disclosure Statement and Affidavit, and (b)

indemnify the City as described in the grant agreement between the City and the successful Respondents.

7. Pursuant to Mayoral Executive Order No. 05-1, from the date of public advertisement of this request for proposals through the date of award of an agreement pursuant to this request for proposals, the organization responding to this request for proposals (the “Respondent”), any person or entity who directly or indirectly has an ownership or beneficial interest in Respondent of more than 7.5 percent (“Owners”), spouses and domestic partners of such Owners, Respondent’s proposed subcontractors, any person or entity who directly or indirectly has an ownership or beneficial interest in any subcontractor of more than 7.5 percent (“Sub-owners”) and spouses and domestic partners of such Sub-owners (Respondent and all the other preceding classes of persons and entities are together, the “Identified Parties”) must not: (a) make a contribution of any amount to the Mayor of the City of Chicago (the “Mayor”) or to his political fund-raising committee; (b) coerce, compel or intimidate its employees to make a contribution of any amount to the Mayor or to the Mayor’s political fund-raising committee; (c) reimburse its employees for a contribution of any amount made to the Mayor or to the Mayor’s political fund-raising committee; or (d) bundle or solicit others to bundle contributions to the Mayor or to his political fund-raising committee. If Respondent violates this provision or Mayoral Executive Order No. 05-1 prior to the award of an agreement resulting from this request for qualifications/proposals/ information, the Commissioner may reject Respondent’s proposal. For purposes of this provision: "Bundle" means to collect contributions from more than one source which are then delivered by one person to the Mayor or to his political fund-raising committee. "Contribution" means a "political contribution" as defined in Chapter 2-156 of the Municipal Code of Chicago, as amended. For purposes of this provision only, individuals are ""Domestic Partners"" if they satisfy the following criteria: (A) they are each other's sole domestic partner, responsible for each other's common welfare; and (B) neither party is married, as marriage is defined under Illinois law; and (C) the partners are not related by blood closer than would bar marriage in the State of Illinois; and (D) each partner is at least 18 years of age, and the partners are the same sex, and the partners reside at the same residence; and (E) two of the following four conditions exist for the partners: (1) the partners have been residing together for at least 12 months; (2) the

partners have common or joint ownership of a residence; (3) the partners have at least two of the following arrangements: (a) joint ownership of a motor vehicle, (b). a joint credit account, (c) a joint checking account, or (d) a lease for a residence identifying both domestic partners as tenants; and (4) each partner identifies the other partner as a primary beneficiary in a will. "Political fund-raising committee" means a "political fund-raising committee" as defined in Chapter 2-156 of the Municipal code of Chicago, as amended. Any agreement awarded pursuant to this solicitation will be subject to and contain provisions requiring continued compliance with Executive Order 2005-01.

B. False Statements

1. 1-21-010 False Statements Any person who knowingly makes a false statement of material fact to the City in violation of any statue, ordinance or regulation, or who knowingly falsifies any statement of material fact made in connection with a proposal, report, affidavit, oath, or attestation, including a statement of material fact made in connection with a bid, proposal, contract or economic disclosure statement or affidavit, is liable to the City for civil penalty of not less than $500.00 and not more than $1,000.00 plus up to three times the amount of damages which the City sustains because of the person’s violation of this section. A person who violates this section shall also be liable for the City’s litigation and collection costs and attorney’s fees. The penalties imposed by the section shall be in addition to any other penalty provided for in the municipal code. (Added Coun. J. 12-15-04, p.39951, & 1)

2. 1 -21-020 Aiding and Abetting. Any person who aids, abets, incites, compels or coerces the doing of an act prohibited by this chapter shall be liable to the City for the same penalties for the violation. (Added Coun. J. 12-15-04, p.39951, & 1)

3. 1-21-030 Enforcement. In addition to any other means authorized by law, the corporation counsel may enforce this chapter by instituting an action with the department of administrative hearings. (Added Coined. J. 12-15-04, p.39951, & 1)

Proposals must contain the following information: 1. Cover Letter: An authorized representative of the Respondent must sign a cover

letter. The cover letter must contain a commitment to provide services in accordance with all terms and conditions of the RFP. In addition, the cover letter must contain an overview of the experience and background of the Respondent, or Respondents if this is to be a partnership. If a partnership, the fiscal agent must be identified and each of the collaborating partners’ principal place of business and the name and telephone number of the principal contact person. 2. Executive Summary: The Executive Summary must provide an overview of the

proposal. The Executive Summary should not exceed 2 pages. 3. Narrative: In this section the Respondent must provide the information listed

1. A narrative describing the project approach and how it will achieve the Scope of Services set forth in Section 3.0.
