TheDepartmentmayinitsabsolutediscretion,butwithoutbeingunderanyobligationtodoso,
update,amendorsupplementtheinformation,assessmentorassumptionscontainedinthisRfP.
TheissueofthisRfPdoesnotimplyinanywaythattheDepartment/STUisboundtograntlease
totheSelectedBidder(asdefinedinclause1.2.2)andtheDepartmentreservestherighttoreject
alloranyofthebiddersorbidswithoutassigninganyreasonwhatsoever.
Thebiddershallbearallitscostsassociatedwithorrelatingtothepreparationandsubmission
of its bid including but not limited to preparation, copying, postage, delivery fees, expenses
associatedwithanydemonstrationsorpresentationswhichmayberequiredbytheDepartment

oranyothercostsincurredinconnectionwithorrelatingtoitsbid.Allsuchcostsandexpenses
willremainwiththebidderandtheDepartmentshallnotbeliableinanymannerwhatsoeverfor
the same or for any other costs or other expenses incurred by a bidder in preparation or
submissionofthebid,regardlessoftheconductoroutcomeofthebiddingprocess.
Inparticular,theDepartmentshallnotberesponsible/liableforanylatentorevidentdefector
character of the site or its title or any other related aspect including but not limited to the
following:‐
(a) Soiltesting/investigations;
(b) Availabilityofgroundwater;
(c) Availabilityand/orprovisionsforutilitiessuchaselectricity,watersupply,etc.;
(d) Sitedrainage;
(e) Siteapproach;
(f) All statutory permissions from various authorities including approvals from town
planningorotherauthoritiesaspertheCentralAct/StateAct/MunicipalAct/Panchayat
Acts/Rules/guidelines/norms;
(g) Allapplicablerent,rates,duties,cessandtaxes,ifany;
(h) Allapplicablestatutorylawsandprovisions;
(i) TechnicalandfinancialfeasibilityoftheProject(thetermProjectbeingdefinedinclause
1.1.4)
Anycharacterorrequirementof thesite,whichmaybedeemedtobenecessaryby thebidder
shouldbeindependentlyestablishedandverifiedbythebidder.

1. INTRODUCTION
1.1 Background
1.1.1 The Government of West Bengal (the “GoWB”) owns and controls several State
TransportUndertakings(STUs)whichprovidepublictransportservices.TheTransport
DepartmentistheadministrativedepartmentandthenodalagencyfortheseSTUs.These
STUs possess assets in the form of lands at the depots / terminuses fromwhere they
managetheirbusand/ortramoperations.
1.1.2 Thedepotsare,typically,usedforthepurposesofparkingbusesand/ortramsand/or
undertaking repairs, maintenance, washing and testing of vehicles, storing inventory,
refuelingbuses,layingandrepairingoftramtracks,and/orforprovidingaloopfortram
movements.Someofthedepotsalsocontainofficesandstaffquarters.
1.1.3 OnesuchSTU,TheCalcuttaTramwaysCompany(1978)Ltd.hasapprovedofaproposal
foroptimalandcommercialutilizationofitsdepotsbyunlockingsurpluslandresources
ofitsdepotsandhasrequestedanddulyauthorisedtheGoWBtoconducttheentirebid
process.TheGoWBthroughitsTransportDepartmenthastakenupthebidprocess.
1.1.4 TheBelgachiaDepotofTheCalcuttaTramwaysCompany(1978)Ltd.(forshort“CTC”)at
34,KhudiramBoseSaraniisonesuchdepotinwhichanidentifiedlandparcelhasbeen
separatedfromtherestofthedepotandisbeingofferedforlease(the“Project”).
1.1.5 Theobjectiveof thisexercisewouldbe tounlockvaluableexcess landresourcesof the
saiddepot.Throughacompetitivebiddingprocessofselectionofbiddertowhomlease
would be granted, theDepartment also expects to generate substantial revenuewhich

canbeusedbyCTCforseveralpurposes,including,interalia,re‐paymentofduesofCTC
to theGoWB, further improvementofCTCoperations, otherdevelopmentalworksand
sundryotherpurposes.
1.1.6 Bidshadpreviouslybeeninvitedforleaseofthesaididentifiedanddemarcatedportion
ofthelandoftheBelgachiaDepotbyRfPNo.08dated28thFebruary,2014.Thetender
process has since been cancelled and fresh offers are being invited through this RfP.
However,thereisnochangeinthecriteriaforQualificationBidfromtheRfPdocuments
publishedon28thFebruary2014.Hence,interestedbidderswhohavealreadysubmitted
bidsforleaseofthesaididentifiedanddemarcatedportionofthelandoftheBelgachia
Depot in theabovementionedearlier tenderingprocess,neednot submitQualification
BidagainforthisDepot.However,suchbidderswillhavetoprovidetheauditedannual
report/(s) (in case of a consortium, audited annual report for each member of the
consortiumtobeprovided)forthefinancialyear2013‐2014.Auditedannualreport/(s)
(incaseofaconsortium,auditedannualreportforeachmemberoftheconsortiumtobe
provided) for financial year 2013‐2014 shall be submitted in 3 (three) copies (one
originalandtwophotocopies).Inaddition,suchbiddersarerequiredtosubmitFinancial
Bidafresh, asper the requirementsmentioned in the instantRfP in a sealedenvelope.
SuchbiddermayeithersubmitBidSecurityBankGuaranteeafreshorcauseextensionof
thevalidityperiodof thepreviouslysubmittedBidSecurityBankGuaranteeasper the
requirements mentioned in the instant RfP. Such bidders will also have to apply in
writing to theManagingDirector,CTCrequesting forconsiderationofQualificationBid
submittedearlier for leaseof thesaid identifiedanddemarcatedportionof the landof
the Belgachia depot and return of earlier Bid Security Bank Guarantee (unless such
bidderwishestoextenditsvalidityperiod)andsealedenvelopecontainingFinancialBid.
IfsuchbidderchoosestocauseextensionoftheBidSecurityBankGuaranteeinsteadof

submitting a freshBid SecurityBankGuarantee, documents evidencing such extension
willhavetobesubmittedinaseparateenvelope.Eachofthetwoenvelopescontaining
FreshBidSecurityBankGuarantee/ExtendedBidSecurityBankGuarantee(asthecase
maybe)andFreshFinancialBidwillhavetobesealedbeforesubmissionbysuchbidder,
andputinsideathirdsealedenvelope.
1.2 Projectdetails
1.2.1 TheGoWB through its TransportDepartment hereby invites bidders to give offers for
leaseof the said identifiedanddemarcatedportionof the landof theBelgachiaDepot,
particularswhereofwouldappearfromAppendixI:DataSheetoftheProjecthereofand
whichlandishereinafterreferredtoasthe“saidlandparcel”.Thesaidlandparcelshall
beseparatedfromtheentiredepotandpossessionofthesaidlandparcelshallbemade
overtotheSelectedBidder(asdefinedinclause1.2.2)intermsofthisRfPDocument.A
mapofthesaidlandparcelisenclosedasAppendixIIIhereof.
1.2.2 The bidder who is qualified as per the eligibility criteria, whose bid is found to be
otherwisesatisfactory,acceptableandsufficientbytheDepartmentandwhosubmitsthe
highestFinancialBid(asdefinedinclause1.5.1)forleaseofthesaidlandparcel,would
bedeclaredtheSelectedBidder(the“SelectedBidder”).
1.2.3 The Department has decided to go in for a single‐stage two envelope competitive bid
process for selection of such Lessee (the “Lessee”) of the said land parcel of the
BelgachiaDepot.
1.2.4 UrbanDevelopmentDepartment,Govt.ofWestBengalhasobservedthatexemptionfor
the said land parcel under the Urban Land (Ceiling and Regulation) Act, 1976will be

grantedtotheSelectedBidderbytheUrbanDevelopmentDepartment,GoWBonacase
tocasebasisonpriority.
1.2.5 ThesaidlandparcelshallbeavailableforusebytheSelectedBidderinwhosefavoura
leasewouldbegrantedforanylegalpurposesprovidedhoweverthatthesaidlandparcel
mustbeputtouseandnoticeofcompletionobtainedfromacertifiedLicensedBuilding
Surveyor/ Licensed Building Architect as per the Kolkata Municipal Corporation Act,
1980andtherulesmadethereunderinrespectoftheproposedconstructiononthesaid
landparcelwithinaperiodof60monthsfromthedateofhandingoverofpossessionof
thesaidlandparceltotheSelectedBidder,hereinaftermentioned.
1.2.6 Termofleaseshallbeforaperiodof99(ninetynine)years,renewableforanotherterm
of99years,onsuchtermsandconditionsasspecifiedintheproformaLeaseDeed(the
“LeaseDeed”)whichisenclosedasAppendixVIhereof.
1.2.7 TheothertermsandconditionsoftheleaseareascontainedintheproformaLeaseDeed
whichisenclosedasAppendixVIhereof.
1.2.8 TheLeasePremium(the“LeasePremium”)shallbe95%oftheFinancialBid(asdefined
inclause1.5.1)quotedbythehighestbidderwhoisdeclaredastheSelectedBidderby
theDepartment.
1.2.9 Ground lease rent of 0.3% of the Financial Bid shall be payable per annum for the
durationoftheleaseperiod.
1.2.10 Prospective bidders will have to pay the bid document cost (amount as specified in
Appendix I: Data Sheet of the Project hereof) by way of Demand Draft (payable in

Kolkata) in favour of the Payee, as specified in Appendix I: Data Sheet of the Project
hereof. Prospective bidders should carry a covering letter (on the letterhead of the
bidder)addressedtotheDesignatedOfficer(asspecifiedinAppendixI:DataSheetofthe
Projecthereof),mentioningthedepot(s)forwhichtheyintendtopaythebiddocument
costalongwiththeDemandDraftdetailsandthebidder’sparticularsforcommunication
(includingemailaddress). TheDemandDraftshouldbe issuedbyaScheduledBank in
India;fortheavoidanceofdoubt,“ScheduledBank”shallmeanaBankasdefinedunder
section2(e)oftheReserveBankofIndiaAct,1934.Thebiddocumentcosthastobepaid
inadvanceattheofficeoftheDesignatedOfficer(asspecifiedinAppendixI:DataSheet
of the Project hereof), as per the schedule specified in Appendix I: Data Sheet of the
Project hereof and a receipt obtained against such payment. This receipt has to be
producedforattendingthesite‐visit,obtainingcopiesofthetitledocumentsandthepre‐
bid conferenceandalso submittedalongwith theQualificationBid tobe submittedby
bidders.Bidderswhohavealreadypaidthebiddocumentcostduringtheearlierbidding
processforaparticulardepotneednotpaythebiddocumentcostagainforsuchdepots.
1.2.11CTChasthroughitslegalconsultantsexamineditstitleonsuchidentifiedlandparceland
afterexaminationofthetitletothesaidlandparcel,CTCnowrepresentsthatithastitle
tograntleaseofsuchidentifiedlandparcelintermshereof.Abiddermayconductadue
diligence exercise and would be deemed to have familiarised itself with the status of
infrastructuralfacilitiesandotherconditionsappearingatthesitebeforesubmittingits
bid.Copiesoftitledocumentsoftheidentifiedlandparcelswouldbemadeavailableto
the bidders, who have paid the bid document cost at a pre‐notified date and on
productionofreceiptofsuchpayment.Thesaidlandparcelwouldthusbegivenonlease
on as‐is‐where‐is basis and the biddermust satisfy itself in respect of the title of CTC
prior to submission its bid. No claim on this account would be entertained by the

DepartmentorCTCatanystage.CTCshallremovetheoccupants(ifany)insidethesaid
land parcel before handing over physical possession to the Selected Bidder. However,
CTCshallnotberesponsibleforremovalofanyoccupantsoutsidetheboundariesofthe
saidlandparcel.
1.2.12 Prior to opening of the Financial Bids, a Reserve Price (the “Reserve Price”) will be
declaredby theDepartment. In theevent that all FinancialBidswhich areopened are
found to be below the Reserve Price, the Department may invite fresh bids for the
Project. The Reserve Price will not be fixed by the Department or GoWB before the
bidderssubmittheirFinancialBids.SincetheReservePricewillbefixedbeforeFinancial
Bidsareopened,theDepartmentorGoWB,whilefixingtheReservePriceshallnothave
knowledge of the Financial Bids received, thus ensuring that the fixing of theReserve
Priceisnotinfluencedbysuchknowledge.Thetransactionadvisorswillnotfinalizethe
Reserve Price, to prevent any conflict of interest. All bidders are provided comfort
accordingly.
1.2.13 TheDepartmentwouldorganizeasitevisit,thedetailsofwhichwouldbecommunicated
indue course to thebidderswhohavepaid thebiddocument cost andhaveprovided
details for communication. A pre‐bid conference/meetingwould also be held, and the
date,timeandvenueforthesamewouldbecommunicatedtosuchbidders.
1.3 Biddingprocess
Bidding process, as aforesaid shall be a single‐stage two envelope process. The first
envelope should contain the documents for satisfaction of eligibility criteria i.e. the
QualificationBid (asdefined in clause1.4.1)while thesecondenvelopeshouldcontain
theFinancialBid(asdefinedinclause1.5.1)beingofferedbythebidders.Eachofthetwo

envelopes should be sealed before submission by the bidder, and put inside a third
sealedenvelope.
1.4 QualificationBid
1.4.1 The Qualification Bid (the “Qualification Bid”) shall be submitted in the formats
specifiedinAppendixIVhereof.Theeligibilitycriteriaareasmentionedbelow.
1.4.2 AnycompanyregisteredinIndia,registeredIndianpartnershipfirm,consortiumofsuch
registered partnership firms and/or companies may participate in the bid except
GovernmentofWestBengalUndertakings/Enterprises/PSU’s/autonomousbodieswho
areineligiblefromparticipatinginthebid..
1.4.3 In the event the bidder is a consortium, it has to comply with the following
requirements:‐
(a) Thenumberofmembersoftheconsortiumshouldnotbemorethan3.
(b) The members of the consortium shall enclose a Joint Bidding Agreement (the
“JointBiddingAgreement”) in the formatgiven inAnnexureFofAppendix IV
hereofwhichshallinteraliasetforththerespectivesharesofthemembersofthe
consortiumtocontributetothefinancialobligationsoftheconsortiumandshall
nominateoneofitsmembers(actingthroughanamedofficer)torepresentsuch
consortiumbeforetheDepartmentthroughaPowerofAttorneysignedbyallthe
membersoftheconsortiumaspertheformatgiveninAnnexureDofAppendixIV
hereof.

(c) In the event the consortium is the Selected Bidder, the consortium must
incorporate itself as a Company registered under the Companies Act, 1956
(including any subsequent enactment thereof) or limited liability partnership
undertheLimitedLiabilityPartnershipAct,2008priortograntofleaseinfavour
ofsuchincorporatedcompany/LLP.Inaddition,themembersoftheconsortium
will have to enter into prescribed form of Deed of Adherence agreeing to be
bound by and responsible to the Department for fulfillment of the terms and
conditionsofsuchleaseonbehalfofsuchcompany/LLP.
(d) No change in the composition of the consortium is allowed subsequent to the
submission of the bid or during the bidding process or till payment of Lease
PremiumfortheSelectedBidder(incasetheSelectedBidderisaconsortium).
1.4.4 FinancialCapacity:AbiddermustbefinanciallysoundandtheminimumNetWorth(as
definedinclause1.4.5)ofthebidderasonthelastdateofthefinancialyear2013–2014
shall not be less than the Financial Capacity criteria (the “Financial Capacity”) as
specifiedinAppendixI:DataSheetoftheProjecthereof.
1.4.5 ForthepurposeofthisRfP,“NetWorth”shallmeanasfollows:‐
(i) Incase thebidder isacompany, the sumof subscribedandpaidupequityand
reserves from which shall be deducted the sum of revaluation reserves,
miscellaneousexpenditurenotwrittenoff,reservesnotavailablefordistribution
toequityshareholdersandanyredeemableorconvertiblepreferenceshares;or

(ii) Incasethebidderisapartnershipfirm,thesumofthepartners’capitalaccount
andundistributedprofits.
1.4.6 In case of a consortium, the Net Worth criteria will be applied on the combined Net
WorthofallthemembersoftheconsortiumprovidedthatNetWorthoftheleadmember
constitutesatleast51%ofsuchcombinedNetWorth.
1.4.7 TheQualificationBidhastobeaccompaniedbyoriginalcertificateofNetWorthasper

1.4.8 TheDepartment’sdeterminationofsuchNetWorththroughitstransactionadvisorsshall
notwithstandingwhatiscertifiedasaforesaid,befinallyconclusiveandbinding.Incase
ofdoubt,thematterwillbereferredtotheFinanceDepartmentofGoWB.
1.4.9TheQualificationBidwillalsobeaccompaniedbycopiesofauditedannualreportofthe
bidder (of eachmember in case thebidder isa consortium) for last3 (three) financial
years,namely2011–2012,2012–2013and2013‐2014.
1.4.10 Qualification Bid shall be submitted in 3 (three) copies (one original and two
photocopies) in an envelope superscribed “Qualification Bid” containing the aforesaid
documents.OnecopyshallbemarkedasOriginalandtheothertwoasCopy.Incaseof
anydiscrepanciesbetweentheOriginalandtheCopy,theOriginalshallprevail.
1.5 FinancialBid

1.5.1 TheFinancialBid(the“FinancialBid”)shallbesubmittedin1(one)copyintheformat
specified in Appendix V on the bidder’s letterhead in a sealed envelope. 95% of the
amountoftheFinancialBidshallbetheonetimeLeasePremiumpayabletoCTCinterms
of this document. The envelope containing the Financial Bid shall be superscribed as
givenbelow
“FinancialBid‐CONFIDENTIAL
NOTTOBEOPENEDBEFORE<bidduedateasper the schedule specified inAppendix I:
DataSheetoftheProjecthereof>”(FinancialBidsofallbiddersshallbeopenedinfrontof

This sealed envelope shall be enclosed alongwith the sealed envelope containing the
Qualification Bid (this envelope shall be superscribed “Qualification Bid”) in a larger
outersealedenvelope.ThisouterenvelopecontainingboththeQualificationBidandthe
FinancialBidshallbesuperscribedwiththenameoftheProjectasspecifiedinAppendix
I:DataSheetoftheProjecthereofandalsothenameandcontactdetailsofthebidder/
leadmemberoftheconsortium.
1.6 Costofbidding
1.6.1 Thebidders shallbe responsible for allof the costsassociatedwith thepreparationof
their bids and their participation in the bidding process. The Department will not be
responsibleorinanywayliableforsuchcosts,regardlessoftheconductoroutcomeof
thebiddingprocess.
1.7 Sitevisitandverificationofinformation

1.7.1 Biddersshouldsubmittheirrespectivebidsaftervisitingthesite(s)andascertainingfor
themselves thesite(s)conditions, location, surroundings, climate,availabilityofpower,
water and other utilities for construction, access to site, emergency medical needs,
applicable laws, applicable permits and regulations, and any other matter considered
relevantbythem.Thebidderswillhavetosatisfythemselvesofthebusinessprospectsin
the subject area. No compensation, claim or damages will be entertained by the
DepartmentorCTCinthisregard.
1.7.2 Itshallbedeemedthatbysubmittingabid,thebidderhas:‐
(a) madeacompleteandcarefulexaminationofthebiddingdocuments;
(b) receivedallrelevantinformationrequestedfromtheDepartment;
(c) acknowledged and accepted the risk of inadequacy, error or mistake in the
informationprovided in thebiddingdocumentsor furnishedbyoronbehalfof
theDepartmentrelatingtoanyofthemattersreferredtoinclause1.7.1above;
(d) satisfied itself about all matters, things and information including matters
referredtoinclause1.7.1hereinabovenecessaryandrequiredforsubmittingan
informedbid,executionoftheProjectinaccordancewiththebiddingdocuments
andperformanceofallofitsobligationsthereunder;
(e) acknowledgedandagreedthatinadequacy,lackofcompletenessorincorrectness
of information provided in the bidding documents or ignorance of any of the
mattersreferredtoinclause1.7.1hereinaboveshallnotbeabasisforanyclaim
forcompensation,damages,extensionoftimeforperformanceofitsobligations,

lossofprofitsetc.fromtheDepartment,oragroundforterminationoftheLease
Deed;and
(f) agreedtobeboundbythetermsoftheRfPdocument,theundertakingsprovided
byitunderandintermshereof.
1.7.3 TheDepartmentshallnotbeliableforanyomission,mistakeorerroronthepartofthe
bidderinrespectofanyoftheaboveoronaccountofanymatterorthingarisingoutof
or concerning or relating to the bidding documents including the RfP or the bidding
process,includinganyerrorormistakethereinorinanyinformationordatagivenbythe
Department.
1.8 Righttoacceptandtorejectanyorallbids
1.8.1 TheDepartmentreservestheright toverifyallstatements, informationanddocuments
submittedbythebidderinresponsetothisRfPorthebiddingdocumentsandthebidder
shall,whensorequiredbytheDepartment,makeavailableallsuchinformation,evidence
anddocumentsasmaybenecessaryforsuchverification.Anysuchverificationorlackof
such verification, by the Department shall not relieve the bidder of its obligations or
liabilitieshereundernorwillitaffectanyrightsoftheDepartmentthereunder.
1.8.2 The Department reserves the right to reject any bid and appropriate the bid
securityif:‐
(a) atanytime,amaterialmisrepresentationismadeoruncovered,or
(b) the bidder does not provide, within the time specified by the Department,
supplementalinformationsoughtbytheDepartmentforevaluationofthebid.

Such misrepresentation/ improper response shall lead to the disqualification of the
bidder.Ifthebidderisaconsortium,thentheconsortiumshallbedisqualified/rejected.
Ifsuchdisqualification/rejectionoccursafterthebidshavebeenopenedandthehighest
biddergetsdisqualified/rejected,thentheDepartmentreservestherightto:‐
(i) proceedwith the remaining qualifiedbidders in accordancewith clauses 2.3.4
and2.3.5;or
(ii) take any such measure as may be deemed fit in the sole discretion of the
Department,includingannulmentofthebiddingprocess.
1.8.3 IncaseitisfoundduringtheevaluationoratanytimebeforesigningoftheLeaseDeed
or after its execution and during subsistence thereof, that 1 (one) or more of the
eligibilitycriteriahavenotbeenmetbytheSelectedBidderortheSelectedBidderhas
made material misrepresentation or has given any materially incorrect or false
information, thebidder shallbedisqualified forthwith ifnotyetgranteda leaseand if
thebidderhasalreadybeenissuedaLOI(asdefinedinclause2.3.5)orhasenteredinto
the Lease Deed, as the casemay be, the same shall, notwithstanding anything to the
contrary contained therein or in this RfP, be liable to be terminated/forfeited, by a
communication in writing by the Department or CTC to the bidder whereupon the
Department/CTCshallbeentitledtoreenterintoandupontheleasedproperty,without
theDepartment/CTCbeingliableinanymannerwhatsoevertothebidderorlessee,as
the case may be. In such an event, the Department/ CTC shall also forfeit and
appropriatethebidsecurity/performanceguaranteeasdamages,whichsumisagreed
tobeagenuinepre‐estimateofdamages(asdefinedinclause6.8),withoutprejudiceto
any other right or remedy that may be available to the Department/ CTC under the

biddingdocumentsand/ortheLeaseDeedorotherwise.
1.9 AmendmentofRfP
1.9.1 Atanytimepriortothedeadlineforsubmissionofbids,theDepartment, if itdeemsfit
and proper, may, for any reason, whether at its own initiative or in response to
clarifications requested by a bidder, modify the RfP by the issuance of
addenda/corrigenda.
1.9.2 The Department shall not be obliged to respond to request for clarifications received
from individual bidders. It shall however organize a pre‐bid conference for giving
answers/clarifications toquestion/queries consideredrelevantandwhichare received
bytheDepartmentuptothedateofsuchpre‐bidconference.Suchwrittenquestionsmay
be sent to theDesignatedOfficer (as specified inAppendix I:DataSheetof theProject
hereof)bypost/email/faxwiththesubjectline“QueriesforLongtermleaseofsurplus
landatBelgachiaDepotofCTC”. In addition to suchwrittenquestions receivedby the
Department,theDepartmentreservesitsrighttoanswerotherquestionsraisedatsuch
pre‐bidconferenceandanswersuchofthemasareconsideredrelevant.
1.9.3 Anyaddendum/corrigendumissuedshallbeuploadedonthewebsiteoftheGovernment
of West Bengal (www.banglarmukh.gov.in/portal/banglarMukh/Documents/Tenders)
and the website of the Finance Department of the Government of West Bengal
(http://www.wbfin.nic.in/).
1.9.4 Inordertoaffordthebiddersareasonabletimefortakinganaddendum/corrigendum
intoaccount,orforanyotherreason,theDepartmentmay,atitsowndiscretion,extend
thebidduedate.

1.10 Language
Thebidandallrelatedcorrespondenceanddocumentsinrelationtothebiddingprocess
shallbe inEnglish language.Supportingdocumentsandprinted literaturefurnishedby
the bidder with the bid may be in any other language provided that they are
accompaniedby translationsofall thepertinentpassages in theEnglish language,duly
authenticatedandcertifiedbytheissuingauthorityorbytheTranslationDepartmentsof
theHighCourts/ SupremeCourt of India/ any other governmentdepartment/ agency.
Supportingmaterials,whicharenottranslatedintoEnglish,maynotbeconsidered.For
thepurposeofinterpretationandevaluationofthebid,theEnglishlanguagetranslation
shallprevail.
1.11 Formatandsigningofbid
1.11.1 ThebiddershallprovidealltheinformationsoughtunderthisRfP.TheDepartmentwill
evaluate only those bids that are received in the required formats and complete in all
respects.Incompleteand/orconditionalbidshallbeliabletoberejected.
1.11.2 The bid shall be typed or written in indelible blue ink and signed by the authorised
signatoryofthebidderwhoshallalsoinitialeachpage,inblueink.Incaseofprintedand
published documents, only the cover shall be initialed. All the alterations, omissions,
additionsoranyotheramendmentsmadetothebidshallbe initialedbytheperson(s)
signingthebid.
1.11.3 Thefollowingconditionsshallbeadheredtowhilesubmittingthebid:‐

(a) the bidder should attach clearlymarked and referenced continuation sheets in
the event that the space provided in the prescribed formats is insufficient.
Alternatively, the bidders may format the prescribed formats making due
provisionforincorporationoftherequestedinformation;and
(b) information supplied by the bidder (or constituentmembers if the bidder is a
consortium)mustapplytothebidder,memberorassociatenamedinthebidand
not,unlessspecificallyrequested,tootherassociatedcompaniesorfirms;
1.12 Bidduedate
1.12.1 BidsshouldbesubmittedattheofficeofDesignatedOfficer(asspecifiedinAppendixI:
DataSheetoftheProjecthereof)withinthebidduedateasspecifiedinAppendixI:Data
Sheet of the Project hereof. A receipt of bid submission should be obtained from his
office.
1.12.2 The Department may, in its sole discretion, extend the bid due date by issuing an
appropriatenoticeinthisregardatanytimepriortotheQualificationBidopeningdate
andevenafterthepreviousbidduedatebeingsoextended.
1.13 Latebids
BidsreceivedbytheDepartmentafterthespecifiedtimeonthebidduedateshallnotbe
eligibleforconsiderationandshallbesummarilyrejected.
1.14 Contentsofthebid
1.14.1 TheQualificationBidshallbefurnishedintheformatsprovidedinAppendixIVhereof.

1.14.2 TheFinancialBidforeachProjectshallbefurnishedintheformatprovidedinAppendix
VhereofandshallconsistofthequotationoftheFinancialBidofferedbythebidder.The
biddershallspecifytheFinancialBid(bothinfiguresandwords)whichshallbepayable
inaccordancewiththisRfPandtheprovisionsoftheLeaseDeed.
1.14.3 TheProjectwillbeawardedtothehighestbidder,providedthatthebidderisotherwise
qualified as per the eligibility criteria and whose bid is found to be otherwise
satisfactory,acceptableandsufficientbytheDepartment.
1.14.4 The opening of bids and the bidding process may be conducted by the Department
substantially in accordancewith this RfP. TheDepartmentmay involve its transaction
advisorsandtheirconsultantsforassistanceinconductingthebidprocess.
1.15 Rejectionofbids
1.15.1 Notwithstanding anything contained in this RfP, the Department reserves the right to
rejectanybidandtoannulthebiddingprocessandtorejectallbidsatanytimewithout
anyliabilityoranyobligationforsuchacceptance,rejectionorannulment,andwithout
assigninganyreasonwhatsoever.IntheeventthattheDepartmentrejectsorannulsall
the bids, it may, in its discretion, invite all eligible bidders to submit fresh bids
hereunder.
1.15.2 TheDepartmentreservestherightnottoproceedwiththebiddingprocessatanytime,
withoutnoticeorliability,andtorejectanybidwithoutassigninganyreasons.
1.16 Validityofbids
Thebidsshallbevalidforaperiodofnotlessthan180(onehundredandeighty)days

from thebidduedate.Thevalidity of bidsmaybe extendedbymutual consent of the
respectivebiddersandtheDepartment.
1.17 Correspondencewiththebidder
Save and except as provided in this RfP, the Department shall not entertain any
correspondencewithanybidderinrelationtoacceptanceorrejectionofanybid.
1.18 BidSecurity
1.18.1 Thebiddershall furnishaspartof itsbidabankguarantee(the“BankGuarantee”) in
favourofthePayee(asspecifiedinAppendixI:DataSheetoftheProject)asbidsecurity;
this should be issued by a Scheduled Bank in India and be in the format provided in
Annexure E of Appendix IV and having a validity period of not less than 180 (one
hundredandeighty)daysfromthebidduedate,asmaybeextendedbythebidderfrom
timetotime.
1.18.2 AnybidnotaccompaniedbythebidsecurityshallberejectedbytheDepartmentasnon‐
responsive.
1.18.3 Forbidderswhodonotmeettheeligibilitycriteriaasperclauses1.4.2,1.4.3or1.4.4,the
bidsecuritywillbereturnedbytheDepartment,withoutanyinterest,within15daysof
issueofLOI(asdefinedinclause2.3.5)orwhenthebiddingprocessiscancelledbythe
Department,asthecasemaybe.Thebidsecurityoftheotherwiseunsuccessfulbidders
willbereturnedbytheDepartment,withoutanyinterest,within180(onehundredand
eighty)daysofissueofLOI(asdefinedinclause2.3.5)totheSelectedBidderorwhenthe
biddingprocessiscancelledbytheDepartment,asthecasemaybe.

1.18.4 TheSelectedBidder’sbidsecuritywillbereturned,withoutanyinterest,within7
days of full payment of the Lease Premium and upon the bidder furnishing a
performanceguaranteeofequivalentamount,whicheverislater,inaccordancewiththe
provisionsthereofandprovidedthatthebidderisotherwisenotinbreachoftheterms
hereof.However,incasetheDepartment/CTCdecidestoannultheprocessordecidesto
invitefreshbidsfortheProject,theSelectedBidder’sbidsecurityandpaymentsofLease
Premium made by the Selected Bidder/ Lessee up to that period of time would be
returnedtotheSelectedBidder/Lesseewithoutanyinterestwithin30(thirty)daysof
suchadecisionbeingmade,providedthattheSelectedBidder/Lesseeisotherwisenot
inbreachofanyofthetermsandconditionshereincontained.
1.18.5 TheDepartmentshallbeentitledtoforfeitandappropriatethebidsecurityasdamages
inter alia in any of the events specified in clause 1.18.6 herein below. The bidder, by
submitting its bid pursuant to this RfP, shall be deemed to have acknowledged and
confirmedthattheDepartmentwillsufferlossanddamageonaccountofdefaultbythe
bidderduringthebidvalidityperiod.Norelaxationofanykindonbidsecurityshallbe
giventoanybidder.
1.18.6 The bid security shall be forfeited and appropriated by the Department as damages
withoutprejudicetoanyotherrightorremedythatmaybeavailabletotheDepartment
underthebiddingdocumentsand/ortheLeaseDeed,orotherwise,underthefollowing
conditions:‐
(a) Ifabiddersubmitsanon‐responsivebid;
(b) If a bidder engages in a corrupt practice, fraudulent practice, coercive practice,
undesirablepracticeorrestrictivepracticeasspecifiedinclause3ofthisRfP;

(c) Ifabidderwithdrawsitsbidduringtheperiodofbidvalidityasspecifiedinthis
RfP or as extended by mutual consent of the respective bidder(s) and the
Department;
(d) InthecaseofSelectedBidder,ifitfailswithinthespecifiedtimelimit:‐
(i) tosignandreturntheduplicatecopyofLOI(asdefinedinclause2.3.5);
(ii) tomakefullpaymentoftheLeasePremium;
(iii) tosigntheLeaseDeed;
(iv) incaseofaconsortium,uponfailureto incorporatetheconsortiumasa
company/LLP
(e) Ifthebidderisdeclareddisqualifiedintermsofclause6.8
(f) IfthebidderisotherwiseinbreachofthetermsofthisRfP.
1.18.7 IntheOriginalcopyoftheQualificationBid, thebidsecuritybankguaranteedocument
should be submitted in a plastic jacket, which should be bound with the rest of the
Originalcopyof theQualificationBid.For theother twocopiesof theQualificationBid
thatabidderalsoneedstosubmit,photocopiesofthebidsecuritybankguaranteemay
besubmitted.

2. EVALUATIONOFBIDS
2.1 Openingandevaluationofbids
2.1.1 TheDepartmentshallopentheQualificationBidsofallbidders,whosebidsarereceived
priortobidduedateonadateandtimetobeinformedtosuchbidders,whohavepaid
thebiddocumentcostandhaveintimatedcompletedetailsofcommunicationandinthe
presenceofthebidderswhochoosetoattend.
2.1.2 The Department will subsequently examine and evaluate the Qualification Bid. The
Departmentmay,asaforesaid,involveitstransactionadvisorsandtheirconsultantsfor
suchpurpose.
2.1.3 To facilitate evaluation of the Qualification Bid, the Department may, at its sole
discretion,seekclarificationsinwritingfromanybidderregardingitsQualificationBid.
2.2 Testsofresponsiveness
2.2.1 Prior to evaluation of the Qualification Bid, the Department shall determine whether
each bid is responsive to the requirements of this RfP. A bid shall be considered
responsiveonlyif:‐
(a) itisreceivedaspertheformatsgiveninAppendixIVhereof;
(b) it is received by the bid due date including any extension thereof pursuant to
clause1.12.2;
(c) it is signed, sealed, hardboundandmarked as stipulated in clauses1.11.1 and

1.11.2;
(d) itisaccompaniedbythebidsecurityasspecifiedinclause1.18;
(e) it is accompanied by the appropriate Power(s) of Attorney as per the formats
giveninAnnexureCandDofAppendixIVhereof;
(f) itcontainsalltheinformation(completeinallrespects)asrequestedinthisRfP
and/orbiddingdocuments(informatssameasthosespecified);
(g) itdoesnotcontainanyconditionorqualification;
(h) itisaccompaniedbytheJointBiddingAgreement(forconsortium),specifictothe
Project,aspertheformatgiveninAnnexureFofAppendixIVhereof;and
(i) itisnototherwisenon‐responsiveintermshereof.
2.2.2 The Department reserves the right to reject any bid which is non‐responsive and no
request for alteration,modification, substitutionorwithdrawalshallbeentertainedby
Departmentinrespectofsuchbid.
2.3 Selectionofbidder
2.3.1 Subjecttotheprovisionsofclause1.15.1,thebiddersadjudgedasresponsiveintermsof
clause 2.2.1 and fulfilling the eligibility criteria as set forth in clauses 1.4.2, 1.4.3 and
1.4.4shallbedeclaredasthequalifiedbidders.Thelistofqualifiedbidderswillalsobe
uploaded on the website of the Government of West Bengal
(www.banglarmukh.gov.in/portal/banglarMukh/Documents/Tenders) and the website

of the Finance Department of the Government of West Bengal
(http://www.wbfin.nic.in/).
2.3.2 The Financial Bids of only the qualified bidderswho have been so intimated shall be
opened.FinancialBidsofthebidderswhoarenotqualifiedwillnotbeopened.Onlythe
qualifiedbiddersshallbeinvitedforopeningoftheFinancialBids.
2.3.3 ThequalifiedbidderquotingthehighestFinancialBidshallbedeclaredastheSelected
Bidder. In case the Selected Bidder decides to withdraw from the bid process, the
Departmentshallforfeititsbidsecurityinaccordancewithclause1.18.6.
2.3.4 In theevent theFinancialBidsof2 (two)ormorequalifiedbiddersare the same (the
“TieBidders”),theDepartmentshallholdanauctionamongstsuchTieBiddersonlyand
shalldeclare suchof themwhohasoffered thehighestprice in suchauction tobe the
highestbidder.Bidders’representativeswhochoosetoattendtheFinancialBidopening
should therefore be duly authorized to participate in such auction. In the event a Tie
Bidder is not represented on the Financial Bid opening date or the authorized
representativeofsuchbidderdoesnotorisunwillingtoparticipateinsuchauction,the
auction would be held amongst the remaining Tie Bidders and if there be only one
remainingTieBidder,thelatterwillbedeclaredasthehighestbidderprovidedthatsuch
remainingTieBidderoffersahigherpricethanthatalreadyofferedinitsFinancialBid.
IntheeventthehighestbidderwithdrawsorisnotdeclaredastheSelectedBidder,the
DepartmentmayinvitefreshbidsfortheProject.
2.3.5 AfterselectionoftheSelectedBidder,aletterofintent(forshort“LOI”)tosuchSelected
Bidder shall be issued, in duplicate, by the Department and the Selected Bidder shall,
within7(seven)daysofthereceiptoftheLOI,signandreturntheduplicatecopyofthe

LOI inacknowledgement thereofalongwith the1st installmentpaymentof10%of the
Financial Bid byway of DemandDraft (payable in Kolkata) in favour of the Payee, as
specifiedinAppendixI:DataSheetoftheProjecthereof.Intheeventtheduplicatecopy
oftheLOIdulysignedbytheSelectedBidderalongwiththe1st installmentpaymentis
notreceivedbythestipulateddate,theDepartmentmayappropriatethebidsecurityof
suchbidderasdamagesonaccountof failureof theSelectedBidder toaccept theLOI,
andtheDepartmentmayinvitefreshbidsfortheProject.
2.4 Paymentdetails
TheSelectedBiddermustpaythebalance85%oftheFinancialBidintwoinstalmentsas
detailedbelow:‐
i) 2nd instalment payment of 10% of the Financial Bid by way of Demand Draft
(payableinKolkata)infavourofthePayee,asspecifiedinAppendixI:DataSheet
oftheProjecthereof,within30(thirty)daysofthedateoftheLOI.Intheeventa
consortium is the Selected Bidder, the consortiummust incorporate itself as a
company registered under the Companies Act, 1956 (or any subsequent
enactment thereof) or limited liability partnership under the Limited Liability
PartnershipAct,2008alsowithin30(thirty)daysofthedateofLOI.
ii) 3rd instalment payment of 75% of the Financial Bid by way of Demand Draft
(payableinKolkata)infavourofthePayee,asspecifiedinAppendixI:DataSheet
of the Project hereof, within 10 (ten) days of intimation of handing over of
possessionoftheidentifiedlandparcelwithinthedepot.
Failuretomakepaymentofanyinstalmentwithinthestipulatedtimeperiodwillleadto
cancellationof theLOI, forfeitureof thebidsecurityaswellas forfeitureofanyearlier
instalment payment(s) made by the Selected Bidder. Upon such failure, the Selected

Bidder shall also not be eligible to participate in any tender or RfP issued by the
DepartmentorCTCforaperiodof2(two)yearsfromthedateofsuchfailure.
2.5 Postpayment
2.5.1 Within the time period as specified in Appendix I: Data Sheet of the Project hereof,
provided that all amounts to be paid by the Selected Bidder are received in the
meantime, CTCwillmake over to the Selected Bidder, physical possession of the said
landparceland fromsuchdate, theSelectedBiddershallbe liable topayall ratesand
taxes and other outgoings in respect of the same. The GoWBor the CTCwill have no
liabilityinrespectofthesaidlandparceloncephysicalpossessionishandedovertothe
SelectedBidder.
2.5.2 Within7daysofduedateof fullpaymentofLeasePremium, theSelectedBidder shall
furnish in the formofbankguarantee (asper format specified inAppendixVIIhereof)
performanceguaranteeforequivalentamountasbidsecurityassecurityforcompletion
of construction and obtaining notice of completion from a certified Licensed Building
Surveyor/ Licensed Building Architect as per the Kolkata Municipal Corporation Act,
1980andtherulesmadethereunderinrespectoftheproposedconstructiononthesaid
landparcelwithinaperiodof60monthsfromthedateofhandingoverofpossessionof
thesaidlandparcel,afterwhichthebidsecuritybankguaranteeshallbereturnedbyCTC
to the Selected Bidder duly discharged. The bank guarantee should be issued by a
Scheduled Bank in India and be as per the format provided in Appendix VII hereof.
Failure to provide such performance guarantee shall entitle CTC to invoke the bid
securitybankguaranteetreatingtheSelectedBidderindefaultofitscovenantscontained
hereunder.Suchperformanceguaranteeshallbekeptvalid initially foraperiodof120
days for the stipulated date of completion of construction obligations on the said land

parcel and thereafter extended from time to time for a period of 120 days beyond
extended time (if any) for such completion. CTC shall be entitled to invoke such bank
guarantee(inwholeorpart)intheeventoffailureoftheSelectedBiddertocomplywith
theaforesaidobligationorisotherwiseinbreachofperformancesofthetermsoftheRfP
documentorLeaseDeed.Intheevent,partialinvocationisrequiredtobemadebyCTC,
the Selected Bidder shall cause the issuing bank to issue additional guarantee for the
amount so invoked within a period of 15 days so that at all material times the
performanceguaranteebywayofbankguarantee isavailablewith theDepartment for
theentiresumsorequiredtobefurnishedintermsofthisRfPdocument.
2.6 Commencementoflease
Upon execution and registration of the Lease Deed, the lease will be deemed to
commenceonthedatetheSelectedBidderisputinpossessionofthesaidlandparcel.
2.7 LeaseDeed
Within30daysofreceivingpossession,theSelectedBidderwillsendtoCTCwithcopyto
theDepartment, theLeaseDeedof thesaid landparcelduly filled inandcompleted in
theformcontainedinAppendixVIhereofforverificationbyCTC/Departmentwithin30
daysofreceiptthereof,CTC/theDepartmentshallsendtotheSelectedBiddertheduly
approvedleasedeed(withorwithoutappropriatemodifications)forbeingstampedand
made ready for execution and registration. The proposed lesseewill, after getting the
documentstamped,arrangeforregistrationofthesameuponitsexecutionbybothCTC
and itself, within 15 days of receipt of the document from CTC/ the Department. All
obligationsofthebiddercontainedinthisRfPshallcommenceonthedatepossessionis
handedovertoit,irrespectiveofdateofexecutionofLeaseDeed.FailuretohaveLease

Deedexecutedandregisteredwithinthetimeaforesaidwillbeconsideredtobeabreach
ofthetermsofthelease.
2.8 Contactsduringbidevaluation
Bidsshallbedeemedtobeunderconsiderationimmediatelyaftertheyareopenedand
until such time the Department makes official intimation of award/ rejection to the
bidders.Whilethebidsareunderconsideration,biddersand/ortheirrepresentativesor
other interested parties are advised to refrain from contacting by any means, the
DepartmentorCTC,and/ortheiremployees/representativesonmattersrelatedtothe
bidsunderconsideration.

3. FRAUDANDCORRUPTPRACTICES
3.1 Thebiddersandtheirrespectiveofficers,employees,agentsandadvisersshallobserve
thehigheststandardofethicsduringthebiddingprocess.Notwithstandinganythingto
the contrary contained herein, or in the LOI or the Lease Deed, the Departmentmay
rejectabid,withdrawtheLOI,orterminatetheLeaseDeed,asthecasemaybe,without
beingliableinanymannerwhatsoevertotheSelectedBidderorLessee,asthecasemay
be,ifitdeterminesthattheSelectedBidderorLessee,asthecasemaybe,has,directlyor
indirectlyorthroughanagent,engagedincorruptpractice,fraudulentpractice,coercive
practice, undesirablepractice or restrictivepractice in thebiddingprocess. In such an
event,theDepartmentshallbeentitledtoforfeitandappropriatethebidsecurityand/or
bankguarantee forperformanceguaranteeasdamageswithoutprejudice toanyother
rightorremedythatmaybeavailabletotheDepartmentunderthebiddingdocuments
and/ortheLeaseDeed,orotherwise.
3.2 WithoutprejudicetotherightsoftheDepartmentunderclause3.1hereinaboveandthe
rightsandremedieswhichtheDepartmentmayhaveundertheLOIortheLeaseDeed,or
otherwiseifabidderorLessee,asthecasemaybe,isfoundbytheDepartmenttohave
directlyor indirectlyor throughanagent,engagedor indulged inanycorruptpractice,
fraudulentpractice,coercivepractice,undesirablepracticeorrestrictivepracticeduring
thebiddingprocess,oraftertheissueoftheLOIortheexecutionoftheLeaseDeed,such
bidderorLessee shallnotbeeligible toparticipate in any tenderorRfP issuedby the
Department/CTCduringaperiodof2(two)yearsfromthedatesuchbidderorlessee,as
thecasemaybe,isfoundbytheDepartmenttohavedirectlyorindirectlyorthroughan
agent,engagedorindulgedinanycorruptpractice,fraudulentpractice,coercivepractice,
undesirablepracticeorrestrictivepractices,asthecasemaybe.

3.3 Forthepurposesofthisclause3,thefollowingtermsshallhavethemeaninghereinafter
respectivelyassignedtothem:‐
a) “corrupt practice” means (i) the offering, giving, receiving, or soliciting,
directlyorindirectly,ofanythingofvaluetoinfluencetheactionsofanyperson
connected with the bidding process (for avoidance of doubt, offering of
employmenttooremployingorengaginginanymannerwhatsoever,directlyor
indirectly,anyofficialoftheDepartmentorCTCwhoisorhasbeenassociatedin
anymanner,directlyorindirectlywiththebiddingprocessortheLOIorhasdealt
withmattersconcerningtheLeaseDeedorarisingtherefrom,beforeorafterthe
execution thereof,at any timeprior to theexpiryof1 (one)year fromthedate
suchofficialresignsorretiresfromorotherwiseceasestobeintheserviceofthe
Department, shall be deemed to constitute influencing the actions of a person
connectedwiththebiddingprocess);
b) “fraudulent practice” means a misrepresentation or omission of facts or
suppression of facts or disclosureof incomplete facts, in order to influence the
biddingprocess;
c) “coercive practice” means impairing or harming, or threatening to impair or
harm, directly or indirectly, any person or property to influence any person’s
participationoractioninthebiddingprocess;
d) “undesirable practice” means (i) establishing contact with any person
connected with or employed or engaged by the Department or CTC with the
objectiveofcanvassing, lobbyingor inanymanner influencingorattemptingto
influencethebiddingprocess;or(ii)havingaConflictofInterest;and

e) “restrictivepractice”meansformingacartelorarrivingatanyunderstandingor
arrangementamongbidderswith theobjectiveof restrictingormanipulating a
fullandfaircompetitioninthebiddingprocess.

4. SITEVISITANDPRE‐BIDCONFERENCE
4.1 Thesitevisitandthepre‐bidconferenceshallbeheldonadate/datestobeinformedas
aforesaid. Amaximumof3 (three) representativesof eachbidder shall beallowed to
attend the site visit and the pre‐bid conference. The representatives of each bidder
shouldcarrythereceiptofpaymentofbiddocumentcostinordertoattendthesitevisit
andthepre‐bidconference.
4.2 Duringthesitevisit,thesaidlandparcelwillbesuitablydemarcated.Atthetimeofthe
site visit, the said land parcelmay contain various plant andmachinery, equipments,
buildings,structuresandboundarywallsbelongingtoCTC.CTCreservesitsrighttohave
permissiveuseofthesaidlandparcelforaperiodofupto6monthsafterhandingover
possessionofsuchlandparceltotheSelectedBidderandremoveallsuchitemsofplant
andmachinery,equipments,buildingsandstructureslyingatorinstalledinthesaidland
parcel. For any such item not so removed by CTC within the above stipulated time
period,theSelectedBiddershallbefreetodealwiththesameasitsowishesatitsrisk
andcosts.

5. MISCELLANEOUS
5.1 Thebiddingprocessshallbegovernedby,andconstruedinaccordancewith,thelawsof
IndiaandtheCourtsatKolkata,WestBengalaloneshallhaveexclusivejurisdictionover
alldisputesarisingunder,pursuanttoand/orinconnectionwiththebiddingprocess.
5.2 TheDepartment, in itssolediscretionandwithout incurringanyobligationor liability,
reservestheright,atanytime,to;
a) suspendand/orcancelthebiddingprocessand/oramendand/orsupplement
thebiddingprocessormodify thedatesorother termsandconditions relating
thereto;
b) consultwithanybidderinordertoreceiveclarificationorfurtherinformation;
c) retain any information and/ or evidence submitted to the Department by, on
behalfof,and/orinrelationtoanybidder;or
d) independentlyverify,disqualify,rejectand/oracceptanyandallsubmissionsor
otherinformationand/orevidencesubmittedbyoronbehalfofanybidder.
5.3 It shall be deemed that by submitting the bid, the bidder agrees and releases the
Department andCTC, its employees, agents and advisors, irrevocably, unconditionally,
fullyandfinallyfromanyandallliabilityforclaims,losses,damages,costs,expensesor
liabilities in any way related to or arising from the exercise of any rights and/ or
performance of any obligations hereunder, pursuant hereto and/ or in connection
herewith and waives any and all rights and/ or claims it may have in this respect,
whetheractualorcontingent,whetherpresentorfuture.

5.4 Norighttoaccrue
NorightshallaccrueinfavouroftheSelectedBidder,tillexecutionofLeaseDeedismade
infavourofsuchbidderafterLeasePremiumisreceivedandthebidderisotherwisenot
inbreachofanyofthetermsandconditionshereincontained.

6. OTHERTERMS&CONDITIONS
A bidder shall abide by the following conditions. Failure to do so will lead to
disqualificationofabidderandforfeitureofthebidsecurity:‐
6.1 Abiddershallsubmitonlyonebideithersinglyoraspartofaconsortium.
6.2 Allformsmustbesignedbyanauthorisedsignatoryofthebidderandstampedwiththe
rubberstamp/commonsealofthebidder/leadmemberoftheconsortium.
6.3 A photocopy of the this RfP together with any subsequent addendum/ corrigendum/
clarificationsissuedbytheDepartment/CTCinthisregard,dulyinitialedintokenofits
acceptance,onallpageswithrubberstamp/commonsealofthebidder/leadmemberof
theconsortiummustbereturnedwiththeQualificationBid.
6.4 Disputes and differences arising out of or in connection with or relating to the
interpretation or implementation or termination of the present RfP document, the
biddingprocess,theadequacyorsufficiencyofprice,ortheleasetobegrantedinfavour
of theSelectedBidderwhichcannotbesettledbymutualnegotiationwithin60(sixty)
days, shall be referred to the sole arbitration of an Arbitrator to be appointed by the
PrincipalSecretaryoftheTransportDepartmentoftheGoWB.Sucharbitrationshallbe
held according to theprovisionsof theArbitration andConciliationAct, 1996andany
modificationorreenactmentthereto.Thevenueofthearbitrationproceedingsshallbeat
KolkataandlanguageofthearbitrationshallbeEnglish.Thearbitrationawardshallbe
finalandbindinguponthepartiesandthepartiesagreetobeboundtherebyandtoact
accordingly.Whenanydisputehasbeenreferredtoarbitration,exceptforthemattersin
dispute,thepartiesshallcontinuetoexercisetheirremainingrespectiverightsandfulfill
theirremainingrespectiveobligations.

6.5 Conditionalorqualifiedbidswillbetreatedasnon‐responsive.
6.6 The Department reserves its right to waive non‐substantial deviations without being
boundtodoso.
6.7 The bidding documents including this RfP and all attached documents are and shall
remainthepropertyoftheDepartmentandaretransmittedtothebidderssolelyforthe
purposeofpreparationandthesubmissionofabidinaccordanceherewith.Biddersare
totreatallinformationasstrictlyconfidentialandshallnotuseitforanypurposeother
thanforpreparationandsubmissionoftheirbid.Theprovisionsofthisclauseshallalso
applymutatismutandis tobidsandallotherdocumentssubmittedby thebidders.The
Departmentwillnotreturnanybidoranyinformationprovidedalongtherewith.
6.8 A bidder shall not have a conflict of interest (the “Conflictof Interest”)with another
bidderthataffectsthebiddingprocess.AllbidderssofoundtohaveaConflictofInterest
shall be disqualified. In the event of disqualification, the Department shall forfeit and
appropriatethebidsecurityofallsuchbiddersaslossasdeterminedbytheDepartment
and damages likely to be suffered and incurred by theDepartment and not byway of
penaltyfor,interalia,thetime,costandeffortoftheDepartment,includingconsideration
of such bidder’s proposal (the “damages”), without prejudice to any other right or
remedy that may be available to the Department hereunder or otherwise. Without
limiting the generality of the above, a bidder shall be considered to have a Conflict of
Interestwithanotherbidderthataffectsthebiddingprocess,if:
(a) the bidder, its member or associate (or any constituent thereof) and any other
bidder, its member or associate (or any constituent thereof) have common
controlling shareholders or other ownership interest; provided that this

qualificationshallnotapplyincaseswherethedirectorindirectshareholdingofa
bidder, itsmember or an associate thereof (or any shareholder thereof having a
shareholdingofmorethan5%[fivepercent]ofthepaidupandsubscribedshare
capital of such bidder, member or associate, as the case may be), in the other
bidder(s),itsmemberorassociateislessthan5%(fivepercent)ofthepaidupand
subscribedequitysharecapital thereof;providedfurtherthatthisdisqualification
shallnotapplytoanyownershipbyabank,insurancecompany,pensionfundora
publicfinancialinstitutionreferredtoinSection4AoftheCompaniesAct,1956or
bytheCentral/aStateGovernmentortheirinstrumentalities.Forthepurposesof
thisclause, indirectshareholdingheldthroughoneormoreintermediatepersons
shall be computed as follows: (aa) where any intermediary is controlled by a
personthroughmanagementcontrolorotherwise,theentireshareholdingheldby
suchcontrolledintermediaryinanyotherperson(the“SubjectPerson”)shallbe
takenintoaccountforcomputingtheshareholdingofsuchcontrollingpersoninthe
SubjectPerson;and(bb)subjectalwaystosub‐clause(aa)above,whereaperson
does not exercise control over an intermediary, which has shareholding in the
Subject Person, the computation of indirect shareholding of such person in the
SubjectPerson shallbeundertakenon aproportionatebasis; provided, however,
that no such shareholding shall be reckoned under this sub‐clause (bb) if the
shareholding of such person in the intermediary is less than 26% (twenty six
percent)of thesubscribedandpaidupequityshareholdingofsuch intermediary;
or
(b) aconstituentofasuchbidderisalsoaconstituentofanotherbidder;or
(c) such bidder, its member or any associate thereof receives or has received any

directorindirectsubsidy,grant,concessionalloanorsubordinateddebtfromany
other bidder, its member or associate, or has provided any such subsidy, grant,
concessional loan or subordinated debt to any other bidder, its member or
associate;or
(d) suchbidderhasthesamelegalrepresentativeasanyotherbidder;or
(e) suchbidderoranyassociatethereofhasarelationshipwithanotherbidderorany
associate thereof, directly or through common third parties, that puts them in a
positiontohaveaccesstoeachothers’informationabout,ortoinfluencethebidof
eitheroreachoftheotherbidder;or
(f) suchbidderhasparticipatedasaconsultanttotheDepartmentinthepreparation
ofanydocuments,designortechnicalspecificationsoftheProject.
Explanation:
Incaseabidderisaconsortium,thenthetermbidderasusedinthisclause,shallincludeeach
memberofsuchconsortium.
For purposes of this RfP, “associate”means, in relation to the bidder/consortiummember, a
person who controls, is controlled by, or is under the common control with such
bidder/consortium member. As used in this definition, the expression “control” means, with
respecttoapersonwhichisacompanyorcorporation,theownership,directlyorindirectly,of
morethan50%(fiftypercent)ofthevotingsharesofsuchperson,andwithrespecttoaperson
whichisnotacompanyorcorporation,thepowertodirectthemanagementandpoliciesofsuch

5. We, theBank, further agree that theDepartment shall be the sole judge to decide as to
whether theBidder is in default of due and faithful fulfillment and compliancewith the
termsandconditionscontainedintheBiddingDocumentsincluding,interalia,thefailure
of the Bidder to keep its bid open during the bid validity period set forth in the said
BiddingDocuments, and the decision of theDepartment that theBidder is in default as
aforesaid shall be final and binding on us, notwithstanding any differences between the
DepartmentandtheBidderoranydisputependingbeforeanyCourt,Tribunal,Arbitrator
oranyotherDepartment.
6. TheGuaranteeshallnotbeaffectedbyanychangeintheconstitutionorwindingupofthe
BidderortheBankoranyabsorption,mergeroramalgamationoftheBidderortheBank
withanyotherperson.

7. InordertogivefulleffecttothisGuarantee,theDepartmentshallbeentitledtotreatthe
Bank as the principal debtor. The Department shall have the fullest liberty without
affecting in anyway the liability of theBankunder thisGuarantee from time to time to
varyanyofthetermsandconditionscontainedinthesaidBiddingDocumentsortoextend
time for submission of the Bids or the bid validity period or the period for conveying
acceptance of Letter of Intimation of Award of Lease by the Bidder or the period for
fulfillmentandcompliancewithalloranyofthetermsandconditionscontainedinthesaid
BiddingDocumentsbythesaidBidderortopostponeforanytimeandfromtimetotime
anyofthepowersexercisablebyitagainstthesaidBidderandeithertoenforceorforbear
fromenforcinganyofthetermsandconditionscontainedinthesaidBiddingDocuments
orthesecuritiesavailabletotheDepartment,andtheBankshallnotbereleasedfromits
liability under these presents by any exercise by the Department of the liberty with
referencetothemattersaforesaidorbyreasonoftimebeinggiventothesaidBidderor
anyotherforbearance,actoromissiononthepartoftheDepartmentoranyindulgenceby
theDepartmenttothesaidBidderorbyanychangeintheconstitutionoftheDepartment

1. DefinitionsandInterpretations
InthisAgreement,thecapitalisedtermsshall,unlessthecontextotherwiserequires,have
themeaningascribedtheretoundertheRfP.
2. Consortium
2.1 The Parties do hereby irrevocably constitute a consortium (the “Consortium”) for the
purposesofjointlyparticipatinginthebiddingprocessfortheProject.
2.2 The Parties hereby undertake to participate in the bidding process only through this
Consortiumandnotindividuallyand/orthroughanyotherconsortiumconstitutedforthis
Project,eitherdirectlyorindirectlyorthroughanyoftheirassociates.
3. Covenants
The Parties hereby undertake that in the event the Consortium is declared the Selected
BidderandawardedtheProject,itshallmakethepaymentoftheLeasePremiumandalso
enterintoLeaseDeedforperformingallitsobligationsastheLesseeintermsoftheLease
DeedfortheProject.
4. RoleoftheParties

ThePartiesherebyundertakethatPartyoftheFirstPartshallbetheLeadMemberofthe
Consortium and shall have the Power of Attorney from all Parties for conducting all
business for and on behalf of the Consortium during the Bidding Process and until the
signing of the Lease Deed when all the obligations of the Consortium shall become
effective.
5. JointandSeveralLiability
ThePartiesdoherebyundertaketobejointlyandseverallyresponsibleforallobligations
andliabilitiesrelatingtotheProjectandinaccordancewiththetermsoftheRfPandthe
LeaseDeed,duringsubsistenceoftheLeaseDeed.
6. RepresentationoftheParties
EachPartyrepresentstotheotherPartiesasofthedateofthisAgreementthat:
(a) SuchPartyisdulyorganised,validlyexistingandingoodstandingunderthelawsof
IndiaandhasallrequisitepowerandauthoritytoenterintothisAgreement;
(b) ShareofeachPartyintheproposedConsortiumshallbeasfollows:‐

(ii) violateanyApplicableLawpresentlyineffectandhavingapplicabilitytoit;

(iii) violate the memorandum and articles of association, bye‐laws or other
applicableorganisationaldocumentsthereof;
(iv) violateanyclearance,permit,concession,grant,licenseorotherGovernmental
authorisation, approval, judgment, order or decree or any mortgage
agreement, indentureoranyotherinstrumenttowhichsuchPartyisaparty
orbywhichsuchPartyoranyofitspropertiesorassetsareboundorthatis
otherwiseapplicabletosuchParty;or
(v) create or impose any liens, mortgages, pledges, claims, security interests,
charges or encumbrances or obligations to create a lien, charge, pledge,
security interest, encumbrances or mortgage in or on the property of such
Party, except for encumbrances that would not, individually or in the
aggregate, have a material adverse effect on the financial condition or
prospectsorbusinessofsuchPartysoastopreventsuchPartyfromfulfilling
itsobligationsunderthisAgreement;
(d) this Agreement is the legal and binding obligation of such Party, enforceable in
accordancewithitstermsagainstit;and
(e) thereisnolitigationpendingor,tothebestofsuchParty'sknowledge,threatenedto
whichitoranyofitsAffiliatesisapartythatpresentlyaffectsorwhichwouldhavea
material adverse effecton the financial conditionorprospects orbusinessof such
PartyinthefulfillmentofitsobligationsunderthisAgreement.
7. Termination
ThisAgreementshallbeeffectivefromthedatehereofandshallcontinueinfullforceand
effectuntiltheexecutionoftheLeaseDeedfortheProject,incasetheProjectisawardedto
theConsortium.However,incasetheConsortiumiseithernotpre‐qualifiedfortheProject
ordoesnotgetselectedforawardoftheProject,theAgreementwillstandterminatedin
case the Consortium is not pre‐qualified or upon return of the bid security by the
Department to the Bidder, as the case may be. None of the parties will be entitled to
terminate their association with the Consortium, till return of the bid security by the
Department/CTCorpaymentoftheLeasePremiumbytheConsortium,whicheverislater.

8.Miscellaneous
8.1 ThisJointBiddingAgreementshallbegovernedbylawsofIndia.
8.2 The Parties acknowledge and accept that this Agreement shall not be amended by the
PartieswithoutthepriorapprovaloftheDepartment.
INWITNESSWHEREOFTHEPARTIESABOVENAMEDHAVEEXECUTEDANDDELIVEREDTHIS
AGREEMENTASOFTHEDATEFIRSTABOVEWRITTEN.

assessments, impositions and outgoings (including interest and penalties in case of delayed
payment)whatsoeverwhichnowareorduringthesaidtermshallbeimposedorchargedupon
thedemiseofthedemisedpremisesandwhichmaybepayablebytheowneroroccupierthereof
whetherinrespectofthedemiseherebycreated,thelandcomprisedinthedemisedpremisesor
thebuilding(s)tobeerectedthereon.
2.3 Toundertakeconstructionofthebuilding(s)onthedemisedpremisesforsuchpurpose
asmay be allowed by themunicipal and appropriate authorities within 12 (twelve)months
fromthedateofhandingoverofpossessionofthedemisedpremisestotheLesseeinaccordance
withtheplanssanctionedandspecificationstobeapprovedbytheappropriateauthority/body
andaccording to the rulesand regulations framed for theuseof thedemisedpremisesand to
complete construction thereofwithin a period of 60 (sixty)months from the date of handing
over of possession of the demised premises PROVIDEDHOWEVER that the Lessormay at its
discretiononanapplicationbeingmadeto itby theLessee forgoodcausesandconsideration,
includingexistenceof conditionsof forcemajeureandonpaymentof such feesorpenalty, by
whatevernamecalled,asmaybefixedbytheLessorfromtimetotime,granttotheLesseesuch
extension of time to commence and/or complete construction of the said building(s) on the
demisedpremisesforsuchperiodastheLessormaydetermineFURTHERPROVIDEDHOWEVER
that upon failure of the Lessee to comply with such covenant to commence and complete
construction of the building(s)within the time originally fixed or asmay be extended by the
Lessor,theleaseshallbeliabletobeterminatedbytheLessorandtheLessorentitledtore‐enter
intooruponthedemisedpremisesandobtainpossessionthereof.

2.4 Tocomplywithandfollowallapplicablelaws,rulesandregulationsforconstructionand
use, enjoyment and possession of the demised premises and the building(s) to be erected
thereon [including but not limited to the LandUseDevelopment and Control Plan (LUDCP) /
DevelopmentControlRegulationsoftheKolkataMetropolitanDevelopmentAuthority/Kolkata
MunicipalCorporationfortheKolkataMetropolitan/MunicipalAreaorpartthereofandalsothe
Building Rules thereof or of the concerned Corporation /Municipality / Panchayat any other
LocalAuthority]andtobesolelyanswerableandresponsibleforallbreachesand/ordefaultsin
compliancethereofandtokeeptheLessorsavedharmlessandindemnifiedforalllossesclaims
anddemandswhichtheLessormaysufferorbeputtobyreasonofanybreachorallegedbreach
ofthiscovenant.
2.5 Toobtainat itsowncostallpermissionsandlicenceswhichmaybenecessarytomake
construct, erect, hold, use and/or enjoy the building(s) on the demised premises and observe
and perform all laws, rules and regulations which may be required to be observed and
performed by it, at its own costs and responsibility, keeping the Lessor saved harmless and
indemnifiedinthisregard.
2.6 Tokeepthedemisedpremisesandthebuilding(s) thereon inaneatandcleanmanner
and hygienic condition free from all sorts of nuisance and not to allow accumulation of any
water,waste,dirtor garbage inanypart thereofwhich isor canbea risk to thehealthof the
occupantsof thedemisedpremisesand thebuilding(s) thereonorof thenearbyproperties at
anytime.
2.7 Tomaintainandkeepallstructurestobeerectedonthedemisedpremisesingoodand
habitablecondition.

2.8 Tomakeallarrangementsforsecurity,firefightingandfiresafetyandallnecessarycivic
facilities and amenities as may be required for preservation and protection of the demised
premises at its own cost and to the satisfaction of the Lessor and to carry out regular
maintenanceandreplacementofelectricalwirings,installationsandappliancesthereat.
2.9 To allow the Lessor, its agents and servantswith 24 hours’ previous notice inwriting
(except for emergencieswhen no such noticewould be required) to enter into and upon the
demisedpremisesandallstructuresthereonandviewthestateandconditionthereofandtogive
or leave notice of any defect in such conditionwhich the Lessee shall be liable tomake good
within15daysaftersuchnoticehasbeengivenorleft.
2.10 To make regular payments for consumption of electricity, water and other services
and/orutilitiessuppliedtoorobtainedforthedemisedpremisesandtokeeptheLessorsaved
harmlessand indemnified in thisregard. In theevent thereareanyamountsoutstandingwith
respecttowaterandelectricityoranyotherutilitiesorfacilitiesorservicesconsumedoravailed
forthedemisedpremisesontheexpiryorsoonerdeterminationofthisLeaseDeed,theLessee
shallbe liable tomakepayments for thesameto theconcernedauthoritynotwithstanding the
expiryordeterminationofthislease.
2.11 ToexecutetothesatisfactionoftheLessorallworksandobserveandperformallsuch
rules and conditionswhich shall appear to the Lessoror to the appropriate authorities of the
Statetobenecessaryordesirableinordertokeepthedemisedpremisesingoodsanitaryorder
andcondition.

2.12 To preserve intact the boundaries of the demised premises and to keep them well
demarcatedwithboundarywalls,pillarsorfencingaccordingtorequisitionfromtimetotimeas
maybemadeby theLessorand topoint themoutwhenrequiredby theLessor toanyofficer
dulyauthorizedbytheLessorinwritingtoinspectthem.Shouldanyboundarymarkbemissing,
the Lessee shall report the fact to theLessor. TheLessee shallmaintain suchboundarywalls,
pillarsorfencingingoodandproperconditionduringthetermofthisleaseatitsowncost.
2.13 Totakestepstoensurethatnothirdpartymayencroachintooruponanyportionofthe
demisedpremisesorthebuilding(s)tobeerectedthereon.
2.14 To allow anyperson authorisedby the Lessor to inspect, repair and clean sewer lines
and/or manholes or to do any other works in connection therewith, within the demised
premiseswithoutanyobstructionorhindrancebytheLesseeorbyanyofitsmenandagents.
2.15 Nottouseorallowthedemisedpremisesoranypartthereoforanyconstructionthereon
foranyillegalorimmoralpurposesorforanynoisyoroffensivetradeorbusiness.
2.16 Nottoamalgamatethedemisedpremisesoranypartthereofwithanyotherplotorplots
oflandwithoutthepriorwrittenpermissionoftheLessor.Nottoseparatethedemisedpremises
oranypartthereoffromthemotherpremises.

2.17 Nottoremoveanyearthfromthedemisedpremisesforanypurposeotherthanforthe
purpose for which the land is demised, which earth should be used for re‐filing of trenches
excavated for construction and not to cause any damage or depreciation to the demised
premises.
2.18 Nottobringinorstoreorallowtobebroughtinorstoredinthedemisedpremisesor
any part thereof any hazardous inflammable combustible or explosive substance or any hide,
skinorotherarticleslikelytoinjureordamagethedemisedpremisesand/orthestructuresto
beconstructedthereonandnotdoorallowtobedoneonthedemisedpremisesanythingthat
may deteriorate the value of the demised premises or injure the same in any way, except in
accordancewithlaw.
2.19 Nottoallowthedemisedpremisesoranyconstructionthereonoranypartthereoftobe
usedasaplaceofpublicworshiporburialorcremationgroundandnotallowanyshrine,temple,
mosque, church or any other kind of place of worship to be erected thereon or on any part
thereofforthesaidpurposes.
2.20 Not toassignand/or transfer its rightor interest in thedemisedpremisesor anypart
thereof(exceptbywayofsub‐lease,sub‐lettingoranyothermodeormannernotamountingtoa
complete assignment of Lessee’s right title and interest in thedemisedpremises as described
hereinafter in clause 3.2) without previous approval in writing of the Lessor. A transfer or
assignment which is restricted hereby shall also include transfer or assignment by way of
amalgamation,reconstructionoranyothermodeormannerbywhichthe leaseholdinterestof
theLesseeistransferredtoanyotherperson,withouttheapprovalinwritingoftheLessorwith

necessaryconcurrenceoftheGovernmentofWestBengalfirsthadobtainedProvidedHowever
That the Lessee shall have the right tomortgage or charge its leasehold interest in favour of
ScheduledBanks/FinancialInstitutions.
2.21 Not to encroach or allow or suffer any encroachment to bemade upon the adjoining
roadsoranyportionsof landssurroundingthedemisedpremisesoruponanyotheradjoining
landwhatsoever.
2.22 Notatanytimeduringthetermofthislease,toopenorworkordiganyquarriesforclay,
gravel or sand, inuponorunder thedemisedpremisesand theLesseeagrees that theLessor
reservestherighttoallmineralsinthedemisedpremisestogetherwithsuchrightsofwayand
any other reasonable facilities as be requisite for mining, gathering and carrying away such
minerals.
2.23 Not to keep or leave at any time during the term of this lease the demised premises
and/orthebuilding(s)erectedthereonunused,unattendedorlockedforaperiodofmorethan
10(ten)months.
2.24 Not to claim any damage or compensation for delay in providing any infrastructural
facility such as sewerage connection, water supply, electricity connection for the demised
premisesorforanyothersimilarcauseornature.
2.25 Nottodoorcausetobedoneinoruponthedemisedpremisesoranypartthereoforin
thebuilding(s)thatmaybeerectedthereon,anyactorthingwhichshallormaybeorbecomea

nuisance, damage, annoyance, inconvenience or danger to the demised premises or to the
ownersoroccupiersofanyadjoiningorneighbouringlandorpremises.
2.26 At the expiry of the term hereby granted or sooner determination thereof, the Lessee
shallmakeovervacantandpeacefulpossessionofthedemisedpremisestotheLessortogether
with all buildings and constructions erected thereon, free from all encumbrances, charges,
mortgages and without payment of any cost or compensation for the buildings/structures
existingatthetimeofexpiryofleaseorsoonerdeterminationthereof.
III. THELESSORHEREBYCOVENANTSWITHTHELESSEEasfollows:
3.1 The Lessee, paying the annual lease rent, the said rates and taxes, and other amounts
hereby reserved and observing and performing the terms conditions and covenants herein
containedandonitsparttobepaidperformedandobserved,shallholdandenjoythedemised
premises during the termhereby createdwithout any interruption, hindrance, disturbance or
obstructionbytheLessororanypersonclaimingthroughunderorintrustfortheLessor.
3.2 ThattheLesseeshallbeentitledtosub‐let,sub‐leaseorotherwisedealwithordisposeof
constructedspaces inthebuilding(s) tobeerectedonthedemisedpremisesnotamountingto
anyassignmentofentiretyofLessee’sinterestinthedemisedpremisesontermsandconditions
notcontrarytoorinconsistentwiththetermsofthesepresents,withoutneedofanyapprovalof
theLessorPROVIDEDHOWEVERthat theLesseeshall alwayskeep theLessorsavedharmless

andindemnifiedfromandagainstanylossesclaimsordemandswhichtheLessormaysufferor
beputtobyreasonofanysuchsub‐lettingoruse.
3.3 Theleaseshall,withthepriorpermissionofthelessor,berenewableattheoptionofthe
Lessee foronemoretermof99(ninetynine)yearswhichoptiontheLesseemustexercisenot
before1 (one) yearbefore the expiryof the termhereby created andnot later than3 (three)
monthspriortoitsexpiry,byservingnoticeinwritingtotheLessor,whereupon,theLessormay,
grant in favourof theLessee, aDeedofRenewalof the leaseonsimilar termsand conditions,
whichistobestampedandregisteredattheLessee’scostsandexpenses.
IV. THELESSORANDTHELESSEEHEREBYAGREEANDCOVENANTWITHEACHOTHER
asfollows:
4.1 ThatanydemandforpaymentornoticerequiringtobemadeuponorgiventotheLessee
shall be sufficiently made or given if sent by the Lessor to the Lessee at the address of the
demisedpremisesorsentbyregisteredpost/speedpostaddressedtotheLesseeatthedemised
premisesor to its last knownaddress and that, thenotice requiring tobe given to theLessor
shallbesufficientlygivenifdeliveredatorsentbyregisteredpost/speedpostaddressedtothe
officeoftheLessee.AllchangesofaddressoftheLesseeshallbecommunicatedbytheLesseeto
theManagingDirectoroftheLessorinwritingwithinareasonableperiodofitschange.
4.2 That any relaxation and indulgence granted by the Lessor to the Lessee shall not in
anywayprejudicetherightsoftheLessorunderthisDeedofLease.

4.3 ThatthefailureoftheLessortoenforceinanyoneormoreinstances,performanceofany
of the termscovenantsandconditionsof thesepresentsshallnotbeconstruedasawaiveror
relinquishmentofanyrightorclaimgrantedorarisinghereunderorofthefutureperformance
ofanysuchtermconditionandcovenantandsuchfailureshallnotinanywayaffectthevalidity
ofthisDeedofLeaseortherightsandobligationsofthepartieshereto.TheLesseeagreesthata
waiver of any term or provision hereof may only be made by a written instrument of
modificationofleaseexecutedbybothpartieshereto.
4.4 ThatanystatutorypowersasmayhavebeenorwillbeconferredupontheLessorshall
automaticallyapplytothedemisedpremisesandprovisionsinthatrespectshallbedeemedto
havebeenincorporatedinthesepresentsbywayofreferenceandtheLesseeisdeemedtohave
constructivenoticethereof.
4.5 That the terms and conditions of the lease shall be subject to changes of policy of the
LessorfromtimetotimeandtheLesseeshallabidebythesame.
4.6 If the Lessee being a registered partnership firm or Consortium comprising of an
individual or individuals, whereby the constituent individual or individuals shall become
insolventorcommitanactofinsolvencyorbeadjudicatedinsolventorenterintoacomposition
orarrangementwithitscreditorsoriftheLesseebeingacompanyorcorporatebodyorLimited
Liability Partnership (LLP) shall go into liquidation or bewound upwhether compulsorily or
voluntarily (including for the purpose of amalgamation or re‐construction) or suffer any
execution proceedings to be levied or a receiver to be appointed in respect of any of their
propertiesandeffectsornotwithstandinganythinginthesepresentscontained,iftheLesseeis
inbreachofanyoftheterms,conditionsandcovenantscontained inthesepresentsandon its
part to be paid observed or performed and the Lessor calling upon the Lessee to rectify the

breachcomplainedofandsuchbreachnotbeingcuredor rectified to theLessor’s satisfaction
withinaperiodof6(six)monthsfromthedateofserviceofsuchnotice,thenandinanyofsuch
cases, it shallbe lawful for theLessororanypersondulyauthorisedby itwithoutany further
noticeatanytimethereafter totreatthisdemiseasdeterminedandtore‐enter intoandupon
thedemisedpremisesoranypartthereofandthesametohaveagainre‐possessedandenjoyed
asinitsformerestateandwithoutbeingliabletopayanycostorcompensationforthedemised
premises or the buildings or structures thereon which shall vest in the Lessor on such
terminationandnoticeofresumption,butwithoutprejudicetoanyrightofactionorremedyof
theLessorinrespectofanyantecedentbreachornon‐performanceornon‐observanceofanyof
thecovenantsandconditionsbytheLesseehereincontained.
4.7 ThatifitisfoundthattheleaseofthedemisedpremiseshasbeenobtainedbytheLessee
bymisrepresentationor fraud, theLease shall standdeterminedand theLessorentitled to its
rightscontainedinclause4.6above.
4.8 Thatintheeventofthedemisedpremisesoranypartthereoforanystructurethereon
being materially damaged or destroyed by earthquake tempest or other act of God or any
irresistibleforceorfirenotcausedbyanyactorneglectonthepartoftheLesseesoastorender
thedemisedpremisesoranypart thereofsubstantiallyandpermanentlyunfit for thepurpose
forwhichithasbeenlet,thisleaseshallattheoptionoftheLesseebevoid.
4.9 That incaseofanydispute in the interpretationofanyof theclausesof the termsand
conditioncontainedinthisDeedofLease, thedecisionoftheLessorshallbefinalandbinding.
Disputesanddifferencesarisingoutoforinconnectionwithorrelatingtotheinterpretationor

implementation or termination of thisDeed of Lease, the lease to be granted in favour of the
Lesseewhichcannotbesettledbymutualnegotiationwithin60(sixty)days,shallbereferredto
thesolearbitrationofanArbitratortobeappointedbythePrincipalSecretaryoftheTransport
Department of the GoWB. Such arbitration shall be held according to the provisions of the
ArbitrationandConciliationAct,1996andanymodificationorreenactmentthereto.Thevenue
ofthearbitrationproceedingsshallbeatKolkataandlanguageofthearbitrationshallbeEnglish.
The arbitration award shall be final and binding upon theparties and theparties agree to be
boundtherebyandtoactaccordingly.Whenanydisputehasbeenreferredtoarbitration,except
forthemattersindispute,thepartiesshallcontinuetoexercisetheirremainingrespectiverights
andfulfilltheirremainingrespectiveobligations.
4.10 Thatboth theLessorand theLesseeexpresslyagree for registrationof thesepresents.
Thecostofpreparing,stampingandregisteringthisDeedofLeaseshallbebornebytheLessee.
4.11 CourtsatKolkataaloneshallhaveexclusivejurisdictiontotryandentertainalldisputes
arisingoutofthisDeedofLeaseandthetransactionscontemplatedherein.

Documentshallbefinal,conclusiveandbindingontheBank.
3. We, theBank,doherebyunconditionallyundertake topay theamountsdueandpayable
under this Guarantee without any demur, reservation, recourse, contest or protest and
withoutanyreferencetotheBidderoranyotherpersonand irrespectiveofwhetherthe
claimofCTCisdisputedbytheBidderornotmerelyonthefirstdemandfromCTCstating
that the amount claimed is due to CTC by reason of failure of the Bidder to fulfill and
perform its obligations contained in the RfP Document for any reasonwhatsoever. Any
suchdemandmadeontheBankshallbeconclusiveasregardsamountdueandpayableby
the Bank under this Guarantee. However, our liability under this Guarantee shall be

4. This Guarantee shall be irrevocable and remain in full force for a period of 120 (one
hundredand twenty)daysafterstipulateddateofobtainingnoticeof completion froma

certified Licensed Building Surveyor/ Licensed Building Architect as per the Kolkata
Municipal Corporation Act, 1980 and the rules made thereunder in respect of the
constructionandthereafterforsuchextendedperiodasmaybemutuallyagreedbetween
the Department and the Bidder, and agreed to by the Bank, and shall continue to be
enforceabletillallamountsunderthisGuaranteehavebeenpaid.
5. We, theBank, further agree thatCTC shallbe the sole judge todecideas towhether the
Bidder is in default of due and faithful fulfillment and performance of its obligations
contained in the RfP Document and the decision of CTC that the Bidder is in default as
aforesaid shallbe final andbindingonus,notwithstandinganydifferencesbetweenCTC
andtheBidderoranydisputependingbeforeanyCourt,Tribunal,Arbitratororanyother
authority.
6. TheGuaranteeshallnotbeaffectedbyanychangeintheconstitutionorwindingupofthe
BidderortheBankoranyabsorption,mergeroramalgamationoftheBidderortheBank
withanyotherperson.
7. InordertogivefulleffecttothisGuarantee,CTCshallbeentitledtotreattheBankasthe
principaldebtor.CTCshallhavethefullestlibertywithoutaffectinginanywaytheliability
oftheBankunderthisGuaranteefromtimetotimetovaryanyofthetermsandconditions
containedinthesaidRfPDocumentortheperiodforfulfillmentandcompliancewithallor
anyofthetermsandconditionscontainedinthesaidRfPDocumentbythesaidBidderor
topostponeforanytimeandfromtimetotimeanyofthepowersexercisablebyitagainst
the said Bidder and either to enforce or forbear from enforcing any of the terms and
conditionscontainedinthesaidRfPDocumentorthesecuritiesavailabletoCTC,andthe

BankshallnotbereleasedfromitsliabilityunderthesepresentsbyanyexercisebyCTCof
thelibertywithreferencetothemattersaforesaidorbyreasonoftimebeinggiventothe
saidBidderoranyotherforbearance,actoromissiononthepartofCTCoranyindulgence
byCTC to the saidBidderorbyany change in the constitutionofCTCor its absorption,
mergeroramalgamationwithanyotherpersonoranyothermatterorthingwhatsoever
which under the law relating to suretieswould but for this provision have the effect of
releasingtheBankfromitssuchliability.
8. Anynoticebywayofrequest,demandorotherwisehereundershallbesufficientlygivenor
madeifaddressedtotheBankandsentbycourierorbyregisteredmailtotheBankatthe
addresssetforthherein.
9. Weundertaketomakethepaymentonreceiptofyournoticeofclaimonusaddressedto
[nameofBankalongwithbranchaddress]anddeliveredatourabovebranchwhoshallbe
deemedtohavebeendulyauthorisedtoreceivethesaidnoticeofclaim.
10. It shall not be necessary for CTC to proceed against the said Bidder before proceeding
