NOTICE INVITING E-TENDER (2 ENVELOPE TENDER)

E-tenders are invited through the e-tendering portal by Airport Director, Airports Authority of India, NSCBI Airport, Kolkata on behalf of Chairman, AAI, from eligible agencies for the work of ” Providing Solid Waste management on Build Operate & Maintain Basis starting from Collection, Segregation, Transportation, Mechanized Treatment of organic waste till final disposal of all organic and inorganic waste at NSCBI Airport, Kolkata” for the period of 120 months from the date of commencement of contract.

The tendering process is online at e-portal URL address https://etender.gov.in or

www.aai.aero. Aspiring bidders may go through the tender document by “Guest User” login.

Prospective Tenderers are advised to get themselves acquainted for e-tendering

participation requirements at “Guidelines for bidders”, register themselves at AAI e-tendering portal, obtain 'User ID' & Password' and go through the 'Self Help Files' available in the Home page after log in to the portal https://etender.gov.in or www.aai.aero. They should also obtain Digital Signature Certificate (DSC) in parallel which is essentially required for submission of their application. The process normally takes 03 days time. The tenderer may also take guidance from AAI Help Desk Support.

Tender fee of . 1180 (Rupees one Thousand One hundred eighty only) will be required to

be paid by way of offline payment in the form of Demand Draft from Nationalized or scheduled

bank (but not from co-operative or Gramin Bank). Opening of sale of tender is 05-Mar-2019 at

1700 hrs. Last date and time of Sale of Tender document is 19-Mar-2019 up to 1700

Hours.

Original tender Fees and EMD is to be submitted to DGM (Ops-TM) , 3rd Floor, AAI

Operational Offices Complex, NSCBI Airport on or before 22-Mar-2019, 1200 hours .

Tender of the tenderer whose tender fees and EMD are not received by the date and time

mentioned in NIT then their tenders will be summarily rejected and any postal delay will

not be entertained.

Following 2 envelopes shall be submitted through online mode at e-portal by the bidder. Last date and time of submission of bids (Envelope I&II) is 19-Mar-2019 up to 1700 hours. Envelope–I:(PQQ) Containing qualifying requirements of Agencies: The tenderer shall submit their application by downloading the “PQ proforma” from the e-

tendering portal, fill up required information and upload the digitally signed file of scanned documents and firm's bio-data in support of their meeting each criteria mentioned below in the “PQQ folder” in Technical Bid/ Attachments section in the portal. Uploading of application in location other than specified above shall not be considered. Hard copy of application shall not be entertained.

Qualifying requirements of Agencies:

Manure manufacturing or Bio Waste processing etc issued by Municipal Corporation / State and Central Government / PSU

II) Should have minimum two years’ experience in any of the above field as on 31.12.2018

III) Should have client certificate for experience should show the nature of work done, the value of work, date of start, date of completion as per order, actual date of completion and satisfactory completion of service.

IV) Should have annualized average financial turnover of Rs.30 Lakhs (Thirty Lakhs)

against works executed during last three years ending 31st March of the previous

financial year. As a proof, CA attested copy of Abridged Balance Sheet along with

Profit and Loss Account Statement of the firm should be submitted along with the

application. Firms showing continuous losses during the last three years in the

balance sheet shall be summarily rejected.

Envelope II:- The Financial e-Bid shall be submitted in “Items” section of e-tendering portal as per the schedule of quantity.

EMD of the value of 1,00,000 /- (Rupees One Lakh only) shall be accepted offline, in the form

of Demand Draft / Bankers cheque/ Bank Guarantee from Nationalized or scheduled bank (but

not from co-operative or Gramin Bank)

The tenders of the bidders who fail to submit the Tender Fee and EMD before the stipulated time shall be rejected outright. Refund of EMD

The refund of EMD to the bidders who fail to qualify the eligibility/technical stage shall be initiated automatically within 7 days of their rejection. For all bidders whose financial bid are opened the refund of EMD except for L1 bidder shall be processed after the finalization of the order. Bids opening process is as below: - Envelope – I: - Containing documents for pre-qualification bid (uploaded by the Agencies

/ firms) shall be opened on 22-Mar-2019 at 15:00 hours. Depending on the pre qualification, the intimation regarding acceptance/rejection of their bids will be intimated to the Agencies / firms through e-tendering portal. Any changes in the date shall be intimated through “Notification to Bidder” section.

If any clarification is needed from the bidder about the deficiency in his uploaded

documents in Envelope -I, he will be asked to provide it through collaboration folder in e-tendering portal. The bidder shall upload the requisite clarification / documents within time specified by AAI, failing which tender will be liable for rejection.

Envelope - II:- The financial bids of the Agencies / firms found to be meeting the qualifying requirements and technical criteria shall be opened on 27-Mar-2019 at 1500 hrs. Depending on Technical Bid evaluation, any changes in the date shall be intimated through “Notification to Bidder” section.

AAI reserves the right to accept or reject any or all applications without assigning any

reason. AAI also reserves the right to call off tender process at any stage without assigning any reason.

AAI reserves the right to disallow issue of tender documents to working agencies whose

performance is below par or unusually poor and has been issued letter of restrain/Temporary/Permanent debar by any department of AAI. AAI reserve the right to verify the credential submitted by the agency at any stage (before or after the award the work). If at any stage, any information/documents submitted by the applicant is found to be incorrect/false or have some discrepancy which disqualifies the firm then AAI take the following action:

a) Forfeit the entire amount of EMD submitted by the firm. b) The agency shall be liable for debarment from tendering in AAI, apart from any

other appropriate contractual / legal action.

TENDER FORM To The Airport Director, Airports Authority of India, NSCBI Airport, Kolkata Sir,

I / We have read the following documents and all other relevant documents relating to e-tender for the work of “Providing Solid Waste management on Build Operate & Maintain Basis starting from Collection, Segregation, Transportation, Mechanized Treatment of organic waste till final disposal of all organic and inorganic waste at NSCBI Airport, Kolkata”.

I / We hereby tender for the work referred to in the aforesaid documents upon the terms and conditions contained or referred to therein and in accordance in all respect with the Scope of work, General conditions and other relevant details at the rates contained in schedule of rates and within the period of completion.

In consideration of I / We are found to be the lowest responsive bidder as stipulated in condition of contract, I / We agree to keep the tender open for acceptance for 90 days from the due date of submission thereof and not to make any modification in terms and conditions which are not acceptable to AAI.

A sum of Rs 1,00,000/-(Rupees One Lakh only) is remitted as Earnest Money Deposit(EMD). If I/ We keep the tender open as aforesaid or make any modifications in the terms and conditions of the tender which are not acceptable to AAI, I/ We agree that AAI shall, without prejudice to any other right or remedy, be at liberty to forfeit the fully said earnest money absolutely and I / We shall not be considered as unsuccessful tenderer for the purpose of return of earnest money as provided in the Notice Inviting Tender. Should this tender be accepted, I / We hereby agree to abide by and fulfill all the terms, conditions and provisions of the aforesaid documents

If after the tender accepted and I / We fail to commence the work as provided in the

condition, I / We agree that AAI shall without prejudice to any other right or remedy be at liberty to forfeit the said earnest money absolutely and take suitable action against me / us as deemed fit under the terms and conditions of the contract.

I / We agree that should AAI decide to forfeit the earnest money as aforesaid, unless a sum equal to the earnest money mentioned above is paid by me / us forthwith, AAI may at its option recover it out of the deposit and in the event of deficiency, out of any other moneys due to me/us or otherwise.

If the tender is accepted, I/We agree that the earnest money deposited at the time of tender shall be treated as part of security deposit and the balance security deposit shall be paid by me/us or AAI shall collect the same by deduction from my/our running bills as per conditions of contract.

GUIDANCE TO TENDERERS

1. E-tenders are invited on behalf of the Airport Authority of India for the work for a period of 120 months as mentioned. 2. The e-tenders shall be in the prescribed form. 3. The works are required to be completed within the period as mentioned. This period shall be reckoned from the Tenth day after the date of written orders to commence the work, in accordance with phasing, if any, indicated by AAI in the Tender document. 4. The Accepting Authority shall be the Accepting Officer hereinafter, referred to as such for the purpose of this contract. 5. Tender documents consisting of plans, specifications, Schedule(s) of Quantities of the various classes of work to be done, the conditions of contract and other necessary documents will be available on AAI e-tendering portal. Tender document can be downloaded from the AAI e-tendering portal. However, to participate in the tender to submit the tender document, the tenderer must pay tender fee of Rs 1180/- (Non refundable) through DD/Offline mode. 6. EMD of the value Rs 1,00,000/-(Rupees One Lakh only) shall be accepted through DD/offline mode.

The tenders of the bidders who fail to submit the EMD before the stipulated time shall be rejected outright.

The refund of EMD to the bidders who fail to qualify the eligibility/technical stage shall be

initiated automatically within 7 days of their rejection. For all bidders whose financial bid are opened, the refund of EMD except for L1 bidder shall be processed after the finalization of the order.

7. Tenderers are advised to inspect and examine the site and its surroundings and satisfy themselves before submitting their Tenders as to the nature of the ground and sub soil (as far as is practicable), the form and nature of the site, the means of access to the site and in general shall themselves obtain all necessary information as to risks, contingencies and other circumstances which may influence or effect their Tender. Tenderer shall be deemed to have full knowledge of the site whether he inspects it or not and no extra charges consequent on any misunderstanding or otherwise shall be allowed. 8. Submission of e-tender by a Tenderer implies that he has read this notice and all other contract documents and has made himself aware of the scope and specifications of the works to be done and of conditions and rates. 9. Notification of Award of contract will be made in writing to the successful Bidder by the Accepting Authority or his representative. The Contract will normally be awarded to the qualified and responsive Bidder offering lowest evaluated bid in conformity with the requirements of the specifications and contract documents and the Accepting Authority shall be the sole judge in this regard. The Accepting Authority does not bind himself to accept the lowest or, any Tender or to give any reason for his decision. A responsive bidder is one who submits priced Tender and accepts all terms and conditions of the specifications and contract documents. A major modification is one which affects in any way the quality, quantity and period of completion of the work or which limits in any way

the responsibilities or liabilities of the Bidder or any right of AAI as required in the specifications and contract documents. Any modification in the terms and conditions of the tender which are not acceptable to AAI shall also be treated as a major modification. A Tenderer shall submit a responsive bid, failing which his Tender will be liable to be rejected. The accepting Authority reserves to himself the right of accepting the whole or any part of the Tender and Tenderer shall be bound to perform the same at his quoted rates. 10. On acceptance of Tender, earnest money will be treated as part of the security deposit. 11. Total security deposit shall be 10 % of the awarded amount, which shall be

deducted from the running bills of the successful tender after adjusting the EMD amount paid.

12. Airports Authority of India will return the earnest where applicable to every unsuccessful Tenderer except as provided in the Tender documents. 13. Canvassing in connection with Tenders is strictly prohibited and the Tenders submitted by the Tenderers who resort to canvassing will be liable to rejected. 14. The Tender works shall remain open for acceptance for a period of 90 (Ninety) Days from the date of opening of Tenders. If any Tenderer withdraws his Tender before the said period or makes any modifications in the terms and conditions of the Tender which are not acceptable to the Department, then Airports Authority of India shall without prejudice to any other right or remedy, be at liability to forfeit the full said earnest money absolutely.

15. A Tenderer shall submit the Tender which satisfies each and every condition laid down in this notice failing which the Tender will be liable to be rejected. Also if the credentials submitted by the firm found to be incorrect or have some discrepancy which disqualifies the firm then the AAI shall take the following action: a) Forfeit the entire amount of EMD submitted by the firm. b) Debar the firm minimum three years to tender for AAI in any name/ style.

16. Sales Tax/purchase Tax/VAT/turnover tax/ work contract tax/ (except service tax) octroi/ royalty/ construction Employee Welfare Cess/ work contract Tax/ Excise or any other duty levied by Custom Authorities in respect of import or any materials of any other tax on material, labour, services or contract in respect of this job contract including payment to local/Govt./Statutory authorities shall be payable by the Agency and Airports Authority of India will not entertain any claim whatsoever in this respect. Construction Employee Welfare Cess will be deducted at the time of making payment of running account bill as per prevailing rates of the respective states. Nothing extra will be paid by AAI in this respect. 17. The site for the work may be made available in full or parts as decided by AAI, NSCBI Airport, Kolkata. 18. All rates shall be quoted in “Item” section on AAI e-tender portal as Envelope-II

(Price Bid).

19. The Tenderer shall not be permitted to tender for works in Airports Authority of India, responsible for award and execution of contracts, in which his near relative is posted as Manager (Finance & Accounts) or Sr. Officer in any capacity. He shall also intimate the names of persons who are working with him in any capacity

or are subsequently employed by him and who are near relatives to any officer in Airports Authority of India. Any breach of this condition by the Agency would render him liable to be debarred from Tendering for next 2 years. 20. The Agencies shall give a list of AAI employees related to him. 21. No Gazetted Officer employed in Airports Authority of India/Govt. of India is allowed to work as a Agency for a period of two years of his retirement from Airports Authority of India/ Government service, without the previous permission of Airports of India/Govt. of India. The contract is liable to be cancelled if either the Agency or any of his employees is found at any time to be such a person who had not obtained the permission of Airports Authority of India/Govt. of India as aforesaid before submission of the Tender or engagement in the Agency’s service. 22. MODE OF SUBMISSION OF TENDERS:

22.1 Tenders shall be submitted online through CPP e-tendering portal under Two bid system as detailed below. Envelope–I:(PQQ) Containing qualifying requirements of Agencies: The tenderer shall submit their application by downloading the “PQ proforma” from

the e-tendering portal, fill up required information and upload the digitally signed file of scanned documents and firm's bio-data in support of their meeting each criteria mentioned below in the “PQQ folder” in Technical Bid/ Attachments section in the portal. Uploading of application in location other than specified above shall not be considered. Hard copy of application shall not be entertained.

IV) Should have annualized average financial turnover of Rs. 30 Lakh ( Thirty Lakhs) against works executed during last three years ending 31st March of the previous financial year

V) Copy of PAN Card VI) Unconditional acceptance letter VII) EMS undertaking VIII) Copy of Authorization letter from government agency

Envelope II:- The Financial e-Bid shall be submitted in “Items” section of e-tendering portal as per the schedule of quantity.

22.3 Rates to be quoted in the “Items” Section only. 22.4 At the stipulated time of opening, Envelope-I shall be opened first. The offer from those Agencies whose digitally signed copy of tender document along with unconditionally acceptance of the AAI’s conditions are not found in “Envelope-I/Technical bid/Attachment” Section and/or failed to submit requisite EMD through e-tender portal payment gateway will not be considered and will stand rejected and Envelope-II /financial bid of such Agencies shall not be opened. 22.5 Once the Agency has uploaded the digitally signed file of tender document along with unconditional acceptance as an attachment, he is not permitted to upload any additional file or put any remark(s)/condition(s) in/along with the Tender document (Except unconditional rebate on quoted rates i.e. header discount (%) if any in “Bid Invitation information price component” section only. 22.6 In case, the condition 22.5 above is found violated, the tender shall be rejected. 23. GENERAL CONDITIONS OF CONTRACT 1. In case of entry into the restricted area of the airport, the Agency is required to obtain Photo Identity Cards (PIC) for his staff, to be issued by BCAS, through AAI. Police Verification Certificates are to be obtained for all the staff to be deployed by him under this contract. 2. It shall be the sole liability of the Agency (including the Contracting firm/Company) to obtain and to abide by all necessary licenses / permissions from the authorities concerned as provided under the various labour legislations including the labour license obtained as per the provisions of the Contract Labour ( R & A) Act 1970. 3. The Agency shall discharge obligations as provided under various applicable statutory enactments including EPF and miscellaneous provision act 1952, the Employees State Insurance (ESI) Act 1948, the Contract Labour (R & A) Act 1970, the Inter State Migrant Workmen (Regulation of employment and conditions of service) act 1979, the Minimum Wages Act 1948, the Payment of Wages Act 1936, the Workmen’s Compensation Act 1923, Factory Act, 1948, Payment of Bonus Act, 1965 and other relevant act, rules and regulations, instructions etc issued / enforced from time to time.

4. The Agency has to ensure that the quoted rates shall be as per the minimum wages for the particular work, prevailing during the period contract and other statutory requirements like Bonus, LWF etc., 5. The Agency shall pay the monthly wages and bonus (as applicable) for the workmen engaged for this contract by cheque or crediting the wages in their individual bank account after obtaining authorization from the contract workers, in order to ensure transparency and facilitate timely payment. The Agency should ensure that the bank accounts are opened in respect of each contract labour before the start of contract and their wages are deposited and disbursed through the Bank.

6. The Agency shall ensure that the disbursement of wages is done on time and the documentary proof to be submitted to AAI representative, as required by law and authenticate the entries made in the wages register in token of his having witness the actual disbursement of wages.

7. The Agency shall intimate his PF account code no. allotted by Regional PF commissioner and ESI Registration No. allotted by ESI Corporation after award of work and shall continue to have valid PF code number and ESI Registration No. till actual completion of the contract. AAI reserves the right to withhold any payment, if ESI and PF contribution are not paid by the Agency and proof to that effect have not been produced regularly by the Agency. Non production of PF and ESI challans of monthly subscription before its due date but not later than 21st of every month by you, shall be liable for action against and also suitable penalty shall be levied. 8. The Agency shall provide a list of contract Workers engaged for contract work along with their PF Account No. and ESI Registration No. 9. The Agency by 20th of every month shall provide a monthly statement showing recoveries of contribution and proof of remittance of provident fund contribution to RPFC and ESI contributions to ESI Corporation in respect of Workers engaged in contract work.

10. In accordance with the Minimum Wages Act 1948, payment of minimum wages to labourers is mandatory. Similarly, deduction of provident fund amount at the prescribed rate and its timely deposit to the P.F. account is a legal obligation under the Contract Labour (Regulations and Abolition) Act , 1970.

11. ESI & EPF amount paid to the statutory authorities by the Agency and Bonus (as applicable) shall be reimbursed on actual basis on submission of documentary evidence.

12. Difference in minimum wages based on actual payment made to workers plus difference of mandatory contribution by the Agency towards PF & ESIC due to increase in minimum wages will be reimbursed to the Agency on revision of minimum wages by office of Regional Labour Commissioner (Central/State) and on submission of proof of payments made. 13. The Agency shall maintain all registers and records required to be maintained under the various labour enactment and the rules framed therein.

14. The Agency shall regularly submit all relevant records / documents to AAI representative for verification and upon such satisfaction only, AAI will allow reimbursement of the amounts paid. 15. The Agency shall ensure regular and effective supervision and control of the personnel deployed by him and give suitable direction for undertaking the contractual obligations.

16. The Agency shall be solely responsible for the payment of wages and other dues to the personnel deployed by him latest by 7th of the subsequent month. The Agency shall be directly responsible and indemnify the Authority against all charges, dues, claims etc arising out of the disputes relating to the dues and employment of personnel deployed by him. 17. A penalty may be imposed maximum to the extent of 10 % of the bill amount of that month submitted by the Agency on account of unsatisfactory performance. This amount will be deducted from the monthly payment charges of the Agency. The decision of the Airport In Charge in this respect will be final and binding. 18. The Agency shall deploy the required number of personnel and carry out the work to the satisfaction of the In-Charge. If the continuance of any of the persons deployed by the Agency is found not satisfactory, the Agency shall replace him forthwith, upon receipt of information to that effect from AAI. 19. AAI shall have the right to terminate the contract if the services provided by the Agency is not found satisfactory after giving 30 days notice. Similarly the case of foreclosing/ abandoning the contract a written notice of 30 days shall be served by Registered Post or by hand at the respective address not withstanding the above, The Agency shall however continue to provide the services as required in the contract for further 90 days or till new tender is awarded whichever is earlier. 20. The Agency shall have no claim to any payment of compensation or otherwise whatsoever on account of any profit or advantage which he might have derived from the execution of works in full but which he did not derive in consequence of the foreclosure of the whole. 21. The Agency shall be responsible for settling any claim/ compensation against all damages and accidents caused due to negligence on the part of his/her employees and keep AAI indemnified from any compensation/liability.

22. AAI will not be responsible for any injury sustained by Agency’s workers during the performance of their duties and also any damages or compensation due to any dispute between

him/her and his/her workers. All the persons employed shall be insured. The Agency shall comply with all provisions of Labour Acts/Enactments hitherto in force or enacted from time to time during execution of this contract and Agency shall be responsible for all liabilities arising out of these provisions. Furthermore, the Agency shall be responsible for payment of compensation, insurance etc if any, in respect of his/her employees. 23. In respect of all the labours employed directly or indirectly for the works, the Agency at his own expense will arrange for safety provisions to comply with statutory regulations. He shall indemnify AAI against claims for compensations in this respect. 24. The workmen employed by the Agency will have no claim whatsoever on the AAI and shall not raise any industrial dispute, either directly or indirectly with or against AAI, in respect of any of their service conditions so long as they are employed on AAI premises for the execution of the above contract. 25. The Agency shall furnish all the details of the persons to be employed like Names, address, photo, age, specimen signature etc and authority shall have the liberty to reject any person. 26. In case it is noticed by the Authority that the work carried out by the Agency is not up to the required standards, written notice will be given to him warning him/her of the bad state of work and asking him/her to improve upon the standards within the period specified by the In-Charge. In the event of the authority finding that there is no improvement and the work is not being carried as per instructions, the authority will have the right to terminate the contract forthwith and forfeit the security deposit. 27. The Agency shall carry out the job as per specifications of the Authority and to their entire satisfaction. In case of complaints either as regards the nature of service or the personnel doing the same, the Authority will intimate to the Agency who shall attend to and sort out the complaints promptly. 28. The Agency’s representatives and employees of the Agency shall abide by the Rules and Regulations of the Authority while performing their job in the said premises. 29. The bills submitted by the Agency shall be verified and certified by the In-Charge or his designated officer for the purpose. Proportionate deduction from monthly bills will be made for short supply of manpower and penalty if any. 30. Monthly running payments will be made in the following month after deducting revenue generated by the solid waste, any or all recoveries, penalties, etc which the Agency might have rendered himself liable. The Agency has to submit his bill every month for the completed period of one month with all supporting documents as required. 31. Total security deposit shall be 10 % of the awarded amount, which shall be deducted from the running bills of the successful tender after adjusting the EMD amount paid. 32. The Security deposit will also be accepted in form of Guarantee Bonds of Nationalized Bank or any Scheduled Bank but not co-operative or Gramin Bank in accordance with the prescribed form, provided confirmatory advice is enclosed.

33. In order to ensure that no liability on the part of AAI, it is agreed between the Parties that Security Deposit deducted will be released without interest after one month from the date of completion of contract on the submission of labour clearance certificate from the concerned authority so that if there is any claim made by workmen regarding their dues, the same can be adjusted against the balance money, so kept, provided you have not paid the said legal dues

34. Period of contract shall be 120 months from the date of commencement of work. The Agency may be asked to continue the contract for a period of three months at the end of the contract, on the same rate, terms and conditions of the contract and has to agree to the same. 35. The successful tenderer or Agency on acceptance of his tender by AAI, shall sign the contract agreement within 15 days from the date of award of the work. 36. The contract agreement shall be executed on a non-judicial stamp paper of value of Rs 100/- and the cost of the same shall be borne by the Agency. 37. Sales tax or any other tax on materials and also on the turn over, if any, in respect of this contract shall be payable by the Agency and AAI will not entertain any claim in whatsoever in this respect.

38. GST shall be reimbursed to the Agency by AAI as per the prevailing rules. 39. The work shall commence from the 15th day after the date on which the In-charge issues written orders to commence work or from the date of handing over of site whichever is later. If the Agency commits default in commencing the work as aforesaid, AAI shall without prejudice to any other right or remedy be at liberty to forfeit the earnest money absolutely. 40. It shall be the Agency’s responsibility to provide all the amenities/facilities required to be provide to the workmen under the Contract Labour Act, and in particular provision of canteen services to the workmen, rest room, drinking water facility, latrines and urinals and first aid and medical facility.

41. The Agency shall comply with the security rules and regulations being enforced from time to time at the work place

42. If any of the Agency’s workmen employed on AAI premises commit any misconduct, it shall be Agency’s responsibility to take disciplinary action against them in accordance with law.

43. Airports Authority of India, NSCBI Airport, Kolkata has implemented Environment Management System (EMS). The Agency shall submit an undertaking as per the format given in the tender.

44. Bidders are advised to visit and examine the site where the works are to be carried out and it’s surrounding with prior arrangement and obtain on their own all information and satisfy themselves as to the conditions prevalent there with respect to execution of works as per the scope of work. No claim in this regard, whatsoever on any account shall be entertained by AAI under any circumstance.

45. All the applicable safety and security rules as prevailing during the period of implementation and concession period to be duly complied with.

46. Operation and maintenance management is completely the sole responsibility of the successful bidder. The plant shall be operated at all times with adequate resources.

47. All the O&M (Operation and Maintenance) expenses including staff, fuel, maintenance, insurance, will be to the account of the successful bidder and they will not raise any claim to this effect on AAI.

48. The project awardee shall submit the daily weighment details of the waste received at the processing facility with the automated receipts generated through the weighment equipment.

50. Site visit and verification of information: Bidders are encouraged to submit their respective Bids after personally visiting the Project sites and ascertaining for themselves the sites’ conditions, traffic, location, surroundings, climate, availability of power, water and other utilities for construction, access to sites, handling and storage of materials, weather data, applicable laws and regulations, and any other matter considered relevant by them. A site visit shall be organized by Kolkata Airport. This site visit shall be arranged by Airport on request of bidder. 51. Pre-bid Conference A pre-bid conference of the Bidders shall be convened at the designated date, time and place. Only duly authorized representatives of the Bidders shall be allowed to participate in the pre-bid conference. A maximum of 2 authorized representatives of each Bidder shall be allowed to participate on production of authority letter from the Bidder. During the course of the pre-bid conference, the Bidders will be free to seek clarifications and make suggestions for consideration of AAI shall endeavor to provide clarifications and such further information as it may, in its sole discretion, consider appropriate for facilitating a fair, transparent and competitive Bidding Process.. 52. The Contract Period is ten years or the date of transfer of the airport under the PPP mode/O&M contract. The Contract may be terminated with a termination notice of 30 days without any liabilities to AAI on account of anything else what so ever. Obligations related to Transfer :- The authority agrees that during the contract period , in the Event the authority transfers the right to operate and maintain the airport to a third party(s), the authority shall ensure that The Authority shall cause to transfer/novate this agreement , in favour of such third party , on the principle that such transfer/novation would release authority of all liabilities and obligations arising from and after the date of transfer/novation of such rights . The parties , along with relevant third party(s) shall execute necessary documentation or put in place necessary arrangement for the aforesaid transfer/novation : and The rights and obligation under or pursuant to all contracts and other arrangement entered into in accordance with the provision of this agreement between authority and contractor shall be vested in such third party.

SCOPE OF WORK

To provide Solid Waste management on Build Operate & Maintain Basis starting from Collection, Segregation, Transportation, Mechanized Treatment of organic waste till final disposal of all organic and inorganic waste at NSCBI Airport, Kolkata. The Solid Waste Management System at Airports shall be established on Build Operate & Maintain Basis and fully on expenditure basis only. Current levels of Solid Waste Generation at Kolkata Airport.: a. Organic load : 1.0 TPD (Ton’s Per Day) b. Inorganic load : 2.0 TPD Ultimate Load for 2029-2030(To be assessed by Airport in view of % of Traffic Growth) a. Organic Load : 5.0 TPD b. Inorganic Load : 5.0 TPD Agency to determine the waste generated quantity for the intended period and have implementation plans for up gradation of the facility at phased intervals. The salient features of work are as under: (i)The agency will ensure proper segregation of dry and wet/ organic waste. The dry waste (Recyclable & Non-recyclable) will be disposed by the agency and will produce certificate to this effect every month from authorized agency. The agency is allowed to keep the revenue generated from selling of recyclable waste and shall submit the quote/bid accordingly.

(ii) The wet waste/ organic waste will be treated through Automatic composting plant established by agency at airport. The manure produced from plant shall be handed over to AAI for horticulture purpose. A proper record shall be maintained in this regard. The capacity of Automatic Composting plant should be 5.0 TPD (iii) AAI shall provide appropriate space Free of cost to agency for segregation of waste and setting up of compost plant preferably at Non-commercial/Non-operational area. All Capital and Operational cost to setup segregation shed/ Compost Plant/Placement of secondary dustbins will be borne by Agency. (iv) Airport will provide garbage/ waste collection point in terminal area (preferably in basement), city side area/airport colony and in airside area. The agency will collect the waste from these collection points and will transport to compost plant/ segregation space provided by AAI. The transportation of inorganic waste outside of Airport to authorized agency for final disposal/sale shall be done by the agency without any cost to AAI. (v) Electricity/ water supply charges will be borne by the agency. Further washing of secondary dustbins shall be carried out by the agency regularly in hygienic manner. This includes transportation and placing back at the respective receiving locations.

(vi) The agency shall ensure proper collection of waste from collection points, maintain proper hygiene of segregation space/ Compost Plant and shall ensure no foul smell/odor emanating from the premises. Non-compliance will lead to penalty of Rs. 1000 for each instance reported. AAI shall have final authority in this regard.

(vii) The agency shall ensure that the Project meets stipulated pollution norms and guidelines and that the SW is handled and managed in compliance with the MSW (Handling and Management) Rules 2016 or its subsequent amendments and the guidelines of the manual on solid waste management published by CPHEEO, State and or Central Pollution Control Boards, AAI, including any other Government requirements.

(viii) The agency shall ensure complete compliance with the statutory requirements for pollution control / pollution prevention as per requirement of MSW Rules 2016 and conditions imposed by State and / Central PCB, Labor Law compliance including compliance and registration with the Building and Other Construction Workers Welfare Cess Act and other Government Agencies & regulatory authorities during construction and operations. (ix) AAI will monitor the operational plant, and in case of failure to comply with any regulatory and or statutory rules and regulations, AAI has complete right to take over the plant without further notice or liability or any compensation. (x) The agency shall ensure weekly reporting (Every Monday) for the progress of facility installation and its functioning / operations during the concession period and Monthly meeting with AAI representatives at the airport. (1st Monday of every month). (xi) All the assets created under this contract will remain the property of the Project Awardee during the concession period and will be transferred to AAI at the end of the concession period. All such assets while handing over will be in operating conditions and be well maintained. Preventive Maintenance schedules to be drawn up and agreed upon.

(xii) The Wages paid to the workmen by the Agency shall not be less than the latest minimum wages fixed by the Central or State Government or existing wages whichever is higher. The difference between the latest minimum wages paid to the workmen and the minimum wages considered for estimation (given in the table below) will be reimbursed by AAI upon submission of proof. STANDARD OPERATING PROCEDURE (SOP)

1. DEPLOYMENT OF LABOUR:

i. The Agency shall engage sufficient manpower including supervisor for the comprehensive maintenance of waste management hub at NSCBI Airport. The list of manpower engaged shall be provided to AAI.

2. SEGREGATION AND DISPOSAL:

i. The Supervisor of the agency shall be responsible for weighing the segregated items and making suitable entries in the register provided for the purpose.

ii. The segregated items from the Solid waste storage hub as per list below shall be suitably disposed of regularly and The agency is allowed to keep the revenue generated from selling of recyclable waste and shall submit the quote/bid accordingly.

a) Plastic pet bottles. b) Aluminum bottles / containers c) Miscellaneous plastic items

(Spoons / food trays / plastic carry bags etc) d) Aluminum foils e) Glass bottles / containers f) Waste paper (Card boards / packing materials) g) Oil metallic tins

iii. All segregated items other than those indicated in para ii above must be disposed

off in an environment friendly manner without causing any harm to the environment or inconvenience to the public.

iv. In the event of receipt of valuable items or items related to security etc. shall be handed over to the Duty Terminal Manager.

v. Any complaints / observations on the improper disposal of solid waste is liable for

cancellation of the tender. The agency will also be blacklisted from participating in any of the AAI quotations/tenders for a period of 3 years.

(All correspondences between the Owner & Agency before award of work shall form part of

Agreement)

All the aforesaid contract documents shall form an integral part of this agreement in so far as the

same or any part thereof conform to the tender document and what has been specifically agreed

to by the owner on its letter of acceptance. Any matter inconsistent therewith, contrary or

repugnant thereto or any deviation taken by the Agency in its proposal not agreed to by owner in

its letter of acceptance or any other letter which forms a part of contract documents mentioned

sake of brevity this agreement along with its aforesaid contract document shall be referred to

as the agreement.

Article 3.0 conditions and covenants:

3.1 The scope of contract, consideration, terms of payment, prices adjustment taxes, wherever

applicable, insurance, liquidated damages, period of completion, defects liability period and all

other terms and conditions are contained in aforesaid tender documents. The Agency shall duly

perform the contract strictly and faithfully in accordance with the terms of agreement.

3.2 This agreement constitutes full and complete understanding between the parties and terms

of the presents. It shall supersede all prior correspondence to the extent of inconsistency or

repugnancy to the terms and conditions contained in the tender agreement. Any modification of

the agreement shall be effected only by written instrument signed by the authorized

representative of both the parties.

Article 4.1 Settlement of Disputes:

It is specifically agreed by and between the parties that all the difference or disputes

arising out of the agreement or touching the Subject matter of the agreement shall be decided by

the process of settlement and arbitration under the provisions of the Indian Arbitration Act 1996

or any statutory modification or re-enactment thereof and the rules made there under and for the

time being in force shall have exclusive jurisdiction over the same.

4.2 Notice of Default:

Notice of default given by either party to the other under the agreement shall be written

and shall be deemed to have been duly and properly served upon the parties here to if delivered

against acknowledgment due addressed to the signatories at the address mentioned here in

above.

UNDERTAKING BY THE AGENCIES AND OPERATORS IN NSCBI AIRPORT, KOLKATA

1. Agency may please note that AAI Kolkata airport has implemented Environment

Management System (EMS)

2. The Agency shall conserve power, water, cooking gas to the extent possible. 3. Plastic bags of less than 40 micron shall not be used and /or issued by the Agency in AAI

premises. The agency will abide by the latest regulations laid by Kolkata Airport in this regard.

4. If the Agency arranges food for their workmen, they shall have to keep waste bins for the

waste generated in the process.

5. Failure to comply with the requirement shall attract a Fine / penalty as may be decided by the AAI and the expenditure by AAI for such housekeeping shall be recovered from their bill.

6. AAI shall educate the Agency and his supervisor about other EMS requirements prior to

start of work. Agency shall have to ensure the presence of himself and his supervisory staff during such a session. Thereafter, Agency will have to ensure the workmen and staff comply the requirement.

7. Agency shall identify one supervisor responsible for EMS compliance.

8. No additional payment shall be made for EMS compliance.

ACCEPTANCE OF AAI’s TENDER CONDITIONS

Sir,

1. The tender documents for the “Providing Solid Waste management on Build Operate & Maintain Basis starting from Collection, Segregation, Transportation, Mechanized Treatment of organic waste till final disposal of all organic and inorganic waste at NSCBI Airport, Kolkata” has been sold to me/us by Airports Authority of India and I/we hereby certify that I/We have inspected the site and read the entire terms and conditions of the tender document and I/we shall abide by the conditions/clauses contained therein us in Airport Director, AAI, Kolkata Airport, which shall form part of the contract agreement and I / We shall abide by the conditions / clauses contained therein.

2. I/We hereby unconditionally accept the tender conditions of AAI’s tender documents in

its entirety for the above work. 3. The contents of General Conditions of Contract of the Tender document have been

noted wherein it is clarified that after unconditionally accepting the tender conditions in its entirety, it is not permissible to put any remarks/conditions (except unconditionally rebate on quoted rates, if any) in the tender enclosed in ‘Envelope No 1’ and the same has been followed in the present case. In case, this provision of the tender is found violated after opening “Envelope No.1”. I/We agree that the tender shall be rejected and AAI shall without prejudice to any other right or remedy be at liberty to forfeit the full said earnest money absolutely.

4. That, I/We declare that I/We have not paid and will not pay any bribe to any officer of

AAI for awarding this contract at any stage during its execution or at the time of payment of bills, and further if any Officer of AAI asks for bribe/ gratification, I will immediately report it to the appropriate authority in AAI.

5. The required earnest money amounting to Rs 1,00,000/- (Rupees One Lakh only) has

been paid through DD/Offline mode.
