The issue of this RFP does not imply that the Authority is bound to select a Bidder or toappoint the Selected Bidder or Concessionaire, as the case may be, for the Project and theAuthority reserves the right to reject all or any of the Bidders or Bids without assigningany reason whatsoever.

The Bidder shall bear all its costs associated with or relating to the preparation andsubmission of its Bid including but not limited to preparation, copying, postage, deliveryfees, expenses associated with any demonstrations or presentations which may berequired by the Authority or any other costs incurred in connection with or relating to itsBid. All such costs and expenses will remain with the Bidder and the Authority shall notbe liable in any manner whatsoever for the same or for any other costs or other expensesincurred by a Bidder in preparation or submission of the Bid, regardless of the conduct oroutcome of the Bidding Process.

1. INTRODUCTION

1.1 Background1

1.1.1 The Department of School Education & Literacy, Ministry of Human ResourceDevelopment, Government of India (the “Authority”) is engaged in the provisionof education, especially for the under privileged families, and as part of thisendeavour, the Authority has decided to undertake development, operation andmanagement of the Rashtriya Adarsh Vidyalaya, ***2 Project (the “Project”)based on the Scheme for setting up of 2500 Model Schools (Model SchoolScheme) through Public Private Partnership (the “PPP”) on Design, Build,Finance, and Operate (the "DBFO") basis, and has decided to carry out thebidding process for selection of a private entity as the Bidder to whom the Projectmay be awarded. The Department of School Education & Literacy, Ministry ofHuman Resource Development may, at any stage of the Project, be substituted bythe Model School Organisation (MSO) to be set up by Government of India andthereupon all the rights and obligations of the Authority shall vest in the MSO.Brief particulars of the Project are as follows:

1.1.2 The Selected Bidder (the “Concessionaire”) shall be responsible for designing,financing, construction, operation, maintenance and management of the Projectunder and in accordance with the provisions of a long-term concession agreement

(the “Concession Agreement”) to be entered into between the Selected Bidderand the Authority in the form provided by the Authority as part of the BiddingDocuments pursuant hereto.

1.1.3 The scope of work will broadly include procurement of land and construction,establishment, operation, maintenance and management of a Higher SecondarySchool affiliated to the Central Board for Secondary Education (CBSE) inaccordance with the provisions of the Concession Agreement. In exceptionalcircumstances, the Authority may allow affiliation with other multi-state boardsof education (the “National Boards”).

1.1.4 The estimated cost of the Project (the “Estimated Project Cost”), excluding thecost of land, has been specified in Clause 1.1.1 above. The assessment of actualcosts, however, will have to be made by the Bidders.

1.1.5 The Concession Agreement sets forth the detailed terms and conditions for grantof the concession to the Concessionaire, including the scope of theConcessionaire’s services and obligations (the “Concession”).

1.1.6 The statements and explanations contained in this RFP are intended to provide abetter understanding to the Bidders about the subject matter of this RFP andshould not be construed or interpreted as limiting in any way or manner the scopeof services and obligations of the Concessionaire set forth in the ConcessionAgreement or the Authority’s rights to amend, alter, change, supplement or clarifythe scope of work, the Concession to be awarded pursuant to this RFP or theterms thereof or herein contained. Consequently, any omissions, conflicts orcontradictions in the Bidding Documents including this RFP are to be noted,interpreted and applied appropriately to give effect to this intent, and no claims onthat account shall be entertained by the Authority.

1.1.7 The Authority shall receive Bids pursuant to this RFP in accordance with theterms set forth in this RFP and other documents to be provided by the Authoritypursuant to this RFP, as modified, altered, amended and clarified from time totime by the Authority (collectively the "Bidding Documents"), and all Bids shallbe prepared and submitted in accordance with such terms on or before the datespecified in Clause 1.3 for submission of Bids (the “Bid Due Date”).

1.2 Brief description of Bidding Process

1.2.1 The Authority has adopted a two-stage process (collectively referred to as the"Bidding Process") for selection of the Bidder for award of the Project. The firststage (the "Qualification Stage") of the process involved pre-qualification ofinterested parties in accordance with the provisions of the RFQ. At the end of theQualification Stage, the Authority short-listed Applicants who are eligible forparticipation in this second stage of the Bidding Process (the “Bid Stage”)comprising Request for Proposals for the Block specified in Clause 1.1.1.

Government of India has issued guidelines (see Appendix-III) for qualification ofbidders seeking to acquire stakes in any public sector enterprise through theprocess of disinvestment. These guidelines shall apply mutatis mutandis to thisBidding Process. The Authority shall be entitled to disqualify an Applicant inaccordance with the aforesaid guidelines at any stage of the Bidding Process.Applicants must satisfy themselves that they are qualified to bid, and should givean undertaking to this effect in the form at Appendix-I.

1.2.2 In the Bid Stage, the aforesaid short-listed Applicants, including their successors,(the "Bidders”) are being called upon to submit their offers (the “Bids”) inaccordance with the terms specified in this RFP. The Bids shall be evaluated inaccordance with the scoring criteria specified in Appendix IV. The Bid shall bevalid for a period of not less than 120 days from the date specified in Clause 1.3for submission of bids (the “Bid Due Date”).

1.2.3 The Bidding Documents include the draft Concession Agreement for the Projectwhich will be provided to the Bidders on or near [insert the date]. The aforesaiddocument and any addenda issued subsequent to this RFP Document will bedeemed to form part of the Bidding Documents.

1.2.4 A Bidder is required to deposit, along with its Bid, a bid security of Rs 5 lakh(Rupees five lakh) (the "Bid Security"), refundable not later than 60 (sixty) daysfrom the Bid Due Date, except in the case of the Selected Bidder whose BidSecurity shall be retained till it has provided a Performance Security under theConcession Agreement. The Bidders will have an option to provide Bid Securityin the form of a demand draft or a bank guarantee acceptable to the Authority.,The validity period of the bank guarantee shall not be less than 180 (one hundredand eighty) days and that of the demand draft shall not be less than 90 (ninety)days from the Bid Due Date, inclusive of a claim period of 60 (sixty) days, andmay be extended as may be mutually agreed between the Authority and theBidder from time to time. Upon submission of demand draft, the same shall beencashed by the Authority. The Bid shall be summarily rejected if it is notaccompanied by the Bid Security.

1.2.5 During the Bid Stage, Bidders are invited to examine the Project in greater detail,and to carry out, at their cost, such studies as may be required for submitting theirrespective Bids for award of the Concession including implementation of theProject.

1.2.6 Bids are invited for the Project on the basis of aggregate technical score of aBidder. The Project will be awarded to the Bidder with the highest technicalscore. The concession period is pre-determined, as indicated in the draftConcession Agreement.

1.2.7 In this RFP, the term “Highest Bidder” shall mean the Bidder who secures thehighest technical score.

1.2.8 Generally, the Highest Bidder shall be the Selected Bidder. The remainingBidders shall be kept in reserve and may, in accordance with the process specifiedin Section 3 of this RFP, be awarded the concession in case the Highest Bidderwithdraws or is not selected for any reason. However, in such an event, theAuthority may, in its discretion, annul the Bidding Process.

1.2.9 The details of the process to be followed at the Bid Stage and the terms thereofare spelt out in this RFP.

1.2.10 Any queries or request for additional information concerning this RFP shall besubmitted in writing by speed post/ courier/ special messenger or by e-mail to theofficer designated in Clause 2.10.5 below. The envelopes/ communication shallclearly bear the following identification/ title:

"Queries/Request for Additional Information: RFP for Rashtriya AdarshVidyalaya, [Name of the Block] Project".

1.3 Schedule of Bidding Process

2. INSTRUCTIONS TO BIDDERS

A. GENERAL

2.1. General terms of Bidding

2.1.1 No Bidder shall submit more than one Bid for the Project.

2.1.2 Unless the context otherwise requires, the terms not defined in this RFP, butdefined in the Request for Qualification document for the Project (the “RFQ”)shall have the meaning assigned thereto in the RFQ.

2.1.3 Notwithstanding anything to the contrary contained in this RFP, the detailed termsspecified in the draft Concession Agreement shall have overriding effect;provided, however, that any conditions or obligations imposed on the Bidderhereunder shall continue to have effect in addition to its obligations under theConcession Agreement.

2.1.4 The Bid should be furnished in the format at Appendix–I along with Annexes andsupporting documents, and signed by the Bidder’s authorised signatory. In theevent the Bidder has been pre-qualified for more than 1 (one) School and intendsto submit Bids for more than 1 (one) such School, it may submit its Bid inaccordance with Paragraph 25 of Appendix-1.

2.1.5 The Bidder shall deposit a Bid Security of Rs. 5,00,000 (Rupees five lakh) foreach School applied for in accordance with the provisions of this RFP. The Bidderhas the option to provide the Bid Security either as a Demand Draft or in the formof a Bank Guarantee acceptable to the Authority, as per format at Appendix–II.

2.1.6 The validity period of the Bank Guarantee or Demand Draft, as the case may be,shall not be less than 180 (one hundred and eighty) days from the Bid Due Date,inclusive of a claim period of 60 (sixty) days, and may be extended as may bemutually agreed between the Authority and the Bidder. The validity of theDemand Draft shall not be less than 90(ninety) days from the Bid due Date. Uponsubmission of Demand Draft, the same shall be encashed by the Authority. TheBid shall be summarily rejected if it is not accompanied by the Bid Security. TheBid Security shall be refundable no later than 60 (sixty) days from the Bid DueDate except in the case of the Selected Bidder whose Bid Security shall beretained till it has provided a Performance Security under the ConcessionAgreement.

2.1.7 The Bidder should submit a Power of Attorney as per the format at Appendix–III,authorising the signatory of the Bid to commit the Bidder.

2.1.8 Any condition or qualification or any other stipulation contained in the Bid shallrender the Bid liable to rejection as a non-responsive Bid.

2.1.9 The Bid and all communications in relation to or concerning the BiddingDocuments and the Bid shall be in English language. Any certificate or documentin vernacular should be accompanied by an English translation, duly authenticatedand certified by the Applicant as the true copy thereof.

2.1.10 The documents including this RFP and all attached documents, provided by theAuthority are and shall remain or become the property of the Authority and aretransmitted to the Bidders solely for the purpose of preparation and thesubmission of a Bid in accordance herewith. Bidders are to treat all information asstrictly confidential and shall not use it for any purpose other than for preparationand submission of their Bid. The provisions of this Clause 2.1.10 shall also applymutatis mutandis to Bids and all other documents submitted by the Bidders, andthe Authority will not return to the Bidders any Bid, document or any informationprovided along therewith.

2.1.11 A Bidder shall not have a conflict of interest (the “Conflict of Interest”) thataffects the Bidding Process. Any Bidder found to have a Conflict of Interest shallbe disqualified. In the event of disqualification, the Authority shall be entitled toforfeit and appropriate the Bid Security or Performance Security, as the case maybe, as mutually agreed genuine pre-estimated loss and damage likely to besuffered and incurred by the Authority and not by way of penalty for, inter alia,the time, cost and effort of the Authority, including consideration of such Bidder’sproposal (the “Damages”), without prejudice to any other right or remedy thatmay be available to the Authority under the Bidding Documents and/ or theConcession Agreement or otherwise. Without limiting the generality of the above,a Bidder shall be deemed to have a Conflict of Interest affecting the BiddingProcess, if:

(i) a Bidder is an Associate of another Bidder; or

(ii) such Bidder has the same legal representative for purposes of this Bid asany other Bidder; or

(iii) such Bidder or any Associate thereof has participated as a consultant to theAuthority in the preparation of any documents, design or technicalspecifications of the Project.

For purposes of this RFP, Associate means, in relation to the Bidder, a personwho controls, is controlled by, or is under the common control with such Bidder(the “Associate”). As used in this definition, the expression “control” means, (i)with respect to a person which is a company, the ownership, directly or indirectly,of more than 50% (fifty per cent) of the voting shares of such company, and (ii)with respect to a person which is not a company, the power to direct themanagement and policies of such person by its constituent documents or byoperation of law, or the power to nominate a majority of the trustees and/ormembers of the governing council or has contributed more than 50% (fifty percent) of the total resources of the trust or society during the past 3 (three) years.

2.1.12 A Bidder shall be liable for disqualification and forfeiture of Bid Security if anylegal, financial or technical adviser of the Authority in relation to the Project isengaged by the Bidder or any Associate thereof, as the case may be, in anymanner for matters related to or incidental to such Project during the BiddingProcess or subsequent to the (i) issue of the LOA or (ii) execution of theConcession Agreement. In the event any such adviser is engaged by the SelectedBidder or Concessionaire, as the case may be, after issue of the LOA or executionof the Concession Agreement for matters related or incidental to the Project, thennotwithstanding anything to the contrary contained herein or in the LOA or theConcession Agreement and without prejudice to any other right or remedy of theAuthority, including the forfeiture and appropriation of the Bid Security orPerformance Security, as the case may be, which the Authority may havethereunder or otherwise, the LOA or the Concession Agreement, as the case maybe, shall be liable to be terminated without the Authority being liable in anymanner whatsoever to the Selected Bidder or Concessionaire for the same. For theavoidance of doubt, this disqualification shall not apply where such adviser wasengaged by the Bidder or it’s Associate in the past but its assignment expired orwas terminated 6 (six) months prior to the date of issue of RFQ for the Project.Nor will this disqualification apply where such adviser is engaged after a periodof 3 (three) years from the date of award of the Project.

2.1.13 This RFP is not transferable.

2.1.14 Any award of Concession pursuant to this RFP shall be subject to the terms ofBidding Documents.

2.1.15 Other Bid conditions shall include:

(a) No Bidder shall be awarded more than 20 schools in a State and 50 schoolsin the country under the Scheme of Rashtriya Adarsh Vidyalaya. In thepresent pilot of 41 schools, no Bidder shall be awarded more than 2 (two)Schools in a State and 5 (five) Schools in the country.

(b) In case a Bidder is the Highest Bidder for more than the ceiling specified inSub-clause (a) above, it will be awarded those Schools where the gapbetween its own technical score and the score of the next Highest Bidder isgreater as compared with the gap in Bids for other Schools. The remainingSchools shall be awarded to the Bidder having the next highest technicalscore. In the event that the gap between the Highest Bidder and the nextHighest Bidder is the same for more than 2 (two) Schools in a State and 5(five) Schools in the country, the award of Schools shall be based on thepreference for locations submitted by the Bidders in accordance withAnnex VI of Appendix -1.

2.2 Change in Ownership

By submitting the Bid, the Bidder shall also be deemed to have acknowledged andagreed that in the event of a change in control of an Associate whose Technical

Capacity and/ or Financial Capacity was taken into consideration for the purposesof pre-qualification under and in accordance with the RFQ, the Bidder shall bedeemed to have knowledge of the same and shall be required to inform theAuthority forthwith along with all relevant particulars about the same and theAuthority may, in its sole discretion, disqualify the Bidder or withdraw the LOAfrom the Selected Bidder, as the case may be. In the event such change in controloccurs after signing of the Concession Agreement but prior to Financial Close ofthe Project, it would, notwithstanding anything to the contrary contained in theConcession Agreement, be deemed to be a breach of the Concession Agreement,and the same shall be liable to be terminated without the Authority being liable inany manner whatsoever to the Concessionaire. In such an event, notwithstandinganything to the contrary contained in the Concession Agreement, the Authorityshall be entitled to forfeit and appropriate the Bid Security or PerformanceSecurity, as the case may be, as Damages, without prejudice to any other right orremedy that may be available to the Authority under the Bidding Documents and/or the Concession Agreement or otherwise.

2.3 Cost of Bidding

The Bidders shall be responsible for all of the costs associated with thepreparation of their Bids and their participation in the Bidding Process. TheAuthority will not be responsible or in any way liable for such costs, regardless ofthe conduct or outcome of the Bidding Process.

2.4 Site visit and verification of information

2.4.1 Bidders are encouraged to submit their respective Bids after ascertaining forthemselves the site conditions, location, surroundings, climate, availability ofpower, water and other utilities for construction, access to site, handling andstorage of materials, weather data, applicable laws and regulations, availability ofstudents, educational levels, other schools in adjacent areas, means of transportfor children and any other matter considered relevant by them.

2.4.2 It shall be deemed that by submitting a Bid, the Bidder has:

(a) made a complete and careful examination of the Bidding Documents;

(b) received all relevant information requested from the Authority;

(c) accepted the risk of inadequacy, error or mistake in the informationprovided in the Bidding Documents or furnished by or on behalf of theAuthority relating to any of the matters referred to in Clause 2.4.1 above;

(d) satisfied itself about all matters, things and information including mattersreferred to in Clause 2.4.1 hereinabove necessary and required forsubmitting an informed Bid, construction and operation of the Project inaccordance with the Bidding Documents and performance of all of itsobligations thereunder;

(e) acknowledged and agreed that inadequacy, lack of completeness orincorrectness of information provided in the Bidding Documents orignorance of any of the matters referred to in Clause 2.4.1 hereinaboveshall not be a basis for any claim for compensation, damages, extension oftime for performance of its obligations, loss of profits etc. from theAuthority, or a ground for termination of the Concession Agreement bythe Concessionaire;

(f) acknowledged that it does not have a Conflict of Interest; and

(g) agreed to be bound by the undertakings provided by it under and in termshereof.

2.4.3 The Authority shall not be liable for any omission, mistake or error in respect ofany of the above or on account of any matter or thing arising out of or concerningor relating to RFP, RFQ, the Bidding Documents or the Bidding Process,including any error or mistake therein or in any information or data given by theAuthority.

2.5 Verification and Disqualification

2.5.1 The Authority reserves the right to verify all statements, information anddocuments submitted by the Bidder in response to the RFQ, the RFP or theBidding Documents and the Bidder shall, when so required by the Authority,make available all such information, evidence and documents as may benecessary for such verification. Any such verification, or lack of such verification,by the Authority shall not relieve the Bidder of its obligations or liabilitieshereunder nor will it affect any rights of the Authority thereunder.

2.5.2 The Authority reserves the right to reject any Bid and appropriate the Bid Securityif:

(a) at any time, a material misrepresentation is made or uncovered, or

(b) the Bidder does not provide, within the time specified by the Authority, thesupplemental information sought by the Authority for evaluation of the Bid.

Such misrepresentation/ improper response shall lead to the disqualification of theBidder. If such disqualification / rejection occurs after the Bids have been openedand the Highest Bidder gets disqualified / rejected, then the Authority reserves theright to:

(i) invite the Bidder with the next highest score in accordance withClauses 3.4.2; or

(ii) take any such measure as may be deemed fit in the sole discretion ofthe Authority, including annulment of the Bidding Process.

2.5.3 In case it is found during the evaluation or at any time before signing of theConcession Agreement or after its execution and during the period of subsistencethereof, that one or more of the pre-qualification conditions have not been met bythe Bidder, or the Bidder has made material misrepresentation or has given anymaterially incorrect or false information, the Bidder shall be disqualifiedforthwith if not yet appointed as the Concessionaire either by issue of the LOA orentering into of the Concession Agreement, and if the Selected Bidder has alreadybeen issued the LOA or has entered into the Concession Agreement, as the casemay be, the same shall, notwithstanding anything to the contrary containedtherein or in this RFP, be liable to be terminated, by a communication in writingby the Authority to the Selected Bidder or the Concessionaire, as the case may be,without the Authority being liable in any manner whatsoever to the SelectedBidder or Concessionaire. In such an event, the Authority shall be entitled toforfeit and appropriate the Bid Security or Performance Security, as the case maybe, as Damages, without prejudice to any other right or remedy that may beavailable to the Authority under the Bidding Documents and/ or the ConcessionAgreement, or otherwise.

2.6.2 The draft Concession Agreement provided by the Authority as part of the BidDocuments shall be deemed to be part of this RFP.

2.7 Clarifications

2.7.1 Bidders requiring any clarification on the RFP may notify the Authority in writingby speed post/ courier/ special messenger or by e-mail in accordance with Clause1.2.10. They should send in their queries on or before the date mentioned in theSchedule of Bidding Process specified in Clause 1.3. The Authority shallendeavour to respond to the queries within the period specified therein, but nolater than 15 (fifteen) days prior to the Bid Due Date. The responses will be sentby fax or e-mail. The Authority will forward all the queries and its responsesthereto, to all Bidders without identifying the source of queries.

2.7.2 The Authority shall endeavour to respond to the questions raised or clarificationssought by the Bidders. However, the Authority reserves the right not to respond toany question or provide any clarification, in its sole discretion, and nothing in thisClause shall be taken or read as compelling or requiring the Authority to respondto any question or to provide any clarification.

2.7.3 The Authority may also on its own motion, if deemed necessary, issueinterpretations and clarifications to all Bidders. All clarifications andinterpretations issued by the Authority shall be deemed to be part of the BiddingDocuments. Verbal clarifications and information given by Authority or itsemployees or representatives shall not in any way or manner be binding on theAuthority.

2.8 Amendment of RFP

2.8.1 At any time prior to the Bid Due Date, the Authority may, for any reason, whetherat its own initiative or in response to clarifications requested by a Bidder, modifythe RFP by the issuance of Addenda.

2.8.2 Any Addendum issued hereunder will be in writing and shall be sent to all theBidders through email and by speed post.

2.8.3 In order to afford the Bidders a reasonable time for taking an Addendum intoaccount, or for any other reason, the Authority may, in its sole discretion, extendthe Bid Due Date$.

C. PREPARATION AND SUBMISSION OF BIDS

2.9 Format and Signing of Bid

$ While extending the Bid Due Date on account of an addendum, the Authority shall have due regard for the time required by Biddersto address the amendments specified therein. In the case of significant amendments, at least 15 (fifteen) days shall be providedbetween the date of amendment and the Bid Due Date, and in the case of minor amendments, at least 7 (seven) days shall be provided.

2.9.1 The Bidder shall provide all the information sought under this RFP. TheAuthority will evaluate only those Bids that are received in the required formatsand complete in all respects.

2.9.2 The Bid and its copy shall be typed or written in indelible ink and signed by theauthorised signatory of the Bidder who shall also initial each page, in blue ink. Incase of printed and published documents, only the cover shall be initialled. All thealterations, omissions, additions or any other amendments made to the Bid shallbe initialled by the person(s) signing the Bid.

2.10 Sealing and Marking of Bids

2.10.1 The Bidder shall submit the Bid in the format specified at Appendix-I along withAnnexes and supporting documents, and seal it in an envelope and mark theenvelope as “BID”.

2.10.2 The documents accompanying the Bid shall be placed in a separate envelope andmarked as “Enclosures of the Bid”. The documents shall include:

(a) Bid Security in the format at Appendix–II;

(b) Power of Attorney for signing of Bid in the format at Appendix–III; and

(c) A copy of the Concession Agreement with each page initialled by theperson signing the Bid in pursuance of the Power of Attorney referred to inClause (b) hereinabove.

2.10.3 A true copy of the documents accompanying the Bid, as specified in Clause2.10.2 above, shall be bound together in hard cover and the pages shall benumbered serially. Each page thereof shall be initialled in blue ink by theauthorised signatory of the Bidder. This copy of the documents shall be placed ina separate envelope and marked “Copy of Documents”.

2.10.4 The three envelopes specified in Clauses 2.10.1, 2.10.2 and 2.10.3 shall be placedin an outer envelope, which shall be sealed. Each of the four envelopes shallclearly bear the following identification:

“Bid for the Rashtriya Adarsh Vidyalaya, [Name of the Block]”

and shall clearly indicate the name and address of the Bidder. In addition, the BidDue Date should be indicated on the right hand top corner of each of theenvelopes.

2.10.6 If the envelopes are not sealed and marked as instructed above, the Authorityassumes no responsibility for the misplacement or premature opening of thecontents of the Bid submitted and consequent losses, if any, suffered by theBidder.

2.10.7 Bids submitted by fax, telex, telegram or e-mail shall not be entertained and shallbe rejected.

2.11 Bid Due Date

2.11.1 Bids should be submitted before 1100 hours IST on the Bid Due Date at theaddress provided in Clause 2.10.5 in the manner and form as detailed in this RFP.A receipt thereof should be obtained from the person specified at Clause 2.10.5 orhis authorised nominee.

2.11.2 The Authority may, in its sole discretion, extend the Bid Due Date by issuing anAddendum in accordance with Clause 2.8 uniformly for all Bidders.

2.12 Late Bids

Bids received by the Authority after the specified time on the Bid Due Date shallnot be eligible for consideration and shall be summarily rejected.

2.13 Contents of the Bid

2.13.1 The Bid shall be furnished in the format at Appendix–I along with Annexes andsupporting documents.

2.13.2 Generally, the Project will be awarded to the Highest Bidder.

2.13.3 The opening of Bids and acceptance thereof shall be substantially in accordancewith this RFP.

2.13.4 The proposed Concession Agreement shall be deemed to be part of the Bid.

2.14 Modifications/ Substitution/ Withdrawal of Bids

2.14.1 The Bidder may modify, substitute or withdraw its Bid after submission, providedthat written notice of the modification, substitution or withdrawal is received bythe Authority prior to the Bid Due Date. No Bid shall be modified, substituted orwithdrawn by the Bidder on or after the Bid Due Date.

2.14.2 The modification, substitution or withdrawal notice shall be prepared, sealed,marked, and delivered in accordance with Clause 2.10, with the envelopes beingadditionally marked “MODIFICATION”, “SUBSTITUTION” or“WITHDRAWAL”, as appropriate.

2.14.3 Any alteration/ modification in the Bid or additional information suppliedsubsequent to the Bid Due Date, unless the same has been expressly sought for bythe Authority, shall be disregarded.

2.15 Rejection of Bids

2.15.1 Notwithstanding anything contained in this RFP, the Authority reserves the rightto reject any Bid and to annul the Bidding Process and reject all Bids at any timewithout any liability or any obligation for such acceptance, rejection orannulment, and without assigning any reasons therefor. In the event that theAuthority rejects or annuls all the Bids, it may, in its discretion, invite all eligibleBidders to submit fresh Bids hereunder.

2.15.2 The Authority reserves the right not to proceed with the Bidding Process at anytime, without notice or liability, and to reject any Bid without assigning anyreasons.

2.16 Validity of Bids

The Bids shall be valid for a period of not less than 120 (one hundred and twenty)days from the Bid Due Date. The validity of Bids may be extended by mutualconsent of the respective Bidders and the Authority.

2.17 Confidentiality

Information relating to the examination, clarification, evaluation andrecommendation for the Bidders shall not be disclosed to any person who is notofficially concerned with the process or is not a retained professional advisoradvising the Authority in relation to, or matters arising out of, or concerning theBidding Process. The Authority will treat all information, submitted as part of theBid, in confidence and will require all those who have access to such material totreat the same in confidence. The Authority may not divulge any such informationunless it is directed to do so by any statutory entity that has the power under lawto require its disclosure or is to enforce or assert any right or privilege of thestatutory entity and/ or the Authority or as may be required by law or inconnection with any legal process.

2.18 Correspondence with the Bidder

Save and except as provided in this RFP, the Authority shall not entertain anycorrespondence with any Bidder in relation to acceptance or rejection of any Bid.

2.19 Bid Security

2.19.1 The Bidder shall furnish as part of its Bid, a Bid Security referred to in Clauses2.1.5 and 2.1.6 hereinabove in the form of a bank guarantee issued by anationalised bank, or a Scheduled Bank in India having a net worth of at least Rs.1,000 crore (Rs. one thousand crore), in favour of the Authority in the format atAppendix–II (the “Bank Guarantee”) and having a validity period of not lessthan 180 (one hundred eighty) days from the Bid Due Date, inclusive of a claimperiod of 60 (sixty) days, and may be extended as may be mutually agreedbetween the Authority and the Bidder from time to time. In case the BankGuarantee is issued by a foreign bank outside India, confirmation of the same byany nationalised bank in India is required. For the avoidance of doubt, ScheduledBank shall mean a bank as defined under Section 2(e) of the Reserve Bank ofIndia Act, 1934.

2.19.2 Bid Security can also be in the form of a demand draft issued by a ScheduledBank in India, drawn in favour of the “Pay & Accounts Officer, DSEL, MHRD”and payable at Delhi (the “Demand Draft”). The Authority shall not be liable topay any interest on the Bid Security deposit so made and the same shall beinterest free.

2.19.3 Any Bid not accompanied by the Bid Security shall be summarily rejected by theAuthority as non-responsive.

2.19.4 Save and except as provided in Clauses 1.2.4 and 1.2.5 above, the Bid Security ofunsuccessful Bidders will be returned by the Authority, without any interest, aspromptly as possible on acceptance of the Bid of the Selected Bidder or when theBidding process is cancelled by the Authority, and in any case within 60 (sixty)days from the Bid Due Date. Where Bid Security has been paid by deposit, therefund thereof shall be in the form of an account payee demand draft in favour ofthe unsuccessful Bidder(s). Bidders may by specific instructions in writing to theAuthority give the name and address of the person in whose favour the saiddemand draft shall be drawn by the Authority for refund, failing which it shall bedrawn in the name of the Bidder and shall be mailed to the address given on theBid.

2.19.5 The Selected Bidder’s Bid Security will be returned, without any interest, uponthe Concessionaire signing the Concession Agreement and furnishing thePerformance Security in accordance with the provisions thereof. The Authoritymay, at the Selected Bidder’s option, adjust the amount of Bid Security in theamount of Performance Security to be provided by him in accordance with theprovisions of the Concession Agreement.

2.19.6 The Authority shall be entitled to forfeit and appropriate the Bid Security asDamages inter alia in any of the events specified in Clause 2.19.7 herein below.The Bidder, by submitting its Bid pursuant to this RFP, shall be deemed to haveacknowledged and confirmed that the Authority will suffer loss and damage onaccount of withdrawal of its Bid or for any other default by the Bidder during the

period of Bid validity as specified in this RFP. No relaxation of any kind on BidSecurity shall be given to any Bidder.

2.19.7 The Bid Security shall be forfeited as Damages without prejudice to any otherright or remedy that may be available to the Authority under the BiddingDocuments and/ or under the Concession Agreement, or otherwise, under thefollowing conditions:

(a) If a Bidder submits a non-responsive Bid;

(b) If a Bidder engages in a corrupt practice, fraudulent practice, coercivepractice, undesirable practice or restrictive practice as specified in Clause4 of this RFP;

(c) If a Bidder withdraws its Bid during the period of Bid validity as specifiedin this RFP and as extended by mutual consent of the respective Bidder(s)and the Authority;

(d) In the case of Selected Bidder, if it fails within the specified time limit -

(i) to sign and return the duplicate copy of LOA;

(ii) to sign the Concession Agreement; or

(iii) to furnish the Performance Security within the period prescribedtherefor in the Concession Agreement; or

(e) In case the Selected Bidder, having signed the Concession Agreement,commits any breach thereof prior to furnishing the Performance Security.

3. EVALUATION OF BIDS

3.1 Opening and Evaluation of Bids

3.1.1 The Authority shall open the Bids at 1130 hours on the Bid Due Date, at the placespecified in Clause 2.10.5 and in the presence of the Bidders who choose toattend.

3.1.2 The Authority will subsequently examine and evaluate the Bids in accordancewith the provisions set out in this Section 3.

3.1.3 To facilitate evaluation of Bids, the Authority may, at its sole discretion, seekclarifications in writing from any Bidder regarding its Bid.

3.2 Tests of responsiveness

3.2.1 Prior to evaluation of Bids, the Authority shall determine whether each Bid isresponsive to the requirements of this RFP. A Bid shall be considered responsiveonly if:

(a) it is received as per the format at Appendix–I along with Annexes andsupporting documents;

(b) it is received by the Bid Due Date including any extension thereofpursuant to Clause 2.11.2;

(c) it is signed, sealed, bound together in hard cover and marked as stipulatedin Clauses 2.9 and 2.10;

(d) it is accompanied by the Bid Security as specified in Clause 2.1.5;

(e) it is accompanied by the Power(s) of Attorney as specified in Clauses2.1.7;

(f) it contains all the information (complete in all respects) as requested inthis RFP and/or Bidding Documents (in formats same as those specified);

(g) it does not contain any condition or qualification; and

(h) it is not non-responsive in terms hereof.

3.2.2 The Authority reserves the right to reject any Bid which is non-responsive and norequest for alteration, modification, substitution or withdrawal shall be entertainedby the Authority in respect of such Bid.

3.3 Evaluation criteria for Bids

3.3.1 The Bids of all Bidders shall be evaluated in terms of their technical scores. Theevaluation and scoring of Bidders shall be undertaken in accordance with thescoring criteria specified in Appendix-IV. The award of the Project will dependon the comparative scores of the respective Bidders who submit Bids for and inrespect of the Project. Only those Bidders who achieve the minimum technicalscore specified in Appendix-IV will be considered for award of the Project. TheBidders shall be ranked on the basis of their respective technical scores and theBidder with the highest technical score shall be the Highest Bidder.

3.3.2 The Bidders are required to undertake and submit their self-score as per formatsgiven at Annex IV and V of Appendix-I. Bidders shall calculate their technicalscore in terms of the scoring criteria given at Appendix IV. The Bidders areexpected to compute their scores with diligence and caution. In case ineligible/incorrect scores are computed by a Bidder, such scores shall be omitted during theevaluation process.

3.4 Selection of Bidder

3.4.1 Subject to the provisions of Clause 2.14.1, the Bidder whose Bid is adjudged asresponsive in terms of Clause 3.2.1 and who has the highest technical score shallbe declared as the selected Bidder (the “Selected Bidder”). In the event that theAuthority rejects or annuls all the Bids, it may, in its discretion, invite all eligibleBidders to submit fresh Bids hereunder.

3.4.2 In the event that the Highest Bidder withdraws or is not selected for any reason,the Authority may invite the Bidder with the next highest technical score andaward the Project to it, provided it has the minimum technical score specified inAppendix-IV. In the event that the Bidder with the next highest technical scorealso withdraws or is not selected for any reason, this process may be repeated withthe remaining bidders who have the minimum technical score specified inAppendix-IV, in order of their ranking.

3.4.3 After selection, a Letter of Award (the “LOA”) shall be issued, in duplicate, bythe Authority to the Selected Bidder and the Selected Bidder shall, within 7(seven) days of the receipt of the LOA, sign and return the duplicate copy of theLOA in acknowledgement thereof. In the event the duplicate copy of the LOAduly signed by the Selected Bidder is not received by the stipulated date, theAuthority may, unless it consents to extension of time for submission thereof,appropriate the Bid Security of such Bidder as Damages on account of failure ofthe Selected Bidder to acknowledge the LOA, and the next eligible Bidder may beconsidered.

3.4.4 After acknowledgement of the LOA as aforesaid by the Selected Bidder, it shallcause the Concessionaire to execute the Concession Agreement within the periodprescribed in Clause 1.3. The Selected Bidder shall not be entitled to seek anydeviation, modification or amendment in the Concession Agreement.

3.5 Contacts during Bid Evaluation

Bids shall be deemed to be under consideration immediately after they are openedand until such time the Authority makes official intimation of award/ rejection tothe Bidders. While the Bids are under consideration, Bidders and/ or theirrepresentatives or other interested parties are advised to refrain, save and exceptas required under the Bidding Documents, from contacting by any means, theAuthority and/ or their employees/ representatives on matters related to the Bidsunder consideration.

4. FRAUD AND CORRUPT PRACTICES

4.1 The Bidders and their respective officers, employees, agents and advisers shallobserve the highest standard of ethics during the Bidding Process and subsequentto the issue of the LOA and during the subsistence of the Concession Agreement.Notwithstanding anything to the contrary contained herein, or in the LOA or theConcession Agreement, the Authority may reject a Bid, withdraw the LOA, orterminate the Concession Agreement, as the case may be, without being liable inany manner whatsoever to the Bidder or Concessionaire, as the case may be, if itdetermines that the Bidder or Concessionaire, as the case may be, has, directly orindirectly or through an agent, engaged in corrupt practice, fraudulent practice,coercive practice, undesirable practice or restrictive practice in the BiddingProcess. In such an event, the Authority shall be entitled to forfeit and appropriatethe Bid Security or Performance Security, as the case may be, as Damages,without prejudice to any other right or remedy that may be available to theAuthority under the Bidding Documents and/ or the Concession Agreement, orotherwise.

4.2 Without prejudice to the rights of the Authority under Clause 4.1 hereinabove andthe rights and remedies which the Authority may have under the LOA or theConcession Agreement, or otherwise if a Bidder or Concessionaire, as the casemay be, is found by the Authority to have directly or indirectly or through anagent, engaged or indulged in any corrupt practice, fraudulent practice, coercivepractice, undesirable practice or restrictive practice during the Bidding Process, orafter the issue of the LOA or the execution of the Concession Agreement, suchBidder or Concessionaire shall not be eligible to participate in any tender or RFPissued by the Authority during a period of 2 (two) years from the date such Bidderor Concessionaire, as the case may be, is found by the Authority to have directlyor indirectly or through an agent, engaged or indulged in any corrupt practice,fraudulent practice, coercive practice, undesirable practice or restrictive practices,as the case may be.

4.3 For the purposes of this Clause 4, the following terms shall have the meaninghereinafter respectively assigned to them:

(a) “corrupt practice” means (i) the offering, giving, receiving, or soliciting,directly or indirectly, of anything of value to influence the actions of anyperson connected with the Bidding Process (for avoidance of doubt,offering of employment to or employing or engaging in any mannerwhatsoever, directly or indirectly, any official of the Authority who is orhas been associated in any manner, directly or indirectly, with the BiddingProcess or the LOA or has dealt with matters concerning the ConcessionAgreement or arising therefrom, before or after the execution thereof, atany time prior to the expiry of one year from the date such official resignsor retires from or otherwise ceases to be in the service of the Authority,shall be deemed to constitute influencing the actions of a person connected

with the Bidding Process); or (ii) save and except as permitted under theClause 2.1.12 of this RFP, engaging in any manner whatsoever, whetherduring the Bidding Process or after the issue of the LOA or after theexecution of the Concession Agreement, as the case may be, any person inrespect of any matter relating to the Project or the LOA or the ConcessionAgreement, who at any time has been or is a legal, financial or technicaladviser of the Authority in relation to any matter concerning the Project;

(b) “fraudulent practice” means a misrepresentation or omission of facts orsuppression of facts or disclosure of incomplete facts, in order to influencethe Bidding Process;

(c) “coercive practice” means impairing or harming, or threatening to impairor harm, directly or indirectly, any person or property to influence anyperson’s participation or action in the Bidding Process;

(d) “undesirable practice” means (i) establishing contact with any personconnected with or employed or engaged by the Authority with theobjective of canvassing, lobbying or in any manner influencing orattempting to influence the Bidding Process; or (ii) having a Conflict ofInterest; and

(e) “restrictive practice” means forming a cartel or arriving at anyunderstanding or arrangement among Bidders with the objective ofrestricting or manipulating a full and fair competition in the BiddingProcess.

5. PRE-BID CONFERENCE

5.1 Pre-Bid conferences of the Bidders shall be convened at the designated date, timeand place. Only those persons who have purchased the RFP document shall beallowed to participate in the Pre-Bid Conferences. A maximum of fiverepresentatives of each Bidder shall be allowed to participate on production ofauthority letter from the Bidder.

5.2 During the course of Pre-Bid conference(s), the Bidders will be free to seekclarifications and make suggestions for consideration of the Authority. TheAuthority shall endeavour to provide clarifications and such further information asit may, in its sole discretion, consider appropriate for facilitating a fair, transparentand competitive Bidding Process.

6. MISCELLANEOUS

6.1 The Bidding Process shall be governed by, and construed in accordance with, thelaws of India and the Courts at New Delhi shall have exclusive jurisdiction over alldisputes arising under, pursuant to and/ or in connection with the Bidding Process.

6.2 The Authority, in its sole discretion and without incurring any obligation orliability, reserves the right, at any time, to;

(a) suspend and/ or cancel the Bidding Process and/ or amend and/ orsupplement the Bidding Process or modify the dates or other terms andconditions relating thereto;

(b) consult with any Bidder in order to receive clarification or furtherinformation;

(c) retain any information and/ or evidence submitted to the Authority by, onbehalf of, and/ or in relation to any Bidder; and/ or

(d) independently verify, disqualify, reject and/ or accept any and allsubmissions or other information and/ or evidence submitted by or onbehalf of any Bidder.

6.3 It shall be deemed that by submitting the Bid, the Bidder agrees and releases theAuthority, its employees, agents and advisers, irrevocably, unconditionally, fullyand finally from any and all liability for claims, losses, damages, costs, expenses orliabilities in any way related to or arising from the exercise of any rights and/ orperformance of any obligations hereunder, pursuant hereto and/ or in connectionwith the Bidding Process and waives, to the fullest extent permitted by applicablelaws, any and all rights and/ or claims it may have in this respect, whether actual orcontingent, whether present or in future.

6.4 The Bidding Documents and RFQ are to be taken as mutually explanatory and,unless otherwise expressly provided elsewhere in this RFP, in the event of anyconflict between them the priority shall be in the following order:

(a) the Bidding Documents;

(b) the RFQ.

i.e. the Bidding Documents at (a) above shall prevail over the RFQ at (b) above.

8. (a) Only the accomplishments relating to excellence in scholastic and coscholastic activities shall be considered, subject to submission of a certified truecopy of appropriate certificate issued by the relevant National/ State levelorganisation for each student/ teacher and the school/educational institution inrespect of which technical scores are being claimed.

(b) The marks allocated for accomplishments as per the Scoring Criteria inAppendix IV shall be applicable for awards by State level organisations. For awardsby National level organisations, the marks would be upscaled by 50% thereof. Forthe purposes of this RFP, an organisation shall be considered as a State levelorganisation if it is affiliated/ accredited to a board/body recognised by the StateGovernment or which has been created under a State law. An organisation shall beconsidered as a National level organisation if it is affiliated /accredited to aboard/body recognised by the Central Government as a national or inter-state entityor which has been created under a Central law.

2. The marks allocated for accomplishments in Appendix IV would be applicable forawards by State level organisations. For awards by National level organisations, themarks would be upscaled by 50% thereof.

3. Under the category Educational Institutions, the marks specified for the parameters inAppendix IV are applicable for State level institutions. For Central/National levelinstitutions, the scores may be increased by 50% of the marks specified for theparameters in Appendix IV.

4. For the schools/institutions that are located in special category states, scheduled andtribal areas and LWE districts, the scores may be increased by 25% of the marksspecified for the parameters in Appendix IV.

5. If the Bidder has the requisite land in his name in the Block where the school is to beset up, copy of the relevant ownership documents may be submitted along with theProposal. The same would be taken into account in case of a tie in the score of twoBidders. In the event of non-submission of ownership documents by a Bidder, itwould be presumed that the Bidder does not possess requisite land in his name in theBlock.

Note:

4. This Guarantee shall be irrevocable and remain in full force for a period of 180 (onehundred and eighty) days from the Bid Due Date inclusive of a claim period of 60(sixty) days or for such extended period as may be mutually agreed between theAuthority and the Bidder, and agreed to by the Bank, and shall continue to beenforceable till all amounts under this Guarantee have been paid.

5. We, the Bank, further agree that the Authority shall be the sole judge to decide as towhether the Bidder is in default of due and faithful fulfilment and compliance withthe terms and conditions contained in the Bidding Documents including, inter alia,the failure of the Bidder to keep its Bid open during the Bid validity period set forthin the said Bidding Documents, and the decision of the Authority that the Bidder isin default as aforesaid shall be final and binding on us, notwithstanding anydifferences between the Authority and the Bidder or any dispute pending before anyCourt, Tribunal, Arbitrator or any other authority.

6. The Guarantee shall not be affected by any change in the constitution or winding upof the Bidder or the Bank or any absorption, merger or amalgamation of the Bidderor the Bank with any other person.

7. In order to give full effect to this Guarantee, the Authority shall be entitled to treatthe Bank as the principal debtor. The Authority shall have the fullest liberty withoutaffecting in any way the liability of the Bank under this Guarantee from time totime to vary any of the terms and conditions contained in the said BiddingDocuments or to extend time for submission of the Bids or the Bid validity periodor the period for conveying acceptance of Letter of Award by the Bidder or theperiod for fulfilment and compliance with all or any of the terms and conditionscontained in the said Bidding Documents by the said Bidder or to postpone for anytime and from time to time any of the powersexercisable by it against the said Bidder and either to enforce or forbear fromenforcing any of the terms and conditions contained in the said Bidding Documentsor the securities available to the Authority, and the Bank shall not be released fromits liability under these presents by any exercise by the Authority of the liberty withreference to the matters aforesaid or by reason of time being given to the saidBidder or any other forbearance, act or omission on the part of the Authority or anyindulgence by the Authority to the said Bidder or by any change in the constitutionof the Authority or its absorption, merger or amalgamation with any other person orany other matter or thing whatsoever which under the law relating to sureties wouldbut for this provision have the effect of releasing the Bank from its such liability.

8. Any notice by way of request, demand or otherwise hereunder shall be sufficientlygiven or made if addressed to the Bank and sent by courier or by registered mail tothe Bank at the address set forth herein.

9. We undertake to make the payment on receipt of your notice of claim on usaddressed to [name of Bank along with branch address] and delivered at our abovebranch which shall be deemed to have been duly authorised to receive the saidnotice of claim.

10. It shall not be necessary for the Authority to proceed against the said Bidder beforeproceeding against the Bank and the guarantee herein contained shall beenforceable against the Bank, notwithstanding any other security which theAuthority may have obtained from the said Bidder or any other person and whichshall, at the time when proceedings are taken against the Bank hereunder, beoutstanding or unrealised.

11. We, the Bank, further undertake not to revoke this Guarantee during its currencyexcept with the previous express consent of the Authority in writing.

(b) Calculation of average percentage marks of students shall include studentswho have failed in the exams. Students who did not appear for all exams may beexcluded.

(c) Average of last two years’ average percentage marks thus calculated shall berounded to nearest whole number.

(d) Any pending results (compartments/re-valuations, etc.) shall be treated asfinal as existing on the date of Proposal submission.

(e) Last year shall mean the latest year for which results have been declared andcommunicated by the affiliating/ accrediting board/body. The last two years shall beclearly mentioned along with the average percentage.

(f) Grades will be converted to equivalent percentage marks based on therelevant methodology notified by the relevant affiliating/ accrediting board/body.Such methodology for conversion shall be enclosed as published or duly certifiedby the Authorized Signatory of the entity which has notified such methodology. Incase the affiliating/ accrediting board/body declaring the results does not have suchmethodology for conversion of grades or CGPA to percentage, the same would beconverted into percentage marks based on its mean (the mean of the interval for therespective grade in case of grades system). The concerned school/educationalinstitution shall provide a declaration in this regard stating that the affiliating/accrediting board/body declaring its results does not have any specifiedmethodology for conversion of grades or CGPA to percentage and shall providedetails of range of grades/CGPA and mean values of the same.

2. (a) Only the accomplishments relating to excellence in scholastic and co-scholastic activities shall be considered, subject to submission of copy ofappropriate certificate issued by the relevant National/ State level organisation foreach student/ teacher and the school/educational institution in respect of whichtechnical scores are being claimed.

(b) The marks allocated for accomplishments as per the Scoring Criteria in thisAppendix shall be applicable for awards by State level organisations. For awards byNational level organisations, the marks would be upscaled by 50% thereof. For thepurposes of this RFP, an organisation shall be considered as a State levelorganisation if it is affiliated/ accredited to a board/body recognised by the StateGovernment or which has been created under a State law or is a private / deemedUniversity recognised by the University Grants Commission. An organisation shallbe considered as a National level organisation if it is affiliated/ accredited to aboard/body recognised by the Central Government as a national or inter-state entityor which has been created under a Central law.

(c) For students, the accomplishments submitted for consideration must belongto those who were enrolled in the school/educational institution during the time ofthat particular achievement. For Teachers, the accomplishments submitted forconsideration must belong to those from those who are employed currently in theschool/educational institution at the time of submission of the Proposal, irrespective

of the timing and employer at the time of accomplishment. MHRD reserves theright to seek enrolment/employment/contract records from the Bidder, if required.

(d) The accomplishments may belong to students/teachers from any class/academic batch and any year of operation of the school/educational institution up toand including the date of submission of the proposal.

(e) Only individual accomplishments will be considered as student/ teacheraccomplishments. All team accomplishments will be considered asaccomplishments of the school/educational institution. Further, if only the name ofthe school/ educational institution appears on the certificate, then it will beconsidered as an accomplishment of the school/educational institution. The Bidderwill certify whether the accomplishment is a team or an individual achievement.

(f) The accomplishments that shall be acknowledged for the purpose of theScoring Criteria in this Appendix IV should have been awarded by the bodies listedin Annex II of this Appendix IV.

3. Under Category C above, the marks allotted would be applicable for State levelInstitutions. For all Central/National level institutions, the marks would be upscaledby 50% thereof. For the purposes of this RFP, an educational institution shall beconsidered as a State level institution if it is affiliated to a University recognised bythe State Government or which has been created under a State law or is private /deemed University recognised by the University Grants Commission. Aneducational institution shall be considered as a Central/ National level institution ifit is affiliated to a University recognised by the Central Government as a national orinter-state entity or which has been created under a Central law.

4. The marks allotted would be upscaled by 25% for schools/institutions that arelocated in special category states, scheduled and tribal areas and LWE districts. Thespecial category states include 11 States, namely, Arunachal Pradesh, Assam,Himachal Pradesh, Jammu & Kashmir, Manipur, Meghalaya, Mizoram, Nagaland,Sikkim, Tripura and Uttarakhand. The State-wise list of scheduled and tribal areas,as referred to in the Fifth and the Sixth Schedule of the Constitution of India, isgiven at the web link http://tribal.nic.in. The list of LWE districts is given at Annex-I of this Appendix IV.

5. There shall be no maximum marks for any parameter or category.

6. In case of a tie in the score of two Bidders, a Bidder who has existing school/educational institution (for which score has been sought) in that Block, failingwhich in that District, failing which if the Bidder has required land in his name inthat Block, would be given preference over the other Bidder.

7. In case of a tie and non-applicability of the above, a Bidder in Category A shallrank higher than a Bidder in Category B; a Bidder in Category B shall rank higherthan a Bidder in Category C; and so on.

8. In case of a tie in the score of two Bidders in the same category, the Bidder whoscores higher in sub-category (a) of the respective category shall rank higher. In thecase of a tie in all the aforesaid parameters, the successful Bidder shall bedetermined by a draw of lots.

Sub: Guidelines for qualification of Bidders seeking to acquire stakes in PublicSector Enterprises through the process of disinvestment

Government has examined the issue of framing comprehensive and transparentguidelines defining the criteria for bidders interested in PSE-disinvestment so thatthe parties selected through competitive bidding could inspire public confidence.Earlier, criteria like Net Worth, experience etc. used to be prescribed. Based onexperience and in consultation with concerned departments, Government hasdecided to prescribe the following additional criteria for the qualification/disqualification of the parties seeking to acquire stakes in public sector enterprisesthrough disinvestment:

(a) In regard to matters other than the security and integrity of the country,any conviction by a Court of Law or indictment/ adverse order by aregulatory authority that casts a doubt on the ability of the bidder tomanage the public sector unit when it is disinvested, or which relates toa grave offence would constitute disqualification. Grave offence isdefined to be of such a nature that it outrages the moral sense of thecommunity. The decision in regard to the nature of the offence would betaken on case to case basis after considering the facts of the case andrelevant legal principles, by the Government of India.

(b) In regard to matters relating to the security and integrity of the country,any charge-sheet by an agency of the Government/ conviction by aCourt of Law for an offence committed by the bidding party or by anysister concern of the bidding party would result in disqualification. Thedecision in regard to the relationship between the sister concerns wouldbe taken, based on the relevant facts and after examining whether thetwo concerns are substantially controlled by the same person/ persons.

(c) In both (a) and (b), disqualification shall continue for a period thatGovernment deems appropriate.

(d) Any entity, which is disqualified from participating in the disinvestmentprocess, would not be allowed to remain associated with it or getassociated merely because it has preferred an appeal against the orderbased on which it has been disqualified. The mere pendency of appealwill have no effect on the disqualification.

(e) The disqualification criteria would come into effect immediately and wouldapply to all bidders for various disinvestment transactions, which have notbeen completed as yet.

(f) Before disqualifying a concern, a Show Cause Notice why it should not bedisqualified would be issued to it and it would be given an opportunityto explain its position.

(g) Henceforth, these c r i t e r i a w i l l b e p r e s c r i b e d i n t h ea d v e r t i s e m e n t s seeking Expression of Interest (EOI) from theinterested parties. The interested parties would be required to provide theinformation on the above criteria, along w i t h t h e i r E x p r e s s i o n s ofIn t e r e s t (EOI). The bidders shall be required to provide with their EOIan undertaking to the effect that no investigation by a regulatory authorityis pending against them. In case any investigation is pending against theconcern or its sister concern or against its CEO or any of its Directors/Managers/ employees, full details of such investigation including thename of the investigating agency, the charge/ offence for which theinvestigation has been launched, name and designation of persons againstwhom the investigation has been launched and other relevant informationshould be disclosed, to the satisfaction of the Government. For othercriteria also, a similar undertaking shall be obtained along with EOI.
