SECTION I
TERMS OF REFERENCE (TORs)
LEGAL CONSULTANCY SERVICES
1. Client
Punjab Safe Cities Authority, Government of the Punjab, Lahore
(hereinafter referred to as “PSCA” or the “Client”).
2. Project
Establishment of Punjab Police Integrated Command, Control &
Communication (PPIC3) Centres in Major Cities of Punjab, inter alia,
Multan, Rawalpindi, Sargodha, Bahawalpur, Faisalabad, Gujranwala
(MRSBFG) (the “Project”).
3. Assignment
The Legal Consultancy Services in relation to the Project.
4. Scope of Work
The Legal Consultant shall provide the following services (the “Legal
Consultancy Services”) to the Client:
i. Assist in preparing, revising, commenting on and finalizing the
Request for Proposals for the selection of a contractor for the Project.
ii. Assist in preparing, revising, commenting on and finalizing the
“Agreement for Engineering, Procurement and Construction (EPC)
under supplier’s credit mode and Operation & Maintenance Services”
to be signed between PSCA and the successful lowest evaluated
bidder for the Project.
iii. Assist in the evaluation of bids received from the bidders in response
to the Request for Proposals, in relation to the legal issues that may
arise with respect to the bids submitted during the bidding stage.
iv. Providing assistance to the Client in relation to the grievances of the
bidders during the bidding stage. Providing advice on legal matters
arising out of and during the execution of the Project including the
construction phase.
v. Attending meetings pertaining to the legal matters for the Project. The
Legal Consultant shall be given a reasonable prior notice for attending
such meetings.

It is being clarified that the scope of work shall not include provision of
assistance/advice by the Legal Consultant in any litigation/arbitration
proceedings or advise in relation to any environmental, criminal,
technical, tax, insurance and commercial matter relating to the Project.
For such matters, separate consultant(s) shall be engaged by PSCA.
5. Deliverables
All the deliverables shall be in English. The Legal Consultant is
expected to submit the assignment report as per Section 4 (Scope of
Work) of this REOI, as and when required by the Client.
6. Mode of Payment
i. At the bidding stage, the shortlisted applicants shall be required to
quote an hourly rate (which may be escalated after twelve (12)
months following the signing of the consultancy agreement) for the
Legal Consultancy Services, which shall be inclusive of all taxes and
charges.
ii. Invoice(s) in relation to the work done by Legal Consultant shall be
submitted to PSCA once per month and payment shall be made
within fifteen (15) business days from the date of receipt of respective
invoice by PSCA.
iii. PSCA shall scrutinise / verify the invoices submitted by the Legal
Consultant.
iv. PSCA shall release the payments to the Legal Consultant in relation
to the Legal Consultancy Services and shall provide to the Legal
Consultant, the tax challans / receipts in respect of the tax/charges
that would be deducted from the payments made.
v. Out of pocket expenses, incurred by the Legal Consultant in relation
to the Legal Consultancy Services for the Project, may be billed on
actuals.
7. Duration
The duration of the consultancy contract to be signed between PSCA
and the Legal Consultant shall for a period of eighteen (18) months
after the signing of the consultancy agreement.
8. Other Requirements
The Legal Consultant will depute a focal person with excellent
communication skills (spoken and written) and ability to coordinate
the work having stringent deadlines and handle multiple concurrent
projects/activities.

SECTION 2
INSTRUCTION TO APPLICANTS
9. Scope of Application
i. PSCA wishes to receive Expression of Interests (“EOIs”) to shortlist
experienced and capable sole proprietors, law firms or companies
(the “Applicants”) by submitting EOI applications (“EOI
Applications”) for the bidding stage.
ii. Shortlisted Applicants shall be invited to submit proposals in respect of the Legal Consultancy Services.
10. Eligible Applicants
i. The Applicant may be a sole proprietor, firm or a company.
ii. The Applicant should submit a Power of Attorney as per the format
enclosed at Appendix A (Power of Attorney), authorizing the signatory
of the EOI Application to commit the Applicant.
iii. EOIs submitted, in response to the REOI, by the Applicants should
comply with the requirements of this REOI.
iv. Notwithstanding anything stated elsewhere in this REOI, PSCA shall
have the right to seek updated information from the Applicants to
ensure their continued eligibility. Applicants shall provide evidence
of their continued eligibility in a manner that is satisfactory to PSCA.
An Applicant may be disqualified if it is determined by the PSCA, at
any stage of the shortlisting process, that the Applicant will be
unable to fulfill the requirements of the Legal Consultancy Services
or fails to continue to satisfy the Eligibility Criteria provided in this
REOI. Supplementary information or documentation may be sought
from the Applicants at any time and must so be provided within a
reasonable time frame as stipulated by PSCA.
v. An Applicant which has been barred or disqualified either by
Government of Pakistan, Government of the Punjab (GoPb) or their
Departments or agencies from participating in or providing legal
consultancy services and such disqualification subsists as on the
date of the submission of EOIs, would not be eligible to submit an
EOI Application, either individually or sole proprietor, law firm or a
company. Applicants shall submit an affidavit to this effect.
11. Number of EOIs
Each Applicant shall submit only one EOI Application in response to
this REOI. Any Applicant, which submits more than one EOI
Application will be disqualified.
12. EOI Preparation Cost
The Applicant shall be responsible for all of the costs associated with
the preparation of its EOI and its participation in the shortlisting

process. PSCA will not be responsible or in any way liable for such
costs, regardless of the conduct or outcome of the shortlisting
process.
13. Right to Accept or Reject any or all Applications
i. Notwithstanding anything contained in this REOI, PSCA reserves the
right to accept or reject any EOI and to annul the shortlisting process
and reject all EOIs/proposals, at any time without any liability or
any obligation for such acceptance, rejection or annulment.
ii. PSCA shall cancel the shortlisting process being conducted under
this REOI, if only one EOI Application is received.
iii. PSCA reserves the right to reject any EOI Application if:
a) At any time, a material misrepresentation is made or uncovered, or
b) The Applicant does not respond promptly and thoroughly to requests
for supplemental information required for the evaluation of the EOI
Application. Such misrepresentation / improper response would
lead to the disqualification of the Applicant.
14. Contents of REOI
This REOI document comprises the contents as given in the Table of
Contents and would additionally include any Addenda issued in
accordance with the provisions of this REOI document.
15. Clarifications
Applicants may address their queries relating to the REOI and the
shortlisting process, to the Offices of the Law & Procurement, PSCA.
The queries should reach the Client on or before date as specified in
schedule for shortlisting process.
The PSCA would endeavor to respond to the queries. The responses
will be sent by fax and/or email.
16. Amendment of REOI
i. At any time prior to the deadline for submission of EOI Application,
PSCA may, for any reason, whether at its own initiative or in
response to clarifications requested by any Applicant, modify the
REOI document by the issuance of an Addendum.
ii. Any Addendum thus issued will be sent in writing to all those who
have sent queries in relation to the REOI document and shall also be
uploaded on www.psca.gop.pk.

17. Language
The EOI Application and all related correspondence and documents
should be written in the English language. Supporting documents
and printed literature furnished by the Applicants with the EOI
Applications may be in any other language provided that they are
accompanied by appropriate translations of the pertinent passages
in the English language duly certified appropriately. Supporting
materials, which are not translated into English, may not be
considered. For the purpose of interpretation and evaluation of the
EOI Applications, the English language translation shall prevail.
18. Currency
The currency for the purpose of the EOIs/ EOI Applications shall be
Pakistani Rupees (“PKR”).
19. Validity of E0Is
EOIs shall remain valid for a period not less than one hundred and
eighty (180) days from the EOI Application Due Date. PSCA reserves
the right to reject any EOI Application, which does not meet this
requirement.
20. Format and Signing of EOI Application
i. Applicant shall provide all the information as per this REOI. PSCA
shall evaluate only those EOIs that are received in the required
format and are complete in all respects.
ii. The Applicant shall prepare one original of the documents
comprising the EOI Application and clearly marked "ORIGINAL". In
addition, the Applicant shall make two copies of the EOI Application,
clearly marked "COPY" and one soft copy in PDF or Word/Excel
Format. In the event of any discrepancy between the original and the
copies, the original shall prevail.
iii. The EOI Application and its copies shall be typed or written in
indelible ink and each page shall be initialed and stamped by the
Applicant. All the alterations, omissions, additions, or any other
amendments made to the EOI Application shall be initialed by the person(s) signing the EOI Application.
21. Sealing and Marking of EOI Applications
i. The Applicant shall seal the original and copy duly marking the
envelopes as "ORIGINAL" and "COPY". The envelopes shall then be
sealed in an outer envelope super scribing ‘REOI for Legal
Consultancy Services’ and also the name(s) of the Applicant.

ii. Each EOI (original and copy) shall contain:
a) Power of Attorney of the Applicant as per the format enclosed at
Appendix A (Power of Attorney);
b) Applicant details in the format attached as Appendix B (Details of
Applicant); c) EOI Application in the prescribed format attached as Appendix C
(Letter of EOI Application) along with supporting documents;
d) Completed Format for Experience as attached in Appendix D
(Information Related to Experience), along with supporting
documents;
e) Completed Format for Financial Capability as attached in Appendix
E (Financial Capability Form) along with supporting documents;
f) Format of Assignment Undertaking as attached in Appendix F
(Undertaking Regarding the Assignment); g) Documentary evidence, if applicable, relating to experience of the
Applicant.
h) The envelope shall be addressed to:

iii. If the envelope is not sealed and marked as instructed above, PSCA
assumes no responsibility for the misplacement or premature
opening of the contents of the EOI Application submitted.
22. Deadline for Submission of Applications
i. Applications shall be submitted through courier /express mail or by
hand at the address indicated above. However, Applicant must
ensure that the applications must reach no later than the following
deadline:
Date: January 10, 2018 (the “EOI Application Due Date”)
Time: 1500 hours, (Pakistan Standard Time)
ii. All prospective Applicants are required to submit an amount of PKR.
10,000/- (Pakistani Rupees Five Thousand only) in PSCA’s Account
titled “Establishment of IC3 Funds PSCA, Account Number CD
3630020001850007, Bank of the Punjab, Maisonette Branch,
Gulberg III, Lahore, Pakistan”.
iii. The prospective Applicants must email the copy of deposit slip to
[email protected] along with the details of contact personnel.
iv. The PSCA reserves the right to extend the EOI Application Due Date
and time, at any time prior to opening of EOIs in response to this

REOI. The EOI Applications received prior to such extension shall
not be opened. Further if the REOI document is materially modified
during such extended period, the EOI Application received prior to
extension shall be returned to the Applicant and appropriate time
shall be allowed for resubmission of the EOI Applications.
23. Late EOI Applications
EOI Applications received after the EOI Application Due Date shall
not be considered by the PSCA.
24. Modifications/ Substitution/ Withdrawal of EOIs
(Not Used)
25. Evaluation of Application - Due Date
The PSCA shall open the EOI Applications for the purpose of
evaluation.
26. Evaluation of EOI - Criteria
The PSCA shall subsequently examine and evaluate EOIs in
accordance with the criteria set out in Section 3 (Criteria for
Evaluation).
27. Evaluation of EOI - Supporting Documents
The PSCA reserves the right to call for supporting documentation to
verify the data provided by any Applicant, at any time during the
shortlisting process. The Applicant in such cases would need to
provide the requested clarification / documents promptly and within
the stipulated time and in case of failure to do so, the Applicant is liable to be disqualified at any stage of the shortlisting process.
28. Evaluation of EOI - Right to Reject
The PSCA reserves the right to reject any EOI Application if:
i. At any time, a material misrepresentation is made or uncovered; or
ii. The Applicant does not respond promptly and thoroughly to requests
for supplemental information required for the evaluation of the EOI
Applications.
29. Confidentiality
Information relating to the examination, clarification, evaluation,
and recommendation for the short-listed Applicants shall not be
disclosed to any person not officially concerned with the process.
PSCA will treat all information submitted as part of EOI Application

in confidence and would require all those who have access to such
material to treat the same in confidence. PSCA will not divulge any
such information unless it is ordered to do so by any authority that
has the power under law to require its disclosure.
30. Tests of responsiveness
Prior to evaluation of EOI Applications, PSCA will determine whether
each EOI Application is responsive to the requirements of the REOI.
An EOI Application shall be considered responsive if the EOI
Application is received by the EOI Application Due Date including
any extension thereof and contains information required as per
Appendix D, E, and F. The PSCA reserves the right to reject any EOI Application which is non-responsive.
31. Clarifications from Applicants
To facilitate evaluation of EOI Applications, PSCA may at its sole
discretion, seek clarifications in writing from any Applicant regarding its EOI Application.
32. Qualification and Notification
After the evaluation of EOIs, PSCA shall announce a list of
shortlisted Applicants who meet the criteria for shortlisting. At the
same time, PSCA would notify the other Applicants that their EOI
Applications have been unsuccessful. The RFP would be open to only shortlisted Applicants.

SECTION III. CRITERIA FOR EVALUATION
33. Shortlisting
The Applicants shall be shortlisted using criteria given below on the
basis of their:
i. Experience; and
ii. Financial capability in terms of Tum Over, Net Worth and Audited
Financial Statements
On each of these parameters, the Applicants would be required to
meet the evaluation criteria. Applicants meeting all the criteria only will be qualified for further evaluation of the EOI Application.
34. Eligibility Criteria
The presence of the following items shall be checked by PSCA before
the EOI Applications are evaluated for shortlisting:
i. Registration with relevant Authorities.
ii. Profile of the Applicant with experience of designated staff.
iii. Name and address of the Applicant, including details of registration
(including the year of incorporation and number of years of relevant
experience). Please also attach copy of registration/ incorporation
certificate.
iv. List of clients along with summary of assignments within last 10
years.
vi. List of 5 permanent staff with CVs to demonstrate professional
capacity.
vii. Undertaking by the Applicant firm that it has not been black-listed
by any Government Agency/ Authority.
viii. Any other relevant information (such as certification and other professional certification).
35. Evaluation Criteria
Once all Applicants that have not submitted the abovementioned
items/information, or those that are non-compliant to the terms laid
out in the REOI are removed from the list, remaining Applicants
would be evaluated according to the following criteria:

Annual Turnover and Net Worth. The Applicants should provide information regarding the above based on audited annual accounts. The Application must be accompanied by the audited Balance Sheet and Profit and Loss Account.
