REMOVAL/DISPOSAL OF SCRAP METALS FOR RECYCLING

The Public Works Commission of the City of Fayetteville, North Carolina, is seeking a qualified contractor for the removal and disposal of scrap metals for recycling. Deadline for receipt of proposals is 2:00 p.m., Tuesday, November 19, 2019.

Proposal may be sent to the Attention of Shelby Lesane, Procurement Advisor, PWC Operation Complex, 1st Floor, 955 Old Wilmington Road, Fayetteville, NC, 28301. Each Proposer shall submit one (1) copy of their proposal. Questions must be submitted no later than 5:00 p.m., Wednesday, November 13, 2019, in order to allow time for issuance of addenda if necessary.

REMOVAL/ DISPOSAL OF SCRAP METALS FOR RECYCLING

GENERAL TERMS AND CONDITIONS

PROJECT SUMMARY: The purpose of this Invitation to Bid is to solicit proposals for an annual contract for the purchase and removal of scrap metal for recycling used by the Public Works Commission of the City of Fayetteville, North Carolina (hereinafter referred to as PWC or Commission).

BACKGROUND: The purpose of securing the services of a metal recycling company is to obtain prompt removal service and a consistent market-place for the sale of surplus ferrous and non-ferrous scrap metals generated or collected during daily operations.

DATE, TIME AND LOCATION OF BID: Proposals will be received no later than 2:00 p.m., Monday, November 18, 2019, in the Procurement Department, PWC Operations Center, 955 Old Wilmington Road, Fayetteville, North Carolina. (Late bids will not be considered and will be returned to the bidder unopened.)

QUESTIONS OR CLARIFICATIONS: All questions or requests for clarifications shall be submitted in writing to Shelby Lesane Procurement Advisor, or e-mail to Shelby. Lesane @faypwc.com, no later than 5:00 p.m., Wednesday, November 13, 2019. Bidders are expressly prohibited from contacting any other PWC official or employee associated with this Invitation to Bid. Violation of this prohibition is grounds for the immediate disqualification of the bidder.

DEFINITIONS: Agreement: Any agreement of contract resulting from the process of soliciting proposals and negotiating with successful proposer to do business with PWC for the purposes outlined in the Scope of Work contained in this RFP.

Successful Bidder: The bidder with whom PWC enters into an Agreement.

Subcontractor: Any person, firm, company of organization that performs any or all of the duties outlined in the SCOPE OF WORK on behalf of the successful bidder.

SCOPE OF SERVICES:

• The scrap metals will be collected by PWC personnel or its agent(s), placed in

appropriate containers provided by the successful bidder and stored in a designated area at 1097 Public Works Drive, Fayetteville, North Carolina. The metals will be stored in the area until notification is made by PWC Warehouse to the successful bidder for a pickup. The successful bidder will leave empty like containers of equal number with each scheduled pick-up of metals.

• The successful bidder shall provide all personnel, hauling equipment, and other resources for processing, loading, and transporting of recyclable scrap metals.

• The successful bidder shall remove scrap metals within two (2) business days after

notification by PWC. In the event the successful bidder is unable to meet this time frame for pick up, it shall be their responsibility to contact and/or coordinate with PWC Warehouse the next available time when the containers can be removed. It is anticipated that the successful bidder will be notified after staged hoppers and roll off containers have reached their fill capacity. Hours of operation for pick up will be Monday - Friday, 7:30am - 4:30pm except Holidays. Removal outside of operating hours must be approved and arranged through PWC's Warehouse Manager and the successful bidder. If prior arrangements have been made for after operating hours removal, the successful bidder shall provide the Warehouse Manager a weigh station certificate no later than the next business day. Failure to retrieve containers in accordance with the previous specified time, unless agreed upon between PWC and successful bidder, shall constitute non-compliance and may be cause for termination of the contract.

• Prior to removal of loaded containers, the successful bidder shall provide a signed and

per-numbered receipt of pick-up indicating the number of containers for each grade of metal removed.

• PWC, as it deems necessary may require that containers be weighed both empty and

full at the closest independent scale.

• The successful bidder shall properly dispose of any waste (fluff, wood, plastics, etc.) associated with the metals collection procedure and pay or assume any disposal fees.

• The successful bidder must possess or acquire any necessary operating permits and

licenses required to perform the duties under this SCOPE OF SERVICES before beginning work under the agreement.

• The successful bidder is to provide all of the services identified in this RFP. Neither

this Agreement nor any rights or obligations hereunder shall be subcontracted, assigned, or delegated by the successful bidder without prior written consent of PWC. If the successful bidder proposes to use a subcontractor for any of the services, such subcontractor must be listed separately along with the service it is to provide.

ADDENDA: All changes and clarifications to the bid specifications will be issued in writing in the form of an addendum. Any addenda to the specifications issued during the time of bidding are to be considered covered in the proposal and in closing a contract they will become a part thereof. It shall be the Bidder's responsibility to ascertain prior to bid time the addenda issued and to see that their bid includes any changes thereby required. Verbal clarifications shall not be binding on the Commission.

MODIFICATIONS: This contract may be amended or modified by mutual written consent of PWC and the successful bidder. A modification is not enforceable against PWC unless it is signed by the Purchasing Manager or other duly authorized officials.

SUBMISSION OF BIDS: All bids must be submitted in a sealed opaque envelope showing the bid title, date and time of opening on the front of the envelope. All bids must be signed by an authorized official of the firm. Bids must be submitted on the bid proposal form(s) provided herein or exact copies thereof.

Proposals may be sent by mail to Public Works Commission, or may be delivered in person or by express mail to Public Works Commission, Attn: Shelby Lesane 955 Old Wilmington Road, Fayetteville, NC 28301.

ACCEPTANCE AND REJECTION: The Commission reserves the right to accept or reject any and all proposals; award contract in the best interest of Commission; and waive all informalities concerning bid. Bids may be rejected if they show any omission, alteration of form, additions not called for, conditional bid, or any irregularities of any kind.

AWARD OF BID: The Commission reserves the right to award bid in whole or in part, or to one or more successful bidders as deemed to be in the best interest of the Commission. The Commission reserves the right to consider price, bidder experience, and bidder's ability to meet designated pick-up schedules, when awarding bid. The successful bidder shall be required to meet all federal, local and state requirements including licensing and insurance.

Award of this bid may be subject to approval by the Public Works Commission and the Fayetteville City Council. Approximately six (6) weeks from date of bid opening may be necessary for approval of award and issuance of purchase orders or contracts.

PRODUCTS TO BE FURNISHED: This contract shall cover commonly used scrap metals to be recycled such as Triplex/AUGC; Bare Aluminum; ACSR Cable; Bare & Insulated Coppers; Unprepared Steel; Cast Iron and Brass. While these materials are intended to cover the majority of scrap materials to be recycled, it is not necessarily all- inclusive. The Commission reserves the right to delete or add scrap materials during the term of the contract.

QUANTITIES: The quantities listed herein are estimates of PWC's requirements. The Commission does not guarantee a minimum or maximum amount of available scrap materials. The Commission reserves the right to make available more or less than the stated quantities at prices indicated in the submitted Proposal From based on our actual needs.

CONTRACT PERIOD: Contract shall be awarded for a period of one (I) year; renewable for additional one (I) year periods, for a maximum of three (3) additional years.

PRICING: Price per pound for non-ferrous scrap metals and price per ton for ferrous metals shall be offered by a specified percentage of the highest quoted price by grade collected and indicated on the enclosed proposal form. The proposals shall be based on the current metal markets as indicated by the "Mill Buying Prices" for ferrous metals and by the "Secondary Market Prices" by category for non-ferrous and red metals in effect according to the first (I) issue of The American Metal Market of each month. Current monthly prices are to be faxed or e-mailed to Chris McKinney, Warehouse Manager; fax number (910) 223-4598, [email protected], no later than the 10th of each month.

NC Sales Tax should not be included in bid figures; however, PWC does pay sales tax. If sales tax is applicable it should be added to the invoice as a separate item.

RECEIVING REPORT AND PAYMENT: The successful bidder shall submit itemized monthly receiving reports to the Commission. Payment by check is to be made by the 10th of the current month for loads picked up the preceding month. Checks must be made payable to Public Works Commission and sent to the attention of: Chris McKinney, Warehouse Manager, Public Works Commission, 1097 Public Works Drive, Fayetteville, North Carolina 28301. Payments are to be made in U.S. Currency only.

WITHDRAWAL OF BID: Bids will be examined promptly after opening and an award made at the earliest possible date. No bids may be withdrawn for a period of sixty (60) calendar days after the bid opening date. Request for withdrawals after sixty (60) must be submitted in writing.

ERRORS IN BID/BID WITHDRAWAL: For errors in bids, the bidder must demonstrate that a substantial error exists and that the bid was submitted in good faith. Bidders must notify PWC in writing of its request to withdraw a bid within seventy-two (72) hours after the bid opening, not including Saturdays, Sundays and/or holidays.

ENTIRE AGREEMENT: This contract contains the entire agreement between PWC and the successful bidder pertaining to the subject matter of this contract. With respect to that subject matter, there are no promises, agreements, conditions, inducements, warranties or understandings, written or oral, expressed or implied, between the parties other than as set forth or referenced in this contract.

TERMINATION OF CONTRACT: This contract is subject to immediate termination by the Commission in the event of unsatisfactory performance or any other default by the successful Bidder.

ADVERTISING/CONFIDENTIALITY: In signing his/her proposal, the bidder agrees not to use the results for any commercial advertising.

NUMERICAL ERRORS: In the case of a discrepancy between a unit price and the extension (the unit price multiplied by the number of units), the unit price governs. In the case where numerical bids are stated both in numbers and in words, the words govern.

MINIMUM STANDARDS: Each bidder must meet the following requirements:

• Hold all current and proper licenses to do business as required by Federal, State

and Local laws and maintain such throughout the duration of the contract

• All metals collected "SHALL" be recycled. Under no condition are they to be land filled or incinerated without prior written approval of PWC or its designee.

• The successful bidder shall not, under any condition, use or sell any items or

materials for any purpose other than the recycling of scrap metal.

• Have a satisfactory record of performance. Bidders shall supply with their bid a list of at least three (3) references where similar services are currently being performed or that have been completed within the last six months. Name of firm or agency, address, telephone number and name of representative are to be included.

• Have liability insurance. A copy of the company's certificate of insurance must be

included with the response.

• Have and properly maintain scales certified by the State of North Carolina,

Department of Agriculture or representative of State Regulatory Department.

• Be otherwise qualified and eligible to receive contract awards.

PWC reserves the right to request additional documentation of any or all of the above listed information to determine bidder's ability to meet the minimum standards listed above.

INSURANCE: Contactor shall maintain during the provision of Services and for at least three (3) years thereafter (collectively, the “coverage period”) the following insurance coverages, which insurance shall be placed with insurance companies authorized to do business in the Sate of North Carolina and rated A minus VII or better by the current edition of Best’s Key Rating Guide or other wise approved in writing by PWC:

The insurance required for this contract is as follows:

• Professional Liability errors and omissions or malpractice insurance including

contractual liability coverage with limits of not less than one million dollars ($1,000,000) per occurrence and one million dollars ($1,000,000) aggregate;

• Commercial General Liability insurance with a combined single limit of liability

of not less than $1,000.000 coverage with limits of not less than one million dollars ($1,000,000) for each occurrence of bodily injury and/or property damage and an annual aggregate of liability of not less than $2,000,000 for Completed Operations and Products Liability;

• Worker’s Compensation Insurance as required by State law;

• Automobile Liability Insurance with limits not less than $100,000 each person

and $300,000 each accident for bodily injury and property damage.

INDEMNIFICATION: Successful Bidder shall indemnify, defend and hold harmless PWC and its Commissioners, officers, employees. Agents and representatives (“Indemnitees”) from and against all claims, actions, liabilities, damages, losses, costs and expenses (including, without limitation, injury to or death of any persons and damage to property, economic and consequential damages and attorneys’ fees) asserted by third parties against one or more of the Indemnitees arising out of negligent or willful acts, violations of law, errors or omissions or breach of the obligations set forth in this Agreement by Provider or any of its employees, agents, representatives, and subcontractors. Provider’s obligation to indemnify and hold harmless the Indemnitees shall survive the termination of this Agreement and shall include the duty to pay for the reasonable attorney’s fees and cost associated with defending the Indemnitee(s) by the legal counsel of each Indemnitee’s choice.

ASSIGNMENT: The Successful Bidder may not assign this agreement or any of its rights, duties or obligations hereunder, or subcontract any of the services to be performed hereunder, without the prior written consent of the Commission.

NON-EXCLUSMTY: This agreement is not to be construed as granting the Successful Bidder the sole or exclusive right to provide the services specified herein to the Commission, and the Commission expressly reserves the right to contract with any other party for these services as it deems necessary or appropriate.
