Page 3. Each year Your Region Director appoints Region committee chairs. Typically there are Regions chairs for the National Membership, Marketing, Professional Development & Education (PD&E), WIC Week, Emerging Professional, Health & Safety and OSHA Alliance committees.Page 4. The Regional Committee Chairs have a dual upline and downline structure – Not only will they receive directives and communications from the National Chair, but also the Regional Director. The Region Director may well have specific goals for the region. To accomplish the directives and goals of the National Chair and Region Director – the Region Committee, consisting of the Region Chair and all the chapter chairs within that region, need to work together. Page 5. Each year when elected the National President-Elect appoints National committee co-chairs for the National Membership, Marketing, Professional Development & Education (PD&E), WIC Week, Emerging Professional, Health & Safety and OSHA Alliance committees. Co-Chairs serve one-year as co-chair working

with and learning from the National Chair. Then serves one year as chair working with and mentoring the National Co-Chair.Page 6. The National Chairs are responsible to report and make requests to the National Board via the Committee Chair Liaison. The Committee Chair Liaison, typically the NAWIC Vic-President is appointed by the NAWIC President. The National Chairs also have a downline – this is all the regional chairs. As mentioned previously together the National Chair/Co-Chair and the Regional Chairs comprise the National Committee.

Page 7. Each committee have written goals and objectives that are established each year with input from the Board and National Chairs. Strategic Plan Alignment states which of the goals on the strategic plan this committee aligns with. The goals on the Strategic Plan are:GOAL: Members - NAWIC members have increased opportunity, visibility and influence through the skills and expertise developed through the association. GOAL: Industry - The industry is a safer and more productive place to work for everyone. It is reflective of the general population, with a more authentic, inclusive and diverse voice. GOAL: Women in Construction - Women are recognized as essential to the viability of the construction industry, providing leadership and technical expertise, while championing inclusivity and ushering collaboration forward to expand the industry. GOAL: NAWIC - NAWIC is known in the industry as key to professional success, resulting in increased demand for programs, increased membership, increased revenues and increased opportunities.Committee Goal: Phrase or sentence for the year followed by a list of items to complete to reach their goal.Page 9. The National President also appoints committee chairs and members for any special committees such as Memorials, Membership Awards and the newly created NAWIC Excellence Award spotlighting projects in the commercial, residential and civil/highway categories.

Chapter Chartering / Remodel: Should NAWIC organize a formal committee with a twofold purpose to aid in chartering of new chapters and to work with existing chapters who have less than 15 members to “remodel” or “relaunch” their chapter? C3: Have been investigating the best way to initiate a 501 c3 currently as directed at Post-Con the taskforce is working with NEF to establish an agreement between NEF and NAWIC that would allow for transference of funds between the 2 entities.NAWIC Builds Excellence Awards: Is now established as a special committeeWebinar Live Welcome: Was retired at Pre-Con with action given to the Membership & Marketing committees to work together to create a new member orientation video and quarterly live open forum new member orientation webinar.

Sometimes requests come to the Board for a very specific objective and a taskforce is created.Election Result Protocol: This taskforce will provide a recommendation to the Board at Mid-Year establish a proper procedure/protocol to announce the results of national and regional elections. On March 18th the taskforce will be facilitating a webinar as part of this series detailing the process and results protocol that the Board approved. This taskforce will likely be retired at Mid-Year.Investment was retired at 2019 Pre-Con after working with NAWIC’s Financial Advisor to bring our investment accounts more in line with investment policy statement and investment objectives. After everything was brought back in line the final recommendation was for the Finance Committee to review quarterly bringing any further investment recommendations to the Board.Chapter/Region Workshop Endorsement Joint Taskforce with NEF will consider the feasibility of offering Regions & Chapters the ability to provide a certificate of participation and "X" amount of contact time for educational workshops.International Affiliate Outreach: Comprised of the Past National Presidents to reach out and connect with our international affiliates.

This year for the Region Director Onboarding series I’ve been reaching out to members who aren’t on the Board to facilitate. Region Director: The next webinar scheduled for Wed. Dec. 11th will go into detail about paperwork; responsibilities; expectations; term; campaigning; speeches for the Region Director candidacy.Executive Officers: After serving a majority of a term as Region Director, a voting member in good standing of a chapter for a minimum of 3 years and actively employed at least 20 hours a week in the construction industry or in a construction-related service in which the majority of your business is in the construction industry can be an office candidate. Officer candidates running for Treasurer, Secretary and Vice-President if elected serve a one-year term. Candidates who run for President-Elect if elected serve a 3-year term, one year as President-Elect followed by a year as President and finally a year as Immediate Past President.Campaigning for any National Board position is at the expense of the candidate.

Tonight our N.U.G.G.E.T is SOX Policies.In 2002, the United States Congress passed the Sarbanes-Oxley Act (SOX) to protect shareholders and the general public from accounting errors and fraudulent practices and to improve the accuracy of disclosures. The act sets deadlines for compliance and publishes rules on requirements. Congressmen Paul Sarbanes and Michael Oxley drafted the act with the goal of improving governance and accountability, in light of the financial scandals that occurred at Enron, WorldCom, and Tyco, among others.It should be noted that the SOX policies (Code of Ethics, Joint Venture, Whistle Blower, Record Retention, Conflict of Interest) have been reviewed and were adopted by the Chapter Board Members, Region Trustees and/or Guardians in the minutes of the first business meeting after Oct. 1st each year. A copy of the adopted documents should be attached to the minutes.The only form that may need to be signed individually is the Conflict of Interest but only if someone in their role has a conflict of Interest. It should be noted in the minutes either “No COI were received from any individuals” or “A COI was received from ___________ and is attached to these minutes.”Page 20.
