MANDATORY PRE-PROPOSAL MEETING A Mandatory Pre-Proposal Meeting will be held in the Finance Office, Room 1-249 of Building 1 at Black Hawk College, 6600 34th Ave., Moline, IL 61265, beginning at 2:00 p.m. on Monday, April 8, 2013. The Pre-Proposal meeting will be an opportunity for Banks to raise any questions, exceptions, or additions they have concerning the Banking Services to be provided, or this RFP document. If a Bank discovers any ambiguity, error, conflict, discrepancy, omission, or other deficiency in this RFP, the Bank should raise these issues at the meeting. It is mandatory that all interested Banks attend the Pre-Proposal meeting in person; proposals from Banks not attending the meeting will not be accepted. INTENT TO RESPOND Banks shall submit the Intent to Respond form (Attachment B) by Monday, April 15, 2013. Failure to submit the Intent to Respond form may result in the Bank’s removal from consideration on future proposals. Only those Banks who indicate their desire to participate in this proposal by indicating as such on the Intent to Respond form and submitting the form will be copied on any Addenda issued thereafter. CONTRACT PERIOD The contract period for the Banking Services shall be for a minimum of the three fiscal years, beginning July 1, 2013 and ending June 30, 2016, with an option for the College to extend the contract for two additional fiscal years ending June 30, 2018. All proposals should contemplate the full five-year term. INTRODUCTION AND BACKGROUND INFORMATION

Black Hawk College (hereinafter referred to as “College”) is requesting proposals for Banking Services to include the following: 1) the College’s general Banking requirements, and 2) the operation of two ATM’s at the Quad Cities Campus. To be considered for award, interested Banks must submit a COMPLETE proposal consisting of pages six through thirteen, plus Attachments C & D. The College will evaluate all proposals and will award a contract which, in the sole opinion of the College, will result in the best interests of the College and its students being served. The College reserves the right to not award a contract if deemed to be in the best interest of the College.

Black Hawk College operates within the Illinois Community College District #503, an area encompassing 2,200 square miles in nine counties of northwestern Illinois, and maintains facilities at several locations throughout the district: • The Quad-Cities Campus, located at 6600 34th Avenue, Moline, Illinois. • The Outreach Center located at 301 Avenue of the Cities in East Moline. • The Black Hawk College Adult Learning Center located at 3930 11th Street in Rock Island, to be

relocated in October, 2013, approximately one (1) mile south to 4610 11th Street, Rock Island Illinois.

• The Illinois workNet Center located at 4703 16th Street in Moline • BHC-BTC Industrial Training Lab located at 3901 25th Street in Moline • The East Campus, located at 26230 Black Hawk Road, Galva, Illinois. • The Community Education Center located at 404 East 3rd Street in downtown Kewanee.

There are seven (7) trustees on the Black Hawk College Board elected at large from the Community College District #503 representing Rock Island, Henry, Mercer, Whiteside, Knox, Bureau, Stark, Marshall and Henderson counties. They are elected during the general election to six-year terms (April to April). A student trustee is elected each year by the student bodies of the Quad-Cities Campus and the East Campus alternating every other year. Board meetings are held monthly alternating between the Quad-Cities Campus and the East Campus.

Black Hawk College operates under the guidelines of the Illinois Community College Board and the Higher Learning Commission (aka North Central Association) and adheres to federal and state civil rights laws, including Affirmative Action and Equal Opportunity. The responsibility for the governance, administration and operation of the College is vested in the elected Board of Trustees of Community College District #503. The Board of Trustees delegates responsibility to the administration, faculty and staff for the practices and procedures that accomplish the mission of the College. The legal statutes guiding the operation for Black Hawk College are found in the Illinois Public Community College Act.

The administration for the College consists of the President, the Vice President for Finance, the Vice President for East Campus, the Vice President of Instruction, the Vice President for Student Services and Dean of Students, the Executive Director East Campus Foundation, the Executive Director Quad Cities Campus Foundation, the Director of Human Resources, the Director of Planning and Institutional Effectiveness, the Interim Director of Facilities, and the Director of Marketing and Public Relations.

PURPOSE The purpose of this RFP document and the resultant contract is as follows: • To obtain banking services in accordance with the terms and conditions specified herein. • To comply with statutory bidding requirements. • To provide the College with the most efficient and cost effective combination of Banking services

to facilitate the daily business/financial activity required by the College. • To maximize the College’s investment income on daily cash balances. • To offer Banking institutions and other financial institutions the opportunity to do business with the

College on a competitive basis. PROPOSAL INSTRUCTIONS

Check mark the “Yes” if agreeing to, or the “No” if disagreeing to the Yes/No statements contained in the Proposal section. The Banks may also provide explanations or comments qualifying their Yes/No responses. Provide detailed narratives for the Proposal section, and propose fees where applicable. Banks shall separately list any exceptions to the RFP specifications, otherwise exceptions shall be invalid. Unauthorized changes of the specifications, forms, or terms, shall render the response invalid. The Yes/No responses, any associated comments or explanations, narratives, Attachments C & D, and the prices for the Proposal section; all together shall constitute the Proposal, and the Proposal along with the General Contractual Requirements, Instructions to Banks; Additional Information, and Terms and Conditions, shall constitute the legally binding contract. No proposal will be considered without completion of these forms. If a Bank is unable to meet or exceed the requirements specified, then the phrase “no proposal” shall be entered for that particular item. To facilitate evaluation of the proposals, it is required that each proposal be organized to correspond to each section of the Proposal, utilizing the same numbering arrangement for each item. In addition, the pages in each proposal should be numbered.

PROPOSAL The Bank is chartered under existing Federal or State of Illinois laws, is a member of the FDIC, FSLIC, or NCUA, and agrees to revise the contract as required by changes in law. Yes______ No_____ Provide detailed descriptions of the following services and propose fees where applicable

Wire Transfer Services Propose Wire Transfer services and describe them, including but not limited to: • Policy on daylight overdrafts, including aggregation of accounts and wire deadlines. • Ability of the College to initiate and monitor wire transfers online. • Ability to create and store recurring/repetitive wire instructions/templates. • Ability to create and store future-dated wire instructions. • Security measures for wire initiation and approval. 2. ACH The College utilizes ACH for Payroll, Credit Cards, State and Federal payments, Student Online payments, and Accounts Payable. Estimated number of ACH transactions: 150 per month average.

Propose ACH services and describe them, including but not limited to • Direct deposit for payroll • Disbursements • Collections for utility billing accounts • Payments to credit card vendors • Other payments • Pre-notification policy • Re-presentment of checks (RCK) through ACH on a targeted date

Describe the method by which the College can submit ACH files or initiate ACH via bank software. Describe security measures for ACH initiation/origination and ACH reception (ACH filters and blocks) The Bank is both a sending and receiving bank of the National Automated Clearing House Association (NACHA). 4. Monthly Statements and Account Analysis

The College utilizes this service for online statements and account access. Describe monthly statements and account analysis, including but not limited to: • When reports are available and how they are made available (e.g., online). • How long report images are maintained online. • The Bank’s dispute resolution process.

Provide a sample copy of the Bank’s monthly statement and account analysis.

5. Collection and Deposit Services

Propose Collection and Deposit services, including but not limited to: • Cutoff times and requirements by location (vault, teller, bank center, branch) • Bank policy on strapped/rolled and pricing basis • Credit advice processing (online or mailed) • Discrepancy and write off policies • Type of deposit bag used/required • Change order processing • Standard return and re-clear processing • Deposit locations • Deposit reconciliation services availability

6. Remote Deposit Services including Check Truncation and Check Conversion

Propose Remote Deposit Services, including but not limited to: • Scanning equipment (lease options), software, transfer procedures, batching, and security. • Portal entry or stand-alone service. • Deadlines for same day credit of deposits • Document retention policy for checks converted to ACH or processed via remote deposit

7. Collateralization of Deposits

Per 4.55 Investment of College Funds: 4. Financial institutions utilized must collateralize all deposits in excess of FDIC limits to 100% of market value and collateral held by a third-party custodian. See page 4 for link.

o Online cleared check information/images o Multi-level security administration requirements o Positive pay reports (including imaging of exception items). o Training of government’s system administrator for managing access.

9. Electronic Storage of Documents

Provide information on electronic document storage options (e.g., archiving by CD or online and retention periods)

10. Payment Card Services The College accepts credit card payments on its website thru Official Payments, and at credit card machines located in the Police Department and the Bookstore. Describe the proposed Payment Card Services, including but not limited to: • A description of the process • Rate and fee structure with breakdown of all fees (bank and association) • Time period that pricing is guaranteed for and how customers are notified of a price change • Type of point-of-sale terminals required and the cost or lease options per terminal (or the cost

to reprogram government’s existing terminals) • Software that is provided and the support and training that are available • Charges for multiple merchant accounts • Percentage of downtime and notification of down periods • Guarantees against “down time” with service • Reporting and availability of reports • Clearing time lag between deposit and posting • Security features – including account number encryption and purging policy • Payment Card Industry (PCI) data security standard compliance and liability • Chargeback policy (including the bank’s role in this process) • Customer service procedures • Wireless service availability • Type of processor (e.g., front-end, back-end)

11. Interactive Voice Response/Interactive Web Response (IVR/IWR) Functionality

Describe the proposed IVR/IWR functionality.

12. Purchasing Card Services The College utilizes approximately 110 procurement cards with a total annual volume of about $800,000. The cards are used for travel and low dollar supplies purchases.

Describe the proposed Purchasing Card Services, including but not limited to: • Online card management processes: new card issuance, deletion, replacing, modifying, etc. • Settlement terms/billing cycle options • Payment options • Card control and usage restriction options • Information reporting capabilities – paper vs. electronic • Technical capabilities – Internet • Security features – including account number encryption policy • System requirements • References • Interface options with internal financial systems, specify interface requirements • Fraud policy • Rebates for purchases

14. Overdraft Processing

Describe the Overdraft Processing service, including but not limited to: • Whether accounts are aggregated for calculation/fee purposes • Rate basis for overdrafts • Rate basis and definition of “daylight overdrafts”

15. Controlled Disbursement Services

Describe the Controlled Disbursement services, including but not limited to: • Availability of service • Location of collection point (endpoints) • Endpoint check cashing policies • Number and timing of daily Fed letters • Funding alternatives • Transmission alternatives • Imaging options

16. Account Reconciliation Service

The College requires a secured daily e-mail report, showing all electronic transaction processing that day. The College also requires a monthly ASCII text file showing outstanding checks • Describe levels of reconciliation service (partial, full, deposit) • Provide sample reports • Describe the full, partial, deposit and serial sort reconciliation services, including but not limited

to: o File transmission deadlines o File layout requirements o Imaging capabilities and availability o Reporting capabilities – (e.g. paper, electronic) o System requirements for interface

17. Positive Pay or “Payee” Positive Pay Service

The College’s Accounts Payable would utilize this service. Describe the Positive Pay service, including but not limited to: • Positive pay services and verification items • Teller data update schedules • Data transmission methods and time windows • Control options – notification default • Internet/online access (including technical capabilities and system requirements)

Provide sample reports

18. Stop Payment Services

Describe the Stop Payment Services, including but not limited to: • Online stop payment services (initiation and renewal) • Confirmation requirements • Duration of a stop payment (e.g., six months or in perpetuity) and renewal processing options.

19. Safekeeping Services Describe the Safekeeping Services, including but not limited to: • Charge breakdown on clearing • Safekeeping • Income distribution

20. ATM

• Describe the requirement for the operation of the ATM machines (power, square foot, internet,

etc.). o The Bank shall be provided use of College premises for the Automated Teller Machines

(ATMs) at the Quad Cities Campus. o The ATMs shall be located at the same spaces currently being used for this purpose. o Bank shall pay for any and all expenses incurred to install the ATMs o Installation of the ATM equipment must be approved by the College prior to

commencement of associated work. o College shall supply all required utilities at no cost to Bank excluding utility extensions

and installation. o College cannot guarantee an uninterrupted supply of utilities and shall not be liable for

any loss which may result from the interruption or failure of any utility; however College shall be diligent in restoring utility services following an interruption.

o All ATMs provided by Bank shall remain the property of Bank. o College shall not be responsible for any damage to Bank’s equipment nor shall it have

any responsibility for transactional error resulting from equipment malfunctions.

• Provide samples of monthly statements, showing the number of monthly transactions conducted at each ATM location. Bank shall also respond to reasonable requests for information from the College concerning the usage and services of each ATM.

• Describe the Banking services provided and fees charged at the ATM’s, including but not

limited to: o For customers having accounts with Bank:

Cash withdrawals, Deposits Transfer funds between accounts Make account balance inquiries Receive credit card advances

o For customers who do not have accounts with Bank: Cash withdrawals Receive credit card advances Limitations

Provide the following information: General banking information o Financial strength

• Capital ratios, asset quality, earnings, liquidity, sensitivity to market risk, deposits, and loans.

• Financial statements for the past two fiscal years (with an unqualified opinion from a certified public accountant). The College requires the bank to resubmit its financial statements each year.

• Call reports for the last four quarters or credit rating information for senior and subordinate debt from a recognized credit rating agency (e.g. Moody’s, S&P, etc.)

• Rating information from recognized bank rating agencies (e.g. Veribanc, Highline, etc.).

• Confirmation from the bank that it will communicate to the government any changes in its credit rating or bank rating during the contract period.

o Proof of current standing as an eligible public depository o Community Reinvestment Act (CRA) rating and rating authority. Include information on

the bank’s CRA activity within District 503. o Bank locations (main office and branches near the College) o Description of industry standard index and spread upon which available balances earn

interest or earnings credit by account type. o Funds availability schedule and policy (if it differs from schedule) o A copy of the bank’s proposed custodial agreement for the collateral pledged to secure

the government’s account, if applicable. Requirement for execution of the agreement under FIRREA requirements.

o Confirmation that the bank will adhere to the College’s collateral policy. o Bank’s disaster recovery plan (back-up sites and system back-up process). o Description of the bank’s dispute resolution and customer service/feedback process.

• Incentives offered by the bank for transition or retention. • Account servicing

o Designated account representative. (Representative should have sufficient decision-making authority within the bank in order to resolve issues. In addition, the representative should have a strong understanding of the College’s operations.)

o Back-up staff person o Bios of all personnel assigned to the College

• References (including two comparable public entities) • Fee attachment listing of all pricing for required and optional services. • Historical rate attachment that gives the average of interest bearing options for the prior 12

months (interest bearing accounts, money market accounts, ECR, and sweep rates) • Transition plan approach and timeline defining implementation periods and defined

responsibilities. • Investment Services offered by the Bank

GENERAL CONTRACTUAL REQUIREMENTS

1. The College intends to enter into a formal banking services contract with the awarded bank that will incorporate all provisions of the RFP and bank response. Additional terms and conditions will not be included in the contract unless mutually agreed to by both parties.

2. Any resultant contract shall not bind, nor purport to bind, the College for any contractual

commitment in excess of the original contract.

3. All percentages and prices shall be as proposed. The College shall not pay nor be liable for any other costs. The Bank shall not be allowed any additional compensation for any matter which the Bank should have fully proposed prior to the closing date of the RFP.

4. Payment for all goods and services required herein shall be made in arrears. The Bank must

submit a properly itemized monthly statement.

5. In the event the scope of work is revised by the College, additional compensation shall be considered and negotiated at that time.

6. The Bank shall fully coordinate its activities in the performance of the contract with those of the

College. As the work of the Bank progresses, advice and information on matters covered by the contract shall be made available by the Bank to the College throughout the effective period of the contract.

7. In accordance with all applicable provisions of the Revised Statutes of the State of Illinois, no

official or employee of the College or its governing body and no other public official of the College who exercises any functions or responsibilities in the review or approval of the undertaking or carrying out of the scope of work covered by the contract shall voluntarily acquire any personal interest, directly or indirectly, in the contract.

8. The Bank shall, within 10 calendar days after the award of the contract, submit a written

notification to the College of the name, title, address, and telephone number of one (1) individual within its organization as a duly authorized representative to whom all correspondence, official notices and requests related to the Bank’s performance under the contract shall be addressed.

9. As the Bank may acquire confidential College information, the Bank shall keep College

information confidential by affording access to only those having a need to know to submit a proposal, perform any resultant contract, or are required to disclose the information by judicial process. In addition, the Bank shall employ reasonable measures to prevent any unauthorized use, copying, publishing, reproduction, or disclosure of the confidential information, and shall not treat such with lesser care than the Bank’s own confidential information.

SELECTION PROCESS AND CRITERIA FOR SELECTION A Committee consisting of the Vice President for Finance, the Controller, and other College representatives will review and analyze the proposals. The Committee will prepare a recommendation that the Board of Trustees will consider and vote on at its Thursday, May 23, 2013 meeting. Banks that submitted proposals will be notified of the results of the Board vote on Friday, May 24, 2013. Black Hawk College, at its sole discretion, reserves the right to accept or reject any or all proposals, or a portion of, all of, or none of any parts thereof, for any or no reason and with no penalty to BHC, and may accept a proposal other than the lowest cost proposal, if deemed to be more advantageous to the College. Criteria to be considered includes, but is not limited to: 1. The Bank’s ability to meet the requirements described in the RFP. 2. Experience and qualifications of staff likely to be assigned to the College. 3. Accessibility and ability to respond to the College’s needs in a timely manner. 4. Responsiveness in clearly understanding the Banking Services to be performed and willingness to

perform it. 5. Reputation of the Bank (based on past experience with the College and references). 6. Response to the Yes/No statements and the questions. 7. Fees. 8. Additional services not specified in the RFP which provide a significant benefit to the College. 9. Qualified depository for public funds in accordance with Illinois law. 10. Location of home office and branches with the boundaries of the Community College District

7. No taxes are to be included in any proposal or proposal price. Generally, states and political

subdivisions are exempt from Federal taxes, such as excise and transportation. To the extent any sales, import or other taxes apply they are to be invoiced as a separate item.

8. Banks are urged to compute all discounts for prompt payment into the proposal prices, with terms

of payment to be Net 30 days. Such proposals may receive preference. If a cash discount is proposed and accepted, it will be considered earned if paid within 30 days after receipt of correct invoice or acceptance of goods, whichever is later.

9. Trade discounts, when quoted, should be reduced to a single percentage.

10. Any proposal or bonds signed by an agent or attorney-in-fact shall be accompanied by evidence

of authority.

11. It is the Bank’s responsibility to correctly mark and deliver the Proposal to the Purchasing Office by the specified date and time for opening. NO EXTENSIONS WILL BE GRANTED.

12. The College will not reimburse the Banks for any work associated with the submission of this proposal.

13. The College will evaluate all proposals and anticipates awarding a contract no earlier than Friday,

May 24, 2013. The College reserves the right to accept and/or reject any or all proposals or parts thereof.

ADDITIONAL INFORMATION 1. GENERAL

Sealed proposals addressed to Mike Meleg, Purchasing, 6600-34th Avenue, Moline, Illinois, 61265 and marked with proposal RFP 07-13 are due no later than 2:00 p.m. local time on Monday, April 29, 2013. Unsigned or late bids will not be considered.

2. TERMINATION OF CONTRACT

The College may terminate any award of Contract without cause and for its convenience at any time. In the event of default or non-compliance with the terms of the proposal, it may be terminated immediately.

3. POSTPONEMENT OF OPENINGS

A bid opening may be postponed by the College, even after the time scheduled for bid opening, if the College has reason to believe that the bids of an important segment of bidders have been delayed in the mails, or in the communication system specified for transmission of bids, for causes beyond their control and without their fault or negligence (e.g., flood, fire, accident, weather conditions, strikes, or College equipment blackout or malfunction when bids are due); or emergency or unanticipated events interrupt normal College processes so that the conducting of bid openings as scheduled is impractical. At the time of a determination to postpone a bid opening, the new time and date shall be communicated by issuance of an addendum to the prospective bidders who are likely to attend the bid opening. In the case of urgent College requirements precluding the communication of an addendum, the time specified for opening of bids shall be deemed to be extended to the same time of day specified in the bid on the first work day on which normal College processes resume. In such cases, the time of actual bid opening shall be deemed to be the time set for bid opening for the purpose of determining “late bids”. The College shall maintain records in the bid file explaining the circumstances of the postponement.

4. ERRORS AND OMISSIONS

All documents shall be completed and submitted as requested by the College. No claim for errors or omissions in the proposal will be considered. The Bank will be held strictly to the proposal as submitted. Proposals may be withdrawn in writing, facsimile, or in person prior to the closing date and time. No proposal may be withdrawn for a period of ninety (90) days following the opening of the proposals.

It is the responsibility of the Bank to examine the site and all conditions thereon. The proposal shall take into consideration all such conditions that may affect any resultant contract. No additional expense will be allowed for failure to be so informed.

5. COMPLETENESS AND COMPLIANCE

Proposals will be reviewed for completeness and compliance with all requests and requirements, including proposal instructions, specifications, and terms and conditions of the Proposal. Proposals that fail to comply with the essential requests and requirements of the RFP may be rejected as non-responsive and eliminated from further consideration.

6. COMPLIANCE WITH LEGISLATION Vendor's signature shall be construed as acceptance of, and willingness to comply with, all provisions of the acts of the General Assembly of the State of Illinois relating to wages of laborers, preference to citizens of the United States and residents of the State of Illinois, discrimination and

intimidation of employees, including Executive Order #11246. Provision of said acts are hereby incorporated by reference and become a part of this proposal and specifications. The Vendor shall also comply with the Fair Labor Standards Act, Fair Employment Practices, Equal Opportunity Act, and all other applicable federal, state and local laws, ordinances and regulation, and OSHA standards. It shall be the obligation of the Bank to apply for, pay for, and obtain all permits and licenses as required by the various agencies.

7. PREVAILING WAGE

Vendor’s signature shall be construed as acceptance of; and willingness to comply with, all provisions of the Illinois Compiled Statutes, Chapter 820, 130/1-130/12, Employment Wages and Hours Prevailing Wage Act. All laborers, workmen and mechanics engaged in construction will be paid not less than the "Prevailing Wage."

8. FIRM PRICES

All prices are to be F.O.B. Black Hawk College, Moline, Illinois, freight prepaid. Prices submitted on this document should be considered firm for a period of ninety (90) days from the due date as stated on the cover sheet of this document.

9. EVALUATION, ACCEPTANCE, NEGOTIATIONS, AND AWARD

Black Hawk College reserves the right to negotiate with any Vendor considered qualified or to make an award without further discussions. The College highly recommends that a Vendor’s initial proposal reflect Vendor’s terms most favorable to the College. Financial as well as other factors will be considered in the evaluation. Proposals from the Vendor should be submitted to Black Hawk College in the most favorable terms possible from the standpoint of cost. Although cost is an important factor, the College is not obligated to award the contract solely on the basis of lowest cost and reserves the right to use other subjective criteria and will make the award as best suits the interests of the College. Perceived inadequacy in any area may disqualify a proposal.

Black Hawk College reserves the right to accept or reject any or all proposals and waive any irregularities. The College reserves the right to request additional information or clarification on any matter included in the proposal. Upon selection of the Vendor, Black Hawk College and the Vendor will enter into an appropriate contract setting forth the terms and conditions of the parties’ rights and obligations. Such contract will substantially follow the terms set forth herein except that Black Hawk College reserves the right to make changes.

The College will not pay for any information requested nor is it liable for costs incurred by the Bank in responding to this request. Elaborate proposals (e.g. expensive artwork) beyond that sufficient to present a complete and effective proposal are not necessary or desired. All costs incurred by the Bank associated with the preparation, submission, presentation and demonstration of proposals and attendance at meetings and presentations, including but not limited to, costs related to transportation, meals, lodging and other related expenses, will be the sole responsibility of the Bank and will not, under any circumstances, be reimbursed by BHC.

10. ACKNOWLEDGEMENTS OF ADDENDA

Signature of company official on original document shall be construed as acknowledgment of receipt of any and all addenda pertaining to this specific proposal. Identification by number of addenda and date issued should be noted on all proposals submitted.

11. DAMAGES AND NEGLIGENCE The Bank shall protect, indemnify and hold harmless Black Hawk College, its employees and Black Hawk College Board of Trustees against any liability claims and costs of whatsoever kind and nature for injury to or death of any person or persons and for loss or damage to any property occurring in connection with or in any incident to or arising out of occupancy, use, service, operations, or performance of Work in connection with the contract, resulting in whole or in part from the negligent acts or omissions of the Bank.

12. INSURANCE

Prior to beginning any Work for Black Hawk College, the Bank shall furnish a Certificate of Insurance evidencing the existence of the following coverages: A. Commercial General Liability

1. General Aggregate Limit - $2,000,000 2. Products – Completed Operations Aggregate Limit - $2,000,000 3. Personal and Advertising Injury Limit - $2,000,000 4. Each Occurrence Limit - $1,000,000

B. Automobile Liability 1. Each Accident - $1,000,000.

C. Workers Compensation - Statutory D. Employers Liability

1. Bodily Injury By Accident - $500,000 each accident 2. Bodily Injury By Disease - $500,000 each employee 3. Bodily Injury By Disease - $500,000 policy limit

Black Hawk College, its employees and Black Hawk College Board of Trustees shall be named as Additional Insureds with respect to Commercial General and Automobile Liability Coverages. The Certificate shall provide not less than 30 days advance notice in writing in the event of change or cancellation. The Vendor’s insurance carrier shall waive subrogation; such stipulation shall be indicated on the Certificate of Insurance.

13. ASSIGNMENT

Vendor shall not assign any contract with the College without the prior written consent of BHC. Assignment shall in no way relieve the Vendor of any of its obligations.

14. PUBLIC DISCLOSURE

As Black Hawk College is a nonprofit, publicly funded institution, any document submitted in response to this solicitation will become part of the public record and subject to the Freedom of Information Act (FOIA) law.

15. EXTERNAL LAW

If there is any conflict between the provisions of this Contract and any legal obligations or affirmative action requirements imposed on the College by federal or state law, such legal obligations or affirmative action requirements thus imposed shall be controlling.

16. ASSIGNMENT

The contract entered into hereunder shall not be, in whole or in any part, assigned or transferred directly or indirectly, nor shall any portion be sublet without the prior written approval of the College.

17. AMENDMENT The terms, conditions, rates, and provisions of this contract may be amended by mutual written agreement of both parties.

18. CONTRACTOR EMPLOYEES

The relationship of the Bank to the College shall be that of an independent contractor. The College shall have no direct control over employees of the Bank. Any and all employees of the Bank, while engaged in the performance of any work or services required by the Bank under these specifications shall not be considered employees of the College.

19. CONTRACT ENFORCEMENT

Any and all attorney's fees and court costs incurred in the College’s enforcing of this contract will be borne by the Bank.

20. GOVERNING LAW

Any contract negotiated as a result of this RFP will be governed by the laws of the State of Illinois. The successful Bank shall at all times observe and comply with Federal, State of Illinois and local laws, ordinances, orders and regulations existing at the time of or enacted subsequent to the execution of a contract which in any manner affects the Banks’ ability to perform contractual requirements.

21. GENDER Unless the context in which they are used clearly requires otherwise, words used in this Request for Proposal denoting gender shall refer to both the masculine and feminine.

22. DCEO REQUIREMENTS Any Vendor who is awarded a contract that is paid for with restricted funds (such as grant funds) shall allow the grantor of the funds access to records associated with awarded contract.

DEFINITIONS This Request for Proposal shall incorporate the following definitions: The College--The terms "BHC", "Black Hawk College", or "College" shall mean the Board of Trustees of Public Community College District No. 503, operating as Black Hawk College, as established pursuant to Illinois Revised Statutes, Chapter 122, and its members and authorized management representatives. Bank--The term "Bank" shall mean the firms, corporations or persons submitting proposals based on these specifications and attendant documents. Request for Proposal--The terms "Request for Proposal" and "RFP" shall mean this document and associated addenda. Fiscal year – shall mean the twelve calendar months, beginning July 1st of each year and ending with June 30th of the succeeding year. The Bank’s year-to-date reports will coincide with the College’s fiscal year.

TERMS AND CONDITIONS (Attachment A)

1. Acceptance and Rejection: Black Hawk College reserves the right to reject any and all bids, to waive any informality in bids and, unless otherwise specified by the bidder, to accept any item in the bid. If either a unit price or extended price is obviously in error or the other is obviously correct, the incorrect price will be disregarded.

2. Time for Consideration: Additional consideration may be given to bids allowing not less than 30 days for review and acceptance. 3. Resale Price Maintenance: Black Hawk College opposes resale price maintenance in public bidding, and bid prices based on this or other anticompetitive

practice will be subject to appropriate remedies. 4. Non-Discrimination and Affirmative Action: The Vendor agrees not to discriminate against any client, employee, or applicant for employment or services

because of race, creed, color, national origin, sex, marital status, age or the presence of any sensory, mental, or physical disability with regard to, but not limited to, the following: Employment upgrading, demotion or transfer; recruitment or recruitment advertising; layoffs or termination; rates of pay or other forms of compensation; selection for training; rendition of services. It is further understood that any Vendor who is in violation of this clause or any applicable affirmative action program shall be barred forthwith from receiving awards of any purchase order from the State unless a satisfactory showing is made that discriminatory practices or noncompliance with applicable affirmative action programs have terminated and that a recurrence of such acts is unlikely.

5. Sexual Harassment: An amendment to the Illinois Human Rights Act requires eligible bidders for state contracts to implement detailed and specific sexual

harassment policies. Every party bidding for and/or obtaining a public contract is required to have written sexual harassment policies that must include, at a minimum, a statement that sexual harassment is illegal, the definition of sexual harassment under state law, a description of sexual harassment (utilizing examples), the party's internal complaint process including penalties, the legal recourse, investigative and complaint process available through the Illinois Human Rights Department and the Commission including directions on how to contact the Department and Commission and the applicability of protection against as provided by the Human Rights Act.

6. Specifications: Any deviation from the specification set forth must be clearly pointed out; otherwise, it will be considered that items offered are in strict

compliance with these specifications, and successful bidder will be held responsible therefore. Deviations should be explained in detail. 7. Manufacturer's Names: Any manufacturers' names, trade names, brand names, information and/or catalog numbers used herein are for purpose of

description and establishing general quality levels. Such references are not intended to be restrictive and equivalent products of any manufacturer may be offered. Determination of equivalency shall rest solely with Black Hawk College.

8. Information and Descriptive Literature: Bidders are to furnish all information requested and in the spaces provided on the bid invitation form. Further, as

may be specified elsewhere, each bidder must submit with his bid cuts, sketches, descriptive literature, and/or complete specifications covering the products offered. Reference to literature submitted previously does not satisfy this provision. Bids in non-compliance with these requirements will be subject to rejection.

9. Condition and Packaging: Unless otherwise defined in the bid invitation or submission, it is understood and agreed that any item offered or furnished shall

be new, in current production and in first class condition, that all containers shall be new and suitable for storage or shipment, and that prices include standard commercial packaging.

10. Safety Standards: Manufactured items and/or fabricated assemblies subject to operation under pressure, operation by connection to an electric source, or

operation involving a connection to a manufactured, natural, or LP gas source shall be constructed and approved in accordance with any State or local requirements for labeling or re-examination listing or identification marking of the appropriate safety standard organization, such as the American Society of Mechanical Engineers for pressure vessels, the Underwriters' Laboratories and/or National Electrical Manufacturers' Association for electrically operated assemblies, or the American Gas Association for gas operated assemblies. Further, all items furnished by the successful bidder shall meet all requirements of the Occupational Safety and Health Act (OSHA) and State, local, and federal requirements relating to clear air and water pollution.

11. Samples: Samples may be requested as a part of the solicitation or after the opening of bids. When requested, they are to be furnished as called for, free of

expense, and if not destroyed will upon request be returned at bidder's expense. Bidder's request for return of samples must be made not later than the date on which they are furnished. Bidder shall label each sample individually with bidder's name and item number.

12. Governmental Restrictions: In the event any Governmental restrictions may be imposed which would necessitate alteration of the material, quality,

workmanship or performance of any item offered on this bid prior to delivery, it shall be the responsibility of the successful bidder to notify the Purchasing Office at once, indicating in his letter the specific regulation which requires such alterations. Black Hawk College reserves the right to accept any such alteration, including any price adjustments occasioned thereby, or to cancel the contract.

13. Award, Payment, and Assignment: Award will be made to the responsive and responsible bidder whose bid is most economical according to criteria

designated in the solicitation. Acceptance is to be confirmed by purchase order issued by or on part of the using Agency, including shipping and billing instructions; the using Agency is responsible for all payments. Neither the contract nor payments due may be assigned except with prior written approval of Black Hawk College Purchasing Agent.

14. Performance and Default: Black Hawk College reserves the right to require performance bond from successful bidder. Otherwise, in case of default on part

of the contractor Black Hawk College may procure the articles or services from other sources and hold the contractor responsible for any excess costs occasioned thereby. The accepted remedies of force majeure will be considered in assessing any contractor default.

15. Patents: The contractor agrees to hold and save Black Hawk College, its officers, agents, and employees harmless from liability of any kind, including costs

and expenses, with respect to any claim, action, cost, or judgment for patent infringements arising out of purchase or use of equipment, materials, supplies, or services covered by this contract.
