SLR’s due diligence report included an identification of the key ‘red flag’ issues which allowed our client to focus quickly on the environmental issues of concern and drive further assessment as required.

BackgroundSLR was retained by Exponent to provide environmental due diligence support during the proposed acquisition of certain assets of The Scotts Company – a business involved in the manufacture of peat based soil improvement products, fertilizers and herbicides.

ObjectivesSLR has an established relationship with Exponent which was crucial to understanding the key environmental issues relevant to this mixed portfolio of manufacturing, storage and logistics business.

Our experience in the sensitivities associated with the extraction of

peat within ecologically sensitive environments, coupled with our knowledge of the compliance obligations for chemical manufacturing and storage facilities, enabled us to provide timely and reliable assessment advice to our client.

Our RoleFollowing preliminary access to the project data room, assessment of available information and by recognising the abridged programme, SLR developed a focussed scope of environmental due diligence assessment based on the specific risk features of the various types of manufacturing sites, their locations

and relevant legislative frameworks.

Given the extraction of peat formed a key part of the business, quickly assessing the environmental and financial (e.g. site restoration costs) obligations was crucial. We assembled a suitably experienced team to assess each operation independently and developed an OPEX/CAPEX plan for inclusion within business modelling.

With respect to the chemical manufacturing parts of the business, a separate team of specialists was assembled to quickly assess the operation and condition of the plants to confirm whether existing OPEX/CAPEX budgets were sufficient.

“SLR developed a focussed scope of environmental due diligence assessment based on the specific risk features of the various types of manufacturing sites, their locations and relevant legislative frameworks.”
