PRODUCT UPDATE / SALES RELEASE

SaleGuard Point of Sale and Loss Prevention Software

OpenEye is proud to announce the release of SaleGuard, its retail analytics loss prevention software. SaleGuard saves companies money by detecting fraud, errors, and inefficiencies occurring in their

businesses, through the analysis of Point of Sale transaction data. SaleGuard combines this data with

surveillance video to allow comprehensive investigation of shrink causing incidents to help eliminate them and improve profitability. SaleGuard is a replacement product for RediWatch with significant enhancements and new features.More information on backward compatibility with RediWatch and upgrading to SaleGuard is included in this brief. Details of the SaleGuard application including purpose, key features, part numbers and licensing are discussed in this sales brief.

VALUE PROPOSITION

SaleGuard is loss prevention software that increases your profits by detecting fraud, errors, and inefficiencies in your business that are costing you money. By combining analysis of transaction data with video surveillance, SaleGuard can identify these costly problems so you can correct them before they affect your bottom line.

Reduce shrink by identifying fraud, errors, and inefficiencies in your business

Detect undesirable trends quicker through transaction analysis

Decrease the time it takes you to investigate losses

Create reports with benefit to departments outside loss prevention

Generate performance reports for employees, and stores

Achieve a return on investment in months not years

OVERVIEW

SaleGuard works by collecting transaction data from the POS terminals of a business, whether it be a supermarket, coffee shop or restaurant, and centrally storing them in a database. SaleGuard then uses this transaction database to calculate Key Performance Indicators (KPIs) for the business, which are analyzed to detect fraud, errors and inefficiencies which are costing the business money. At the heart of SaleGuard is its exception based reporting (EBR) processes which run proprietary analytic routines to calculate KPIs. Users view this data through a customizable dashboard and can then create filtered reports on the performance of employees, departments, or entire branches. When a shrink causing incident or trend is identified, users can drill into individual transactions for visual verification by viewing video footage of the event with the transaction data displayed next to it.

Key Performance Indicators (KPI)

SaleGuard works by calculating and analyzing Key Performance Indicators (KPIs) for trending changes which indicate an increase or decrease in performance. A KPI is a measure of performance whose changes demonstrate a positive or negative trend in the operations of a store, department, or employee. In SaleGuard v1.0 the following KPIs are available:

VOIDS

NO SALES

TRANSACTIONS

SALES

ITEMS

ERROR CORRECTS

STORE COUPONS

VENDOR COUPONS

REFUNDS

By detecting positive and negative trends occurring within KPIs SaleGuard can identify the most probable causes of reduced revenue. For example, simply knowing the quantity of VOIDs isn’t helpful if there is no relative way to measure whether the number is low or high. Having the ability to identify a normal range of voids, then detecting when there is an abnormal increase you are able to take action and correct the negative trend. More importantly, with SaleGuard you can identify the specific employee responsible and incorporate video footage of incidents to help in the corrective process. To make the analysis of KPIs even more effective, SaleGuard allows users to define weighting of each KPI so focus may be placed on the metrics most important to their individual business. For example, if STORE 1 believes that VOIDS, NO SALES and TRANSACTIONS are most important they may weigh the KPI’s equally, while STORE 2 may weight ERRORS and REFUNDS over TRANSACTIONS*.

Table 1

KPI STORE 1 WEIGHT STORE 2 WEIGHT

VOIDS 34% 33%

NO SALES 33% 33%

TRANSACTIONS 33% 0%

SALES 0% 0%

ITEMS 0% 0%

ERROR CORRECTS 0% 16%

STORE COUPONS 0% 0%

VENDOR COUPONS 0% 0%

REFUNDS 0% 18%

* The values must equal 100% when added up. Weighted averages play

a significant role in determining positive or negative trends.

KEY FEATURES

Dashboard

The Dashboard is the main user interface for SaleGuard. It displays user selectable data summaries such as the total date range of pos transactions, best and worst performers for various KPIs, and editable data graphs. The dashboard is customizable for each user account and is saved on logout.

Search Data

Allows users to quickly search through POS transactions to find the data they need. Data sets are sorted by grouping based on specific data types (date/time, location, operator, category, etc). Grouping is not a simple A~Z sorting method but instead a highly efficient way to organize relevant data quickly. After identifying transactions, you can quickly view the corresponding video.

Search Video

SaleGuard allows users to connect to recorders to view video of the transactions as they occurred. The POS transaction data is displayed next to the video so as not to interfere with the scene.

Users can search by date/time

View transaction data in receipt view and overlaid on the recorded video.

Images can be exported as video clips (AVI) or still images (JPG)

Connect and search video from OpenEye recorders.

Live Video

Users can view live video within the SaleGuard client.

One DVR can be connected to at any given time

One, four, nine, thirteen and sixteen split screen layout options

Full screen mode

Live transaction data cannot be overlaid onto live video in v1.0 (this is planned in a later release)

Reports

The Reports option allows users to create custom reports to be viewed locally, e-mailed at scheduled intervals or printed. Refer to the Reports section in this document.

Risk Analysis

SaleGuard’s risk analysis dashboard allows users to quickly compare the performance of all stores or employees on the system and identify areas of potential risk. Once an area of potential risk is identified a user can drill down to the employee level and then to the transaction level to specifically identify the cause of the problem. Once a transaction is identified, corresponding video of the transaction can be viewed if available.

30577AE | Page 4 of 16

Reports

Risk Analysis

The Risk Analysis Report displays cashiers or stores in the order of highest risk to lowest risk. The ranking of cashiers and stores is derived from the analysis of data from multiple KPIs over a period of 12 weeks. This report can help identify the cashier that poses the most risk of causing shrink.

Ranking Report

The Ranking Report allows users to use the Key Performance Indicators to rank, from the worst to the best, performing cashier, store or other object. This report provides an easy way to view risk rank data for individual KPIs.

Employee Performance and Training

The performance report is designed to be provided to individual employees or managers to help them understand where they are excelling and where their performance needs improvement. It generates an easy to read and comprehend graphical report which displays all the primary KPIs and compares the employee’s individual rank to the median performance and top performer in their peer group.

Sales Report

The Sales Reports are capable of graphing up to three KPI together. This is useful to visually compare varying KPIs and their relation to one another. This could be used to compare transactions per day to the number of voids.

Parent Object Report

The Parent Object Report displays KPI data for cashiers, stores or other objects in an alphabetical order. This report does not order based on risk.

Automated Reporting

SaleGuard’s automated reporting function makes it easy for users to schedule reports to be sent to their email inbox. Each report can be set to run automatically daily, weekly, or monthly. Reports can have one or more email recipients and there is no limit to the number of custom automated reports that can be generated.

SOFTWARE COMPONENTS

SaleGuard consists of three main software components the Client, the Manager, and the Collector.

Client

The remote client allows users to analyze data, run reports, and view video. It also allows users to configure the Collector and Manager. The Client software is the interface used to access and review POS and video data. It can be installed in multiple locations with permissions set for different users. From the Client software, a user can access their customized dashboard of KPI data, search KPI and transaction data, search recorded video, view

30577AE | Page 5 of 16

live video, generate or view specialized reports, and perform risk analysis of employees or branches. It is also used to connect to and configure the Collector and Manager.

Manager

The manager is the heart of the data storage, analytics and user management system.

Analyzes, crunches and manages data from collector.

Stores user profiles and accounts.

Processes automated emails

Collector

The SaleGuard Collector is the application that aggregates and manages the transaction data received from POS terminals. This data is then sent to the manager for storage and processing.

THE DATABASE

Data Storage

By default SaleGuard is installed with Microsoft® SQL Server Express®. This version is ideal for smaller locations. For large installations the full version of Microsoft SQL Server may be required.

Table 2

Feature SQL Express Full SQL Server Notes

Data Limitation 6 GB Usable Unlimited

Estimated number of saved records

6 million Unlimited

Memory limit 1GB 32GB Dramatically affects the performance of search results

SaleGuard Professional uses Microsoft SQL Server 2008 R2 Express a free version of Microsoft’s SQL Server. Using SQL Express significantly reduces the overall cost of SaleGuard Professional as full SQL Server versions are considerably more costly. SQL Express’ database has a 10GB data limit with only 6GB available to SaleGuard for data storage. This limit may affect those who wish to store their POS transactions for greater periods of time. SQL Express also has limitations that affect overall speed and performance. SaleGuard Enterprise uses either Microsoft SQL Server 2008 R2 Express or Microsoft SQL Server Standard 2008 R2. The full version of SQL Server is required for larger installations that require faster performance and no storage limitations. SaleGuard uses Microsoft SQL Server Standard 2008 R2 Embedded, a less expensive option over the non embedded version. The embedded version is identical to the non embedded version with the only limitation being that it cannot be reinstalled on another server or be used for any other purpose other than to run SaleGuard software. When is it necessary to upgrade to Microsoft SQL Server? When 90 days of transactions exceeds approximately 6 million records, it is necessary to switch to SQL Server. Keep in mind, the 6 million records does not refer to 6 million full transactions but rather the number of unique lines of a transaction. See table 3.

Table 3

Store ID Ticket ID Description Amount Exception Cashier

766 8746 Pepsi 12oz .68 07

766 8746 .08 TAX 07

766 8746 1.33 TOTAL 07

766 8747 Granny S Apple 1.52 TOTAL 07

766 8747 .09 TAX 07

766 8747 1.61 TOTAL 07

In the above example, Ticket 8746 is comprised of 4 records in the database and 8747 is comprised of 3. The two transaction together use 7 total records in the database.

When more than one store combines data into one database, achieving 90 days worth of data becomes increasingly difficult if only using SQL Server Express. 90 days worth of data is important to identify exception based reporting trends. Shorter periods of time can be used (10 days, 30 days, 60 days, etc), but the longer the average the more reliable the data. Centralized Database SaleGuard has been designed to operate in a single server or multi server environment. When using a multi-server installation, each SaleGuard server will report back to a centralized database from which all reports will be generated. Key benefits of a centralized database:

Generate reports with data from one or more stores/branches/locations

Standard POS Searches can include one or more locations

KPI Analytics can cover all locations

User notification can be managed from one location In v1.0 all databases will be scheduled to auto-sync every 15 minutes. If a user wishes to perform a search for transactions within this 15 minute timeframe, they may need to perform a manual sync before running the search.

SUPPORTED REGISTERS AND PROTOCOLS

The most commonly used POS protocols used by our customers are supported at the launch of SaleGuard version 1. These protocols are used by a large percentage of registers in use in major grocery stores.

Table 4

* Estimated integration timeline March 2012 Additional protocols will be added on a project basis. If you have a specific need for a register please send a request to OpenEye project management.

BACKWARD COMPATIBILITY WITH REDIWATCH

SaleGuard has the option to send the POS stream from any supported register back to RediWatch. Though this feature will not be maintained permanently (End of Life ETA - Dec 2012), this will allow existing users to make the switch easily by maintaining all the features they have grown accustomed to with RediWatch. Sending data to RediWatch will allow users to do the following:

Connect to the recorder via RADIUS to search video and transactions

Send automated Alerts via emails (no sale, void, etc). This feature is currently under development for a future version of SaleGuard (ETA March 2012).

SALEGUARD VIDEO INTEGRATION

SaleGuard has been designed to integrate with OpenEye digital recorders. This integration allows SaleGuard to connect directly to the OpenEye recorders to view live video, search saved video and export video. SaleGuard does not currently integrate with any other video platform. Can SaleGuard be sold without OpenEye recorders? Yes. SaleGuard does not need to be coupled with OpenEye digital recorders. SaleGuard can still generate reports, KPI’s, transaction searches and risk analysis data without using an OpenEye recorder. However, what will be lost is the tight video integration built into the SaleGuard application that ultimately may prove to be a large inconvenience for loss prevention managers.

30577AE | Page 8 of 16

Can SaleGuard be integrated with other video manufacturers? At this point, there are no plans to integrate with video platforms other than OpenEye.

PROFESSIONAL VS ENTERPRISE LICENSING

Saleguard is available in two versions. Professional, designed for single location installations with one or more POS stations in the same facility and Enterprise, designed for multi-site installations centrally collecting and analyzing data from multiple locations. Professional The Professional version provides an easy and powerful way to search POS transaction data. Users can group results, create and save custom data filters and quickly, at the click of a button, view the video associated with a transaction. The Professional version also allows users to view live and recorded video from a connected recorder. The Professional version of SaleGuard does not support exception based reporting functions, it only provides the essential POS data and video search functions. Enterprise The Enterprise version of SaleGuard takes loss prevention to a whole new level. The Enterprise version adds an exception based reporting (EBR) component that helps detect fraud, errors and inefficiencies occurring in businesses by analyzing Point of Sale transaction data. In additional to offering all the capabilities of the Professional version, the Enterprise version also offers the following features:

Central server capability for multi-location configurations

Ability to use SQL Server (full version) to store large amounts of point of sale data for trend analysis

Additional reports including Risk Analysis, Employee Performance and Ranking

Custom dashboard that displays a concise snapshot of the current Exception Based Reporting data

Professional version licenses are sold on a per terminal basis.

There is no minimum number of licenses that must be purchased when using the Professional version.

The Professional licenses are limited to SQL Server Express only.

The Professional licenses do not support central server capability.

SaleGuard updates are available free of charge for three years after the purchase date.

Enterprise

Enterprise version licenses are a sold on a per terminal basis as both standard (does not expire), and subscription (renew annually) license types.

Minimum of 4 licenses must be purchased per location. Single licenses can be purchased after the 4 channel minimum has been met.

Enterprise licenses support central server capability.

Enterprise licenses support Microsoft SQL Server Standard Embedded in addition to SQL Server Express.

1. Purchased and installed an OpenEye recording solution

When SaleGuard is installed in an OpenEye recording solution (system includes an OpenEye professional or commercial recorder), the customer can purchase the SW-SGENT type license. This type of license does not expire and does not need to be renewed. In addition the user has access to software updates for three years from the date of purchase.

2. Purchased and installed on 3rd party hardware recording solution If SaleGuard is installed on a separate server that is not connected to an OpenEye recorder, as would be the case if used in conjunction with another manufacturer’s digital recorders, SaleGuard is licensed on an annual basis. This means that the license must be renewed 1 year from the date of purchase. During this one year period, the user has access to all updates to the SaleGuard software. After the license has expired, the software locks and will not function until the license is renewed.

SQL SERVER LICENSING

Microsoft SQL Server licenses for OpenEye SaleGuard servers must be purchased separately due to the multiple licensing configurations available. There are two types of SQL Server licensing that can be purchased.

SQL Client Access Licensing

CPU Based Licensing

SQL Client Access Licensing (CAL)

Client Access Licensing (CAL) requires one CAL be purchased for every POS register and Client PC that accesses the SQL Server to write or retrieve data. The following example illustrates this concept.

Table 7

Store 1 Store 2

POS Terminals 4 2

PCs with SaleGuard Client software 2 1

TOTAL #SQL CAL 6 3

In the above example Store 1 must purchase six CALs and store number 2 must purchase three CALs. If both these stores are using the same central server then a total of nine CALs must be purchased. Compared to the CPU based licensing method, the CAL licensing method is the least expensive option when working with smaller installations. Generally, when the number of CALs exceeds 20, CPU based licensing becomes more cost effective.

30577AE | Page 12 of 16

CPU Based Licensing

CPU Based Licensing eliminates the need for CALs. This allows you to purchase one SQL license for a server with a single CPU. Multiple connections can be made to the SQL server without incurring additional costs. When the number of CALs exceeds 20 then CPU based licensing becomes a more cost effective option.

WINDOWS SERVER CLIENT ACCESS LICENSING (CAL)

In addition to the SQL access licenses, whether the installation is using SQL CALs or CPU based licensing, Microsoft requires that all PCs connecting to the SaleGuard Server also acquire Windows CALs. It is not necessary to purchased CALs for POS terminals. To use the same Store 1 and Store 2 from the example used previously, Store 1 must purchase 6 SQL CALs and also purchase 2 Windows Server CALs. Store 2 in this example would purchase 3 SQL CALs and 1 Windows Server CAL.
