1. Acceptance of ordersa) Advertising is accepted on the basis of a written order. b) The order must primarily contain the following details: - in the case of a legal entity or a natural person - entrepreneur: business name of

the customer, customer's registered office, or an address for sending invoices, ID No., Tax ID No., VAT ID No., bank details, account number, name of a responsible contact person, telephone and fax number, stamp and signature of an authorized person and assignment of the ordered services.

- in the case of a private person: name and surname, address, ID card No.c) As a proof of order, MAFRA Slovakia a.s. (hereinafter referred to as the Publisher)

shall issue and hand over or deliver an advance invoice, or a confirmation of order.d) The contractual relation is concluded by confirmation of the customer's order by

the Publisher.e) Confirmed orders of special forms of advertising such as inserts, pasted in supple-

ments or objects, become binding for the Publisher at the time of delivery of sample products and their approval by the department of advertising office of the Publisher.

f) The Publisher shall provide a discount up to 15% of the price of advertisement to advertising and personnel agencies (customer). The agency submits the order in its name and is responsible for delivering prepared materials, which require no additional image processing. The agency is required to present to the Publisher an extract from the Business Register or a trade license (if the agency is not a legal entity), which clearly shows the line of business, on the basis of which both parties sign an Cooperation Agreement. The Publisher is entitled to refuse the order of an agency, if there are doubts about its intermediary activities.

2. Advertising materialsa) The customer is responsible for timely and flawless delivery of advertising mate-

rials to the advertising department of the Publisher.b) The customer is also responsible for the content and legal admissibility of text and

images used for advertisement. The Publisher is not required to consider whether this infringes the rights of third parties. In the case of claims of third parties in connection with the publication of demonstrably false or legally inadmissible advertisement, the customer is required to assume all obligations arising of such legitimate claims and also pay damages incurred to the Publisher by this conduct of the customer.

c) Materials used for the production of advertising shall be returned only upon a written request within the order.

d) For PR advertising in Hospodárske noviny, these fonts may not be used: Slimbach, Walbaum, Franklin. The text of PR advertising may not be wrapped to the same column width as editorial text. The text and headlines must use a sans-serif font and picture descriptions must use a serif font. PR advertising published on an editorial page shall be separated from editorial texts with a frame and designated as "advertising".

3. Terms and conditions of publishing advertisementsa) If there is no agreed exact date of publishing and placement of advertisement, the

advertisement shall be placed and published at the earliest possible time.b) If the customer orders an advertisement in sizes that do not conform to standard

sizes of the title advertising or if the size is not stated, the advertisement shall be adjusted to the closest possible size within technical possibilities and confirmed and calculated as such.

c) The Publisher also reserves the right to adjust the text grammatically under the current rules of Slovak grammar and spelling.

d) Proofs for a produced advertisement will be provided to the customer on request only. Each advertiser is entitled to one proofreading. If the customer does not respond to the final version, if it was demonstrably received, it is assumed that he agrees with it and thus no eventual complaints will be accepted.

e) We do not provide publishing of non-standard formats within the frame of media and barter transactions.

f) under the valid legislation of Act on medicinal products, I should note of the Collection of laws No. 147/2001, § 8, Advertising of medicinal products. Customer ordering a medicinal product advertisement must be the holder of the decision on registration of the medicinal product.

4. Right to refuse advertisementa) The Publisher reserves the right to refuse publication of advertisement due to

inappropriate content, origin or form, and if it is in violation of laws and other generally binding legal regulations, ethical standards, morality and practices, which could damage Publisher's reputation, published titles, or interests. The Publisher is required to notify the Customer of this fact, but is not obliged to give reasons for refusal.

b) The Publisher reserves the right to refuse an advertising order from the customer who owes money for previously published advertising, or to suspend performance until the payment of the owed amount. The Publisher may apply this measure even during a long term advertising campaign when the customer fails to fulfil its obligations.

5. Failure to fulfil obligationsa) In the case of force majeure, the Publisher is exempted from liability for fulfilment

of obligations and compensation for damages.b) If the customer fails to comply with the agreed obligation, for which there was a

discount agreed previously, the Publisher shall additionally invoice the difference between the agreed and actual performance.

c) Due to serious editorial reasons the Publisher reserves the right to deviate from the agreed and confirmed position of the advertisement. In this case the additional fee for position will not be invoiced and the customer is not entitled to a complaint.

d) A failure to publish an advertisement under these terms and conditions shall not be deemed a breach of contract by the Publisher.

6. Price and payment conditionsa) The final price of the advertisement shall be determined by agreement either by a

fixed price of format, or by the base rate per mm of column multiplied by the number of columns and height of advertisement in mm after adding extra charges and subtracting discounts in accordance with the currently valid price list..

b) The gross amount means the base price plus any extra charges under the valid advertisement price list at the date of publication of the advertisement.

c) The net net amount means the base price plus any extra charges, minus all dis-counts and agency commission under the valid advertisement price list at the date of publication of the advertisement.

d) Invoices shall be issued within 15 calendar days after the publication of the adver-tisement. The invoice will be sent to the customer along with a copy of the title in which the advertisement was published. It is due within 14 calendar days of issu-ance, unless otherwise agreed.

e) If the customer does not specify the exact size of the advertisement and leaves the adjustment to the Publisher, the basis for calculating the price of the advertise-ment is the final print format.

d) The advertising department is entitled to demand a deposit or payment for adver-tising from the customer in advance.

g) If the receivables of the Publisher will not be paid by the customer within the due date, the Publisher will act in accordance with paragraph 4, letter b) of these terms and in accordance with provisions of the Commercial Code.

h) The Publisher reserves the right to determine special rates for advertising in the-matic supplements.

i) Due date of domestic invoices - 14 calendar days Due date of foreign invoices - 21 calendar days (unless agreed otherwise)� The first order of a new client will always be realized by an advance payment.�� All prices are listed without VAT. 7. Cancellation conditions Cancellation conditions are governed by the currently valid price list. Advertising

can be cancelled only upon written request and after consultation with the staff of the advertising office. In case of cancellation of an order after the editorial deadli-ne, the customer will be invoiced a full price of advertisement as if it was pub-lished. Full price of advertisement will be also invoiced in the case of rejection of the advertisement due to failure to provide flawless advertisement materials by the customer within the deadline according to the currently valid price list, or within an alternative deadline, specified in writing by the advertising office staff.

The decisive day for evaluating the date of receipt of cancellation in all cases is the day of delivery of cancellation to the advertising office of MAFRA Slovakia a.s. and the time, limited by the working hours of the advertising office from 8:00 AM to 5:00 PM. This also applies to cancellations sent by fax or e-mail. However, cancel-lations sent in this way must be accompanied by a notification by phone.

8. Complaintsa) Complaints related to the advertisement must be made in writing and without

unnecessary delay, no later than in 14 days after publication of the advertisement (i.e. the complaint must be delivered to the Publisher on the 14th day at the latest) and the customer is required to file a complaint or deliver it in writing to the address of the Publisher in a qualified manner, i.e. clearly specify the advertise-ment, date of publication, list the defects of performance and required perfor-mance according to paragraph b). Complaints delivered late shall be disregarded.

b) In the case of fully or partially illegible, incorrect or incomplete advertisement, the customer is entitled to a discount or an alternate publishing. Discount will be always provided in the same extent in which was the purpose of the advertise-ment limited.

c) The customer is not entitled to complain about a different colour of their adverti-sement, if the customer failed to provide a colourful copy as a part of materials according to the specifications of the Publisher.

d) If the customer accepts a reply to an advertisement under a brand, the eventual complaint is groundless. The fact that the customer did not receive a response to a properly published advertisement is not a cause for complaint.

e) When ordering repeated advertising, the customer must check its accuracy and com-pleteness after each publication. The Publisher does not recognize the complaint in the case where the repeated advertisement appears with the same deficiency, if the client failed to notify the Publisher of it immediately after the previous publishing.

9. Personal data protectiona) Establishment of a contractual relationship between the client (hereinafter for the

purposes of this Article referred to as the "Data Subject") and the publisher (hereinafter for the purposes of this Article referred to as the "Controller") entit-les the Controller to process the personal data of the Data Subject pursuant to Article 6 (1) (b) of Regulation (EU) of the European Parliament and of the Council 2016/679 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, repealing Directive 95/46/EC (General Data Protection Regulation) (hereinafter referred to as the "GDPR") and Section 13 (1) (b) of Act No. 18/2018 Coll. on the Protection of Personal Data and the amendment of certain laws, as amended (hereinafter referred to as the "Personal Data Protection Act") (GDPR and Personal Data Protection Act herei-nafter jointly and individually referred to as the "Personal data protection regu-lations").

b) The purpose of processing of Personal Data of the Data Subject by the Controller is (i) allowing participation of the Data Subject in conferences and other events of the Controller and the provision of related services, (ii) sending newsletters and marketing messages to the Data Subject, (iii) including the Data Subject into cus-tomer surveys of the Controller, (iv) sending newsletters of commercial and non-commercial nature from business partners of the Controller (v) other purpo-ses in which the Data Subject has expressed his/her consent to the processing of Personal Data.

c) The legal basis for processing of Personal Data is i) fulfilment of contractual obligations of the Controller from the contractual relationship with the Data Subject (Article 6 (1) (b) of the GDPR and Section 13 (1) (b) of the Personal Data Protection Act), (ii) fulfilment of legal obligations of the Controller (Article (6) (1) (c) of the GDPR and Section 13 (1) (c) of the Personal Data Protection Act) and (iii) legitimate interest of the Controller (Article (6) (1) (f) of the GDPR and Section 13 (1) (f) of the Personal Data Protection Act), which consists of the interest in proper and complete fulfilment of the contractual obligations of the Data Subject and potential exercise of any claims of the Controller or a third party towards the Data Subject.

d) If the purpose of processing of the Personal Data is a purpose under letters b) (ii) to (v), the legal basis for processing of Personal Data of the Participant is his/her consent, which is granted upon registration of the Data Subject and the estab-lishment of a contractual relationship with the Controller or through a separate electronic form after registration of the Data Subject or the establishment of a contractual relationship (Article 6 (1) (a) of the GDPR and Section 13 (1) (a) of the Personal Data Protection Act).

e) The Controller will process personal data of the Data Subject in the following extent (list of personal data): (i) identification data (name and surname, date of birth, Company ID No., VAT ID No., Tax ID No., public register entry), (ii) contact information (billing address, delivery address, e-mail address, phone number, fax number), (iii) economic identity data (bank account numbers, numbers of tax, accounting, delivery and other documents, data on payments, debts and obliga-tions), (iv) other legal identity data (data from contracts and other legal acts, data on non-financial obligations, rights and claims, activity, action, and behaviour data, data from cookies and purchasing preferences) and (v) other personal data processed pursuant to legal regulations (hereinafter referred to as the "Personal Data"). Contact information of a legal entity is not personal data.

f) Personal Data retention period is the duration of the contractual relationship + the time required to exercise the claims of the Data Subject and/or the Controller in court proceedings (period of limitation). In the case of processing of Personal Data based on consent granted in letter d), the period of retention of Personal Data is twenty-four (24) months from the termination of the contractual relationship, and before the end of this period, the Controller may request the Data Subject to extend this consent.

g) Provision of Personal Data is a contractual requirement, as well as a require-ment for concluding a contract between the Controller and the Data Subject, which is necessary for the purposes specified in letter b) (i). Provision of Personal Data is voluntary. In the event of failure to provide the data, the Controller will not enter into a contractual relationship with the Data Subject and will not be obliged to provide him/her with the services and in the case of existing contractual rela-tions, the Controller may terminate this contractual relationship by withdrawal from contract, which may also be sent by electronic mail. Provision of personal data for the purposes under letter b) (ii) to (iv) is not a legal or a contractual requirement.

h) The Controller does not use automated decision-making or profiling. i) The Controller processes Personal Data mainly for its own purposes. In addition, it

may provide Personal Data to business partners, through which it processes Personal Data. These are trusted persons (called recipients and processors) that ensure development, maintenance and operation of software solutions and other services for the Controller through which the Controller processes Personal Data, or provide services (e.g. economic, legal, auditing, and marketing).

Personal Data may be processed using the MailChimp service, which is used for managing and sending electronic mail. This service is operated by The Rocket Science Group, LLC, based at 675 Ponce de Leon Avenue NE, Suite 5000, Atlanta,

Georgia 30308, United States of America (https://mailchimp.com/contact/). Personal Data are also processed using the cloud services provided within the application Office 365 during their internal use. The Office 365 cloud services are operated by Microsoft Corporation, based at One Microsoft Way, Redmond, Washington 98052-6399, United States of America (https://www.microsoft.com/sk-sk/).

The recipients of Personal Data are also the employees of the Controller. Personal Data may be, with the consent of the Data Subject, provided to third parties, which will process the Personal Data for their marketing needs.

The Controller processes Personal Data primarily within the European Union and the European Economic Area. Personal Data are also transferred to the United States of America when processed through the MailChimp and Office 365 services, and the United States of America has a third-country status that does not provide an adequate level of protection of personal data. In these cases, cross-border transfers and processing of Personal Data are secured by the Privacy Shield certi-fication system, which was created by the US Department of Commerce, the European Commission, and the Swiss Government in order to provide the entities from the European Economic Area and the United States with the means to meet the privacy requirements during their transfer from a Member State of the European Economic Area to the United States of America, and to promote transat-lantic trade. This system ensures an adequate protection of personal data accor-ding to the European Commission's decision. j) The Data Subject has rights of the data subject pursuant to Chapter III of the GDPR and the second part of the Personal Data Protection Act, in particular (i) the right to information pursuant to Articles 13 and 14 of the GDPR and Sections 19 to 21 of the Personal Data Protection Act and to notification pursuant to Articles 15 to 22 and Article 34 of the GDPR and Sections 22 to 28 and Section 41 of the Personal Data Protection Act, provided in a concise, transparent, comprehensible, and easily accessible form, formulated in a clear and simple manner and provided in writing or by other means and, if necessary, by electronic means, (ii) the right to access to his/her Personal Data, (iii) the right to rectification of Personal Data, (iv) the right to erasure of Personal Data (the right to be forgotten), (v) the right to restriction of processing of Personal Data, (vi) the right to the notification, regar-ding rectification, erasure, or restriction of processing of Personal Data, (vii) the right to portability of Personal Data, if the processing is carried out based on a consent or a contract and is carried out by automated means, (viii) the right to object to processing of Personal Data, (ix) the right of the Data Subject not to be subject to automated individual decision-making, including profiling, (x) the right to withdraw consent to processing of Personal Data, and (xi) the right to file a complaint to a supervisory authority (Office for Personal Data Protection of the Slovak Republic, www.dataprotection.gov.sk) and a motion to initiate proceedin-gs on the protection of personal data. The scope, limitations and ways of exerci-sing these rights are set out in Chapter III of the GDPR and the second part of the Personal Data Protection Act.

k) Rights of the Data Subject and basic principles of personal data processing are listed at the web site of the Controller.

l) The Data Subject has the right to object to the processing of personal data, when processed for reasons of public interest, legitimate interest, or direct marketing. The objection to the processing of personal data can be made in writing to the address of the Seller or by e-mail to [email protected].

m) The Data Subject is entitled to withdraw consent to the processing of personal data, if the processing of personal data is carried out only based on his/her con-sent, in writing to the address of the Seller or electronically to the address [email protected].

n) The supervision over the processing of personal data is carried out by Office for Personal Data Protection of the Slovak Republic based at Hraničná 4826/12, 820 07 Bratislava - Ružinov. The Data Subject is entitled to file a motion to initiate proceedings on the protection of personal data with this office as a supervisory authority.

10. Final provisionsa) The Publisher realizes special or atypical commercial projects outside the price list

conditions, such as insertion of atypical supplements, external periodicals, adver-tising pages etc., always after an agreement and for a contract price.

b) The Publisher publishes advertising articles solely in accordance with the terms of the Act on Advertising. Prices are governed by the currently valid price list of advertisement.

c) The Publisher shall store and upon agreement deliver received responses to advertisements under a brand to the customer continuously for 4 weeks from the date of publication. After this time, the Publisher is not obliged to record or store the received responses.

d) For all of their titles the Publisher guarantees the standard print quality of adver-tising limited by the quality of the provided advertising materials, input print material and printing standards.

e) These General terms and conditions are an integral part of the price list. Deviation from provisions of the above mentioned terms and conditions is possible only on the basis of a written agreement.

Manners of advertising material deliveryPrepared advertising materials for the installation in data version can be delivered in person, via courier or by post on electronic medium or they can be sent in electronic way by means of FTP protocol or by e-mail. We receive files with advertising materials only in the stated formats and programme versions. Media should be legibly marked - to be stated which files and in which directories are subject to delivery. Every advertisement shall be in an independent file. It is necessary to deliver also a preview (international norm ISO 12647-3:2004 - newspaper proof-sheet; for B2B magazines – cromalin.) with the media.

IF YOU SELECT AN ELECTRONIC WAY, it is necessary to observe the following procedure:l The order for advertising shall be made on the receiving workplace of advertising in a standard ways adding "advertising materials in electronic way".l The file name of the sent advertising material (EPS or a document) shall always include current number of the advertisement stated in the order confirmation. Concurrently with the order an employee taking over and attending to the order has to be given a preview of the advertisement (by fax, courier, e-mail, laserprint or *.PDF file) for the possibility of the consequent comparison with a file of advertising materials delivered in an electronic way.

FILES SENT via FTP (protocol determined for sending files via internet). In order to connect to our server you need:1. Programme FTP client for PC, Macintosh.2. Access data to FTP server of Ecopress:Address: 195.168.43.202User name: anonymousLogin: anonymous3. You can place a file to Ecopress server by simple copying or dragging the icon. The advantages against sending via e-mail include a transmission speed, unlimited file size and check of the file delivery. Files from Macintosh computers should be compressed by Stuffit min. 5.1 and files by Windows Zip.4. Complete logging in looks as follows: ftp://anonymous:anonymous:@195.168.43.202/Upload/ It is necessary to inform the reception workplace about the placement of materials on FTP server. Alternative but less reliable way of file sending is the use of e-mail address of the control workplace [email protected]. The subject of e-mail should include advertisement No.. It is possible to send files with total capacity of max. 10 MB via e-mail.

Conditions of inserts and pasted in advertisingIt is possible to insert or paste in the following titles: HN, HN Reality aktual, Investor, Transport and logistics, Finances. Supplements from the format of A6 to format of A4.Minimum stock weight for inserting is 80 g/m2. The inserted product should be disregarding the scope and binding by 3 mm in height and 3 mm in width smaller than the format of the magazine in order to prevent overlapping.

Pasting in of supplements:It is possible to paste in on the cover as well as inside the title within the size of the title format reduced by 3 mm in height and width to the internal side of the cover in order to prevent overlapping. The assumption is ordering of advertising space for pasting in with the size of minimum of the pasted in supplement.Pasting in to the internal side of the cover is made with non-permanent glue and the title has to be wrapped in the foil. Pasting in to the inside of the title to the position is made only with non-permanent glue.

Product in packages on pallets designated with the name, volume, term of insertion and name of periodical shall be provided by a client at their own expense 7 business days before the date of the print to the relevant printing station. Transport of supplements to the printing station is possible only after approval of a supplement sample by an employee of advertising who attends to the order. Thus, the samples have to be provided for approval sufficiently ahead of time.At failure to observe those conditions insertion (pasting in) is possible without the guarantee and claim for complaint.

Prices of pasted in and inserted prospected insertions and supplements to monthlies of Ecopress, a. s. The prices of pasted in and inserted prospected insertions and supplements to monthlies of MAFRA Slovakia, a. s. shall be determined on individual basis by an employee of advertising agency or by a manager of advertising of the relevant title in dependence on stock weight and nature of the product.
