Ms. Meher Pudumjee, Chairperson

Meher took over as Chairperson of Thermax Limited on October 5, 2004, after the

retirement of Ms. Anu Aga. A Postgraduate in Chemical Engineering from the Imperial

College of Science & Technology, London, Meher joined Thermax as a trainee engineer in

August 1990. In January 2001, Meher became a non-executive director and was appointed

Vice Chairperson in 2002. During this period, she played an active role in the turnaround of

the company, looking at divesting of non-core activities and restructuring of business

portfolios.

Mr. M. S. Unnikrishnan, Managing Director

Unni took over as Managing Director on July 1, 2007. Earlier, as Executive Vice President, he

was head of the company's project business, viz. captive power, boilers & heaters and air

pollution control. Unni is known for his strategic and human relations skills and is a keen

champion of green technologies. He is also an alumnus of Harvard Business School’s

Advanced Management Programme

Ms. Anu Aga, after retiring as Chairperson of Thermax in October 2004 continues as

Director on the Company's Board of Directors. As Chairperson, Anu facilitated four major

turnaround initiatives-reconstitution of the board, shedding of non-core activities, right-

sizing of operations and increased focus on the customer. She is also instrumental in

driving the high performance culture at Thermax, especially at the senior levels.

Dr. R A Mashelkar, former Director-General of the Council of Scientific and Industrial

Research (CSIR), has been inducted onto the Thermax Board as an independent Director,

effective January 29, 2008. Dr. Mashelkar is known for shaping India's science and

technology policies in post-liberalised India, and for transforming CSIR into a user-

focused, performance driven organization and in creating a balanced intellectual property

regime in India

Dr. Von Massow was the Director & Vice President with Boston Consulting Group (BCG).

Working at various international offices of BCG, he brings rich global experience of

business models, governance, strategy and operations. Earlier, as BCG's senior consultant,

he had been closely associated with Thermax's turnaround strategy.

Dr. Von Massow has a Ph. D. in Agricultural Economics and Masters in Agriculture from the

University of Gottingen, Germany.

Mr. Pheroz Pudumjee is experienced in international marketing of industrial products. He

managed Thermax's overseas venture in UK and was appointed Director in 1997. Pheroz is

member of the Overseas Investment Committee and the Strategic Business Development

Committee, which reviews and monitors strategic business initiatives of the company.

Pheroz has a Masters in Business Administration and a diploma in Automobile Technology

from Stanford University.

Dr. Jayaram Varadaraj is Managing Director of ELGI Equipments Ltd. and is also on the

Board of Elgi Ultra Industries Ltd., Elgitread (India) Ltd. and Precot Mills Ltd. His varied

experience of in India covers textiles, polymers, mechanical machines and consumer

appliances. He was also Chairman of the Tamil Nadu State Committee of CII.

Mr. Nawshir Mirza, is a Fellow of the Institute of Chartered Accountants of India having

qualified in the year 1973. He spent most of his career with Ernst & Young and its Indian

member firm, S. R. Batliboi & Co., Chartered Accountants. He has contributed to the

accounting profession, being a speaker or the chairperson at a large number of

professional conferences in India and abroad.

Joint Ventures

The JV now provides technology solutions above the 300 MW range for large power

plants along with systems based on the proven technologies of SPX Balcke-Dürr. The

JV has already won its first order last year for a leading oil refinery. Their offerings

include ESP’s & Bag Filters for Plants greater than 300 MW, Rotary Air Pre-heaters, Air

cooled condensers and other heat exchangers.

Providing quality education to underprivileged children by

adopting many municipal schools (pictures enclosed) and

partnering with PMC to set up a year-long professional

development programme LIFT. Since 2013 LIFT has worked

with over 240 teachers across 40 schools impacting close to

8000 children in PMC Schools across Pune.

Thermax Foundation has been financially supporting

Teach for India (TFI) since its inception in June 2009 for

its Pune Operations.

Thermax Foundation has partly funded Parivaar NGO in

West Bengal for constructing its 59,000 sq.ft. building -

Amar Bharat Vidyapeeth in 2013. Thermax has decided

to partly fund their operational expenses from 2014-15.

Thermax Foundation has partly funded the construction

of school building of Shoshit Seva Sangh in Patna, Bihar,

which is a fully free English medium residential school

for the children of landless labourers.

Thermax Foundation is helping to meet the operational

expenses of Shashwat’s residential primary school for

tribal children in Aghane village and their tribal girls’

Boilers & Heaters Division has supplied boilers upto 750 TPH size and 140 kg/cm2

pressures capable of generating upto 250MW from a single boiler. Our heating

systems operate on over 100 fuels and help industry shift to inexpensive and

renewable energy.

Heating Group: Our Heating Group is an established name in chemical, pharmacy and

export based garments sectors in the domestic market and International market. The

group has also extended its business of bi drum boilers, providing clients with

cogeneration capability as they shifted from gas to less expensive solid fuels. This group

has recently entered into tie ups with several European firms, which can prove to be an

advantage for downstream petrochemical industries.

Water and Waste Solution Group offers comprehensive water management systems to a

wide range of industries like power plants, refineries and steel mills that use water

softeners, demineralisers, filters, reverse osmosis, etc for their water treatment

requirements.

We have been the only indigenous water treatment

systems organization to be prequalified and to set

up a water treatment plant for a supercritical

Health, Safety & Environment (HSE) is a non- negotiable at Thermax and we focus on

these issues right at the corporate level. Our well established Corporate HSE Policy is

implemented by our Corporate Head of Safety.

The Divisional Safety representatives report to the Corporate Head of Safety and

within the guidelines of the corporate HSE policy carve out their own divisional HSE

policy and manuals for office and site usage. The Divisional Safety Head is

responsible for ensuring the implementation at each site which is the prime and sole

responsibility of Site Safety Engineers on every site to make sure that Safety Audits

are carried out within the compliance standards set.

Engineering Procurement Construction (EPC) Capabilities

Genesis:

When we manufacture over 35% critical equipments of power plants in-house, it’s only

a natural progression that we start providing power plants on a turnkey/ EPC basis.

Thermax Power Division was conceived in 1995 to provide customers with a one point

solution in setting power plants. Today along with setting up power plants on turnkey

(EPC) basis, we also ensure guaranteed performance, overall completion schedule, fixed

cost and all these backed by a strong bankable performance security.

We have over 100 power projects in our kitty and strength of over 1200 dedicated

resources to handle upto 18 power projects simultaneously.

Water Treatment Plants (WTP): Total quantity of wastewater WWS has been treated

till date equals to about 1679 MLD. Out of this, 500 MLD of waste water is

being recycled.

ESP: more than 1000 installations, of which 500 are for power generation and Bag

Filters totaling to over 4000 in numbers, serves over 5000 MW of power

generation.

The first ever captive tri-generation plant in India to have comprehensive water

treatment and recycle facility with total capacity of power, steam and water, where

liquid effluent discharge is zero – Arvind Mills Ltd. in Gujarat, India
