    August 11, 2008 Bacolod City High School/Bacolod CityNational High School General Alumni

    Association, Inc. (BCHS/BCNHS GAAI) has

    been registered with the Securities &

    Exchange Commission (SEC)

    Purpose:

    To make the general alumni association relevant and effective in

    the exercise of its MORALASCENDANCY to hermembers, a set

    ofLAWS and RULESto follow hasbeen prepared for reference

    and guidance of all itsmembers.

    Eachmembershould be made aware ofthe ROLES,SITUATIONSANDEXPECTATIONS within the framework &

    domain of our GeneralAlumniAssociation.

    POLICY STATEMENT

    All BONAFIDE GRADUATES of BCHS/BCNHS from

    1949 to yearsthereafter are members ofthe GeneralAlumni

    Association, Inc.

    The GENERAL MEMBERSHIP is classified into two (2)namely:

    1. REGULAR MEMBERS entitled to all the RIGHTS&

    BENEFITSthatthe association may provide

    2. ASSOCIATE MEMBERS entitled onlyto some

    and/or limited privilegesthat the association may convey. To

    exercise the rights of a Regular Member, theymust apply for

    Regular Membership

    STANDING POLICY:

    ART. V (MEMBERS) of the BY-Laws provide: TheGAAI BOARD shall determine the qualifications of an

    APPLICANT (Associate) formembership.

    Sec 2 of the same states:

    The members (regular) shall have the following rights:

    a) To exercise the right to vote on all matters relating

    to the affairs oftheAssociation;b) To be eligible to any elective or appointive office of

    theAssociation;

    A. MEMBERSHIP ENROLMENT POLICY:

    1. An applicant for regularmembership mustbe a bonafide graduate

    of BCHS/BCNHS from 1949-yearsthereafter provided he/she is

    not disqualified by law;

    2. He/She must willfully apply formembership and shall pay an

    ANNUAL MEMBERSHIPDUES of 120.00PHPupon submission

    ofhis/her Membership application form.

    3. Thathe/she must attend the PRE-MEMBERSHIPEDUCATION

    SEMINAR (PMES) before the consideration and approval of

    his/her application;

    4. An ABSENTEE APPLICANT is allowed provided he/sheexpressly designate his/herPROXY by all forms ofNOTICEto

    the Membership Committee now underthe advent ofthe present

    technology provided thathis/her proxymustbe of legal age and

    possesses no disqualification underthe law;

    A. MEMBERSHIP ENROLMENT POLICY:

    5. That all those who failed to comply and/orto qualifybased on the

    requirements are automatically considered asASSOCIATE

    MEMBERS who maybe allowed bythe BOARDto avail some

    privilegesbut notthe rightto vote, hold elected/appointed

    positions and examine the records and books oftheASSN. It isunderstood howeverthatsuchPRIVILEGES can be REVOKED

    at anytime bythe Board with or without cause and notice

    6. An applicant whose application wasDISAPPROVED may

    APPEALthe same to the GAA Board for reconsideration.An

    appeal shall be in writing addressed to the SECRETARY whoshall include the same as part oftheAGENDA in the next regular

    orspecial meeting ofthe GAA Board.

    B. CLUSTERING OF CLASS ASSOCIATIONS POLICY:

    OBJECTIVES:

    1) To generate quorum and favorable attendance duringmeetings

    &membership activities;

    2) To pinpoint responsibilities& effectively adopt programs&

    policiesthat are relevant and inimical to the enhancement of

    CLASSASSOCIATION in particular& GAA in general;3) To easily identify alumnus who are eligible & qualified for

    Regular Membership andAwards/Commendationsthatthe

    GAAmay convey; and

    4) To minimize and control time, effort& expensesthatmaybe

    incurred relative to the aforementioned activities.

    The GAA President is vested by the BOARD with the authority to

    appoint CLUSTER COORDINATORS to each cluster with preference toone who belong to the CLASS under/within said Cluster. However, if no

    one is qualified or available from the Board, the President may designate

    someone to act as such not necessarily that he/she belongs to the CLASS

    under/within said cluster. In no case, that an Associate Member be

    appointed as such.

    The CLUSTER COORDINATORS are automatically members of

    the PROGRAM & MEMBERSHIP COMMITTEE anent to its Regular

    Membership Campaign. The President is vested with the powerto replace

    or revoke the appointment of the Cluster Coordinator if necessary &

    warranted.

    From time to time, the Board may review, modify or amend theProvisions of the Policy as warranted in orderto make it relevant to the

    changing needs and operations oftheAssociation.

    COUNCIL OF LEADERS

    COUNCIL OF LEADERS - comprising of ACTIVE

    REGULAR MEMBERS and shall be made up of

    CLASS designated representatives from ORGANIZEDCLASS ASSOCIATIONS and for those alumni class

    not yet organized or pending organization, shall be

    appointed by the GAAI President subject to the

    approval of the Board. If necessary, each Class

    Associations shall be represented in the COUNCIL.

    COUNCIL OF LEADERS

    1. To attend and participate actively in all meetings and

    deliberations of the Board if called but are NOT

    ALLOWED to raise MOTIONS/RESULOTIONSAND/OR TO CAST THEIR VOTES ON ANY MATTER

    FOR CONSIDERATION AS SUCH, BEING AN

    EXCLUSIVE DOMAIN OF THE board.

    The COUNCIL OF LEADERS who are known for their

    leadership, active involvement in the affair s of the

    association and has an expertise in their field of

    endeavor shall have the following duties,

    2. To serve for a term CO-TERMINUS with the Boardas provided in Art. III, Sec 4 of the By-Laws, the

    river cannot rise above its source northe creation

    can outlive the CREATOR;

    3. While serving as such, they shall be entitled to all

    the available benefits same as accorded to the

    Board by virtue of their special or extra-ordinary

    service rendered to theAssociation;

    4. To assist the Board in the for mulation,

    determination & implementation of policies,programs & projects that are inimical to the best

    interest oftheAssociation;

    5. To set as Chairperson or member of any

    committees, Cluster Groups orsubordinate bodies

    as may be appointed by the President subject to

    the approval ofthe board;

    6. To recommend for approval/disapproval of theBoard of any application for membership in the

    Association;

    7. To inform and advice the Board orthe President on

    urgent matters or problems affecting the affairs of

    theAssociation; and

    7. To have the PRE-EMPTIVE right to be appointed

    in the Board in case o f VACANCY and will serve for

    an unexpired term until his/her successor shall

    have been elected & qualified. However, for VALID

    REASON, he/she can be replaced or removed bythe Board at any time within the term provided in

    No. 2

    A) EXECUTIVEEXECUTIVE COMMITTEECOMMITTEE-- Shall be composed of 7members with the President as Chairman & all committee

    Chairmen as members. The GAAI Secretary shall act as the

    Recording Secretary and ex-officio member. It shall act on

    matters of GENER AL Administration at such time when the

    Board is not in session & to report their actions to the Board at

    its meeting; to decide on routine question of Administration

    which the President &/orthe Committee members may referto

    it for action and which do not involve alteration of Standing

    policies and to recommend to the Board reforms & measureswhich may change/modify the policy(s) vested in it b y t he

    Board orthe General Membership.

    B) PROGRAMPROGRAM && MEMBERSHIPMEMBERSHIP COMMITTEECOMMITTEE --Shall for mulate plans & develop programs of activities in

    pursuance of the objective of the Association. It may

    recommend to the Board such matters of General policy as

    may be called by the changing needs ofthe members and theCommittees. It shall also recommend to the Board criterion for

    membership in the Association as well as the procedures in the

    acceptance ofmembers; screen application formembership &

    make proportionate recommendation to the Board, devise ways

    of strengthening, increasing & assimilation of members & tointerpret the provisions ofthe By-Laws & the opportune rules &

    regulations on Membership

    C) FINANCEFINANCE && INVESTMENTINVESTMENT COMMITTEECOMMITTEE -- Shall devise ways& means of obtaining the necessary funds for the support and

    maintenance ofthe operation, projects & activities ofthe Association.

    It shall prepare & submit to the Board a written estimate of RECEIPTS

    & EXPENDITURES ofthe Association from the ensuing year within anitemized list of expenses of the Association, that NO OBLIGATIONS

    beyond the amount thus appropriated shall be incurred by any

    Officers, members or Committees unless authorized by the Board.

    Likewise, it shall formulate plans & programs for LIVELIHOOD &/or

    ENTREPRENEURI AL undertakings to be adopted and Funds to be

    INVEST

    ED which is most beneficial to the members in particular andthe Association in general. In NO CASE that the FUNDS of the

    Association shall be invested in any Livelihood Undertakings that are

    NOT INCOME GENERATING & SELF-SUSTAINING.

    COMMITTEECOMMITTEE -- Shall recommend to the Board plans, programs& guidelines on matters covering economic & non-economic

    assistance & grants to qualified members such as hospitalization,

    accidents, burial, calamities, group insurance, legal, medical,

    dental and others that are most beneficial forthe protection andrecovery of qualified member-beneficiaries. It shall also prepare

    and adopt MICRO-FINANCE PROGRAMS EXCLUSIVELY

    available to ACTIVE Regular Members with PRODUCT

    COVERAGE as ff:

    1. EDUCATIONAL LOAN to cover payment for enrolment,

    tuition fees, acquisition of textbooks, uniforms and relatedschool projects & activities

    2. HOUSEHOLD LOANS to cover payment for lights, water&

    telephone bills, premises rental, repairs, complements &

    improvements

    provide comfort, mobility & convenience to member-beneficiaries

    4. HEALTH CARE LOANS to cover payment ofhospitalization,

    burial, medical & dental treatment, consultations and

    medicines; and

    5. OTHER LOANS to cover payment of licenses, insurance,

    taxes, per mits, legal or assessment fees and other financialneeds that may be recommended by the CREDIT

    COMMITTEE.

    the deserving beneficiaries. It shall for mulate programs on

    leadership & skills training development, seminars & symposiums

    that can improve & enhance the socio-economic productivity of

    the members. Funds generated thereto shall be placed on a

    SPECIALACCOUNT and shall be used forthis PURPOSE ONLY.

    training lay leaders & benefactors b y giving them awards &

    appreciation formeritorious involvement & valuable services they

    rendered to the Association and due recognition to thosemembers and beneficiaries ofthe Association who by theirACTS

    & DEEDS have excelled in their field of endeavor, profession and

    community service that by reason thereto have given a favorable

    image, attracts supporters & enhances the prestige and growth of

    the Association. It shall likewise develop programs that will

    promote the physical & mental fitness of the members throughsocial, cultural & sports activities that in the end will develop

    closer camaraderie & rapport among them & t heir families,

    respect forhuman dignity and observance ofthe GOLDEN RULE.

    COMMITTEECOMMITTEE.- shall recommend to the Board a system ofAccounting & Auditing of Books of Accounts and the

    accountabilities of per sons tasked in approving, checking &

    handling of funds, financial assistance, grants & accommodationsextended to beneficiaries, were expended in good use & for

    specific purpose. It shall submit an independent periodic report to

    the general membership on the par ticipation and involvement of

    the officers, directors, council of leaders, committees, members,

    nominees, administrative staff and those assigned or designated

    with specific tasks and function on their respective performance &accomplishment for the APPRAISAL of the GENERAL

    MEMBERSHIP.
