MEMORANDUM OF UNDERSTANDING

WHEREAS:

1. It is the desire of both the American, British and Bermudian peoples to rebuild their economies using a "mastaba" perspective (i.e., trickle up) rather than a "reaganomic/thatcherite" perspective (i.e. trickle down); and

2. New rules are literally being rewritten by our respective governments, under the leadership of an African American president, based on the reality that consumer confidence will not return unless principles of fairness, transparency and accountability - aka "parity" - are at the forefront of the agenda; and

3. These new rules cannot be legitimated unless victims and perpetrators of the global credit crisis are able to atone - through truth, reconciliation and forgiveness practices - in a way that will mitigate against future misconduct; and

4. The governing authority of this project is not the "Bermuda Government" or the US Governments but the "Symmetron City" that we are building in cyberspace to function as the "Vatican City" of our faith-based investments in each other based on our collective survivorship of the Middle Passage experience of slavery, loss and redemption.

5. We will be able to validate this as a RECONCILIATION agenda in accordance with the NGO criteria specified in the Durban Declaration on racism, xenophobia and related forms of intolerance - not simply a matter of "tourism". Future participants in our network will be more accurately described as "pilgrims"...not simply tourists or business people!

6. Bermuda will serve as the host country to bring this global vision to the public domain WE PROPOSE:

• championing the Bermuda First and Africa First missions in support of the Middle Passage Arch Project 2015,

• through advocating the Kwaanza Protocols, unifying and self-empowering the global Africa Diaspora community, effective December 26, 2009, to be continued 7 days a week, in perpetuity,

• to progress the United Nations' Millennium Development Goals 2015, • throughout the Sister Cities International infrastructure, • in compliance with the U.N. Global Compact, • as a demonstration project for ABC Financial Literacy Project and ABC Survival Literacy Project, • in accordance with the protocols and procedures advocated by • the President's Advisory Council on Financial Literacy • and supporting the 2009 Economic Recovery and Revitalization Act • in accordance with the Social Innovation Fund protocols • to be celebrated by the 2010 Bermuda CultureFest, 2010 International CultureFests, as well as • celebrations of the National Holidays of each Member State of the United Nations in 2010-2020 • plus the 2010 Earth Day, 2010 FIFA World Cup, 2014 FIFA World Cup, 2010 Canada Olympics, 2016

Brazil Olympics and other global "entertainment" events • through the MUTUAL PARITY PROTECTION & INDEMNITY CLUB paradigm now known by us as

“PAR 12” under the leadership of Corin Smith (Bermuda) and Andrew Williams, Jr. (U.S.A.).
