TBI General Policies• The residency period for an incubatee up to 3 years can be
extended for another 2 years• Each regular incubatee shall pay CLSU TBI a fee for use of its
facilities

TBI General Policies
• Subleasing of any kind of the space given at CLSU TBI shall not be allowed.
• Resident incubatee shall provide the list of their full time and part time employees
• The incubatee shall not be allowed to take out any plant/seed/equipment and machinery without the approval of the TBI management
• The TBI management and advisory committee shall have an access to visit and inspect the incubatees‘ offices in the TBI building.

TBI General Policies• The incubatee shall insure all the plants &
machineries and stocks they have purchased or brought in to the CLSU compound
• All resident companies or incubatees shall observe health and safety standards.
• The CLSU TBI shall not be liable for any accident or injury to any workman or other person employed by the incubatees
• Resident incubatees shall be required to submit progress report periodically to the TBI management

TBI General Policies• It shall be obligatory for incubatee companies
to involve the pool of experts from CLSU• The resident incubatee shld vacate the TBI area
being occupied once the agreed incubation period is completed
• The resident incubatee shall follow all the rules, policies and guidelines prescribed by the TBI management, the Advisory Board and/or CLSU

TBI General Policies• The University rules, policies and guidelines shall
prevail on issues wherein no rules, polices and guidelines are clearly defined.
• Resident incubatees shall inform the TBI management about any visitor from abroad/ foreign collaboration shall abide by the rules, procedures and guidelines
promulgated by the TBI management and CLSU• Resident incubatees/companies shall inform the TBI
management in :– Change in the name of incubatee/company or any other form
of legal entity– Any major change in their incubation/business plans

EXIT CRITERIA
For Graduation:1. Business viability as
indicated in the financial reports of the business.
2. Completion of One Production Cycle and upon Submission of Technical and Financial Report.

For Dishonourable Exit1. Not following the rules set by
the AFTBI, or breach of any of the contractual obligations, terms and conditions of the lease contract.
2. Not protecting the interests of the other incubatees.
3. Change of business profile without the prior approval of the AFTBI management.

Lease Agreement
Each incubatee shall sign either a lease agreement or a memorandum of agreement with the CLSU AFTBI.

CONTRACT OF LEASE
KNOW ALL MEN BY THESE PRESENTS: This Contract of Lease made and entered into by and between:
The CENTRAL LUZON STATE UNIVERSITY, a government-owned higher educational institution, with office address at Science City of Muñoz, represented herein by its President, RUBEN C. SEVILLEJA, a Filipino citizen of legal age, married, as the Administrator of the TBI, and hereinafter referred to as “LESSOR”;
-and-
___________________________, a _________________________ duly organized and existing under and by virtue of existing laws of the Philippines, and with office address at _______________________________ herein represented by its _____________________ herein referred to as the "LESSEE".
W I T N E S S E T H: That WHEREAS, the LESSOR is mandated to manage and administer a technology
business incubator known as the CLSU TBI located at the CLSU Science City of Muñoz, Nueva Ecija to assist the growth and development of small and start-up businesses in the area;
WHEREAS, the LESSEE is cognizant of the LESSOR’s aforementioned mandate and
hereby recognizes the absolute right of the LESSOR to lease subject property; WHEREAS, the LESSEE desires to locate in the_PhilSCAT Library, as temporary
office, and the Food Processing Center as the regular office space and the LESSOR is willing to lease the same to the LESSEE under the terms and conditions hereunder set forth;
NOW, THEREFORE, for and in consideration of the foregoing premises, the parties
herein agree and bind themselves as follows:

Intellectual property agreement.CLSU-TBI and the incubatees will agree that:1. Neither party shall disclose the other parties
proprietary property or information to any third party2. Each party, through its principal investigator shall
promptly provide an enabling disclosure to the other party’s principal investigator of all proprietary information that is related to or developed through the project.
3. All rights to subject inventions or innovations made solely by employees of either party shall belong solely to that party.

Intellectual property agreement.
CLSU-TBI and the incubatees will agree that:4. Within 90 days after the disclosure by a party to
the other party of a discovery the discovering party shall notify the other party of its intent to file for protection.
5. The CLSU TBI must give prior written consent before any invention that forms part of the cooperation is submitted for protection.
6. The Parties shall hold in confidence all confidential information disclosed by one Party to the other.
