2. INTELLECTUALPROPERTY2.1 Nomember,supporterorpersonmayuseorpermittouseanyintellectual

property,patents,trademarks,logos,technicalprocesses,databasesownedandheldbythePartywithoutfirstobtainingthepriorwrittenapprovaloftheONEPartyExecutiveBoard.

3. MEMBERSHIP

GeneralMembership3.1 MembershiptoONEPartywillbeopentoanypersonwhoisanElectorand

who;3.1.1 completesandsubmitstothePartySecretarytheONEParty

Membershipform(intheformfromtimetotimeapprovedbytheONEPartyExecutiveBoard);

3.1.2 paystheONEPartyMembershipFee;3.1.3 isnotamemberofanotherpoliticalparty;and3.1.4 isapprovedformembershipbythePartySecretary.

3.2 TheONEPartyExecutiveBoardwillhavetheabsolutediscretiontograntorrefusemembershiptoanyperson,ortocancelmembershipinaccordancewiththeserules,andwillnotberequiredorobligedtogiveanyreasonfordoingso.

3.3 Onbecomingamember,thememberagreestobeboundby,andtoobservetheserules.

3.4 ONEPartyMembersagreetheirinformationshallbesuppliedtoRegionalBranchesforconnectingmembersforONEPartyactivitywithinthatRegion.

ElectorateMembership3.5 AnypersonwhobecomesamemberofONEPartyshallbeamemberonlyof

theElectorateinwhichheorsheresides,andifthatelectorateoperateswithRegionalBranches,thentheyshallonlybeamemberoftheRegionalBranchinwhichheorsheresides.

3.6 Ifamembertransferstheirplaceofresidencefromoneelectoratetoanother,he/shemustgiveduenoticetotheSecretariesofbothRegions,advisingtheRegionalBranchesoftheirtransferofresidence.ThatmembershallthenbedeemedtobeamemberoftheappropriateelectorateRegionalBranchtowhichthatpersonhastransferredresidenceto.

RegisterofMembers3.7 ThePartySecretarywillkeepandmaintainaregisterofmembers.Thiswillbe

calledthe“ONEPartyMembershipDatabase”andshallbetheofficialrecordofmembershipfortheParty.

MembershipFee3.8 ThePartyshallsetaminimummembershipfeeatfive(5)dollarspermember

perthree(3)years.3.9 MembersmustpayaMembershipFee;

3.9.1 onbecomingamember;and3.9.2 everythree(3)yearsbeginning1January2020.

RefundofMembershipFees3.10 Membershipfeesarenotrefundableinanycircumstances,includingifthe

ONEPartyExecutiveBoardresolvesnottoapplytotheElectoralCommissionforregistrationasapoliticalpartyundertheAct.

MembershipisPersonal3.11 Therightsanddutiesofamemberarepersonal.Theycannotbeassignedor

transmittedtoanyoneelse.Membershiprightsanddutiesendwhenmembershipends.

TerminationofMembership3.12 Apersonwillceasetobememberwhen;

3.12.1 amembergivesnoticeinwritingtothePartySecretaryofhisorherresignation;

3.12.2 theONEPartyExecutiveBoardbelievesatitsabsolutediscretionthatifamemberhasfailedtocomplywiththeserules,orisguiltyofconductunbecomingofamemberorprejudicialtotheinterestsoftheParty,andhasprovidednoticetothememberofitsdecisiontoexpel;

3.12.3 theONEPartyExecutiveBoardorElectorateorRegionalBranchCommitteemaycancelorsuspendthemembershipofthePartyofanypersonwhoseactions,intheiropinion,prejudicetheinterestsoftheParty.Suchcancellationorsuspension,unlessimposedbytheONEPartyExecutiveBoard,mustbeapprovedbytheONEPartyExecutiveBoardbeforeitisenforced;

3.12.4 anypersonwhoisenrolledasamemberofthePartyandwho,inoppositiontotheParty’sofficialcandidate,acceptsnominationforanyParliamentaryelection,orwhonominatesanyotherpersoninoppositiontotheofficialcandidate,shallceasetobeamemberoftheParty;

3.12.5 amemberhasnotpaidtheirmembershipfeewithinsix(6)monthsofthedateonwhichitwasdue;or

3.12.6 amemberdies.3.13 ThePartySecretarymustrecordintheregisterofmembersthedateon

whichthememberceasedtobeamember.3.14 AmemberwhohasresignedorbeenexpelledfromONEPartywillceaseto

holdthemselvesoutasamemberoftheParty,andwillreturntothePartyallmaterialproducedbytheParty(includinganymembershipcards,handbooksandmanuals).

ResignationofMember3.15 AnymembermayresignfrommembershipofONEPartybynoticeinwriting

tothePartySecretaryandtotheSecretaryoftheRegionalBranchorElectorateconcerned.

ReadmissionofFormerMembers3.16 Anyformermembermayapplyforreadmissionasamemberinthemanner

prescribedforadmissionofnewmembers.

ObligationsofMembership3.17 Membersmusttreatallinformationrelatingtocommercialarrangements

enteredintobyONEPartyasstrictlyconfidentialandmustnotdiscloseanyinformationregardingthosearrangementsoranyotherconfidentialorcommerciallysensitiveinformationrelatingtotheParty,toanythirdpartywithoutthepriorwrittenapprovaloftheONEPartyExecutiveBoard.

4. SUPPORTERS4.1 AnypersonshallbeeligibletoapplytobecomeaSupporterofONEPartyand

indoingsogenerallyexpressessupportforthephilosophyandactivitiesoftheParty.ASupportershallnothaveanyoftherightsofaMemberoftheParty.

4.2 AnypersonshallbeeligibletoapplytobecomeaFinancialSupporterofthePartyifthatpersonmakesanannualdonationtothePartyandindoingsogenerallyexpressessupportforthephilosophyandactivitiesoftheParty.AFinancialSupportershallnot,unlessotherwiseprovidedintheseRules,haveanyoftherightsofaMemberoftheParty.

5. NEXTGENERATION5.1 Anypersonovertheageof15yearsmaybecomeamemberofthePartyas

the‘NextGeneration’,subjecttotheapprovaloftheirmembershipandthepaymentoftheirmembershipfee.

6. PECUNIARYGAIN6.1 NomembershalltakeindividualactionthatpledgesthePartywithouthaving

beenauthorisedtodosobytheONEPartyExecutiveBoard,ortheRegionalBranchExecutive.

6.2 Allproperty(includingmoney)accruingasaresultofanyactivityundertakeninthenameofONEPartyorgenerallyonbehalfofthePartyorbyanymemberoftheParty,(includingaCandidateorMemberofParliament)shallbelongtoONEPartyandbesubjecttothecontroloftheONEPartyExecutiveBoardastouseanddisposal.

6.3 NomembershallderiveanypecuniarygainfromthepropertyoroperationsoftheParty(exceptasanemployee,temporaryorotherwise,)orforservicesrenderedorsuppliesmade.

6.4 IntheeventofthePartybeingwoundupnomemberofONEPartyatthedateofwindingupshallpersonallybeentitledtoparticipateorbenefitinanywayinthedistributionofanyassetsofthePartybothrealandpersonal.

6.5 NomemberoranypersonassociatedwithanymembershallparticipateinormateriallyinfluenceanydecisionmadebytheONEPartyorganisationinrespectofthepaymenttooronbehalfofthatmemberorassociatedpersonofanyincome,benefit,oradvantagewhatsoever.Anysuchincomepaidshallbereasonableandrelativetowhatwouldbepaidinanarm’slengthtransaction(beingtheopenmarketvalue).

7. MEETINGS

NoticeofMeetings7.1 Atleast10daysbeforethedatefixedforageneralmeetingoftheParty,the

SecretarymustsendeachmemberofthePartyemailnoticespecifyingtheplace,dateandtimeofthemeetingandthenatureofthebusinesstobetransactedatit.

SpecialGeneralMeetings7.2 AnygeneralmeetingofthePartyexcepttheannualgeneralmeetingisa

specialgeneralmeeting.TheONEPartyExecutiveBoardmayconveneaspecialgeneralmeetingwheneveritseesfit.Referenceintheserulestogeneralmeetingsincludesbothannualgeneralmeetingsandspecialgeneralmeetings.

AnnualGeneralMeeting7.3 ONEPartymustconveneanAnnualGeneralMeetingofitsmembersineach

calendaryear;however,noAnnualGeneralMeetingisrequiredtobeconvenedwithinthefirst18monthsfromthedateofestablishment.TheONEPartyExecutiveBoardmustsetthedateofthemeeting.Thenoticeconveningtheannualgeneralmeetingmuststatethatthemeetingistheannualgeneralmeeting.Theordinarybusinessoftheannualgeneralmeetingis,withoutlimitation:7.3.1 toconfirmtheminutesofthelastannualgeneralmeetingandany

generalmeetingheldsincethatmeeting;7.3.2 toreceivefromtheONEPartyExecutiveBoardreportsonthe

activitiesofthePartysincethelastannualgeneralmeeting;and7.3.3 toreadthenamesofthoseappointedtotheONEPartyExecutive

BoardandtheApostolicCouncil(Taumata).7.4 ThemeetingmayalsotransactanyspecialbusinessdeterminedbytheONE

PartyExecutiveBoardofwhichnoticeisgiveninaccordancewiththeserules.

LimitationonBusinesstobeTransacted7.5 NobusinessmaybetransactedatageneralmeetingofONEPartyexceptthe

businessspecifiedinthenoticeofmeeting.Amemberwhowantsanitemofbusinesstobetransactedatageneralmeetingmaygiveseven(7)daysnoticeofthebusinessinwritingtotheSecretary.TheSecretarymayincludethebusinessinthenextnoticeofageneralmeetingatthediscretionoftheONEPartyExecutiveBoard.

Quorum7.6 Anitemofbusinessmaynotbetransactedatanannualgeneralmeeting

unlessaquorumofmembersentitledtovoteispresentwhiletheitemisbeingtransacted.Thequorumis20members.

7.7 Ifaquorumisnotpresentatthetimeforcommencementofameetingandisstillnotpresenthalfanhourlater,themeetingisautomaticallyadjournedtothesametimeanddayinthenextweek.Itistobeheldinthesameplaceunlessthechairpersonspecifiesanotherplaceatthetimeoftheadjournmentorbyawrittennoticegiventomembersatleast24hoursbeforethedateoftheadjournedmeeting.Ifaquorumisnotpresentatthetimeofthecommencementofanadjournedmeeting,andisstillnotpresent

halfanhourlater,thequorumbecomes10members.Ifthatquorumisnotpresent,themeetingisautomaticallydissolved.

ChairpersonatMeetings7.8 ThePartyLeadermustpresideasChairpersonateachgeneralandspecial

meetingofONEParty.IfthePartyLeaderistobeabsent,he/shemaynominateoneoftheotherONEPartyExecutiveBoardmemberstopresideasChairpersonatthemeeting.

AdjournmentofMeetings7.9 Thechairpersonofageneralmeetingatwhichaquorumispresentmay

adjournthemeetingwiththeconsentofamajorityofthememberspresentatthemeeting.Ifameetingisadjournedfor14daysormore,noticeoftheadjournedmeetingmustbegivenasinthecaseoftheoriginalmeeting;7.9.1 nobusinessmaybetransactedatanadjournedmeetingexceptthe

businessunfinishedattheoriginalmeeting.

TheEntitlementtoVote7.10 Amemberisentitledtovoteatageneralmeetingunlessheorsheowesan

amounttothePartythatisoverdue.

OneMember,OneVote7.11 Amemberhasonevoteonanyquestionthatistobedecidedatageneralor

specialmeeting.Avotemustbegivenpersonally.Noproxyvotesarepermitted.Ifvotesonaquestionaretied,theChairpersonofthemeetingisentitledtoexerciseasecondorcastingvote.

VotingbyShowofHands7.12 AquestionthatistobedecidedatageneralorspecialmeetingofthePartyis

tobedecidedonashowofhandsandadeclarationbythechairpersonthataresolutionhasbeencarried,carriedunanimously,carriedbyaparticularmajority,orlost.ThisistoberecordedintheminutebookoftheParty,asevidenceoffactofthevotesrecordedforandagainstthatresolution.

Proxy7.13 Noproxyvotesarepermittedatameeting.

8. APOSTOLICCOUNCIL(TAUMATA)8.1 OnePartymusthaveanactiveApostolicCouncil(Taumata).Theirroleisto

provideaccountabilityfortheExecutiveleadershipofONEParty.TheCouncilwillprovidecounsel,spiritualoversight,conflictresolutionandrecommendationstothePartyLeaderandtheExecutiveBoard.

8.2 TheApostolicCouncil(Taumata)isaccountabletotheONEPartyExecutiveBoard.

8.3 TheCouncilmayreviewquestionsthatmayariseregardingthemoral,doctrine,ethics,spiritualdirectionorfinancialmanagementofONEParty.

8.4 ThemembersoftheCouncilareselectedbytheExecutiveBoard.8.5 MembersoftheCouncilaretomaintainconfidentialityofallpartybusiness

aspertheONEPartynon-disclosureagreement.

8.6 AnymemberoftheCouncilmaybereplacedorremovedifitisdeemednecessarybytheExecutiveBoardandtheothermembersoftheApostolicCouncil.

8.7 TheApostolicCouncilshallcompriseofnolessthan5andnomorethan24membersorastheExecutivedeemnecessary.

8.8 MembersoftheCouncilwillholdofficeuntilsuchtimetheyresign,vacateorareremovedfromofficeinaccordancetotheserules.

8.9 TheCouncilChairperson,DeputyChair&CouncilKaumatuawillholdanex-officiopositionsontheExecutiveBoard.

8.10 TheCouncilshallmeetasdeterminedbytheCouncil.8.11 ThePartyLeaderorLeadersshallholdex-officiopositionsontheCounciland

attendallmeetings.8.12 AllCouncilmeetingswillbeminuted.8.13 TheCouncil’sboardcompositionmustbediverseingender,ethnicityand

generation.8.14 TheCouncilmayassistinconflictresolutionasandwhendeemednecessary

bytheExecutiveBoard.8.15Intheeventofthedeath,disabilityorresignationofaPartyLeader,the

CouncilandtheExecutiveBoardwilltogetherdecidewhoshouldtaketheplaceofthatLeader.

8.16TheApostolicCouncilmusthaveanactiveCouncilKaumatuaatalltimes.ThisroleandfunctionistoensurethattheTangataWhenuavoiceisheardandthatTangataWhenuainterestsareunderstood.TheycarrytheTikangaandTangataWhenuaoversightfortheCouncilandtheExecutiveLeadership.

9. BOARDMANAGEMENT9.1 ONEPartyistobemanagedbyanExecutiveBoard.ThisBoardmayexercise

allthepowersofthePartyexceptthosethattherulesrequiretobeexercisedbyanannualgeneralmeetingorspecialgeneralmeeting.

BoardComposition9.2 TheONEPartyExecutiveBoardshallcompriseofnolessthan5andnomore

than12membersbeing:9.2.1 thePartyLeader,theCouncilChair&DeputyChair,willbeex-officio

membersoftheONEPartyExecutiveBoard;and9.2.2 upto12othermembersappointedinaccordancewiththeserules.9.2.3theBoardcompositionmustbediverseingender,ethnicityand

generation.9.3 MembersoftheONEPartyExecutiveBoardwillholdofficeuntiltheyresign

orvacateorareremovedfromofficeinaccordancewiththeserules.

VacationofOffice9.4 TheofficeofanofficerofthePartyorofanordinarymemberoftheONE

PartyExecutiveBoardbecomesvacantifthatofficerormember;9.4.1 ceasestobeamemberoftheParty;9.4.2 resignsfromofficebygivingthePartySecretarynoticeinwriting;9.4.3 becomesbankrupt;9.4.4 isassessedaslackingmentalcapacitytomanagehisorherown

affairs;ordies.

RemovalofOfficerfromOffice9.5 TheONEPartyExecutiveBoardmayremoveamemberoftheONEParty

ExecutiveBoardbyamajorityvoteatameetingoftheONEPartyExecutiveBoardheldforthatpurpose,withtheexceptionofthePartyLeaderwhoseappointmentandremovalisdealtwithundertheRulesofthisConstitution.

ProceedingsofONEPartyExecutiveBoard9.6 TheONEPartyExecutiveBoardshallmeetatsuchintervalsastheONEParty

ExecutiveBoarddetermines.ThePartyLeaderand50%oftheONEPartyExecutiveBoardmayconveneameeting.AdequatenoticeofameetingmustbegiventomembersoftheONEPartyExecutiveBoard.Thenoticemustspecifytheplace,dateandtimeofthemeetingandthenatureofbusinesstobetransactedatit.Meetingsmaybeheldindigital(skype,tele-call)formorinperson.

QuorumataONEPartyExecutiveBoardMeeting9.7 AnitemofbusinessmaynotbetransactedataONEPartyExecutiveBoard

meetingunlessaquorumofmembersentitledtovoteispresentwhiletheitemisbeingtransacted.Thequorumbeing50%ofthemembersoftheONEPartyExecutiveBoard.

9.8 Ifaquorumisnotpresentatthetimeforcommencementofameeting,andisstillnotpresenthalfanhourlater,themeetingisautomaticallyadjournedtothesametimeanddayinthenextweek.ItistobeheldinthesameplaceunlesstheChairpersonspecifiesanotherplaceatthetimeoftheadjournmentorbyawrittennoticegiventotheONEPartyExecutiveBoardmembersatleast24hoursbeforethedateoftheadjournedmeeting.

AppointmentsofCommitteesandSub-Committees9.9 TheONEPartyExecutiveBoardmayappointsubcommitteesoftheParty

consistingofsuchpersonsandforsuchpurposesastheONEPartyExecutiveBoardthinksfit.AtleastthreemembersofeverysubcommitteemustbemembersoftheParty.SubcommitteeswillonlyhavethepowersanddutiesthatareconferredonthembytheONEPartyExecutiveBoard.

CasualVacancy9.10 Apersonappointedtofillacasualvacancyshallholdofficeonlyforthe

unexpiredtermofofficeofthepersonwhoseplaceheorshefills.Theterm“office”whereusedinthisRuleshallincludemembershipoftheONEPartyExecutiveBoardorofanycommitteeconstitutedundertheseRulesorappointmentofdelegates,toanyannualorspecialmeetingheldinaccordancewiththeseRules.

ExclusionofLiability9.11 TheONEPartyExecutiveBoard,membersoftheONEPartyExecutiveBoard

andanysubcommitteeappointedundertheserulesshallnotbeliabletothemembersfor,orinrespectof,anyact,matterorthingdone,orsufferedingoodfaithinpursuanceoftheObjects,notwithstandinganyirregularity.

Indemnity9.12 ThemembersoftheONEPartyExecutiveBoardandanysubcommittee

appointedundertheseruleswillatalltimesbeheldindemnifiedbythePartyfromandagainstallclaims,acts,proceedingsanddamagesmade,sufferedor

sustainedbyaONEPartyExecutiveBoardorsubcommitteememberasaresultofhisorhercarryingoutingoodfaiththerequirementsoftheONEPartyExecutiveBoard,subcommitteeortheParty.

InitialExecutiveBoard9.13 TheinitialONEPartyExecutiveBoardwillbeappointedbytheInitialParty

Leader,anditsmembersshallholdofficeforsuchtermastheInitialPartyLeaderdetermines.

SelectionofExecutiveBoardMembers9.14 TheExecutiveBoardtogetherwiththeApostolicCouncil(Taumata)will

decideallmemberappointmentstotheExecutiveBoard.

ONEPartyExecutiveBoardandanydecisionsmadebytheBoardwillbefinal.Everypersonparticipating,includingeachnomineeshallsignanundertakingtokeeptheselectionproceedingsconfidential.

12.2 InayearwherethereisaGeneralElection,theONEPartyExecutiveBoardmayseeknominationsforElectoralandListCandidatesfromElectoratesapprovedbytheONEPartyExecutiveBoard.

13. REGIONALBRANCHES13.1 RegionalBranchesmustbesetupwithanExecutiveCommittee.13.2 EachRegionalBranchissubjecttotheapprovaloftheONEPartyExecutive

Board.13.3 TheRegionalBranchmustbeestablishedwithatleastfivemembersresiding

withintheRegion.13.4 EachRegionwillhaveaChairperson,SecretaryandTreasurer,andmustbe

registeredincompliancewiththeBranchRegistrationForm.13.5 TheRegionalBranchwillmeetasandwhenrequired,withasetagenda,a

recordofrecordedminutesandresolutionsofeachmeeting.EachRegionmustuseformsprovidedfromtimetotimebytheBoard.

13.6 RegionalBranchesmustbecompliantwiththeONEPartyConstitution.13.7 RegionalBranchesmustpromoteONEPartyinthatRegionandhelpraise

fundsfortheONEPartynationalcampaign.

14. PARTYLEADER14.1 ThePartyLeaderwillberesponsiblefordirectingtheParty’sparliamentary

affairs,shoulditberepresentedinParliament.14.2 ThePartyLeaderwillbeanex-officiomemberoftheONEPartyExecutive

BoardandtheONEPartyApostolicCouncil(Taumata)withfullvotingandspeakingrights.

14.3 ONEPartymayhaveoneormorePartyLeaders,andasmanydeputyleadersasdeterminedbytheBoard.

14.4 IfthereismorethanonePartyLeaderinplace,thena‘LeadersRankingList’willbedeterminedbytheBoard.

AppointmentandRemoval14.5 ThePartyLeadermustbeamemberoftheParty,andpriortotheir

appointmenttheymaybeamemberoftheONEPartyExecutiveBoard.14.6 ThePartyLeaderwillbeappointedandmayberemovedbya80%combined

majorityoftheExecutiveBoardandApostolicCouncil(Taumata).

CaucusMembership15.1 MembersofCaucusshallbe;

15.1.1 thePartyLeader;15.1.2 thepersonselectedtorepresentthePartyinParliament;and15.1.3 anyotherpersonsappointedbyCaucusfromtimetotime.

CaucusFormationandExistence15.2 CaucusshallbeformedontheelectionofpersonstorepresentthePartyin

ParliamentandshallexistfortheperiodthatthePartyhasmembersinParliament.

CaucusRules15.3 Caucuswillmakesuchrulesforitsconductasitseesfit,aslongastheyare

notinconsistentwiththeObjectivesoftheParty.15.4 OnlythePartyLeaderandelectedrepresentativesshallhavevotingrightson

anymatterstobedecidedbyCaucus.Ifvotesonamatteraretied,thePartyLeaderisentitledtoexerciseasecondorcastingvote.

16. POLICYDEVELOPMENT16.1 TheONEPartyExecutiveBoardshallberesponsiblefordevelopingthe

Party’spoliciesandmanifestoandmayformsuchsubcommitteesandputinplacesuchprocessesinrelationtothisastheboardthinksfit.

17. DISPUTERESOLUTION

DisputeBetweenMembers17.1 IfadisputearisesbetweentwomembersoftheParty,itshallberesolvedby

negotiationbetweenthepartieswiththeassistanceoftheONEPartyExecutiveBoard.

DisputeInvolvingaDecisionoftheONEPartyExecutiveBoard17.2 WhereamemberwishestodisputeadecisionoftheONEPartyExecutive

Board,noticeofthedisputemustbegiventothePartySecretarywithin5daysofthememberbecomingawareoftheboard’sdecision.Theboardmusthearthemember’sdisputewithin15daysifitdeterminesthatthedisputeisvalid.

17.3 Theboardwillmakeallreasonableattemptstoresolvethedisputewiththememberingoodfaithnegotiations.

17.4 TheONEPartyExecutiveBoard’sdecisionwillbefinal.17.5 Thesubjectmatterofanydisputeshallbeconfidentialtothepartiesandany

respectiveprofessionaladvisors.

18. MISCELLANEOUS

AlterationofRules18.1 Theserulesmaybealtered,addedtoorrescindedatanymeetingofthe

boardcalledforthatpurpose.Thenoticeofmeetinggiventoboardmemberswillcontaindetailsoftheproposedamendments,oracopyoftherulesmarkedupwiththeproposedamendments.Theresolutiontoalter,addtoorrescindtheseruleswillbeeffectiveifpassedbynolessthan70%oftheExecutiveBoardmemberspresentatthemeeting.

18.2 Whereanyalterationsaremadetotheserulestheboardshallprovidenoticeofthealterationstothemembers.

AnnualFinancialStatements18.3 Everyyearasetofannualfinancialstatementswillbepreparedbyoratthe

instigationoftheboardshowingallthereceiptsandexpenditureofthePartysincetheprecedingannualfinancialstatementsandwillincludeageneralstatementofthefunds,effects,liabilities,assetsandallmortgages,chargesandsecuritiesofanydescriptionaffectinganypropertyoftheParty.

Auditor18.4 PriortoregistrationofthePartyundertheAct,theBoardwillappointa

suitablyqualifiedpersonwhomeetsthecriteriaundertheAct,astheParty’sauditortoaudittheParty’saccountsandreturnstotheextentrequiredbytheAct.

FinancialYear18.5 ThefinancialyearofthePartywillbefrom1Januaryto31Decemberoras

mayotherwisebedeterminedbytheExecutiveBoard.

WindingUp18.6 ThePartymaybedissolvedanditsaffairswoundupatameetingofthe

boardcalledforthatpurpose.ThenoticeforthatmeetingmustspecifywindingupthePartyasthebusiness,orpartofthebusiness,ofthemeeting.Theresolutionwillbeeffectiveifpassedbynolessthan75%oftheExecutiveBoardmemberspresentatthemeeting.

18.7 IfthePartyiswoundup,thesurplusassetsafterpaymentofalldebts,costsandliabilitieswillbedisposedofinaccordancewiththetermsofaresolutionpassedatameetingoftheboardcalledforthatpurpose.ThesurplusassetsorfundsmustbegivenortransferredtosomeotherorganisationwithinNewZealandhavingobjectivessimilartothoseoftheParty.

18.8 NoportionoftheassetsorthefundsofthePartymaybetransferreddirectlytoanymemberormembersoftheParty.
