WHEREAS, A.R.S. 10-3302(16)oftheNonprofitCorporationAct statesthata

nonprofitcorporationmay "impose dues,assessments,admissionand transferfeeson its

members;"

WHEREAS, A.R.S. 33-1806(C) providesthattheAssociationmay chargea feeto

compensate theAssociationforthecostsincurredinpreparingtheresaledisclosurestatement;

WHEREAS, theBoard ofDirectorsfortheAssociationwishes topass a resolution

imposing a transferfeeon new owners who enterintopurchasecontractstopurchasetheirlots

withinContinentalCountry Club,Inc.afterthedateofthisresolution;

NOW, THEREFORE, theBoard ofDirectorsresolvesas follows:

1. This Resolutionsupersedesand replacestheBoard Resolutionsrecordedatrecordingnumbers 3255633, 3363415, 3400360, 3426585, and 3609249 recordsof Coconino

County, Arizona.

2. EffectivethedatethatthisResolutionisrecordedintheofficeof.CoconinoCounty,Arizona orJuly1,2017, whichever islater,("EffectiveDate"),a two-parttransferfee

totaling$1,400.00willbe imposed on allnew owners governed by theAssociation.A

$400 transferfeewillcoverthecosttotheAssociationforpreparingtheresaledisclosure

statementand preparingdocumentationfortransferringtheownership informationon the

books and recordsoftheAssociation.A $1,000.00transferfeewillbe depositedintothe

reserveaccountoftheAssociationand used atthediscretionoftheBoard ofDirectorsof

theAssociationformaintenance,repairs,replacements,and additionstothecommon

areasthataremaintainedby theAssociation.

3. This transferfeeshallbe requiredof allnew owners who have enteredintopurchasecontractsaftertheEffectiveDate.

4. The feeshallbe collectedatthecloseof escrow and shallbe paidtotheAssociation.

5. This feeshallbe inadditiontoany otherfeesand assessmentsdue and payable atthe
