RECOMMENDATIONS
That the Council, subject to the approval of the Mayor, authorize the Executive Director of the Department on Disability, or designee, to execute the proposed amendment to Contract C-130856 with Western Interpreting Network (DBA Global Works, Inc.), to increase the maximum contract amount by $18,000, from $60,000 to $78,000, with no term extension, subject to review by the City Attorney as to form.
SUMMARY
In accordance with Executive Directive No. 3, the Department on Disability (Department) requests authority to execute a proposed First Amendment (Amendment) to Contract C-130856 with Western Interpreting Network (Contractor), included with this report as Attachment 1. The purpose of the proposed Amendment is to allow payment of invoices incurred from April 1, 2018 through the year- end. The proposed Amendment does not extend the term of the existing contract, and total funding for the proposed Amendment is $18,000.
In 2011, as part of a settlement to a lawsuit filed against the City (Communities Actively Living Independently and Free, et al, v. City of Los Angeles, CV-09-0287-CBM (RZx)), the Department

sought to develop formal agreements with redundant providers to provide communication services related to people with disabilities, during times of emergency. In June 2013, the Department released four Requests for Proposals (RFP), for emergency and non-emergency CART services, emergency and non-emergency SLI services, and VRI services. Based upon the recommendations of a review panel consisting of representatives from the Los Angeles County Metropolitan Transit Authority, Los Angeles World Airports, the City of Los Angeles Library Department, and Department employees, the Department selected 10 service providers. In October 2014, the City Council authorized the Department to execute thirteen service contracts for emergency and non-emergency sign language interpreting, emergency and non-emergency captioning services, and video remote interpreting (C.F. 14-1337). Three of the thirteen service contracts, which included the Contractor’s contract, expired on June 30, 2017.
On February 16, 2018, the Department executed Contract C-130856 with the Contractor, to provide continuity of non-emergency SLI services, pending a new competitive bidding process. Due to an increase in non-emergency SLI requests, the Department expended the total contract amount of $60,000 as of April 1, 2018. The Department’s proposed Amendment will increase the total contract amount by $18,000, from $60,000 to $78,000, which will allow the Department to pay invoices incurred from April through the year-end and ensure continuity of services.
In accordance with Charter Section 1022, the Personnel Department has determined that City classifications cannot perform the work. To the best of our knowledge, the Contractor has complied with the City’s contracting requirements, policies and procedures. The proposed Amendment is subject to review by the City Attorney as to form.
FISCAL IMPACT
The Year-End Financial Status Report (FSR) instructed the Department to transfer $49,370 from its Salaries General account to its Contractual Services account to address unforeseen expenditures for the Department’s existing SLI, VRI and CART services contracts, which will fund the proposed Amendment. The Department is currently working on implementing the Year-End FSR instruction so that funding will be available. There is no additional impact on the General Fund. Approval of these agreements is in compliance with the City’s Financial Policies as one-time funding is being used for one-time expenditures.

THIS FIRST AMENDMENT to Agreement Number C-130856 of the City Contract is made and entered into by and between the City of Los Angeles, a municipal corporation, hereinafter referred to as the "CITY" and Western Interpreting Network (DBA Global Works, Inc.), a California corporation, hereinafter referred to as "CONTRACTOR" to provide sign language interpreting services; and
WITNESSETH
WHEREAS, the CITY continues to require the sign language services provided by CONTRACTOR; and
WHEREAS, the Agreement along with this amendment shall hereinafter be referred to as the Agreement; and
WHEREAS, Section 201 of the Agreement provides for amendments to the Agreement; and
WHEREAS, the CITY and the CONTRACTOR are desirous of adding an amendment to the Agreement and references the City's Budget to authorize funding for sign-language interpreting services and for ratifying the payment of Contractor's expenses retroactively to July 1, 2017; and
NOW THEREFORE, The Parties do hereby agree that effective July 1, 2017 this Agreement shall be amended as follows:
Amend Section 301, Item 1. Compensation and Method of Payment, by ratifying the City to compensate the CONTRACTOR for expenses incurred on or after the effective date of July 1, 2017 until the amendment ends, and adding $18,000 for the period April 1, 2018 through June 30, 2018, thereby increasing the total contract amount from $60,000 to $78,000, with no changes to the hourly rates or line items.
