Dear Members,
th On behalf of the Board of Directors I have great pleasure in presenting, the 64
Annual Report of the Accountant General's Office Employees' Co-operative Bank Limited
together with audited accounts by the statutory auditors for the year ended 31 March 2018
before the Honourable members of the General Body of the Bank.
It is a matter of pride that our Bank, which was established in 1954, has successfully
completed its 64 years of valuable service to the members. At this juncture, on behalf of the
Board of Directors, I sincerely thank the efforts of all those past and present members who
are responsible in making our Bank as one of the best managed Co-operative Banks in the
State. During these years of operation, the bank displayed its proficiency in all its areas of
operation and improve upon in the quality of services rendered. But for the help and
support of the members and staff, this kind of operational excellence could not have been
achieved.
Our bank's sustained performance reflected in continuous asset creation in the form
of providing higher loan to the members, higher dividend and value to the customers which
provided a base for the members to create assets.
PERFORMANCE HIGHLIGHTS-FINANCIAL PARAMETERS
Here is a bird's eye-view of the performance of our Bank for the financial year
2017-18:
Net profit increased from 127 lakh to 183 Lakhs. An increase of 45.23 percent.
Total deposits increased from ` 149.13 crore to ` 153.69 crore from the previous year
indicating continuous patronage and confidence of members and general public.
Total advances increased from 105.53 crore to 112.52 crore.
Share capital increased from ` 6.96 crore to ` 7.57 crore with net increase of 8.76
percent. 41 Regular Members, 6 Associate Members and 85 Nominal Members were
enrolled during the year.
Investments stood at 51.86 crore.
Credit-Deposit ratio stood at 73.21 percent.
Net Non-performing assets is Nil.
CRAR has increased by 1% from 10.30 to 11.30% due to better investments & creation
of other reserves.

WELFARE INITIATIVES
The Bank has been undertaking various welfare measures for the benefit of the
members. Some of the facilities extended to the members in the recent past are indicated
below:
Two Insurance schemes viz Prime Minister's Suraksha Bima Yojana and Prime
Minister's Jeevan Jyoti Bima Yojana launched by the Honorable Prime Minister of India
were continued during the current year. As of July 2018, 496 number of customers and
248 number of members respectively continued to contribute to the scheme.
Medical reimbursement of 4,25,645 lakh was sanctioned to 15 members.
An amount of 12,50,000 lakh was paid out of Death relief fund to 7 bereaved families.
As a token of encouragement and recognition and also to commemorate the
achievement of the meritorious children of our members, the Bank felicitated 38
students with a plaque and a cash award.
During the year, 96 of our members, who retired from service were also felicitated by
our Bank.
Free health check-up facility to our retired staff also continued.
Subject to approval by this august body, it is proposed to establish a Staff Retirement
Relief Fund out of the profit available for distribution as indicated in page no.49
STATUTORY & INTERNAL AUDIT ARRANGEMENT
The accounts of the Bank are subject to biennial audit by the Reserve Bank of India.
The Registrar of Co-operative Societies and the Statutory Auditors carry out Annual Audit
of the Accounts of the Bank. The audit by RBI and Statutory Auditors have since been
completed. Besides these, the accounts are also concurrently audited (Internal Audit) by
Chartered Accountants.
Apart from Internal auditors, the internal auditors consisting of Two Directors of the
Board reviews working of the Bank. They have been assigned the responsibility of
examining and ensuring adherence to systems and procedures, policies, directives and
guidelines of the Reserve Bank and to report the deficiencies, if any, to the Board.
CAPACITY BUILDING
Special services such as SMS alerts, filing of Income tax returns of the serving staff
members, ECS facility, Core-banking solutions. RTGS and NEFT where members can
transfer funds from their respective savings bank account to other bank accounts were
further streamlined during the year. After the approval for mobile banking we had
developed the software and provided to the members. This is being further modified,

shortly to provide better services to the customers. Further the NEFT/RTGS facilities have
been made free for those customers who initiate it through our bank App.

1. INVOCATION
The Annual General Body meeting commenced at 11.25AM with the invocation of
Mr. H.K. Girisha. President, Internal Auditors Sri S. Raghavendra and Smt B. S. Suma
were on the dias. Secretary requested the members to observe two minutes silence in
token of respect of Departed souls of eminent personalities who had served the
country, many innocent lives lost for various reasons and members of the Bank who
passed away during the year.
2. WELCOME SPEECHrd Shri Unnikrishnan A., President welcomed the general body to the 63 Annual
General Body meeting of the year 2016-17. He sincerely thanked all the past and
present members, past and present Directors for the progress of the Bank. He
expressed that the Bank has completed 63 years. He highlighted some of the
achievements of the Bank. Net profit increased from ` 90 lakhs to ` 126 lakhs. Total
deposits increased from ` 138 lakhs to ` 153 lakhs. Advances increased from ` 97
crores to 107 crores. He expressed that during the demonetization period the bank
faced lot of difficulties, in spite of this, they have almost paid 9 crores to the members
during the demonetarization period, i.e. 08.11.2016 to 30.12.2016. The Board of
Directors and staff raised to their level best to get the monies from Kotak Mahindra,
Apex Bank, RBI etc. He was happy to say that they have distributed maximum cash
disbursements. He thanked all the members for having extended their co-operation.
All the welfare schemes including medicalreimbursement, felicitation to retired
members have been continued. Pradhana Manthri Jeevana Jyothi Bhima Yojana and
Pradhana Manthri Surakaha Yojana Insurance scheme, introduced by the
Government of India is cheapest and he has requested those members who have not
enrolled to get enrolled the insurance scheme, RBI has completed their audit. 400 to
500 members had taken the debit card, On behalf of the Board of Directors he
acknowledged the valuable suggestions of the Officers of IA&AD, Co-operative
Societies department, Apex Bank, HDFC Bank and all other people who have
supported the Bank. It is because of the support of the members in particular that the
bank could excel in all its activities and achieved the progress and he also
appreciated the efforts of the staff of the Bank also and he thanked one and all.

3. READING AND RECORDING OF MEETING NOTICE FOR 2016-17
The Secretary commenced reading of the notice of the Meeting requested that
the meeting notice be approved. Shri Rajiv proposed and Shri Vinod seconded,
theGeneral Body approved the same.
4. ADOPTION OF MINUTES OF THE PREVIOUS GENERAL BODY MEETING
HELD ON 24.09.2016.
The Secretary stated that Minutes of the Previous General Body Meeting in page
no 13 and Action taken report was given in page No.10. Shri Ravishankar proposed
and Shri Ramesh seconded, the General Body approved the same.
5. ADOPTION OF THE DIRECTORS REPORT FOR THE YEAR 2016-17.
Secretary requested that the August body to approve the Directors report, Shri
Shivakumar proposed that the same may be taken as read, seconded by Sri Surendra
and the General Body approved the same.
6. ADOPTION OFAUDITED STATEMENT OF ACCOUNTS FOR THE YEAR
2016-17.
Secretary kept open the subject for discussion, Mr.Ramesh Itagi pointed out that
no details were furnished regarding deduction of income tax, tax payment made on
income and he wanted to know whether it is on F.D. or something else. The Secretary
explained that total income of the bank comprises of interest on investments, interest
on loans, mutual funds minus allowable administrative expenses and that Income tax
had been paid according to the Income Tax rules. Mr.Ramesh Itagi expressed that on
the MBS amount of the members, 1.6% will go as tax while the members are paying
9.5% interest on personal loan. He therefore opined that by keeping the amount in the
bank, neither the bank nor the members were being benefitted. He wanted to know
whether it is necessary and fairto pay tax for our own money. The President explained
that MBS was introduced in 1984 when there was some problem and formed a
definite source of the income to the Bank, and MBS was also the basis to extend loan
to the members and that the balance at the credit of the members was being refunded
at the time of retirement. Mr.Ramesh Itagi reiterated that as to why the members
should pay income tax on their own money and stated that MBS is a scheme and not a
fund and said it can be collected only if the bank is benefited. He requested to
mobilize funds through S.B.Accounts.

The President explained that up to 31. 05.2015 there was no tax on MBS.
President also stated that after demonetization, deposits has increased only by 2.5
crores. Mr.T.S.Jayadevaasked to drop this proposal stating that funds are available,
bank will give loan. The President said he will place the matter before the Board and
that efforts would be made to increase the cash disbursements out of the interest paid
on MBS.
Sri T S Jayadeva said the bank has to transfer profit to the extent of 25% to reserve
fund as per the rules of the RBI and said main source of income is profit and interest on
investments. President explained the position. Mr. T S Jayadeva said bank should try
to protect the interest of the members and requested to run the bank on social lines
and requested to reduce the interest on loans and suggested that the bank should not
resort to making profit at the cost of the members. President said they need to
constantly put efforts to make the bank sufficiently strong and that the bank had to
function on commercial lines.
Mr. Ramesh Itagi enquired how much amount was required to run the Institution
and what the establishment charges were and whether it was fair to transfer the
members' money to the reserve fund. Nevertheless, he appreciated the functioning of
the present Committee. President replied that the quantum of money required to
maintain the institution depends on the net income. He also said that in fact, RBI,
during the audit of the accounts of the bank had suggested that bank should increase
the rate of interest. Mr. Ramesh Itagi said that bank has made huge profit and
requested not to take shelter under RBI audit for not reducing the interest rate.
Mr. T S Jayadeva added Bank making undue profit at the cost of the members and
requested to have an open view on this issue. President assured that he would place
this issue before the Board for appropriate decision. Mrs. Ramalakshmi also
requested to take the suggestions of one or two members.
Mr. T S Jayadeva also questioned as to why the bank should transfer amounts to
reserve fund at the cost of the members. Mr.Ramesh Itagiadded that since the earlier
situation is no more prevailing, interest should be reduced with a view to extend the
benefit to employees. The President confirmed that the Board had already reduced
0.25% in the interest rates and that if possible, further reduction would certainly be
considered.

Mr. Ramesh Itagi said as compared to previous year's profit, this year's profit had
increased by almost 50% and requested not to increase reserve fund balances.
He said employees are working really hard and requested to pass on the incentives to
them. Sri T S Jayadeva pointed out that Bank should function sonly on co-operative
line. The President again assured that he would place the same before the Board and
ensure maximum benefit to the members.
Mr. Srikanth pleaded not to wait till next General Body in this matter and to take a
decision early. Shri Rajiv proposed and Srikanth seconded and the general body
approved the same.
7. APPROPRIATION OF NET PROFIT FOR THE YEAR 2016-17.
Secretary kept open the Net profit appropriation agenda, Shri Srikanth proposed
and seconded by Shri Rajiv and approved by the General Body.
8. APPROVAL OF BUDGET FOR THE YEAR 2017-18 AND EXCESS OF
EXPENDITURE OVER THE BUDGET GRANT FOR THE YEAR 2016-17
Secretary requested the members to ratify the excess expenditure over and
above the budget allocated for the year 2016-17, Shri G.Shankar proposed and
seconded by Shri Surendra and approved by the General Body.
9. TO CONSIDER APPOINTMENT OF AUDITOR FOR THE YEAR 2017-18.
Secretary said that there were only two applicants and Board had recommend the
appointment of M/s M.C. Shekar andCompany and the charges would be 2.25 lakhs
per annum, which was not negotiable. Shri G.Shankar proposed and seconded by
Sri Kumaraswamy and approved by the general body.
10. APPROVAL OF PROPOSED AMENDMENT TO BYE-LAWS
The Secretary opened next item on the agenda “Amendment to Bye-law”, and
explained that Bye-Law Nos 4, 31,45,53,65 are mandatory as per the provisions of the
Karnataka Co-operative Societies' Act, while the Board had proposed to amend Bye
law no 113 to increase DRF contribution from the existing ` 300.00 to `.450.00.
He also said that upon the death of a member, the legal heir of the deceased would be

entitled to 9 lakhs in contrast to the existing compensation of 4 lakhs, considering
that on an average, there were 6 deaths per annum during the past five-year period.
He kept open the subject for discussion.
Mr.Ramesh Itagi while stating that for increasing DRF amount, many factors have
to be considered and that there is already an accumulated amount of Rs.1 crore and
said it works out to 12 lakhs. He has bifurcated that 1 crore to 3 years and worked
out to ` 12 lakhs. And said this should be operated from this account only on
accumulated amount for any 3 years and he has suggested to increase the DRF
amount as 12 lakhs.
The President said that they have received a representation signed by 150
members and requested any member of the signed list to come up and speak. Mr.
Lingaraju said if ` 150.00 is increased in DRF contribution the amount would be
` 1 crore 25 lakhs and the bank can invest the same funds and earn interest. Shri
Ramesh Itige said that this was not correct and opined that the amount should be
worked out based on whatever the amount bank is recovering and that the same
cannot be diverted for any other purpose. Mr.Srikanth added that DRF is not a
savings.
The President said he will once again discuss the same with the Board.
Sri Ramesh Itagi stated that when Committee has discussed, there was no need to
discuss again and again and asserted that whatever, the general body approvesis
final.
Mr. Nagaraj said the amount of contribution should be ` 300.00 and the amount
should be 9 lakhs. Shri Srikanth explained that the bank should come to the rescue
of the aggrieved family and therefore bank should consider increasing the
compensation to 15 lakh, if possible, as the officials' savings would be less.
Mr. Ramadas S. explaining 2 cases said ` 12 lakhs is reasonable and said
deceased family members are facing difficulties, not being able to pay the Bank
dues. Mr. Anil Kumar also requested to enhance the same to 12 lakhs.

The President reiterated that they had discussed this issue for more than a year
and they have taken proposal from LIC also and considering the average age of death
and number of deaths, the Board had considered 9 lakhs and said the main concern
was to protect the interest of the bank and also the members and finally agreed to
increase to 10 lakhs.
Mr. Ramesh Itagi, while explaining with statistics said that considering average of
3 years accumulated amount it works out to ` 15.5 lakhs, but he was proposing only
` 12 lakhs. The President said after 2-3 years they would consider further increase.
Shri Anil Kumar requested to consider as ` 12 lakhs. The President said he has
discussed with CEO also and said that this year the compensation would be ` 10
lakhs and would be increased in the next year to 12 lakhs. When the members were
not agreeable to any of these decisions, the President finally replied that the decision
was left to the wisdom of the General Body. Shri Ramesh Itigi proposed for
enhancement of DRF amount to ` 12 lakhs and it is seconded by Mr. Ravindranath
and approved by the general body unanimously. Mr. Ramesh Itigi requested not to
discriminate members and associate members and DRF amount applies to all the
members equally.
11. OTHER SUBJECTS (OTHER THAN AMENDMENT TO BYE-LAWS) IF ANY,
WITH THE PERMISSION OF THE CHAIR.
The President said that he has not received any letters and kept open the subject
for discussion.
Mr. Ramesh Itige pointed out in one of the medical reimbursement case, in the last
general body there was lot of discussions and the case was finally rejected and he
abides by the decision of the General Body. Ramesh Itagi also made an allegation that
the CEO of the Bank was discussing this matter in the canteen and objected to the
same. The C.E.O. quoted 39.2 of the bye-law, which states that “the chief executive
shall record the minutes of the proceedings of the meeting truly and accurately as per
the deliberations in the book kept for the purpose et., Secretary also told that she had
discharged her duties correctly, but unnecessarily she was being targeted in this case
for no fault of hers. At this juncture, Smt Ramalakshmi said these are not the issues to
be discussed in the general body and requested to maintain decorum and to close
the matter.

Mr. Anil Kumar pointed out that members of the Bank who are covered under New
Pension Scheme (NPS) are also extended loan facilities by the Bank. However under
NPS, the officials are not eligible for DCRG before the completion of prescribed
period. In case of such officials who avail loan and leave the office before the
completion of prescribedperiod, there are no means to recover the outstanding dues
from them, which results in huge loss to the Bank. Sri Ramesh Itagi and Srikanth also
endorsed this view and suggested to take legal opinion in the matter to safeguard the
interest of the Bank. Ramesh Itagi also stated that the matter should be brought to the
notice of the Administration.
The President said the present Secretary should be redesignated as C.E.O. and
he has proposed the same and Mr. Rajiv seconded and the same has been approved
unanimously.
Shri Ramamurthy M, Director proposed the vote of thanks. He thanked the
Accountants General and the Sr.DAG(Admn) of all the offices, and the members for
direct or indirect co-operation and support in making the meeting successful and for
valuable suggestions and guidance. He also thanked the Sr.AO(OM) and staff for
making arrangements and also the Board of Directors.
The President informed that Mr.Srinivasan.B., Vice President was unable to the
General Body meeting, due to his ill-health.
Mr.Ramesh Itagi appreciated the Committee of Management stating that they had
been working tremendously well and requested to continue the good work in the
coming yearsalso.
The general body meeting concluded at 2.00 PM.
