klein NXP team met uitstekend – en bekend – De Brauwteam en nieuw Skadden team

Korte lijntjes en uitstekende communicatie met management en Board

Veel hick-ups tussendoor met opstandige aandeelhouders, een vijandige overnamepoging, veel media-aandacht, bezorgd personeel, moeilijke afwegingen, korte reactietijd en enorme financiële belangen

Wat zijn de voornaamste struikelblokken bij overnames van dergelijke omvang?

Twee heel grote bedrijven, waarbij samen meer dan 75.000 werknemers werken in meer dan 30 landen

Heel veel belangen, en naast werknemers veel aandeelhouders, klanten, leveranciers en financiers betrokken

Veel aandacht op politiek (wereld) toneel Bij afweging of je zo’n transactie wilt doen, zal dat allemaal

meegewogen moeten worden Omdat beide bedrijven beursgenoteerd zijn, is ook snelheid

van groot belang. Niet te lang in onzekerheid verkeren of er wel of geen transactie tot stand komt

deal certainty is cruciaal: als je transactie eenmaal hebt aangekondigd, wil je ook de eindstreep bereiken

Snelheid van handelen is noodzakelijk: lange duur van overname-proces zorgt voor onzekerheid bij tal van partijen en verloop medewerkers

Blijven alle partijen achter de transactie staan? Wantrouwen tussen contractspartijen neemt toe naarmate de

tijd verloopt

Impact van anonieme commentaar richting Dow Jones en Wall Street Journal een paar weken terug, op het overnameproces?

Niet zo groot: wij waren al in volle vaart bezig en haalden alles uit kast om eind oktober een transactie aan te kunnen kondigen

Impact binnen NXP, en vooral binnen Eindhovense hoofdkantoor, was wel groot

Middenin integratie met Freescale, en sommige medewerkers werden erg onrustig van berichten in pers

Wat was voor jullie het meest bijzondere moment in deze deal?

Vele bijzondere momenten: eerste bericht dat Qualcomm serieuze interesse had om NXP over te

nemen beraadslagingen door de board het lek verschillende onderhandelingsrondes moment waarop de handtekening onder het contract wordt gezet email aan management en board dat deal definitief is Op de hoogte brengen van medewerkers en reacties van eigen legal

team eerste berichten in de media Onwerkelijke droom: 10 jaar geleden begonnen als verzelfstandigde

chipdivisie van Philips. Langs financiële afgrond, in 2010 Nasdaq-genoteerd. Dan, 6 jaar later: historie door onderdeel te zijn van de op 1 na grootste technologiefusie allertijden en de grootste semiconductor transactie ooit!

Het moment waarop Elliott zich begon te verzetten tegen de overnameprijs

De belangstelling van Broadcom voor Qualcomm Trump’s verbod van de overname door Broadcom, en zijn vele tweets
