ARTICULO 1: Proptisito

El propOsito de este Convenio de Asistencia alPais (-Convenio") es establecer el acuerdo entrelas partes arriba mencionadas ("Partes - ) conrespecto a los Objetivos que se describen ahajo.Este Convenio sirve como mccanismo definanciaciOn para asegurar Ia continua ejecuciOnde los Objetivos de Asistencia de USAID en IaRepOblica de Colombia. Este Convenio sesuscribe, en dcsarrollo y conformidad con losterminos y condiciones del Convenio Generalpara Asistencia EconOmica, Tecnica y Alinesentre los Estados Unidos de America yColombia. de fecha 23 de Julio de 1962

ARTICULO 2: Objetivos de Asistencia,Objetivos Funcionales y Areas de Programa

Secciem 2.1 Objetivos de Asistencia

La asistencia de USAID a Colombia apoyaactualmente (4) Objetivos de Asistencia:

(a) Gobernabilidad Democratica Fortalecida(b) Promover Altemativas EconOmicas ySociales a la ProducciOn de Cultivos !Hellos(c) EstabilizaciOn Socio-EconOmica Ex itosa delas Personas lnternamente y Apoyo a OtrosGrupos Vuincrables; y(d) Entomo Social y EconOmico Mejorado paralos Procesos de DesmovilizaciOn y ReintegraciOn

ARTICLE 1: Purpose

The purpose of this Country AssistanceAgreement (the "Agreement') is to set outthe understanding of the parties named above(the "Parties-) in connection with theObjectives described below. This Agreementserves as a funding mechanism to ensurecontinued implementation of the AssistanceObjectives of USAID in the Republic ofColombia. This Agreement is signed. inobservance of and in compliance with theterms and conditions of the GeneralAgreement for Economic, Technical andRelated Assistance between the United Statesof America and Colombia. dated July 23.1962.

ARTICLE 2: Assistance Objectives,Functional Objectives and Program Areas

Section 2.1 Assistance Objectives

USAID assistance to Colombia currentlysupports four (4) Assistance Objectives:

(a) Strengthened Democratic Governance;(J) Expanded Economic and SocialAlternatives to Illicit Crop Production:(c) Successful Socio-Economic Stabilizationof Internally Displaced Persons and Supportto Other Vulnerable Groups: and(d) Improved Environment forDemobilization and Reintegration

Para efectos de manejo y control presupuestal, elGobierno de los EEUU ha desarrollado el Marcode la Asistencia Extranjera que clasifica dichaAsistencia Extranjera de los ERA) en cinco (5)Objetivos Funcionales, que son divididosadicionalmente en Areas de Programa comosigue:

Se espera que la mayor parte de la asistencia deUSAID a Ia Republica de Colombia sea obligadabajo este Convenio, y ejecutada en apoyo de losprincipios de efcctividad de la ayuda.

Por ahora, las Panes acuerdan aqui trahajarjuntas para concentrarse inicialmente en dos (2)de los cuatro (4) Objetivos de Asistencia, que sevinculan a los siguientes Objetivos Funcionales yAreas de Programa:

It is expected that most USAID assistanceprovided to the Republic of Colombia will heobligated under this Agreement, andimplemented in furtherance of aideffectiveness principles.

At this time, the Parties hereto agree to worktogether by focusing initially on two (2) ofthe four (4) Assistance Objectives, linked tothe following Functional Objectives andProgram Areas:

Functional Objective I: Peace andSecurity: Program Area:Countemarcotics; andFunctional Objective 4: EconomicGrowth: Program Area: Trade andInvestment.

Functional Objective 3: Investing inPeople: Program Area: Social Servicesand Protection for VulnerablePopulations; and

Functional Objective 2: GoverningJustly and Democratically: ProgramArea: Good Governance.

Section 2.4 Annex I, Amplified Description

El Anexo 1, adjunto, amplitica los Objetivos deAsistencia antes mencionados y describe las Annex I, attached, provides greater detail

Areas de Programa en mayor &Wile. Dentrolos limites de la definiciOn de los Objetivos en laSecciOn 2.1, el Anexo 1 podra modificarsemediante acuerdo escrito de los representantesautorizados de las Partes a traves de una Carta deImplementaciOn firmada.

SecciOn 2.5. Continuidad de los Convcniosde Asistencia Actuales

Sin perjuicio de lo establecido en este Convenio.los Convenios de DonaciOn del ObjetivoEstrategico ("CDOE") entre las Partes.incluyendo CDOE No. 514-008, "AlternativasEconOmicas y Sociales a la Producción deCultivos Ilicitos Expandidas- ; CDOE No 514-009. "La EstabilizaciOn Socio-econOmica Exitosade Personas Internamente Desplazadas y Apoyoa Otros Grupos Vulnerables CDOE N° 514-007, "Gobcrnabilidad Democratica Fortalecida":y el CDOE N° 514-010, "Entorno Social yEconeimico Mejorado para los Procesos deDesmovilizaciOn y ReintegraciOn", y susenmiendas, permanecen vigentes hasta cl dia desu terminaciOn, y sus actividades y recursosseguirdn siendo ejccutadas hasta la fecha determinaciOn, a menos que se dccida de otramanera.

ARTICULO 3: Contribuciones de lasPartes

Secciim 3.1. ContribuciOn de USAID

(a) La DonaciOn. Para ayudar a laconsecuciOn de los Objetivos establecidos en esteConvenio, USAID, de conformidad con el Actadc Asistencia Extranjera de 1961 • segim comoeste enmendada, por este medio otorga alBencliciario bajo los terminos de este Convenio,una suma no mayor a Cuarenta y Dos MillonesQuinientos Mil DOlares de los Estados Unidos("EEUU") (US$42,500,000) (la DonaciOn), quese divide en los Cinco Objetivos Funcionales asi:

regarding the aforementioned AssistanceObjectives and describes the Program Areasin greater detail. Within the limits of thedefinition of the Objectives set forth inSection 2.1, Annex I may he changed bywritten agreement of the authorizedrepresentatives of the Parties through acountersigned Implementation Letter.

Section 2.5 Continuation of CurrentAssistance Agreements

Without prejudice to the terms of thisAgreement, the existing Strategic ObjectiveGrant Agreements ("SOAGs") between theParties, includingSOAG No. 514-008, "Expanded Economicand Social Alternatives to Illicit CropProduction":SOAG No. 514-009, "Successful Socio-Economic Stabilization of InternallyDisplaced Persons and Support to OtherVulnerable Groups: SOAG No. 514-007."Strengthened Democratic Governance: andSOAG No. 514-010, "Improved Environmentfor Demobilization and Reintegration," andtheir amendments, remain in force until theirdates of expiration, and their activities andresources will continue being implementeduntil their termination dates, unless otherwiseterminated.

ARTICLE 3. Contributions of the Parties

Section 3.1 USAID Contribution

(a) The Grant. To help achieve theObjectives set forth in this Agreement,USAID, pursuant to the Foreign AssistanceAct of 1961, as amended, hereby grants tothe Grantee under the terms of theAgreement an amount not to exceed a totalof Forty-Two Million Five f IundredThousand United States ("U.S. - ) Dollars(US$42,500,000) (the "Grant -), which isbroken down by the Five FunctionalObjectives as follows:

PEACE AND SECURITY: Twenty-NineMillion Five Hundred Thousand 11.S. Dollars(US$29,500,000):

GOVERNING JUSTLY ANDDEMOCRATICALLY: Three Million Fivehundred Thousand U.S. Dollars

(US$3,500,000);

IN VIRTIENDO EN LA GENIE: CincoMillones Quinientos Mil Dolares de los EEUU(US$5,500,000);

CRECIMIENTO ECONOMICO: CuatroMillones de Wares (US$4,000,000); y

ASISTENCIA HUMANITAR1A: Cero Dô'arcs(US$0).

Estas cantidades se dividen adicionalmente enObjetivos de Asistencia y Areas de Programa enel Plan Financiero Ilustrativo adjunto al Anexo 1como labia 1.

(b) EstimaciOn Total de la ContribuciOn deUSAID bajo este Convenio. La contribucik totalestimada para el logro de los Objetivos deAsistencia sera suministrada en incremcntos porvarios arms fiscales. Los incrementossubsiguientes estaran sujetos a Ia disponibilidadde recursos a USAID para este propOsito. LasPanes acuerdan que tal contribuciOn enincrementos, si se da, ira aumentandoacumuladamente la cantidad total de Ia DonaciOnestablecida en la SecciOn 3.1 y en consecuenciaincrementard Ia contribuciOn del Beneliciarioestablecida en la SecciOn 3.2.

(c) Si en cualquier momento USAIDdetermina que su contribuciOn bajo la SecciOn3.1 (a) excede la cantidad que razonablementepuedc ser comprometida para alcanzar losObjetivos de Asistencia y los ResultadosEsperados durante el ano fiscal de los EstadosUnidos actual o prOximo, USAID podra,mediante noticia escrita al Beneliciario, retiraresa cantidad en exceso, reduciendo asi lacantidad de la DonaciOn que se determina en laSecciOn 3.1 (a) y consecuentemente podriadisminuir la contribuciOn del beneficial -4) bajo laSecciOn 3.2.

Seccion 3.2 Contribuciiin del Beneficiario.

(a) El Beneficiario esta de acuerdo conproporcionar o causar la provision de todos lostondos. ademas de lo proporcionado por USAID,para completar, en o antes de la Fecha deTerminaciOn, todas las actividades necesariaspara lograr los Objetivos de Asistencia.

(h) l.a contribuciOn del Beneliciario no seramenor al equivalente de Ocho Millones

(US$3,500,000);

INVESTING IN PEOPLE: Five Million FiveI lundred Thousand U.S. Dollars(US$5.500,000);

ECONOMIC GROWTH: Four MillionU.S. Dollars (US$4,000,000); and

I IUMANITARIAN ASSISTANCE: ZeroU.S. Dollars (US$0).

These amounts are broken down further intoAssistance Objectives and Program Areas inthe Illustrative Financial Plan attached toAnnex 1 as Table 1.

(b) Total Estimated USAID Contributionunder this Agreement. USAID's totalestimated contribution for the achievement ofthe Assistance Objectives will he provided inincrements over several U.S. fiscal years.Subsequent increments will be subject to theavailability of funds to USAID for thispurpose. The Parties agree that each suchincremental contribution provided. if any,shall cumulatively increase the total amountof the Grant set forth in Section 3.1 andconsequently may increase the Grantee'scontribution under Section 3.2.

•(e) If at any time USAID determines that acontribution under Section 3.1(a) exceeds theamount which reasonably can be committedfor achieving the Assistance Objectives andexpected Results during the current or nextU.S. fiscal year, USAID may. upon writtennotice to the Grantee, withdraw the excessamount, thereby reducing the amount of theGrant as set forth in Section 3.1(a) andconsequently may decrease the Grantee'scontribution under Section 3.2.

Section 3.2 Grantee Contribution

(a) The Grantee agrees to provide or causeto he provided all funds. in addition to thoseprovided by USAID, to complete, on orbefore the Completion Date. all activitiesnecessary to achieve the AssistanceObjectives.

(b) The Grantee's contribution will not heTess than the equivalent of Eight Million Five

Quinicntos Mil 'Mares de los Estados Unidos deAmerica (US$8,500,000), incluycndocontribuciones en cspecie. La cantidad exacta dela contribuciOn del Beneficiario dcbe ser indicadaen Ia nota escrita de USAID para cadacontribuciOn adicional. La contribuciOn totalestimada del Beneficiario a los Objetivos deAsistencia estard sujeta a la disponibilidad derondos del Beneficiario para este propOsito y deUSAID, teniendo en cuenta la cantidad totalestimada en la SecciOn 3.1 (b). El Beneficiarioreportard al menos anualmentc, en un formato aser acordado con USAID, sobre suscontribuciones en efectivo y "en especie".

ARTICULO 4: Fecha de TerminaciOn

(a) La Fecha de TerminaciOn, que es el 30 deSeptiembre del 2012, o cualquier otra en Ia quelas Panes convengan por escrito. es la fecha en laquc las Partes estiman que todas las actividadesnecesarias para lograr los Objetivos de Asistenciaseran completadas.

(h) A excepciOn de que USAID acucrdc locontrario por escrito, USAID no emitird oaprobara documcntaci6n que autorice eldesembolso de fondos de la DonaciOn paraservicios realizados o bienes proporcionadosdespues de la Fecha de Terminación.

(c) Las solicitudes de desembolso, acompafiadasde Ia documentaciOn de respaldo necesariadescrita en Cartas de ImplcmentaciOn, debethnser recibidas por USAID a Inas tardar a los nueve(9) mews siguientes a la Fecha de TerminaciOn,o cualquier otro periodo anterior o posterior a lafecha de terminaciOn, acordado por escrito porUSAID. Despues de dicho periodo, USAIDpodra, en cualquier moment°, non -I-tear porescrito al Beneficiario, y reducir parcialmente ototahnente Ia cantidad de la DonaciOn, por todaso parte de las cantidades por las cuales no sehayan recibido solicitudes de desembolso,acompaiiadas de Ia documentaciOn de apoyonecesaria establecida en Cartas deImplementaciOn, antes de la expiraciOn de dichoperiodo.

hundred Thousand U.S. Dollars( t IS$8,500,000) including in-kindcontributions. The precise amount ofGrantee contribution shall he indicated inIISAID's written notice of each incrementalcontribution. The Grantee's total estimatedcontribution to thc Assistance Objectives willbe subject to availability of funds of theGrantee for this purpose and of USAIDproviding the total estimated amount inSection 3.1( b). The Grantee will report atleast annually in a format to be agreed uponwith USAID on its cash and "in-kind"contributions.

ARTICLE 4: Completion Date

(a) The Completion Date, which isSeptember 30, 2012, or such other date as theParties may agree to in writing, is the date bywhich the Parties estimate that all theactivities necessary to achieve the AssistanceObjectives will be completed.

(b) Except as USAID may otherwise agreeto in writing, USAID will not issue orapprove documentation that would authorizedisbursement of the Grant for servicesperformed or goods furnished after theCompletion Date.

(c) Requests for disbursement,accompanied by necessary supportingdocumentation prescribed in ImplementationLetters, are to be received by USAID no laterthan nine (9) months following theCompletion Date, or such other period asUSAID agrees to in writing before or aftersuch period. After such period USAID, at anytime or times, may give notice in writing tothe Grantee and reduce the amount of theGrant by all or any part thereof fur whichrequests for disbursement, accompanied bynecessary supporting documentationprescribed in Implementation Letters, werenot received before the expiration of suchperiod.

Condiciones Previas al ARTICLE 5: Conditions Precedent toDesembolso Disbursement

Seccitin 5.1 Primer Desembolso

Section 5.1 First Disbursement

Previo al primer desembolso de la DonaciOn, o a Prior to the first disbursement under the

(a) Un dictamen legal aceptahle para USAID. enel sentido de que (i) este Convenio ha sidodebidamentc autorizado por el Beneliciario ycelebrado en su nombre, (ii) este Convenioconstituyc una obligaciOn valida y legalmcnteexigible del Beneficiario en conformidad contodos sus terminos. y (iii) todas las acetonesinterims y aprobaciones necesarias para darelect° al Convenio han sido obtenidas por o ennombre del Beneficiario: y

(h) Una certiticaciem lirmada de Ia persona quepertenece o acttla a nombre de Ia olicina delBeneficiario especificada en Ia SecciOn 7.2. y quedesigna el nombre y cargo de cualquierrepresentante adicional que podria actuar deacuerdo a Ia SecciOn 7.2.

SecciOn 5.2 NotificaciOn

USAID notilicard de inmediato at Beneficiariocuando haya detenninado que alguna de lascondiciones previas ha sido cumplida.

SecciOn 5.3 Fechas de TerminaciOnpara Condicioncs Previas

La fecha de terminaciOn para cumplir con lascondiciones especificadas en Ia Secciem 5.1 son90 dias a partir de Ia fecha de firma de esteConvenio, o cualquier otra fecha posterior queUSAID haya acordado por escrito, anterior oposterior a Ia fecha de terminaciem antesmencionada. Si las condiciones previas de laSecciem 5.1 no han sido cumplidas en Ia fecha determinacitin antes mencionada, USAID podra, encualquier momento, terminar este Convenio pormedio de notiticaciem escrita at Beneficiario.

ARTICULO 6: Estipulaciones Especiales

SecciOn 6.1 ConsecuciOn y Desembolso de losFondos

In coordinaciOn con el Beneficiario, parte dc otodos los fondos hajo Ia Donaciem podrian sercontrattidos o de otra manera comprometidos ydesembolsados directamente por USAID aterceras panes de acuerdo con regulaciones y

Grant. or to the issuance by USAID ofdocumentation pursuant to whichdisbursement will be made, the Grantee will,except as the Parties may otherwise agree inwriting, furnish to USAID in form andsubstance satisfactory to USAID:

(a) A legal opinion acceptable to USAID that(i) this Agreement has been duly authorizedby. and executed on behalf of the Grantee.(ii) this Agreement constitutes a valid andlegally binding obligation of the Grantee inaccordance with all of its terms, and (iii) allinternal actions and approvals necessary togive effect to this Agreement have beenobtained by or on behalf of the Grantee: and

(b) A signed statement in the name of theperson holding or acting in the office of theGrantee specified in Section 7.2, whichdesignates by name and title any additionalrepresentatives each of w horn may actpursuant to Section 7.2.

Section 5.2 Notification

USAID will promptly notify the Granteewhen USAID has determined that a conditionprecedent has been met.

Section 5.3 Terminal Dates for ConditionsPrecedent

The terminal date for meeting the conditionsspecified in Section 5.1 is 90 days from thedate of this Agreement. or such later date asUSAID may agree to in writing before orafter the above terminal date. If theconditions precedents in Section 5.1 hake notbeen met by the above terminal date. IISAID.at any time. may terminate this Agreement bywritten notice to the Grantee.

ARTICLE 6: Special Covenants

Section 6.1 Procurement andDisbursement of Funds

In coordination with the Grantee. any or allfunds under the Grant may he contracted orotherwise committed and disbursed directlyby thS111) to third parties in accordance withLISAID's normal regulations and procedures

(a) USAID y Ia Agencia Presidencial para laAeciOn Social y Ia CooperaciOn Internacional Sccoordinaran entre ellas para Ia ejecticiOn de esteConvenio y estableceran o continuaran utilizandomecanisrnos existentes que fueron creados paraconsulta, monitoreo y evaluation, como losConsejos Consultivos Tematicos y el Comite deCoordinaciOn, y el use de indicadores deseguimiento y sistemas de informaciOn que estanya operando para este propOsito.

(b) En el interés de fortalecer Ia capacidad local ylas instituciones en alineaciOn y de acuerdo conlos principios de la Declaration de Paris para laEfectividad de Ia Asistencia, USAID. bajo supropia discreciOn, podria realizar contratos yconvenios de donaciOn con expertos y firmas delpais receptor para suministrar asistencia tecnica ypodria programar rondos a traves delBeneficiario u otras institucioncs y sistemascolombianos. con detalles que podran serdesarrollados adicionalmente mediante cartas deimplementaciOn.

Section 6.2 Coordination and Alignment

(a) I1SAID and the Presidential Agency forSocial Action and International Cooperationwill coordinate with one another in theimplementation of this Agreement and willestablish or continue using the existingmechanisms created for consultation.monitoring and evaluation, such as thethematic Consultative Committees and theCoordination Committee, and use themonitoring indicators and data systems nowin place for this purpose.

(h) In the interest of strengthening localcapacity and institutions in alignment andaccordance with the principles of the ParisDeclaration on Aid Effectiveness. USAID. atits own discretion. may enter into contractand grant agreements with host countryexperts and firms to provide technicalassistance and may program funds throughthe Grantee or other Colombian institutionsand systems. with details that may be furtherdeveloped in Implementation Letters.

(c) USAID will seek input from thePresidential Agency for Social Action andInternational Cooperation and theCounterpart Agency requesting the expertise,in the selection of third parties to implementactivities under this Agreement.

Section 6.3 Taxation

As set forth in greater detail in the StandardProvisions Annex attached hereto. theGrantee agrees to ensure that assistanceprovided under this Agreement will heexempted from taxation as set forth under theterms and conditions agreed upon in theGeneral Agreement for Economic. 'technicaland Related Assistance between the UnitedStates of America and Colombia, dated July23. 1962.

11. BACKGROUND

This Agreement continues some of the activitiesbegun under previous agreements, namelyStrategic Objective Grant Agreement No. 514 —008 "Expanded Economic and Social Alternativesto Illicit Crop Production" and StrategicObjective Grant Agreement No. 514 009"Successful Socio-Economic Stabilization ofInternally Displaced Persons and Support toOther Vulnerable Groups. -

The activities described below are organizedunder the United States Foreign AssistanceFramework at the Program Area level.

III. FUNDING

The illustrative financial plan for the Program isset forth in the attached Table 1. The Grant alsoincludes funding for program administration andoversight expenses incurred directly by USAID.Changes may be made to the financial plan bywritten agreement of the Parties. without a formalamendment to the Agreement if such changes donot result in (I) an increase in the amountobligated under Section 3.1 of the Agreement. or(2) a decrease in the Grantee's contribution belowthe amount specified in Section 3.2 of theAgreement.

1.1 Antecedentes

1.a Estrategia de USAID/Colombia utiliza unentoquc sistemtitieo y dirigido quc enfatiza eltrahajo en comunidades vulnerables asi comp enaquellas con presencia de cultivos ilicitos paradcfinir el enfoque geografico del Programa deDesarrollo Alternativo. Los pilares de esta laseson cohesion programatica, concentraciOngeognifica, participaciem del sector privado, yaumento de pertenencia Columbiana y de lasostenibilidad.

Dado el enlbque primordial del Gobierno de losEstados Unidos en la lucha antimarcOticos, sera devital importancia implementar actividades de losObjetivos de Asistencia en coordinaciOn con otrosprogramas de USAID, huscando integrar muyestrechamente actividades en regiones especificas,corredores de crecimiento y municipios.

USAID/Colombia ha trahajado exhaustivamentecon el (iobiemo Colombiano, sus socios,consultores externos y todos los otros grupos deinterds relevantes para seleccionar las regiones ymunicipios en Ins cuales enfocar este programadurante el periodo de 2006 a 2009. 1.1 Background

USAID/Colombia's strategy embraces asystematic and targeted approach that emphasizesworking in vulnerable communities as well as inthose with the presence of illicit crops fordefining the Alternative Development Program'sgeographic focus. Programmatic cohesion,geographic concentration, private sectorparticipation, increased Colombian ownershipand sustainability are the hallmarks of this phase.

Given the United States Government's overridingcountemarcotics focus, it will he vital toimplement Assistance Objectives activities incoordination with other USAID programs. seekingto integrate activities closely into focus regions.growth corridors, and municipalities.

USAID/Colombia has worked exhaustively withthe Colombian Government, its partners, outsideconsultants and all other relevant stakeholders toselect the regions and municipalities in which tofocus the program during the 2006-2009 period.Such selection seeks to focus the hulk ofUSAID/Colombia activities in areas of thecountry that: (1) currently are under coca/poppycultivation or that are vulnerable to illicit cropproduction; (2) have significant economicpotential; (3) have sufficient local and nationalpolitical will; and (4) have a high incidence ofviolence. USAID/Colombia believes that itsprograms in alternative development, democracyand humanitarian assistance can and will hesustainable if activities are more heavily focusedin areas of the country with these characteristics.

1.2 Results

The Alternative Development Program workswith both the Colombian Government and theprivate sector to achieve a sustainable expansionof economic opportunities in a manner that:(1) provides viable alternatives to illicit cropproduction; (2) works with municipalgovernments to help make local institutions moreresponsive and effective in responding to theneeds of citizens; (3) seeks to make Colombianenterprises more competitive; (4) facilitatessustainable, broad-based income and employmentgrowth in strategically targeted areas of the

Igualmente importante, y para asegurar unambiente nacional que permita la promociOn dedesarrollo alternativo sostenible, USAID proveerdasistencia tecnica para adelantar reformas politicasc institucionales que le permitan al gobiernoColombiano mejorar su balance fiscal general, y sueficiencia y reducciOn de costos en el suministro dehienes y servicios publicos vitales, incluyendoservicios de infraestructura criticos. En el contextogeneral de politica, USAID proveera apoyo tecnicoy linancicro para facilitar la adopciOn y efectivainiplementaciOn de reformas para promover laintegraciOn del comercio y la inversion, eldesarrollo del mercado financiero. y elmejoramiento de los proccsos de yenta y compralegal de tierras. The expansion of market opportunities will heaccomplished through market-driven, privatesector-led alternative development in regions/sub-regions of the country under the influence ofillicit agriculture. Alternative development alsocan effectively support economically viable andsustainable agricultural and other alternatives toillicit crop cultivation. Alternative developmentprograms include a complementary set ofataibusiness, specialty coffee. forestry, and smalland medium business development programs. allof which will generate employment for both ruraland urban families susceptible to involvement inillicit crop production and related activities.

Equally important, and in order to ensure anational enabling environment that promotessustainable alternative development. USAID willprovide technical support for policy andinstitutional reforms that will allow theColombian government to improve its overallfiscal balance, as well as its efficiency and cost-effectiveness in the provision of vital publicgoods and services. including criticalinfrastructure services. Within this overall policycontext, USAID also will provide technical andfinancial support to facilitate the adoption andeffective implementation of reforms to promotetrade/investment integration, financial marketdevelopment, and improvement of legal landselling and buying. Equally important. thisprogram will work to enhance democraticgovernance at the local level through citizenparticipation (in targeted high priority zones) toextend the presence of accountable. legitimateand participatory state institutions.

I.as actividadesintroduciran sistemas de producciOn integralincluyendo tecnologias de producciOn y mercadeomejoradas, promociOn de diversificaciOn deactividades agricolas Inds ally de las tradicionales,y fortalecer la implicacik de participantes en lacadena de valor desde Ia producciOn hasta elmercadeo. Finalmente, el (iobierno de EstadosUnidos apoya la intencik perseguida por elGobierno de Colombia -- bajo su politica dc ceroilicitos — de tener comunidades libres de cultivosilicitos.

RI 3: Gobernabilidad EconOmica yCompetitividad Fortalccida

Este RI busca la promocik de reformas criticas depolitica e institucionales requeridas para mejorar Iacapacidad de Colombia para beneficiarse delproceso de integraciOn comercial y de inversion.Los programas mejorardn la sostenibilidad de lasinversiones signiticativas quc estan haciendo losgobiernos de los Estados Unidos v Colombia enDesarrollo Alternativo. Esto se lograra a traves dela provisik de soporte tecnico y recursos deeapacitaciOn en el analisis de reformas econOmicasprioritarias y areas de dialog° politico (ejemplo:

strengthening the capacity of a wide range oforganizations at the local, regional and nationallevel in order to promote long-term sustainabilityof the programs. Activities will strengthen localgovernments and institutions through increasedcitizen participation, improved local governmentfunctions, expanded social infrastructure andassistance to vulnerable communities. Allactivities under this IR will support thepromotion of alternative development activities.

IR 2: Sustainable Licit EconomicOpportunities Expanded

ti SAID/Colombia's Alternative Developmentprogram will offer a wide range of economicallyviable and profitable licit activities as alternativesto the illicit economy. Activities will cover thefull spectrum of the value-production chain.Specific programs include: fundamental on-farmproduction improvements, agribusinessdevelopment, sustainable commercial forestry.and development of small and mediumenterprises (SMEs), taking into consideration theagricultural sectors selected for alternativedevelopment by the GOC, and covering basicaspects as processing, marketing, and businessdevelopment. Activities will introduce integratedproduction systems containing improvedproduction and marketing technologies, promotediversification beyond traditional agriculturalactivities, and strengthen the involvement ofparticipants in the economic chain fromproduction through marketing. Finally, theUnited States Government supports the intentionof the Government of Colombia to havecommunities free of illicit crops — under its zeroillicit policy-.

IR 3: Strengthened Economic Governance andCompetitiveness

This IR entails promotion of the critical policyand institutional reforms required to enhanceColombia's capacity to benefit from thetrade/investment integration process. Programswill enhance the sustainability of the significantinvestments that the U.S. and ColombianGovernments are making in alternativedevelopment. This IR will he achieved throughthe provision of targeted technical support andtraining resources in prioritized economic reformanalysis and policy dialogue areas (e.g., landtenure and titling, tax reform. fiscal reform.

Local Government and InstitutionsStrengthened. Activities focused on increasedcitizen participation will: (1) promote activecommunity participation in public decision-making and oversight activities; (2) help localgovernments satisfy the needs of small producersin the municipality; (3) support GOC activitiesthat can have an impact in regional/localagricultural technical assistance; (4) facilitateaccess to basic public services: (5) provideadequate, timely and accurate access toinformation on issues related to good governanceand democracy strengthening; (6) support thecritical role of city councils at the local level: and(7) support Government of Colombia ( -WC - )efforts to address citizen security at every level ofsociety.

Activities focused on improving localgovernment functions will improve proceduresand skills related to planning, budgeting andmonitoring in areas such as financialmanagement, public services provision,municipal development. economicdevelopment and land use development planning.Activities also will assist the land-titling and

Lasactividades bajo este RI pueden ser agrupadas enlas siguientes categorias: (1) investigaciOn demercados; (2) expansion de tecnologiasapropiadas; (3) credit° para producciOn agricola;(4) actividades de pre-inversiOn; (5) organizaciOnempresarial y tecnicas de gestiOn; (6) la promociOnde vinculos entre asociaciones de productores yempresas privadas relacionadas con Ia industria; e(7) infraestructura productiva basica, como plantasde procesamiento, centros de acopio, carreteras,pucntes, entre otras.

Sustainable Licit Economic OpportunitiesExpanded. Activities that develop productiveinfrastructure will seek improvements in basicproduction-related activities and relatedinfrastructure that is critical to achievingeconomies of scale in production. as well assupporting the marketing and commercializationof products. Activities under this IR can hegrouped into the following categories: (1) marketresearch; (2) expansion of appropriatetechnologies: (3) credit for agriculturalproduction; (4) pre-investment activities:(5) business organization and managementtechniques; (6) the promotion of linkagesbetween producers' associations and industry-related private business entities; and (7) basicproductive infrastructure, such as processingplants, produce collection centers. roads. bridges.among others.

To effect change in some of Colombia's mostdifficult areas, (!SAID will implement a programthat will seek to provide rapid support forproductive activities in illicit crop-growing areasthat have recently been fumigated or manuallyeradicated, retaken by military operations. or areof an otherwise political importance for support.

Activities that help strengthen business supportservices will provide employment alternatives in

Activities under this IR willhelp lead towards the adoption andimplementation of the World Trade Organization(WTO)-consistent customs framework and acompetitiveness-enhancing tax policyframework: an improved enabling environmentfor private investment: and a trade regime that issynchronized with WTO standards.

1.6 Target Areas

USAID selected a total of six corridors vk heremay choose to implement the majority of itsalternative development programs that can adaptto a regional strategy. The corridors listed belowhave been identified for future programs,although the exact combination of activities andmunicipalities may evolve as the Programprogresses. Although the corridors are includedin this Annex. there may he occasions whentarget areas • may he adjusted, if deemednecessary. or in line with the geostrategicdefinitions of the Consolidation's governmentalapproach. The reMons selected are:

(1) Southwest Colombia; includes thedepartments of Narino, Cauca. and Valle delCauca;

Las actividades bajo este Objetivo de Asistenciaseran ejecutadas en las areas geograficasmencionadas arriba. Cualquier alteration a estaszonas sera realizada solamente despues de un muyriguroso proceso de analisis y aprobacien tecnicapor parte de USAID en consulta con el GDC.

Sin embargo, de acuerdo a como los mecanismosde implementaciOn del Programa se adaptan a loscambios de las condiciones operativas en elterreno. In these regions, increased attention also willhe paid to youth, the particular circumstancesof Afro-Colombians and indigenous groups,land-titling and other cross-cutting issues whenrelevant and feasible.

The activities under this Assistance Objectivewill he implemented in the geographic areaslisted above. Any alteration of these zoneswould be made only after a very rigorousanalysis and technical approval process byUSAID in consultation with the GOC.

2.1 Background

LaproducciOn de cultivos ilicitos genera disputastcrritoriales por parte de los grupos al margen deIa Icy to que afecta la estabilidad y derechos delos Colombianos. Esta situaciOn presenta retos atGDC en sus esfuerzos por erradicar las drogasilicitas y en resolver la situaciOn de violenciainterna de muchos aiios. 2.2. Results

Violent acts by illegal armed groups result ininternal displacement in Colombia. Theproduction of illicit crops generates territorialdisputes involving illegal armed forces, whichaffect the stability and rights of Colombians.This situation poses challenges to the GOC inits efforts to eradicate illicit drugs and resolvethe country's long-standing internal violence.The magnitude of the IDP situation createshardships not only for displaced persons, butalso fur receptor communities, whichfrequently lack the resources necessary toreceive and meet the needs of new arrivals.

An objective of this Agreement is to supportthe provision of intermediate and longer-termassistance to IDPs and other vulnerablegroups. If possible. LiSAID may coordinate itsefforts with the "Juntos" strategy and the so-called (i0C's Model and Route of Attentionfor the Effective Access to Rights by theInternally Displaced Populations. Thiscoordination may include prevention, urgenthumanitarian assistance, access to health andeducation services, school feeding programs,psycho-social attention, income generationprograms, protection, housing and socialinfrastructure and institutional strengthening.Expanding access to such services willcontribute to the socio-economic stabilizationof this population.

1 he goal of the first IR is to promote socio-economic stabilization for IDPs andvulnerable groups.

USAID increasingly will seek to expand andfortify delivery of economic and socialservices through a wide variety of experiencedColombian assistance organizations.

IR 2: Private and Public Sector InstitutionsCapable of Providing Support and FacilitatingReintegration

This intermediate result will be achieved bystrengthening national and local capacity todeliver an integrated package of services.

Strategic alliances with the public, private andnon-governmental sectors of Colombia havebeen one of the main mechanisms developed byUSAID to assist vulnerable populations andIDPs. These alliances have enhanced the impactand coverage of USAID's programs.

Measurable indicators have been jointlydeveloped and regularly monitored andevaluated by USAID and the GOC. Suchindicators are contained in USAID'sPerformance Monitoring Plan (PIMP).

In the socio-economic stabilization pilawUSAID will help IDPs and other vulnerablegroups gain better access to their rights ofidentification, income generation, education,health, nutrition, housing, family support, andbanking services. Further. and in coordinationwith the Democracy and Governance Programor USAID. this Program will seek to facilitateaccess to justice services by IDPs and othervulnerable groups.

USAID will continue to support programs thatincrease access to economic opportunities forIDPs in the communities into which they havesettled by offering relevant skills training andjob placement programs. To achieve this goal,the program will attempt to develop strongalliances with the private sector to create jobopportunities.

Support will be given to facilitate thevoluntary, safe, dignified, and orderly returnor re-settlement of IDPs in coordination withappropriate GOC entities. Activities will seekprogrammatic and institutional synergies tostrengthen the GOC's capacity, particularly inareas where significant numbers of IDPs haveexpressed a desire to return.

Private and Public Sector InstitutionsCapable of Providing Support andFacilitating Reintegration. These allianceswill continue to be strengthened to increasenational institutional capacity to meet theneeds of IDPs. Specifically, alliances will bepromoted to develop programs that contributeto meeting basic needs in the emergency phaseand then promote socio-economicstabilization.

Such selectionseeks to focus the majority ofUSAID/Colombia activities in areas of thecountry that: (1) currently have coca/poppycultivation or that are vulnerable to illicit cropproduction; (2) have significant economicpotential; (3) have sufficient local and nationalpolitical will; (4) have a high incidence ofviolence: and (5) are identified as priorityzones to advance the Consolidation strategy.USAID believes that its programs inalternative development, democracy andhumanitarian assistance will be sustainable ifactivities are more heavily focused in areas ofthe country with these characteristics.

Additionally. and based on joint analysis withthe GOC. USAID will consider re-directingpart of its support to regions and towns thatshow high pressure indices and/ordisplacement intensity based on the NRDPand/or in areas where recovery process hasbegun.

However, USAID recognizes that the IDPsituation in Colombia is very fluid and thatprevious trends do not necessarily indicatefuture displacements. Hence, USAID iscommitted to working closely with the GOCto develop a balanced program that (1) attendsmainly to the needs of the IDPs registered inthe NRDP and coordinates closely theactivities across the USAID portfolio with theactivities being implemented by the GOC and

VI. MONITORE() Y EVALUACION

El Plan de Monitoreo de EjecuciOn (PME) deUSAID ha side desarrollado con socios deklecriciOn locales y extranjeros, y con elGobierno de Colombia. El PME contiene lincasde base. incurs. y deliniciones gut: se revisan yactualizan periiidicamente para medir

V. ROLES AND RESPONSIBILITIES OFTHE PARTIES

Program activities will be executed bypartners and executing entities that havedifferent roles and complementaryresponsibilities. These include severalnational and international non-governmentalorganizations, public internationalorganizations, and local and communityorganizations. Program planning andimplementation will be coordinated with localand departmental governmental authoritiesand numerous Colombian national entities andministries such as the National PlanningDepartment, the Ministry of Interior andJustice. the Ministry of Environment, I lousingand Regional Development. the Ministry ofhealth and Social Protection, the NationalOmbudsman's Office. the Office of the IlighCommissioner for Peace, the National FamilyWelfare Institute and the Presidential Agencyfor Social Action and InternationalCooperation. USAID will continue tocoordinate closely programs and activitieswith relevant GOC entities and will take allappropriate measures, including relevantclauses in implementing instruments, to ensureoptimal coordination among the (IOC,USAID. and USAID's partners.

The participation of such entities 1.‘ ill occur inaccordance with the limitations U.S. lawimposes on assistance to law enforcement andmilitary forces, including any approvedexceptions.

VI. MONITORING AND EVALUATION

USAID's Performance Monitoring Plan (PMP)has been developed with local and foreignimplementing partners and with the GOC. SECTION A.2. Implementation Letters. Toassist the Grantee in the implementation of theAgreement, USAID, fron) time to time. willissue Implementation Letters that will furnishadditional information about matters stated inthis Agreement. The Parties may also usejointly agreed-upon Implementation Letters toconfirm and record their mutual understandingon aspects of the implementation of thisAgreement. ARTICLE B. General Covenants

SECTION 13.1. Consultation. The Partieswill cooperate to assure that the Objective andResults of this Agreement will beaccomplished. To this end, the Parties, at therequest of either, will exchange views onprogress towards the Objective and Results,the performance of obligations under thisAgreement. the performance of anyconsultants. contractors or suppliers engagedunder the Agreement. and other mattersrelating to the Agreement.

SECTION 13.2. Execution of Agreement.The Grantee will:

(a) Carry out the Agreement or cause it to becarried out with due diligence and efficiency.in conformity with sound technical. financial,and management practices. and in conformity

ith those documents, plans, specifications,contracts, schedules or other arrangements,

(a) Any goods and services financed under thisAgreement, unless otherwise agreed to inwriting by USAID, will be devoted to theAgreement until the completion or terminationof the Agreement, and thereafter (as well asduring any period of suspension of theAgreement) will be used so to further theObjective of the Agreement and as USAIDmay direct in Implementation Letters.

(b) Goods or services financed under thisAgreement, except as USAID may otherwiseagree in writing, will not be used to promoteor assist a foreign aid project or activityassociated with or financed by a country notincluded in USAID Geographic Code 935 asin effect at the time of such use.

SECTION 13.4. Taxation.

Section B.4.1. General Exemption.This Agreement and the assistancethereunder are free from any taxes imposedunder laws in effect in the territory of theGrantee. In the event of a contradictionbetween this Section B.4 and the 1962General Agreement. the relevant provision ofthe latter shall prevail.

Section 8.4.2. Except as providedotherwise in this provision, the GeneralExemption in Section 13.4.1 applies to, but isnot limited to (1) any activity, contract, grantor other implementing agreement financed byUSAID under this Agreement: (2) any

Exemption I includes, but is not limited to,all charges based on the value of suchimported goods, but dues not include servicecharges directly related to services performedto transfer goods or cargo.

(b) Exemption 2. Taxes on theincome. profits or property of all (i) non-national organizations of any type. (ii) non-national employees of national and non-national organizations, or (iii) non-nationalindividual contractors and grantees andmembers of their families. Exemption 2includes income and social security taxes ofall types and all taxes on the property.personal or real, owned by such non-nationalorganizations or persons. The term'national" refers to organizations establishedunder the laws of the Grantee and citizens ofthe Grantee. other than permanent residentaliens in the United States.

added taxes (VAT), or taxes on purchases or- rentals of real or personal property. Theterm "last transaction" refers to the lasttransaction by kk hid) the goods or services\A, etc purchased for use in the activitiesfinanced by USAID under this Agreement.

Section 13.4.4. If a tax has beenlevied and paid contrary to the provisions ofan exemption. USAID may, in its discretion.( 1 ) require the Grantee to refund to USAIDor to others as USAID may direct the amountof such tax with funds other than thoseprovided under this Agreement, or (2) Mktthe amount of such tax from amounts to hedisbursed under this or any other agreementbetween the Parties.

Section 13.4.5. In the event of adisagreement about the application of anexemption, the Parties agree to promptlymeet and resolve such matters, guided by theprinciple that the assistance furnished byUSAID is free from direct taxation, so thatall of the assistance furnished by USAID willcontribute directly to the economicdevelopment of the country of the Grantee.

SECTION 13.5. Reports and Information,Agreement Books and Records. Audits andInspections.

(a) Reports and Information. The Granteeshall Inrnish USAID accounting records andother such information and reports relating tothe Agreement as USAID may reasonablyreq uest.

(b) Grantee Agreement Books and Records.The Grantee shall maintain accounting books,records, documents, and other evidencerelating to the Agreement. adequate to show.without limitation all costs incurred by theGrantee under the Agreement, the receipt anduse of goods and services acquired under theAgreement by the Grantee, agreed-upon costsharing requirements, the nature and extent ofsolicitations of prospective suppliers of goods

and services acquired by the Grantee. the basisof award of Grantee contracts and orders, andthe overall progress of the Agreement towardcompletion ("Agreement books and records").The grantee shall maintain Agreement booksand records in accordance w ith generallyaccepted accounting principles prevailing inthe United States, or at the Grantee's option,with approval by USAID, other accountingprinciples such as those ( I ) prescribed by theInternational Accounting StandardsCommittee (an affiliate of the InternationalFederation of Accountants), or (2) prevailingin the country of the Grantee. Agreementbooks and records shall be maintained for atleast three years after the date of lastdisbursement by USAID or for such longerperiod, if any, required to resolve anylitigation, claims or audit findings.

(c) Grantee Audit. If $300,000 or more ofUSAID funds are expended directly by theGrantee in its fiscal year under the Agreement,the Grantee, except as the Parties mayotherwise agree in writing, shall have financialaudits made of the expenditures in accordancewith the following terms:

(I) With USAID approval, the Grantee shalluse its Supreme Audit Institution: theContraloria General de la Republica, or selectall independent auditor in accordance with the"Guidelines for Financial Audits Contractedby Foreign Recipients" issued by the USAIDInspector General ("Guidelines"), and theaudits shall be perlbrmed in accordance withthe "Guidelines"; and

(2) The audit shall determine whether thereceipt and expenditure of the funds providedunder the Agreement are presented inaccordance with generally acceptedaccounting principles agreed to in section (h)above and whether the Grantee has compliedwith the terms of the Agreement. Each auditshall he completed no later than nine monthsafter the close of the Grantee's year underaudit.

(1) A "covered" sub-recipient is one whoexpends $300,000 or more in its fiscal year in"USAID awards" as described in the NoteOMB A-110 (i.e.. as recipients of USAID costreimbursable contracts, grants or cooperativeagreements and as sub-recipients under aUSAID Assistance Objective and other grantagreements with foreign governments).

(2) The plan shall describe the methodology tobe used by the Grantee to satisfy its auditresponsibilities Ibr covered sub-recipients.The Grantee may satislY such auditresponsibilities by relying on independentaudits of the sub-recipients; expanding thescope of the independent financial audit of theGrantee to encompass testing uf sub-recipients' accounts; or a combination of theseprocedures.

(3) The plan shall identify the funds madeavailable to covered sub-recipients that will becovered by audits conducted in accordancewith other audit provisions that would satisfythe Grantee's audit responsibilities (a non-profit organization organized in the UnitedStates is required to arrange for its own audits;a for-profit contractor organized in the UnitedStates that has a direct contract with USAID isaudited by the cognizant U.S. GovernmentAgency; a private voluntary organizationorganized outside the United States with adirect grant from USAID is required toarrange for its own audits; and a host-countrycontractor should be audited b) the cognizantGrantee contracting agent) ).

(e) Audit Reports. The Grantee shall furnishor cause to be furnished to [NAIL) an auditreport for each audit arranged fix by theGrantee in accordance with this Section within30 days after completion of the audit and nolater than nine months after the end of theperiod under audit.

(I) Other Covered Sub-recipients. For"covered" sub-recipients who receive fundsunder the Agreement pursuant to directcontracts or agreements with USAID, USAIDWill include appropriate audit requirements insuch contracts or agreements and Will, onbehalf of the Grantee, conduct the follow-upactivities with regard to the audit reportsfurnished pursuant to such requirements.

(g) Cost of Audits. Subject to USAIDapproval in writing, costs of audits performedin accordance with the terms of this Sectionmay he charged to the Agreement.

(h) Audit by USAID. USAID retains the rightto perform the audits required under thisAgreement on behalf of the Grantee byutilizing funds under the Agreement or otherresources available to USAID for this purpose.conduct a financial review, or otherwiseensure accountability of organizationsexpending USAID funds regardless of theaudit requirement.

(i) Opportunity to Audit or Inspect. IleGrantee shall afford authorized representativesof USAID the opportunity at all reasonabletimes to audit or inspect activities financedunder the Agreement, the utilization of goodsand services financed by USAID, and books,records and other documents relating to the

SECTION 13.6. Completeness of information.The Grantee confirms:

(a) that the facts and circumstances of which ithas informed USAID, or cause USAID to beinformed. in the course of reaching agreementwith USAID on the Agreement. arc accurateand complete, and include all facts andcircumstances that might materially affect theAgreement and the discharge ofresponsibilities under this Agreement; and

(h) that it will inform USAID in timelyfashion of any subsequent facts andcircumstances that might materially affect, orthat it is reasonable to believe might so affect,the Agreement or the discharge ofresponsibilities under this Agreement.

SECTION 11.7. Other Payments. TheGrantee affmns that no payments have been orwill be received by any official of the Granteein connection with the procurement of goodsor services Iinanccd under the Agreementexcept fees, taxes, or similar payments legallyestablished in the country of the Grantee.

SECT ION .3.8. Information and ?.larking.The Grantee will give appropriate publicity tothe Agreement as a program to which theUnited States has contributed. identifyAgreement activity sites, and mark goodsfinanced by USAID, as described inImplemelitation Letters.

SECTION C.3. Plans, Specifications, andContracts. In order for there to be mutualagreement on the following matters, andexcept as the Parties may otherwise agree inwriting:(a) The Grantee will furnish to USAID uponpreparation:

(1) any plans. specifications, procurement orconstruction schedules, contracts. or otherdocumentation between the Grantee and thirdparties relating to goods and services to befinanced under the Agreement, includingdocumentation between the Grantee and thirdparties, relating to the prequalification andselection of contractors and to the solicitationof bids and proposals. Material modificationsin such documentation will likewise hefurnished to USAID on preparation: and

(2) such documentation will also be furnishedto USAID, upon preparation. relating to anygoods or services, which, though not financedunder the Agreement. arc deemed by USAIDto be of major importance to the Agreement.Aspects of the Agreement involving mattersunder this subsection (a)(2) will be identifiedin Implementation letters;

(h) Documents related to the prequaliticationof contractors, and to the solicitation of bids orproposals for goods and services financedunder the Agreement will be approved byUSAID in writing prior to their issuance, andtheir terms will include United States

(d) Consulting firms used by the Grantee forthe Agreement but not financed under theAgreement. the scope of their services andsuch of their personnel assigned to theactivities financed under the Agreement asUSAID may specitY, and constructioncontractors used by the Grantee Mr theAgreement but not financed under theAgreement, shall be acceptable to USAID.

SECTION C.4. Reasonable Price. No morethan reasonable prices will be paid for anygoods or services financed, in whole or in part,under the Agreement. Such items will heprocured on a fair and. to the maximum extentpracticable, on a competitive basis.

SECTION C.5. Notification to Potential Suppliers. To permit all United States firmsto have the opportunity to participate infurnishing goods and services to be financedunder the Agreement, the Grantee will furnishUSAID such information with regard thereto,and at such times, as USAID may request inImplementation Letters.

SI CTION C.O. Transportation.

(a) In addition to the requirements in SectionC. I (a). costs of ocean or air transportation andrelated delivery services may not he financedunder the Grant, if the costs are fortransportation under an ocean vessel or aircharter which has not received prior USAIDapproval.

SICTION C'.7. Insurance.

Any indemnificationreceived by the Grantee under such insurancewill he used to replace or repair any materialdamage or any loss of the goods insured orwill be used to reimburse the Grantee for thereplacement or repair of such goods. Anysuch replacements will be of source and originof countries listed in USAID GeographicCode 935 as in effect at the time ofreplacement. and, except as the Parties may ,

agree in Writing, will be otherwise subject tothe provisions of the Agreement.

SECTION C.8. U.S. Government-OwnedExcess Property. the Grantee agrees that,wherever practicable, United StatesGovernment-owned excess personal property,in lieu of new items financed under the Grant,should be utilized. Funds under theAgreement may be used to finance the costs ofobtaining such property.

If funds provided under the Agreement areintroduced into Colombia by I) SAID or anypublic or private entity lOr purposes ofcarryine out obligations of USAID hereunder.the Grantee will make such arrangements asmay be necessary so that such funds may heconverted into local currency at the highestrate of exchange which, at the time theconversion is made, is not unlawful in thecountry of the Grantee to any person for anypurpose.

ARTICLE E. Termination: Remedies.

(a) In the case of any disbursement which isnot supported by valid documentation inaccordance with this Agreement or which isnot made or used in accordance with thisAgreement, or which was for goods orservices not used in accordance with thisAgreement, USAID, notwithstanding theavailability or exercise of any other remediesunder this Agreement, may require theGrantee to refund the amount of suchdisbursement in U.S. Dollars to USAID withinsixty (60) days after receipt of a requesttherefor.

(b) If the failure of the Gnunee to comply withany of its obligations under this Agreementresults, in the ineffective use of goods andservices financed under the Agreement and inaccordance with the Agreement, USAID mayrequire the Grantee to refund all or any part ofthe amount of the disbursements under thisAgreement for or in connection with suchgoods or services in U.S. Dollars to USAIDwithin sixty (60) days after receipt of a requesttherelbr.

(c) The right under subsections (a) or (b) torequire a refund of a disbursement willcontinue, notwithstanding any other provisionof this Agreement. for three years from thedate of the last disbursement under thisAgreement.

(d) (I) Any refunds under subsections (a) orII)), or (2) any refund to USAID from acontractor. supplier. hank or other third partywith respect to goods and services financedunder the Agreement, which refund relates to

SECTION EA. Assignment. The Granteeagrees. upon request. to execute an assignmentto USAID of any cause of action which mayaccrue to the Grantee in connection with orarising out of the contractual performance orbreach of performance by a Party to a directU.S. Dollar contract which USAID financedin whole or in part out of rands granted byUSAID under this Agreement.

ARTICLE F. Miscellaneous

SECTION . Investment Promotion

(a) Except as specifically set forth in theAgreement or otherwise authorized by USAIDin writing, no funds or other support providedhereunder may he used for any activity thatinvolves investment promotion in a foreigncountry.

(b) In the event the Grantee is requested orwishes to provide assistance in the above areaor requires clarification from USAID as towhether the activity \ ould be consistent withthe limitation set forth above. the Granteemust notify USAID and provide a detaileddescription of the proposed activity. TheGrantee must not proceed with the activityuntil advised by USAID that it may do so.

The Panics agree that all USAID funds providedunder this Agreement shall be used in accordancexvith applicable United States policy andstatutory requirements relating to Voluntaryfamily planning projects. and that none of theUSAID funds provided under this Agreement, orgoods or services financed by such funds, may beused for:

(a) the performance of abortion as a method offamily planning or to motivate or coerce anyperson to practice abortions:

(h) the performance of involuntary sterilizationsas a method of family planning or to coerce orprovide any financial incentive to any person toundergo sterilizations: or

(c) any biomedical research which relates, inwhole or in part. to methods of, or theperformance of, abortions or involuntarysterilizations as a method family planning.

to provide assistance in the above area or requiredclarification from USAID as to whether theactivity would be consistent with the limitation setforth above, the Grantee must notily USAID andprovide a detailed description of the proposedactivi ty. The Gran tee must not proceed with theactivity until advised by USAID that it may do so.

(c) The Grantee must ensure that all employeesand subcontractors and sub-recipients providingemployment-related services hereunder are madeaware of the restrictions set forth in this clause andmust include this clause in all sub-contracts andother sub-agreements entered into hereunder.

SECTION F.5. Prohibition on Funding ForeignGovernment Delegations to InternationalConferences.

Except as USAID may otherwise agree inwriting, funds obligated under this Agreementwhich are provided by USAID from the ForeignOperations, Export Financing, and RelatedPrograms Appropriations Act for any U.S.Ciovernment fiscal year after liscal year 1999may not be used to finance the travel, per diem,hotel expenses, meals, conference fees or otherconterence costs for any member of a foreigngovernment's delegation to an internationalconference sponsored by a public internationalorganization. This restriction may be furtherdescribed by t 1SAID in Implementation Letters.
